1. SECTION 1

1.1 – INVITATION TO BID

This Request for Proposal (RFP) is to invite proposals from eligible bidders for providing end-to-end solution for technology based Financial Inclusion Solution (FIS) for The Idukki District co-operative Bank Ltd. (IDCB).The solution should include the following:

a) Offline/Online on-Boarding/Customer account opening using Aadhaar based authentication.

b) Offline/Online on-Boarding/Customer account opening using e-KYC features for manually submitted documentation.

c) Devices / Software for the above purposes working on Tablets/ Handheld terminals

d) Online card based transactions for cash receipt/payment/balance enquiry/statement of account etc. based on NPCI standards.

e) Integration of the solution to backend core banking solution working in The IDCB Hosted Card Management System and other card based transaction services for Rupay Cards.

f) Software management of the business correspondents (BC’s) including commission calculation, (It is assumed that the BC’s will be appointed and managed by the bank)

g) Integrated device management system

The proposal envisages bid for outright purchase and alternatively on per transaction basis.

For the purposes of this proposal, it is envisaged that there will be 300 individual BC’s

attached to the above.This is to be implemented in the service areas of branches of the IDCB. The Bank desires to implement the FI in different service areas the IDCB as per the terms & conditions of RFP. Proposed financial inclusion initiatives are to be implemented in the following Branches.

1.2.REQUIREMENTS AND GENERAL TERMS & CONDITIONS

1. The prime requirement of the bidder (herein after may be mentioned in this document

as ‘bidder or company’) is that the bidder must be capable of installation of the solution

requested for.

2. The bidder company must have taken up and successfully completed similar work in

other banks.

3. The Bidder Company should agree to support the IT Cell of the bank for a period of

years (Three years) for upkeep of installations, till completion of warranty, after

implementation.

4. The Bidder Company should have their focus on the relevant field in the IT industry.

5. The Bank reserves the right to reject in its discretion any or all proposal(s) received

without assigning any reason.

10. Bidders should submit Earnest money deposit of Rs. 25000/-. The EMD amount should be

submitted alongwith the completed Proposal form as DD favouring the General Manager,

The Idukki District Cooperative Bank, Idukki. Proposals without EMD amount will be

rejected. Those who download the RFP documents from the website will be required to submit a

DD of Rs. 5000/- (Rupees Five thousand only) towards the cost of the tender document. The cost of

tender document is non refundable. The EMD amount should be submitted along with the

completed proposal as DD favouring the General Manager, The Idukki District Cooperative Bank,

Idukki.

12. The EMD of the successful bidder shall be adjusted against the final bill after the installation of the

solution, The EMD shall be returned to all other bidders within two weeks of finalisation of the

contract.

13. Proposals will be opened in this office on 10-05-2015--- and the bidders or their authorized

representatives may be present at the time of opening of the proposals. The number of

authorized representatives that may be present for any bidder is limited to a maximum of

two. Proposals should be submitted in a sealed cover as indicated below:

a. Part I: Earnest Money Deposit

b. Part II: Technical bid

c. Part-III Commercial bid

The sealed Proposal of the bidder company will be opened and verified for correctness of

enclosures in the presence of the representative of the bidder company. The Proposals

will be evaluated by the TECHNICAL COMMITTEE of the bank for its technical

correctness. The commercial bid of the technically qualified bidders will then be opened and

evaluated.

The shortlisted companies after the Technical evaluation and commercial evaluation will be

called for detailed discussions and negotiations on the same day. The quotes of the bidder

companies will not be made openly available till completion of evaluation, discussions and

negotiations with the shortlisted companies.

14. The Proposals of the bidder companies, who are not represented at the opening of the

Proposal, will be opened and verified by the Bank in-absentia. The companies can obtain

the result of such Proposals afterwards from the bank in person after fixing up an

appointment with the bank.

15. Proposals received after due date and time would be ineligible to compete in the

process.

16. Corrections/overwriting in the Proposal document should be avoided. In case of any

discrepancy between the amount in figures and in words, the concerned bid will be

cancelled.

17. The technical and commercial bid must be in line with specifications and conditions required

for the Proposal. However, proposals with better technology and competitive advantage

will be given due weightage and preference.

18. The delivery of all equipments / Software/Services shall be accepted only after inspection

and approval of the equipments/Software/Services by this office. Inspection charges if any

shall be borne by the company only and this office shall make no extra payment for this.

19. The techno-&commercial bid would be inclusive of all taxes, duties, surcharge(s) etc.

20. 10% from total contract amount will be withheld as Security Deposit . The bidder company

should submit a Bank Guarantee of 5 % of Total Bill amount for the entire contract period of 5 years and

5% of total contract amount will be withheld as Security Deposit for one year of the warranty period

subject to services provided during the first year.

21. The proposal must meet all the requirements as mentioned in this document. Any

inadequacy in the given requirements will disqualify the bidder company to be shortlisted

during the evaluation process.

22. On acceptance of Proposal and issue of purchase order by the bank, the project plan to be

submitted by the bidder company in response to the purchase order and should strictly be

adhered to otherwise; the bank reserves the right to cancel the acceptance of the

proposal . In case the order is not executed within the stipulated period, bank will be at

liberty to select other sources, and to forfeit the EMD of the Proposer.

23. Bank reserves the right to procure the Hardware equipments for the implementation of the

solution from the local vendors if the quote from the selected solution vendor is not find

reasonable.

2.SECTION 2 –

2.1 DISCLAIMER

This RFP is neither an agreement nor an offer and is only an invitation by Bank to the interested parties for submission of bids. The purpose of this RFP is to provide the bidder(s) with information to assist the formulation of their proposals. This RFP does not claim to contain all the information each bidder may require. Each bidder should conduct its own investigations and analysis and should check the accuracy, reliability and completeness of the information in this RFP and where necessary obtain independent advice. Bank makes no representation or warranty and shall incur no liability under any law, statute, rules or regulations as to the accuracy, reliability or completeness of this RFP. Bank may in its absolute discretion, but without being under any obligation to do so, update, amend or supplement the information in this RFP.

Subject to any law to the contrary, and to the maximum extent permitted by law, the Bank and its directors, officers, employees, contractors, agents, and advisers disclaim all liability from any loss or damage (whether foreseeable or not) or expenses incurred or suffered by any person acting on or refraining from acting because of any information, including forecasts, statements, estimates, projections contained in RFP document or conduct ancillary to it whether or not the loss or damage or expenses arises in connection with any negligence, omission, default, lack of care or misrepresentation on the part of the Bank or any of its directors, officers, employees, contractors, agents, or advisers.

2.2 CONFIDENTIALITY

The RFP document is confidential and is not to be reproduced, transmitted, or made available by the Bidder to any other person. The RFP document is provided to the Bidder on the basis of undertaking of confidentiality given by the Bidder to the Bank. The Bank may update or revise the RFP document or any part of it. The Bidder acknowledges that any such revised or amended document is received subject to the same confidentiality undertaking.

The Bidder will not disclose or discuss the contents of the RFP document with any officer, employee, consultant, director, agent, or any other person associated or affiliated in any way with the Bank or any of its customers, Bidders, or agents without the prior written consent of the Bank.

2.3 COST TO BE BORNE BY BIDDERS

All costs and expenses incurred by Bidders in any way associated with the development, preparation, and submission of responses, including attendance the meetings, discussions,

presentations, etc. and providing any additional information required by Bank, will be borne and paid by the Bidder.

2.4 NO LEGAL RELATIONSHIP

No biding legal relationship will exist between any of the Bidders and the Bank until execution of a contractual agreement to the full satisfaction of the Bank.

2.5 ACCEPTANCE OF TERMS

The Bidders will, by responding to Bank’s RFP document, be deemed to have accepted the terms as stated in this RFP document

2.6 DISQUALIFICATION

Any form of canvassing/ lobbying/ influence/ query regarding short listing, status etc. will be disqualifying the Bidder.

2.7 TERMS & CONDITIONS

The Bidders shall adhere to the terms of this RFP and shall not deviate from the same. If the Bidders have absolutely genuine issues only then should they provide their nature of non-compliance to the same in the format provided. The Bank reserves its right to not accept such deviations to the Proposal terms.

Unless expressly overridden by the specific agreement to be entered into between the Bank and the Bidder, this RFP shall be the governing document for arrangement between the Bank and the Bidders.

Unless agreed to specifically by the Bank in writing for any changes to the RFP issued, the Bidder responses would not be incorporated automatically in the RFP document.

3 SECTION 3 - INSTRUCTIONS FOR BIDDERS (IFB)

3.1 GENERAL INTRODUCTION

1. Bank is planning to sponsor 100 Diary Cooperative Societies (DCS) in the areas of the 48 Branches .The proposed financial inclusion project will be implemented through these diary co-operatives. The staff members of the diary co-operatives will be available as BCs.

2. The Bank wishes to extend the banking services in un- banked/under- banked areas under the Financial Inclusion initiative. The objective is to ensure through financial inclusion the reach of financial services to the excluded segment.

3. Bank is looking for a cost effective solution to be implemented in different service areas of DCs / villages / blocks / in the district as a Financial Inclusion initiative

4. IDCB’s FI Road Map is required for service areas of different branches /villages /blocks to be implemented. Most of the branches are located in rural areas. Diary co-operatives proposes to open accounts and provide basic banking services including credit linkage to the excluded population .Also intended an integration to a solution of the diary co-operatives which includes the collection of milk ,payment and sale of consumer goods to the milk producing farmer members of diary co-operatives.

3.2 CONSORTIUM

1. The short listed proposer may have a tie-up with any solution provider for providing an end-to-end FIS. However, the proposer should have a relationship with the FIS provider as an authorized reseller, distributor, and should have a back-to-back agreement to ensure that the total solution proposed is end-to-end solution. It is important to note that the bidder should have a tie-up with any solution provider as mentioned above for the complete duration of the contract.

2. If the Bidder is not a manufacturer (Hardware/Software) he should provide documentary evidence (e.g. Manufacturer’s Authorization Form) for having tied up with the main participating agencies.

3. Bidder should have back-to-back support relation with the OEM’s whose products are offered by the Bidder to the IDCB.

4. The respondents may participate in the process under consortium arrangement. In such cases, the following need to be ensured:

5. The letter of commitment from all consortium members in favour of the lead bidder and commitment to deploy required resources in the proposed Joined Venture should invariably accompany the response.

6. The consortium leader must explicitly assume personal obligations in all respects on its behalf and also on behalf of the consortium members i.e. financial, personnel, technology and any other infrastructure that are required for the smooth operation of the JV should they be selected as JV partner by the IDCB.

3.3 COST OF BIDDING

The Bidder shall bear all costs associated with the preparation and submission of its Bid, and IDCB will in no case be responsible or liable for these costs, regardless of the conduct or outcome of the Bidding process.

2. The bidder is expected to examine all instructions, forms, terms and specifications in the Bidding Document. Failure to furnish all information required by the Bidding Document or to submit a Bid not substantially responsive to the Bidding Document in every respect will be at the Bidder’s risk and may result in the rejection of the Bid.

3.6AMENDMENT OF BIDDING DOCUMENT

1. At any time prior to the deadline for submission of Bids, the Bank, for any reason, whether, at its own initiative or in response to a clarification requested by a prospective Bidder, may modify the Bidding Document, by amendment.

2. Notification of amendments will be put up on the Bank’s Website and will be binding on all Bidders.

3. In order to allow prospective Bidders reasonable time in which to take the amendment into account in preparing their Bids, the Bank, at its discretion, may extend the deadline for a reasonable period as decided by the Bank for the submission of Bids.

3.7CONFIDENTIALITY

The Parties acknowledge that in the course of performing the obligations under this RFP, each party shall be exposed to or acquire information of the other party, which such party shall treat as confidential. Neither party shall disclose the Confidential Information to a third party.

The Parties will, at all times, maintain confidentiality regarding the contents of this RFP and proprietary information including any business, technical or financial information that is, at the time of disclosure, designated in writing as confidential, or would be understood by the Parties, exercising reasonable business judgment, to be confidential.

The Parties will keep in confidence and not disclose to any third party any and all Confidential Information available to the Parties, whether such information is given in writing or, is oral or visual, and whether such writing is marked to indicate the claims of ownership and/or secrecy or otherwise. Except as otherwise provided in this RFP, the Parties shall not use, nor reproduce for use in any way, any Confidential Information. The Parties agrees to protect the Confidential Information of the other with at least the same standard of care and procedures used to protect its own Confidential Information of similar importance but at all times using at least a reasonable degree of care.

If the Vendor hires another person to assist it in performance of its obligations under this RFP, or assigns any portion of its rights or delegates any portion of its responsibilities or obligations under this RFP to another person, it shall cause its assignee or delegate to be bound to retain the confidentiality of the Confidential Information in the same manner as the Vendor is bound to maintain the confidentiality.

This shall not be applicable and shall impose no obligation on the receiving party with respect to any portion of Confidential Information which: Was at the time received or which thereafter becomes, through no act or failure on the part

of the receiving party, generally known or available to the public; Is known to the receiving party at the time of receiving such information as evidenced by

documentation then rightfully in the possession of the receiving party; Is furnished by others to the receiving party without restriction of disclosure; Is thereafter rightfully furnished to the receiving party by a third party without restriction by

that third party on disclosure; Has been disclosed pursuant to the requirements of law or court order without restrictions

or other protection against public disclosure; or Was independently developed by the receiving party without the help of the Confidential

Information.

On termination of the RFP, each party must immediately return to the other party or delete or destroy all Confidential Information of the other party and all notes and memoranda (including copies of them) containing Confidential Information of the other party in its possession or control.

The vendor shall execute a Non-disclosure Agreement in favor of the Bank in accordance with the format specified in Annexure-III – (NDA)

3.8COMPLIANCE WITH ALL APPLICABLE LAWS

The Vendor shall undertake to observe, adhere to, abide by, comply with and notify the Bank/ The IDCB about all laws in force or as are or as made applicable in future, pertaining to or applicable to them, their business, their employees or their obligations towards them and all purposes of this RFP and shall indemnify, keep indemnified, hold harmless, defend and protect the Bank/ The IDCB and its employees /officers /staff/ personnel/ representatives/ agents from any failure or omission on its part to do so and against all claims or demands of liability and all consequences that may occur or arise for any default or failure on its part to conform or comply with the above and all other statutory obligations arising there from.

Compliance in obtaining approvals/permissions/licenses: The Vendor shall promptly and timely obtain all such consents, permissions, approvals, licenses, etc., as may be necessary or required for any of the purposes of this project or for the conduct of their own business under any applicable Law, Government Regulation/Guidelines and shall keep the same valid and in force during the term of the project, and in the event of any failure or omission to do so, shall indemnify, keep indemnified, hold harmless, defend, protect and fully compensate the Bank/ The IDCB and its employees/ officers/ staff/ personnel/ representatives /agents from and against all claims or demands of liability and all consequences that may occur or arise for any default or failure on its part to conform or comply with the above and all other statutory obligations arising there from and the Bank/ The IDCB will give notice of any such claim or demand of liability within reasonable time to the Vendor.

3.9LANGUAGE OF BID

The Bid prepared by the Bidder, as well as all correspondence and documents relating to the Bid exchanged by the Bidder and the Bank and supporting documents and printed literature shall be written in English.

1. Bid shall be in two parts: Part I- Technical Proposal and Part II – Commercial Proposal. The two parts should be in two separate envelopes, each super-scribed with the name of the Project as well as “Technical Proposal” and “Commercial Proposal” as the case may be.

2. The Bid shall be typed and shall be signed by the Bidder or a person or persons duly authorized to bind the Bidder to the Contract. The person or persons signing the Bids shall initial all pages of the Bids, except for un-amended printed literature

3. Any inter-lineation, erasures or overwriting shall be valid only if they are initialed by the person signing the Bids. The Bank reserves the right to reject bids not confirming to above.

3.11DOCUMENTS COMPRISING THE BID

k. A copy of RFP acknowledging the acceptance of all terms and conditions mentioned in RFP by signing each and every page of RFP and submit the same along with technical bid documents.

While submitting the Technical Bid, literature on the software / hardware if any, should be segregated and kept together in one section / lot. The other papers like Bid Security, Forms as mentioned above etc., should form the main section and should be submitted in one lot, separate from the section containing literature. Any Technical Proposal not containing the above will be rejected. The Technical Proposal should not contain any price information. Noncompliance to the above mentioned terms may lead to the rejection of the bid.

4 SCOPE OF WORK

a. Bidder/s should be a total solution provider (System Integrator) having a tested and proven technology, capable of providing an end-to-end solution on turnkey basis for the project including but not limited to providing the required hardware including Test and Development Server, software, database, Aggregation Server, middleware, anti-virus, servers, hand-held devices, Switch, Facility Management systems for BCs, installation, testing, commissioning, maintenance, providing interface with back-end solution to IDCB’s core banking solution (Finacle through ASP “WIPRO”).

b. The Financial Inclusion Solution should be highly secured with a combination of Aadhaar and Rupay Card based system.

c. FIS implementation should be end-to-end solutions including to supply, install, operate, maintain, and support of all necessary infrastructure ( Hardware / Software / Aggregation Server, etc. ) , integration to Aadhaar, biometric authentication for Customer on-boarding and of onus transactions for the successful implementation of proposed FIS and for achieving the IDCB’s FI road map well in time.Rupay card has already been implemented.

d. Proposed end-to-end solution (all the Hardware, Software etc.) should at all-time be compliant with the current standards / guidelines issued by Government / RBI / IBA / IDRBT authorities and/or other statutory authorities with regard to FIS. In case of any change in the guidelines (by any of the above mentioned authorities) throughout the contract period, the bidder would have to comply with the same.

e. The bidder should commit to provide services for implementation / rolling-out / support / maintenance of proposed FIS for a minimum period of 5 years. A certificate to this effect should form a part of the Technical proposal. Continuing the services / maintenance for the proposed FIS beyond 5 years is at the sole discretion of the IDCB.

f. FIS will be a choice of CAPEX / OPEX based model. For the OPEX model The IDCB would pay charges, based on the following –

f.1. Per new Customer enrollment f.2. Supply of tablet and handheld devices.f.3. Supply of the backend server with disaster management.f.4. Managed services for the solution.f.5. Supply , maintenance of all hardware software operating system required f.6. Updating of Aadhaar information automatically to the core banking from FIS serverf.7. i. Bidder to supply, install, commission and maintain Aggregation Server capable of accepting enrollment details (KYC Data, fingerprints, etc.) and transaction from various devices deployed for FIS. Aggregation Server should be located in The IDCB’s Data Center at Mumbai. Disaster Recovery of the same should also to be provided at DR site at Pune.

j. Data related to Accounts like KYC details, non-financial Transactions, should be accessed / updated online/ offline from/ to The IDCB’s CBS (Finacle) server. Transactions should happen online as required by the current Financial Inclusion directives.

In other words, upon authorization of the enrollment data, the account should get opened immediately or in batch in IDCB’s CBS (Finacle) Server and thereafter all the customer transactions should take place in the CBS (Finacle) directly through online mode.

k. Proposed FIS should support multiple banking activities like the following but not limited to:k.1. Opening of Deposit accounts including NO FRILL accountsk.2. Balance Enquiry, Mini statement etc.k.3. Cash depositk.4. Cash withdrawalk.5. Multiple Debits / Credits Transfer facilityk.6. Remittance, Funds Transfer (Onus)

l. The solution should have its own document management system and workflow. Solution should have Business correspondent module and have a complete remote device management capable to ensure remote management of devices on the field. The bidder should integrate the bank’s core banking solution to the Aadhaar Payment Bridge (APB) System (AEPS)

Roles and responsibility of IDCB for the switching services and card management System:

a) The sponsor bank and the ASP will share daily transaction dump files provided by NPCI, to the IDCB to reconciliation process. The FIS provider should share the details needed if any to facilitate the reconciliation process .

v. Bidder to provide a proper MIS to capture data in respect of number and names of villages covered, biometric access, transactions, savings etc. on periodical basis and as required by IDCB from time to time. The MIS will be used for effective monitoring, undertaking mid-term correction, if required, for achievement of planned target. Distinctive feature of MIS in FIS is that it will be upstream where required reports will be generated at the level of monitoring and controlling authorities.

w. Bidder to customize/parameterize the solution/software to meet The IDCB’s requirements including MIS, Accounting & Settlement procedures.

x. Proposed FIS should support both On-line and Off-Line onboarding and online financial transactions.

y. The IDCB reserves the right to engage BCs in achieving volume of The IDCB’s FI road map. Bidder to provide all necessary hardware/handheld devices /software/ application /assistance /training etc. to such The IDCB’s appointed BCs for their enrolment & field level activities to IDCB on mutually agreeable terms.

z. In addition to transactions through BCs, customers will be allowed to transactions through the handheld devices. Bidder to provide all necessary hardware / handheld devices / software / application/ assistance /training to branches of The IDCB’s staff. The customers will be able to use the Rupay cards at its own ATM’s or other ATM’s on the network.

aa. It is the sole responsibility of the Bidder to impart necessary technical / functional training to BCs as well as The IDCB’s Staff to handle FIS & devices. Bidder to provide user manual, training material etc. during the training.

bb. Bidder to ensure that faults/ issues/ defects etc. and failures intimated by The IDCB through any mode of communication like call/ e-mail / fax etc. are to be set right as under –

bb.1. At Aggregation Server (at DC & DR): Bidder has to maintain “Mean Time To Restore” (MTTR) of 2 hours

5 ELIGIBILITY CRITERIA

a. Bidder should be a registered company in India under Companies Act and should have been in operation for a period of at least three years as on date of RFP.

b. Minimum annual turnover out of Indian operations should be not less than Rs. 10 Crores in the last three financial years (2012-13, 2013-14 and 2014-15) (exclusive of the turnover of associate companies or group companies if any) as per audited financial statements.

c. Provide CA Certificate and Audited Financial statements for the last three (3) financial years.

d. The Bidder should have a local presence office in Kerala. If not, then an undertaking to open an office in Kerala within a months period from receiving the order to be submitted.

e. Bidder should be minimum CMMI level 3 certified company. Copy of valid certificate needs to be provided.

f. Bidder or Consortium partner should be listed by NPCI as one of its certified solution providers.

g. Bidder or Consortium partner should have 24x7 support center in India, and the same should be manned at least by 50 qualified functional as well as technical professionals. (Details may be furnished)

h. Bidder or Consortium partner should have experience of implementing the Switch software on hosted model supporting ATM, POS, Micro ATM, and connected to NFS and providing services to a minimum of 5 banks preferably co-operative banks (Bidder to attach reference certificates & contacts)

i. Bidder or Consortium partner Should be PCI DSS v2.0 certified (Bidder to attach certificate)j. Bidder or Consortium partner should have at least three live banks on Rupay KCC card in

NPCI network. preferably co-operative banks (Attach certificate)

6 TECHNICAL EVALUATION

a) Only those Bidders and Bids who have been found to be in the conformity of the eligibility terms and conditions during the preliminary evaluation would be taken up by the Bank for further detailed evaluation. Those Bids who do not qualify the eligibility criteria and all terms during preliminary examination will not be taken up for further evaluation

b) The Bank may use the services of external consultants for technical evaluation c) The Bank reserves the right to evaluate the bids on technical & functional parameters

including visit to inspect live site/s of the bidder and witness demos of the system and verify functionalities, response times, etc.

d) Bank will carry technical evaluation on the parameter specified in the Annexure-XI. Bidder has to score a minimum of 70% marks to qualify in technical bid.

e) During evaluation of the Bids, the Bank, at its discretion, may ask the Bidder for clarification of its Bid. The request for clarification and the response shall be in writing, and no change in the prices or substance of the Bid shall be sought, offered or permitted

f) Bidders may be called to give presentation of their solutions with its capabilities at their own cost, which will be taken into account for technical evaluation of the Bidders.

g) Bank will finalize appropriate and suitable technologies on the basis of proposed architectures. Bank has the right to modify the architecture proposed by the Bidders and finalize the technical requirements for the FIS

7.FUNCTIONAL SPECIFICATIONS

7.1.For the Tablets/ Handheld devices:

1. It should be a single integrated system for BCs, portable and easy to handle.

2. Tablets/ Hand-held devices & its peripherals provided by the Bidder to BCs should be robust, reliable and easy-to-use and customized to Indian rural conditions. Bidder to ensure its prompt replacement of obsolete/faulty equipment’s. Bidder should maintain adequate stocks and spares of all such equipment’s at each of his support centers (owned / franchisee).

3. Tablets/ Hand-held devices, its peripherals & their applications should support customer’s enrolment system, biometric authentication of customers & BCs, secured communication, transaction processing through fingerprint matching, uploading / downloading of transactions data through online mode, generation of printed acknowledgement for completed transactions, etc.

4.Hand-held devices (Card Scanner / Reader) should be capable to use both the type of Rupay Cards viz. for customer & BCs authentication (Aadhaar based) and should support online modes of operations.

5.They should be capable to configure BC based rule definitions.

7.Operations in Tablets/ Hand-held Devices should get initialized / commenced by the authorized BCs through biometric authentication process only. Feature to activate the device by either of two identified BC operators (Primary Operator and Standby Operator), to be provided.

8.Tablets/Hand-held Devices should go to sleep / passive mode when they are left idle for more than 5 minutes so as to avoid its misappropriation. It should get back to active mode only through fresh biometric authentication by BC.

9.Biometric in Tablets/ Hand-held devices should be read only for reading the finger impressions of the customer & matching the same with fingerprints stored with UIDAI while transacting. Whereas for enrollment of customer it should be both read & write

10.Any activity through the Hand-held devices should be processed only on the biometric authentication of the BC and the user, jointly

17.Technical specifications & Functionality of equipment’s offered should conform to the guidelines if any, issued by Government / RBI / IBA / IDRBT or any other statutory authorities. . In case of any change in the guidelines (by any of the above mentioned authorities) throughout the contract period, the bidder would have to comply with the same.

7.2 Specific Functional device requirements

The minimal functional device requirements for the micro ATM are listed below. Bidders may propose additional functional functionality .

7.2.1 Processing speed The micro ATMs/handheld device must be able to perform all internal activities related to processing of transactions promptly. Internal operations do not include data entry or back-end processing of transaction instructions, but do include operations such as encryption and decryption of messages, preparing packets for transfer on the network, accounting, etc.

7.2.2 Role based accessThe microATM must provide different logins for operators, service agents and super users. These may be authenticated using Bank’s own authentication or Aadhaar authentication . No transactions may be performed on the microATM without the operator logging in.

7.2.3 Unique device number Each device will have a unique device ID. This number must be transmitted with each transaction. The unique device number will be include an institution code, followed by the contents of date elements in fields 41, 42 and 43 from the ISO 8583 protocol.

7.2.4 Version control and provisioningDevice must support version control feature in order remotely monitor and provision application and system software. Remote device management feature must be provisioned as a part of the device deployment.

7.2.5 Information stored on deviceThe devices must maintain certain details of recent transactions (for a prescribed period of time and/or number of transactions) excluding biometrics.. All stored data on the device must be stored in an encrypted format.

7.2.6 Reporting The device must allow operators to generate end of day reports including the total cash flow for the day and a log of all transactions for the day.

7.2.7 SecurityThe device must not transmit any confidential data encrypted on the network. The Security requirements specified by UIDAI for Aadhaar data must be followed to secure the biometric and other Aadhaar authentication data. The microAtm/handheld device must automatically log out the operator and lock itself after a period of inactivity.

7.2.8. Centralized MicroATM Management System (CMMS) A Centralized microATM Management System (CMMS) to provide a dashboard and control board functionally at the centralized centre of the bank or BC, and have the ability to control every device remotely should be there. All incoming and outgoing messages to be recorded for validation, verification and audit trail, as specified by the regulator. Each message is to be stored sequentially as received. The CMMS should be able to configure and update the software remotely.The device should have periodic keep-alive messaging capability built into it. The period for keep-alive must be configurable. The CMMS should record and have Device ID as and when the device successfully downloads the application parameters. The CMMS should be able to generate MIS of various actions such as: Download History (History of TIDs of the devices initialized with data and time), device Profile (Profiles of the TIDs loaded on CMMS with details like operator/Merchant name, location, operator Aadhaar number/TID, transaction types supported/unsupported, communication parameters, etc.)

7.2.9. Performance requirements All transactions once entered on the device must have an end-to-end latency of less than 45 seconds for approval or decline. After this period, a transaction must timeout.

7.2.10. Reversals An online reversal must occur when there is a timeout, no response, a power down or inability to print receipt. reversal matching logic.

7.10.11. Standards for biometrics and authentication The device must be certified for Aadhaar authentication as per the certification requirements laid down by UIDAI. Upon entry of the number, the check digit in the Aadhaar number should be verified by the device as described in the UID numbering scheme . The device must be capable of following UIDAI authentication as described in the “Aadhaar Authentication API Specification” released by UIDAI. Device must support “Best Finger Detection” software as per Aadhaar Best Finger Detection API released by UIDAI. Device’s best finger detection software must be in accordance with resident authentication on-boarding document released by UIDAI. The device must be capable of conducting tow finger authentication transaction in the same session as laid out on the authentication process documents. As a fallback to biomectic authentication, the device must implement the OTP API and OTP authentication capability. The device must implement the Aadhaar mobile number update API .

7.3Aggregation Server Requirements ( At DC & DRC) :

1. The demographic & biometrics details of BCs & Customers like enrollment data, Cards details, Fingerprints etc. should get uploaded at Aggregation Server, through on-line/ mode

2. Designated branches should have secured access to Aggregation Servers to authenticate the enrolment & other data and generate available / required MIS reports

3. Other data related to Accounts like KYC details, financial & non-financial Transactions etc., should be accessed / updated online / from / to the IDCB’s CBS (Finacle) server. In other words, upon authorization of enrollment data, account should get opened immediately or in a batch in the IDCB’s CBS (Finacle) Server and thereafter all customer transactions should take place in CBS (Finacle) directly through online mode

4. Aggregation Server should have seamless interface with card Management System, BC Management Systems and the IDCB’s CBS (Finacle) system.

5.Necessary standard interface with the IDCB’s CBS (Finacle) System is to be done by the successful Bidder, in co-ordination with the existing the IDCB’s software / network vendor.

6. The entire activity with regard to card management , BC Management Facility Management, etc. will be handled by the Bidder and all necessary hardware and software associated for the systems would be provided by the Bidder

7. All hardware / software / equipment’s / database / application software etc., provided at Aggregation Server, DC, DRC, Field (for BCs for implementation of end-to-end FIS in the IDCB’s should exclusively be used for the IDCB only

8. Aggregation Server should be capable of following major functionalities –

7.4 BC Management System –

1. Registration of BCs & equipment’s provided to them

3. Prompt retrieval of required BCs information as per the IDCB’s requirements

7.5 MIS / Report Management System:

1. Solution should support generation of minimum following reports -1.1. Audit trails for all transactions including changes, failed transactions etc. with date/time/user stamp as & when required and accessible to the IDCB’s authorized official.

1.2. Detailed Report, Statistics on BCs performance on monthly basis to be provided by Bidder

1.3. Detailed report, statistics on enrollment / registration of the customers , inventory of equipment’s given to BCs etc., as & when recovered

1.7 summary of work flow activities of BCs are as under:

1. Data collection: Data collection of the beneficiaries, capturing their demographic, geographical and economic profile is to be done by business correspondents.

2. Account opening: Beneficiaries will be enrolled by business correspondents and no-frill accounts will be opened by BCs after ensuring compliance with KYC norms, in close co-ordination with designated branch. Files containing data of accounts with required information

to take care of future MIS will be uploaded to the IDCB’s CBS (Finacle) server through batch processing.

3.Transactions: Transactions in the accounts will be allowed to the beneficiaries through hand held devices and cash settlement up to permissible limits will undertake by the business correspondents. In addition to transactions through BCs, customers will be allowed to do transactions through the handheld devices/machines at the branches as well. Transactions will be done also on banks own/ other ATMs.

4.Capacity building: Business correspondents will be trained by the field level functionaries of the Bidders about the technical aspects. Simultaneously, they will be sensitized about KYC norms, form filling, group formation, and risk issues involved in credit linkage and documentation etc. by field and branch level functionaries of the IDCB’s. We will leverage existing infrastructure of our staff training colleges and Lead District offices to impart training to business correspondents/ business facilitators/ sub-agents. By linking commercial interest of the Bidder with actual implementation of the project, overall involvement of Bidder in engaging / training handholding of BCs/BFs/subagents at each stage are ensured

7.6.FIS should support parameterization of following checks for BCs Operations –1. Each Field BC to have a limit of collecting maximum Rs 10,000/- or as per the IDCB’s

decision from time to time. Whenever this limit is reached it’s necessary for field BC to deposit the money in branch, failing which deposits should be restricted but withdrawals should be allowed.

2. It is necessary for each Field BC to deposit the money in branch within BC retention time limit (default 48 hours), failing to which Field BC should not be allowed to do any transaction.

3. Whenever for Field BC total transaction reaches 100 within the stipulated BC retention time (default 48 hours), it is necessary for Field BC to deposit the money in branch failing which Field BC should not allowed to do any transaction.

4. Maximum limit for withdrawal in single day is Rs 5000. For deposits there is no limit.5. Facility to update the maximum withdrawal and deposit limit for Field BC as and when

required by the IDCB’s.6. End of Day (EOD) / Begin of Day (BOD) at Aggregation Server / Devices if any to be done

on daily basis.7. All BCs should strictly do EOD in Handheld devices on daily basis

10.TERMS & CONDITIONS OF CONTRACT (TCC)

10.1.DEFINITIONS :

In this Contract, the following terms shall be interpreted as indicated:

“Solution” means a package of end-to-end Financial Inclusion solution application required for the IDCB’s sponsored by IDCB, all interfaces to Core Banking software and other software, system software, database, third party utilities, middleware etc. All hardware as proposed by the Supplier, all seamlessly integrated to work together on the IDCB’s network to meet the Technical and functional requirements of the Bank indicated in Section 5 of this document.

“Supplier” is the successful Bidder who has been determined to qualify to perform the Contract satisfactorily, and whose Bid has been determined to be substantially responsive, and is the lowest evaluated Bid

“The Contract” means the agreement entered into between the IDCB’s and the Supplier, as recorded in the Contract form signed by the parties, including all attachments and appendices thereto and all documents incorporated by reference therein.

“The Contract Price” means the price payable to the Supplier under the Contract for the full and proper performance of its contractual obligations.

“The Product” means all of the software, all hardware, database, middleware, operating systems, equipment’s and/or material which the Supplier is required to supply to the IDCB’s under the Contract.

“The Services” means those services ancillary to the supply of the Products, such as transportation and insurance, installation, commissioning, customization, provision of technical assistance, Training, Maintenance and other such obligations of the Supplier covered under the Contract.

“TCC” means the Terms and Conditions of Contract contained in this section. “The Project” means supply, installation and commissioning of a comprehensive,

integrated Financial Inclusion Solution for the IDCB’s based on the terms & conditions laid down in RFP.

“L1” means the bidder whose price as per the commercial bid is the lowest. “Successful Bidder” is the Bidder whose technical bid has been accepted and whose price

as per the commercial bid is the lowest and notification of award has been given by the IDCB’s. Successful Bidders will also be those bidders who match their price with L1 price.

“BC” means Business Correspondent who is an authorized individual/Firm/NGOs/Company etc., appointed by the IDCB to carry out customer related activities at field level.

“Designated Branch” means any branch of the IDCB with whom the settlement account of Bidder/ vendor/BC/Sub-Agent is maintained.

“Service Area” means the geographical areas under the jurisdictions of the IDCB’s branches/ Regional Offices/Zonal Offices for providing banking services.

“Zones” means the IDCB’s Zonal Offices with the service areas of IDCB’s different branches under its control.

“Accommodating Transactions” means the transactions which are taken place just to increase the transaction count without really necessitating them. In case of a difference of opinion on the part of the Bidder in comprehending and/or interpreting any Clause/Provision of the Bid Document after submission of the Bid, the interpretation by the IDCB’s shall be binding and final on the Bidder.

10.2OTHER CONDITIONS :

a) FIS would be evaluated and Bank reserves the right to select FIS as per the IDCB’s requirements.

b) The Bidder should provide the required structure, systems-architecture and processes with requisite hardware and software resources for the proposed FIS.

c) Proposed solutions must be proven field tested and field upgradeable inter-operable technology.

d) Bidder should have own franchisee/support service centers with requisite technical support & technical personal to provide prompt and efficient service. This should in particular be available at the rural/semi-urban areas, villages, blocks, districts, cities, zones identified by IDCB’s where the Bidder is required to implement the proposed FIS.

e) Proposed FIS should be scalable to meet the IDCB’s FI road map and take care of customer & transaction growth during the contract period. Proposed FIS should be inter-operable across technologies and solutions.

f) Bidder to issue, personalize, deliver new cards as a replacement, in case of loss/damage/non-functioning etc. of existing cards only after the prior approval of the IDCB’s and proper card management.

g) Bidder should possess proper licenses, wherever applicable, for hardware / software/ third party utilities etc., provided to the IDCB’s for end-to-end FIS. Licenses including corporate licenses should also be for rolling out the proposed end-to-end FIS in any locations and number of identified branches/ zones/ villages/blocks/cities/districts/states with no upper limit either for locations or for equipment’s.

h) Contract Period for implementation/roll-out/support/maintenance of proposed end-to-end FIS would start from the date of completion of Pilot Project successfully by the Bidder and its acceptance by the IDCB’s.

i) The IDCB’s will review and evaluate the performance of the Bidder on all aspects of implementation of proposed end-to-end FIS during Pilot Project as well as Contract Period. In case the IDCB’s are not satisfied with the performance of the Bidder and/or with the services being provided by Bidder, IDCB’s reserves the right to impose penalty on the Bidder or cancel the contract and/or invoke Bid Security / Performance Guarantee.

j) The IDCB’s reserves its right to take over from Bidder the activities relating to Card Management, and/or hand over the same to any other specialized agencies at cost to the bidder, in case the IDCB’s are not satisfied with the services being provided by the bidder.

k) During the contract period Bidder to provide latest technology (Hardware/Software etc.) for FIS to the IDCB’s to keep pace with technological changes / upgrades, IDCB’s.

Bidder should continuously improvise its FIS (Hardware/Software/Services etc.) Taking full advantage of the technological & infrastructure developments. This includes online customer authentication with Aggregation Server at DC / DRC, customer authentication with the authentication facility provided by Unique Identity Authority of India (UIDAI), deploy of shared ATMs/Micro ATMs, inter-operability amongst the Banks, The sizing of all Hardware including Application/Test/Development Server, software, application software, other equipment’s at Aggregation Server & for BCs, under proposed end-to-end FIS should be suitable and scalable to achieve IDCB’s FI road map and take care of customer & transaction growth during the contract period.

l) All bidders have to submit complete technical, functional, system, architecture etc. details of their proposed end-to-end FIS, in Technical Bid.

m) Bidder also to provide user documentation, system administration manuals, training material, disaster recovery plan and user acceptance test reports etc. as and when requested by the IDCB’s.

n) Entire data in any format available in Aggregation Server, Hand-held devices & its peripherals, would be owned by the IDCB’s and cannot be used by bidder/Service Provider for any other purpose.

10.3 FOR THE SYSTEM & OTHER SOFTWARE, THE FOLLOWING WILL APPLY :

The Bidder shall provide complete and legal documentation of all subsystems, licensed operating systems, licensed system software, and licensed utility software and other licensed software. The Bidder shall also provide licensed software for all software products whether developed by it or acquired from others. There shall not be any default in this regard. In case the Bidder is providing software which is not his proprietary software then the Bidder should submit evidence in the form of agreement he has entered into with the software vendor which includes support from the software vendor for the proposed software for the full period required by THE IDUKKI DISTRICT CO-OPERATIVE BANK ’s.

10.4 MAINTENANCE SERVICE

a) During Contract Period, Supplier guarantees an Uptime of 99.5 % on quarterly basis for the entire/core solution proposed, with the maximum Mean Time between Failures (MTBF). Accordingly it is to be ensured that necessary spares are available for all critical components whether software or hardware.

b) The supplier shall repair or replace worn out or defective part including all plastic parts of the equipment’s to THE IDUKKI DISTRICT CO-OPERATIVE BANK ’s. For any delay in making available the replacement and repaired equipment’s for inspection, delivery of equipment’s or for commissioning of the systems or for acceptance tests / checks, THE IDUKKI DISTRICT CO-OPERATIVE BANK s can impose penalty.

10.5 TRAINING

The Supplier is required to train the designated THE IDUKKI DISTRICT CO-OPERATIVE BANK’s technical personnel, BC and end-user personnel to enable them to effectively operate and perform administration of the total system. User Manuals, System Procedure Manual to be provided.

10.6 PAYMENT

a) Payment shall be made in Indian Rupees as per clause 12 & 13.Any component or service has not been delivered or if delivered is not operational, will be deemed/treated as non-delivery thereby excluding the IDCB’s from all payment obligations under the terms of this contract. Partial delivery of products is not acceptable and payment would be released as per terms only after full delivery.

10.7 PRICES

a) Prices payable to the Supplier as stated in the Contract shall be final and not subject to adjustment during performance of the Contract. If any changes in the Tax structure by the government, it will be applicable/payable for both parties.

b) The Bidder will pass on to the IDCB’s, the benefit of discounts if any announced in respect of the cost of the items for which orders have been placed during that period.

10.8 CONTRACT AMENDMENTS

No variation in or modification of the terms of the Contract shall be made, except by written amendment, signed by the parties.

10.9 ASSIGNMENT

The Supplier shall not assign, in whole or in part, its obligations to perform under the Contract, except with the IDCB’s prior written consent.

10.10 LIQUIDATED DAMAGES

If the Supplier fails to deliver any or all of the Products or perform the Services within the time period(s) specified in the Contract, IDCB’s may, without prejudice to its other remedies under the Contract, and unless otherwise extension of time is agreed upon, deduct from the Contract Price, as liquidated damages, a sum equivalent to 0.5 percent per week or part thereof of contract price subject to maximum deduction of 5% of the delivered price of the delayed Products location wise or unperformed services for each week or part thereof of delay, until actual delivery or performance. Once the maximum deduction is reached, IDCB’s may consider termination of the Contract.

10.11 FORCE MAJEURE

Any failure or delay by bidder or the IDCB in the performance of its obligations, to the extent due to any failure or delay caused by fire, flood, earthquake or similar elements of nature, or acts of God, war, terrorism, riots, civil disorders, rebellions or revolutions, acts of governmental authorities or other events beyond the reasonable control of non-performing party, is not a default or a ground for termination. The affected party shall notify the other party within reasonable time period of the occurrence of a Force Majeure Event

10.12 TERMINATION FOR CONVENIENCE

The IDCB, by written 90 days notice sent to the Supplier, may terminate the Contract, in whole or in part, at any time for its convenience if the Bidder/Service provider is not performing as per the Contract. The notice of termination shall specify that termination is for the IDCB convenience, the extent to which performance of the Bidder under the Contract is terminated, and the date upon which such termination becomes effective.

10.13 RESOLUTION OF DISPUTES

If a dispute, controversy or claim arises out of or relates to the contract, or breach, termination or invalidity thereof, and if such dispute, controversy or claim cannot be settled and resolved by the Parties through discussion and negotiation, then the Parties shall refer such dispute to court of law.

10.14 TAXES & DUTIES

a) The Bidder will be entirely responsible for all applicable taxes inclusive of sales/service/VAT, duties, levies, cess, charges, license fees, road permits etc., in connection with delivery of products at site including incidental services and commissioning.

b) Income / Corporate Taxes in India: The Bidder shall be liable to pay all corporate taxes and income tax that shall be levied according to the laws and regulations applicable from time to time in India and the price bid by the Bidder shall include all such taxes in the contract price.

c) Tax deduction at Source: Wherever the laws and regulations require deduction of such taxes at the source of payment, the IDCB shall effect such deductions from the payment due to the Bidder. The remittance of amounts so deducted and issuance of certificate for such deductions shall be made by the IDCB as per the laws and regulations in force. Nothing in the Contract shall relieve the Bidder from his responsibility to pay any tax that may be levied in India on income and profits made by the Bidder in respect of this contract.

d) The Bidder’s staff, personnel and labor will be liable to pay personal income taxes in India in respect of such of their salaries and wages as are chargeable under the laws and regulations for the time being in force, and the Bidder shall perform such duties in regard to such deductions thereof as may be imposed on him by such laws and regulations.

10.15 PATENT RIGHTS/ INTELLECTUAL PROPERTY RIGHTS

In the event of any claim asserted by a third party of infringement of trademark, trade names, copyright, patent, intellectual property rights or industrial design rights arising from the use of the Products or any part thereof in India, the Bidder shall act expeditiously to extinguish such claim. If the Bidder fails to comply and the IDCB is required to pay compensation to a third party resulting from such infringement, the Bidder shall be responsible for the compensation including all expenses, court costs and lawyer fees. The IDCB will give notice to the Bidder of such claim, if it is made, without delay. The Bidder shall indemnify and keep indemnified the IDCB against any loss or damage that the IDCB may sustain on account of violation of patent, trademarks, by the Bidder. The Bidder shall always remain liable to the IDCB for any losses suffered by the IDCB due to any technical error or negligence or fault on the part of the Bidder, and the Bidder also indemnifies the IDCB for the same. The total liability of the selected Bidder under this clause and contract shall not exceed the total contract value.

10.16 REPEAT ORDERS

a) THE IDCB reserves the right to place repeat order/s on the bidder under the same terms and conditions during the contract period.

b) The bidder should note that as equipment’s / hardware rates normally come down, hence the rates shall be subject to downward revision based on market movement of equipment rates.

c) The IDCB reserves the right to re-negotiate the price with the bidder for downward revision of the prices.

10.17 ADHERENCE TO STANDARDS

The Bidder should adhere to laws of land and rules, regulations and guidelines prescribed by various regulatory, statutory and Government authorities.

10.18 RIGHT TO CONDUCT AUDIT

The IDCB reserves the right to conduct an audit / ongoing audit of the services provided by the Bidder.

10.19 NON – SOLICITATION

The Bidder, during the term of the contract and for a period of five years thereafter shall not without the express written consent of the IDCB’s, directly or indirectly:a) Recruit, hire, appoint or engage or attempt to recruit, hire, appoint or engage or discuss employment with or otherwise utilize the services of any person who has been an employee or associate or engage in any capacity, by IDCB’s in rendering services under the contract; and /

or b) Induce any person who shall have been employee or associate of IDCB’s at any time to terminate his/her relationship with the IDCB’s.

10.20 NO EMPLOYER – EMPLOYEE RELATIONSHIP

Neither IDCB nor Bank or any of its holding/subsidiary/joint – venture/affiliate/group/client companies or any of their employees/officers/staff/personnel/representatives/agents shall, under any circumstances, be deemed to have any employer – employee relationship with the Bidder or any of its employees/ officers/ staff/ representatives/ personnel/ agents.

10.21 VICARIOUS LIABILITY

The Bidder shall be the principal employer of the employees, agents, contractors, sub-contractors etc., engaged by the Bidder and shall be vicariously liable for all the acts, deeds, matters or things, whether the same is within the scope of power or outside the scope of power, vested under the contract. No right of employment shall accrue or arise, by virtue of engagement of the employees, agents, contractors, subcontractors, by the Bidder, for any assignment under the contract. All remuneration, claims, wages dues etc., of such employees, agents, contractors, sub-contractors, of the Bidder shall be paid by the Bidder alone and the Bank/ IDCB’s shall not have any direct or indirect liability or obligation, to pay any charges, claims or wages of any the Bidder’s employees, agents, contractors, subcontractors etc., The Selected bidder shall comply all requirements as per the Contract Labor (Regulation and Abolition) Act, 1970 and Minimum Wages Act and other employee beneficial legislation. The Bidder shall agree to hold IDCB ’s, its successors, assigns and administrators fully indemnified and harmless against loss or liability, claims, actions or proceedings that may arise through the Bidder’s employees, agents, contractors, subcontractors etc.

10.22 SUBCONTRACTING

The Bidder shall not subcontract or permit anyone other than its personnel / consortium partner to perform any of the work, service or other performance required of the Bidder under the contract without the prior written consent of the IDCB.

10.23 AUTHORISED SIGNATORY

a) The selected Bidder shall indicate the authorized signatories who can discuss and correspond with IDCB’s, with regard to the obligations under the contract.

b) The selected Bidder shall submit at the time of signing the contract, a certified copy of the extract of the resolution of their Board, authenticated by Company Secretary, authorizing an official or officials of the company or a Power of Attorney copy to discuss, sign agreements / contracts with respective IDCB’s. The Bidder shall furnish proof of signature identification

10.24 RIGHT TO REJECT BIDS

The Bank reserves the absolute and unconditional right to reject the response to this RFP if it is not in accordance with its requirements and no correspondence will be entertained by the Bank in the matter. The bid is liable to be rejected if

a) It is not in conformity with the instructions mentioned in this RFP document.b) It is not accompanied by the requisite deposit.c) It is not properly/duly signed.d) It is received through Telex / Telegram/ Fax.e) It is received after expiry of the due date and timef) It is incomplete including non-furnishing the required documents.g) It is evasive or contains incorrect information.h) There is canvassing of any kind.i) It is submitted anywhere other than the place mentioned under Section-I

11 OTHER TERMS AND CONDITIONS (OTC)

a) Bid Security Amount: Rs. 25000/- (Rupees twenty five thousand only) b) Bid Validity Up to: Minimum period of 120 days from the date of opening of the Bid.c) Period within which Performance Security or Amendment there to is to be submitted by the

Successful Bidder upon notification of Award of Contract: 21 daysd) Period within which the Successful Bidder should Sign the contract after receipt of the

notification of award: 7 dayse) Period of Performance Security: 61 months from the Date of Execution of

Contract (1 month Pilot Project +5 years of contract). In case the period of Pilot Project and/or Contract get extended beyond stipulated period, the Bidder/vendor to give performance security for such extended period, immediately.

f) Performance Security (Bank Guarantee): 5% of Amount of Total Contract amount for FIS. Contract period: 5 years from the successful implementation of Pilot Project & its acceptance by IDCB’s.

g) User Acceptance tests: Refer: 11.2h) Bidder to ensure that faults/issues/defects etc. and failures intimated by THE IDUKKI

DISTRICT CO-OPERATIVE BANK ’s through any mode of communication like call/e-mail/fax etc. are to be set right as under –

i) At Aggregation Server (at DC & DRC):a) Bidder has to maintain minimum Mean Time To Restore (MTTR) .At Field Activities for BCs:a) Same day; if reported before or during the business hours of the branch/office b) Otherwise, it should be before the start of business of next working day

J)The vendor should provide training to THE IDUKKI DISTRICT CO-OPERATIVE BANK ’s personnel at each location on functional, operational and administration of FIS including handling of devicesk)The vendor should provide the following trainings:

i. User Trainingii. On-site Training to be provided with sufficient duration to the end-user’s satisfactioniii. System Administration & Maintenance Training (include training in system administration,

operation and management of FIS including handling of devices. Trouble shooting, interpretation of error message)

11.1CONTRACT PERIOD

5 years from the date of successful implementation of Pilot Project by the vendor & its acceptance by the IDCB’s.

11.2 ACCEPTANCE TESTS

The User acceptance test will be carried out as per mutually agreed Acceptance Test Plan (ATP) against the systems requirements. The system will be considered accepted (supplied, installed and operationalized) only after ATP is completed as per the agreed plan and is duly signed/certified by the IDCB’s and the bidder. Some of features required to be completed are enumerated below:

The FIS should correspond to what is stated in the purchase order without deviation except where mutually agreed upon

The equipment is fully installed, commissioned and operational. The main features specified in the TFS / mutually agreed for implementation should be

demonstrated. The final acceptance of the system will be based on successful processing under live

demonstration in each location.

11.3 UPTIME

The entire solution is required to be up and running for 99.5% on a quarterly basis barring scheduled and mutually agreed upon downtime for maintenance or training purposes. That is, the Services of the complete FIS should be available to IDCB’s through all the working days.

The percentage of uptime will be calculated based on the time taken to repairs & rectify the fault from the time the complaint is lodged till it gets resolved / rectified satisfactorily

5 Personalization & delivery of Card

11.5 PROJECT REPORTING

b) Periodical meetings will be held between the Bidder and IDCB ’s to review the progress and the Bidder will be required to attend all such meetings.

11.6 INDEMNITY

The Vendor shall indemnify the IDCB’s, and shall always keep indemnified and hold the Bank/ IDCB’s, its employees, personnel, officers, directors, (hereinafter collectively referred to as “Personnel”) harmless from and against any and all losses, liabilities, claims, actions, costs and expenses (including attorneys' fees) relating to, resulting directly or indirectly from or in any way arising out of any claim, suit or proceeding brought against the IDCB’s as a result of: a) The IDCB’s authorized / bona fide use of the Deliverables and /or the Services provided by

Vendor under this RFP; and/or b) An act or omission of the Vendor, employees, agents, sub-contractors in the performance of

the obligations of the Vendor under this RFP; and/orc) Claims made by employees or subcontractors or subcontractors’ employees, who are

deployed by the Vendor, against the IDCB’s; and/ord) breach of any of the term of this RFP or breach of any representation or false

representation or inaccurate statement or assurance or covenant or warranty of the Vendor under this RFP; and/or

e) any or all Deliverables or Services infringing any patent, trademarks, copyrights or such other Intellectual Property Rights; and/or

f) breach of confidentiality obligations of the Vendor contained in this RFP; and/org) Negligence or gross misconduct attributable to the Vendor or its employees or sub-

contractors.

h) The Vendor shall at its own cost and expenses defend or settle any claim against the IDCB’s s/Bank that the Deliverables and Services delivered or provided under this RFP infringe a patent, utility model, industrial design, copyright, trade secret, mask work or trade mark in the country where the Deliverables and Services are used, sold or received, provided the IDCB’s /Bank: Notifies the Vendor in writing; and Cooperates with the Vendor in the defense and settlement of the claims.

i) The Vendor shall compensate the Bank/ IDCB’s for such financial loss, direct and indirect, suffered by the Bank/ IDCB’s if the Vendor fails to fix bugs, provide the modifications/ enhancements / customization as required by the Bank/IDCB as per the terms and conditions of this RFP and to meet the service levels.

11.7 SCHEDULE OF IMPLEMENTATION

a) The period of contract will start from the date of signing off of the Acceptance Test of Pilot Project.

b) System maintenance and supportc) The Bidder should fix all the FIS problems and provide and implement upgrades

during the contract period free of cost.d) The Bidder should provide changes and upgrades with regard to changes in statutory

requirements at the earliest and free of cost during the contract period.e) The Bidder should provide and implement functionality change as required by the end

user during the contract period.f) The Bidder should be able to comply with the service Level requirements.

11.8 SERVICE LEVEL AGREEMENT

Successful bidder has to enter in to an agreement/contract within 7 days from date of award of contract with respective IDCB’s. Sponsored bank should not sign any agreement or contract with the successful bidder in this regard11.9

12 PAYMENT TERMS FOR OPEX MODEL

100% Payment will be made on monthly basis upon completion of a month as per the terms & conditions of RFP for new customer enrollments & new financial transactions taken place during the month after recovering the full amount of penalty if any, imposed on the Bidder/Vendor by the IDCB.

A comprehensive statement as per the IDCB’s requirements and the IDCB’s controlling authority wise showing the number of enrollments, financial / non-financial transactions taken place during the month etc., to be submitted to the IDCB’s controlling authorities / Designated Branches. Payments will be made by the IDCB’s controlling authorities / designated branches as identified by the IDCB’.

14 COMMERCIALS

14.1 BID PRICES

a. The prices indicated in the Price Schedule shall be entered in the following manner:-a.1. The total price quoted should be inclusive of applicable taxes, duties, levies, charges

etc. The total cost for each year should be split between the following categories Hardware Software Operations and Servicing

a.2. Please mention the different types of taxes and the rates taken for their calculation. Any benefit arising due to a change in tax rates over the five year period would have to be passed on to the IDCB’s

b. Price quoted in the Price Schedule below as per Annexure I (a) /I (b) shall be valid for a Contract Period (i.e. 5 years) from the date of issue of work order for roll-out after successful implementation of Pilot Project.

c. Prices quoted by the Bidder shall be fixed during the Bidder’s performance of the Contract and shall not be subject to variation on any account except changes in the Tax structure by the government.

14.2 BID CURRENCIES

Bids are to be quoted in Indian Rupees only.

14.3 BID SECURITY

a. The Bidder shall furnish a Bid security as mentioned in RFP.b. The Bid security is required to protect The IDCB’s against the risk of Bidder’s conduct,

which would warrant the security’s forfeiture.c. The Bid security shall be denominated in Indian Rupees and shall be in one of the following

forms:c.1. Bank guarantee issued by a Public Sector/Private Sector Bank in India, acceptable

to the Bank, valid for sixty (60) days beyond the validity of the Bid ORc.2. Banker’s Cheque / Demand Draft, issued by a Scheduled Commercial Bank in

India, drawn in favor of Idukki District Co Operative Bank payable at Idukki and valid for a period of six months.

d. Any Bid not secured, as above, will be rejected by the Bank, as non-responsive.e. Unsuccessful Bidder’s Bid security will be discharged or returned as promptly as possible

but not later than sixty (60) days after the expiration of the period of Bid validity.f. The successful Bidder’s Bid security will be discharged upon the Bidder signing the

Contract and furnishing the Performance Security as mentioned in the RFPg. The Bid security may be forfeited:

g.1. If a Bidder withdraws its Bid during the period of Bid validity for any reason whatsoever; OR

g.2. If a Bidder makes any statement or encloses any form which turns out to be false/incorrect at any time prior to signing of Contract; OR

g.3. In the case of a successful Bidder, if the Bidder fails :o to sign the Contract; OR

To furnish Performance Security as mentioned in the RFP or Failed to perform in implementation of FIS as per the terms & conditions of the RFP.

14.4 PERIOD OF VALIDITY OF BIDS

a. Bids shall remain valid for a period mentioned in Clause 6.2, from the date of opening of the Bid.

b. In exceptional circumstances, the Bank may seek the Bidder’s consent to an extension of the period of validity. The request and the responses thereto shall be made in writing. The Bid security provided shall also be suitably extended. A Bidder may refuse the request without forfeiting its Bid security.

14.5 SEALING & MARKING OF BIDS

a. The Bidder’s shall seal the envelopes of “Technical Bid” and “Commercial Bid” separately and the two envelopes (Technical & Commercial Bid) shall be enclosed and sealed in an outer envelope. The bidder has to submit two copies of duly signed commercial bid in single sealed envelope. The Bidder should additionally submit soft copies of the Technical Bid documents & Specifications in the form of CD separately.

b. The inner and outer envelopes shall:b.1. be addressed to the Bank at the address given; and b.2. bear the Project Name

For FIS: " Idukki District Co Operative Bank – RFP- The Idukki District co-operative Bank’s -Technical Bid” and Card Based FIS:“ Idukki District Co Operative Bank - RFP- The Idukki District co-operative Bank’s- Commercial Bid ” in separate envelopes.

b.3. All envelopes should indicate on the cover the name and address, contact person name, telephone, mobile, e-mail of the Bidder.

c. If the outer envelope is not sealed and marked, the Bank will assume no responsibility for the Bid’s misplacement or premature opening.

14.6 DEADLINE FOR SUBMISSION OF BIDS

a. Bids should be received by the Bank at the address or at the mail id specified, no later than the date & time specified in the Invitation to Bid.

b. The Bank may, at its discretion, extend this deadline for the submission of Bids by amending the Bid Documents, in which case, all rights and obligations of the Bank and Bidders previously subject to the deadline will thereafter be subject to the deadline as extended.

14.7 LATE BIDS

Any Bid received after the deadline for submission of Bids prescribed, will be rejected and returned unopened to the Bidder

14.8 MODIFICATION & WITHDRAWAL OF BIDS

a. The Bidder may modify or withdraw its Bid after the Bid’s submission, provided that written notice of the modification, including substitution or withdrawal of the Bids, is received by the Bank, prior to the deadline prescribed for submission of Bids.

b. The Bidder’s modification or withdrawal notice shall be prepared, sealed, marked and dispatched. A withdrawal notice may also be sent by Fax, but followed by a signed confirmation copy, postmarked, not later than the deadline for submission of Bids.

c. No Bid may be modified after the deadline for submission of Bids.d. No Bid may be withdrawn in the interval between the deadline for submission of Bids and

the expiration of the period of Bid validity specified by the Bidder on the Bid Form. Withdrawal of a Bid during this interval may result in the Bidder’s forfeiture of its Bid security.

OPENING AND EVALUATION OF BIDS

14.9 OPENING OF TECHNICAL BIDS BY THE BANK

a. Bids for Card based FIS will be opened & evaluated.b. The Bidder’s names, Bid modifications or withdrawals and the presence or absence of

requisite Bid Security and such other details as the Bank, at its discretion, may consider appropriate, will be announced at the time of technical Bid opening. No bid shall be rejected at the bid opening, except for late bids, which shall be returned unopened to the Bidder.

c. Bids (and modifications sent) that are not opened at Bid Opening shall not be considered further for evaluation, irrespective of the circumstances. Withdrawn bids will be returned unopened to the Bidders.

14.10 PRELIMINARY EXAMINATION

a. The Bank will examine the Bids to determine whether they are complete, required formats have been furnished, the documents have been properly signed, and the Bids are generally in order.

b. The Bank may, at its discretion, waive any minor infirmity, non-conformity, or irregularity in a Bid, which does not constitute a material deviation.

c. The Bank will first examine whether the Bid and the Bidder is eligible .d. Prior to technical evaluation, the Bank will determine the responsiveness of each Bid to the

Bidding Document. For purposes of these Clauses, a responsive Bid is one, which conforms to all the terms and conditions of the Bidding Document without material deviations.

Deviations from, or objections or reservations to critical provisions, such as those concerning Bid Security, Applicable Law, Qualification Criteria, Insurance, Warranty, AMC and Force Majeure will be deemed to be a material deviation.

e. The Bank’s determination of a Bid’s responsiveness will be based on the contents of the Bid itself, without recourse to extrinsic evidence.

f. If a Bid is not responsive, it will be rejected by the Bank and may not subsequently be made responsive by the Bidder by correction of the non-conformity.

g. Normalization of bids: The Bank will go through a process of technical evaluation and commercial evaluation and normalization of the bids to the extent possible and feasible to ensure that vendors are more or less on the same technical ground. After the normalization process, if the Bank feels that any of the bids needs to be normalized and that such normalization has a bearing on the price bids; the Bank may at its discretion ask all the technically short-listed vendors to resubmit the technical and commercial bids once again for scrutiny. The Bank can repeat this normalization process at every stage of technical submission or till the Bank is satisfied. The Vendors agree that they have no reservation or objection to the normalization process and all the technically short listed vendors will, by responding to this RFP, agree to participate in the normalization process and extend their co-operation to the Bank during this process. The vendors, by submitting the response to this RFP, agree to the process and conditions of the normalization process.

14.11 CONTACT THE BANK

a. No Bidder shall contact the Bank on any matter relating to its Bid, from the time of opening of Price Bid to the time the Contract is awarded.

b. Any effort by a Bidder to influence the Bank in its decisions on Bid evaluation, Bid comparison or contract award may result in the rejection of the Bidder’s Bid

14.12 BANK’s RIGHT TO ACCEPT ANY BID & REJECT ANY/ALL BIDS

a. The Bank reserves the right to accept or reject any Bid in part or in full, and to cancel the Bidding process and reject all Bids at any time prior to contract award, without thereby incurring any liability to the affected or Bidder or Bidders or any obligation to inform the affected Bidder or Bidders of the grounds for the Bank’s action.

b. After selection of the Bidder Bank will follow the internal procedure for necessary approvals and thereafter proceed with notification of award to the selected Bidder as the case may be.

WHEREAS, we, ,having Registered Office at ____ , hereinafter referred to as the COMPANY, are agreeable to offering the Financial Inclusion Solution and services to THE IDUKKI DISTRICT CO-OPERATIVE BANK sponsored by Idukki District Co Operative Bank, having Idukki District Co Operative Bank, Head Office, Idukki Colony P O, Vanchikavala, Idukki -85602 , hereinafter referred to as the BANK and,

WHEREAS, the COMPANY understands that the information regarding the IDUKKI DISTRICT CO-OPERATIVE BANK ’s Financial Inclusion Solution shared by the BANK in their Request for Proposal is confidential and/or proprietary to the BANK, and

WHEREAS, the COMPANY understands that in the course of submission of the offer for the said Financial Inclusion Solution and Services and/or in the aftermath thereof, it may be necessary that the COMPANY may perform certain jobs/duties on the Bank’s properties and/or have access to certain plans, documents, approvals or information of the IDUKKI DISTRICT CO-OPERATIVE BANK.

NOW THEREFORE, in consideration of the foregoing, the COMPANY agrees to all of the following conditions, in order to induce the BANK to grant the COMPANY specific access to the IDUKKI DISTRICT CO-OPERATIVE BANK ’s/BANK’s property/information.

The COMPANY will not publish or disclose to others, nor, use in any services that the COMPANY performs for others, any confidential or proprietary information belonging to the BANK/THE IDUKKI DISTRICT CO-OPERATIVE BANK ’s, unless the COMPANY has first obtained the BANK’s/THE IDUKKI DISTRICT CO-OPERATIVE BANK ’s written authorization to do so;

The COMPANY agrees that notes, specifications, designs, memoranda and other data shared by the BANK or, prepared or produced by the COMPANY for the purpose of submitting the offer to the BANK for the said Financial Inclusion Solution and Services, will not be disclosed to during or subsequent to submission of the offer to the BANK, to anyone outside the BANK/THE IDUKKI DISTRICT CO-OPERATIVE BANK ’s.

The COMPANY shall not, without the BANK’s/THE IDUKKI DISTRICT CO-OPERATIVE BANK’s written consent, disclose the contents of this Request for Proposal (Bid) or any provision thereof, or any specification, plan, pattern, sample or information (to be) furnished by or on behalf of the BANK in connection therewith, to any person(s) other than those employed/engaged by the COMPANY for the purpose of submitting the offer to the BANK and/or for the performance of the Contract in the aftermath. Disclosure to any employed/engaged person(s) shall be made in confidence and shall extend only so far as necessary for the purposes of such performance.

The COMPANY undertakes to, indemnify and hold harmless Bank/THE IDUKKI DISTRICT CO-OPERATIVE BANK s, its affiliates, subsidiaries, successors, assigns, officers, directors and employees, at all times, from and against any and all claims, legal proceedings, demands, damages, any liability whether civil, criminal, or of any nature whatsoever, arising out of or pertaining to or resulting from any breach by the COMPANY or its authorized person, of any provisions of this Agreement, but not limited to any claim from third party pursuant to any act or omission of the COMPANY in the course of discharge of its obligations under this Agreement.

The COMPANY acknowledges that if it fails to comply with any of its obligations hereunder, the BANK/THE IDUKKI DISTRICT CO-OPERATIVE BANK s may suffer immediate, irreparable harm for which monetary damages may not be adequate. The COMPANY agrees that, in addition to all other remedies provided at law or in equity, the BANK/THE IDUKKI DISTRICT CO-OPERATIVE BANK shall be entitled to injunctive relief hereunder.

This Agreement shall be construed according to the laws of India, without regard to conflict of law provisions and Courts of Mumbai shall have exclusive jurisdiction.

The Vendor represents and warrants that the Vendor has obtained all necessary approvals, permissions and consents and has full power and authority to issue this Bid Security and perform its obligations hereunder, and the Vendor has taken all corporate, legal and other actions necessary or advisable to authorize the execution, delivery and performance of this Bid Security. Fifty Lacs only) as Earnest money Deposit (EMD) along with their offer. The Beneficiary may accept Bank Guarantee in lieu of EMD for an equivalent amount issued by any Public Sector Bank, valid for 180 days from the date of issue.

c) XXXX hereinafter referred to as the said ‘Contractors’ have given their offer for consultancy for “end to end financial inclusion solution” to the Beneficiary and the said Contractors are required to deposit the said amount of earnest money (or security deposit) or to furnish bank guarantee.

d) At the request of the said XXXX the Bank has agreed to furnish guarantee for payment of the said amount of earnest money (or security deposit) in the manner hereinafter appearing :

NOW THIS DEED WITNESSETH that pursuant to the said Proposal and in consideration of the premises the Bank doth hereby guarantee to and covenant with the Beneficiary that the Bank, do hereby expressly, irrevocably and unconditionally undertake, notwithstanding any objection raised by the said Contractor/s, to pay without demur the beneficiary up to the said amount of ……………………………………payable

AND IT IS AGREED and declared by the bank that the liability of the Bank to pay the said amount whenever called upon by the Beneficiary shall be irrevocable and absolute and the Bank will not be entitled to dispute or inquire into whether the Beneficiary has become entitled to forfeit the said amount as earnest money (or as security deposit) under the terms of the said contract or not and entitled to claim the same or not or whether the said contractors have

committed any breach of the said contract or not or whether the Beneficiary is entitled to recover any damages from the said contractors for breach of terms thereof or not.

Any such demand made by the Beneficiary shall be binding and conclusive as regards amount due and payable by the Contractor to the Beneficiary. And the Bank undertakes to pay unconditionally on written demand without demur and the claim of beneficiary shall be conclusive and binding as to the amount specified therein.

AND it is further agreed and declared by the Bank that any waiver of any breach of any term of the said contract or any act of forbearance on the part of the Beneficiary or any time given by the Beneficiary to the contractors for carrying out and completing the work under the said contract or any modifications made in the terms and conditions of the said contract or any other act or omission on the part of the Beneficiary which could have in law the effect of discharging a surety, will not discharge the Bank.

AND it is agreed and declared that this guarantee will remain in force until the time fixed in the said contract for completion of the said work or until the expiration of any extended time for such completion and shall be valid for a period of XXX months from the date hereof i.e. the guarantee shall be valid up to _______
