TERMS AND CONDITIONSAgreement. This agreement shall become effective on ______________ (date signed) and will remain in effect until all responsibilities set out are fulfilled. The parties acknowledge that they will use their best good faith efforts to negotiate and resolve subsequent issues that may arise from this agreement as a result of unforeseen occurrences and that may alter the conditions of this agreement.

Term. This agreement shall remain in effect until the event or the end of 2021, whichever is applicable as per the sponsored agreement.

Cancellation Policy. PRIMA will refund 50% of the total sponsor fee for cancellations received in writing 90 days before the first day of the event. 25% of the sponsorship fee will be refunded for cancellations received in writing 60 days before the 1st day of the event. Promotional items—once the promotional item is in production, there shall be no refunds. In the unlikely event of the cancellation of the conference, the liability of the Public Risk Management Association is limited to the return of fees.

1) By exhibiting at PRIMA’s 21 virtual conference you agree that you are able to secure working internet connection (Minimum 5mbps Bandwidth Upload / Download or higher) to participate. PRIMA is not liable for connectivity issues and refunds will not be granted.

2) Virtual Business Exchange Show Dates & Times

3) Booths must be staffed during dedicated exhibit hall hours (periods with no conflicting programs scheduled) for live attendee interaction.

4) Exhibitors are not permitted to assign or sublet a virtual booth or any part of the space allotted to them by this agreement. Nor shall they exhibit, or permit to be exhibited in their space, any merchandise or advertising materials which are not part of their company’s regular product sold under the company listed on the reverse side of this contract.

5) Show management reserves the right to decline to permit an exhibitor to conduct and maintain a virtual booth if: in the sole judgment of show management, said exhibitor or exhibit, or proposed, exhibit, shall in any respect be deemed unsuitable. This reservation relates to persons, conduct, articles of merchandising, printed matter, souvenirs, catalogs, and anything without limitation, which affects the character of the exhibit and, therefore, the show.

6) 50% non-refundable deposit of the exhibit fee must be paid upon completion of registration.

7) Exhibitors will forfeit their virtual presence if their balance is not paid in full by Friday, June 11, 2021.

8) Cancellation of virtual exhibit booth will be accepted up to 60 days prior to event start, minus 50% of exhibit fee. Cancellations 59 days or less before event start will not be eligible for refund.

9) Exhibitor and its representatives agree to abide by PRIMA’s 2021 Virtual Conference Code of Conduct. See PRIMA’s conference website for additional details.

10) Dress Code: The dress code at PRIMA 21 virtual conference is business casual.

All exhibitors and their representatives are required to adhere to this dress code during live video chat.

11) Non-Compete Events: Exhibitor agrees not to promote or hold any virtual events or gatherings of potential or actual attendees of the event in competition with and/or during the official PRIMA 21 Virtual Conference.

12) It is agreed that PRIMA nor its respective officers, representatives or employees are responsible for any injury, loss or damage that may occur to the exhibitor or exhibitor’s employees or property from any cause whatsoever, prior to, during, or subsequent to the period covered by the exhibit agreement.

13) In the event of postponement of the show for any cause, it is agreed that show management shall have a period of 90 days from the postponement date to reproduce the show. If the show is rescheduled and reproduced within this period, it is agreed that all aspects of this agreement remain intact and the exhibitor will reschedule the exhibit to participate in the rescheduled exposition.

14) It is specifically agreed that show management has the right to alter or amend the terms and conditions of this agreement from time to time as need arises provided show management give adequate notice (10 days) to the exhibitor.

15) It is agreed that all disputes from this agreement or participation in the show described by this agreement shall be adjudicated under Virginia law in the courts of Virginia.
