TDS AND MIXED USED PROPERTY
A new case, Richman v. Hartley , (filed
March 20,2014, Second District, Div. Six
S.O.S B245052) addressed the following
question: If a property is mixed use
containing not more than four residential
units and one or more commercial units
(the property in the case had one commer-
cial building and a residential duplex), must
the seller deliver a TDS? The answer is yes,
at least for the residential portion. In this
case the buyer and seller used a commercial
contract (not a C.A.R. form) and the seller
did not deliver a TDS. There was also a
lease and some lapse of time between the
buyer entering the lease and the purchase
contract. The buyer/tenant decided no to
proceed with the purchase and cancelled
based upon the sellers failure to provide a
TDS. The seller sued stating that the TDS
is required only when the property is
exclusively residential and, moreover , the
real essence of this purchase was
commercial not residential. The court dis-
agreed. If the prop-
erty contains at least
one but not more
than four units,
notwithstanding
what else the prop-
erty may contain,
the seller, unless
otherwise exempt, must provide a TDS for
the residential part of the property. The
requirement is not waivable by the buyer
and, if no TDS is delivered by the seller , the
buyer may cancel. The court did not
address the question of whether or not the
seller must provide a TDS on the
commercial portion as that was not the
question before the court.

Recent communications by outside MLS’s regarding
CRMLS’s decision to share data directly with MLS’s in
Southern California, instead of participating in the
CARETS system, has caused some confusion.
Contrary to what you may have heard, CRMLS con-
tinues to display data in the Matrix system from all of
our former partners in the CARETS system, with the
exception of the California Desert Association of
REALTORS (CDAR) and the Ventura County Re-
gional Data Share (VCRDS).
At this time, both CDAR & VCRDS have voluntarily
declined to participate in the data share, and as of Sep-
tember 2014, CDAR has given notice to CARETS that
they will no longer be sharing data with any other
MLS outside of their area.

Broker-Associate Options for Real

Licensed real estate brokers can conduct licensed activi-
ties for more than one entity, as defined in Section
10131 of the Business and Professions Code, which
states in part “A real estate broker … does or negotiates
to do one or more of the following acts for another or
others.” In short, a broker may operate under their indi-
vidual broker license and/or as the designated officer for
one or more licensed real estate corporations.
A broker also has the option of working for another bro-
ker or licensed corporation by entering into a Broker-
Salesman Agreement pursuant to Commissioner’s Regu-
lation 2726 as a broker-associate. When this option is
exercised, the broker-associate must report additional
addresses to CalBRE. For instance, if the broker-
associate will be conducting licensed activities at an
address of record of their employing broker or corpora-
tion, then the broker-associate must add this additional
address to their license as either a “branch” office ad-
dress; or a “main” office address if they currently do not
have a main office address on file with the Bureau. If the
employing broker or corporation has multiple branch
offices, the broker-associate is only required to add
to their license those branch locations where they are
going to conduct licensed activities on behalf of their
employer.
Additionally, if some of the broker-associate’s activi-
ties will be performed on behalf of their employer, at
the broker-associate’s main or branch office address of
record, then the employing broker or corporation must
add that address as a branch office to their license. See
Business and Professions Code Section 10163 for
branch offices.
Main office address changes can be made using the Bro-
ker Change Application (RE 204) form available on the
CalBRE website, or through eLicensing. Branch office
addresses can be added or deleted by using the Branch
Office Application (RE 203). The Broker Change Appli-
cation should be used to add a broker’s main office ad-
dress; while the Branch Office Application should be
used to add a branch office address to a broker or cor-
poration license.
Complying with broker-associate address reporting re-
quirements enables both consumers and the Bureau to
easily determine where brokers are performing licensed
activities. This information can be accessed by perform-
ing a public licensing search on the Bureau’s
website; click on “Verify a License” and also
by accessing the recently added search option:
“Real Estate Broker and Corporation Search
by Main Office or Branch Office Address.”
Note: There is no requirement for the employ-
ing broker to take possession of the broker-
associate’s license certificate as he or she
would for a salesperson license.
