NBA Annual Convention - IN REVIEW - Thank you to the more than 550 bankers, spouses and guests who helped celebrate the NBA’s 2019 NBA Annual Convention, May 1-3 at the Embassy Suites in La Vista. The convention provided outstanding learning and networking opportunities for bankers throughout Nebraska. Attendees heard from fellow bankers and a variety of speakers, who shared their own interpretation of how to “Put Our Best Foot Forward” for our communities and Nebraska banking. An overview of the three-day event and photos is continued on page 3. 129 th Anniversary NDBF Director Issues Ruling on MOCU Application The Nebraska Department of Banking and Finance (NDBF) Director Mark Quandahl issued his final ruling Friday, May 3, on the MembersOwn Credit Union (MOCU) application to expand its field of membership. The MOCU expansion application sought authority to expand its field of membership into 11 additional counties in southeast Nebraska. Of the 11 counties, Director Quandahl approved expansion into the counties of Seward, Saline, Jefferson, Saunders, Cass, Otoe, Johnson and Pawnee. The Director denied expansion into the three counties of Butler, Nemaha and Richardson. Because of the Director's decision to deny these three counties, the Order is conditioned upon MOCU board of directors amending its bylaws to remove the three counties originally proposed in the application. In the ruling, Director Quandahl, among other findings, found that the collective counties of Lancaster, Gage, Jefferson, Saline, Seward, Saunders, Cass, Otoe, Johnson and Pawnee were a well-defined local community based upon the facts. In the findings, Director Quandahl restated the testimony from individuals called on behalf of MOCU, which NCUA Guidance suggests is considerably less persuasive than evidence derived from independent third-party sources. NDBF Director Issues Ruling on MOCU Application The Nebraska Department of Banking and Finance (NDBF) Director Mark Quandahl issued his final ruling Friday, May 3, on the MembersOwn Credit Union (MOCU) application to expand its field of membership.

The MOCU expansion application sought authority to expand its field of membership into 11 additional counties in southeast Nebraska. Of the 11 counties, Director Quandahl approved expansion into the counties of Seward, Saline, Jefferson, Saunders, Cass, Otoe, Johnson and Pawnee. The Director denied expansion into the three counties of Butler, Nemaha and Richardson. Because of the Director's decision to deny these three counties, the Order is conditioned upon MOCU board of directors amending its bylaws to remove the three counties originally proposed in the application.

News Briefs from Washington Fed Flags Potential Vulnerabilities from High Business Debt, Leveraged Lending Credit standards for leveraged loans continued to deteriorate in recent months, with the share of newly issued large loans to highly leveraged corporations now exceeding peak levels, the Federal Reserve (Fed) said Monday in its second report on financial stability. The report—which is published twice a year—examines the resilience of the financial system and highlights potential vulnerabilities.

Despite the marked deterioration of credit standards related to leveraged lending, the performance of these loans has remained solid due in large part to strong economic conditions, the Fed noted. Default rates for leveraged loans fell during this reporting period, moving closer to historic lows.

The report noted that business debt is also nearing a 20-year high, and that—combined with the easing of lending standards and increased risk appetites—could present a potential vulnerability “that potentially increases the downside risk to broader economic activity.” However, the Fed noted that “on the whole, banks appear well positioned to deal with these exposures.” Looking ahead, the Fed continues to see potential risks from stressed markets overseas, slowing global growth and rising trade tensions. Trade Associations Support FDIC Deposit Recordkeeping Proposal The American Bankers Association (ABA) Monday joined the Consumer Bankers Association and the Bank Policy Institute in a letter to the Federal Deposit Insurance Corp. (FDIC) supporting a recent proposal to change Part 330 of its deposit insurance regulations. The proposed changes would update the requirements for verifying participants in joint deposit account.

Current rules rely on physical signature cards or electronic signatures to authenticate account holders. The proposal would additionally accept usage of the account as verification. “The flexibility to rely on deposit account record systems, which are critical to the fundamental business of the institution, would significantly improve the alignment between current customers service standards and the FDIC’s deposit insurance regulations,” the associations said.

In addition to offering support for the proposal, the groups urged the FDIC to consider a comprehensive review of its deposit insurance regulations to ensure they are keeping pace with advancements in technology and are properly aligned with banks’ current recordkeeping practices. Read the letter.

CFPB Proposes to Raise HMDA Reporting Thresholds The Consumer Financial Protection Bureau (CFPB) recently issued a proposal to provide relief for smaller institutions from the Home Mortgage Disclosure Act (HMDA) data collection and reporting requirements. The proposal would increase the coverage threshold for closed-end mortgage loans from 25 loans to either 50 or 100. For open-end lines of credit, the CFPB is proposing to extend for another two years the current temporary coverage threshold of 500 open-end lines of credit. After that, the threshold would be permanently set at 200.

In addition, the CFPB issued an advance notice of proposed rulemaking (ANPR) seeking feedback on the costs and benefits of the expanded HMDA data reporting requirements, as well as previously existing data points that were revised by the 2015 HMDA rule. Comments on the ANPR are due 60 days after publication in the Federal Register. View the proposal. View the ANPR.

NDA Issues Disaster Resource Guide The Nebraska Department of Agriculture (NDA) collected various disaster related trigger dates and contacts and has compiled an ag-specific resource guide. The Disaster Relief Information Sheet is available from the Department of Ag website and has also been linked among other resources to the NBA Bank On Nebraska Strong Disaster Relief webpage. Upcoming May deadlines may be significant to banks and bank customers.

VIP Reception & Dinner Outgoing NBA board of directors Debbie Newkirk, CFO, Security National Bank of Omaha, and immediate NBA Past Chairman Kris Holoch, President & CEO, Cornerstone Bank of York [1], were recognized for their service and work on behalf of the association during a VIP Reception & Dinner Wednesday night. Appreciation was also offered to all NBA Past Chairmen [2] for their many years of service and support to the association and to Nebraska banking.

NBA Leadership Transitions The Annual Convention marks the beginning of the new fiscal year for the NBA in addition to the turnover of leadership. Outgoing NBA Chairman Dave Dannehl, President & CEO, First State Bank of Loomis, passed the gavel to Generations Bank President & CEO Alan Emshoff [3] who will lead the association as 2019 NBA Chairman. The board of directors also approved the nomination of Nebraska Bank of Commerce President & CEO Chris Hove, [4] as NBA Chairman-Elect. Mainstreet Bank President & CEO Justin Douglas was also elected to join the NBA board of directors as an at-large representative.

General Session Banker Awards & Recognition Three bankers and one financial institution were recognized during the association’s Milestone Awards Luncheon Thursday. Joyce Becker [5] of First Tri-County Bank in Plymouth, and Susan Day [6] of Heritage Bank of Loup City each received the NBA’s 50-Year Banker Award; NBA and ABA Past Chairman C.G. “Kelly” Holthus [7] of Cornerstone Bank in York, was recognized for 65 years of service to his community and Nebraska banking; and Commercial Bank [8] of Nelson was recognized for 125 years of service to the Nelson community and state of Nebraska. Matt Beaudreau: “Bridging the Generational Divide” Generation Kinetic specialist Matt Beaudreau [9] captivated the audience of all ages with his inclusive assessment on “why” generational gaps exist and how to better connect with members of a different generation. “Millennials are currently the most important generation. They are the largest generation in the workforce and will be for the next 15 years,” he stated.

One of the issues older generations must face is the “delayed adulthood” from young workforce. “We need to better understand each others individual strengths to better serve our customers.” Beaudreau added that technology ripples up. To better engage with younger generations, find opportunities to instill the technology they are dependent upon.

Rob Nichols: “Regulatory and Legislative Challenges and Opportunities” American Bankers Association (ABA) President & CEO Rob Nichols [10] spoke to the NBA board of directors and NBA Annual Convention attendees, providing an overview on current legislation noting that he isn’t expecting many bills to end up on President Trump’s desk. He noted that to be successful, all legislation will most likely require bipartisan support. “There are 100 new members in the House of 435. This offers the banking industry the opportunity to connect, to create awareness, to offer education and advocate for the banking industry,” added Nichols. He reiterated that the key to making positive change is to educate Congress and to continue collaboration with regulatory agencies.

Additional ABA focus has been placed on cannabis banking changes, advocacy in opposition of CECL, driving industry conversation and efforts surrounding core providers and refining support for pro-banking and pro-business legislative candidates. Bank Ownership Succession Panel [11]: Outside of regulation, one of the more common industry issues facing Nebraska banks surrounds long-term bank planning, succession and ownership. NBA President & CEO Richard Baier moderated a panel which included bankers: Daniel Otten, CEO, Farmers State Bank in Albert Lea, Minnesota; Vern Ehlers, President, AmeriGroup Inc. in Hershey; Jeff Johnson, President & CEO, Columbus Bank & Trust in Columbus; and Kris Holoch, President & CEO, Cornerstone Bank of York. Baier described the trend of mergers and consolidations noting a peak in 1980 of 457 Nebraska-chartered commercial banks which has decreased to 181 as of 2019. Each banker gave an overview of what their bank’s approach has been to maintain ownership and work toward positive growth. A repetitive theme from the panel was the importance of having the right staff as they make the difference for bank longevity.

Sarah Thomas: “Don’t do it for recognition. Do it because you love it.” The first ever permanent female NFL official, Sarah Thomas [12] shared numerous pearls of wisdom with the captivated audience. “My parents taught me to hold myself accountable at an early age.” She talked about growing up with strong ambition and work ethic leading her to accomplish many “firsts” as an athlete and now as an official.

Thomas emphasized, “Don’t go through life trying to prove people wrong. That list of people will never end. Some people just want to see you fail.” She also noted that when you set out to achieve a goal, “Don’t do it for recognition. Do it because you love what you’re doing.”

Mike Burke: “Best Practices to Avoid the Scam” Shazam Robbery and Crisis Management Consultant Mike Burke [13] took his presentation and bankers to a new level by dissecting the sophisticated efforts of today’s tech savvy criminal.

Burke offered numerous examples on how quickly and easily credit card readers can be compromised. He also provided new trends in criminal activity and how criminals are sourcing equipment.

“Tell your customers to pull on the swiper, pull on the card reader, look for the security seal at gas pumps, and whenever possible, use trusted vendors.

Mary Kelly: “People Want M.A.T.H.” Economist Mary Kelly [14] provided an engaging overview of the U.S. economy with specific focus on today’s consumers. “Consumer confidence is good,” Kelly stated, but then added, “75% of Americans are living paycheck to paycheck. People want the “American Dream,” but home prices have skyrocketed. Consumers want M.A.T.H. which is Money to buy Alcohol, Travel and a level of Health services.

Chris Norton: “Your Words Can Change Lives” Former football player, now speaker, author, husband and father Chris Norton [15] shared his inspirtional story about persevering and defying the odds. Norton suffered a spinal cord injury while playing in a college football game leaving him paralyized from the neck down. Given a 3% chance to ever regain any sensation or movement again, Norton developed the “Power to Stand.”

Throughout his story, Norton shared many of the instances in which he had to force himself to change his perspective, “to focus on what’s going right, not what’s going wrong. Focusing on the positive can save your life,” he emphasized, as he detailed his emergency helicopter ride while gasping for air en route to the hospital.

Norton told the audience about one of the most critical and defining moments throughout his journey. Four days after his accident, a nurse from Wyoming, named “Georgia,” stood bedside and sternly told Chris, “You WILL beat this!” Her words mattered. From that day forward, Norton firmly embraced and believed the he WOULD beat this.

NBA BankPAC Silent Auction The NBA raised $13,688 for the NBA State BankPAC with 63 items being donated to the auction. The annual State BankPAC Silent Auction was a huge success offering a great start toward the 2019 BankPAC goal of $155,000.

NBA Convention: Financial Literacy Inclusion As the NBA continues to advocate for enhanced efforts surrounding financial literacy, your NBA team is working to create marketing content that will assist in promoting the importance of learning and teaching personal finance.

The Annual Convention agenda included three newly produced videos, featuring young students sharing what they know about banking and money, NBA bankers answering questions on banking and money, and In-School Bank participants detailing their operations and benefits of the program. All three videos are linked below and available to share from the NBA’s YouTube page.

Kids on Banking Bankers on Banking In-School Banks In-School Bank Panel: The Nebraska Council on Economic Education (NCEE) is currently working with 15 NBA member banks to provide a real world bank and savings experience to Nebraska students within their schools.

To better detail the positive involvement and outcomes of the In-School Bank Program, NCEE President and NBA Faculty Fellow, Jennifer Davidson, facilated a panel [16] including Greg Housel, FDIC Community Affairs Specialist; Richelle Johannes, VP Branch Operations, Two Rivers Bank; Mandy Mellot, VP Retail Operations, Dundee Bank; and Ryne Seaman, president & CEO, Cattle Bank & Trust.

Each of the panelists shared their perspective on their In-School Bank from the initial discussions with local schools, to the excitement that has been generated from kids acquiring improved savings habits. Her 28 plus years of banking and teaching experience began at Hibernia National Bank in New Orleans. She graduated from Louisiana State University with both her bachelor's and master's degrees. A review of some line items that have caused some problems with the newest version of the CTR. SAR Form Update New updated fields on the SAR include changes in crimes, a note to FinCEN and cybercrimes create special challenges for SARs. We will look at completing the best narrative and how to sell your SAR to law enforcement. Financial Crimes and Alerts From red flag to SAR, this session will look at the crime scene and how to keep up with new crimes and what is happening in the investigative world and how to implement an effective anti-money laundering response team. About the Program

The regulators are continuing on their burden reducing approach and announced more reductions in November 2018 to the FFIEC 051 forms. The regulators are proposing to increase the small bank eligibility size for filing on the FFIEC 051 form from $1 billion in assets size to $5 billion and to make more line items required only semi-annually. The most significant change to semi-annual reporting will be RCR Pt II lines 1-25, the detail reporting of both on and off-balance sheet risk weighting. Total risk weighted assets, however, will still be required to be reported. Banks with assets of more than $1 billion will be required to report the consumer deposit detail information on balances and service charges in December only; schedule RIC semi-annually; RCO M2 on a quarterly basis. In a second proposal the regulators are considering regulatory burden relief to qualifying community banking organizations by allowing an option to calculate a simple leverage ratio, rather than multiple measures of capital adequacy. In February 2019 the regulators issued proposed revisions to the 2019 Call Report to align the information in the call report with the new accounting credit loss accounting standard. The changes include updates to twelve schedules to address the broader scope of financial assets for which an allowance for credit losses must be established and maintained. Under the approved CECL rulemaking, a bank may elect to phase in the regulatory capital impact of adopting CECL over a three-year period. In June 2018 the regulators implemented further burden reducing changes for both FFIEC 051 and 041 filers. The changes include consolidation and/or removal of several more line items and reductions in the frequency of reporting for about a dozen line items. The 051 form was originally approved in 2017 and may be used by domestic banks with less than $1 billion in assets. The 051 short form has approximately 25 fewer pages and eliminated 40% of the 041-line items as well as reducing the frequency of data collection in some of the schedules. Additional changes to the June 2018 Call Report were included in the supplemental instructions. The regulators issued an update to the reporting of high volatility commercial real estate (HVCRE) exposures as well as reciprocal deposits. In September 2017, the agencies issued proposed simplifications to the risk-based capital rules. The proposal was approved in November 2017 and effective in 2018 and simplifies the threshold deduction treatment for mortgage servicing assets, deferred taxes arising from temporary differences that can’t be realized through carrybacks, and investments in the capital of unconsolidated financial institutions. The Call Report Preparation Workshop will help preparers and reviewers understand the preparation process and eliminate errors. The workshop will begin with an overview of proposed and approved revisions for 2019 & 2018 and other recent changes, followed by a review of several new accounting standard updates. The classification priority for coding loans on RC-C will also be covered. Loans are normally a bank’s largest asset category and the reporting rules for RCC are critical because they affect all loan schedules in the call report. Loans are reported based on borrower, purpose, or collateral, but there are specific rules that dictate when to use each of the classification factors. The workshop will end with a discussion of commonly cited errors made in call report preparation. Schedules included in the presentation are the FFIEC 041 & 051 forms.

Ann Leavelle Thomas has almost 30 years of experience in bank accounting and control. At Thomas Consulting, she performs regulatory compliance audits and training, and internal control audits for several banks. Additionally, Ann prepares and reviews Call Reports for numerous banks. She has taught numerous Call Report programs for state banking associations. Ann’s experience in working with a broad range of banks is of unique value in understanding Call Report questions and in communicating with bankers in their own language.

Who Should Attend & What to Bring Call Report preparation requires knowledge of bank accounting, bank regulations, and virtually all bank operations. Banks should train a preparer and reviewer. Anyone responsible for preparing, auditing, or signing the call report will find the program valuable. The workshop is designed for more experienced preparers and reviewers interested in newer reporting requirements. Annual training is highly recommended by bank regulators.
