Proposed By-Law changes were submitted, read and discussed at the October General Membership Meetings. The third reading will occur at the November 8, 2021 General Membership Meeting with no discussion and will be voted on at that time. Amendments were proposed by Francis McGarry and John Tigue.

Section 3.2.3 The Executive Board shall present a report to the Club at each regular Club meeting.

A) At every (May) June General Membership meeting the Executive Board shall present an Annual Report to the Club. It shall include, but not be limited: the most recent IRS Form 990 filing, any and all tax information, and the annual financial reports of the Club, committees, and events.

B) The Executive Board shall present to the Club the annual findings of the Audit Committee (Section 3.2.1) when completed.

The article about the By-Law changes the proposed changes are as of the first reading of the proposed changes at the October meeting.

AMENDMENTS TO THE BY-LAWS OF THE IRISH AMERICAN CLUB EAST SIDE, INC., PURSUANT TO ARTICLE VII, AMENDMENT, BY THE ADDITION OF THE FOLLOWING PROPOSED LANGUAGE TO ARTICLE I– MEMBERSHIP , SECTION 1.3; TO ARTICLE II – OFFICERS, POWERS, ELECTION AND TERM OF OFFICE, SECTION 2.3- ELECTIONS AND ELIGIBILITY FOR OFFICE; AND ARTICLE II- SECTION 2.4 - TERMS OF OFFICE, REMOVAL AND VACANCY..EXISTING LANGUAGE - SECTION 1. 3:

SECTION 1. 3Section 1.3.1 Any member who has paid his or her dues for the current year, has attended at least three regular monthly meetings in the previous twelve months, shall be eligible to vote on amendments to the Bylaws and election of officers. Section 1.3.2 The previous twelve- month period does not include the month in which the vote is to take place. Section 1.3.3 Rules for the recording of attendance at General Membership meetings shall be adopted by the Executive Board. (November 8, 1993) (December 8, 1997)

PROPOSED LANGUAGE TO BE ADDED- SECTION 1. 3:

Section 1.3.4 Notwithstanding the provisions of Sections 1.3.1 through Sections 1.3.3 of these By-Laws, in the event of a pandemic or other event beyond the control of the Executive Board and the membership of the Irish American Club East Side, Inc. as outlined in the provisions of Sections 1.3.1 and 1.3.2, the Executive Board is authorized to temporarily change the provisions of Sections 1.3.1 and 1.3.2 to effect the annual election of officers and/or voting on amendments to these By-Laws for the then current fiscal year, such temporary changes subject to the provisions of Section 3.2.2 of these By-Laws. The language of this Section 1.3.4 shall be effective retroactively to March 15, 2020.

EXISTING LANGUAGE - SECTION 2.3: SECTION 2. 3 ELECTIONS AND ELIGIBILITY FOR OFFICE (February 10, 2003)Section 2.3.1 An Election Committee Chairman shall be appointed by the President and he or she shall conduct the nominations, issue absentee ballots and, in general, run all aspects of the election of officers. The Election Chairman shall appoint a committee to work with him or her. This committee will, among other duties, verify eligibility on election night and take the actual count of votes. (December 8, 1997)Section 2.3.2 Nominations from the floor at the membership meeting in May shall be taken for each office, to be filled in the following order: President, Vice President, Secretary, Treasurer, Membership Secretary, and the four At-Large positions on the Executive Board.Section 2.3.3 Voting by secret ballot shall be held at the following membership meeting in June. The candidates for Club office who receive the highest number of votes cast for a specific office will be certified the winner of that office. (Exception: All candidates seeking Club office for an At- Large position shall be placed on the ballot in a grouping with instructions to "vote for not more than ' the number of at -large positions to be filled'." The candidates receiving the highest number of votes in order of ‘highest, second highest, third highest, etc.’ shall be certified the winners of those offices.) In case of a tie vote for any office, the chairman of the election committee shall prepare ballots to have a runoff election at the same meeting.Section 2.3.4 Absentee ballots will be permitted for the election of officers. Procedures for the submission of absentee ballots, shall be established by the Election Chairman.

Section 2.3.5 Any member in good standing who has paid his or her dues for the current year and has attended a minimum of five (5) meetings in the previous twelve (12) months shall be eligible for nomination to Club office. The previous twelve-month period does not include the month in which the nomination is to take place. (December 8, 1997)

Section 2.3.6 A member may be placed on the ballot as a write-in candidate, if they have not been nominated for office. In order for that candidate to be certified the winner of the office for which he or she was written in, he or she must have paid his or her dues for the current year and attended a minimum of five (5) meetings in the previous twelve months. The previous twelve months period will be the same twelve months as if he or she had been nominated at the May Membership meeting. (December 8,1997)

EXISTING LANGUAGE - SECTION 2.4:

SECTION 2.4 TERMS OF OFFICE, REMOVAL AND VACANCY

Section 2.4.1 Terms of office:

All officers shall assume their duties and powers immediately following their election. A term of office shall be one (1) year. No member elected to an office, including the at-large position, shall be permitted to hold the same elected office more than two consecutive terms (February 10, 2003)

Section 2.4.2 Removal: Club officers or members of the Executive Board may be removed by a Motion for Removal from Office, which may be presented at any regular meeting, either by a majority vote of the Executive Board, or by petition signed by no less than 10% of the total membership of the Club. The vote on the Motion for Removal, shall be held at the regular Club meeting following the presentation of the Motion. To sustain the Motion, two-thirds (2/3) of those members present and eligible to vote, shall vote in the affirmative.

Section 2.4.3 Vacancy (Amended 04-08-2019): A majority vote of The Executive Board shall be required to certify a vacancy. The vacancy shall then be filled for the balance of the current term by a majority of The Executive Board.

Section 2.4.3a Upon certification that a vacancy has been created on the Executive Board, the President will notify the membership at the very next monthly Membership Meeting. This will not prevent the Executive Board from appointing a member in good standing to temporary fill a vacancy if needed.

Section 2.4.3b Any member in good standing will have until the very next monthly Membership Meeting AFTER the vacancy has been declared to make the President aware of their interest in the position.

Section 2.4.3c The President will make a list of candidates who desire to fill the vacancy and present this list to the Executive Board who will then act in accordance Section 2.4.3. If only one candidate has made notification of interest of the declared vacancy, then this person will be appointed immediately to the vacancy.

The language of this Section 2.4.4 shall be effective retroactively to March 15, 2020.

This month’s selections are evenly divided between two series mysteries and two books targeting women readers. If you like Sheila Connolly’s County Cork cozy mysteries, you may also enjoy her Victorian Village series. The author was renovating a run-down cottage in County Cork shortly before she died in 2020, so, perhaps that venture was the inspiration for her third and final entry of the series, The Secret Staircase. Kate Hamilton has hired a handyman to remodel the Victorian house she recently bought in Asheboro, Maryland. They find a staircase behind a wall that is hiding the body of a man murdered around 1880. Who was he and what is he doing in the wall? The first two books in the series are Murder at the Mansion and Killer in the Carriage House. A Galway Epiphany by Ken Bruen is the sixteenth in the author’s hardboiled Jack Taylor mystery series. Jack has retired to the Galway countryside seeking peace after the death of his daughter, but he is hit by a truck and ends up in a coma for a few weeks, suffering no other injuries. There are lots of subplots to wade through, but two missing refugee children show up and save his life after the accident before disappearing again. Why are there nuns looking for these children and what do they want with them? Jack must find the kids before it’s too late. If you are a fan of Cecelia Ahern’s books (P.S. I Love You, One Hundred Names, Postscript), you may want to search for her latest book, Freckles. As of now, I can only find it on Amazon through a UK publisher. Allegra Bird, nicknamed Freckles, is a parking warden in Dublin. Someone gives her a clue to figure out who she really is: You are the average of the five people you spend the most time with. She sets out on a quest to discover who these influences in her life are and finds friendship and connections along the way. Book Two in the Providence Falls series by Jude Devereux is An Impossible Dream. Book One was a time travel book, Chance of a Lifetime, where thief Liam O’Connor fell in love with Cora McLeod back in 1800s Ireland, but destiny intended her for a lawyer named Finley Walsh. Jump to present day: Cora and Liam are fellow police officers in North Carolina and the angels are still watching him. Although he still loves her, he must push her into Finn’s arms so that Liam is not damned for all eternity. Perhaps, love will prevail in Book Three. The Irish American Club is available for rentals of all sizes. We can accommodate showers, graduations, banquets, receptions of all kinds, funerals and of course, weddings. We have two facilities available, the upper hall for larger parties and the Phil Walsh Cabaret room for smaller parties. Koumbaros is the exclusive caterer for the upper hall. If you wish to rent the lower hall you may bring in your own homemade food but you also have the option of using our club caterer.
