PROJECT METHODOLOGYKickoff meetingA kickoff meeting will be organized between Blue Ocean and BPS K-9 Protective Services Inc.to discuss the project in further detail, validate any assumptions, introduce the Blue OceanProject Team, define roles and responsibilities, and establish a timeline.

Discovery MeetingA discovery meeting will be facilitated, concentrating on two key areas:

DESIGN

A clean, modern, and custom design will be created based on BPS K-9 Protective ServicesInc.'s existing brand, giving the website a professional feel, focusing on user experience. Anyexisting photos, videos, articles, as well as stock photography (as needed) will all be utilized inthe design phase to create the look and feel BPS K-9 Protective Services Inc. desires.

INFORMATION ARCHITECTURE

A site structure (sitemap) will be created to ensure the website is intuitive, easy to navigate,employs best practice to organize website content, as well as meet your goals. Discussionswould include key lines of business, target audiences, visitor top tasks, and determiningwebsite conversion points.

The kickoff and discovery meetings would be combined.

Website DesignWith the knowledge gained in Discovery meeting, our designer will create the look and feel ofthe new BPS K-9 Protective Services Inc. website to serve the information architecture anduser needs while achieving creative goals. The website's design will consider any offlinemarketing programs, existing creative, BPS K-9 Protective Services Inc.'s history/culture/brand, and most importantly, the goals and requirements of the people that will visit and usethe site.

Template Coding/ProgrammingOnce the final designs for the website are approved, they can be coded into XHTML and CSSmarkup in preparation for integration into the Content Management System.

Content Management System and ComponentsAn easy to use content management system (CMS) will be integrated, allowing websiteadministrators to add, edit, or remove content quickly and easily from all areas of the websitewithout requiring any technical knowledge.

The proposed platform for the BPS K-9 Protective Services Inc. project is Joomla, anopen-source PHP based CMS known for its ease of use and extensibility. Joomla allowswebsite administrator's complete control of website content and functionality, and the abilityto easily upload and link any number of PDFs, videos, images or other documents.

A key benefit of the Joomla platform is that is dynamic and can be customized at any time tomeet the changing needs of BPS K-9 Protective Services Inc., providing a scalable platform forlong term growth.

Content IntegrationBased on the sitemap determined in the Discovery meeting, once the website designtemplates and CMS have been programmed in to a working website ‘skeleton', content will beintegrated to bring the website to life.

All content is to be supplied by BPS K-9 Protective Services Inc., though formatting andcontent massaging will be performed by Blue Ocean during this process. Blue Ocean has anin house Content Specialist who can assist with content creation if needed.

QA Review & TestingBlue Ocean has a formal process and procedure captured in a Quality Plan which provides aroadmap that has checkpoints for each phase of the website and any applicationdevelopment lifecycle. Blue Ocean will ensure compatibility with all major web browsers, aswell as perform cross platform testing (tablets and smartphones) to ensure optimalaccessibility and rendering across all screen sizes and devices.

Our programmers will also formally track and fix any bugs, and the site will not be presentedto BPS K-9 Protective Services Inc. until we are confident the website is error free.

User Acceptance Testing (UAT)Following our QA Review and internal testing, BPS K-9 Protective Services Inc. will be providedaccess to a non-public, staged version of the new website. This will allow you to test-drive andreview the completed site prior to live launch, to ensure it meets the defined requirements.

TrainingTraining will be provided to website administrators, allowing BPS K-9 Protective Services Inc.full control of all aspects of the website content and functionality going forward.

Launch & HostingBlue Ocean can provide Web Hosting for the website. Having a reliable and secured hostingenvironment is critical to owning or managing a website. We are very serious about offering asecure and scalable hosting environment as part of our overall solution to ensure that yourwebsite is always running and secured from intrusions. Our web hosting solutions include:

Post Launch SupportPost launch support will be provided to BPS K-9 Protective Services Inc. in the followingways:

• A 30 day warranty is offered and any errors or omissions identified within this timeframe will be corrected free of charge

• Access to a Knowledgebase containing video instruction on the most common CMStasks

Photography/VideoBlue Ocean has an in house photographer. If images of the staff, dogs, kennels, or vehiclefleet are not available, or new ones are desired, our photographer can come to your locationto take pictures/video for use on the new website.

Photo GalleryIf desired, a photo gallery module will be integrated in the new website, allowing BPS K-9Protective Services Inc. to showcase any number of images or galleries. This component willbe customized to suit BPS K-9 Protective Services Inc..

NewsA News module can be incorporated in to the new website, allowing website administratorsto post news items. The module will allow for customization of news priority andcategorization, and can be utilized for announcements, events, etc. This is an optional, butincluded, component.

CareersA Careers module will be integrated, allowing website administers to post available positionswithin the company (either specific or in general), and allow applicants to apply and uploadtheir credentials.

Search Engine OptimizationUsing only ‘White-Hat' techniques, Blue Ocean Interactive Marketing will optimize the websitefor organic search results using proven on-page techniques that include Search EngineFriendly URL's, appropriate metadata population, and keyword density review.

During the website migration, we will apply the proper web server redirects to ensure that allold web pages are relayed to the new website, minimizing any SEO impact and avoidingbroken links.

Mobile Responsive DesignThe new website will take on a mobile friendly design, also referred to as responsive webdesign. This means that your new mobile friendly website will scale to size on smart phones,tablets and desktops - in both landscape and portrait modes. Responsive web design ensuresan optimal experience for your user when the website is accessed from any screen size. Inaddition, mobile-friendly web design is essential for showing up in mobile search listings.

Social Media IntegrationAny and all social media accounts can be linked to from the website as desired.

Website AnalyticsGoogle Analytics will be installed on the new website, allowing for tracking andunderstanding how visitors are interacting with the new website. A new sitemap will besubmitted to Google, and Google Webmaster Tools will also be set up.

FUTURE CONSIDERATIONSDuring our discussion, two areas were identified as potential future phases of the BPS K-9Protective Services Inc. website:

Employee PortalAllowing employees to access and complete forms while out on location.

The functionality list for the above is naturally not exhaustive. While both of thesecomponents are considered out of scope for the current proposal, the website will be built ona scalable platform allowing for long term growth and the addition of this type offunctionality.

Unsatisfiedwith their website, Modern Beautywanted a comprehensive redesign oftheir site. They desired a website capableof multimedia content, integration withsocial media, an ability to dynamicallyupdate content and a fully automatedonline store.

THEIR GOALS

Re-design the site to build brand awareness,promote brand engagement and ultimatelydrive conversions, simplify the website'snavigation to optimize the user's experience,allow customers to order products online,allow customers to register and pay forcourses online, enable end-user visitors tolocate nearby salons retailing specificproducts via the Salon Finder tool, tohighlight just a few.

Between "us", Blue Ocean Interactive, and "you", BPS K-9 Protective Services Inc.

You BPS K-9 Protective Services Inc., located at are hiring Blue Ocean Interactive located at1732 - 11 Ave SW Calgary Alberta to design and develop a web site as outlined in thisproposal.

BACKGROUND:A.The Client is of the opinion that the Service Provider has the necessary qualifications,experience and abilities to provide services to the Client.

B.The Service Provider is agreeable to providing such services to the Client on the terms andconditions set out in this Agreement.

IN CONSIDERATION OF the matters described above and of the mutual benefits andobligations set forth in this Agreement, the receipt and sufficiency of which consideration ishereby acknowledged, the Client and the Service Provider (individually the "Party" andcollectively the "Parties" to this Agreement) agree as follows:

Services Provided1. The Client hereby agrees to engage the Service Provider to provide the Client with services(the "Services") that are outlined in this proposal

2. The Services will also include any other tasks which the Parties may agree on. The ServiceProvider hereby agrees to provide such Services to the Client.

Term of Agreement3. The term of this Agreement (the "Term") will begin on the date of this Agreement and willremain in full force and effect until the completion of the Services, subject to earliertermination as provided in this Agreement. The Term of this Agreement may be extended bymutual written agreement of the Parties.

4. In the event that either part wishes to terminate this Agreement, That Party will berequired to Provide thirty (30) days written notification of intent to terminate the contractualagreement. Written Notice shall be delivered via Registered letter or Courier

5. Except as otherwise provided in this Agreement, the obligations of the Service Provider willterminate upon the earlier of the Service Provider ceasing to be engaged by the Client or theService Provider.

Authorization6. The Client hereby authorizes the Service Provider to access any existing accounts, andauthorizes the hosting service, domain service, or any other required service providers, toprovide the Service Provider and any of its employees, with "full access" to the Client'saccounts, and any other programs needed to complete the Project. The Client also authorizesthe Service Provider to submit the completed Project to major Search Engines uponcompletion of project.

Currency7. Except as otherwise provided in this Agreement, all monetary amounts referred to in thisAgreement are in CAD (Canadian Dollars).

Compensation8. The Compensation defined by within the Project will be payable, according to the followingpayment terms:

• 50 % of the Project, due upon signing.

• The remaining 50% plus any billable services beyond the Project scope, due upon thefinal approval of the Project.

9. Notwithstanding any prices listed in literature or on any other marketing materials, theClient and the Service Provider agree that the services described in this Agreement, and theprice defined by the Project, shall be completed as per the Project provided, and that anyservices performed above and beyond the services outlined are a billable service, and will beincluded in the final payment at the hourly billable rate.

10. For the services rendered by the Service Provider as required by this Agreement, theClient will provide compensation (the "Compensation") to the Service Provider at a rate of$125.00 per hour.

11. The Compensation as stated in this Agreement does not include sales tax, or otherapplicable duties as may be required by law. Any sales tax and duties required by law will becharged to the Client in addition to the Compensation.

Deposits12. The 50% deposit is refundable on a pro-rated basis if less than 50% of the allottedtime assigned to this project are provided.

Completion Date13. The Service Provider will meet any agreed upon project completion dates to the best of itsability providing that the Client supplies all content, images, feedback, and any other requiredproject elements on or before the established dates. If the Client does not supply the ServiceProvider with the required documents to complete this project in a timely fashion, the agreedto target dates may be adjusted without notice. The Service Provider will not be liable oraccountable for any damages caused by a project deadline being not attained.

Provision of 3rd Party Materials14. The Client unconditionally guarantees that any elements of text, graphics, photos,designs, trademarks, or other artwork furnished to the Service Provider for inclusion in theProject are owned by the Client, or that the Client has permission from the rightful owner touse each of these elements, and will hold harmless, protect, indemnify and defend theService Provider and its subcontractors from any liability (including attorney's fees and courtcosts), including any claim or suit, threatened or actual, arising from the use of such elementsfurnished by the Client.

Payment Penalties15. Payments must be made promptly based on the terms of this Agreement. In the eventthat the Client does not comply with the rates, amounts, or payment dates provided in thisAgreement, the Service Provider can carry out the any or all of the actions herein:

• The project will be taken off of the scheduled production timeline and may be subjectto a $250 project re-initiation fee.

• The Service Provider reserves the right to remove any project from viewing on theInternet until final payment is made. Final payment is to be made within 30 days afterapproval of the Project by the Client.

• In case collection proves necessary, the Client agrees to pay all fees (including allattorney's fees and court costs) incurred by that process.

Confidentiality

16. Confidential information (the "Confidential Information") refers to any data orinformation relating to the business of the Client which would reasonably be considered tobe proprietary to the Client including, but not limited to, accounting records, businessprocesses, and client records and that is not generally known in the industry of the Client andwhere the release of that Confidential Information could reasonably be expected to causeharm to the Client.

17. The Service Provider agrees that they will not disclose, divulge, reveal, report or use, forany purpose, any Confidential Information which the Service Provider has obtained, except asauthorized by the Client. This obligation will survive for a period of one (1) year from thetermination of this Agreement and after this period any confidential information will bedestroyed.

18. All written and oral information and materials disclosed or provided by the Client to theService Provider under this Agreement is Confidential Information regardless of whether itwas provided before or after the date of this Agreement or how it was provided to the ServiceProvider.

Non-Solicitation19. Any attempt on the part of the Client to induce to leave the Service Provider's employ, orany effort by the Client to interfere with the Service Provider's relationship with its employeesor other service providers would be harmful and damaging to the Service Provider.

20. The Client agrees that, during the term of this Agreement, and for a period of one (1) yearafter the termination of the Agreement, the Client will not in any way directly or indirectly:

• induce or attempt to induce any employee or other service provider of the ServiceProvider to quit employment or retainer with the Service Provider;

• otherwise interfere with or disrupt the Service Provider's relationship with itsemployees or other service providers;

• discuss employment opportunities or provide information about competitiveemployment to any of the Service Provider's employees or other service providers; or

• solicit, entice, or hire away any employee or other service provider of the ServiceProvider.

Ownership of Materials and Intellectual Property

21. All intellectual property and related materials (the "Intellectual Property") including anyrelated work in progress that is developed or produced under this Agreement, will be thesole property of the Client. The use of the Intellectual Property by the Client will not berestricted in any manner. The right to the Intellectual Property will only be granted once thefinal payment of the project has been completed. If the Client fails to complete all paymentsdue to the Service Provider, they forfeit all Intellectual Property rights.

22. With the Client's permission, the Service Provider and its subcontractors may request todisplay graphics and other Web Design elements as examples of their work in theirrespective portfolios, as well as include a copyright/legal statement with a link to ServiceProvider's website.

Capacity/Independent Contractor23. In providing the Services under this Agreement it is expressly agreed that the ServiceProvider is acting as an independent contractor and not as an employee. The ServiceProvider and the Client acknowledge that this Agreement does not create a partnership orjoint venture between them, and is exclusively a contract for service.

Assignment of Work24. The Service Provider reserves the right to assign subcontractors as needed in order tocomplete the Services.

Project Warranty25. This agreement allows for 30 days of corrective service. The corrective service includesspelling and grammatical updates to existing content, including updating any broken linksand making minor changes to a sentence or paragraph structure. It does not include addingnew content, design modifications, addition of new content, changes to the navigationstructure, consulting on failed attempts at updates by the Client. The period begins on thedate the Client's project has been completed. Major page code and/or graphics changes andadditions will be charged at the Service Providers billable hourly rate, unless an ongoingservice agreement has been put in place between the Service Provider and the Client.

Project Delivery (applicable for Website Projectsonly)

26. The final website will be published to the hosting service upon receipt of final payment.The hosting services require a separate contract with the hosting service of the Client'schoice, or with the Service Provider in-house hosting service. If the Client chooses their ownhosting service, the client agrees to use a hosting service that supports minimum systemtechnical requirements as required to operate the Service Provider's project. The clientagrees to select a hosting service which allows the Service Provider full access to the Client'saccount via FTP (File Transfer Protocol) & database access when required. The Client will besolely responsible for any and all hosting service charges.

Browser Compatibility (applicable for WebsiteProjects only)27. Designing a website to fully work in multiple browsers (and browser versions) can requireconsiderable, extra effort. It could also involve creating multiple versions of code/pages. TheService Provider represents and warrants that the completed website will be functional in thefollowing Internet browsers:

• Microsoft® Internet Explorer versions 8 and up

• Mozilla Firefox version 4 and up

• Safari versions 4 and up

• Google Chrome version 12 and up

28. While the Service Provider will make reasonable efforts to design a fully-functionalwebsite, the Service Provider warranty does not cover AOL, text-based browsers, orrequested special effects that we have advised you against. From time-to-time a browser mayapply security patches and or updates that effect the display or functionality of a website, theService Provider warranty does not cover these occurrences if this fore mentioned updatesaffect the functionality or display of the website. Furthermore, the Service Provider cannotguarantee that future releases of the aforementioned browsers will be compatible with thedelivered project and the warranty does not cover issues related to these future releases.

Electronic Commerce Laws29. The Client agrees that the Client is solely responsible for complying with any laws, taxes,and tariffs applicable in any way to the projector any other services contemplated herein, andwill hold harmless, protect, and defend the Service Provider and its subcontractors from anyclaim, suit, penalty, tax, fine, penalty, or tariff arising from the Client's exercise of Internetelectronic commerce and/or any failure to comply with any such laws, taxes, and tariffs.

Notice30. All notices, requests, demands or other communications required or permitted by theterms of this Agreement will be given in writing and delivered to the Parties of thisAgreement to the addresses above.

31. Email is an acceptable form of written communication.

Limitation of Liability32. It is understood and agreed that the Service Provider will not be liable to the Client or anyagent or associate of the Client, for any mistake or error in judgment or for any act oromission done in good faith and believed to be within the scope of authority conferred orimplied by this Agreement.

Legal Notice33. Notwithstanding anything to the contrary contained in this contract, neither the ServiceProvider nor any of its employees or agents warrants that the functions contained in theProject will be uninterrupted or error-free. The entire risk as to the quality and performanceof the Project is with the Client. In no event will the Service Provider be liable to the Client orany third party for any damages, including, but not limited to, service interruptions caused byActs of God, the Hosting Service or any other circumstances beyond our reasonable control,any lost profits, lost savings or other incidental, consequential, punitive, or special damagesarising out of the operation of or inability to operate this Project, failure of any serviceprovider, of any telecommunications carrier, of the Internet backbone, of any Internetservers, hardware failure, and software failure, even if the Service Provider has been advisedof the possibility of such damages.

Dispute Resolution34. In the event a dispute arises out of or in connection with this Agreement, the Parties willattempt to resolve the dispute through friendly consultation.

35. If the dispute is not resolved within a reasonable period then any or all outstanding issuesmay be submitted to mediation in accordance with any statutory rules of mediation. Ifmediation is not successful in resolving the entire dispute or is unavailable, any outstandingissues will be submitted to final and binding arbitration in accordance with the laws of theProvince of Alberta. The arbitrator's award will be final, and judgment may be entered upon itby any court having jurisdiction within the Province of Alberta.

Costs and Legal Expenses36. In the event that legal action is brought to enforce or interpret any term of thisAgreement, the prevailing Party will be entitled to recover, in addition to any other damagesor award, all reasonable legal costs and fees associated with the action.

Modification of Agreement37. Any amendment or modification of this Agreement or additional obligation assumed byeither Party in connection with this Agreement will only be binding if evidenced in writingsigned by each Party or an authorized representative of each Party.

Time of the Essence38. Time is of the essence in this Agreement. No extension or variation of this Agreement willoperate as a waiver of this provision.

Assignment39. The Service Provider will not voluntarily or by operation of law assign or otherwisetransfer its obligations under this Agreement without the prior written consent of the Client.

Entire Agreement40. It is agreed that there is no representation, warranty, collateral agreement or conditionaffecting this Agreement except as expressly provided in this Agreement.

Enurement41. This Agreement will enure to the benefit of and be binding on the Parties and theirrespective heirs, executors, administrators, successors and permitted assigns.

Titles/Headings42. Headings are inserted for the convenience of the Parties only and are not to beconsidered when interpreting this Agreement.

Gender43. Words in the singular mean and include the plural and vice versa. Words in the masculinemean and include the feminine and vice versa.

Governing Law44. It is the intention of the Parties to this Agreement that this Agreement and theperformance under this Agreement, and all suits and special proceedings under thisAgreement, be construed in accordance with and governed, to the exclusion of the law of anyother forum, by the laws of the Province of Alberta, without regard to the jurisdiction in whichany action or special proceeding may be instituted. Any legal proceedings will take place inthe City of Calgary.

Severability45. In the event that any of the provisions of this Agreement are held to be invalid orunenforceable in whole or in part, all other provisions will nevertheless continue to be validand enforceable with the invalid or unenforceable parts severed from the remainder of thisAgreement.

Waiver46. The waiver by either Party of a breach, default, delay or omission of any of the provisionsof this Agreement by the other Party will not be construed as a waiver of any subsequentbreach of the same or other provisions.
