ities as a Sponsor by training, assist-ing, and otherwise supporting theTeam Members in my sales organiza-tion. I will respect the sponsor rela-tionship of every Team Member in theSynergy family and I will not attemptto interfere with or change these rela-tionships. I will not make disparagingor untrue claims about other SynergyTeam Members.

• I will follow the Policies and Proce-dures to the best of my ability, usingmy best efforts to follow the spirit, aswell as the letter of these Policies andProcedures.

• I will not diagnose or prescribe treat-ment for disease, nor will I make anyclaims. I will never recommend toanyone that he/she discontinue theservices, recommendations, or med-ications of any doctor or other health-care professional, nor will I misrepre-sent or make representations regard-ing the income potential of the Com-pensation Plan.

• I will not misrepresent the Synergyproducts or the Compensation Plan;nor will I engage in disparaging, mis-leading, deceptive, or illegal practices.

• I will promptly honor the terms of theSynergy Retail Customer ProductGuarantee with all of my customers.

Definitions:

In these Policies and Procedures the fol-lowing terms shall have the meaningsspecified below.

“Team Member” (hereafter referred to asa “Member” or “Team Member”) means

an independent contractor or independ-ent distributor who has completed andsigned a Synergy Membership Applica-tion and whose Membership Application(or any renewal thereof) has beenaccepted by Synergy. The term “TeamMember” includes any person with abeneficial interest in a Synergy TeamMembership.

“Membership Application” means themembership application to be submittedto Synergy. The “Membership Applica-tion” form becomes a legally bindingcontract between the Team Member andSynergy. The Membership Applicationmay be completed online, by phone, orby hand and is subject to acceptance orrejection by Synergy

“Personal Group” means all Team Mem-bers in a Team Member’s downlineorganization.

“Sponsor” means a Team Member whopersonally introduces an individual orentity for Team Membership in Synergy.

“Team Membership” means the right todistribute Synergy products and fulfillobligations to Synergy as a Team Mem-ber.

“Upline” means those Team Memberswho are either identified as the TeamMember’s Sponsor, or those entitled tocompensation based upon the TeamMember’s sales volume pursuant to theSynergy Compensation Plan.

“Placement Upline” means the Memberlocated directly above a Team Member’sposition in the Synergy dual-linearstructure.

i n t r o d u c t i o n

One of Synergy’s Core Principles is to“follow ethical business practices.”Webelieve that everyone involved in Syner-gy has a responsibility to represent ourcore principles. With that in mind, wehave developed the following Policiesand Procedures. These are effectivefrom October 1, 2004, and will super-sede and replace any previous versionsof Policies and Procedures. Any provi-sion or course of dealing establishedunder a previous version of the Policiesand Procedures is no longer valid or rec-ognized by Synergy WorldWide (here-after referred to as “Synergy”or “thecompany”).

Synergy’s Policies and Procedures gov-ern the manner in which a Team Mem-ber (as defined in Section Two below)does business with Synergy, other TeamMembers, and retail customers. TheSynergy WorldWide Mega-Match®Compensation Plan (the “CompensationPlan”), the Synergy WorldWide Mem-bership Application (the “MembershipApplication”), and the Policies and Pro-cedures constitute a complete contract(the “Contract”) between independentTeam Members and Synergy. Failure tocomply with the provisions of any ofthese documents comprising the Con-

tract may result in the loss of a TeamMember’s right to information concern-ing the Team Member’s line, the loss ofa Team Member’s right to receive abonus check, and/or the termination ofTeam Membership. Synergy reserves theright to change any of the Policies andProcedures at its discretion. Synergyalso reserves the right to overrule anypolicy or procedure at its discretion.Changes will become effective and bind-ing thirty (30) days after appearance inany Synergy publication notice or post-ing on our Website.

Each Team Member is responsible fornotifying his personal downline organi-zation of new Synergy information. NewSynergy policies, forms and literaturereplace old policies, forms, and litera-ture. A Team Member should destroyoutdated or invalid literature and forms.Synergy is not obligated to reimburseany Team Member for outdated materi-als in the Team Member’s possession.

Synergy Code of Ethics

As an independent contractor and TeamMember of Synergy, I promise and agreethat:• I will be courteous, respectful, honest,

and fair in all of my dealings whileacting as a Synergy Independent TeamMember; furthermore, I will performmy professional activities in a mannerthat will enhance my reputation andthe positive reputation of Synergy.

account if they are sponsored by thesame person, and are in the same “leg”of the sponsor’s downline.

Team Members who initiate Member-ships in violation of this policy will losesuch Memberships and may lose theiroriginal Membership as well, at Syner-gy’s sole discretion.

Team Members creating additionalaccounts in family names without thefamily member’s approval and signature,and/or maintaining these accounts forthe sole purpose of having additionalpositions in the company, will be termi-nated.

Corporations : Corporation MembershipApplications must contain the names andappropriate identification of the princi-pal officers (president, vice-president(s),secretary, and treasurer), members of theBoard of Directors, and shareholders.

A copy of the Corporate Articles ofIncorporation and bylaws must accom-pany the Membership Application.

The Membership Application must besigned by an authorized officer and suchsignature shall legally bind the corpora-tion.

Team Members may not be involvedin a corporation and hold an individualaccount in Synergy.

Partnerships : Partnership applications,including those of limited liability com-panies, must include a copy of the arti-cles of organization and partnership oroperating agreement if such exists or isrequired by law.

All partners of a partnership must signthe Membership Application.

The Membership Application mustalso contain the names and one SocialSecurity Number or Tax Identification

Number to be used to identify the part-nership.

Team Members may not be involvedin a partnership and hold an individualaccount in Synergy.

Trusts : Trust applications must include asigned letter identifying the manager ortrustee of the trust. The applicationmust include the trust’s Tax Identifica-tion Number, the names of all personshaving a beneficial interest in the trust,and a certified copy of the trust docu-ment. The Membership Applicationmust be signed by the manager ortrustee of the trust.

Sole Proprietors and Other Entities : Soleproprietors and Registered DBAs (i.e.,Doing Business As), with distinct TaxIdentification Numbers may be requiredto submit a signed statement or copy ofownership or other appropriate docu-mentation and tax identification infor-mation.

Team Membership Status Change : A TeamMember who wishes to change his orher status from that of an individualTeam Member to a participant in a cor-poration, partnership, or trust under thesame sponsor may do so under the fol-lowing conditions:

• All appropriate corporate or partner-ship documents must be forwarded tothe company

• The Team Members involved in saidpartnership may not have a beneficialinterest in any other position in thecompany

• Any other positions in the companywill not be transferred to any otherparty, but will be terminated.

Membership Policies

Application : A person may become aSynergy Team Member by completing,signing, and returning a MembershipApplication, or by applying online, byhand, or by phone.

When Synergy receives and accepts aMembership Application, Synergy willassign a unique Customer ID number toeach applicant. All Membership Appli-cations made online or by phone mustbe followed within 72 hours with asigned Membership Application.

The signed Membership Applicationwill protect the Sponsor/Team Memberrelationship.

Team Members must use their IDnumber when they call customer serviceto place orders or track commissions andbonuses.

Synergy reserves the right to reject, inits sole discretion, any MembershipApplication.

Synergy will not accept inaccurate orfalse information on the MembershipApplication.

Team Members are responsible forinforming Synergy of any changesaffecting the accuracy of the Member-ship Application.

Territory : Acceptance of your Member-ship Application authorizes you to con-duct business in the countries of UnitedStates, Japan, Thailand, Taiwan, Aus-tralia, Korea, and Singapore, as well asany other countries that may be identi-fied by Synergy by formal announce-ment to Team Members generally.

Partners in a Team Membership mustall reside in the same country where the

Membership conducts its Synergy busi-ness.

The Synergy Website will list on ourWebsite those countries where Synergydoes business. Countries not listed arenot supported by special shippingarrangements or product pricing. TeamMembers desiring to build businesses incountries where Synergy has not official-ly opened are doing so at their own risk.

Customer ID Number : Every TeamMember will obtain a unique numericalidentification number (“ID number”)issued by Synergy.

In order to obtain their ID number,all individual Members in the UnitedStates must provide Synergy with aSocial Security Number for the individ-ual or entity, or an appropriate TrustIdentification Number.

All U.S. corporate, partnership, andtrust entities that are Members mustprovide Synergy with certification oftheir Employer Identification Number,or an appropriate Trust IdentificationNumber.

Members in other countries must pro-vide Synergy with the tax, identification,and other information requested bySynergy on the Membership Applica-tion.

Beneficial Interest : While partnerships,corporations, and trusts may be grantedSynergy Team Memberships, an individ-ual may not have a beneficial interest orbe listed in more than one Membership,including but not limited to, businesses,trusts, organizations, and families.

Members of the same family unit—defined as a husband, wife and childrenliving at the same address—may havemore than one Synergy Membership

(4) A termination notification fromthe buying party, if such party has anexisting Synergy Team Membership.

(5) Any active Team Member desir-ing to acquire an interest in anotherTeam Member’s business must first ter-minate the existing Team Membershipof the buyer and cease functioning as aSynergy Team Member for a period of atleast six (6) months. The buyer mustthen reapply as a Team Member in thenewly acquired Team Membershipinterest by submitting a new Member-ship Application, which must be accept-ed by Synergy.

(6) A signed statement from the sell-ing Team Member agreeing and promis-ing the following: “I will not raid orrecruit, or attempt to raid or recruit, anySynergy Team Member for one yearfrom the effective date of the sale. I willnot ‘cross-sponsor’ or recruit, orattempt to ‘cross-sponsor’ or recruit,any Synergy Team Member into anyother direct-selling or multilevel mar-keting organization.” As part of the salesagreement, the seller of a Team Mem-bership must also agree not to engage inany activity that would cause Synergy orthe Team Membership being sold to bediluted or negatively impacted throughactivities such as raiding or making dis-paraging comments.

Synergy reserves the right to disallowany transfer of position.

The new Team Member acquiring theposition will be charged $100 or a fee asdetermined by Synergy.

Legal Age : Team Member applicantsmust be of legal age in the jurisdiction ofthe applicant’s residence.

Team Member Policies

General : A Team Member must complywith the Synergy Code of Ethics, thesePolicies and Procedures, the Member-ship Application, the CompensationPlan, all contractual obligations, andstate, federal and other applicable U.S.and foreign laws.

Synergy will not tolerate activity by aMember that is unethical. Synergy mayintercede when unethical behavior isdiscovered or reported. Synergy reservesthe right to use its best judgment anddiscretion in determining whether cer-tain Member’s activities are unethical.

Any breach or violation of these Poli-cies and Procedures may be deemedunethical. Any action which may causeSynergy or its Members the loss of goodreputation, or that is detrimental toSynergy’s business, will be consideredunethical business practice and will begrounds for disciplinary action, includ-ing termination of Membership.

Neutral Lead Distribution : Retail pur-chase leads that come to Synergy will bereferred to Team Members. Synergymakes reasonable efforts to determinehow a prospect became interested inSynergy, and such leads will be given tothe Team Member who created thatinterest. The distribution of neutralleads is made at the sole option and dis-cretion of Synergy.

Ordering Restrictions :• A Team Member may not submit

product orders in the name of anoth-er Team Member. Only orders madeon behalf of the Team Member’s own

Team Member Marriage : If two TeamMembers choose to marry, they maymaintain their separate, independentorganizations.

All awards, recognition, incentives,company benefits, trips, and promotionsearned will be awarded to only oneaccount, regardless of the GV main-tained on the other account.

A copy of the marriage certificatemust be submitted to the Synergy Cus-tomer Service Department within thirty(30) days after any marriage betweentwo Synergy Team Members.

Team Member Divorce : If married TeamMembers who share a Membershipobtain a divorce, Synergy will continueto treat the Membership pursuant to theoriginal Membership Application untilsuch time that Synergy receives writtennotice from both parties, or officialcourt documentation, directing other-wise. The written notice should besigned by both parties and notarized.

Team Member Death : In the event of aTeam Member’s death, the Membershipmay be conveyed by will or the laws ofintestacy to the Member’s heirs.

The death certificate, a certified copyof the will or court order, as well as anew Membership Application in thename of the new Team Member receiv-ing the Membership, must be forwardedto Synergy.

Team Membership Account Changes :• Changes in the Team Membership

contact information may be made bysubmitting a new Membership Appli-cation form (with the word “Amend-ed” visibly written at the top), to theCustomer Service Department, or by

making changes online. • All amended forms must be completed

in their entirety and signed by all par-ties of the Team Membership.

• Name changes require appropriatelegal proof of the change.

Team Membership Transfers : No TeamMember may delegate or assign his, heror its duties as a Member.

No Team Member may convey, sell,assign, pledge, encumber, or otherwisetransfer a Membership or rights of aMember except by submitting all of thefollowing required items to the SynergyCompliance Department for approval:

(1) A newly signed MembershipApplication form from the buying orreceiving party.

(2) A signed statement from the sell-ing Team Member’s Sponsor rescindingthe sponsorship of the selling person.The Sponsor shall have fifteen (15) daysafter receipt from the selling Member ofwritten notice of the terms of con-veyance, by hand delivery or certifiedmail, within which to accept the termsof sale and purchase the Team Member-ship.

(3) A copy of the Sales Agreement.No sale, assignment, or transfer of anyTeam Membership (or any Team Mem-ber rights) shall be effective without theprior written approval of Synergy. Aftera review of the terms of the sale, Syner-gy reserves the right to approve or dis-approve, at its sole discretion, of theproposed transfer or sale. The SalesAgreement must be executed by the sell-er prior to the consummation of sale,and a notarized copy of the fully execut-ed Agreement must be submitted toSynergy.

No representation or sales offers shallbe made relating to Synergy productswhich are not complete, accurate, andtruthful as to grade, quality, perform-ance, and availability. Appropriate prod-uct information is contained in approvedproduct literature from Synergy.

Income and Opportunity Claims : Nounreasonable, false, misleading claim orother misrepresentation of earnings orpotential income may be made by aTeam Member. Income guarantees orexpectations of any kind are prohibited,as is disclosure or exhibition of actual orcopies of bonus checks or similar evi-dence.

Specific dollar claims or “average”earnings claims must not be used.

Members determined to be participat-ing in these activities will be terminated.

Future Growth Claims : A Team Membermust not imply or assert that additionalproducts or services will be added to theproducts and services currently offeredor that enhancements to the Compensa-tion Plan are forthcoming or that specif-ic countries, territories, or areas areabout to be added to countries, territo-ries, or areas of Synergy operationunless, or until, that fact has been offi-cially announced by Synergy to allMembers.

Governmental Endorsement Claims : ATeam Member shall not represent thatthe Synergy Compensation Plan or thatany of its products have been approved,sponsored, or endorsed by any govern-mental agency.

International Sales : A Team Membermay not sell any Synergy products in

countries, territories, or areas where thesale of such products is not authorizedby Synergy. A Team Member may pur-chase products exclusive to a particularmarket while in that market, but maynot resell these products in anothermarket

Reporting Unethical Behavior : Whilecomplaints should generally be directedto and through the Team Member’sUpline Sponsors, a Team Member whohas a specific complaint about anotherTeam Member, or is aware of any viola-tion of these Policies and Procedures byanother Team Member, should directsuch complaint in writing to the Syner-gy Customer Service Department inorder to minimize the negative aspectsaccompanying such complaints.

No Waiver of Policy Enforcement : Syner-gy’s failure to enforce any of these Poli-cies and Procedures with one TeamMember does not waive Synergy’s rightto enforce any such provision(s) withthat same Team Member or any otherTeam Member.

Team Member Lists : Lists of SynergyTeam Members (“Lists”), whether par-tial or complete, and whether preparedby Team Members, Synergy, or thirdparties, are the confidential and propri-etary information of Synergy.

Lists, in present and future forms,constitute commercially advantageousproprietary assets and trade secrets ofSynergy, which Synergy’s employees andMembers agree to hold confidential dur-ing and after the term of their TeamMembership.

Synergy may provide, for a fee,uniquely tailored portions of Lists to

Team Membership will be honored bySynergy.

• If the use of another Team Member’scredit card is needed, proper authori-zation is required in advance. Viola-tion of this rule will result in discipli-nary action or termination.

Sales Tax : Synergy products are subjectto sales and use tax in most jurisdictions.Synergy collects and remits sales tax invarious jurisdictions. Synergy will adviseTeam Members that such taxes arerequired to be collected on their behalf.The collection of tax by Synergy doesnot relieve the Team Members of theirresponsibility and duty to comply withany and all customs, tariff, and tax regu-lations appropriate to the Team Mem-bers and their business.

Synergy Team Members must resell70% of all products purchased fromSynergy.

Independent Contractor Status : A TeamMember is an independent contractorand is not an agent, an employee, a part-ner, or a party in a joint venture of Syn-ergy or of any Sponsor or Team Mem-ber. A Member may not represent thatsuch arrangements exist.

A Team Member is responsible for theMember’s own business decisions andexpenditures and for satisfying all feder-al, state, and local laws and regulationsapplicable to the residence of the Mem-ber.

Synergy Team Members are inde-pendent contractors, and therefore arenot eligible to claim unemployment orworker’s compensation as a result ofhaving been or being a Member.

Disclaimer : In no event shall Synergy, orany Synergy’s Member, affiliate, share-holder, officer, director, employee oragent, be liable to a Member (or anyoneclaiming for or through a member) forany indirect, consequential, incidentalor special damages.

Unfair Competition, “Cross-Sponsoring,”and “Downline Raiding” : A Team Mem-ber shall not sponsor or solicit anotherTeam Member into any other network-marketing or direct-selling companywith the exception of those individualsthe Team Member has personally spon-sored and placed on the Team Member’sdownline in the Compensation Plan.Such prohibited solicitation is known as“Cross-Sponsoring.”

In addition, no Team Member shallparticipate directly or indirectly in anyaction or solicitation that causes anotherTeam Member to be sponsored throughsomeone else into any other network-marketing or direct-selling company.Advertising that solicits participation inanother network-marketing or direct-selling company is considered Cross-Sponsoring. These activities constitutegrounds for termination.

A Member may not attempt to per-suade other Members to change Spon-sors within Synergy (i.e., “DownlineRaiding”). Members determined to beparticipating in these activities will beterminated.

Product Sales and Claims : A Team Mem-ber shall not make medicinal claims,therapeutic claims, or any unauthorizedrepresentation regarding Synergy or anySynergy products, nor shall a TeamMember prescribe Synergy products assuitable for the treatment of any ailment.

will protect the Sponsor/Team Memberrelationship.

Change of Sponsorship : The changing ofSponsors is not allowed. Once a TeamMember is sponsored, Synergy believesin protecting that relationship, except inthe case of a Team Member using uneth-ical means to sponsor someone.

Should a Team Member desire a newSponsor, they must cancel their mem-bership, cease any Synergy activity for atleast six (6) months, and then sign upagain in an entry-level position.

Synergy reserves the right to disallowany Sponsor change request.

Synergy reserves the right to charge afee for any or all Sponsor changerequests as determined by Synergy.

Prospective Team Member Information : ASponsor must clearly state in all presen-tations to prospective Team Membersthat there is no compensation paid toany Member solely for sponsoring newMembers.

A Sponsor must also provide eachpotential Team Member with a copy ofthe most current Policies and Proce-dures prior to, or when giving to suchperson a Membership Application form.

Downline Placement : A Team Membermay only place a personally sponsoredperson in his, her, or its personal down-lines under his, her, or its Tracking Cen-ters 1, 2, or 3. Placing people in otherlines, including “cross lines,” is notallowed.

Team Members found sponsoringpeople in positions which are againstcompany policies shall have such posi-tions terminated.

Downline Placement Changes : Synergywill not make any changes in downlineplacement, unless a request is madewithin 72 hours of the membershipbeing submitted or the change is neces-sary due to Synergy’s error.

The signed Downline PlacementChange Request Form must be submit-ted to Customer Service within 72 hoursof original membership application.

Synergy reserves the right to disallowany or all placement change requests.

Synergy reserves the right to charge afee for any or all placement changerequests as determined by Synergy.

Sponsoring Synergy Employees : A TeamMember shall not solicit or sponsoremployees of Synergy, Nature’s Sun-shine, or their immediate family mem-bers to be Team Members.

No Synergy corporate officer,employee, product supplier, agent, rep-resentative or consultant or member oftheir immediate family will be allowedto be a Team Member, or build a down-line within Synergy or any other net-work-marketing or direct-selling com-pany.

For purposes of this paragraph,“immediate family” includes any personcurrently residing with the officer,employee, product supplier, agent, rep-resentative, or consultant.

Solicitation of Nature’s Sunshine ProductsDistributors : No Synergy Team Membermay solicit, directly or indirectly, anydistributor of Nature’s Sunshine Prod-ucts, Inc. (“NSP”). In the event that aTeam Member solicits, directly or indi-rectly, a distributor of NSP, Synergyshall terminate that Team Member’sMembership immediately, upon written

Members for limited purposes of Syner-gy business. Each portion of a providedList contains information specific to theMember who requests the List and theTeam Member’s downline or uplineorganization. A List may be provided byvarious media including, but not limitedto, mail order, fax, and the Internet.

A Team Member or former TeamMember must, upon request of Synergy,promptly return or destroy all lists andcertify to such return or destruction inwriting.• Team Member Lists remain, at all

times, the exclusive property of Syn-ergy. A Member requesting or obtain-ing a List agrees:

• To limit the use of a List to the speci-fied scope of use of the List and exclu-sively to advance a Member’s Syner-gy-related business;

• To hold confidential and not discloseor transfer or allow access to any Listor portion thereof to or by any thirdparty, including, but not limited to,existing Team Members, competitors,and the general public. Any intendedor unintended use, disclosure oraccess to Lists, outside of thoseauthorized, constitutes misuse, misap-propriation and a violation of theMember’s license agreement, and maycause irreparable harm to Synergy;

• That, upon any violation under thisprovision, the Member shall bedeemed to have agreed and stipulatedto preliminary, temporary, and perma-nent injunctive relief, enjoining suchuse under applicable law, and topromptly retrieve and return to Syn-ergy all Lists previously provided tothe Member;

• That intended or unintended misuseof a List is cause for immediate termi-

nation of a Team Membership,whether or not such misuse causesirreparable harm to Synergy or one ofits Team Members and whether or notSynergy seeks any other remedies,relief, or damages;

• That the obligations under this provi-sion shall survive the termination ofthe Team Member’s Team Member-ship; and

• That Synergy reserves the right topursue all appropriate remedies,relief, and damages under applicablenational or local laws to protect itsrights to the Lists as proprietaryinformation and trade secrets of Syn-ergy. Any failure to pursue such reme-dies will not constitute a waiver ofthose rights of Synergy.

Sponsoring Policies

Sponsoring : Sponsoring is an importantpart of being a Team Member and car-ries with it many benefits and responsi-bilities. A Team Member may act as theSponsor for new Members if the Spon-sor is in good standing with Synergy.

A new Team Member has the right tochoose his, her, or its sponsor and tohave that sponsor listed on the Member-ship Application.

Synergy will not mediate disputesresulting from one or more individualscontacting the same prospect.

If more than one Team Memberclaims Sponsorship of the same person,Synergy will accept the first completeand acceptable Membership Applicationform received by Synergy.

Voluntary Resignation : A Team Membermay, at any time, voluntarily resign bysubmitting a resignation letter to Syner-gy signed by all individuals and entitieson the Team Membership. Please list allindividuals and entities names and taxID numbers or social security numbers.

A Team Member who voluntarilyresigns may not reapply for Team Mem-bership until six months after Synergyhas made the termination final.

A Team Member who resigns loses allrights to any downline genealogy andTeam Member privileges.

The resigned position cannot betransferred or sold to any other party.

Termination through Inactivity : A TeamMember who does not purchase a singleproduct order of 120 CV within any six(6) month period will be considered inac-tive and will be terminated by Synergy.

Once a position has been dropped forinactivity, it cannot be transferred orsold to another individual

An individual dropped for inactivitymay reapply for membership in Synergyand take an entry-level position.

Involuntary Termination : If necessary, aTeam Member may be terminated bySynergy for cause. Synergy has the rightto take quick and decisive action in lim-iting or terminating a Team Member-ship that is found in violation of thePolicies and Procedures, the TeamMember Application, rules governingthe Compensation Plan, or any state orfederal laws, statutes, and/or regulationsthat pertain to the business of Synergy.

In extreme cases of violations by aTeam Member, Synergy also reserves theright to pursue legal recourse, as well asreimbursement by a Team Member for

any expenses, including attorney’s feesand legal fees generated from a viola-tion, and to seek and obtain otherappropriate remedies, relief, and dam-ages.

When a decision is made to terminatea Team Member for cause, Synergy willsend notification by mail to the termi-nated Team Member at the most recentaddress on file at the home office.

Upon receipt of notice from Synergy,the Team Member must immediatelycease all Team Member activities andremove any applicable Website or printadvertising.

If a Team Member wishes to appeal atermination, Synergy must receive thewritten appeal within the time periodspecified in the termination letter. If theappeal is not received within this timeperiod, the termination will be final.Synergy will review the timely appealand notify the Team Member of thedecision. This decision will be final. Thetermination will be effective from thedate of Synergy’s original terminationnotice.

Effect of Termination : Whether a TeamMembership is terminated through vol-untary resignation or through involun-tary termination by Synergy, that TeamMembership is no longer entitled to sellSynergy products or to Sponsor otherprospective Team Members.

The terminated Team Member shalllose all rights to the existing downlineand shall no longer be entitled to receiveBonuses, awards, or any compensationwhatsoever from Synergy, nor shall theTeam Member be entitled to any rightsto Team Member Lists.

The terminated position cannot betransferred or sold to any other party.

Compensation Policies

Team Member Compensation and Fees : ATeam Member is compensated pursuantto the Synergy Mega-Match® Compen-sation Plan applicable to the country ofresidence of the individuals owning theTeam Membership.

The policies outlined in the Mega-Match® Compensation Plan brochure(or on Synergy’s Website) are the guide-lines for payment of earnings under theCompensation Plan and the fees chargedto Team Members.

A Team Member is neither guaran-teed a specific income nor assured anylevel of sales, profit, or success.

A Team Member is wholly responsiblefor meeting the Team Member’s qualifi-cation requirements.

Although Synergy provides mostTeam Member services to Team Mem-bers free of charge, from time to time aTeam Member will request or requireservices that warrant additional time andexpense to research or address. TheTeam Member requesting services willbe charged at Synergy’s discretion.

Commission Period : The commissions arecalculated daily and processed and dis-tributed once a month. Unless otherwisepermitted by Synergy, any prepaidorders received in Utah by Synergybefore 11:59 P.M. Mountain Time on thelast business day of the month are

included in that commission period’sbusiness.

Bonus Checks : Bonus checks are mailedmonthly by Synergy.

Any bonus check in an amount lessthan twenty five dollars ($25) may not beissued until the next bonus period.

Bonus checks issued to joint appli-cants in a Team Membership will beissued in the names of the first twoapplicants listed on the Team MemberApplication.

Synergy reserves the right to debit orplace a hold on a Team Member’s bonuscheck for any amount the Team Memberowes Synergy.

Upon request, Synergy will issue areplacement check for a lost or stolencheck; however, Synergy charges a feefor each such case, or the fee specifical-ly stated on the form required forchanges, etc. Please refer to the feeschedule for more information.

Miscellaneous Policies

Cancellation Notification : Notification ofCancellation of Autoship order and Syn-ergy memberships must be made in writ-ing. These documents must contain asignature of the person holding the Syn-ergy account.

are not acceptable in the United Statesand Canada.

Shipments will be complete and inmarketable condition at the time theyleave the Synergy Fulfillment Center.Because title to any order is conveyed andtransfers at the time of shipment, a TeamMember is ultimately responsible for anyloss, damage, or shortage to the shipmentafter it leaves Synergy’s warehouse.

Upon receipt of a product shipment,Team Members should immediatelyinspect shipments to determine whetherorders are complete and in sellable con-dition. Members should ask the shipper’srepresentative to show them how to file aclaim for damaged or missing materials.

Before assuming loss on any order, aTeam Member should wait at least fif-teen (15) working days from the placingof a mail order, and ten (10) workingdays from submission of an order bytelephone, fax, or the Internet. If a ship-ment or order is lost, the Member shouldnotify customer service. Lost shipments,if later found and/or delivered, must bereported to the customer service as soonas possible and in any event no later thanseven (7) days after delivery.

A Team Member who signs a deliveryrelease with a common carrier, authoriz-ing the carrier to deliver an order with-out the recipient’s signature, releasesSynergy from responsibility for suchdelivery.

A Team Member may order productby phone, mail, e-mail, fax, or online.The Synergy Product Order Form isrequired for all mail orders and faxorders of products and must be fullycompleted and submitted to the Synergyhome office. Two or more Team Mem-bers may not combine orders on thesame order form. Orders must conform

to the following requirements:• Orders placed by telephone, fax trans-

mission, email, and through Synergy’sInternet Website must be paid bycredit card. If an order is made by oneof these methods, it is not necessaryto mail in the original Synergy Prod-uct Order Form. Double shipmentsoccurring due to a Team Member’splacing of an incorrect order are thefinancial responsibility of that TeamMember.

• Orders placed via telephone, facsimi-le, or the Internet are subject to thefollowing provisions:

• Full payment must accompany allorders. Only payment by personalcheck, certified check, money order,bank draft, or credit card will beaccepted. Synergy will not acceptCOD (cash on delivery) orders.

• Orders submitted without payment infull may be returned unfulfilled to theTeam Member by mail.

• Orders submitted with an insufficien-cy of funds may be fulfilled with prod-ucts in the dollar amount that doesnot exceed the funds submitted withthe order less shipping and applicabletax. If payment for an order is insuffi-cient, Synergy reserves the right, inits discretion, to withhold any numberof products from such order and, in itsdiscretion, to determine which prod-ucts to withhold from the order. Anynegative consequences arising out ofthe return or partial fulfillment of anincomplete order are solely theresponsibility of the Team Memberwho placed the order.

• The availability of purchase funds forany purchase must be approved priorto the sale. If a Team Member’s creditcard is not approved, every reasonable

Litigation : Any litigation regarding theagreements between Team Members andSynergy shall be undertaken in the StateCourt of Utah County, Utah, or theUtah U.S. Federal District Court.These policies and all agreementsbetween Synergy and Team Membersshall be governed by the laws of theState of Utah and are binding on succes-sors and assigns of both parties.

Disciplinary Process : Failure to abide bythe Policies and Procedures will lead toappropriate disciplinary action. After adisciplinary action is complete, Synergymay announce details of such discipli-nary action.

Policy violations that do not lead toimmediate termination may be dealtwith in the following manner, and thedisciplinary process may involve any orall of these steps:• Informal warning. The Team Member

may be notified, orally or in writing,that the Team Member is in violationof Synergy policies.

• Formal warning. If a particular viola-tion continues after an informalwarning is issued, or the violation issevere enough to warrant it, a formalwritten warning may be sent to theoffending Team Member stating thatfailure to discontinue the stated viola-tion may result in further disciplinaryaction.

• Suspension. A suspension letter maybe sent and considered a final warn-ing. This notice will list actions thatmust be taken in order for the TeamMember to reinstate the Team Mem-ber’s account. These actions includethe following:

• The immediate cessation of all viola-tions;

• Submitting a written statement toSynergy responding to the suspen-sion; AND…

• Any further action that is required bySynergy.

Failure to submit this information willcause the violating Team Membership tobe terminated. The Team Member isnotified in writing that if policy viola-tions continue after receipt of the sus-pension letter, the Team Membershipwill be terminated.

A Team Member may appeal the sus-pension in writing within the specifiedtime period outlined in the suspensionletter. Suspended Team Members arenot eligible to receive compensation orBonuses from Synergy or participate inany functions or programs of Synergy.

Synergy reserves the right to withholdcompensation until the disciplinaryprocess has been completed to Synergy’ssatisfaction. Because suspended TeamMembers may not place product orders,they may not qualify for compensationduring their term of suspension.

Ordering Products & Sales Materials

Properly placed product orders will gen-erally be processed within two to five (2-5) business days.

Shipments are made by common car-rier and delivery may be expected withinseven (7) days, unless special provisionsare made. However, shipping times can-not be guaranteed. Shipments may bemade only to street addresses. Generaldelivery and post office box destinations

undamaged products from all subse-quent orders, if they are returned withinninety (90) days of purchase.

Details of Return Policy : The TeamMember must first call the Synergy U.S.Office at (801) 431-7660 to obtain aReturn Merchandise Authorization(RMA) number. An RMA will be issuedupon the following conditions:• The products being returned must be

linked to a specific order placed in theTeam Member’s personal businesscenters.

• The products must be unopened andin resalable condition.

• The products must be returned with-in the 90-day return period, and mustbe returned within two weeks of theRMA being issued.

• All products must be shipped appro-priately to avoid damage during ship-ment. Should products arrive dam-aged, they will not be consideredresalable and will be returned to theTeam Member at his expense andwithout refund or exchange.The Customer Service representative

will instruct the Team Member toinclude the RMA number on the pack-age being returned. The RMA should bevisually displayed on the outside of thepackage. The Team Member’s name, IDnumber, order number, and a list of theproducts being returned should beincluded on a packing slip inside thepackage.

The Team Member can then ship theproducts back to the U.S. CorporateOffices, not to the warehouse. Packagessent to the U.S. Corporate Office thatdo not contain an RMA number (visual-ly displayed on the OUTSIDE of thepackage) will be refused or returned to

the Team Member at his expense.There will be no exceptions. Shippingcost is the responsibility of the TeamMember.

Walk-ins to the Corporate Officesmust obtain an RMA number prior toreturning products.

The packages with the proper author-izations will be processed and the TeamMember’s refund will be issued. Theappropriate refund will begenerated,less shipping charges and anybonus or commission paid out, andapplicable volumes will be deductedfrom applicable Members.

If product is returned that was notapproved when the RMA was issued, itwill be returned to the Team Member athis expense.

Members who return their initialorder within ninety (90) days of theoriginal order will be credited 100% oftheir purchase price, less shipping, if theabove steps are completed. The returnof this initial order will cancel this mem-ber’s business center activation. All vol-ume and related commissions paid onthis order will be deducted from theapplicable Team Members.

All product packs, including Whole-sale and Retail Kits, must be returned intheir entirety. No partial packs will beaccepted. Additionally, there will be noproduct substitutions accepted in packs.

With the exception of initial orders,all products must be returned unopenedand in resalable condition in order toreceive a refund.

Once a customer has made a returnfrom a specific order, the exchangedproducts may not be returned for addi-tional exchanges or refund.

Refunds will be issued to the creditcard which was used at time of purchase.

Synergy is not responsible for anincoming order that is delayed in transit,or for an order that does not arrive atthe appropriate Synergy warehousecomplete with a valid form of payment.Mail orders must be received by Syner-gy on or before the last business day ofthe Bonus period to be counted in thatBonus period.

Product Payments : Synergy accepts Visa,MasterCard, American Express, Discov-er Card, checks, bank drafts, and cash aspayment for products.

Bank drafts can be set up with Syner-gy after a Member is enrolled in Auto-ship. A Bank Draft Application may berequested from Customer Service.

A Team Member who has had at leastone check or bank draft returned for“insufficient funds” or “closed account”may lose ordering privileges until thesufficiency of funds is resolved. In suchcase a Team Member may permanentlylose check or bank draft product pur-chase privileges. Synergy will assess aU.S. $20 handling fee for each dishon-ored check or bank draft, even if theinstrument is again presented to thebank and honored.• A Team Member who initiates credit

card “charge backs” is deemed to have

“Disputed Balances.” The TeamMember receiving credit for the orderin question may have future purchaseamounts applied, and commissionssuspended and applied toward theDisputed Balance(s) until the disputeis resolved to the satisfaction of Syn-ergy.

Synergy Store : The Synergy Store is pro-vided for a convenience to distributorswishing to order products when theycome to the Corporate Office. The storeis open during business hours, and dur-ing Synergy sponsored events in theevenings.

Retail Sales : Synergy Team Members areexpected to resell 70% of all productspurchased from Synergy.

All retail sales should be carefullydocumented.

All Team Members should remit allnecessary sales tax as deemed by theirstate of residence.

A Team Member may not retail anySynergy product for less than the whole-sale price.

Synergy will randomly audit TeamMembers for retail sales.

Advertising : Synergy encourages TeamMembers to promote Synergy’s productsand marketing opportunities pursuant toappropriate guidelines. Failure to followthe guidelines can result in damage tothe reputation of Synergy and its prod-ucts and can trigger undesirable publici-ty and possible legal action.

When advertising Synergy products, aMember should take special care thathe/she operates and clearly designateshis/her business as independent fromSynergy. Thus, the Member shouldidentify himself/herself in the followingformat: “John/Jane Doe, SynergyWorldWide Independent Distributor.”Members may use Synergy’s “Indepen-dent Distributor” logo. This logo mayonly be used with Synergy products andnot with any competitor’s products orservices.

When advertising Synergy products,Members may not make inappropriateclaims about the products. An exampleof an inappropriate claim would be: Syn-ergy’s Germanium Plus will help curecancer. Instead, one may discuss theproduct as it relates to the system ororgan of a person’s body. An example ofa lawful statement would be: Synergy’sGermanium Plus may nutritionally sup-port or aid the immune system.

All trademarks, logos, literature, andforms produced or owned by the Syner-gy Home Office remain the property ofSynergy. Synergy literature or logos foradvertising use can be acquired from theCustomer Service Department or down-loaded from the Synergy Website(www.synergyworldwide.com).

Check or cash payments will be refund-ed via check, which will be mailed to theTeam Member.

Retail Sales Returns – Retail Kits:

Retail Kits from retail customer maybe returned to the Team Member whosponsored them within thirty (30) daysafter the retail customer purchased theproducts. The sponsoring Team Memberwill give the retail customer the refund.

Retail Packs must be returned to Syn-ergy by the Team Member who pur-chased them, not the retail customer.

The Team Member must then requestan RMA number from Customer Servicein order to exchange the products. Seeitems above.

When the entire Retail Pack isreturned, proof of retail sale must bereturned with the product, as well as theoriginal order number, and the name ofthe person who purchased the product.If applicable, the distributor ID numberand the date the business center(s) wasactivated must also be included.

The Team Member may return par-tially used product for exchange of thesame product. Exchanges will not besent until all the above information isreceived.

There will be no exchanges or refundsafter the initial 90 period, plus the 30-day retail customer return period (120days maximum, provided proof of dateof purchase is included), and no productsubstitutions.

Complete Retail Kits returned inunopened, re-salable condition mayreceive a refund or credit of 90% to theTeam Member’s account, less shippingcharges.

Return of a Retail Product Kit will

result in the cancellation of the retailpurchaser’s activated business center(s)in Synergy, their Autoship order, and adeduction of all volume and relatedcommissions from applicable TeamMembers.

Retail Sales Returns –Retail Sales of Individual Products:

Products purchased by retail cus-tomers may be returned to the TeamMember who sold them within thirty(30) days after the retail customer pur-chased the products. The sponsoringTeam Member will give the Retail Cus-tomer the refund.

In order to receive a refund orexchange on the returned products, theTeam Member must then request anRMA number from Customer Service.See items above.

When the products are returned,proof of retail sale must be returnedwith the product, as well as the originalorder number, and the name of the per-son who purchased the product.

The Team Member may return par-tially used product for exchange of thesame product. Exchanges will not besent until all the above information isreceived.

There will be no exchanges or refundsafter the initial ninety (90) day periodplus the 30-day retail customer returnperiod (120 days maximum, providedproof of date of purchase is included),and no product substitutions.

A Team Member may not record,make, or prepare audio or video presen-tations or recordings of any Synergyevent, speech, teleconference call, ormeeting without prior written approvalfrom Synergy Corporate. Permissionmust also be obtained before the sale ordistribution of any recording of inde-pendently sponsored Team Membertraining or other meetings.

In order to ensure accuracy and con-sistency of information, a Team Memberwho receives any inquiry from the pressor other media regarding any aspect ofSynergy, its products or Team Member-ships should immediately refer suchinquiry to the Marketing Department atSynergy by calling (801) 431-7600.

A Team Member may not charge forprofit a fee for any general training onSynergy products or marketing or forTeam Member produced training mate-rials without the prior written consentof Synergy Corporate.

Telephone book advertising is gener-ally prohibited. However, a Team Mem-ber may place the following listing inthe yellow pages in the categories of 1)Health, Herbs, Fitness, or Nutrition,and/or 2) Skin Care or Beauty. All list-ings for telephone publications shouldread as follows: “Synergy IndependentDistributor” followed by the TeamMember’s name, address, and telephonenumber. No Team Member may displayadvertisements using Synergy’s name,logo(s), trademarks, or product names inany telephone directory.

Synergy prohibits the use of 900 num-bers or any toll numbers for the purposeof marketing either the Synergy oppor-tunity or its products.

A Team Member may not answer thetelephone in any manner that would givecallers a reason to believe that they havereached the corporate offices of or anoffice of Synergy. Specifically, a TeamMember shall not answer the telephoneby saying “Synergy WorldWide” or“Synergy.” Team Members may answerthe telephone indicating that they are anindependent Synergy distributor.Answering machines must also complywith this policy.

A Team Member shall not alter,repackage, distribute samples, relabel orotherwise change any Synergy product,unless such packaging or samples arepurchased through Synergy. Nor shall aTeam Member sell any such productunder any name or label other than thatauthorized by Synergy.

A Team Member may not sell Synergyproducts in retail establishments unlessthe Team Member can provide propersupport to the customers. Under certaincircumstances, Synergy products may besold through Service-Related Establish-ments. A “Service-Related Establish-ment” is one that receives revenue pri-marily by providing personal service,rather than by selling products. Suchestablishments include offices of doc-tors, dentists, chiropractors, and otherhealth professionals, health clubs, gym-nasiums, barber shops, beauty shops,nail boutiques, counseling services, tan-ning centers, and other such businesseswhere the customer’s use of the estab-lishment is controlled by customermembership or appointment.

If anyone makes a legal claim against aMember as a result of his/her use ofadvertising materials created by Syner-gy, that claim should be reported to theSynergy Home Office immediately.

Self-produced Promotional Items : Synergydiscourages Team Members from pro-ducing their own promotional items fortheir own use, and prohibits TeamMembers from producing promotionalitems for resale, without express priorwritten approval of Synergy Corporate.

Federal and state laws require that anymaterials created independently orderived from Synergy’s materials (col-lectively, “Independently CreatedAdvertising Materials”) be used in amanner that does not infringe or dilutethe trademarks and rights of Synergy orany third party, does not infringe thecopyrights of Synergy or any third party,and does not make any false or mislead-ing claim about Synergy or the productsadvertised.

Independently Created AdvertisingMaterials are solely the responsibility ofthe Member who creates them and anyperson who uses them. Synergy dis-claims any right or obligation to controlthe content of Independently CreatedAdvertising Materials in any medium,including print, television, radio and theInternet. Synergy will not indemnify anyMember against any claim that Indepen-dently Created Advertising Materialsviolate the rights of any third party. Syn-ergy, however, retains the right todemand that a Member cease the use ofany Independently Created AdvertisingMaterials if, in the judgment of Synergy,such materials violate the law, Synergy’srights or the rights of any third party.

General Information : A Team Membermay not use Synergy’s intellectual prop-erty including, but not limited to, copy-rights, trademarks, logos, or tradesecrets, or any distinctive slogan orphrases used by Synergy to promote theTeam Members’ businesses. Further-more, a Team Member may not obtain,through use or filing for a trademark orcopyright application, any right, interestor title to the name, trademarks, logos,or trade secrets of Synergy and its prod-ucts. If Synergy should decide to changeor abandon any of its trade names ormarks, each Team Member must alsochange or abandon such trade name ormark.

Electronic and mass media advertisingare prohibited. A Synergy Team Mem-ber may not advertise Synergy or itsproducts or services on television, cabletelevision, radio, newspapers, e-mail, orany other form of electronic or massmedia advertising without prior writtenpermission, which can be withheld inSynergy’s discretion.

Any Member who uses the telephoneto market Synergy products must com-ply with all applicable state and federalregulations for telephone marketing andsolicitation, including registration as atelemarketer. It is Synergy’s policy thatall Members must respect the federal“do not call list” even when there issome uncertainty as to its validity orapplication as a matter of federal law.Members must clearly identify them-selves as independent from Synergy.

A Team Member may not produce forsale, personal, or business use any audio,video, or other recording of Synergy-sponsored events, teleconference calls,speeches, teleconferences, or meetings.Furthermore, Team Members may not

page in between all links from the Mem-ber’s Website and Synergy’s Websites,and that Web page must include the dis-claimer provided by Synergy’s LegalDepartment. Framing of any part ofSynergy’s Website is strictly prohibited.

Members must not register any trade-marks or names of third parties, espe-cially of companies competitive withSynergy, as metatags with Internetsearch engines. Such action is a violationof federal law, and is also cause for disci-plinary action and termination of yourSynergy Membership.

All Members shall be solely responsi-ble for any liability or damages causedby their utilization of a Website to fur-ther their Membership business.

Synergy may, from time to time, pro-hibit the advertising and marketing ofany or all of its products or services overthe Internet.

Any Member’s Website that does notcomply with these Policies and Proce-dures may result in disciplinary actionagainst the Member, including termina-tion of the Membership.

products at fairs and trade shows withconditions that the products are notshown or displayed with any other prod-ucts that are sold via network marketing.Flea markets and swap meets are prohib-ited territory for the sale and/or displayof Synergy products, opportunities, lit-erature, or services.

Team Members may not sell Synergyproducts on eBay or any other Internetauction site. This form of selling pre-cludes the personal contact that shouldbe present in a networking environment.

Internet Use : We strongly encourage theuse of our replicated Websites; however,Team Members may use the Internet topromote the Synergy opportunity andproducts by creating a Web page, homepage, or Website.

The Website may not use any Synergyname(s), trademarks, logo(s), or productname(s), or any name that otherwisedoes not meet with approval of Synergy,in the URL address or domain name.

The Website may not give to anyusers the impression or any reason tobelieve that they have reached the cor-porate office’s Website of SynergyWorldWide. The Website must stateclearly and conspicuously that it isowned and operated by an independentcontractor of Synergy and that Synergyis not liable for any statement, omission,or misrepresentation in the Website.

Any time the words “Synergy World-Wide” or “Synergy” are used as a titleon the Website, they must be precededby the words “Independent Distributor”to read “Independent Distributor ofSynergy WorldWide” or “IndependentDistributor of Synergy.” A Team Mem-ber may not use any Synergy logo unlessthe logo has the words Independent Dis-

tributor directly below it.A Team Member’s Website must accu-

rately display all trademarks owned bySynergy WorldWide. Team Membersare responsible to make all changes toreflect the latest use of Synergy names,logos, and trademarks.

A Team Member may not advertise onthe Internet by purchasing space on anyother Web page such as a search engineor commercial Website. Synergy prod-ucts may not be marketed in conjunctionwith similar or competing products fromany other company. This includes Web-based catalogs, marketplaces, eBay, etc.

A Team Member may not use mass e-mailings to promote the Synergy oppor-tunity or products. Synergy Team Mem-bers are encouraged to follow all Inter-net etiquette and applicable regulationsand to be good “Net” citizens. ThesePolicies and Procedures, including theadvertising and marketing guidelinesand restrictions regarding not practicingmedicine or diagnosing, apply to com-munications sent via e-mail. While Syn-ergy cannot monitor your e-mail, gov-ernment authorities may. A breach ofthe law can also result in immediate ter-mination of a Synergy Membership forcause.

All advertising and marketing guide-lines under these Policies and Proce-dures also apply to a Member’s use ofthe Internet to sell Synergy products oradvertise or advance the Member’s busi-ness, including those regarding notpracticing medicine or diagnosing.

All Members who want to use a Syn-ergy logo must use Synergy’s Indepen-dent Distributor Logo, not Synergy’sCorporate Logo. A “double-click” ruleapplies to all distributor Websites. Thisrule states that there must be a Web
