ARTICLE 1 THE DESIGN-BUILD DOCUMENTS § 1.1 T he Design-Build Documents form the Design-Build Contract. The Design-Build Documents consist of th is Agreement between Owner and Design-Builder (hereinafter, the "Agreement") and its attached Exhibits; Supplementary and other Conditions; Addenda issued prior to execution of the Agreement; the Project Criteria, incl uding changes to the Project Criteria proposed by the Design-Builder and accepted by the Owner, if any; the Design-Builder's Proposal and wri tten modifications lo the Proposal accepted by the Owner, if any; other documents listed in this Agreement; and Modifications issued after execution of this Agreement. The Design-Build Documents shall not be construed to create a contractual relationship of any kind (1) between the Archilecl and Owner, (2) between the Owner and a Contractor or Subcontractor, or (3) between any persons or entities other than the Owner and Design­Builder, including but not Limited to any consullanl retained by the Owner to prepare or review the Project Ciiteria. An enumeration of the Design-Build Documents, other than Modifications, appears in Article 8.

§ 1.2 The Design-Build Contract represents the entire and integrated agreement between the parties hereto and supersedes prior negotiations, representations or agreements, either written or oral.

§ 1.3 The Design-Build Contract may be amended or modified only by a Modification. A Modification is (I) a wri tten amendment to the Design-Build Contract signed by both parties, (2) a Change Order, (3) a Construction Change Directive or (4) a written order for a minor change in the Work issued by the Owner.

ARTICLE 2 THE WORK OF THE DESIGN-BUILD CONTRACT § 2.1 The Design-Builder shall fully execute the Work described in the Design-Build Documents, except to the extent specifically indicated in the Design-Build Documents to be the responsibility of others.

ARTICLE 3 DATE OF COMMENCEMENT AND SUBSTANTIAL COMPLETION § 3.1 The date of commencement of the Work shall be the date of this Agreement unless a different date is stated below or provision is made for the date to be fixed in a notice issued by the Owner. If, prior to the commencement of Work, the Owner requires time to file mortgages, documents related to mechanic's liens and other security interests, the Owner's time requirement shall be as follows: (Insert Owner's time requirements.)

The date of issuance of the final building permit by the governing authority: Provided, however, such date shall be no later than sixty (60) days from the date this Agreement is entered into, unless failure to obtain the final permit is such time due to condition beyond the control of the Design/Builder.

§ 3.2 The Contract Time shall be measured from the date of commencement, subject to adjustments of this Contract Time as provided in the Design-Build Documents. The Design/Builder shall be assessed liquidated damages in the amount of One Hundred Dollars ($100.00) per calendar day commencing upon .the first .day following Three Hundred Sixty-five (365) calendar days from the date of commencement and continuing until Subs_tantial Complet::i.on of ·..the Work has. . .oc.curred.

ARTICLE 4 CONTRACT SUM -§ 4.1 The Owner shall pay the Design-Builder the Contract-Sum in cwTent funds for the Design-Builder's performance-of the Design-Build Contract. The Contract Sum shall he one of the following: (Check the appro1}riate box.) - - -

§ 4.2.2 The Stipulated Sum is based upon the following alternates, if any, which are described in the Design-Build Documents and are hereby accepted by the Owner:

§ 4.5 CHANGES IN THE WORK § 4.5.1 Adjustments of the Contract Sum on account of changes in the Work may be determined by any of the methods listed in Article A.7 of Exhibit A, Terms and Conditions.

_§ 4.5.2 Where the Contract Sum is the Cost of the Work, with or without a Guaranteed Maximum Pri~, and no specific prQvision is made in Sections 4.3.2 or 4.4.2 for adjustment of the Design-Builder's Fee in the case_o(Changes in the Work, o{if the extent of such changes is such, in the aggregate, that application of the adjustment will causes ubstantial inequity to ilie Owner or Design-Builder, the Design-Builder's Fee shall be equitably adjusted on thebasis of the Fee established for the odginal Work, and the Contract Sum shall be adjusted accordingly. - -

ARTICLE 5 PAYMENTS § 5.1 PROGRESS PAYMENTS -§_S.1 .1 Based upon Applications for Payment submitted to the Q.Wn~r b'y the Design-Builder, the Owner shall make progress payments on account of the Contract Sum to the Design-Builder as provided below and elsewhere in the Design-Build Documents. ~

§ 5.1.2 The period covered by each Application for Payment shall be one calendar month ending on the last day of the _ month, or as follows:

§ 5.1.3 Provided that an Application for Payment is received not later than the LAST day of month, the Owner -shall make payment to the Desi.gn-Builder not later than the TWENTI~_TH day of the f ollowi:mgith. - or invoices with check vouchers attached, a{id any"other evidence required by the Owner to demonstrate that cash disbursements already made by the pesign-Builder on account of the Cost of the Work equal or exceed (l)progress payments already received by the Design-Builder, less (2) that portion of those payments attdbutable to the Design­Builder's Fee; plus (3) payrolls for the period covered by the present Application fm~ Paytnefit. .. .

9_5.1.5.With each AppllC~tion for Payment where the Contract Sum is based upo1flt .Stipulated Sum or Cost of the Work with a Guaranteea_:Maximum Price, the Design-Builder shall submit the most recent schedule of values in accordance with the Design-Build E>ocuments. The schedule of values shall allocate the entire Contract Sum among the various portions of the Work. ~ompensation for design services shall be shown separately. Where the Contract Sum is based on the Cost of the Work with a Guaranteed Maxlinum Price, the Design-Builder's Fee shall be shown separately. The schedule of values shall be P.·epared in such form and supported by such data to substantiate its accuracy as the Owner may require. This schedule of values, unless oojected to by the Owner, shall be used as a basis for reviewing the Design-Builder's Applications for Payment.

§ 5.1.6 In takillg action on the Design-Builder's Applications for Payment, the Owner shall be entitled to rely on the accuracy and completeness of the information furnished by the Design-Builder and shall not be deemed to have made a detailed examination, audit or arithmetic verification of the documentation submitted in accordance with Sections 5.1.4 or 5. 1.S, <_>r other supporting data; to have made exhaustive or continuous on-site inspections; or to have made examinations to

- ascettain how or for what purposes the Design-Builder has ~sed amounts previously paid on account of the Agreement. 0 ~ Such examinations, audits and verifications, ifrequired by-the Owner, will be pe1formed by the Owner's accountants

acting in the sole interest of the Owner.

§ 5.1.7 Except with the Owner's prior appr9v_c\l, tne Design-Builder shall not make advance paymentsto s_uppliers for materials or equipment which ha\len6t_ b_een delivered and stored at the site. -

- - - -§ 5.2 PROGRESS PAYME~.TS- STIPULATED SUM _ " § 5.2.1 Applications for Payment where the Contract Sum is based upon a Stipulated.Sum shall indicate the percentage of completion of each portion of the Work as of the end of the period covered ~y the Application for Payment.

§ 5.2.2 Subject to other provisions of the Design-Build Documents, the amount of each progress payment shall be computed as follows;

.1 Take that portion of the Conlracl Sum properly allocable to completed Work as determined by multiplying the percentage completion of each portion of the Work by the share of the Contract Sum allocated to that portion of the Work in the schedule of values, less retainage of percent ( %) on the Work, other than services provided by design professionals and other consultants retained directly by the Design-Builder. Pending final determination of cost to the Owner of Changes in the Work, amounts not in dispute shall be included as provided in Section A.7.3.8 of Exhibit A, Terms and Conditions; -

.2 Add that portion of the Contract Sum properly allocable to materials and equipment delivered and suitably stored at the site for subsequent incorporation in the completed construction (or, if approved in advance by the Owner, suitably stored off the site at a location agreed upon in writing), less retainage of percent ( %);

.3 Subtract the aggregate of previous payments made by the Owner; and

.4 Subtract amounts, if any, for which the Owner has withheld payment from or nullified an Application for Payment as provided in Section A.9.5 of Exhibit A, Terms and Conditions.

§ 5.2.3 The progress payment amount determined in accordance with Section 5.2.2 shall be further modified under the following circumstances;

.1 add, upon Substantial Completion of the Work, a sum sufficient to increase the total payments to the full amount of the Contract Sum, less such amounts as the Owner shall determine for incomplete Work, retainage applicable to such work and unsettled clail!1s; and (Section A.9.8.6 of Exhibit A, Terms cmd Conditions ,~equires release of applicable retainage upon Substantial Co111pletio11 of Work with consent of surety, if any.)

.2 add, if final completion of the Work is thereafter materially delayed tlu·m1gh no fault of the Desig1)­Builder, any additional amounts payable in accordance with Section A.9. 10.3 of Exhibit A, Terms and Conditions.

§ 5.2.4 Reduction or limitation of retainage, if any, under Section 5.2.2 shall be as follows: (if it is intended, prior lo Substantial Co111pletion of the entire Work, to reduce or limit the retainage resulting from the percentages inserted in Sections 5.2.2. I and 5.2.2.2 above, and this is not eAplained elsewhere in tire Design-Build Documents, insert here provisions for such reduction or li111itation.)

§ 5.3 PROGRESS PAYMENTS - COST OF THE WORK PLUS A FEE § 5.3.1 Where the Contract Sum is based upon the Cost of the Work plus a fee without a Guaranteed Maximum Price, Applications for Payment shall show the Cost of the Work actually incurred by the Design-Builder through the end of the period covered by the Application for Payment and for which Design-Builder has made or intends to make act1ial payment prior to the next Application for Payment.

§ 5.3.2 Subject to other provisions of the Design-Build Documents, the amount of each progress payment shall be computed as follows:

. 1 Take the Cost of the Work as described in Exhibit B;

.2 Add the Design-Builder's Fee, less retainage of ( % ). The Design­Builder's Fee shall be computed upon the Cost of the Work described in the preceding Section 5.3.2. l at the rate stated in Section 4.3.2; or if the Design-Builder's Fee is stated as a fixed sum in that section, an amount which bears the same ratio to that fixed-sum Fee as the Cost of the Work in the preceding section bears to a reasonable estimate of the probable Cost of the Work upon its completion;

.3 Subtract the aggregate of previous payments made by the Owner;

.4 Subtract the shortfall, if any, indicated by the Design-Builder in the documentation required by Section 5 .1.4 or resulting from errors subsequently discovered by the Owner's accountants in such documentation; and

.5 Subtract amounts, if any, for which the Owner has withheld or withdrawn a Certificate for Payment as provided in the Section A.9.5 of Exhibit A, Terms and Conditions.

§ 5.3.3 Retainage in addition to the retainage stated at Section 5.3.2.2, if any, shall be as follows:

§ 5.3.4 Except with the Owner's prior approval, payments for the Work, other than for services provided by design professionals and other consultants retained directly by the Design-Builder, shall be subject to retainage of not less than

( %). The Owner and Design-Builder shall agree on a mutually acceptable procedure for review and approval of payments and retention for Contractors.

§ 5.4 PROGRESS PAYMENTS - COST OF THE WORK PLUS A FEE WITH A GUARANTED MAXIMUM PRICE § 5.4.1 Applications for Payment where the Contract Sum is based upon the Cost of the Work Plus a Fee with a Guaranteed Maximum Price shall show the percentage of completion of each portion of the Work as of the end of the period covered by the Application for Payment. The percentage of completion shall be the lesser of ( 1) the percentage of that portion of the Work which has actually been completed; or (2) the percentage obtained by dividing (a) the expense that has actually been incurred by the Design-Builder on account of that portion of the Work for which the Design-Builder has made or intends to make actual payment prior to the next Application for Payment by (b) the share of the Guaranteed Maximum Price allocated to that portion of the Work in the schedule of values.

§ 5.4.2 Subject to other provisions of the Design-Build Documents, the amount of each progress payment shall be computed as follows:

.1 Take that portion of the Guaranteed Maximum Price properly allocable to completed Work as determined by multiplying the percentage of completion of each portion of the Work by the share of the Guaranteed Maximum Price allocated to that portion of the Work in the schedule of values. Pending final determination of cost to the Owner of changes in the Work, amounts not in dispute shall be included as provided in Section A.7.3.8 of Exhibit A, Terms and Conditions;

.2 Add that portion of the Guaranteed Maximum Price properly allocable to materials and equipinent delivered and suitably stored at the site for subsequent incorporation in the Work, or if approved in advance by the Owner, suitably stored off the site at a location agreed upon in wtiting;

.3 Add the Design-Builder's Fee, less retainage of ( % ). The Design­Builder's Fee shall be computed upon the Cost of the Work described in the two preceding sections at the rate stated in Section 4.4.2 or, if the Design-Builder's Fee is stated as a fixed sum in that section, shall be an amount that bears the same ratio to that fixed-sum fee as the Cost of the Work in the two preceding sections bears to a reasonable estimate of the probable Cost of the Work upon its completion;

.4 Subtract the aggregate of previous payments made by the Owner;

.5 Subtract the shortfall, if any, indicated by the Desig n-Builder in the documentation required by Section 5.1.4 to substantiate prior Applications for Payment, or resulting from errors subsequently discovered by the Owner's accountants in such documentation; and

.6 Subtract amounts, if any, for which the Owner has withheld or nullified a Certificate for Payment as provided in Section A.9.5 of Exhibit A, Terms and Conditions.

§ 5.4.3 Except with the Owner's prior approval , payments for the Work, other than for services provided by design professionals and other consultants retained directly by the Design-Builder, shall be subject to retainage of not less than

The requirements set forth in this Exhibit "C" are based on insurance provisions and requirements set forth in Article 11 of AJA Document A141-2004, Exhibit A, as modified by this document ("AJA Document Al 41-2004, Exhibit A"), and the completion of these instructions is presumed to be based thereon.

D. PROFESSIONAL LIABILITY INSURANCE

The Design-Builder shall hire a professional architect services under the Agreement, provide professional liability insurance that compensates the Owner for all negligent acts, errors and omissions by the Architect, agent, employees and consultants of the Architect arising out of the Agreement. The Owner shall be named beneficiary of such insurance, which shall provide coverage of not less than $500,000 per claim and $1,000,000 aggregate.

E. BONDS

(1) A Performance Bond, Payment Bond and Statutory Bond as described in Paragraph 11.5 of AIA Document Al 41-2004, Exhibit A, and in the Additional Documents as that term is defined in Paragraph 1.1.1 of A1A Document Al41-2004, Exhibit A, shall be provided in the following amounts:
