SECTION 00 1117 - BID INFORMATION
1.01 Bid Invitation and Submission for the above referenced project shall be by e-mail to the location as indicated in the Invitation to Bid.
1.02 Bids are to be received no later than 3:00 PM Central Standard Time on the date defined by the Owner. LATE BIDS WILL NOT BE ACCEPTED FOR CONSIDERATION.
1.03 Bidders agree in submitting a proposal that the bid will remain firm for a period not less than ninety (90) days from the bid due date stipulated. Bids to receive consideration must be complete and cover the full scope of work described in the bid documents and must include unit pricing (see attached). Substitutions for material and equipment listed in the bid documents is not permitted. Clarifications and acknowledgement of Addenda shall be noted in the bid proposal.
1.04 By submitting a bid each bidder represents and acknowledges the following:
A. They have read and understand the bid documents and their bid is made in accordance therewith. Bid shall acknowledge and record the bid documents issuance dated and index of drawings;
B. Basis of payment is a LUMP SUM;
C. Bidder has visited the site (General Contractor and/or Subcontractor) and has familiarized themselves with local conditions under which the work is to be performed. Discrepancies between existing conditions and bid documents shall be identified, written, and submitted to Owner for clarification prior to bid submission. Compensation for unidentified discrepancies shall be at the Owner's discretion for payment.

PART 1 - PRE-BID REQUIREMENTS 1.01 INTENT
A. The Owner/Architect has made every effort to set forth in the Bid Documents the complete scope of the Work. Nevertheless, minor omissions and discrepancies shall not excuse the Bidder from providing a price to totally complete the project in accordance with the intent of these documents. Bring any conflicts, omissions, or discrepancies to the attention of the Owner prior to submission of an executed bid form. These issues shall be communicated via fax or email only. No verbal direction is allowed. After execution of the Contract, no extra charges will be allowed for items of work where such are concluded to conform to normal construction practices and methods.
1.02 CONFIRMATION

1.03 CONTRACT FORMS

Should the Owner elect to enter into an agreement to execute the Work, the listed forms prepared by Buffalo Wild Wings, Inc. shall be used. 1.04 LAWS AND REGULATIONS
A. All applicable federal, state, and local laws and ordinances, as well as the rules and regulations of the jurisdiction where the work is to be executed, shall apply to the Contract throughout. These will be deemed to be included in the Contract to the same extent as though herein written, including, but not limited to the following: Rules and regulations issued by the City of Sedalia. Rules and regulations issued by the State of Missouri. Rules and regulations issued by the Pettis County Department of Health. Rules and regulations issued as part of a developers agreement.
1.05 COMPLETION TIME
A. Evaluation of each Bid will include serious consideration of the time of completion. The Bidder shall be prepared to execute the Contract to accommodate the Owner's commitments and shall govern himself accordingly in completing the Bid Form.

2.02 PREPARATION OF BIDS
A. The Bid shall be prepared using the Bid Form template forwarded electronically by Buffalo Wild Wings, Inc.; no other forms will be considered. a) Bids shall be submitted electronically to the following email address: [email protected]

b) Bids shall include the Bidder's legal name, fully written. c) Oral, telegraphic, or other modifications will not be considered. d) Bids shall include a preliminary construction schedule. e) Bids shall include a list of qualifications and or exclusions. f) Bid period is approximately three (3) weeks.
B. Bid Forms shall be sent for delivery prior to the date and time indicated in the Invitation to Bid Letter.
C. Late bids will not be accepted without prior communication and approval from the Construction Manager via email; Development Coordinator should be ccd on the email.
D. Any bids submitted with the Construction Manager included will be automatically disqualified.
2.03 OWNERS RESPONSE TO BIDS
A. Submitted Bid Forms will be opened and read privately on the date indicated in the Invitation to Bid Letter. Notice of award will be made by the Owner after consideration of Bids received.
B. The Owner reserves the right to respond to the Bids as follows: Reject any or all Bids without explanation. Waive technicalities. Advertise for new bids. Proceed to do the work otherwise.
C. The following Bids may be rejected as being informal: Bids that fail to meet the requirements of these instructions. Bids that are incomplete, conditional, or obscure. Bids that contain additions not called for, erasures, alterations, or other irregularities. Bids that contain abnormally high or abnormally low prices for any class or item of work.
PART 3 - CONTRACT EXECUTION 3.01 POST-BID SUBMITTALS
A. After notification of selection for the award of a Contract, but prior to issuance of a Construction Agreement, the Bidder shall submit the following to the Owner in writing. A designation of the work to be performed with the Bidder's own forces. Names of the manufacturers, products and the suppliers of principal items or systems of materials and equipment proposed for the Work. Names of persons or entities proposed for the execution of principal portions of the Work.
B. The Owner will notify the Bidder in writing if the Owner has reasonable objection to a Subcontractor proposed by the Bidder. If the Owner has reasonable objection to a proposed Subcontractor, the Bidder may, at the Bidder's option: Withdraw the bid. Submit an acceptable substitute subcontractor with an adjustment in the Bid to cover the difference in cost.

C. The Owner may accept the adjusted Bid Price or disqualify the Bidder. Persons and entities accepted by the Owner must be used on the work for which they were proposed and shall not be changed except with the written consent of the Owner.
3.02 INSURANCE AND BONDS
A. Insurance: Upon receipt of a written Notice to Proceed, the Bidder shall furnish to the Owner a certificate of insurance in compliance with the requirements of the following: General Conditions of the Contract. Special Conditions of the Contract.
B. Performance and Payment Bonds (if required by Owner): Upon receipt of a Construction Contract, the Bidder shall furnish to the Owner a Performance Bond and Labor & Materials Payment Bond, both for the full amount of the Contract. The bonds shall be provided by a properly qualified surety company. The cost of the Performance and Payment Bonds shall be indicated on the Bid Form and shall be included in the total proposed Contract Amount.
3.03 LABOR FORCE
A. Cooperation: The Bidder is advised that the Work may be performed within a building currently occupied by the public. The Bidder shall assure the Owner that he will provide labor that can work without unduly disturbing the public and ongoing operations within the building.
B. Non-Discrimination: The Bidder is advised that the Owner will not tolerate any discrimination on the basis of age, gender, race, national origin, or sexual orientation by the Bidder or Subcontractors.
C. The Contractor shall provide a full time, on-site Superintendent for the Project. The Superintendent shall be onsite from the Mobilization Phase until after the Grand Opening Day.

A. Geotechnical Investigation (Subsurface Soils Tests) for the project site has been performed and a report of that investigation has been completed. A copy of the investigation report is contained within Section 00 3133.
1.02 SUBSURFACE INFORMATION
A. Log of borings indicates materials penetrated at specific locations. Owner and/or Architect assume no responsibility for any conclusions or interpretations made by Contractor related to information included in the Report. Should Contractor require additional information concerning sub-surface conditions, he may without cost to Owner, make additional investigations. Should additional investigations produce information different from that in Soil Report, notify Owner in writing.

A. PERSONAL GUARANTY OF CONSTRUCTION CONTRACT
To induce Blazin Wings, Inc. (Owner) to execute and deliver the Construction Contract
between Owner and Contractor (Contract) to which this Guaranty is attached, said Contract being between Owner and (Contractor), and relating to the improvements of property at in the City of , , the undersigned (Guarantor, whether one or more), a principal of Contractor or other person who will benefit directly from the existence of the Contract, for himself or herself, his or her heirs, successors and assigns, unconditionally, absolutely and irrevocably: (i) guarantees the full and punctual payment and performance of each of the terms, covenants, conditions and indemnifications to be kept or performed by Contractor under the terms of the Contract, including any modifications thereof (including, without limitation, such modifications thereof made after a purported revocation of this Guaranty); and (ii) agrees as follows:
1. This Guaranty is an absolute, primary, and continuing, guaranty of payment and
performance and is independent of Contractors obligations under the Contract.
2. Guarantor waives any right to require Owner to: (a) join Contractor with Guarantor in any suit arising under this Guaranty; or (b) pursue or exhaust any other remedy in Owners power. Until all of Contractors obligations to Owner have been discharged in full, Guarantor shall have no right of subrogation against Contractor.
3. Guarantor hereby waives all presentments, demands for performance, notices of
nonperformance, protests, notices of protest, dishonor and notices of acceptance of this Guaranty, and waives all notices of existence, creation or incurring of new or additional obligations from Contractor to Owner.
4. Guarantor further waives all defenses afforded guarantors or based on suretyship or
impairment of collateral under applicable Laws, other than payment and performance in full of Contractors obligations under the Contract.
5. The liability of Guarantor under this Guaranty will not be affected by (a) the release or
discharge of Contractor from, or impairment, limitation or modification of, Contractors obligations under the Contract, including without limitation, arising out of any bankruptcy, receivership, or other debtor relief proceeding, whether state or federal and whether voluntary or involuntary; (b) the rejection or disaffirmance of the Contract in any such proceeding; or (c) the cessation from any cause whatsoever of the liability of Contractor under the Contract.
6. This Guaranty shall be binding upon the heirs, legal representatives, successors and
assigns of Guarantor and shall inure to the benefit of Owners successors and assigns. If this Guaranty is signed by more than one person the obligations of each signatory hereto shall be

ARTICLE 1 CONTRACT DOCUMENTS
1.1 The Contract Documents consist of the Contract, these General Conditions,
Lease, Drawings and Specifications, all Exhibits to the foregoing, all addenda issued prior to execution of this Contract, and all modifications issued by Owner subsequent thereto (hereinafter the Contract Documents). The intent of the Contract Documents is to include all items necessary for the proper execution and completion of the Work. The Contract Documents are complementary and what is required by any one shall be as binding as if required by all. Work not covered in the Contract Documents will be required if it is consistent with the Contract Documents and is reasonably inferable therefrom as being necessary to produce the intended results. In case of a conflict in terms, subject to the provisions of this Section 1.1, the terms of the Contract shall prevail over the terms of any other Contract Document, and the Plans and Specifications shall prevail over these General Conditions.
1.2 Contractor acknowledges that all Contract Documents have been made available
to or provided to Contractor for its review. The completeness and correctness of the Contract Documents shall be verified by Contractor before the execution of the Contract by Contractor. The Contractor shall not proceed with the Work if any error, ambiguity or disagreement appears to exist on any portion of the Contract Documents, but shall immediately notify Owner and submit a written request for an explanation or decision to Owner. Should Contractor proceed without a written response by the Owner, Contractor shall be so doing so at its own risk and expense, and shall not be entitled to any relief in the form of additional time or money.
ARTICLE 2
SUBMITTALS
2.1 By submitting its bid, Contractor represents that it has carefully reviewed the Contract Documents, and is familiar with the Project conditions and details applicable to all Work required under this Contract.
2.2 Contractor shall review, approve and submit directly to Architect, with reasonable
promptness and in such sequence as to cause no delay in the Work, all shop drawings, product data and samples required by the Contract Documents. By approving and submitting shop drawings, product data and samples, Contractor represents that it has determined and verified all materials, field measurements and field construction criteria related thereto, and that it has checked and coordinated all information contained therein, including but not limited to layouts and existing utility locations. If Contractor at any time believes that Architects failure to respond to submittals is in any way impeding or delaying the Work, Contractor shall immediately notify the Owners Representative.

2.3 Architect and/or Owners approval of submittals tendered hereunder is for general design only and shall not relieve Contractor of its obligation to perform the Work in strict accordance with Contract Documents and applicable codes, laws, ordinances, rules, regulations and lawful orders of public authorities (collectively, Laws).
ARTICLE 3
TIME OF COMMENCEMENT AND COMPLETION
3.1 Contractor shall commence the Work upon a notice to proceed from Owner.
3.2 Substantial Completion shall mean that the Work is completed to allow Owner to obtain, and Owner does obtain, its Certificate of Occupancy, subject only to Contractor completing the Punch List Work as provided in Article 15.
3.3 Contractor shall achieve substantial completion of the Work, unless modified by
change order as set out herein, by the Substantial Completion Date set forth in the Contract. Prior to or in conjunction with the pre-construction meeting scheduled by Owner (Pre- construction Meeting), Contractor will furnish to Owner, for Owners comment and approval, a Construction Project Schedule (Construction Project Schedule), scheduling the progress of the Work that shall meet the Substantial Completion Date, and Contractor shall at all times schedule the Work such that the components of the Work shall be completed on the applicable dates set out in the Construction Project Schedule. Contractor shall incorporate Owners requirements for installation of fixtures, furnishings and equipment into its Construction Project Schedule.
3.4 Upon approval by Owner, the Construction Project Schedule shall become a
Contract Document and may be revised only with the written consent of Owner.
3.5 TIME IS OF THE ESSENCE OF THIS AGREEMENT. Contractor acknowledges that Owner will suffer great financial loss, for which Contractor shall be liable, if the Work is not completed by the Substantial Completion Date. Contractor shall maintain the progress of the Work in accordance with the Construction Project Schedule or any agreed upon revision thereof. Contractor shall begin its Work at the time specified by Owner and perform its Work with diligence and sufficient manpower to maintain the progress of the Work. In the event that Owner reasonably believes that the Project is in jeopardy of not meeting the Substantial Completion Date, Owner shall have the option upon written notice to Contractor to require Contractor to immediately take measures to accelerate the Work in order to meet the Substantial Completion Date. The cost of such acceleration shall be borne by Contractor.
3.6 Execution of this Contract is a certification by Contractor that the required
materials and labor are available to perform the Work in accordance with the Construction Project Schedule.
3.7 Contractor shall have a representative on call (the Store Opening
Representative) from the Substantial Completion Date through the closing of the stores first date of business to respond to Punch List, startup and/or warranty issues. The Store Opening

Representative shall be Contractors project manager, site superintendent, or other person subject to Owners approval.
ARTICLE 4
PERMITS, FEES, AND COMPLIANCE WITH LAWS
4.1 The Contractor shall secure and pay for the building permit. The amount paid to the issuing authority for the building permit shall be reimbursed by the Owner without payment of Contractors overhead or profit upon receipt of a copy of the building permit and proof of payment of the cost of the permit. Contractor shall pay for all other permits, governmental fees, licenses and inspections necessary for proper execution and completion of the Work and the cost thereof shall be included in the Contract Sum. Contractor shall promptly send to the Owner a photocopy of all permits or licenses required in connection with the construction of the Project.
4.2 The Contractor shall comply with and give notices required by Laws applicable to
performance of the Work. The Contractor shall promptly notify the Architect and Owner if the Drawings and Specifications are observed by the Contractor to be at variance therewith. If the Contractor performs Work knowing it to be contrary to Laws, without such notice to the Architect and Owner, the Contractor shall assume responsibility for such Work and shall bear the costs attributable to correction. It is the Contractors responsibility to make sure that the Work, as constructed, complies with all applicable government requirements and codes, including local codes and ordinances, which bears on performing the Work, whether or not reflected in the Contract Documents.
ARTICLE 5
CONTRACT SUM
5.1 Owner shall pay Contractor for the performance of the Work, subject to additions and deductions by written change order as set out below, the Contract Sum set forth in the Contract. The Contract Sum includes all applicable federal, state and local taxes, and the cost of all permits required to construct the Work, other than the building permit, the cost of which Owner shall reimburse pursuant to Section 4.1. This is a lump sum contract and, except as expressly provided herein, the Contract Sum can be decreased or increased only by a written change order signed by Owner.
5.2 Contractor shall provide the State tax sales/use ID number for the jurisdiction in
which the Work is to occur. Further, Contractor will identify in its Sworn Construction Statement the amount of sales tax included in the Contract Sum and identify the specific items that are subject to sales tax.
5.3 For agreed-upon Changes in the Work performed by Contractors own forces, in
accordance with Article 7, the Contract Sum shall be adjusted by mutual agreement, or alternatively, by the Actual Cost (as defined in Section 7.2.1.1) of the Change in Work plus a five percent (5%) mark-up for profit and Overhead (as defined in Section 7.2.1.2).

5.4 For Changes in the Work performed by subcontractors, the Contract Sum shall be adjusted by mutual agreement, or alternatively, the Actual Cost (as defined in Section 7.2.1.1) of the Change in Work, plus ten percent (10%) mark-up for the subcontractor plus a five percent (5%) mark-up for Contractors profit and overhead.
ARTICLE 6
PROGRESS AND FINAL PAYMENTS
6.1 On the first day of each month, Contractor shall submit an application for payment (Application for Payment) to Owners Representative covering the Work accomplished through the last day of the previous calendar month, along with such documents as required by Owner for materials suitably stored on-site pursuant to the direction and approval of Owner. Payment shall be made on 90% of the approved Application for Payment within 30 days from the date of Owners receipt of a valid and complete Application for Payment (or, if the 30th day falls on a weekend or holiday, on the first working day thereafter); provided, however, that Owner may refuse to pay any amounts it believes are in excess of the percentage of Work actually completed. In addition, Owner may withhold payment as provided in Article 17 below.
6.2 Each Application for Payment shall be supported on forms to be supplied by
Owner and other documents as may be required by Owner and/or Landlord. Contractor shall provide original lien waivers as follows (i) from Contractor in the form attached as Exhibit E effective through the last date covered for the Application for Payment; and (ii) from all subcontractors and Major Suppliers, defined as any supplier providing materials in excess of $2,000, in the form attached as Exhibit G effective through the last date covered by the previous Application for Payment. PDF, facsimile or other copies will not be accepted.
6.3 Completion of the Work shall mean: (1) full performance of all Contract
terms; (2) acceptance of the Work by Owner; (3) resolution of all outstanding Change Orders; and (4) completion of all punch-list items. Final Payment, constituting the entire unpaid balance of the Contract Sum, plus retainage, shall be paid by Owner to Contractor upon Contractors Completion of the Work, and upon receipt of the following documents:
6.3.1 Final Releases of Liens from both the General Contractor, all
subcontractors and Major Suppliers in the form attached as Exhibit F;
6.3.2 Delivery of all written warranties and operation manuals for equipment and systems provided by or through Contractor;
6.3.3 A CD of as built drawings;
6.3.4 Delivery of all original permits, licenses, and approvals for the Work
and/or Project, including the final Certificate of Occupancy; and
6.3.5 Signed punchlist by store manager.

6.4 Contractor shall pay each subcontractor the amount listed on the pay application for such subcontractor within seven days of Contractors receipt of payment from Owner. All payments received from Owner shall be held in trust by Contractor and used solely for the Project (including without limitation, payment to subcontractors and suppliers to the Project) and not be diverted to other projects or uses.
ARTICLE 7
CHANGES IN WORK
7.1 Lump Sum Change Order.
7.1.1 Owner may, at any time, by a written order, make changes to the Drawings and Specifications (Change in Work). Contractor shall notify Owner of any changed conditions or Owner directives which Contractor believes entitles Contractor to an adjustment in the Contract Sum or Substantial Completion Date within forty-eight (48) hours of becoming aware of said potential increase and prior to performing any Change in Work.
7.1.2 When a condition is identified which requires a Change in Work or a
revision to the scope of Contractors Work, Owner shall submit to Contractor a Proposal Request which will stipulate details and terms of the required Proposal. Owner and Contractor
