2020/016 RESOLVED Crs Batten/Donald that Orana Joint Organisation suspend standing orders, to consider item 4.2 Orana Joint Organisation Funding prior to Item 4.1 Rescission Motion.

The Chair spoke to meeting, advising that the Office of Local Government would alter the $150,000 agreement for the Capacity Building Fund and re-direct it towards sustainability funding.
In addition, the Orana Joint Organisation has been advised by Director Western NSW Department of Regional NSW that the project identified for the Capacity Building Fund, will be funded via an alternate source of State Government funding along with the Orana Joint Organisation now being in a position to have a real opportunity to partner with the State Government for the delivery of two (2) regional scale projects being the Gig State and the Narromine to Nyngan pipeline, thereby providing further ongoing funding streams for the Joint Organisation.

4. REPORTS4.1. RESCSISSION MOTION – ORANA JOINT ORGANISATION FUNDING
It was moved Crs Donald/Todd that Item 2 of the Rescission Motion be amended to state that the Orana JO Board direct the Executive Officer to enter into the Capacity Building Funding Agreement after June 2020, and that a variation be sought under the existing terms of the agreement to redirect this to towards sustainability funding, and give approval for a member Council to accept the funding in the case of the Orana JO winding down its functions effective 31 December 2020.
The Rescission motion with the above amendment was put to the vote and LOST.

This report is presented to the Orana JO Board to note the expiration of the Executive
Officer’s contract, commitment over her tenure of employment, and to advise the
Board of any governance matters in relation to same.

At the Board meeting of 27 March 2020, the Board resolved to (Resolution 2020/004)

At the Extra Ordinary Board Meeting held on 7 April 2020, Cr Batten requested that

The current Executive Officer’s contract expires on 14 June, 2020 and, in accordance
with the advice provided by the Office of Local Government in August 2019, no further
extensions are allowable to the contract.

The Executive Officer has provided regional leadership through both her current role,
and previously as the Executive Officer to the Orana Regional Organisation of Councils
for over 10 years. Her service has been exemplary and universally well regarded at all
levels of government.
I would like to personally thank Belinda Barlow for her service and, in particular the work
that she has done to assist me in my role as Chair over the past 6 months.

Executive Summary This report provides the Orana JO Board with information on the outstanding governance items, reporting requirements and Executive Officer’s contract and financial and projected budget position with a view to finalising the Orana JO’s commitments by 30 June 2020, as resolved by the Board on 27 March 2020.
Report The Orana Joint Organisation held an Extraordinary Board Meeting on 7 April 2020 to consider a rescission motion to rescind parts 2 and 3 of Motion 2020/004 and Motion 2020/007 from the Orana JO Board Meeting held on 27 March 2020.
The rescission motion (with an amendment made at the meeting) was put to the vote and lost. A note by way of Notice of Motion was also put forward at the meeting.
The Executive Officer sought urgent advice from the Office of Local Government as to the status of these motions.
The Office of Local Government advised that as the Rescission Motion (and its amendment) was put to the vote and lost, Motions 2020/004 and 2020/007 stand.
Furthermore, it was reiterated by the Office of Local Government that when a motion to alter or rescind a resolution has been lost or if a motion which has the same effect as a previously lost motion is lost, no similar motion may be brought forward within three (3) months of the meeting at which it was lost.
This clause may not be evaded by substituting a motion differently worded, but in principle the same (Clause 15.7 Orana JO Code of Meeting Practice, reflects section 372(5) of the Act.)
Fundamentally, no motions on this matter can be accepted or considered until the three (3) month period expires which will be 27 June 2020.

State Government Funding
To date there is no commitment from the State Government regarding the recurrent funding of the day to day operations of the Orana JO. Any funding opportunities put forward by the State Government were considered at the Orana JO Extraordinary Board Meeting of 7th April 2020. However, the Minister’s Office has advised that the Office of Local Government has provided the Orana Joint Organisation with $150,000 as part of the JO Capacity Building Funding Program. Orana Joint Organisation had applied for this money to deliver a regional skills analysis program, however in recognition of the specific sustainability issues, currently faced by the Joint Organisation, Office of Local Government has agreed that through a variation of the funding agreement, the JO will be able to use these funds towards developing a strategy to become financially sustainable (see Attachment No. 1).
Dissolution of the Orana Joint Organisation
The Office of Local Government has advised that Joint Organisations cannot resolve to dissolve themselves. They can only be wound up through an amendment of the proclamation which formed the Joint Organisation by the Governor of NSW. The Joint Organisation would need to apply to the Minister for Local Government seeking approval and recommendation to the of NSW of an amendment to the proclamation.

It would then be a matter for the Governor to amendment or revoke a proclamation for the purpose of amending the constitution of, or of dissolving, a Joint Organisation.
It is noted in the attachment, that the Minister for Local Government strongly supports the continuation of the Orana Joint Organisation, and furthermore states that if the Dubbo Regional Council’s vote on a motion to join the Orana Joint Organisation is successful, this will also contribute to the financial sustainability of the Joint Organisation.
Each Member Council may therefore wish to consider at its next Council Meeting as to whether it wishes to remain as a continuing member of the Orana Joint Organisation. Should all existing members wish to withdraw their membership and Dubbo Regional Council resolves not to become a member of the Orana Joint Organisation, then the Orana Joint Organisation could resolve to apply to the Minister for Local Government seeking approval and recommendation to the Government of NSW of an amendment to the proclamation.

Thank you for your email.
I can advise that in the same way a Council cannot move a motion to dissolve itself, nor can a Joint Organisation (JO). JOs can only be wound up through an amendment of the proclamation which formed the JO by the Governor of NSW. A JO would need to apply to the Minister for Local Government seeking approval and recommendation to the Governor of NSW of an amendment to the proclamation.
The Minister for Local Government strongly supports the continuation of the Orana JO.
I have also been advised that OLG has provided the Orana JO with $150,000 as part of the JO Capacity Building funding program. Orana JO had applied for this money to deliver a regional skills analysis program - Shaping a Responsive and Robust Region 2020, however in recognition of the specific sustainability issues currently faced by Orana JO, OLG has agreed that, through a variation of the funding agreement, the JO will be able to use those funds towards developing a strategy to becoming financially sustainable.
On Monday, Dubbo Regional Council will vote on a motion to join the Orana JO, and if successful this will also contribute to the financial sustainability of the JO, further allaying the concerns that brought about this motion.

About the Orana Joint Organisation
Membership The Orana Joint Organisation (OJO) was proclaimed under the Local Government Act 1993 in May
2018 with the inaugural Orana JO Board meeting held in June 2018 at Gilgandra Shire Council.
Membership of the Organisation is voluntary, and current the current membership is made up of:
• Bogan Shire Council• Gilgandra Shire Council• Narromine Shire Council
• Mid-Western Shire Council• Warren Shire Council• Warrumbungle Shire Council
The Orana JO Board comprises the Mayors of the Member Councils (the voting members), as well
the NSW Government, represented by a nominee of the Secretary of the Department of Premier and
Cabinet, currently the Department of Premier and Cabinet, Director Western Region (a non-voting
member) and the General Managers of the Member Councils (also non-voting members). The Board
is supported by an Executive Officer.
Purpose Joint Organisations (JOs) are legal entities established by the NSW Government to work across
traditional council boundaries. JOs aim to transform the way that the NSW Government and local
councils work together to collaborate, plan, set priorities and deliver projects on a regional scale
across the state.
Role and Function The principle functions of the OJO are to:
1. Strategic Planning: Establish strategic regional priorities for the Joint Organisation area andto be an advocate for strategic regional priorities.
2. Leadership and Advocacy: Provide regional leadership for the Joint Organisation area and tobe an advocate for strategic regional priorities.
3. Intergovernmental Collaboration: Identify and take up opportunities for intergovernmentalcooperation on matters relating to the Joint Organisation area.
In addition, the OJO will also provide support for the operations of its Member Councils aimed at
strengthening local government in the Joint Organisation area.

About the Orana Region
The Orana Region stretches from Mudgee and Coonabarabran in the east to Nyngan in the west, covering an area of 74, 074 square kilometres.
Population
The Orana region has a population of 121, 605 people living across an area predominately classified as rural. The median age is between 40-49 years. The region has experienced an average annual population growth of just under 0.40% over the ten years from 2007, with continued growth in Mid-Western Regional Council, whilst other Council areas are experiencing net population declines.
Industry and Employment
Orana’s Gross Regional Product is estimated at $8.075 billion, 1.4% of the New South Wales’ Gross State Product. Major industries in the region include agriculture, forestry and fishing followed by mining, healthcare and social assistance, retail
and education. An average of 60% of people are employed on a full-time basis, and a further 27% on a part-time basis. Unemployment is low, at an average 3.5% across the region (lower than Dubbo, Wellington and all major towns in the Central West of NSW) with nearly 50, 000 people employed.
Income and Housing
Median weekly income across the region is slightly more than $1,000 per week, less than the NSW median of $1,486 per week. Nearly 40% of homes are owned outright across the region, a further 23% are owned with a mortgage and 22.3% of homes being rented.
Note
The Council areas of Dubbo and Coonamble are located within the Orana Region. However, Dubbo and Coonamble have elected not to join the Orana JO as of December 2018.

Developing the Plan
The Orana Statement of Strategic Regional Priorities outlines strategies and actions planned for a 4
year period to 2022. It is a collaborative futures plan for the region outlining what the six (6) JO
Member Councils have identified as the regional priorities. Success in achieving the strategies and
actions in the plan will depend on collaboration and cooperation between the JO members,
government agencies and key stakeholders. The success measures for strategies and actions listed
further in this plan are measured every 12 months on review of the plan.
The Orana JO Board embarked on a process in October 2018 to develop the new Strategic Priorities
Statement. This process involved surveys and interviews with all Member Councils to identify their
local area and then regional priorities, challenges and opportunities. A detailed review of relevant
plans and documents from all levels of government was completed to ensure that this plan
integrates with and is aligned to the priorities of the NSW State Plan.
The planning process culminated in a planning workshop attended by the Mayors and General
Managers of the Member Councils, NSW State Agency representative and the Interim Executive
Officer for the Joint Organisation held in Warren on 30 November 2018. A follow up workshop was
held in Mudgee on 17th December 2018 at the Orana JO Board Meeting where the plan was adopted
by the Board.

The Joint Organisation Regional Strategic Priorities align with a number of the NSW State Plan, Premiers priorities and programs and funding opportunities aimed supporting regional growth and sustainability.
As a collaborative model the JO success will depend on the close relationship and connectedness it has with the other levels of government and service providers in the region.

For each theme OUR PARTNERS have been identified. These groups, agencies and stakeholders are essential to achieving the strategies and actions identified by the JO.
Each theme has also been mapped to the relevant State, Federal or regional plans. As a collaborative model the Joint Organisation success is critical upon working strongly with the partners and tapping into state and regional plans and funding programs with the same objectives.
Key Priorities 2019-2021 The Orana JO Board identified the following strategies as their highest priority. For each of these strategies a Board Priority Sub-Committee will be formed to focus energy and resources to these priorities. All other strategies will be overseen by the full board. The role of the subcommittees is to be developed early 2019.

NOTICES OF MOTION
7. NOTICES OF MOTION
The following Notice of Motion has been received from Clr Quigley, Mayor Warren Shire Council: -
1. That Orana JO writes to the NSW Minister for Local Government specifying thename of each member council who has resolved to leave the Orana JointOrganisation to allow the Governor to remove these Councils from the Orana JOboundary (LG Act 400ZC amendment and dissolution of Joint Organisations),
2. That at the next JO Board meeting to be held after 24 April 2020, the ExecutiveOfficer report on any outstanding governance items of the Orana JO, includingbudget, reporting and operational matters,
3. That the Board request the Office of Local Government to undertakea Performance Audit (S421B) into the current and future operation of the Orana JO,
4. That the Board accept the $150,000 funding agreement dedicated to the OranaJO Capacity Building Fund (Orana JO skills analysis project) and re-direct it towards‘sustainability funding’ for the purpose of recurrent funding of the day to dayoperations of the Orana Joint Organisation, and
5. That the Board review other EO position descriptions and contract arrangementsand advertise for an EO prior to the expiry of the current EO term to allow thetransfer of information.
