Sitescope Environmental Report with RPS Risk AssessmentThe Sitescope Environmental Report with RPS Risk Assessment (the Report) is a due-diligence report designed to help you fulfil best practice for commercial propertytransactions. It provides a comprehensive and cost-effective environmental overview andis assessed manually to ascertain the level of environmental risk, taking into account thepast, present and proposed use of the site.
The initial Summary section of the Report presents enquiries in a familiar and easy-to-understand ‘question and answer’ format. Where a reply to a question is ‘Yes’, furtherdetails are given in the ‘Additional Information’ section of the Report. Unless otherwisestated in the enquiry, the answers cover three search bands, 0-250 metres, 251-500metres and 501-1000 metres from the property.

Introduction
Site HistoryThis seeks to identify both past and present industrial land use. Its purpose is to identifyany land which may have been put to a potentially contaminative use.
The Past Industrial Land Use section provides information from Sitescope’s unique landuse database, which has been built from a systematic analysis of Ordnance Survey maps(1:10,560 and 1:10,000), dating from the early part of the 19th Century through to thepresent day. This is further supported by a manual review of 1:1250 (where available) and1:2500 Ordnance Survey maps which is undertaken as part of the RPS Risk Assessment.
Information on current land uses within 1000m that may pose a potential contaminationrisk such as industrial sites and certain petrol and fuel sites is gathered from a number ofsources including Ordnance Survey Maps and current published trade directories toprovide an up-to-date assessment.

Land InstabilityLand instability can be caused by a range of factors, including coal mining, shallow mining,natural subsidence and mineral extraction. This part of the document highlights landinstability issues which may affect the value or enjoyment of the site.
The risk to a building from natural subsidence is based on a risk assessment andgeohazard database supplied by the British Geological Survey. The assessment ofshallow mining takes into account many types of mining in addition to coal, such asironstone or limestone extraction. Shallow mine workings less than 40 metres below theground surface are considered to cause a particular subsidence hazard as they canproduce damaging surface collapses.

Environmental SettingThis section of the report sets out the environmental setting in which the site is located byidentifying environmentally sensitive targets within 1000m. Environmentally sensitive sitesidentified in this section include Sites of Special Scientific Interest, Areas of OutstandingNatural Beauty, Special Protection Areas, Ramsar sites and Special Areas ofConservation.

Groundwater and River QualityThis section of the report provides information on the site’s current environmentalsensitivity from a hydrological perspective and includes data on groundwater vulnerability,soil leaching potential and river quality. This data is used in assessing the site’s suitabilityfor the proposed use as identified by the client.
The hydrological classification of the geology is obtained from Groundwater Vulnerabilitybased on 1:100,000 scale maps for England and Wales and 1:625,000 for Scotland.
This section also provides information on the River Quality or General Quality Assessment(GQA) scheme. The GQA scheme is the Environment Agency’s national method forclassifying water quality in rivers and canals. The scheme provides a way of comparingriver quality from one river to another and for looking at changes through time.

Introduction
Natural PerilsThe Natural Perils section covers flooding and radon.
Nearly two million homes and businesses lie in natural river and coastal floodplains inEngland and Wales. The report contains details from the Environment Agency's FloodMap, a multi-layered map which provides information on flooding from rivers and the seafor England and Wales. The Flood Map also has information on flood defences and theareas benefiting from those flood defences. The Flood Map combines detailed local datawith information from a new national model of England and Wales, which gives a moreconsistent picture of flood risk. The Flood Map shows the potential extent of an extremeflood, which may be experienced as a result of climate change, and it also starts to showflood defences and indicate where the risk is reduced because of these defences. Thereport shows this multi-layered Flood Map split into 3 questions for ease of interpretation. In the case of Scotland the flood data used is supplied by the Centre for Ecology andHydrology. It comprises 50m cells and was generated using a generalised techniqueapplied to specific catchments above tidal limits. The display of this flood hazard thereforeis indicative only. It is divided into levels based on the frequency and magnitude of apredicted 100 year term.
Radon is a naturally occurring radioactive gas which is produced by the radioactive decayof radium which, in turn, is derived from the radioactive decay of uranium. Uranium isfound in small quantities in all soils and rocks, although the amount varies from place toplace. Data on Radon levels is obtained from the National Radiological Protection Boardand the British Geological Survey. The report identifies whether Radon protectivemeasures are required under BR211 1999 for new dwellings and extensions to existingdwellings.

Aerial photography of the site is included in the report to assist with visualisation of the sitein the context of the surrounding environment. It has been taken from a height ofapproximately 5500m and provides a high quality image for review. All images have beenfully geo-rectified using Ordnance Survey Landline data.

This section contains historical mapping for the site. The maps help to identify previousindustrial land which may have been put to a potentially contaminative use at any timeduring the last 160 years.

AssessmentAccording to detailed historical maps (1:2,500 & 1:1,250-scales), the site previouslycomprised open fields until c.1933 when a Picture House occupied the site. By c.1954, thebuilding had been expanded and was labelled as a Ballroom. The site was vacant byc.1984 and was redeveloped into its current form by c.1993 for commercial use. Nopotentially contaminative land uses have been identified on or adjacent to the subject siteand consequently there is a low likelihood of significant ground contamination existingbeneath the site.
The site is located in a moderately sensitive environmental setting owing to the underlyingminor aquifer (Lower Coal Measures) and proximity of residential properties situatedimmediately to the southwest of the site. However, given the absence of any pastcontaminative land uses, there is unlikely to be an environmental liability relating to groundconditions beneath the site.
Overall, it is considered unlikely that the site would be defined as `contaminated` by theRegulators under Part IIA of the Environmental Protection Act (EPA) 1990 whilst it remainsin its current use and form as commercial premises.
RecommendationsNo further action is considered necessary in relation to ground conditions at the site, basedon its continued current use and form.
RPS understand that at present no significant change of use is planned at the site,however should redevelopment be proposed in the future there is the potential for furtherwork to be required to satisfy standard environmental planning conditions.
Note: Anecdotal evidence suggests that part of the site may date from the 1960s. As suchRPS considers that there is the potential for asbestos-containing materials to exist on thesite. Under current legislation, asbestos is presumed present unless confirmed otherwise.See the Guidance Notes on the RPS Risk Assessment for further details.

Purpose of the AssessmentThe purpose of the RPS Risk Assessment is to assist parties involved in propertytransactions in assessing the implications of certain environmental risks identified in theReport.
Implementation of Part IIA of the Environmental Protection Act 1990 places liability forcontaminated land on the current owner or occupier where the ‘the polluter’ cannot befound. In June 2001 The Law Society warned all Solicitors to be aware of the liabilities thatattach to contaminated land. Further details and guidance are available in TheEnvironmental Handbook, Fifth Edition, published by The Law Society.
The Environment Agency, Local Authorities and other statutory bodies do not provide thenecessary range of information required to determine risks for environmental issues inproperty transactions. As a consequence, an expert assessment, of the type contained inthis report, is essential.
The RPS Risk Assessment determines if sufficient risk is present for the site to be definedas contaminated, and provides a clear set of recommendations and actions wherenecessary. The client also has access to a helpline offering free initial advice andconsultation by the RPS panel of environmental consultants who prepare the assessments. RPS Risk Assessment Methodology and ScopeThe RPS Risk Assessment is based on the site boundary defined by the client. It isprepared by a panel of expert consultants following a manual review of the Report and areview of potentially contaminative historical land uses identified from 1:1250 (whereavailable), 1:2500, 1:10,000 and 1:10,560 scale historical mapping for the site and itsimmediate surrounding area.
RPS use the Source-Pathway-Receptor framework to make assessments regarding landcontamination. The ‘source’ refers to a potential source of contamination, ‘pathway’ to apotential route it may take, and ‘receptor’ to the end point. For a potential liability to ariseeach stage of the pollution linkage must be present. The RPS Risk Assessment usesinformation contained in the Report relating to the ‘source’ of contamination through astudy of statutory registers, current and historical land use. Analysis of the environmentalinformation (including ground and surface water) is used to detect ‘pathway’ and ‘receptor’stages.
Importantly, the RPS Risk Assessment is also based upon the current and proposed use ofthe site, which enables a more accurate assessment of the potential contamination risk.Without accurate use information, the land is more likely to be designated as contaminatedbecause all possible uses would have to be considered.

Guidance Notes for PractitionerRPS Risk AssessmentAsbestosUnder the Control of Asbestos at Work Regulations 2002, and HSE Guidance Note MDHS100, any property where asbestos may be present legally requires an appropriate survey,and an asbestos register. This is normally taken to mean any buildings of pre-1985construction. If the property was constructed prior to 1985 you can contact RPS for furtheradvice. Ground Investigation, Remediation, Tax Advice/CreditShould there be a significant risk of ground contamination, RPS can provide the necessaryadditional services to ensure the risk is assessed and placed in an appropriate commercialcontext as well as providing all necessary geotechnical assessments.
RPS is the largest planning consultancy in the UK and can advise on the requirements forobtaining planning permission for any form of development.
RPS can also advise on opportunities to obtain both contaminated land qualifying relief at150% of the capital cost as well as landfill tax exemptions during remediation.

The RPS Risk Assessment comments upon the potential risk of the land being defined as‘contaminated land’ as defined in Part IIA of the Environmental Protection Act 1990. It isbased on the Sitescope Environmental Report, and information supplied by the client. It isnot based on any physical inspection of the site or condition of the land.
In addition to the risk assessment, the Report includes data on risks such as Flooding,Radon Gas, Natural Subsidence and Coal Mining. These are set out, together withappropriate guidance, in the Notes Section of the report. (These risks are outside thedefinition of ‘contaminated land’ because they are outside the scope of Part IIA of theEnvironmental Protection Act 1990.)
Where higher levels of risk are identified within the report, it does not necessarily meanthat a site will be designated as contaminated land or as a special site. Such designationrequires that the Local Authority carry out a detailed inspection to determine whether or notthe land is contaminated.
We use the best available public sources of information to identify possible risks andsources of land use. However, we cannot guarantee that all potentially contaminative landuses or features, whether past or current, will be identified in this report using thesesources.

The Historical Industrial Land Use data used in this reply is the result of a systematic analysis of 1:10,560 scale OrdnanceSurvey maps dating from the 1880s, as well as selected 1:10,000 scale Ordnance Survey National Grid Series.
Evidence of past potential contamination and potentially infilled land is drawn from a series of up to six historic mapeditions. Question C.1 Groundwater is water stored in underground rocks and strata which provides much of our potable drinkingwater. The assessment of vulnerability of the groundwater to contamination is based on 1:100,000 scale for England andWales and 1:625,000 scale for Scotland.
Question C.2 The reply to this question is based upon information provided by the Environment Agency in England andWales. They represent areas that form the catchments to water supplies that are potentially vulnerable to contaminationfrom polluting activities. The criteria has been assigned to nearly 2000 major groundwater supplies. Different areas havebeen designated to the groundwater source catchments depending primarily upon the time it would take a pollutant to reachthe source. Boreholes and springs, which are the abstraction points for the groundwater, have also been identified.
Question C.3 These data relate to the General Quality Assessment scheme ("GQA") that determines the water quality ofwatercourses and is supplied by the Environment Agency. The Chemical GQA and Biological GQA are just two of theindicators used to assess the river quality grading. Measurements are taken at regular intervals at predefined samplingpoints that are representative of a single reach of a river or a series of reaches in a single catchment. In a number of casesthe River Quality Objective for the reach is also provided. Currently, this data only available for England and Wales

Question F.1.1 The replies given in England and Wales are based on the Environment Agency's Flood Map, specifically theextent of flooding. This shows flooding from rivers or sea without defences i.e. the natural flood plain area that could beaffected in the event of flooding from rivers and the sea. An area affected by flooding (Zone 3) indicates the extent of a floodwith a 1% (1 in 100) chance of happening each year from a river and a 0.5% (1 in 200) chance of happening each year fromthe sea. The extreme flooding (Zone 2) indicates the extent of a flood with a 0.1% (1 in 1000) chance of happening eachyear.
For Scotland flooding information has been provided by the Centre for Ecology and Hydrology. The flooding data have beengenerated by a generalised technique applied to specific catchments above the tidal limits. However, it is recommended thatfurther enquiries are made of the Scottish Environment Protection Agency or the Local Authority in relation to any localflooding history and the existence of any flood defences.

ELand InstabilityAdditional InformationCertain types of ground, such as that developed beneath river plains, can contain very softlayers or pockets. These can compress under the weight of overlying structures, such asbuildings, resulting in progressive depression of the ground and disturbance offoundations.
Ground DissolutionSome types of bedrock can contain layers of material that can dissolve within groundwater. This can cause underground cavities to develop that, with time, can reach thesurface and cause significant ground movement, such as the development of collapsehollows that can directly impinge on buildings.
Gulls and CamberingPlateau edges above steep landslipped slopes can become unstable and 'bend', or'camber', downwards causing the ground to develop cracks called 'gulls'. This can causelocalised problems for building foundations.
LandslipParticular types of slopes can become unstable under certain circumstances, causingdown-slope movement of the ground and disruption to buildings. A combination of factors,including, amongst others, the rock type, the presence of excess water (natural or relatingto man-made activity), the angle of the slope, and construction work (e.g. cuttings orembankments) can all contribute.
Swelling ClaysSwelling clays can change volume due to variation in ground moisture.This can causeground movement, particularly in the upper 2 metres of the ground that may affectfoundations. Ground moisture variations can relate to a number of factors, includingweather variations (annual or longer term), vegetation effects (particularly growth orremoval of trees) and man-made activity.

These Terms govern the relationship between You andSitescope whether You are an unregistered visitor to theWebsite or a registered Member purchasing Sitescopeproducts or Services from Sitescope.Where these Terms are not expressly accepted by Youthey will be deemed to have been accepted by You, andYou agree to be bound by these Terms when You placeany Order, or pay for any Services provided or Reportsordered.If the person communicating with Sitescope is anAuthorised Reseller, they must ensure that You agree tothese Terms.The headings in these Terms are for convenience onlyand shall not affect the meaning or interpretation of anypart of these Terms.We may modify these Terms, and may discontinue orrevise any or all other aspects of the Services at oursole discretion, with immediate effect and without priornotice. Any amendment or variation to these Termsshall be posted on our Websites. Continued use of theServices by You shall be deemed an acceptance byYou to be bound by any such amendments to theTerms.Sitescope reserves the right to refuse to supplyServices to You or any other potential client withoutnotice or reason.
Whilst Sitescope will use reasonable care and skill inproviding the Services to You the Services are provided onthe express basis that You acknowledge and agree to thefollowing:-
The information and data supplied in the Services arederived from publicly available records and other thirdparty sources and Sitescope does not warrant theaccuracy or completeness of such information or data;and
The information and data supplied in the Services arederived solely from those sources specifically cited inthe Report Sitescope does not claim that these sourcesrepresent an exhaustive or comprehensive list of allsources that might be consulted; andSitescope does not guarantee that all past or currentland uses or features will be identified in the Report; andThe Services provided by Sitescope are professionalbusiness to business services and not intended for useor interpretation by persons other than professionalpersons skilled in the use of property and environmentalinformation; andSitescope shall not be responsible for error or corruptionin the Report resulting from inaccuracy or omission inprimary or secondary information and data, inaccurateprocessing of information and data by third parties,computer malfunction or corruption of data whilst in thecourse of conversion, geo-coding, processing bycomputer or electronic means, or in the course oftransmission by telephone or other communication link,or printing.Sitescope reserves the right, without limitation, tochange the Reports or Services on offer at any time.
You acknowledge that all Intellectual Property Rights inthe Report and Services are and shall remain owned byeither Sitescope or our Suppliers and nothing in theseTerms purports to transfer, assign or grant any rights toYou in respect of the Intellectual Property Rights.Subject to clause 6.f, You are entitled to make thefollowing use of the Services and Reports subjectalways to these Terms and You may, without furthercharge, make the Report or Services available to;
any person who purchases the whole of theProperty Site,any person who provides funding secured on thewhole of the Property Site,any person for whom You act in a professional orcommercial capacity, andany person who acts for You in a professional orcommercial capacity.
Accordingly Sitescope shall have the same duties andobligations to those persons in respect of the Servicesas it has to You.Each of those persons referred to in Clause 3.b. shallhave the benefit and the burden of Your rights andobligations under these Terms. The limitations ofSitescope's liability as set out in Clause 6 shall apply.The Report is to be used solely for the benefit of Youand Your Client and such persons as are set out inClause 3.b, and Sitescope excludes all liability to allother persons unless Sitescope has expressly agreed inwriting to the assignment of the benefit of the Reportand has been paid Sitescope's reasonable fees for sodoing.All parties given access to the Services agree that theywill treat as strictly private and confidential the Servicesand all information which they obtain from the Servicesand shall restrict any disclosure to employees orprofessional advisors to enable the relevant party toconduct its internal business The requirement in thisclause to treat the Services as confidential shall includea requirement to maintain adequate security measuresto safeguard the Services from unauthorised access,use or copying.Each recipient of the Services agrees (and agrees it willcause its employees, agents or contractors who mayfrom time to time have access to the Services to agree)it will not, except as permitted herein or by separateagreement with Sitescope:-
effect or attempt to effect any modification, mergeror change to the Service, nor permit any otherperson to do so; orcopy, use, market, re-sell, distribute, merge, alter,add to or carry on any redistribution, reproduction,translation, publication, reduction to any electronicmedium or machine readable form or commerciallyexploit or in any other way deal with or utilise or(except as expressly permitted by applicable law)reverse engineer, decompile or disassemble theServices, Reports, Content or Website; orremove, alter or in any way change any trademarkor proprietary marking in any element of theServices and You acknowledge the ownership of theContent is as per this Clause, where such Content isincorporated or used into Your own documents,reports, systems or services whether or not theseare supplied to any third party.create any product which is derived directly orindirectly from the data contained in the Services
You shall acknowledge the ownership of the Contentwhere such is incorporated into Your own documents,reports, systems or services whether or not these aresupplied to any third party.
You are permitted to make five hard copies of anyReport, but are not authorised to re-sell the Report, anypart thereof or any copy thereof unless you are anAuthorised Reseller. Further copies may not be made inwhole or in part without the prior written permission ofSitescope who shall be entitled to make a charge foreach additional copy.You hereby agree to fully indemnify Sitescope againstany claim losses or other damages suffered bySitescope as a result any breach by any recipient of theServices of these Terms.You agree that You will comply with any reasonableinstructions that We may give from time to time withregard to the use of the Intellectual Property Rights,including but not limited to acknowledging that theServices and Reports are confidential to You, YourClient or the persons set out in Clause 3.b.The mapping contained in any Services is protected byCrown Copyright and must not be used for any purposeoutside the context of the Services or as specificallyprovided by these Terms.
Sitescope may grant You a credit limit in order to allowYou to transact with it or set up an Account andreserves the right to withdraw any such credit limit atany time without prior notice.You are fully responsible for all charges that accumulateon Your Account.VAT at the prevailing rate shall be payable in addition tothe Sitescope Fees. You shall pay any other applicableindirect taxes related to Your use of the Services.An individual or a monthly invoice showing all Orderscreated will be generated subject to these Terms. Youwill pay the Sitescope Fees at the rates set out inSitescope's or its Authorised Reseller's invoice. TheSitescope Fees are payable in full within 28 dayswithout deduction, counterclaim or set off. Youacknowledge that time is of the essence with respect tothe payment of such invoices. Non-payment ofSitescope Fees may, at Our sole discretion result inSitescope terminating or limiting the use of YourAccount and its provision of Services to You. Sitescopereserve the right to amend the Sitescope Fees fromtime to time and the Services will be charged at theSitescope Fee applicable at the date on which theService is ordered.We may charge interest on late payment at a rate equalto 8% per annum above the base lending rate ofNational Westminster Bank plc.Sitescope or its Authorised Reseller shall not be obligedto invoice any party other than You for the provision ofServices, but where Sitescope or its AuthorisedReseller does so invoice any third party at Your request,and such invoice is not accepted or remains unpaid,Sitescope or its Authorised Reseller shall have theoption at any time to cancel such invoice and invoiceYou direct for such Services. Where Your ordercomprises a number of Services or severable elementswithin any one or more Services, any failure bySitescope or its Authorised Reseller to provide anelement or elements of the Services shall not prejudiceSitescope's or its Authorised Reseller's ability to requirepayment in respect of the Services delivered to You
Sitescope may suspend or terminate Your rights underthese Terms without any liability to You with immediateeffect if at any time:-
You fail to make any payment due in accordancewith Clause 4;You repeatedly breach or commit or cause to becommitted any material breach of these Terms; orYou commit a breach and You fail to remedy thebreach within 7 days of receipt of a written notice todo so Sitescope may remedy the breach andrecover the costs thereof from You; orYou commit an act of bankruptcy or insolvency, areunable to pay Your debts as or when they fall due ormake any composition or arrangement with Yourcreditors, or go into liquidation whether voluntary orcompulsory, or if any order is made or a resolutionis passed for Your winding up (except for thepurpose of a solvent amalgamation orreconstruction), or if You cease or prepare to ceasetrading, or if You suffer the appointment of areceiver, administrative receiver, administrator orsimilar officer over the whole or part of any of Yourassets.
If Your rights are terminated under this Clause and Youhave made an advance payment We will refund You areasonable proportion of the balance as determined byUs in relation to the value of Services previouslypurchased.We may suspend the Agreement between You andSitescope for an indefinite period without notice and atany time if in Our opinion You are in breach of any of theprovisions of these Terms.
"Account" means the credit account established by a Member with Sitescope."Agreement" means the agreement between Ourselves created by Your acceptance of these Terms."Authorised Reseller" means an agent or reseller of Sitescope whom Sitescope has duly appointed to resell its Reports and Services."Client" means the individual or organisation to whom You provide professional services and/or Your professional advisors where applicable."Content" means any data, computing and information services and software, and other content and documentationor support materials and updates included in and/or supplied by or through the Websites, in Reports or Services or in any other way by Sitescope and shall include Sitescope developed and Third Party Content."Designated Users" means individuals appointed by Members to transact across the Member's Account."Intellectual Property Rights" means all forms of intellectual property or protective rights recognised in law."Member" means the person, firm or organisation who establishes and/or uses the Account."Order" means the request for Services from Sitescope by You."Property Site" means a land site on which a Member requests Sitescope provide either a Report or any other Service.References to "We", "Us" and "Our" are references to Sitescope Limited ("Sitescope"), whose registered office is 7Abbey Court, Eagle Way, Exeter, EX2 7HY. Where You arenot ordering the Services directly from Sitescope, but from an Authorised Reseller, references to "Sitescope" or "We", "Us" and "Our" shall be construed so as to mean either Sitescope and/or the Authorised Reseller as the context shall indicate.References to "You/Your/Yourself" refer to the contracting party who places an Order with Sitescope and for whom the Services are to be provided by Sitescope."Report" includes any information that Sitescope supplies to You including all reports, services, datasets, software or information contained in them."Services" means the provision of any service by Sitescopepursuant to these Terms which at the sole discretion of Sitescope, may be time limited, for the purposes of evaluation only, offer reduced functionality, offer limited access to the Content, or be free of charge including but notlimited to the report(s), data, information or other services undertaken by Sitescope."Sitescope Fees" means any charges levied by Sitescope for Services provided to You"Suppliers" means any organisation who provides data or information of any form to Sitescope."Terms" means these Terms and Conditions."Third Party Content" means the services, software, information and other content or functionality provided by third parties and linked to or contained in the Services."Websites" means websites hosted by Sitescope and includes the Content and any report, service, document, data-set, software or information contained therein, derived there from or thereby.

We provide warranties and accept liability only to theextent stated in this Clause 6.Nothing in these Terms excludes either party's liabilityfor death or personal injury caused by that party'snegligence or wilful default.As most of the information contained in the Services isprovided to Sitescope by others, Sitescope cannotcontrol its accuracy or completeness, nor is it within thescope of Sitescope's Services to check the informationon the ground. Accordingly, subject to clause 6b,Sitescope will only be liable to You for any loss ordamage caused by its negligence or wilful default andneither Sitescope nor any person providing informationcontained in any Services shall in any othercircumstances be liable for any inaccuracies, faults oromissions in the Services nor shall Sitescope have anyliability if the Services are used otherwise than inaccordance with these Terms.Save as precluded by law, Sitescope shall not be liablefor any indirect or consequential loss, damage orexpenses (including loss of profits, loss of contracts,business or goodwill) howsoever arising out of anyproblem, event, action or default by Sitescope or anyindirect or consequential loss of any nature whatsoeveror for any physical damage to or loss of Your tangibleproperty, any other direct loss, damage, cost or expenseof any kind or any indirect or consequential loss,damage, cost or expense of any kind, whether any ofthe above arise under contract, tort (includingnegligence), an indemnity or contribution or otherwise.In any event, and notwithstanding anything contained inthese Terms, Sitescope's liability in contract, tort(including negligence or breach of statutory duty) orotherwise howsoever arising by reason or in connectionwith this Contract (except in relation to death orpersonal injury) shall be limited to an aggregate amountnot exceeding £1 million if the complaint is in relation toa Report on residential property and an amount notexceeding £10 million in respect of any other Report orService purchased from Sitescope except in so far asSitescope will not be liable for any defect, failure oromission relating to Services that is not notified toSitescope within six months of the date of the issuebecoming apparent and in any event, within twelvemonths of the date of the Report. Where any claimrelates to either a part of the Services that is notchargeable or if You have been in breach of any part ofthese Terms Sitescope's liability shall be limited to£1,000No person may rely on the Report more than 12 monthsafter its original date.You acknowledge that:-

You will not in any way hold usresponsible for any selection or retention of, or theacts of omissions of Third Party Content suppliers orother Suppliers (including those with whom Wehave contracted to operate various aspects or partsof the Service) in connection with the Services (forthe avoidance of doubt Sitescope is not a ThirdParty Content supplier). Sitescope does not promisethat the supply of the Services will be uninterruptedor error free or provide any particular facilities orfunctions, or that the Content will always becomplete, accurate, precise, free from defects ofany other kind, computer viruses, software locks orother similar code although Sitescope will usereasonable efforts to correct any inaccuracies withina reasonable period of them becoming known to us;Sitescope's only obligation is to exercise thereasonable skill and care in providingenvironmental property risk information to personsacting in a professional or commercial capacity andYou hereby acknowledge that You are such aperson;no physical inspection of the Property Site reportedon is carried out as part of any Services offered bySitescope and as such We do not warrant that allland uses or features whether past or current will beidentified in the Services and the Services do notinclude any information relating to the actual state orcondition of any Property Site nor should they beused or taken to indicate or exclude actual fitness orunfitness of a Property Site for any particularpurpose nor should it be relied upon for determiningsaleability or value or used as a substitute for anyphysical investigation or inspection;You should carefully inspect the Property Site, andtake any other advice that would be reasonablyprudent to do prior to making any decision about theProperty Site to which any Report or Service relatesand not rely exclusively on the Report or any otherSitescope Services in terms of valuing the PropertySite;
Sitescope will not be held liable in any way if aReport on residential property is used forcommercial property or more than the oneresidential property for which it was ordered;the Services have not been prepared to meet Youror anyone else's individual requirements; that Youassume the entire risk as to the suitability of theServices and waive any claim of detrimentalreliance upon the same; and You confirm You aresolely responsible for the selection or omission ofany specific part of the Content;You shall be solely responsible for maintaining theconfidentiality of Your passwords (including YourDesignated Users' password(s)) and You will notifyus immediately that You become aware of anyunauthorised access to, use or copying of any partof Services or document or report derived ordownloaded there from by anyone;You must observe and comply with all applicableregulations and legislation;We offer no warranty for the performance of anylinked internet service not operated by Us;You will on using the Services make a reasonableinspection of any results to satisfy Yourself thatthere are no defects or failures. In the event thatthere is a material defect You will notify us in writingof such defect within seven days of its discovery;without prejudice to any restrictions set out in theseTerms, if in the course of Your business orotherwise You use for the benefit of or convey toany third party any part of the Website, Content, orServices You must make such third parties aware ofthe limitations, obligations and acknowledgementscontained herein;any support or assistance provided to You inconnection with these Terms is at Your risk;the information contained in the Services has beenextracted from various Crown Copyright and otherpublished sources, and accordingly, Sitescope doesnot accept any responsibility, and expresslydisclaims all liability, for any errors, omissions ormisstatements, or for any loss occasioned to anyperson acting, or refraining from action, as a resultof, or in reliance upon, the information contained inthese Services;
All liability for any insurance products purchased by Yourests solely with the insurer. Sitescope does notendorse any particular product or insurer and noinformation contained within the Services should bedeemed to imply otherwise. You acknowledge that ifYou Order any such insurance Sitescope will deem suchas Your consent to forward a copy of the Report to theinsurers. Where such policy is purchased, all liabilityremains with the insurers and You are entirelyresponsible for ensuring that the insurance policyoffered is suitable for Your needs and should seekindependent advice. Sitescope does not guarantee thatan insurance policy will be available on a Property Site.All decisions with regard to the offer of insurancepolicies for any premises will be made solely at thediscretion of the insurers and Sitescope accepts noliability in this regard. The provision of a Report doesnot constitute any indication by Sitescope that insurancewill be available on the property.If Sitescope provides You with any additional serviceobtained from a third party, including but not limited toany professional opinion, interpretation or conclusion,risk assessment or environmental report or searchcarried out in relation to a Report on Your Property Site,Sitescope will not be liable in any way for anyinformation contained therein or any issues arising outof the provision of those additional services to You orYour Client. Sitescope will be deemed to have acted asan agent in these circumstances and the supply of theseadditional services will be governed by the terms andconditions of those Third Parties.Sitescope has undertaken the Services for use only bythe persons referred to at clause 3b and for no otherpurpose whatsoever and the Services should not berelied upon by any other third party. Sitescope canaccept no responsibility and will not be liable to anythird party for any loss caused as a result of relianceupon the Services. Any third party relying on theServices does so entirely at its own risk, includingwithout limitation any insurers referred to in this clause6. Recipients of the Services are to rely on their ownskill and judgment in determining the suitability of theServices for their own purpose and use and are advisedto use the Services with caution and not base importantbusiness decisions solely on the same. SitescopeServices are merely one of the tools available for theassessment of environmental, geological or otherproperty or land-related risks and should be used inconjunction with other recognised methods ofevaluation.Time shall not be of the essence with respect to theprovision of the Services.
You acknowledge that Sitescope shall not be liable for anydelay, interruption or failure in the provision of the Serviceswhich are caused or contributed to by any circumstancewhich is outside our reasonable control including but notlimited to, lack of power, telecommunications failure oroverload, computer malfunction, inaccurate processing ofdata, or delays in receiving, loading or checking data,corruption of data whilst in the course of conversion, geo-coding, processing by computer in the course of electroniccommunication, or printing.
If any provision of these Terms are found by either a courtor other competent authority to be void, invalid, illegal orunenforceable, that provision shall be deemed to be deletedfrom these Terms and never to have formed part of theseTerms and the remaining provisions shall continue in fullforce and effect.
This Agreement shall be governed by and construed inaccordance with English law and each party agreesirrevocably submit to the exclusive jurisdiction of the Englishcourts as regards any claim or matter arising under thisAgreement. If any dispute arises out of or in connection withthis agreement (a "Dispute") the parties undertake that, priorto the commencement of Court proceedings, they will seekto have the Dispute resolved amicably by use of analternative dispute resolution procedure acceptable to bothparties with the assistance of the Centre for DisputeResolution (CEDR) if required, by written notice initiatingthat procedure. If the Dispute has not been resolved to thesatisfaction of either party within 60 days of initiation of theprocedure or if either party fails or refuses to participate inor withdraws from participating in the procedure then eitherparty may refer the Dispute to the Court.
These Terms, together with the prices and deliverydetails set out on our Websites and Your Ordercomprise the whole of our agreement relating to thesupply of Services to You by Sitescope. No priorstipulation, agreement, promotional material orstatement whether written or oral made by any sales orother person or representative on our behalf should beunderstood as a variation of these Terms or as anauthorised representation about the nature or quality ofany Services offered for sale by us. Save for fraud ormisrepresentation, Sitescope shall have no liability forany such representation being untrue or misleading.These Terms shall prevail at all times to the exclusion ofall other terms and conditions including any terms andconditions which You may purport to apply even if suchother provisions are submitted in a later document orpurport to exclude or override these Terms and neitherthe course of conduct between parties nor trade practiceshall act to modify these Terms.
You shall not without our prior written consent assign, ortransfer in any way the benefit of these Terms in wholeor in part or any of Your obligations under these Termssave as provided by Clause 3.b. Your right to use theServices, operate Your Account or to designate users isnot transferableSitescope may assign its rights and obligations underthese Terms without prior notice or any limitation.We may authorise or allow our contractors and otherthird parties to provide to Us and/or to You servicesnecessary or related to the Services and to perform Ourobligations and exercise Our rights under these Terms,which may include collecting payment on Our behalf.No waiver on our part to exercise, and no delay inexercising, any right, power or provision hereunder shalloperate as a waiver thereof, nor shall any single orpartial exercise of any right, power or provisionhereunder preclude the exercise of that or any otherright, power or provision.References in these Terms to any legislation shall beconstrued as references to the same as amended or re-enacted from time to time and shall include subordinatelegislation or regulations.Unless otherwise stated in these Terms, all notices fromYou to Sitescope must be in writing and sent to theSitescope registered office (or in the case of anAuthorised Reseller, to its registered office address)and all notices from Us to You will be displayed on ourWebsites from time to time.A person who is not a party to any contract madepursuant to these Terms shall have no right under theContract (Right of Third Parties) Act 1999 to enforce anyterms of such contract and Sitescope shall not be liableto any such third party in respect of any Servicessupplied.Sitescope reserves the right to monitor or recordtelephone calls for training purposes.
