Tender Cost is not refundable. All the tender should be submitted at the above
address. Any postal delay or loss in transit will not bind TTDC Ltd. The Tender
submitted beyond the date and time fixed shall be summarily rejected. In the event
of last date for submission / opening of Tender falls on a holiday, the acceptance /
opening of the Tender will be on the next working day at the same time and venue.
The Managing Director, TTDC Ltd., reserves the right either to accept or
reject any or all the Tenders and postpone the due date without assigning any
reasons there for.

INSTRUCTIONS AND CONDITIONS TO TENDERER
1. Sealed tenders are invited from the leading reputed amusement operators with proven track record for operation of amusement upto 11.00 AM on 27.12.2019.
2. Tenders should be in the prescribed original form obtained from the above
address or downloaded through website and it should be sent in two separate sealed covers superscribed as “TECHNICAL BID” and "PRICE BID” for licensing the “Installation and operation of amusements, Snack Bar / Restaurant and its outlets, maintenance of Garden, Shops and existing hall at the top of the Restaurant at Boat House, Ooty”. The sealed tenders can be submitted directly or sent by post at the following address:

The Tenders not in the prescribed original form will be summarily rejected.
3 (a) The Technical Bid must be accompanied by an Earnest Money Deposit as mentioned in the NIT by means of Demand Draft on any one of the Scheduled Banks payable at Chennai. The Demand Draft should be drawn in favour of “Tamilnadu Tourism Development Corporation Limited”. No other form of Earnest Money Deposit will be accepted.
(b) Tenderers who seek exemption from payment of EMD should attach
valid registration certificate issued by SSI / MSME, without fail.
4. The eligibility criteria of the tenderer is at Annexure I. Tenders received without Earnest Money Deposit along with Technical Bid will not be accepted and the same will be summarily rejected.
5. The successful bidder shall be intimated on his selection for the award of contract.

6. The tenderer (Authorised signatory of the Company) should sign all the pages of tender document at the bottom.
7. The Technical Bids will be opened at TAMILNADU TOURISM DEVELOPMENT CORPORATION Ltd., Tamil Nadu Tourism Complex, No.2, Wallajah Road, Chennai-2 on 27.12.2019 at 11.30 A.M. The Price Bids of technically qualified tenderers will be opened on a date and time which will be intimated. Both the bids will be opened in the presence of tenderer(s) or their authorized representative, who choose to be present at that time.
8. The Earnest Money Deposit of the successful bidder shall be forfeited in the event of withdrawal of his bid, before the bid validity period or in the event of the failure of successful bidder to furnish the bid security or to execute the agreement within the specified period or in the event of termination or withdrawal of franchise by the successful bidder before the franchise period. In addition to the forfeiture of Earnest Money Deposit, steps will be taken to blacklist the defaulter.
9. The Earnest Money Deposit of unsuccessful tenderers will be refunded after a decision taken on the Tender.
10. The amount deposited as Earnest Money Deposit as required in Clause 3 above will not carry any interest.
11. Successful tenderer will be intimated about the acceptance. Hence no enquiry in this regard will be entertained.. 12. All columns in the tender schedule shall be duly, properly and exhaustively filled
in ink. The rate shall be entered in words also underneath the figures. No alteration in the description of the schedule shall be permitted. All corrections should be authenticated under full signature of the tenderer. In case of variations in the rate quoted in words and in figures, whichever is higher will be taken into consideration.
13. The tender shall be valid for 90 days from the date of opening of Price Bid.
14. The two sealed cover containing the Technical Bid and Price Bid separately should be submitted in one sealed cover along with a covering letter.
15. In exceptional circumstances, the TTDC may solicit the bidders consent to an
extension of the period of validity. The request and the responses thereto shall be made in writing by E-mail or Fax. The bid security provided shall be suitably extended. A bidder may refuse the request without forfeiting his bid security. A bidder granting the request is not required or permitted to modify his bid.
16. The TTDC may at its discretion, extend the deadline for submission of bids by
amending the bid document. In this case existing rights and obligations of TTDC and bidders which already exist will be applicable to the extended date.

17. During evaluation of bids, the TTDC may at its discretion, ask the bidder for clarification of its bid. The request for clarification and the response shall be in writing.
18. The TTDC will scrutinize the bids to determine whether they are complete in all
respects and generally in order. Bids from representatives, without proper authorization from the tenderer shall be treated as non-responsive.
19. Any effort by a bidder to influence the TTDC in any manner may result in
rejection of the bid.
20. The papers of the Technical bids should be numbered serially and indexed by the tenderer.
21.The Managing Director, Tamilnadu Tourism Development Corporation Ltd., reserves the right either to accept or reject any or all the tenders at any time prior to award of contract.
22.Evaluation of tenders would be in accordance with the provisions of Tamil Nadu Transparency in Tenders Act, 1998 and Tamil Nadu Transparency in Tenders Rules 2000.
23. Tenderer should furnish a copy of valid address proof.
24. Arbitration : The Managing Director and the franchisee shall make every effort to resolve amicably by direct negotiation any disagreement or dispute or misunderstanding arising between them in connection with this agreement. If any dispute shall arise between Managing Director and the franchisee on aspects not covered by this tender document or operation thereof, or the rights, duties or liabilities under these except as to any matters, the decision of which is specially provided for by the general or the special conditions, such disputes shall be referred to two arbitrators, one to be appointed by each party and the said arbitrators shall appoint an umpire in writing before entering on the terms of reference and the award of the arbitration or umpire, as the case may be, shall be final and binding on both the parties. The arbitrators or the umpire, as the case may be, with the consent of parties, may modify the time frame for making and publishing the award. Such arbitration shall be governed in all respects by the provisions of the Indian Arbitration Act or its later modifications and the rules there under any statutory modification or re-enactment thereof. The Arbitration proceedings shall be held in Chennai.

LICENSING OF CERTAIN OPERATION AT BOAT HOUSE, OOTY
GENERAL TERMS AND CONDITIONS
I. AMUSEMENTS
The Open space measuring 26,507.38 Sq. ft.(including Restaurant, Shops and
existing hall at the top of the Restaurant ) as per enclosures (Annexure – I , II & III)
will be handed over to licensee on ‘AS IS WHERE IS CONDITION’. Any
improvements need to be done only by the franchisee at his own cost. The word ‘AS
IS WHERE IS CONDITION” means that the 17,315.38 Sq. ft and its outlets 9,192
Sq.ft. vacant land and property available as on date of the Tender only. No
improvements/ modifications/ additions/ alterations will be carried out in the
land and operations building after the tender notices are published. Arresting
leakages, putting up compound wall, laying approach road, eviction of
encroachments if any will be the responsibility of the licensee only.
1. The Amusement operations shall be run in the name of ‘LICENSEE’, but the fact
that the property belongs to TTDC to be indicated in the Name Board.
(a) The licensee should utilize the property only for the purpose of running the
amusement operations and not for any other purpose.
(b) The licensee should also take steps to provide clean and neat Toilet facility
to the user of Amusements and ensure periodic maintenance. 2. The licensee should produce documentary proof of their residence Viz., Aadhar
Card or Voter identification card.
3. No additions, alterations, modifications to the operations to be allotted shall be
made in any manner without the written consent of the licensor and the licensee
shall maintain the Amusement in good condition satisfying all safety norms.

4. The Licensee shall install amusement equipments of good quality confirming to
international standards. Only amusements of recent purchase should be
installed. The licensee should furnish Stability Certificate from the Executive
Engineer & General Superintendent , Public Works Workshop & Stores, No.14,
Old Jail Road, Mint, Chennai-1 for these equipments.
5. The license fee quoted by the licensee initially will carry escalation of 5% every
year on compounded basis.
6. The licensee is solely responsible for any mishap, injury, accident caused to
public while utilizing the amusement rides. The licensor shall not be responsible
for such incidents.
7. The Licensee shall take insurance coverage under public liability clause during
the period of operation.
8. The Licensee shall maintain the equipments in proper condition and should keep
record of schedule of preventive maintenance for all equipments.
9. The Licensee will have to remit the License Fee for the 1st year in full within
30 calendar days from the date of receipt of acceptance of the tender. Further
relaxation of due date will not be entertained at any cost. If the licensee fails to
remit the fee within the due date, the TTDC has the right to cancel the
acceptance without any intimation to the licensee or to impose penalty of interest
on them.
10. The Licensee should take over the licensed items within one month time from
the date of receipt of allotment orders and amusements should be operated
within 15 days from the date of taking over the vacant land, failing which the
licensor shall have the right to cancel the allotment order and forfeit earnest
money deposit.
11. The license of Licensee is renewable every year by paying the license fee, three
months in advance .

12. The License is for a period of 6 (Six) years only. The License fee for the second
and subsequent year have to be remitted 3 months earlier than the date of 2nd
and subsequent year of license and then the license is to be got renewed. If the
licensee fails to remit the 2nd and subsequent year fee before 90 days, the
licensor is at liberty to invoke the Bank Guarantee at any time before the end of
the license year.
13. If the licensee failed to pay the franchise fee of 2nd and subsequent year within
the stipulated period, 14% interest will be levied and if the licensee failed to remit
the fee and the interest even after 3 months from the due date, action will be
taken to take over the land from the licensee .
14. The licensee should operate the activities on continuous basis throughout the
license period. If the licensee fails to operate the activities for a period of three
months continuously the licensor shall issue a notice to the licensee and if the
licensee fails to operate the activities even after one month on receipt of the
notice the licensor shall re-enter premises and resume the possession and the
operation of the activities without further notice.
15. In case, if the licensee fails to remit the license fee of the subsequent years
before 90 calendar days from the date of expiry of the earlier license period, apart
from invoking the Bank Guarantee, the licensor reserves the right to re-enter the
premises to take possession of the property/operations.
16. The Bank guarantee equivalent to 50% of the license value of the 6th year license
fee should be furnished by the licensee for a validity period of 7 (Seven) years at
the time of taking over the property .
17. The licensee shall maintain machinery by servicing periodically and maintain the
building and movable properties like furniture, electrical installations, vehicle, etc.
in good condition and shall compensate the franchisor for any damages to such
properties with replacement value.

18. All rates, taxes (including Property Tax and GST) as applicable on the license
fee (Urban land + property) assessments, charges, claims, consent fee levied by
the Pollution Control Board, demands and out goings (Except the ground rent
payable to the State Govt.) shall be borne by the licensee.
19. After the expiration of license period, the licensee shall surrender possession of
all movable and immovable properties licensed, including superstructure, if any,
constructed by the licensee with due concerned of the licensor.
20. The licensee shall not claim any title to the superstructure already put up and to
be put up by him or claim any compensation at the time of surrendering
possession after the expiration of the license.
21. All sanctions, permissions no objections, letters of intent, consent, licenses,
clearance, approvals etc. shall be obtained by the licensee at their cost and such
document shall be kept effective and in force at all material times.
22. Poor and damaged spare parts should be replaced immediately and Safety
Certificate with validity should be obtained from the authorized State Government
Safety Officer and produced before operation.
23. The building, furniture and other machineries licensed shall be insured against
fire, rioting and other possible losses and the insurance policy be taken and the
insurance premium be borne by the licensee. The Licensee should pay the
compensation to the rider or their relatives, if any accident happens at their own
cost, if they claimed.
24. The licensor shall have the right to inspect the premises and also the books of
accounts, etc. at any time.
25. The licensee shall not encumber the licensed properties by way of pledge,
hypothecation, mortgage, charge, lien, lease, leave and license or in any other
manner .

26. The licensee has to confine his activities only within the specified area handed
over to him.
27. The licensee shall not permit his clients to use the open space available within
the premises, which has not been allotted to him,.
28. No political meeting/banner shall be allowed within the premises, which has been
allotted to him.
29. No unlawful activities like betting, gambling, etc. shall be allowed inside the
campus.
30. Anti Government activities shall not be allowed inside the premises/ place allotted
to them .
31.In case the licensee commits breach of any of the terms and conditions and
stipulation herein contained on the part of the licensee to be observed and
performed, then in such cases the licensor shall be at liberty to give a notice in
writing (by RPAD) to the licensee to set right or rectify the breach or omission of
any of the terms, conditions and stipulations of this agreement and in case of
non-compliance on the part of licensee within 30 days of the receipt of such
notice, this agreement at the option of the licenser may be terminated and upon
such termination this agreement shall become null and void and all the rights of
the licensee herein shall immediately cease and determine. The agreement may
also be terminated for any criminal acts on the part of the licensee which need
not be referred to arbitration.
32.The licensee should cover his establishment under EPF and Miscellaneous
Provision Act, ESI Act and all other industrial legislations without fail. They should
also produce EPF , ESI and other statuary for verification .
33.The licensor shall have the right to take over the operation and terminate the
license agreement, in case of default or any type of malpractice noticed on the
part of the licensee.

34. In the event of license being cancelled by Pollution Control Board or any other
Government Agency Directives, the licensor will not be liable for refund of
license fee.
35. The licensee should take possession of all the movable articles belonging to him
at the time of handing over the unit to the licensor, failing which the properties
will be disposed of by TTDC as deemed fit without further notice to licensee.
36. The licensor will not be vicariously liable for any act of the licensee and the
licensee shall alone be liable for violation of any law and the licensee agrees to
indemnify the licensor from all claims.
37. All costs, charges, including stamp duty and registration charges, etc. shall be
borne by the licensee.
38. TTDC shall reserve the right to renew or otherwise the license after expiry of
6 years.
39. A display board should be kept in main place and sale point for showing the
items which are allotted to them as mentioned in the license order. TTDC name
along with licensee name, License Order No. and Date, period of license should
also be highlighted in the Board . (Display Board should be got approved by
TTDC).
40. No operation should be operated except allotted activities / items.
41. The licensee should close their operations within the stipulated time schedule
(i.e) 9.00 hrs to 19.00 hrs .)
42. Popcorn stall should not be installed in the foot steps leads to boat jetties and
near to motor boat jetties.
43. The licensee shall not sub-lease the license to any of the activities, which is
liable for cancellation.

44. In case of any dispute, the decision of the Managing Director, TTDC will be
final. The Managing Director, TTDC will pass orders after giving an opportunity
of hearing to the licensee.
45. The licensee should arrange all amusements at their own cost.

II. SNACK BAR / RESTAURANT AND ITS OUTLETS
1. The licensee is permitted to prepare and sell eatables, wholesome and
hygienic snacks, soft drinks, juices, Ready-made packed food etc., within the
area specified in the schedule on days when the Boat House is open.
Licensee shall not sell alcohol, tobacco or cigarettes and other banned items.
2. (a) The Restaurant shall be run in the name of ‘LICENSEE’ but the fact that
the property belongs to Tamilnadu Tourism Development Corporation to
be indicated in the name board of Restaurant, without fail.
(b) The licensee shall utilize the property only for the purpose of running of
Restaurant and not for any other purpose.
(c) The food shall be prepared and served in hygienic manner by the
Licensee and should be of high quality. Any deviation or violation will be
viewed seriously. Only qualified and trained person shall be employed.
The licensee shall also take steps to provide safe protected drinking
water.
(d) The Area allotted including the kitchen and dining areas should be kept
neat and clean and hygienic always. The food served should be of high
quality.
3. 22 outlets (as per annexure) will be permitted to sell the food products.
4. Pest control should be carried out at periodical intervals stipulated on behalf
of TTDC and records to be maintained for verification.
5. The staff should be supplied uniforms and identity cards.
6. Suppliers should also be given identity cards to avoid unauthorized persons
entering and creating nuisance / annoyance / trouble to tourist / officials of
TTDC, etc. However , TTDC reserves the right to restrict and regulate the
entry and exit of suppliers and staff.
7. The duration of working hours shall be normally between 09.00 hrs and 20.00
hrs.
8. The licensee is at liberty to fix selling prices, however, it should be priced
reasonably on par with the local market rate. The sale of readymade items should not exceed the MRP rate.

9. The materials, equipment transferred / handed over shall have to be returned back in the same condition as that of at the time of taken over from TTDC, by the licensee.. .
10. In case of policy decisions, the Managing Director, Tamilnadu Tourism Development Corporation Limited shall be the deciding authority.
11. All disputes shall be subject to the jurisdiction of the court in Chennai City
only.
12. All Permits / Licenses / permission is to be obtained by the contractor /
licensee at his cost and risk, from the appropriate authority, by following the procedures.
13. The licensee shall ensure due observance compliance with all relevant laws,
rules and regulations applicable to business from time to time.
14. If any loss or damage is caused to TTDC or its properties either by the licensee or their suppliers and servants, either willfully/inadvertently, the Cost/extent of loss/ damage will be recovered from the licensee.
15. In case of damage to the property of TTDC by licensee/due to natural calamities, rioting TTDC will not undertake to compensate the loss/Damage incurred.
16. The licensee can insure his staff, property, guests etc. at his cost and risk.
17. In case of any suit or proceedings or claim against the licensee in connection with the transaction of the business at TTDC’s property, the licensee shall be solely responsible and in case of any such suit or proceedings is filed or claim to be made against TTDC, the licensee shall indemnify TTDC against all such proceedings and claims.
18. An agreement has to be executed by the Contractor / licensee, in non judicial
stamp paper to the value of Rs. 100 /- well in advance incorporating all the above terms and conditions before taking over the possession of the property.

III. MAINTENANCE OF GARDEN
AREA OF OPERATION
1. The total area of the Garden is 16,955 Sq. ft. (Annexure – IV) at Boat House, Ooty.
2. Boat House, Ooty : The garden at Boat House, Ooty comprises of lawn of
16,955 Sq. ft. and casuarinas fencing, flowering plants on the periphery of the lawn and in between the walking area of the tourists.
Facilities available inside the area and controlled by TTDC.
3. The Boating operation is done by TTDC.
4. The timings for the Public for the Boat House, Ooty is between 09.00 hrs. and19.00 hrs only. The Manager / Regional Manager may change the timings temporarily if any necessity arises.
Our expectation from licensee
5. TTDC expects that the Lawn should be lush green throughout the year and should be kept clean. As it is the Tourist place, accumulation of waste papers, spill over, etc. are likely which will have to be removed by the contractor as many times as possible / required to keep the lawn clean and presentable always. Watering, grafting, patch working, all inputs including Manure is responsibility of the contractor. The flowering plants should be planted and nurtured at regular intervals as may be required to give out flowers throughout the year.
6. All expenses for men, materials, inputs, damages etc will be licensee risk
and responsibility.
Benefit In store for licensee
7. The licensee may sell the seedling /potted plants of his own from the Area of his maintenance. The revenue needed not be shared with TTDC. This is only to help raise funds for maintenance of Garden. But the Selling point should be within the allotted space and it should be within the premises, but should not in any way hindrance to the normal operation of the business. It should not be an encroachment into the Garden area. It should be earmarked in consultation with local engineers and Manager and Regional Manager concerned.

Period
8. The period of license will be for 6 (Six) years from the date of taken over the
property from TTDC.
General:
9. The tenderer can inspect the site and can meet the Manager / Regional Manager concerned to get apprised of the availability of facilities / resource to have an idea, before quoting the offer.
10. The licensee should engage his own staff.
11. The tourist should be allowed to use this area at free of cost.
12. The maintenance should be planned in such a way that it should not affect the activities of TTDC in any way.
13. No political activity should be allowed to carry out in the area allotted to the
sponsor.
14. All risks, damages are at the cost of responsibility of the sponsor only.
15. If any damage is caused due to natural calamity, TTDC will not be held responsible.
16. The successful licensee may insure his area, against any calamities.
17. An agreement is to be executed in non-judicial stamp paper to the value of
Rs. 100 /- along with remittance of license fee.
18. The plan of maintenance, operation etc shall be given in writing before taking over the property – Please refer schedule.
19. The Electricity charges, water charges, if any, to be paid to TTDC at the rate
specified by the Regional Manager / TTDC.
20. The Management of TTDC reserves the right to terminate the contract in the event of any unforeseen circumstances warranted to do so, without any notice.

IV. SHOPS AND EXISTING HALL AT TOP OF RESTAURANT
1. Period of license will be 6 (Six) years from the date of taking over the
shops.
2. Interior / Exterior decoration etc., shall be done by the tenderer at their own cost
3. The licensee / Bidder should sell only the items permitted by TTDC, such
as Nilgiris oil, spices, tea herbal products, biscuits, homemade chocolates. Fancy wooden and textile garments, fancy ladies and children accessories, fancy gifts and toys fancy mobile and photo accessories.
4. The shops will be allotted to the highest Tenderer, subject to approval. 5. The electricity consumption charges should be paid by the tenderer
himself, separate sub-meter shall be installed at the tenderer’s cost. 6. There will be an escalation of 5 % on lease rent on compounding basis for
every subsequent year.
7. The area of shops shall not be increased. 8. TTDC has the right to re-enter the allotted shop, if there is any breach of
the terms and conditions of license without assigning any reason.
9. Cost of license (if any required), maintenance charges etc have to be borne by the tenderers.
10. The successful tenderers should enter into a license agreement with
TTDC as per draft furnished by TTDC. 11. The shops shall remain open between 08.00 hrs and 20.00 hrs.
12. The licensee should not indulge in any other activity other than specified
permitted, violation leads to criminal action. 13. In case of disputes the Jurisdiction will be at Chennai. 14. In case of the licensee fails, omits or defaults in the observance or
performance of any terms and conditions of license, TTDC can terminate the license and resume exclusive possession of the licensed shops without any notice.

1. The Tenderer should have a minimum 5 years experience in the field for which he / they participated in the tender process. (Documentary proof to be enclosed).
(OR) If he is not having required experience, the tenderer should have joint venture with the leading companies and firms having minimum 5 years experience in this field (Documentary proof (i.e.) copy of agreement etc. to be furnished).
2. The tenderer should submit the Audited Annual Accounts of his Firm/ Company for the preceding 3 years & Income Returns for 2016-17, 2017-18, 2018-19.
3. Minimum turnover should be Rs. 3.00 Crores in a year. (Documentary proof to be enclosed).
4. Should furnish a copy of GST Registration Certificate and PAN Card.
5. If the Tenderer being an individual, he should furnish a copy of Aadhar Card, Voter Identity Card for address proof. If the tenderer is a Partnership firm, they should furnish copy of Partnership Deed duly notarized. If the tenderer is a Limited Company, they should furnish copy of Certificate of incorporation.
6. Each and every pages of the tenderer schedule should be signed by the Tenderer and submitted along with the Technical Bid only.
7. Demand Draft for EMD should be enclosed along with the Technical Bid only, failing which the bid will be rejected summarily.
