1. GENERAL INFORMATION This Request for Quotation (RFQ) covers the requirements for the design, fabrication, and delivery of a single replacement evaporator condenser section that is part of a mechanical vapor recompression (MVR) vertical falling film Brine Concentrator System, located at the Przedsiebiorstwo Gospodarki Wodnej i Rekultywacji S.A. (PGWiR SA/Owner) Desalination Plant, working in Czerwionka-Leszczyny, Poland. The Brine Concentrator System along with a Crystallizer System, both originally supplied by Resources Conservation Company (RCC, Seattle, Washington USA) in 1992, is used to concentrate dissolved and suspended solids to make pure salt and to recover water for reuse from waste brines. Until the Auction / Tender is announced (item 8.7), the procedure will be conducted in Polish or English, and all documents should be submitted in Polish or English. This Request for Quotation also includes:

1) The technical design, engineering and supply of a Demolition and Installation Design Package (DDP and IDP).

2) Fabrication and Delivery of the new condenser and all other deliverables to the Jobsite (Przedsiebiorstwo Gospodarki Wodnej i Rekultywacji S.A. Mlynska 24 St., 44-230 Czerwionka-Leszczyny, POLAND).

3) Demolition and removal of the old condenser section, installation of the new condenser section, and commissioning and startup of the evaporator with the new condenser installed – the scope of works is shown on the technical drawing attached to this RFQ (Attachment No 1).

2 Terms and Definitions

For the purposes of this RFQ the following terms shall apply: Bidder/Proposer – When referring to the entity who has to provide specific information or meet requirements to be considered for award, Owner - PGWiR SA, Contractor/Supplier – Is referring to the Bidder who is selected.

4 BIDDER QUALIFICATIONS To be considered fully qualified, the Bidder must:

A. Have proven experience in the last 10 years in the design and delivery of Falling Film Evaporative Installations in MVR technology or heat exchangers, chemical apparatus or pressure vessels in similar applications, by indicating at least two implementations in the abovementioned period by providing written references of the manufacturing of such installation or other proof of proper installation performance.

B. Demonstrate experience in the design and supply of vessels and condensers designed and tested to ASME Section VIII or EN 13445 and welded per ASME Section IX or EN ISO 15614-1, EN ISO 9606-1, EN ISO 14732 (both code stamped and non-code stamped)

C. demonstrate experience in the design and supply of vessels and condensers designed and built with duplex, titanium, austenitic steels

D. demonstrate experience with flow distribution in pressure and industrial components. E. demonstrate experience in designing separation and filtration equipment in flow distribution

systems. F. provide references of whole evaporator or evaporator condenser only replacement projects

that have occurred in the past 10 years, or similar technical services. G. have financial capability to fulfill the agreement in complete form.

5 BIDDER SCOPE OF SUPPLY AND SERVICES The offer should be presented in EUR. Bidders are requested to provide a firm fixed price proposal including demolition of the old equipment and the supply and installation of the new equipment, material, and technical services as outlined below:

5.1 Equipment and Material Scope of Supply Bidder shall provide engineering, design, procurement, fabrication, delivery, inspection and testing of the equipment and materials as more fully described below: Replacement evaporator condenser including condenser inlet manifold, floodbox, brine screens and tube bundle, per Resources Conservation Company (RCC) drawings 373-M20-1 Sht. 1 Rev. C, 373-M20-1 Sht. 2, and 373-M20-2 Rev. 0. The RCC granted license to PGWiR SA to use the above

referenced drawings for the purpose of this RFQ and the drawings can be sent by PGWiR SA to the Bidder on his demand. The replacement includes:

a) 254SMO (UNS S31254) upper floodbox, inlet manifold and four (4) brine screens. Floodbox shall be flanged design with a high temperature Teflon rope gasket,

b) It is allowed to change the design of condenser from flow distributors inserted in each tube to254SMO floodbox distribution plates, in the case of distribution plates they should be min. 6.1 mm thick with support rungs on bottom and hand rungs on top, max 30 kg for each piece, each piece must fit through floodbox manway for installation and removal, laser etched with piece number, pieces bolted together to avoid separation or lifting.

c) Titanium Grade 12 tubes: Qty 2576, 50.8 mm OD x 0.71 mm avg. wall thickness x 10 668 mm long, per ASTM B-338-83 Gr. 12.

d) Titanium Grade 12 upper tubesheet, 3 429 mm dia., 25.4 mm min. thickness. e) The lower tubesheet can be Titanium Grade 12 (as on original configuration drawing) or

254SMO, 3550 mm dia., 38.1 mm min. thickness (in the case of 254SMO lower tubesheet the elimination of the condenser expansion joint can be considered).

f) Upgraded Duplex 2205 SS for condenser section above the evaporator sump and all condenser internals including center vent, support baffles and inlet deflector (for all materials originally supplied in 304L SS or 2342 SS).

g) 254SMO for lower condenser shell inside the evaporator sump. h) One set of RCC (SUEZ) designed proprietary mesh mist eliminators in Alloy 400 mesh and

frame (Contact SUEZ for pricing at +1 425 828 2400) or Bidder can design and deliver “Bidders mist eliminators” showing the similar performance to the set of RCC mist eliminators.

i) One complete set of mist eliminator support rings and ring support brackets (for both condenser shell and sump wall) in 254SMO.

j) One set of spray nozzles for mist eliminator wash and window wash including:

(Qty. 16) Spraying Systems Fulljet Nozzle 3/8”-HH-22, 16.4 l/min at 3 bar, ~90° spray angle, in 254SMO

(Qty. 1) Spraying Systems Fulljet Nozzle 3/8”-HH-9.5, 7.1 l/min at 3 bar, ~50° spray angle, in 254SMO

One complete mist eliminator spray ring manifold in 254SMO, including all manifold support brackets

k) New condenser design shall have tubes seal welded at the top tubesheet and rolled and grooved at the lower tubesheet to eliminate leakage of brine into the condenser shell at the top or distillate leakage out of the lower tubesheet.

l) New condenser can be designed without the lower bellows (expansion joint) and must be designed to accommodate expansion and contraction per the design temperatures and pressures noted on the RCC drawings (except the changes in data demanded by PGWiR SA).

m) Both preliminary and “for construction” fabrication shop drawings and details shall be provided for approval prior to commencement of fabrication.

n) Owner shall have the right to inspect the condenser during fabrication, witness the required condenser hydrostatic test, and shall approve the final “as-built” drawings and QA/QC document package prior to release for shipment.

o) Delivery for all deliverables shall be DDP Jobsite, per Incoterms 2010.

The evaporator sump is not included and assumed to be reused. The new condenser shall be designed to be lifted vertically and inserted back into the sump opening (after replacing the old sump cone) and rewelded back in place after the old sump cone and old condenser are removed. The new sump cone must include the Vapor Outlet. Note: AL-6XN is equivalent to 254SMO and may be used. All equipment and materials shall be designed for a service life of 15 -25 years. Current local site location seismic zone criteria is the same as on original drawing, given on the original configuration drawing condenser internal pressure must be changed from 55 to 50 kPa. Except for the described above changes, the new condenser must match the existing condenser design conditions, dimensions, and all interface nozzle locations and orientations. If field modifications are required due to improper design and fabrication, the cost shall be the responsibility of the Bidder. The scope of works also include off-loading of the condenser and deliverables at the Jobsite and site demolition, construction, installation and commissioning.

5.2 Demolition/Installation Design Document Package Since the existing condenser will need to be cut out of the sump, a detailed design and engineering document package for the demolition and installation of the new condenser is required to minimize risk and reduce installation costs. The Bidder supplied document package should include as a minimum:

demolition and installation instructions;

demolition and installation drawings and details;

commissioning instructions/plan;

lifting details, including condenser lifting lug locations and center of gravity;

field welding procedure and welder qualifications;

insulation specification (vessel will be insulated in the field by the Bidder).

5.3 Project Site Meetings and PGWiR SA inspections Bidder shall include the following on-site meetings and on-site technical advisory services as well as inspections in Bidder’s industrial plants after award:

project kickoff meeting – shortly after award to discuss schedule and design issues, walk down the plant to verify scope, dimensions, etc.

demolition/installation design package review meetings - to clarify scope of work and review document package prior to start of demolition and installation work.

the possibility of Contractor’s plants inspection by PGWiR SA authorities in which the evaporator exchanger manufacturing will be held in order to carry out tests prior to the receipt of the exchanger on PGWiR SA site.

5.4 Startup, Testing and Acceptance In addition to the above services, Bidder shall provide an experienced and technically qualified field service representative on-site during the startup and testing of the new evaporator condenser and shall perform an operational audit that shall include the following:

Audit of the New Condenser performance, reliability and condition

Determination of spare parts inventory Within 2 weeks upon completion of the site audit, Bidder and PGWiR SA shall prepare and issue an Final Acceptance/Audit Report that will highlight the findings and will be the base document for the final payment.

5.5 Providing polish-speaking members of staff Throughout the whole duration of the contract, the Contractor shall ensure polish-speaking member of the staff, ensuring the same possibility of fluent communication between Owner and Contractor in Polish regarding the execution of the project.

6 EXCLUDED FROM THE SCOPE OF SUPPLY The following are excluded from the Bidder’s scope of supply and services:

site access and laydown areas, open areas for crane access, and on site crane parking,

disposal of all removed material, including the existing condenser section, insulation, etc.,

instrumentation, wiring, cables, etc. as they are all assumed to be in good working order and reused,

except for clips/tabs needed on the new condenser shell, all existing pipe and duct supports vessel platforms, etc. are assumed to be in good working order and reused,

operations and maintenance personnel as well as I&C technician (for calibration checks) during commissioning, startup and operations.

7 Basic Provisions of Contract Terms and Conditions

7.1 Scope of Supply and Services As described in section 5 of this RFQ.

7.2 Law This contract is governed and constructed under the Polish law and the binding version is in Polish.

The Bidder/Contractor must comply with all applicable state and local laws and ordinances in providing the products and services.

7.4 Jurisdiction All litigations arising from the contract must be resolved by the court specific for the Owner.

7.5 Legal Effect PGWiR SA is not liable for costs incurred by the Contractor or for payment(s) under this contract until the Contractor is awarded and authorized to perform by signing the contract.

7.6 Approval Unless otherwise provided in this contract, approval(s) must be in writing and must not be unreasonably withheld or delayed.

7.7 No Waiver of Default Failure by a party to insist upon strict adherence to any term of the contract does not waive that party's right to later insist upon strict adherence to that term, or any other term, of the contract.

7.8 Survival The provisions of this contract that impose continuing obligations, including warranties, indemnification, and confidentiality, will survive the expiration or termination of this contract.

7.9 Cooperation with Third Parties The Contractor and its Subcontractors must cooperate with PGWiR SA and its agents and other contractors, including PGWiR SA quality assurance, safety standard personnel. The Contractor must provide reasonable access to its personnel, systems, and facilities related to the contract to the extent that access will not interfere with or jeopardize the safety or operation of the systems or facilities.

7.10 Relationship of the Parties The relationship between PGWiR SA and Contractor is that of client and independent contractor. No agent, employee, or servant of the Contractor, or any of its subcontractors, is an employee, agent or servant of PGWiR SA. The Contractor will be solely and entirely responsible for its acts and the acts of its agents, employees, servants, and subcontractors during the performance of the Contract.

7.11 Time of Performance

a) The Contractor must immediately notify PGWiR SA upon becoming aware of any circumstances that may reasonably be expected to jeopardize the completion of any

Deliverable(s) and/or Works by the scheduled due dates in the latest PGWiR SA-approved schedule and must inform PGWiR SA of the projected actual date.

b) If the Contractor believes that a delay in performance by PGWiR SA has caused or will cause the Contractor to be unable to perform its obligations according to specified contract time periods, the Contractor must immediately notify PGWiR SA and, to the extent practicable, continue to perform its obligations according to the contract time periods.

7.12 Excusable Failure and Force Majeure Neither party will be liable for any default, damage or delay in the performance of its obligations that is caused by government regulations or requirements, power failure, electrical surges or current fluctuations, war, forces of nature, fire, riots, embargoes, injunctions (provided the injunction was not issued as a result of any fault or negligence of the party seeking to have its default or delay excused), or any other cause beyond the reasonable control of a party; provided the non-performing party and any Subcontractors are without fault in causing the default or delay, and the default or delay could not have been prevented by reasonable precautions and cannot reasonably be circumvented by the non-performing party through the use of alternate sources, workaround plans, or other means. If a party does not perform its contractual obligations for any of the reasons listed, the non- performing party will be excused from any further performance of its affected obligation(s) for as long as the circumstances prevail. The non-performing party must promptly notify the other party immediately after the excusable failure/force majeure occurs, and when it abates or ends. Both parties must use commercially reasonable efforts to resume performance. The Contractor will not have the right to any additional payments from PGWiR SA as a result of any Excusable Failure/Force Majeure or to payments for deliverable(s) not provided as a result of the Excusable Failure/Force Majeure. The Contractor will not be relieved of a default or delay caused by acts or omissions of its Subcontractors except to the extent that a Subcontractor experiences an Excusable Failure/Force Majeure and the Contractor cannot reasonably circumvent the effect of the Subcontractor's default or delay in performance through the use of alternate sources, workaround plans, or other means.

7.13 Insurance The Contractor must:

a) provide proofs that it has obtained the minimum level of insurance coverage for its business activities for an amount not less than the equivalent of EUR 5 million. The insurance must protect PGWiR SA from claims that are alleged or may arise or result from the Contractor's or a Subcontractor's performance, including any person directly or indirectly employed by the Contractor or a Subcontractor, or any person for whose acts the Contractor or a Subcontractor may be liable,

b) waive all rights against PGWiR SA for the recovery of damages that are covered by the insurance policies the Contractor is required to maintain under this Section. The Contractor's failure to obtain and maintain the required insurance will not limit this waiver,

c) ensure that all insurance coverage provided relative to this Contract is primary and non- contributing to any comparable liability insurance (including self-insurance) carried by PGWiR SA,

d) maintain all required insurance coverage throughout the term of this Contract and any extensions. However, in the case of claims-made Commercial General Liability policies, the Contractor must secure tail coverage for at least three years following the termination of this Contract.

7.14 Indemnification

7.14.1 General Indemnification To the extent permitted by law, the Contractor must indemnify, defend, and hold PGWiR SA harmless from liability, including all claims and losses, and all related costs and expenses (including reasonable attorneys' fees and costs of investigation, litigation, settlement, judgments, interest and penalties), accruing or resulting to any person, firm, or corporation that may be injured or damaged by the Contractor in the performance of this Contract and that are attributable to the negligence or tortious acts of the Contractor, any of its subcontractors, or by anyone else for whose acts any of them may be liable.

7.14.2 Patent/Copyright Infringement Indemnification

a) To the extent permitted by law, the Contractor must indemnify and hold PGWiR SA harmless from liability, including all claims and losses, and all related costs and expenses (including reasonable attorneys' fees and costs of investigation, litigation, settlement, judgments, interest, and penalties) resulting from any action threatened or brought against PGWiR SA to the extent that the action is based on a claim that any piece of equipment, software, commodity, or service supplied by the Contractor or its subcontractors, or its operation, use, or reproduction, infringes any patent, copyright, trademark or trade secret of any person or entity.

b) If, in PGWiR SA's or the Contractor's opinion, any piece of equipment, software, commodity or service supplied by the Contractor or its subcontractors, or its operation, use, or reproduction, is likely to become the subject of an infringement claim, the Contractor must, at its expense:

i. procure the right to continue using the equipment, software, commodity or service or, if this option is not reasonably available to the Contractor;

ii. replace or modify to PGWiR SA's satisfaction the same with equipment, software, commodity or service of equivalent function and performance so that it becomes non-infringing.

7.14.3 Continuing Obligation The Contractor's duty to indemnify continues in full force and effect, notwithstanding the expiration or early cancellation of the contract, with respect to any claims based on facts or conditions that occurred before expiration or cancellation.

7.14.4 Limitation of Liability Neither the Contractor nor PGWiR SA is liable to each other, regardless of the form of action, for consequential, incidental, indirect, or special damages. This limitation of liability does not apply to claims for infringement of any patent, copyright, trademark or trade secrets; to claims for personal injury or damage to property caused by the gross negligence or willful misconduct of the Contractor.

7.15 Warranties

7.15.1 Warranties and Representations The Contractor represents and warrants:

a) It is capable of fulfilling and will fulfill all of its obligations under this contract. The performance of all obligations under this contract must be provided in a timely, professional, and workmanlike manner and must meet the standards required under this contract.

b) It is the lawful owner or licensee of any Deliverable licensed or sold to PGWiR SA by Contractor or developed by the Contractor for this contract, and Contractor has all of the rights necessary to convey to PGWiR SA the ownership rights or licensed use, as applicable, of any Deliverable(s). None of the Deliverable(s) provided by Contractor to PGWiR SA, nor their use by PGWiR SA, will infringe the patent, trademark, copyright, trade secret, or other proprietary rights of any third party.

c) The Contractor arrived at its proposed prices independently, without communication or agreement with any other Bidder for the purpose of restricting competition. The Contractor did not knowingly disclose its quoted prices for this contract to any other bidder before the award of the contract. The Contractor made no attempt to induce any other person or entity to submit or not submit a proposal for the purpose of restricting competition.

d) All financial statements, reports, and other information furnished by the Contractor to PGWiR SA in connection with the award of this contract fairly and accurately represent the Contractor's business, properties, financial condition, and results of operations as of the respective dates covered by the financial statements, reports, or other information. There has been no material adverse change in the Contractor's business, properties, financial condition, or results of operation.

e) All written information furnished to PGWiR SA by or for the Contractor in connection with the award of this contract is true, accurate, and complete, and contains no false statement of material fact nor omits any material fact that would make the submitted information misleading.

f) It will immediately notify PGWiR SA if any of the certifications, representations, or disclosures made in the Contractor's original bid response change after the contract is awarded.

7.15.2 Warranty of Fitness for a Particular Purpose The Deliverable(s) provided by the Contractor must be fit for the purpose(s) identified in this contract.

7.15.3 Warranty of Title The Contractor must convey good title to any Deliverable(s) provided to PGWiR SA. All Deliverable(s) provided by the Contractor must be delivered free from any security interest, lien, or encumbrance of which PGWiR SA, at the time of contracting, has no knowledge. Deliverable(s) provided by the Contractor must be delivered free of any rightful claim of infringement by any third person.

8 BIDDING, EVALUATION, SELECTION & AWARD PROCESS

8.1 PGWiR SA Responsibility PGWiR SA is not responsible for representations made by any of its officers or employees prior to the execution of the Final Agreement.

8.2 Truth and Accuracy of Representations False, misleading, incomplete, or deceptively unresponsive statements in connection with the Quotation shall be sufficient cause for rejection of the Quotation. The evaluation and determination in this area shall be at PGWiR SA’s sole judgment and its judgment shall be final.

8.3 Bidders Questions Proposers may submit written questions regarding this RFQ by e-mail to the address given below. All questions must be received by February 15, 2019. PGWiR SA reserves the right to leave any questions received after this term unanswered. All questions, without identifying the submitting company, will be compiled with the appropriate answers and issued as an addendum to the RFQ. When submitting questions please specify the RFQ section and paragraph number, and quote the language that prompted the question. This will ensure that the question can be quickly found in the RFQ. 8.4 Confidentiality

This RFQ and the following procedure is confidential. The Bidder is not authorized to use any

information, materials, drawings and other documents provided by PGWiR SA in the course of this

procedure for purposes other than for preparation of the quotation, as well as to passing this

information to third parties for purposes other than mentioned above.

To avoid any doubts, PGWiR SA declares that it does not granted the Bidder any intellectual property

rights to information, materials, drawings and other documents provided in the course of the

proceeding.

8.5 Preparation of the Quotation Each qualified bidder must submit a complete quotation in response to this RFQ. The quotation must be in Polish or English and it must remain valid for at least 120 days from the due date of this RFQ. The quotation should contain:

1. Information about Your Company Please include the following:

a) Company’s official registered name. b) Brief history of your company, including the year it was established. c) Annual financial statement for the last three years. d) Company’s organizational chart of those individuals that would be involved in the

contract. e) Company office location. f) Contact details: Mail, Address, Phone number.

2. Bidder qualifications and references(mandatory requirements) - as described in Section 4 3. Information if the new condenser is to be designed with the floodbox distribution plates as

described in Section 5.1 letter B. 4. Time(in days) from the date of signing the Contractneeded to finish the scope of supply and

services described in Section 5. 5. Time( in days) needed for demolition of the old condenser and installation of the new one to

the point the new condenser is ready for start up. 6. Price – the price should be firm fixed price described in Section 5. 7. Service Life Warranty in years (minimum 15 years expected)

8.6 Assessment and Qualification procedure

8.6.1 Adherence to Mandatory Requirements (Pass/Fail) PGWiR SA shall review Bidder’s Information, and determine if the Bidder meets the minimum requirements as outlined in this RFQ described in Section 4. Failure of the proposer to comply with the minimum mandatory requirements may eliminate its proposal from any further consideration. PGWiR SA, on the basis of equal treatment of Bidders, may request supplementing, supporting or clarifying materials to the offer, including documents that confirms the fulfillment of the Bidder’s qualifications. PGWiR SA may elect to waive any informality in a proposal if the sum and substance of the proposal is present.

8.6.2 Evaluation Process All Bids will be reviewed for compliance with the mandatory requirements stated within this RFQ. Bids deemed non-responsive will be eliminated from further consideration.

A. PGWiR SA may contact the Bidder for clarification of the Bidder's Bid. B. PGWiR SA may use other sources of information to perform the evaluation. C. PGWiR SA may require the Bidder to submit additional and/or supporting materials,

documents or information. D. Responsive bids will be evaluated on the factors identified in this RFQ.

8.6.4 Optional Tools to Enhance Evaluation Process

8.6.4.1 Clarifications PGWiR SA may issue a clarification or addendum, in writing, to one or all Bidders. A clarification request does not allow a Bidder to change its proposal. 8.6.4.2 Oral Presentation PGWiR SA may require an oral presentation of the Bidder's proposal. This presentation provides an opportunity for the Bidder to clarify its proposal. 8.6.4.3 Site Visit PGWiR SA may conduct a site visit to tour and inspect the Bidder’s facilities.

8.7 Auction/Tender PGWiR will announce during the period of validity of bids the Auction/Tender and will invite each Bidder determined to be in the competitive range to put a Best and Final Offer (BAFO). Since the Auction / Tender announcement, the procedure will be conducted in Polish, all documents must be provided only in Polish. PGWiR SA allows the possibility of preparing a contract in a bilingual version (in Polish and English), under the restriction that the translation will be the Contactor’s cost.

8.7.1 Negotiations After a prospective Contractor has been selected, PGWiR SA and the prospective Contractor will negotiate a final agreement. If a satisfactory final agreement cannot be negotiated, PGWiR SA may, at its sole discretion, begin negotiations with the next qualified Bidder who submitted a quotation, as determined by PGWiR SA.

8.7.2 PGWiR SA Option to Reject Quotations

PGWiR SA may, in its sole and absolute discretion, reject any or all quotations submitted in response to this RFQ. PGWiR SA shall not be liable for any costs incurred by the Bidder in connection with the preparation and submission of any quotation. PGWiR SA reserves the right to waive inconsequential disparities in a submitted quotation.
