Dear Mr Mann

The term of the current trust board for the Wentworth Park Sporting Complex Trust is due to expire on 26 May 2016.

I have decided to appoint an administrator from 27 May 2016 for an interim period of three months. A decision on trust management beyond this date has not been made.

There are a number of factors that have influenced my decision, none of which in any way relate to the past performance of the trust board in managing the Wentworth Park Sporting Complex Trust.

I have asked Mr Jason Masters to take on the role of Administrator. Mr Masters is an experienced company director in the public and private sectors, probity advisor, auditor and management consultant with high level understanding of Crown lands. Mr Masters will be in direct contact with the CEO and industry groups to establish a clear understanding of the current position of the Trust and user requirements for the reserve.

Mr Master will have all of the responsibilities of the former trust board. To ensure a smooth transition to the administrator, it is essential that you make available as soon as possible all relevant trust documentation to Mr Masters. He can be contacted on (02) 8705 5471 or 0407 780 110.

I refer to your recent proposal for appointment to the position of administrator of the Wentworth Park Sporting Complex Trust.

Your proposal has been accepted and I have asked the department to arrange for your appointment as the administrator of the Trust for an initial term of up to three months. Your term of appointment will commence on the 27 May 2016 or once it has been notified in the Government Gazette.

To ensure a smooth transition from the trust board to an administrator it is imperative that you make contact with the current Chief Executive Officer, Wentworth Park Sporting Complex Trust, Mr Peter Mann as matter of priority. Mr Mann's has been made aware of your appointment and his contact details are (02) 9552 1799.

I have also asked for the department to arrange for you to meet with the former Chair of the trust, Mr Ted McKeown, so that you may be advised of any issues to be considered in the role.

Beyond the above, it is also imperative that you make early contact with Greyhound Racing NSW, the NSW Greyhound Breeders, Owners & Trainers Association and the City of Sydney concerning your role and noting the interest these entities have in this significant reserve.

membership to that which currently exists or a corporate trust board to manage the affairs of the Wentworth Park Sporting Complex Trust at this point.

To maintain the complex and significant affairs of the reserve trust, and pending implementation of alternate longer term arrangements for the trust or the land, an administrator is required to be appointed to manage the day to day affairs of the reserve trust.

Due to the significance of this reserve, the period of transition for the complex and the complexity of the issues and governance arrangements involved it is essential that an administrator with substantial and relevant experience is appointed.

It is proposed that the administrator be remunerated at a rate of per hour (ex GST). The trust has sufficient cash reserves to meet this commitment for the appointment period.

Negotiations with Urban Growth NSW are being progressed on the basis of a proposal to appoint it as corporate manager of the reserve trust. It is also proposed that the Minister for Planning be appointed as the Minister responsible for the reserves included in the Wentworth Park precinct.

If accepted, Administrative Orders will be drafted to that effect. It is anticipated this proposal will be brought forward for consideration within the next 2 months.

Appointment is consistent with the requirements of the draft Policy "Administrators on Crown Reserves" (DOC14/188805). A draft Gazette Notice is at Attachment A (DOC16/073689).

Legal Considerations

The Wentworth Park Sporting Complex Trust is the trustee of reserve (P500010) proclaimed for Public Park at Glebe. Additional purposes of parking, office accommodation, student examinations and Communication Facilities were gazetted at a later date over Wentworth Park.

The Wentworth Park Sporting Complex Trust was gazetted on 14 August 1992 and management of the reserve trust has traditionally been by appointment of a volunteer community trust board with ex officio members from Department of Gaming and Racing, Department of Sport, Sydney City Council, NSW Greyhound Breeders, Owners & Trainers Association, NSW National Coursing Association and a Department of Primary Industries (DPI) - Lands Officer. The term of office of the existing trust board members is due to expire on 26 May 2016.

Section 117 of the Crown Lands Act 1989 (the Act) provides for an administrator to be appointed by the Minister by publication of a notice in the gazette.

Financial considerations

Procurement of the proposed administrator has been undertaken in accordance with NSW Industry procurement guidelines. A review of the Pre-Qualification Scheme was undertaken to identify a suitable consultant who could undertake the role. As the value of the works is less than $150,000, one written quote is required.

Probity Advisory and Auditing Consultants was identified as a suitable provider on the NSW Government Pre-Qualification Panel for Performance and Management Services.

A request for quote was issued as Attachment A (LBN16/3004) and a written proposal was received as Attachment B — (DOC16/073713)

Given the specialist services required, the limited term and the availability of a suitable pre-qualified service provider, it was not deemed necessary or appropriate to advertise the role.

Assessment

Probity Advisory and Auditing Consultants have nominated Mr Jason Masters is an experienced company director in the public and private sectors, probity advisor and auditor and management consultant with high level understanding of Crown Lands. Attachment B includes his CV.

Sensitivities

DPI Lands have held discussions with the Chair and CEO of the Trust on the potential likelihood that a new community trust board may not be appointed in the immediate future until there is clarity on the future ongoing governance arrangements for the Trust. Other community trust board members have verbally indicated that they not interested in seeking reappointment to the trust.

Background

On 31 May 2016 the Special Commission of Inquiry into the Greyhound Racing Industry in NSW (the Inquiry) will report back to government.

With the imminent release of the report, the future of the greyhound racing industry is uncertain. Consideration is being given to alternative uses for the site should there be any move that would result in a discontinuation of racing at Wentworth Park or the industry in NSW generally.

Land ownership will be critical to the success of the Bays Precinct Transformation Program (the Bays). While the Minister has the legislative authority to allocate the site to a particular future use, there is a recognised need to give consideration to the broader direction for the Bays.

The Wentworth Park Sporting Complex (the Complex) occupies the central part of the broader Wentworth Park (the Park) and has been used for greyhound racing since the 1930s. The Complex is a Crown reserve under the management of a board of trustees with representatives from the racing industry, the community and the local government authority. The residue of the Park is open space under the trust management of the Council of the City of Sydney (the Council).

It would be the department's view that the Complex site is lawfully used and occupied at present. The Greyhound Owners Breeders and Trainers Association (GBOTA) hold a licence over the Complex. The licence provides for the running of race meets until 2027 and requires that the GBOTA meet capital and other outgoings for the site.

The Trust has obtained a report on capital infrastructure expenditure for forward years and has been seeking a commitment from GBOTA toward capital costs for the site. Infrastructure requiring immediate upgrade or replacement includes the air conditioning system, track lighting and the building lift.

Government has recently delivered a vision statement for the future of the broader Wentworth Park as part of the Bays Precinct Transformation Program. The site has been identified as an "Immediate Priority Destination — Commencing 2016-2019" for shared activated public space. This vision is consistent with the declared purposes for the reserves.

Background

WPSCT is the trustee of the Wentworth Park Sport Complex reserve under the Crown Lands Act of 1989. Whilst there is currently a board in place, should their term not be extended, then the Minister may appoint an Administrator.

As expected with good corporate governance structures, the reserve trust board is responsible for leading and governing the organisation, and the CEO is responsible for day-to-day operations, covering (but not limited to) execution of strategy, financial performance, risk management, compliance, people management and client services.

Should an Administrator be required for a short period of time this role is to take

care, control & management of the Trust, to assist with the oversight and execution

of the trust's plan of management and other activities required under the Crown

Lands Act 1989.

It is anticipated that the term may be for an initial term of six months, effective from

27 May 2016.

We understand that any such appointment of an individual as the Administrator

would be under sl 17 of the Crown Lands Act 1989, where the Minister may

appoint an administrator to manage the affairs of a reserve trust.

We have been advised that the key roles and responsibility would encompass all

responsibilities of the trust including key responsibilities such as:

1) Oversee the management and performance of the Trust, ensuring

compliance with legislative and governance responsibilities;

2) Make decisions in accordance with the Act and the Trust's policies and

procedures, particularly relating to financial, human resource and

procurement delegations;

3) Oversee, counsel and support the Chief Executive Officer, and monitor their

performance;

4) Liaise with the Department as required;

5) Review the Trust's finances and other key performance criteria on a regular

basis; and

6) Ensure that probity is maintained in accounting, reporting and other respects.

The Administrator's responsibilities are to be limited to maintaining business as

usual for the Trust, working with the established policies, procedures, delegations

and with the existing budget, staffing, strategic / operational / capital priorities.

The Administrator would take direction from and report to the Department,

potentially the relevant Minister and will be required to provide a concise monthly

report on the Trust's operations, the activities and decisions undertaken by the

Administrator during the reporting period.

It is anticipated that the Administrator would need to dedicate 1 0-1 5 hours per

week to the role, which can be done in large part remotely, with meetings and visits

to the Trust's offices as required.

Approach

Upon Appointment:

The transition to an Administrator can lead to a period of uncertainty for the organisation, its staff as well as its clients. It is critical for the success of the

organisation that any momentum is not lost, and in fact the Administrator may

needs to provide a framework for executive management to build momentum for the organisation to gain the stability it needs to move forward in the medium to

long term.

To this end, Jason would:

• Seek a preliminary briefing from the Department on the specific issues that

have led to the appoint of an Administrator;

• Meeting with the CEO as part of the communication plan, and to further

develop the Q&A document to address particular issues that may be raised

by the staff, industry partners, other key stakeholders and clients; and

• Be available to communicate to other key stakeholders and clients as

require.

Shortly After Appointment

Immediately after the appointment and the key communication matters addressed,

then commence the preparation for the cycle of key activities, which may include:

• Review matters that required the Administrator's approval and

approve/reject items awaiting approval (ie clearing any backlog);

• Review of the Trust's prior Trust Minutes and Audit and Risk Committee

minutes; • Review (with the CEO) their specific needs for support during the period of

Administration and that of their direct reports if required;

• Establish the cycle for meetings (physical and electronic) required to provide effective corporate governance and the associated reporting, including

monthly reporting to the Department;

• Receive a high level overview / familiarisation of the following:

o financial and operational performance;

o delegations;

o current key contractual performance issues and opportunities;

o any issues leading to the need for the appointment of an

recommendation from the CEO and where appropriate the Department (or Minister);

• Do those activities to provide the stability and support required for the organisation;

• Execute the cycle for meetings (physical and electronic) required to provide effective ongoing effective corporate governance and the associated reporting, including monthly reporting to the Department to support the organisation; and

• Engage with strategic issues in relation to the long-term opportunities for the WPSCT.

Transition to a new Crown Reserve Trust or any other structure as decided by the Minister, which would include any background, advice and counsel to the incoming Chair as required.

Proposed Administrator

Attached is a high level resume of Jason Masters, who we propose as the Administrator. In summary we believe that Jason would be an ideal administrator for the following reasons:

• Experienced Administrator, having been the Administrator for the NSW Crown Holiday Parks Trust from November 2014 to June 2015. During this period, Jason stablised internal relationships, held community and stakeholder consultations, finalised the strategic plan and organisational restructure, and transitioned to the new Board with a forward-moving focus.

• Experienced with infrastructure and sporting bodies. Jason is currently the Independent Chair of the Audit and Risk Committees for the NSW Office of Sport, Venues NSW, State Sporting Venues Authority and Combat Sports Authority. Jason is active in sport as a basketball umpire and supporting his daughter who plays at high level for her age in netball and volleyball.

• Experience Company Director -Jason is a Chair of a not-for-profit, an Independent NED for a financial institution, Independent NED for the subsidiaries of two biotech/pharma start-ups with operations in Australia, Councillor (Board Member) of a NSW Statutory Authority, and Director of his own business company. He is a Fellow and Graduate of the Australian Institute of Company Directors.

• Educator of Company Directors - Jason is an accredited facilitator with the Australian Institute of Company Directors, covering the Strategy, Risk and Finance modules in the Company Directors Course, Foundations of Directorship program and their Subsidiary Boards Program. He recently delivered the Risk and Strategy Models throughout NSW for the Local Land Services Boards. Further to our recent discussion, I request a proposal to provide services as Administrator of the Wentworth Park Trust.

Background

The Wentworth Park Sporting Complex Trust (WPSCT) is the trustee of the Wentworth Park Sport Complex reserve and is appointed under the Crown Lands Act 1989. The affairs of the Reserve Trust are currently managed by a Trust Board comprising a mix of community and ex-officio members. The term of office of the Trust Board expires on 26 May 2016.

A short term need has arisen to appoint an administrator to the WPSCT due to several emerging factors:

• The Deputy Director General, Lands & Natural Resources has been removed as an ex-officio from WPSCT (and several other Trusts) which may destabilise the Trust Board

• Concerns about current performance and governance of the Trust Board • Recent Government announcements in relation to the proposed redevelopment of the

Bays Precinct, which will affect Wentworth Park.

Role

The role comprises managing the affairs of the WPSCT as an administrator appointed under s117 of the Crown Lands Act 1989. The appointed administrator has all responsibilities of a Trust. In this case, the key responsibilities will be to:

1) Oversee the management and performance of the Trust, ensuring compliance with legislative and governance responsibilities

2) Make decisions in accordance with the Act and the Trust's policies and procedures, particularly relating to financial, human resource and procurement delegations

3) Oversee, counsel and support the Chief Executive Officer, and monitor their performance

4) Liaise with the Department as required 5) Review the Trust's finances and other key performance criteria on a regular basis 6) Ensure that probity is maintained in accounting, reporting and other respects.

Extent of administrator responsibilities

Responsibilities will be limited to maintaining business as usual for the Trust, working with the established policies, procedures, delegations and with the existing organisational budget, staffing, strategic / operational / capital priorities etc.

Timing

The role is expected to commence on 27 May 2016 and continue for an initial period of up to six months, or until such time as new arrangements for WPSCT are implemented. If new arrangements are implemented for WPSCT within the six month period, the administrator role will cease.

Reporting

While the Trust reports directly to the Minister, from a day to day management perspective the administrator will take direction from and report to Mr David McPherson, Group Director Regional Services, DPI — Lands. The administrator will be required to provide a concise monthly report to the Department on the Trust's operations and the activities / decisions undertaken by the Administrator. The Administrator will be required to liaise with the Trust's Chief Executive Officer on a regular basis to ensure appropriate oversight of the Trust's operations.

Required inputs

It is anticipated that the administrator would need to dedicate 10-15 hours per week to the role, which can be done in large part remotely, with occasional visits to the Trust's offices on site at the Complex.

Please confirm your inclusion on NSW Government procurement panels. Please indicate in your proposal any conflicts of interest which may affect your ability to undertake this role.
