On behalf of the Association for Corporate Growth – Los Angeles Chapter, we’d like to welcome you to the 16th Annual ACG LA Business Conference. We are honored to have you in attendance. We are excited to present an impressive roster of speakers, featuring President Bill Clinton as well as a number of well-respected industry CEOs. This year’s central conference theme focuses on opportunities and possibilities as we proactively navigate a fragile economic environment.

Our keynotes and panels will discuss the current business landscape, deliver insightful remarks and viewpoints on the state of M&A, and explore economic and world issues. JERI J. HARMAN 2013 Conference Host Co-Chair Founder and Partner Avante Mezzanine Partners

Jeri Harman is a Founder and Partner of Avante Mezzanine Partners. Avante makes debt and minority equity investments to finance buyouts, minority recaps, acquisitions and growth. Avante invests $5–20 million in established lower middle market companies generating at least $3 million EBITDA. Ms. Harman has 30 years of financing experience, involving well over $1 billion in aggregate transactions.

Prior to founding Avante, Ms. Harman started up and led Los Angeles offices for two multi-billion publically traded private equity and mezzanine investment funds – American Capital and more recently Allied Capital, where she was also a member of Allied’s Investment Committee. During that time, Ms. Harman invested over $650 million in 23 transactions. Earlier career highlights include positions of Managing Director – Private Placements at First Security Van Kasper; Managing Director – Corporate Finance at Coopers & Lybrand and various senior level positions in the private placement investment group at The Prudential Insurance Company of America.

Ms. Harman is a Co-Chair of The Association for Corporate Growth (ACG)-Los Angeles Business Conference, on the Board of SBIA, Ernst &Young Greater Los Angeles Entrepreneur of the Year Judge, and a Director of the Women’s Leadership Council. In 2013, the National Association of Women Business Owners (NAWBO) Los Angeles inducted Ms. Harman into their Hall of Fame.

Ms. Harman is also a former Director of The Association for Corporate Growth, former national judge for Ernst & Young’s Winning Women Entrepreneur Program, past President of ACG-Los Angeles and was Chair of ACG InterGrowth 2007. Ms. Harman has been a speaker at numerous conferences and symposiums throughout the U. S. on topics related to mergers and acquisitions, buyouts, and finance. Ms. Harman graduated summa cum laude from the University of Wisconsin-Milwaukee with a B.S. in Business Administration and received her M.B.A. in Finance from the University of California, Berkeley.

SCOTT KOLBRENNER 2013 Conference Host Co-Chair Managing Director, Los Angeles Office Houlihan Lokey

Mr. Kolbrenner is a Managing Director and heads Houlihan Lokey’s Engineering & Construction practice. He is based in the Los Angeles office. Mr. Kolbrenner’s recent transactions include sellside, buyside, financing, restructuring and strategic advisory engagements, as well as fair market value, ESOP, fairness and solvency opinions. Mr. Kolbrenner is a regular speaker at industry gatherings, including those sponsored by the American Institute of Certified Public Accountants, Associated Builders & Contractors, Associated General Contractors, Construction Financial Managers Association, Engineering News-Record, McGraw-Hill Construction and many others. He was recently recognized by Investment Dealers’ Digest as a recipient of its “Forty Under Forty” award.

Before joining Houlihan Lokey, Mr. Kolbrenner was an associate in the asset securitization group of Lehman Brothers Holdings, Inc., where he was involved in structuring, marketing and executing medium- and short-term asset-backed securities transactions. Previously, he was an associate in the corporate department of Sullivan & Cromwell LLP, where he focused on M&A, corporate finance and financial derivatives.

Mr. Kolbrenner is the president of the Harvard Law School Alumni Association of Los Angeles and a Board member of both the Los Angeles chapter of the Association for Corporate Growth and Hollygrove Family Services (a nonprofit agency serving abused and neglected children in Los Angeles). He is also a member of the Young Presidents’ Organization, Golden West chapter.

Mr. Kolbrenner graduated summa cum laude with a B.A. in psychology from the University of Colorado at Boulder, and he earned a J.D. from Harvard Law School.

JAMES B. FREEDMANConference Co-Chair Managing Director Intrepid Investment Bankers LLC

Mr. Freedman is Chairman and Managing Director of Intrepid Investment Bankers LLC. He has more than 30 years of investment banking and corporate finance experience and is an expert on the financial aspects of corporate strategy. Since founding Barrington Associates (the predecessor firm to Intrepid) in 1982, which was subsequently sold to Wells Fargo in 2006, he has advised over 500 middle-market companies in the area of corporate finance, mergers and acquisitions, corporate valuation and strategic decisions. Mr. Freedman has acted as the principal financial advisor in numerous corporate finance and merger and acquisition transactions ranging in value from $20 million to $1 billion, including the acquisition of the Los Angeles Kings Hockey Team, the sale of Applause, Inc., Encore Video, Roundhouse Products, and OnStaff, and the recapitalization of RSI Home Products, Inc., Halex Products, and L. Powell Company.

Mr. Freedman is active in community affairs and is currently a member of the Board of Advisors of the Anderson UCLA Graduate School of Management Entrepreneurial Studies Center, the Board of Visitors of the UCLA Anderson School, the Board of Directors of the UCLA Jonsson Cancer Center, the Board of Directors of the Yosemite Conservancy, the Board of Directors of the Simon Foundation for Education and Housing and the Board of Directors of the Concern Foundation for Cancer Research. Mr. Freedman is a frequent lecturer to industry and professional groups, including the American Management Association, The California CPA Society, The Los Angeles County Bar Association, the Los Angeles Venture Association, Vistage, Young Presidents’ Organization and the Anderson School at UCLA.

Since 1994, Mr. Freedman has been listed in “Who’s Who in Banking and Finance” in the Los Angeles Business Journal’s annual poll of the 100 most influential individuals in the Los Angeles financial services community. In 1995, he was name “Finance Man of the Year” by the Los Angeles Business Journal.

Mr. Freedman graduated from Cornell University where he earned a B.S. degree in Industrial and Labor Relations. In addition, he received an M.B.A. degree with a concentration in Finance from the Anderson School at UCLA.

MARGARET SHANLEY Conference Co-Chair Managing Director, Transaction Advisory Services Practice Duff & Phelps

Margaret Shanley is a Managing Director in the Century City office of Duff & Phelps and co- leads the firm’s West Coast Transaction Advisory Services practice. Margaret advises Private Equity, Strategic and Lender clients on buy and sell-side advisory and due diligence matters, including the assessment of pro-forma quality of earnings and working capital, value assessment, (particularly value drivers and synergies post-closing), quality of the finance function and areas for improvement, opportunities for improved profitability and cashflow, assessment of a Company’s supply chain as well as financial projections and forecasts.

Prior to joining Duff & Phelps, Margaret was a Managing Director with McGladrey where she developed their West Coast Transaction Advisory Practice. She also worked in the Assurance Practice of Ernst & Young in Ireland and Boston and as a Corporate Finance Analyst for the largest vertically integrated utility in Ireland. Margaret has conducted due diligence and managed acquisitions and divestitures for several companies in a variety of industries, including consumer products, specialty retail, business services, aerospace, contractors, technology, niche manufacturing and distribution. Margaret works with privately held and public companies, both healthy and distressed.

Margaret holds a Bachelor of Business Studies with honors from the University of Limerick, Ireland, with a major in Accounting & Finance and a minor in Business French. She is also a Fellow of the Institute of Chartered Accountants in Ireland. Margaret holds board positions with ACG Los Angeles and Notre Dame Academy of Los Angeles. She is married to Trevor Lavin, a Managing Director with Wells Fargo Asset Management and the mother of three young children.

JOSEPH A. WINGARD Conference Co-Chair Vice President Merrill Lynch, Global Wealth Management

Joe and his wife, Susan, lead The Wingard Group, a specialized wealth advisory team in the Beverly Hills Office of Merrill Lynch. This group provides highly personalized family wealth planning and management services to an exclusive clientele of affluent individuals, families and corporate clients. Using advanced strategies for asset and liability management, tax minimization, income and asset protection, and generational transfers, The Wingard Group helps clients achieve their goals of accumulating, preserving, and transferring wealth in the most tax efficient manner.

Prior to joining Merrill Lynch, Joe was General Manager of International Business for a major Fortune 100 information systems company and served on the faculty of UCLA, the University of Wisconsin and Pepperdine University. Joe graduated magna cum laude and Phi Beta Kappa from UCLA where he received BA, MA, MBA and PhD degrees. He holds registrations with the Financial Industry Regulatory Authority and the major exchanges.

Joe is an active leader in the professional community. He has served as Vice President on the Board of the Association for Corporate Growth (ACG), President of ACG Los Angeles, and President of the Los Angeles Venture Association (LAVA). Joe started and annually co-chairs the highly regarded ACG Los Angeles Business Conference and serves as Executive Vice President and President Elect of UCLA Bruin Professionals.

Andrew M. Apfelberg is a corporate and finance attorney for middle-market companies throughout the United States. He acts as their outside general counsel and advises them in significant transactions such as mergers and acquisitions, private equity and other financings, joint ventures and licensing.

Andrew has particular expertise in the manufacturing & distribution, health & beauty, new media and technology industries. His clients benefit from his strong business and finance background gained from working for investment bank Houlihan Lokey Howard & Zukin prior to attending law school. PRESIDENT BILL CLINTONFounder of The William J. Clinton Foundation; 42nd President of the United States of America

William Jefferson Clinton was the first Democratic president in six decades to be elected twice – first in 1992 and then in 1996. Under his leadership, the country enjoyed the strongest economy in a generation and the longest economic expansion in U.S. history, including the creation of more than 22 million jobs.

After leaving the White House, President Clinton established the William J. Clinton Foundation with the mission to strengthen the capacity of people in the United States and throughout the world to meet the challenges of global interdependence.

Today the Foundation has staff and volunteers around the world working to improve lives through several initiatives, including:

• The Clinton Global Initiative: The mission of the Clinton Global Initiative (CGI) is to inspire, connect, and empower a community of global leaders to forge solutions to the world’s most pressing challenges. By fostering partnerships, providing strategic advice, and driving resources toward effective ideas, CGI helps its members - organizations from the private sector, public sector, and civil society - maximize their efforts to alleviate poverty, create a cleaner environment, and increase access to health care and education.

• The Clinton Health Access Initiative (formerly the Clinton HIV/AIDS Initiative): The Clinton Health Access Initiative (CHAI) is a global health organization committed to strengthening integrated

health systems in the developing world and expanding access to care and treatment for HIV/AIDS, malaria and tuberculosis. CHAI’s solution-oriented approach focuses on improving market dynamics for medicines and diagnostics; lowering prices for treatment; accelerating access to life-saving technologies; and helping governments build the capacity required for high-quality care and treatment programs.

• Other initiatives such as: The Clinton Climate Initiative, The Clinton Development Initiative, and The Clinton Giustra Sustainable Growth Initiative -- are applying a business-oriented approach worldwide to fight climate change and develop sustainable economic growth in Africa and Latin America.

In addition to his Foundation work, President Clinton has joined with former President George H.W. Bush three times – after the 2004 tsunami in South Asia, Hurricane Katrina in 2005, and Hurricane Ike in 2008 – to help raise money for recovery efforts and served as the U.N. Envoy for Tsunami Recovery.

Building on his longstanding commitment to Haiti as President and through his Foundation, President Clinton was named U.N. Special Envoy for Haiti in 2009 to assist the government and the people of Haiti as they “build back better” after a series of hurricanes battered the country in 2008. Following the devastating earthquake, President Clinton dedicated Clinton Foundation resources to help with immediate and long term relief and assistance, and at the request of President Obama, joined with President George W. RICHARD D. CORDOVA, FACHE President and Chief Executive Officer, Children’s Hospital Los Angeles

Richard D. Cordova joined Children’s Hospital Los Angeles in 2005, after more than three decades of accomplishment as a healthcare executive at hospitals and healthcare systems in California. Before coming to Children’s Hospital, he was President of the Southern California Region for Kaiser Permanente where he guided a three million member Health Plan and Health Care Network of eleven hospitals and 52 medical office facilities.

Mr. Cordova serves on the board of the California Children’s Hospital Association (CCHA) and has served as its chair for 2011-2012. He currently serves on the board of trustees and executive committee of the California Hospital Association (CHA). Mr. Cordova serves on the Board of the Hospital Association of Southern California. He also serves on the Board of Virtual PICU Systems, LLC. Mr. Cordova has served on the Boards of the Child Health Corporation of America and the National Association of Children’s Hospitals and Related Institutions (NACHRI).

He is a founding member and first chair of the National Forum for Latino Healthcare Executives; past-chair of the Institute for Diversity in Health Management, a nonprofit organization that works closely with healthcare organizations and educators to expand leadership

opportunities for ethnic minorities in health services management. Mr. Cordova serves on the Board of ThinkCure, the official charity of the Los Angeles Dodgers.

Nick Hanauer is chairman of Pacific Coast Feather Company and vice chairman of Marchex, Inc. In 2000, he became a founding partner of the venture capital firm, Second Avenue Partners where he serves on the boards of both MarketLeader, and Qliance Medical Group. Hanauer is also the former chairman of the board of aQuantive, a digital marketing services and technology company that sold to Microsoft for $6 billion.

Hanauer is actively involved in the Seattle community. In 2000, he co-founded the League of Education Voters and set out to help transform the educational system and increase student

achievement. He is a current board member of the University of Washington Foundation. In 2007, Nick Hanauer co-authored The True Patriot and formed the True Patriot Network, an organization aimed at connecting Americans with progressive political values based on the book. Judy D. Olian, Ph.D., is the eighth dean of UCLA Anderson School of Management and is the John E. Anderson Chair in Management. She began her appointment in January 2006 after serving more than five years as dean and professor of management at the Smeal College of Business Administration at Pennsylvania State University.

Under her leadership, UCLA Anderson has hired a record number of faculty from the world’s best research institutions, launched new degree and certificate programs, initiated a diverse set of global degree and immersion courses, and developed targeted partnerships with an emphasis on Asia and Latin America. The School’s Board of Visitors has expanded, attracting many prominent business leaders who represent diverse functional and global perspectives.

John Stankey, Group President and Chief Strategy Officer, is responsible for developing the roadmap to maximize AT&T’s future growth opportunities, including corporate development, addressing long-term wireless-capacity needs, capital allocation strategies and identifying the best strategic paths for low-growth and non-strategic assets.

Prior to his current position, Stankey served as President and CEO of AT&T Business Solutions, where he was responsible for serving AT&T’s business customers worldwide, including every Fortune 1000 company and tens of thousands of small and medium-sized businesses. In 2011, industry analysts awarded AT&T numerous top awards for its strategic business services and global network offerings.

As head of Business Solutions, Stankey was also responsible for AT&T’s network operations organization, including AT&T Labs, engineering, capital planning and IT. Under his leadership, AT&T built the nation’s fastest mobile broadband network and by yearend 2011 was carrying 80% of its mobile data on the company’s 4G network.

Anne Sweeney is co-chair, Disney Media Networks, and president, Disney/ABC Television Group, which includes The Walt Disney Company’s global entertainment and news television properties, owned television stations group, and radio business.

In this role Ms. Sweeney oversees ABC Studios, the ABC Owned Television Stations Group, and the ABC Television Network, which provides entertainment, news and kids programming to viewers via more than 200 affiliated stations across the U.S. She also oversees Disney Channels Worldwide, a portfolio of 107 kid-driven, family-inclusive entertainment channels, including Disney Channel, Disney XD, Disney Junior, Disney Cinemagic, Hungama, and Radio Disney brands. Additionally, Ms. Sweeney’s responsibilities include cable networks ABC Family and SOAPnet, and the company’s equity interest in A+E Networks and Hulu.

In 2005, Ms. Sweeney led the industry into the digital era when the Disney/ABC Television Group became the first media company to put television content on new platforms. The group was the first to leverage iTunes, the first to introduce an ad-supported full episode player online, and the first to deliver an application for the revolutionary iPad.

Under her leadership, the Group continues to combine high-quality content with strategic use of traditional and emerging distribution platforms to deliver compelling news and entertainment viewing experiences to hundreds of millions of people around the world. Most recently, through its WATCH ABC service, ABC became the first linear broadcast network to provide authenticated viewers with live access to their favorite ABC shows and local market programming, as well as a variety of on-demand content, in more ways than ever before, at home and on the go.

From October 2000 to April 2004, Ms. Sweeney served as president of ABC Cable Networks Group and Disney Channels Worldwide,

where under her leadership Disney Channel more than quintupled its subscriber base. In April 1998, she also oversaw the successful launch of the 24-hour channel Toon Disney (now known as Disney XD), and later the launch of SOAPnet in January 2000.

Ms. Sweeney joined The Walt Disney Company in February 1996 as president of Disney Channel and executive vice president of Disney/ABC Cable Networks. Previously she was chairman and CEO of FX Networks, Inc., since 1993. During her tenure there, she presided over the launch of two basic cable networks, entertainment-focused FX and FXM: Movies from Fox, Hollywood’s first studio-based movie network.

Before joining Fox, Ms. Sweeney spent 12 years at Nickelodeon/Nick at Nite in various executive positions, most recently as senior vice president of Program Enterprises. Among many accomplishments, she oversaw Nickelodeon’s international expansion, including launching the channel in the United Kingdom, resulting in a joint venture with British Sky Broadcasting.

Active in organizations both within and outside the television industry, Ms. Sweeney has served as a board member of A&E Television Networks, the Paley Center for Media, the American Film Institute and the Special Olympics.

Since assuming her current role as co-chair of Disney Media Networks and president, Disney/ABC Television Group, Ms. Sweeney has repeatedly been named the “Most Powerful Woman in Entertainment” by The Hollywood Reporter, one of the “50 Most Powerful Women in Business” by Fortune and one of “The World’s 100 Most Powerful Women” by Forbes.

In 2008 she was honored with the Broadcasters Foundation of America’s Golden Mike Award for Outstanding Contributions to Broadcasting, the Matrix Award for television from New York Women in Communications, Inc., as well as the National Cable & Telecommunications Association’s Vanguard Award for Distinguished Leadership.

Ms. Sweeney was inducted into the Cable Center’s Hall of Fame in October 2007 and recognized by the Producers Guild of America in 2006 with the President’s Citation for her efforts on behalf of diversity across the Disney/ABC Television Group. In 2005 she was inducted into the Broadcasting & Cable “Hall of Fame,” and in 2004 received the Muse Award from New York Women in Film & Television.

He also served as chief executive officer of Snack Ventures Europe, PepsiCo’s partnership with General Mills International.

From 1998 to 2000, White served as senior vice president and chief financial officer of PepsiCo. Before joining PepsiCo, White was senior vice president and general manager for Avon Products, Inc. He also worked as a management consultant for Bain & Company and Arthur Andersen & Co.

Ilana Edelstein was born and raised in Johannesburg, South Africa during apartheid. Her parents, one of whom was an Auschwitz survivor, died when she was just 18. Feeling she had no future in South Africa, she left for New York arriving in 1979 with nothing more than $200 in her pocket and a suitcase. Ms. Edelstein continued on to Los Angeles reuniting with her only remaining family. There, she landed on the doorstep of legendary Hollywood publicist, Norman Winter, who agreed to sponsor her in securing a green card and permanent US residency in exchange for becoming his personal assistant.

After a five year stint with Mr. Winter, she moved on to work for her brother-in-law’s fledgling office supply company in LA where she launched their commercial division, building relationships and supplying major accounts, including the movie studios. Feeling the entrepreneur’s call, Ilana went on to get licensed and became a financial advisor to teachers. She established herself by building their retirement accounts, eventually starting her company, IE Financial Services, now in its 21st year.

To help market her new venture, she became a senior associate with Teachers Financial Services in 2003. In this capacity, she conducts in-school workshop presentations for all employees, to educate and advise them on their retirement and savings benefit packages, then guides them in risk-free no-charge investments. She currently has hundreds of long standing clients, positioned to consummate secure and dignified retirements.

In 1988 Ilana met and fell in love with Mr. Martin Crowley, and soon thereafter the world’s number one selling ultra premium tequila was born. This is her story of their love child, Patrón. An unsung heroine in building the brand that changed the face of the liquor industry, was involved every step of the way, from the ingenious and unprecedented marketing strategies to each complex detail of its finance and operations. Patrón and the lifestyle associated with the brand became synonymous with Ilana and Martin and the powerful connection they shared.
