RESOLUTION NO. 2021-03
A RESOLUTION OF THE BOROUGH OF LANSDALE, MONTGOMERY COUNTY, PENNSYLVANIA, SUPPORTING THE ENACTMENT OF LEGISLATION THAT WOULD TEMPORARILY SUSPEND FORECLOSURES AND EVICTIONS DURING COVID-19 PANDEMIC AND REQUESTING THE PENNSYLVANIA LEGISLATURE AND FEDERAL GOVERNMENT TO TAKE IMMEDIATE ACTION TO ADDRESS THE SAME
WHEREAS, international, national, state and local health and governmental authorities continue to respond to the ongoing COVID- 19 pandemic; and
WHEREAS, due to the financial and economic impact that COVID-19 has had on individuals and families, Governor Wolf the Pennsylvania Supreme Court, and various federal agencies including the U.S. Center for Disease Control (“CDC”) have, at varying times, issued orders or directives imposing a temporary halt or moratorium on certain evections and foreclosures; and
WHEREAS, during the 2019-2020 Regular Session of the Pennsylvania Legislature, Senator Vincent Hughes introduced legislation, S.B. 1132, that would temporarily suspend foreclosures and evictions for 60 days following the end of certain administrative orders relating to COVID-19; and
WHEREAS, on January 20, 2021, CDC Director Rochelle P. Walensky, MD, MPH, extended the CDC moratorium on certain residential evictions until March 31, 2021 on the basis that the COVID-19 pandemic has: (1) presented a historic threat to our nation’s health; and (2) triggered a housing affordability crisis that disproportionately affects some communities like the Lansdale Borough that has, for example, approximately 3,300 registered rental units; and that
WHEREAS, CDC Director Walensky also acknowledged that, despite extensive mitigation efforts, COVID-19 continues to spread in America at a concerning pace and that in order to decrease the incidence of cases, we must act to keep people in their homes and out of congregate settings — like shelters — where COVID-19 can take an even stronger foothold, which is further supported by the estimate from the UCLA Fielding School of Public Health that expiring eviction and foreclosure moratoria could lead to 400,000 excess COVID-19 cases and over 10,000 excess deaths; and
WHEREAS, an estimated 240,000 Pennsylvanians are at risk of eviction, with the public costs of homelessness due to these potential evictions in the Commonwealth reaching $2.8B; and
WHEREAS, it is anticipated that during the current 2020-2021 Regular Session Pennsylvania Senate Democrats, including Senator Hughes and others, will introduce new legislation similar to SB 1132 that will pause or halt evictions for nonpayment of rent as a result of COVID-19 until 60 days after the expiration of the Governor’s COVID-19 disaster declaration and would also pause or halt foreclosures would until 60 days after the expiration of the Governor’s COVID-19 disaster declaration.
NOW, THEREFORE, be it, and it is hereby RESOLVED by the Borough Council of the Borough of Lansdale that:
(1) Borough Council formally urges the Pennsylvania Legislature, Governor Wolf,and, to the extent legal and appropriate, the Pennsylvania Courts, to take action onprotecting renters and homeowners for at least the duration of the COVID-19 pandemic

and pass legislation similar to SB 1132 as previously introduced;
(2) Borough Council formally urges the U.S. Congress and President Biden to also take action on protecting renters and homeowners for at least the duration of the COVID-19 pandemic and authorize or direct the CDC Director to extend the existing CDC moratorium for the duration of the COVID-19 pandemic; and
(3) the Borough Manager is hereby directed and authorized to send copies of this Resolution to all elected federal, state and local officials representing any portion of the Municipality and its residents. ADOPTED and RESOLVED this 17th day of February, 2021.

The purpose of this manual is to make the Borough of Lansdale’s Municipal Fee Schedule easier for resident and contractor review. Fees, rates and charges are intended to encompass all charges established by license, permit fees, utility charges and any other charges for goods and services and use of Borough owned or operated facilities.
During an annual review, each department recommends appropriate adjustments after considering the total costs to the Borough for each service provided. Costs include: personnel time (providing the service and collecting data), equipment used, material, service and supply costs, department and Borough-wide overhead and any other costs that may be incurred that are directly related to the specific fees, rates or charges.

CONSULTATION AGREEMENT
This Consultation Agreement (“Agreement”) under N.J.S.A. 18A:18A-5 dated as of February 17, 2021 is made by and between BlueSky Power LLC (“BlueSky”), a New Jersey limited liability company, with its principal address at 651 Garwood Road, Moorestown, NJ 08057, and the Borough of Lansdale (“Lansdale” or “Borough”), a body corporate and politic of the Commonwealth of Pennsylvania with its principal address at One Vine Street, Suite 201, Lansdale, PA 19446 (collectively, the “Parties”).
RECITALS
A. BlueSky Power is a strategic and technical advisory firm for clean energy capital projects, and a clean energy project manager. BlueSky integrates a combination of sophisticated consulting services for its clients in developing and managing their energy efficiency and clean energy projects, including solar photovoltaic installations, microgrids and cogeneration, by formulating and executing strategies for planning, designing, financing and managing those projects, constructing financial models, coordinating government incentives and related applications, managing the process of financing projects, and generally managing clean energy projects from inception through installation and operation, working with all stakeholders, including project developers, installers, engineers, public entities, financial institutions or investors, facility users and utilities. B. Lansdale seeks assistance in one or more areas within BlueSky’s domain of services, specifically with regard to the short and long term planning of energy infrastructure for the Borough, solar PV facility and microgrids projects and other clean energy infrastructure projects under consideration by Lansdale for its Electric Department, Borough facilities, residents and businesses (collectively, the “Project”). C. Lansdale has interviewed BlueSky and has evaluated BlueSky’s services and capabilities to Lansdale’s satisfaction. Lansdale desires to engage BlueSky to provide the services set forth in this Agreement. D. Lansdale desires to proceed with the professional services, as described in Section 1 below, and which Services are intended to result in the ultimate realization of the Project and Lansdale recognizes the necessity of integrating and coordinating these various services which require specific technical knowledge and professional skill. In consideration of the foregoing premises, the parties agree as follows: 1 BlueSky’s Services. BlueSky will provide the following services in three phases
(the “Services”):
1.1 Phase I Services - (1) perform a thorough analysis and deliver an Energy Action Plan with overview of the financial and system design feasibility of the Project and present Lansdale with viable project execution strategies, interconnection potential in coordination with PJM, economic projections and initial system layouts for the Project; (2) provide Lansdale with a Project Development Outline highlighting steps necessary to implement the Project in Phases II & III.

1.2 Phase I Deliverables will include the following:
a. Energy Action team plan - Initial meeting agenda and workflow of goals and objectives;
b. Communications schedule and protocols with Borough officials and public communications strategy;
c. Report establishing existing conditions, loads and Borough energy baseline; d. Summary of existing contracts, primary provisions and impact on short and long-
term strategy; e. Summary of applicable state, PJM and federal regulations effecting ability to
implement renewables strategies in the Borough; f. Energy Action Plan encompassing technical, financial and regulatory aspects of
clean energy projects that the Borough can advance with a clear path detailed for action and implementation;
g. Analysis of clean energy purchase options through contracts, RECs and market mechanisms versus actual Lansdale operated clean energy infrastructure; and
h. Analysis of Greenhouse gas reductions through implementation of proposed projects and recommendation of other Borough Sustainability measures
1.3 Phase II Services – [RESERVED]

2. Compensation. BlueSky has agreed to perform the Services in exchange for a compensation arrangement as set forth below (the "Compensation").
The Compensation shall consist of the items set forth below:
A. Lansdale shall remit to BlueSky the sum of Thirty-three Thousand Dollars ($33,000), payable upon completion of the Phase I services.
Lansdale may pay less than the quoted amount if the Borough is not completely satisfied with BlueSky’s work.
3. Absence of Representations and Warranties. BlueSky shall exercise good faith and use reasonable business diligence in fulfilling its obligations under this Agreement. BlueSky makes no representations or warranties regarding: (i) the information and data which BlueSky incorporates into the financial analyses and pro formas generated for the Project, if any, since BlueSky is dependent on third party information in rendering its services; (ii) business strategy; (iii) ultimate financing of the Project; (iv) success of the Project; or (v) any other aspect of the Project and services rendered under this Agreement. Additionally, all work materials as described herein are considered copyrighted and owned jointly by BlueSky and Lansdale and any additional use may be permitted only upon written agreement of the Parties.
4. Breach. Neither BlueSky nor Lansdale shall be deemed in breach of this
Agreement unless and until (a) the Party alleging breach has given the other Party written notice specifying in reasonable detail the alleged breach and (b) the Party so noticed fails to cure such alleged breach within thirty (30) days

thereafter or, if such alleged breach cannot be cured within thirty (30) days, the Party given notice fails to commence curing the default within that period.
5. Expenses. BlueSky shall not be authorized to incur on behalf of Lansdale any expenses without the prior written consent of Lansdale's Borough Manager or Electric Department Superintendent. As a condition to receipt of reimbursement, BlueSky shall be required to submit to Lansdale reasonable evidence that the amount involved was expended and related to Services provided under this Agreement.
6. Independent Contractor; Not Legal Counsel. BlueSky's relationship with
Lansdale will be that of an independent contractor and not that of an employee or legal counsel. Neither BlueSky nor any of its members are serving as legal counsel to Lansdale. None of the Services described herein may be considered legal services.
7. Notices. Any notice required or permitted by this Agreement shall be in writing
and shall be deemed sufficient upon receipt, when delivered personally or by courier, overnight delivery service or confirmed electronic communication, 48 hours after being deposited in the regular mail as certified or registered mail (airmail if sent internationally) with postage prepaid, if such notice is addressed to the party to be notified at such party's address or email as set forth below, or as subsequently modified by written notice:

8. General Provisions. (a) Amendment. This Agreement may be amended only by an instrument in
writing signed by all Parties which expressly refers to this Agreement and specifically states that it is intended to amend this Agreement. Further, this Agreement may not be modified by an oral agreement even though supported by new consideration.
(b) Relationship Between the Parties. This Agreement does not constitute and
shall not be construed as constituting a partnership or joint venture among or between BlueSky, Lansdale or the individual signatories hereto. Except for authorized parties signing on behalf of Lansdale or BlueSky: i) no Party hereto shall have the right to obligate or bind any other Party hereto in any

manner whatsoever; and ii) no Party hereto shall be deemed an agent of any other Party hereto.
(c) Indemnification. Lansdale agrees to defend, indemnify and hold harmless
BlueSky, its owners, agents and employees from any demands, damages, claims, liability or costs arising from BlueSky’s representation of, or advise to, the client due to gross negligence recklessness or willful misconduct on the part of Lansdale and/or its employees. BlueSky agrees to defend, indemnify and hold harmless Lansdale, its council members, officers agents and employees from any demands, damages, claims, liability or costs arising from BlueSky’s representation of, or advise to, Lansdale due to gross negligence on the part of BlueSky, unless such acts or omissions were taken at the specific request of Lansdale and/or its employees.
(d) Entire Agreement. This Agreement comprises the entire agreement
between the Parties. All changes or amendments to this Agreement must be agreed to in writing and executed by both Lansdale and BlueSky in order to be binding. This agreement can be executed in counterparts delivered by fax and all such faxed counterparts, collectively, shall be deemed, for all purposes, to constitute one original executed agreement.
(e) Jurisdiction, Venue, and Remedies. The Parties consent to the jurisdiction
of the federal and state courts of the State of New Jersey. The Parties consent to venue in Camden County, New Jersey. The Parties consent to the service of process in the same manner as the giving of notices pursuant to this Agreement. All legal or equitable proceedings, arbitrations, or hearings initiated by the Parties shall be in Camden County, New Jersey and no court, tribunal, board, panel, or arbitrator shall have jurisdiction over any matter in any other location. Either Party may exercise all remedies at law or in equity. All provisions of this Agreement may be specifically enforced, whether or not there is an adequate remedy at law or whether money damages may be ascertainable. If any action is brought for the enforcement of this Agreement, or because of an alleged dispute, breach or default in connection with any of the provisions of this Agreement, the successful or prevailing Party will be entitled to recover its attorneys’ fees and costs, as well as all other costs that it incurred in connection with the action, in addition to any other relief to which the prevailing Party may be entitled.
(f) Severability. In the event that any of the provisions if this Agreement shall be
held by a court or other tribunal of competent jurisdiction to be unenforceable, the provision will be enforced to the maximum extent permissible and the remaining portions of this Agreement shall remain in full force and effect.
