MINUTES 2012 WORLD ENERGY COUNCIL

EXECUTIVE ASSEMBLY Thursday, 8 November - 14.30 – 18.00 hrs

Le Meridien Beach Plaza Hotel Monte Carlo, Monaco

I. Welcome by WEC Chairman

Mr Gadonneix welcomed 270 WEC members from 53 national Member Committees along with invited guests. He asked for a show of hands to establish quorum and declared the 2012 Executive Assembly open. He then noted that the agenda had been re-ordered to allow for HSH Prince Albert II of Monaco to welcome delegates, with the revised agenda having been distributed to all members just before the meeting. He asked if there were any changes or additions to the agenda. There being none, he asked for a motion to approve the revised agenda. The motion was severally proposed and seconded, and the revised agenda was APPROVED.

II. Secretary General’s Announcements Dr Frei also welcomed members and noted that Zimbabwe had joined WEC as its newest member after being approved by postal vote earlier in the year. He then introduced Aldo Flores, Executive Secretary of the International Energy Forum as a special guest, and called upon Mr Flores to make brief remarks. After Mr Flores spoke, HSH Prince Albert II of Monaco came into the hall. Before he spoke, Mr Gadonneix called on Dr Kandeh Yumkella, Executive Director of UNIDO and CEO of the UNSE4 All initiative, to speak. Dr Yumkella was in Monaco as a special guest of WEC and to attend the Euro-Mediterranean Energy Efficiency Forum organised by the Prince Albert II Foundation. Following Dr Yumkella’s remarks, HSH Prince Albert spoke to the delegates, welcoming them to Monaco and noting that Monaco’s energy sector was not large but that the Principality was very focused on energy matters, particularly on energy efficiency, green buildings and electric cars to help reduce CO2 emissions.

After HSH Prince Albert’s remarks, he was presented with a special WEC gift by the WEC Chairman.

III. Approval of 2011 EA Minutes The Prince departed, and the meeting agenda resumed, with approval of the minutes of the 2011 Executive Assembly. Mr Gadonneix asked if there were any additions or corrections to the minutes. There being none, on motion by Argentina, seconded by Belgium, the minutes of the 2011 EA were APPROVED.

IV. Matters for Information a. Report of the Officers Council (WEC Board of Trustees)

Mr Gadonneix said the written report had been distributed with the EA agenda. As this was not a matter for approval, he asked if there were any questions. There were none.

b. Report on the 2013 World Energy Congress

Mr Gadonneix said that a full written report was sent with the EA agenda, with an update issued just before the EA plenary session and provided to all members. He noted that Mr J.K. Kim, the Chairman of the 2013 Congress Organising Committee, was on hand to answer any questions, but that later in the agenda, the 2013 Congress organisers would be making a full presentation, with an invitation to attend the Congress next year. He suggested that unless there were pressing questions now, any questions could be addressed to the Congress organisers during their presentation later in the agenda. There were no questions and no objections to this proposal.

c. Reports of the Regional Vice Chairs

The written reports of all Regional Vice Chairs were distributed with the EA agenda. Mr Gadonneix asked if there were any questions. There being none, he stated that the reports were a matter for information only and did not need formal approval by the EA.

d. Annual Report of the Secretary General

Mr Gadonneix called on Dr Frei to present his oral report. Dr Frei said that 44 speakers of outstanding quality had already been confirmed for the 2013 World Energy Congress, with over 70 sessions confirmed. He also reported that over 100 global energy leaders were present at the World Energy Leaders’ Summit held last April in Istanbul. Mr Taner Yildiz, the Turkish Energy Minister, was present, along with ten other ministers and a number of CEOs from leading energy companies. Dr Frei said that WEC’s visibility had increased significantly due to the outstanding efforts of the WEC Communications Team headed by Stuart Neil. In 2010, the number of media mentions for WEC was 713. To date in 2012, the number of mentions is already more than 2,500. Dr Frei said that if WEC had to buy advertising space to achieve this level of visibility, it would cost almost £6,000,000.

Dr Frei stated that the three WEC flagship studies were on target, with the Energy Trilemma Report to be issued at the COP meeting in Doha, Qatar, in December; Scenarios to be published in 2013, just before the Congress; and SERT moving forward rapidly, with all 2010 data now in electronic form and prior data being entered into the SER database. He also highlighted the fact that Bloomberg New Energy Finance had signed on as a project partner to support the SER study on technology costs. On the Global and Regional Agenda initiatives, Dr Frei said the hiring of a consultant to conduct the Village Inventory Project in India and the implementation of the first stage of the inventory signalled good progress in the Energy Access area. For Global Frameworks, he cited the presence of the UNSE4All team at this EA and said that WEC had been invited to serve on the high level working group. Finally, Urban Innovation will be launched in the near future. WEC has also taken steps to enhance the strength and visibility of its regional events, and is now partnered with Energy Indaba for Africa, Foren for Central and Eastern Europe; India for the Indian Energy Congress and the three North American Member Committees for the Bi-regional Meeting of the Americas. Dr Frei noted that 81 MCs had responded to the 2012 Issues Survey, the highest response rate yet; five countries were already signed on for deep dives, with a number of others had also expressed interest.

With respect to Patrons and Global Partners, Dr Frei said that despite the global economic recession, total revenue was up 23%, with two additional Global Partners and two more Patrons on board. He also noted that Saudi Aramco was on the verge of signing on as a Patron. He said that the resources of the London office had been stretched this year due to the demands of managing the programme for the 2013 Congress, but that all in all, the year had been productive and successful. Mr Gadonneix thanked Dr Frei and noted that the Officers Council had agreed this year was an outstanding success.

V. Matters for Approval

a. Approval of WEC Articles Mr Gadonneix called on Finance Chair Graham Ward to present the new WEC Articles of Association. Mr Ward said that changes in UK company law required changes to the WEC Articles and that a full set of documents explaining the changes and presenting the rationale for these had been sent to all members on 1 October. Mr Ward said that the Japanese and Portuguese Member Committees had sent him a note stating concerns about the possibility of the Chair being re-elected, as this could in some cases result in a trustee serving up to 15 years

on the board, including his or her time as Co-Chair. Mr Ward reported that he had consulted with WEC’s lawyer on whether an amendment limiting the Chair to a single three-year term could be proposed at this EA, but that the lawyer said there was insufficient time to notify the members of such an amendment. Mr Ward said he had then discussed this matter with the Japanese and Portuguese MCs, pointing out that the re-election of the Chair would not occur until 2015, and therefore, there would be time to propose the term limit amendment at next year’s EA. Mr Ward said both MCs agreed to this proposal. He asked the minutes to show that such an amendment should be included on the 2013 EA agenda.

Mr Ward asked if there were any further questions or comments. There being none, Mr Gadonneix asked for a motion to approve the new Articles. The motion was proposed by Austria, seconded by Belgium and Nigeria, and the new Articles were APPROVED, with one abstention and no one opposed. Mr Gadonneix then called on Marie-José Nadeau, candidate for WEC Chair, to give her Vision Statement. Following Ms Nadeau’s presentation, the second candidate for WEC Chair, Mr Younghoon David Kim presented his Vision Statement. At the conclusion of their statements, he asked both candidates to leave the room so that the debate about the next agenda item – creation of the office of Co-Chair and the election of the new Chair and Co-Chair -- could be carried out.

Mr Gadonneix called on Dr Johannes Teyssen, Vice Chair, Europe, to present his proposal to create the new position of WEC Co-Chair to serve alongside the WEC Chair. Dr Teyssen said he had discussed this concept with both WEC Chair candidates and both agreed that it was a good plan. Dr Teyssen then sent a letter to all Member Committees setting out the proposal and the rationale, which included better continuity, broader representation and more resources to speak on behalf of WEC. Dr Teyssen said he had had responses from 40 MCs and that all of these were positive, although two questioned the order of service, i.e., which of the two candidates should serve as WEC Chair first. Dr Teyssen then formally proposed that Mrs Nadeau be put forward as Chair, with Mr Kim as Co-Chair. He urged the members to approve his proposal as a positive and effective way forward. He also stated that Mrs Nadeau had confirmed that she would serve a single three-year term, 2013-2016, if elected. At the end of her term, Younghoon David Kim would automatically become WEC Chair, and a new co-Chair would be elected. The representative from Japan said he agreed with Dr Teyssen’s proposal and expressed appreciation to Dr Teyssen for developing it. He said that while Japan would prefer to see Mr Kim become Chair in 2013, they understood that he had agreed to accept the position of WEC Co-Chair and Japan would also accept this and welcome Mrs Nadeau as Chair.

The Indonesian delegate asked about the duties of the WEC Co-Chair versus those of the Chair. Dr Teyssen explained that the aim was to make sure there was a consistent leadership tradition with no uncertainty and a consistent transfer of power and renewal. The member from Indonesia said it would be important to clearly delineate the duties of the Chair and Co-Chair so as to avoid confusion and overlap, and Dr Teyssen agreed and confirmed this would be done. The representative from Mexico said his board was concerned that there had been only one WEC Chair from a developing country, and his board thought this issue needed to be addressed. He asked if the election of the WEC Chair could be delayed so that a nominee from a developing country could be identified. Mr Gadonneix asked Mr Ward to comment. Mr Ward responded that all MCs were given the opportunity to nominate candidates via the call for nominations sent out last January. He also stated that delaying the election process would be unfair to the candidates, as they needed adequate time to prepare for their term and to make the necessary arrangements with their companies. Therefore, he urged the Mexican MC and any other MC which had concerns about candidates from developing countries to consider submitting a nomination for the next Chair election in 2015.

Mr Gadonneix asked if there were any other questions or comments on Dr Teyssen’s proposal. There being none, he called for the vote. On motion by Belgium, seconded by New Zealand, the proposal to create the new office of WEC Co-Chair; to elect Mrs Nadeau as the WEC Chair 2013-2016; and to elect Younghoon David Kim as the WEC Co-Chair, 2013-2016, with Mr Kim then automatically becoming the WEC Chair at the 2016 Congress, was APPROVED, with two abstentions (Japan and Portugal) and one nay (Mexico). Mr Gadonneix thanked Dr Teyssen for his proposal and asked the members to welcome the new WEC Chair-elect, Marie-José Nadeau, and the new WEC Co-Chair-elect, Younghoon David Kim. Members gave the two new officers a standing ovation as they re-entered the room. Mr Gadonneix then stated that the new Articles now had to be amended to include the office of Co-Chair. He asked if there were any comments or questions, stating that this amendment was only to put into place what the members had just approved with respect to establishing the position of Co- Chair. There was no further discussion, and on motion by Canada, seconded by Sri Lanka, the motion carried, with two abstentions (Tunisia and Mexico).

b. Membership Report

The Chairman called on Senior Director Emily Melton to report. Ms Melton stated that the Membership Report had been sent to members earlier and that an updated arrears sheet had been distributed earlier today. She thanked all MCs who had made significant efforts to pay their 2012

subscription and outstanding arrears. She noted that many MCs were actively participating in WEC’s work through completing the annual Issues Survey, participating in Study Groups or Knowledge Networks and attending WEC national, regional and global events. She said the Member Services team was making a strong effort to engage those MCs who are less active and that the MCs in Libya and Lebanon have been newly revitalised. The Netherlands MC, which has struggled over the last several years, now has a recovery plan in place and hope to re-launch the Committee in 2013.

She reported that there were two action items to come forward. The first was the proposal to withdraw Mongolia from membership. Ms Melton said all efforts to contact the Committee had failed and they had outstanding arrears dating back to 2006. They have been carried on the membership roster far longer than the statutes allow, but this was because every attempt had been made to get the MC back “on board”. She said it was with great regret that, on recommendation of both the Finance Committee and the Officers Council, the proposal was made to withdraw them but that when the time was right, the London office would work with the Asia Vice Chair and Asia Regional Manager to bring Mongolia back. The second action item was the proposed suspension of Syria. The situation in Syria is very difficult, and it is not possible at this time for the MC to function. Therefore, until the political situation settles down and the country becomes more stable, and in order to stop further build-up of arrears, the Finance Committee and Officers Council recommended placing Syria on suspension, which means they have no membership privileges but remain on the membership roster. As soon as the country is more settled, the Vice Chair and Regional Manager for the Middle East and Gulf States will work with Syria to rebuild the Committee.

Mr Gadonneix asked if there were any comments or questions. There being none, on motion by Austria, and severally seconded, the Membership Report and the action items contained therein were APPROVED.

c. Selection of 2016 Congress Site Mr Gadonneix invited the representatives from the Turkish Member Committee to present their bid. Following their presentation, he invited the representatives from the United Arab Emirates to give their presentation. After the presentations, Mr Gadonneix reported that the Officers Council had reviewed both bids and believed both bids met the required criteria and that both sites could host a successful Congress. He then stated that, in line with past practice, and unless anyone objected, the vote for the 2016 Congress site would be carried out by secret ballot. No one objected, and Mr Gadonneix then asked members to complete the ballot that had been left at their places. He also explained that only MCs which had

no outstanding arrears were eligible to vote, and those MCs were the only ones to receive ballots.

Once all ballots were completed, these were collected. Two scrutineers (Denmark and Sri Lanka), who had been selected by the two bidders drawing straws, were asked to accompany Ms Melton to count the ballots.

Mr Gadonneix said the result would be announced at the end of the meeting.

d. Reports of the Standing Committee Chairs

Mr Gadonneix said that the written reports of the three Standing Committee Chairs had been distributed earlier. He noted that unless there were comments or questions, he would accept a motion from the floor to approve all three reports. There being no questions, Nigeria moved, seconded by Argentina and Belgium, and the three Standing Committee reports were APPROVED.

e. Confirmation of 2013 Congress Vice Chair As outlined in the briefing note, Mr Gaddoneix said that upon the resignation of Mr Heon-Cheol Shin earlier in the year as Chair of the 2013 Congress Organising Committee, a new Chair, Mr J.K. Kim, the CEO of KEPCO, was appointed. Since the Chair of the Congress Organising Committee becomes the WEC Vice Chair, Congress, and is appointed to the Officers Council, and since such appointment must be approved by the WEC members, Mr Gadonneix asked for a motion to confirm Mr J.K. Kim as Vice Chair, Congress. On motion by France, with several seconds, the appointment of Mr J.K. Kim as Vice Chair, Congress, was CONFIRMED.

f. Election of WEC Officers (Trustees)

Mr Gadonneix stated that the Nominations Committee had reviewed the candidates for the vacancies on the Officers Council and had identified nominees to fill these slots. The slate of nominees, along with their CVs and the rationale of the Nominating Committee for their nomination, was sent to all members with the initial EA meeting notice. Pointing out that nominations from the floor were permitted under the Articles, Mr Gadonneix asked if there were any such nominations. There being none, he asked for a motion to elect the new officers. On motion by Argentina, and severally seconded, the following new officers were elected:

Mr Leonard Birnbaum, Vice Chair, Europe, 2012-2015

Mr Jean-Marie Dauger, Chair-elect, Communications and Outreach Committee, to serve one year as Chair-elect and to be seated officially at the end of the 2013 Congress for a three-year term, 2013-2016 (NB: Following the Executive Assembly, Ms Nadeau, Chair of the Communications and Outreach Committee, announced her intention to step down in order to focus fully on her role as WEC Chair-elect. Mr Dauger therefore took over as Chair of Communications and Outreach in July, 2013.)

g. Approval of new Honorary Officers

Mr Gadonneix said it was his pleasure and privilege to thank the retiring officers who were stepping down at this EA. On behalf of the members, he thanked Dr Johannes Teyssen for his six years of service as Vice Chair, Europe, during which time he helped to strengthen the European MCs, facilitated a stronger working relationship with the European Commission and provided leadership and vision for the European region. He also thanked Dr. Abbas Naqi, who was retiring after three years as Vice Chair, Middle East and Gulf States. During his tenure, WEC developed a much stronger presence in this important region and Dr Naqi helped increase WEC’s visibility through his travels as the head of OAPEC and provided the opportunity to host a meeting of WEC leaders this past September. Mr Gadonneix asked the members to APPROVE BY ACCLAMATION the appointment of Dr Johannes Teyssen and Dr Abbas Naqi as WEC Honorary Officers, and this was done to a round of applause.

h. Approval of 2011 WEC and WSL Audited Accounts

Mr Gadonneix called on Finance Chair Graham Ward to present the audited accounts. Mr Ward said that both the WEC and WSL accounts had been approved by the Finance Committee and Officers Council in April and were now being presented to the members for final approval. He said the overall year-end result was satisfactory and that the audit process had been smooth. In the WEC accounts, he pointed out one error on page 18, where it stated that the accounts had not been signed. He said this statement was incorrect and the phrase should be deleted. Other than that, the WEC accounts were correct. He asked if there were comments or questions. There being none, he recommended approval of the WEC 2011 audited accounts. This was moved by Mexico, seconded by Sweden and the WEC 2011 audited accounts were APPROVED. For WSL, Mr Ward said that in accordance with UK law, WSL will make a Gift Aid payment of its 2011 profit to the Charity. He pointed out that turnover was considerably higher for 2011 due to the very generous ex-gratia contribution made by the organisers of the 2010 Montreal Congress in early 2011.

There being no questions or comments, Mr Ward then asked for approval of the WSL 2011 audited accounts. This was moved by Belgium, seconded by Japan and the WSL 2011 audited accounts were APPROVED. Mr Ward thanked Senior Director Emily Melton for her work on the accounts and the audit preparation.

i. Appointment of Auditors for 2012 Mr Gadonneix asked Mr Ward to present this item. Mr Ward said that the Finance Committee recommended the appointment of current auditors, Crowe Clark Whitehill to conduct the 2012 audit based on their experience, their knowledge of UK charity accounting and their understanding of WEC. On motion by Greece, seconded by France, and Crowe Clark Whitehill were APPROVED as the WEC and WSL auditors for 2012.

j. Approval of 2013 Budgets Mr Gadonneix called on Mr Ward to present the 2013 WEC and WSL budgets. Mr Ward said that the proposed budgets had been carefully reviewed by the Finance Committee and recommended for approval to the Officers Council. The WEC budget is essentially a break-even budget, with revenues of £4,262,000 and expenditures of £4,251,000. The increased expenses reflect the increased level of activity for WEC, particularly in its work programme and outreach/visibility efforts. WEC will meet this budget thorugh strict controls on costs and the use of project partners to contribute personnel and services, which WEC would normally have to pay for, to support WEC’s studies and research. For WSL, the budget shows a profit of £102,000 at year-end. The main source of revenue will be the final instalment from the 2013 Congress organisers; the main expenses are also linked to the Congress. Mr Gadonneix thanked Mr Ward for his summary and asked if there were any comments or questions. The member from Switzerland said he would like to see a more robust regional budget to support a fuller programme of activities in each region. Dr Frei commented that the regional budget for the past two years had been underspent, but that if additional funding was needed to support further activities in the regions, he would seek to find a way to reallocate the budget to provide such funding. There being no further comments or questions, on motion by France, seconded by Poland, the 2013 WEC and WSL budgets were APPROVED.

k. Approval of Site for 2014 Executive Assembly

Mr Gadonneix asked José Antonio Vargas Lleras, Chair of the Colombian Member Committee, to present Colombia’s bid to host the 2014 EA. Mr Gadonneix pointed out that Colombia was the sole candidate for 2014.

Following a video presentation by Mr Vargas Lleras, Mr Gadonneix said that WEC looked forward to coming to Cartageña in 2014, and as Colombia was the only bidder for 2014, he asked the EA to approve Cartageña for the 2014 EA by ACCLAMATION. This was done via a rousing round of applause. Dr Vargas Lleras thanked the members for their support and said he and his Committee, as well as the Colombian government, looked forward to welcoming WEC in 2014.

i. Presentation of 2013 Congress and Invitation to Attend Mr Gadonneix asked Mr J.K. Kim, Chair of the 2013 Congress Organising Committee, to come forward and make the presentation. Mr Kim said that he and other members of the Organising Committee, the Korean government and the City of Daegu looked forward to welcoming WEC members and other delegates next year and that an exciting Congress was planned. He reported that over 70% of the exhibition space has been sold, and a number of international sponsors have been signed. He also said that WEC London has worked with the Organising Committee and has already attracted more than 40 high level speakers. The goal is to have 200 speakers by the time of the Congress. Each day of the Congress will have its own theme, which will fit into the overall Congress theme of “Securing Tomorrow’s Energy Today”, and there will be special programmes for developing country representatives, young energy professionals and accompanying persons. Korean culture and food will be on display, and warm Korean hospitality will be extended to all delegates. Mr Kim then asked his team to show a video highlighting the 2013 Congress. At its conclusion, he reiterated his desire to welcome all WEC members to Daegu next October and said he was sure the Congress would be a success with the strong support of WEC.

Mr Gadonneix thanked Mr Kim.

j. Announcement of the Site for the 2016 Congress

Mr Gadonneix said that the votes had been counted and the city selected to host the 2016 Congress was Istanbul, Turkey. Mr Yucel Ozden, Chair of the Turkish MC, asked to address the members and thanked them for their support. He also congratulated UAE on their bid and said he and his members, along with the Turkish government, looked forward to organising a successful Congress in 2016 and to welcoming all WEC members to the beautiful and historic city of Istanbul.

k. Adjournment

Mr Gadonneix thanked Mr Bernard Fautrier and Mr Raoul Viora, the Chair and Secretary respectively, of the Monaco Member Committee, for organising an excellent and very well attended Executive Assembly.
