Both volumes deal with SEC developments relating to disclosures, re- cent changes in proxy regulation and practice, as well as indemnifica- tion and insurance. A comprehensive work into matters relating to publicly traded corporations. 1321 pp.

The Research Contracts - Civil-law Means Promoting Scientific- Technical Progress. Lontai, Endce. Leyden, Netherlands: Sitjhoff Publishing Co., 1977. The correlation between scientific theories and organizations, as well as economic correlations, the tasks of state guidance of research are illuminated in the first chapter. In the second, the general role of the legal means are surveyed. Domestic and foreign regulations are analyzed in detail in the third and fourth while in the subsequent chapters certain highly important questions of the research contract (such as the characteristics of typical subjects of contracts, financing problems, etc.) are thoroughly examined. 236 pp.
