Shortfall Team Salary, such Team must make payments equal to the shortfall to the players on that Team. The NBPA has thirty (30) days after the Audit Report is completed to submit the distribution proposal to the NBA. Teams must distribute the shortfall payment to the players ten (10) days after the NBA receives the distribution proposal.

Team Salary, such Team must make payments equal to the shortfall to all players who were on the Team’s roster during the Regular Season. §6(m)(3), p. 214-215) Over 36/Over 38 Rule Over 36 Rule: For Qualifying Veteran

Free Agents who are 33 or 34, the Over 36 Rule will apply to five (5) year contracts. For a 5-year Over 36 Contract, a Qualifying Veteran Free Agent who (x) enters into an Over 36 Contract with his Prior Team prior to October 1st of a Salary Cap Year, (y) is age 32 at the time he enters into the Contract, and (z) will turn age 33 on or before such October 1st shall be deemed to be 33 at the time he enters into such Over 36 Contract. If a Qualifying Veteran Free Agent who is 33 or 34 enters into a contract for four (4) or fewer years the Over 36 Rule shall not apply.

Set-Off Rights (Non-NBA teams) N/A A Team is not required to set-off a player’s dead money cap hit against money earned by such player from a non-NBA team (though it still has the option to do so). (Article XXVII, §1(a), p. 374)

Compensation Protections – Exceptions to Receiving Protected Compensation

Note: Compensations protections in the 2011 CBA for Lack of Skill, Death, Basketball-Related Injury, Injury and Illness, and Mental Disability all had different variations of exceptions for instances in which a player would not receive his protected compensation. The 2017 CBA makes those exceptions uniform for each category of Compensation protection. For easy readability, each iteration of the exceptions listed in the 2011 CBA is not included in this chart.

The termination of a player’s Contract shall in no way affect the player’s right to receive, in whole or in part, the Base Compensation protected; provided, however, that: (i) such lack of skill/death/injury/injury or illness/mental disability does not result from the player’s participation in activities prohibited by paragraph 12 of the Uniform Player Contract (as such paragraph may be modified by Exhibit 5 to the Player Contract), attempted suicide, intentional self-inflicted injury, abuse of alcohol, use of any Prohibited Substance or controlled substance, abuse of or addiction to prescription drugs, conduct occurring during the commission of any felony for which the player is convicted (including a plea of guilty, no contest or nolo contendere), participation in any riot, insurrection or war or other military activities, or failure to comply with the requirements of Paragraphs 7(d)-(i) of the Uniform Player Contract;9 (ii) at the time of the player’s failure to render playing services, the player is not in material breach of such Contract; (iii) if the Team,

for its own benefit, seeks to procure an insurance policy covering the player’s lack of skill, the player cooperates with the Team in procuring such an insurance policy, including by, among other things, supplying all information requested of him, completing application forms, or otherwise, and submitting to all examinations and tests requested of him by or on behalf of the insurance company in connection with the Team’s efforts to procure such policy; and (iv) if the Team, for its own benefit, has procured such an insurance policy, the player cooperates (in the manner described above) with the Team and insurance company in the processing of the Team’s claim under such policy. (Article II, §4, p. 22-26)

Compensation Protections – Negotiating Additional Conditions

(ii) Achievement of certain benchmarks relating to Team/player performance or player’s physical condition (e.g. If player averages X points per game, his Base Compensation will be protected for $1M); (iii) A player experiencing a certain illness or injury (e.g. Base Compensation protection does not apply if the player injures his left knee); and (iv) The Team’s good faith ability to obtain insurance. (Article II, §4(l), p. 31)

II. Extensions and Renegotiations Rookie Scale Extensions - Signing Period & Eligibility Restrictions

Designated Player Extension/ Designated Rookie Scale Player Extension

A Designated Player Extension is an Extension of a Rookie Scale Contract entered into between a Team and its Designated Player covering six (6) Seasons from the date the Extension is signed and providing for the Maximum Salary (“Max Salary”) and annual raises of 7.5%.

A Designated Rookie Scale Player Extension is an Extension of a Rookie Scale Contract entered into between a Team and its Designated Rookie Scale Player covering six (6) Seasons from the date the Extension is signed and providing for the max salary12 in the first year of the extended term and annual raises of 8%. (Article I, §1(p), p. 3)

Teams can have a maximum of two (2) Designated Players: one (1) player signed to a Designated Player Extension by the Team and one (1) player signed to a Designated Player Extension by another Team and acquired via trade.

Teams can have a maximum of two (2) Designated Rookie Scale Players. The combination of these players can either be (i) two (2) players the Team signed to a Designated Rookie Scale Extension or (ii) one (1) player the Team signed to a Designated Rookie Scale Extension and one (1) player signed to a Designated Rookie Scale Extension and acquired via trade/assignment. 13 (Article I, §1(o), p. 2).14

Example: If the player is voted NBA MVP, his Rookie Scale Extension shall provide for the 30% max salary. If the player is voted to an All-NBA team for the second time, his Rookie Scale Extension shall provide for the 27.5% max salary. (Article II, §7(d)(i), p. 40)

Veteran Extensions - Eligibility A Player Contract covering four (4), five (5) or six (6) years may be extended no sooner than the third (3rd) anniversary of the signing of the Contract.

Designated Veteran Extensions may be extended no sooner than the third (3rd) anniversary of the signing of the Contract and may only be entered into during the offseason. For the purposes of determining the anniversary of a Contract (or Extension) signing, Contracts (or Extensions) signed between October 1st and the beginning of the Regular Season shall be understood to be signed on October 1st. Seasons or (ii) the player was voted NBA MVP in one of the last three (3) Seasons (“35% max criteria”). Two-Way List N/A A Two-Way Player will be placed on his Team’s Active or Inactive List whenever such player is providing services to his NBA Team. On each day the Two-Way Player is providing services to his NBADL Team, he will be placed on his Team’s Two-Way List. VIII. Roster Rules Active Roster Size - Offseason From the day following the last day of the

Regular Season47 until the day before the start of the next Regular Season, a Team’s Active Roster may include up to twenty (20) players.48 (Article XXIX, §1, p. 382)

Inactive Roster Teams must have at least one (1) player on its Inactive List for all regular season games. Any Team with at least eleven (11) or twelve (12) players on its Active List may from time to time, but for no more than two (2) consecutive weeks during the Regular Season, have no players on its Inactive List. Any Team with thirteen (13) players on its Active List is not required to have any players on its Inactive list.

Teams must have at least two (2) players on its Inactive List for all regular season games. 10-Day Contracts – Limits and Restrictions

No Team may be a party at any one time to more 10-Day Contracts than the number of players on such Team’s Inactive List, except that if the Team has thirteen (13) players on its Active List, then the Team may be a party to a maximum number of 10-Day Contracts equal to the number of players on such Team’s Inactive List plus one (1).

exhibition game for any suspension lasting twenty (20) games or more (including any indefinite suspension that lasts for twenty (20) games or more). (Article VI, §1, p. 116)

One Penalty Rule – NBA’s Right to Prohibit/Rescind Punishment

N/A – Only the One Penalty rule - prohibiting two separate punishments by the NBA and the player’s Team for a player conduct issue - existed in the 2011 CBA, not the NBA’s right to prohibit or rescind a punishment.

When the NBA becomes aware of any potential or actual disciplinary action which may be or has been imposed by a Team for a player’s act or conduct, the NBA may, within forty-eight (48) hours, prohibit the discipline from being imposed or rescind the discipline that has been imposed, as applicable. If the NBA prohibits or rescinds the discipline, only the NBA shall thereafter be permitted to impose discipline on the player for that act or conduct. Article VI, §10(b), p. 120-121)

On-Court Conduct The NBA is entitled to promulgate and enforce reasonable rules governing the conduct of players on the playing court. Prior to the date on which any new rule promulgated by the NBA becomes effective, the NBA shall provide notice of such new rule to the NBPA and consult with the NBPA with respect thereto.

All rules governing player on court conduct were agreed to and distributed in a memo dated September 30, 2016. change to the agreed-upon rules governing the on-court conduct of the players.50 (Article VI, §12(a), p. 122) When a player is suspended for on-court conduct, he has the opportunity to schedule a phone meeting with the President, League Operations or the Executive Vice President, Basketball Operations, to discuss the incident and why a suspension is warranted. The player must promptly notify the NBA of his desire of the meeting. The NBA shall give notice of the (possible) suspension to the NBPA. (Article VI, §12(c), p. 123)

Arbitrator has not reviewed or ruled on the alleged violation. In such a case, the NBPA will have the right to de novo review51 of the Commissioners finding. Any fine paid under this section will be split 50/50 between the NBA and a charitable organization chosen by the NBPA. (Article XIII, §3(d), p. 311)
