1 Citibank Ready Credit (“CRC”) Customer’s Agreement Terms And Conditions 1. Definitions In this Agreement, “we”, “our” and “us” means Citibank Singapore Limited and its successors and any novatee, assignee, transferee or purchaser of Citibank Singapore Limited’s rights and/or obligations hereunder and “you”, “your”, “yours” and “customer” means the person in whose name the CRC account is maintained and where the context requires, shall be deemed to include a joint customer; and the following words when used have the following meanings respectively set out below unless the context otherwise requires, words referring to the singular number shall include the plural number and vice versa: “Agreement” means this CRC Customer’s agreement (and as amended, modified, varied or supplemented from time to time), Citibank ATM/Debit Card terms and conditions (and as amended, modified, varied or supplemented from time to time), Telephone Banking Service terms and conditions (and as amended, modified, varied or supplemented from time to time) and Internet Banking terms and conditions (and as amended, modified, varied or supplemented from time to time); “ATM”, “Citibank ATM/Debit Card” and “Citibank ATM/Debit Card PIN” have the same meanings respectively ascribed thereto in the Citibank ATM/Debit Card terms and conditions (which are enclosed for your reference); “Authority” means any competent regulatory, prosecuting, tax or governmental authority in any jurisdiction, domestic or foreign; “Authorized Person(s)” means the person(s) you authorize to make enquiries in relation to the CRC account; “Business Day” refers to any day on which banks are open for business in Singapore other than Saturdays, Sundays and gazetted public holidays in Singapore; “Card Transaction” shall have the meaning ascribed to it in the Citibank ATM/ Debit Card terms and conditions; “Citigroup, Inc” refers to Citigroup, Inc., a corporation incorporated in the United States of America; “Citigroup Organisation” means any affiliate or subsidiary of Citigroup, Inc.; “Collected Amount” means an amount for or on account of, or which represents, withholding, income tax, value added tax, tax on the sale or disposition of any property, duties, or any other lawfully collected amount; “CRC account” means the account maintained with us in respect of the CRC facility and where the context requires, shall be deemed to include a joint CRC account and “Joint CRC account” means a CRC account jointly maintained in 2 names and a “joint customer” means a person in whose name a Joint CRC account is maintained; “CRC Card” means a card issued by us which allows you to conduct ATM transactions and Card Transactions, and any card issued in renewal or replacement of such card; “CRC Card PIN” means the Personal Identification Number issued by us to allow you to use your CRC Card at an ATM; “CRC cheque” means a cheque drawn on the CRC account; “CRC communication” includes all notices, demands, requests, instructions, advice and other communication, including without limitation, the CRC statement , the CRC Card, the CRC statement, Citibank ATM/ Debit Card, PIN, TBS Access Code and CRC chequebooks;
InthisAgreement,“we”,“our”and“us”meansCitibankSingaporeLimitedanditssuccessorsandanynovatee,assignee,transfereeorpurchaserofCitibankSingapore Limited’s rights and/or obligations hereunder and “you”, “your”,“yours”and“customer”meansthepersoninwhosenametheCRCaccountismaintainedandwherethecontextrequires,shallbedeemedtoincludeajointcustomer; and the following words when used have the following meaningsrespectivelysetoutbelowunlessthecontextotherwiserequires,wordsreferringtothesingularnumbershallincludethepluralnumberandviceversa:
“Business Day” refers to any day on which banks are open for business inSingapore other than Saturdays, Sundays and gazetted public holidays inSingapore;
“CRC Card” means a card issued by us which allows you to conduct ATMtransactions and Card Transactions, and any card issued in renewal orreplacementofsuchcard;
“CRC minimum payment” for any month means the minimum payment dueandpayableontheCRCoutstandingbalanceforthatmonth,asdeterminedinaccordancewithclause5(d)oftheCitibankReadyCreditCustomer’sagreement;
“Payment Infrastructure Provider” refers to a third party that forms partof the global payment system infrastructure, including without limitationcommunications, clearing or payment systems, intermediary banks andcorrespondentbanks;
“ThirdPartyServiceProvider”meansathirdpartyselectedbyusoranyCitigroupOrganisationorRepresentativetoprovideservicesandwhoisnotaPaymentInfrastructure Provider. Examples of Third Party Service Providers includetechnologyserviceproviders,businessprocessoutsourcingserviceprovidersandcallcentreserviceproviders;
(c) WeshallsetacreditlimitinrelationtoyourCRCaccountandwemayatourreasonablediscretionincreaseordecreasethecreditlimitofyourCRCaccountatanytimewithreasonablenoticetoyou.UnlessweotherwiseapproveoradditionalcreditisgrantedtoyoupursuanttoClause2(e)ofthisAgreement,youmustnotcarryouttransactionswhichwouldresultintheCRCoutstandingbalanceexceedingthecreditlimitofyourCRCaccountgrantedtoyoufromtimetotime.Saveasprovidedherein,weshallnotberequiredtohonouranyCRCchequeorpermitanytransactions(whethereffected by the use of the Citibank ATM/Debit Card or via the TBS orotherwise)ifthecreditlimitofyourCRCaccountwouldbeexceededasaresult,notwithstandingthatwemay,inourreasonablediscretion,honouranyCRCchequeorapprovesuchtransactions(whethereffectedbytheuseoftheCitibankATM/DebitCardorviatheTBSorotherwise)and/orallowtheCRCoutstandingbalancetoexceedthecreditlimitofyourCRCaccountonacase-by-casebasis.
(c) Any alterations on CRC cheques must be confirmed by the full andcompletesignatureconforming to thespecimensignature furnished tous.Weshallbeentitled, inourreasonablediscretion,todishonourCRCchequeswherealterationsarenotsoconfirmed.
(f) Weshallbeentitled,inourreasonablediscretion,torefusetoacceptanycheque for collection or deposit. In receiving cheques for collection ordeposit,weactonlyascollectionagentandassumenoresponsibilityforthepaymentofsuchcheques.Pendingourreceiptofpaymentofsuchchequesorourverificationofanycashdeposit,weshallbeentitlednottopermityoutowithdrawsuchamountwithoutanyliabilitytoyou.YouwillbearallchargesrelatingtotheclearingofforeigncurrencychequescollectedbyusorpaidintoyourCRCaccount.
(b) YoumustinspectandexaminetheCRCstatementandinformusinwritingof any irregularity in the CRC statement. The CRC statement shall beconclusiveandbindingonyouunlesswereceiveyourwrittennoticeofirregularitywithin10daysfromthedateoftheCRCstatement.IfyoufailtoreceiveyourCRCstatementwithin10daysfromthedayofthemonthwhichisyourusualCRCstatementdate,youmustnotifyusimmediately,failingwhichsuchCRCstatementnotreceivedbyyoushallbedeemedtobeconclusiveandbindingonyousaveinthecaseofourmanifestorclericalerror.Notwithstandingtheforegoing,weshallbeentitledatalltimestocorrectanyerrorsoromissionsinsuchCRCstatementsandtodebitorcredityourCRCaccount(asthecasemaybe).
(c) Without prejudice to Clause 5(e), you are liable to pay the total CRCoutstanding balance shown on the CRC statement, of which youmust pay at least the minimum payment (calculated according toClause 5(d)) which must be received by us on or before the paymentdate specified in the CRC statement. Provided that where part ofthe CRC outstanding balance shown on the CRC statement relatesto additional credit granted to you pursuant to Clause 2(e) of thisAgreementandwe have notifiedyouofanotherpaymentdate for thesame,thatpartoftheCRCoutstandingbalancemustbereceivedbyusonorbeforethatotherpaymentdatesonotified.
(d) The CRC minimum payment due on a payment date, in relation to theCRCoutstandingbalancefortheperiodspecifiedinaCRCstatement,is

(g) Weshallbeentitledtoconvertanypayment,receivedbyusinacurrencyotherthanSingaporeDollars,atsuchtimeandrateofexchangeaswemayinourreasonablediscretiondetermineandyoushallbearsuchhandlingfee which we may impose for such foreign currency payments and allexchangerisks,reasonablyincurredlosses,commissionandotherbankchargeswhichmaytherebybeincurred.
(h) WeshallbeentitledtocredityourCRCaccountwithanyrefundinrespectofanyCRCCardorCitibankATM/DebitCardtransactionsoranypaymentorothercreditduetoyouatsuchtimeaswemaydetermineinourreasonablediscretionafterthereceiptoftheamountofsuchrefund,paymentorcreditinSingapore.Ifsuchrefund,paymentorcreditisreceivedinacurrencyother thanSingaporedollars,wewillconvert it toSingaporedollarsatsuchtimeandrateofexchangeaswemayinourreasonablediscretiondetermine.Youmustbearallexchangerisks,reasonablyincurredlosses,commission,feesandchargeswhichmaytherebyarise.
6. Interest and charges
(a) (i) You shall pay interest, which shall accrue daily at the prevailinginterestrateforCRCaccountsandforanyadditionalcreditgrantedpursuanttoClause2(e)ofthisAgreementbasedona365-dayyearontheend-of-dayoutstandingdebitbalanceeachday,subjecttoaminimumchargeofS$5.00permonth, fromthe transactiondateuntilthedatewhenfullpaymentoftheCRCoutstandingbalanceisreceivedbyus.Suchinterestshallbecompoundedmonthlyandweshallbeentitled,inourreasonablediscretion,tovarytheminimumchargeatanytimeandfromtimetotimewithreasonablenoticeandthesameshallbeconclusiveandbindingonyou.TheinterestwhichhasaccrueduptothedateoftheCRCstatementshallbespecifiedintheCRCstatement.

(ii) IftheminimumpaymentspecifiedinanyearlierCRCstatementorsuchpartof theCRCoutstandingbalanceshown insuchCRCstatementorinanyotherstatementfromustoyourelatingtoadditionalcreditgrantedpursuanttoClause2(e)ofthisAgreementisnotreceivedbyusinfullonorbeforethepaymentdatespecifiedinsuchCRCstatementorotherwisenotifiedtoyou,asthecasemaybe,youshallpayalatepaymentchargedeterminedbyusandnotifiedtoyoufromtimetotime.
(iii) Youauthorizeustocontactyou(usingthedetailsyouprovidedintheCRCapplicationform)atanytimeviathetelephone,electronicmailorbySMSprovidedbytelecommunicationsproviders,orsuchothermeans, to informyouofanymatterrelatingtoyourCRCaccountincludinginformingyouthatyourCRCoutstandingbalanceispasttherelevantpaymentdate.
(vi) servicefeeofS$10.70(inclusiveofGST)ischargedforeachpaymentmade to Citi Ready Credit account over the counter at CitibankBranches.
(c) Weshallbeentitled,inourreasonablediscretion,tovaryordetermine,fromtimetotime,theamounts,rates,typesand/orbasisofcalculationofallinterest,feesandchargespayablebyyouunderthisAgreementwithreasonablenoticeandthesamemaybedebitedfromyourCRCaccountorshallbepayablebyyouupondemandoratsuchtimeaswemaydeemfit.Fortheavoidanceofdoubtandwithoutlimitingthegeneralityoftheforegoing, you agree that we shall be entitled to increase the interestrate,atsuchtimes,forsuchperiodsandtosuchratesaswedeemfitwithreasonablenoticetoyou,ontheoutstandingbalanceifyoufailtomakepaymentbytherelevantpaymentdate.
(b) Notwithstanding anything herein, any deposit into your CRC account,howsoevermade,shallnotbeavailableforwithdrawal,whetherornotthesameisshownascreditedtoyourCRCaccountinyourCRCstatementoronthedepositticket,receiptorsliporotherwise,untilwehavereceivedactualpaymentoffundsand,ifthedepositisinaforeigncurrency,untilthesamehasbeenconvertedbyusaccordingtoClause5(g)ofthisAgreementintoSingaporeDollars,unlesspriorarrangementshavebeenmadewithustothecontrary.
(a) Without prejudice to Clause 7(b) and Clause 7(c), deposits may bereflected as credited to your CRC account before actual payment offundsarereceivedbyus.WeareentitledtodebityourCRCaccountwiththe amount previously credited in relation thereto if any cheques ordraftsaresubsequentlydishonoured.Inadditionthereto,wemayatourreasonablediscretiondebitfromyourCRCaccountaservicechargeoradministrationfeeandanyexpenseswemayhaveincurredinhandlingthedishonouredchequeordraft, includingwithoutlimitationinformingyouofthedishonouredchequeordraftandreflectingtheadjustmentstoyourCRCaccountinyourCRCstatement.Dishonouredchequesordraftsmaybereturnedtoyoubyordinarypostatyourriskandexpense.
(c) We may in our reasonable discretion refuse to accept any deposit inwhateverformintoyourCRCaccountortolimittheamountthatmaybedepositedorreturnalloranypartofthedeposit.
(d) Inreceivingchequesfordepositinwhatevercurrency,weshallactonlyascollectingagentandassumenoresponsibilityfortherealizationofsuchcheques or any delay in the realization of such cheques and we shall,withoutany liabilitywhatsoever,handlethecollectionofanychequeinwhatever currency in accordance with our prevailing procedures andpracticeatthattime.
(a) YoumayuseGIROordirectdebitbankingsystemwhichwemaymakeavailable to you at our reasonable discretion in connection with yourCRCaccounttotransferfundsfromand/orintoyourCRCaccountandallinstructions,andanyvariationormodificationthereof,tousforthetransferoffundsfromand/orintoyourCRCaccount(“DirectDebitInstructions”)shallbeonourprescribedformsand/orinsuchothermanneraswemayfromtimetotimepermit.Thetransferoffundsunderthisfundtransferservicewillonlytakeeffectonsuchdateaswemaydetermineandnotifytoyouinwriting.
(b) ForthetransferoffundsoutofyourCRCaccount,weshallbeundernoobligationwhatsoevertoascertainwhetherornotsuchsumoranypartthereof is payable (and whether by you or otherwise) to the intendedrecipientprovidedtheinstructionstotransferthefundswereprovidedinaccordancewithourprevailingverificationproceduresatthetimeofthetransfer.
(d) You may cancel Direct Debit Instructions given in respect of any fundtransferbygivingus1month’spriornoticeinwriting,butnothingshallprevent or affect any payment made or received or transacted by usunderthisfundtransferservicebeforeweissueourwrittenconfirmationofreceiptofnoticeofcancellationfromyou.
(e) We may charge a handling fee for each fund transfer under this fundtransferserviceandwemaydebityourCRCaccountaccordingly,providedyouhavereceivednoticeofthesame.
(g) A handling fee will be charged at our reasonable discretion, for ourhonouring,acceptingorprocessingeachGIROorDirectDebitInstructionwhichresultsinthecreditlimitofyourCRCaccountbeingexceededbutwhichmayormaynotbewithinsuchlimitsetbyusfromtimetotimepursuanttoClause2(e)ofthisAgreement.
10. Prohibited use
(a) YoushallnotuseyourCRCaccountor issueaCRCcheque topay theminimum payment or any other monies owing to us in respect of orin relation to your CRC account and/or this Agreement. You shall notauthorize, expressly or impliedly, any third party to operate your CRCaccount(bypowerofattorneyorotherwise)savewithourpriorwrittenconsentandunlesswereceiveyourwritteninstructionsinaccordancewithourprescribedprocedureforestablishingsuchthirdpartyauthorization.Youshallnotuseandwewillnotpermitthecardtobeusedtoeffectanycardtransactionwhichwouldcontravenethelawsofanyjurisdiction.
(ii) repaymentofanydebtowingtoCitibankoranyotherthirdparty.
11. Release of information
(a) To the extent not prohibited by Law or Regulation, you authorize thetransferanddisclosureofanyinformationrelatingtoyou,yourCRCaccountand/oranyofyouraccount(s)withus (including informationweobtainfromthirdpartiessuchasanycreditbureaurecognizedbytheMonetaryAuthority of Singapore (“MAS”) under or pursuant to the Banking Act(Chapter19)),toandbetweenus,Citibank,N.A.’sbranches,subsidiaries,representativeoffices,affiliatesandagentsandthirdpartiesselectedbyanyofthemorus,whereversituated,forconfidentialuse(includingforuseinconnectionwiththeprovisionofanyproductsorservicestoyouandfordataprocessing,statisticalandriskanalysispurposes,globalcashservicesanddealingsinsecuritiesontheSingaporeExchangeSecuritiesTradingLimitedandanyotherrelevantauthoritiesandagenciespertainingthereto).WeandanyofCitibank,N.A.’sbranches,subsidiaries,representativeoffices,affiliates,agentsorthirdpartiesselectedbyanyofthemorus,shallbeentitledtotransferanddiscloseanyinformationasmayberequiredbyLaworRegulation,court,regulatororlegalprocess.
(ii) anysuchbureautotransferanddisclosetoanyfellowmemberorsubscriberofsuchbureau,any informationrelatingtoyouand/oryourCRCaccountand/oranyofyouraccount(s)withus(andforsuchpurposes)asmaybepermittedunderorpursuanttotheBankingAct(Chapter19).
(d) You agree that the signing of the CRC application form by you shallconstitutewrittenpermission fromyou foranysuchdisclosure for thepurposesofSection47andtheThirdScheduleoftheBankingAct(Chapter19)orforanyotherdisclosureimposedbyLaworRegulation.
(g) Youherebyconsent,inconnectionwithany,oranyproposed,novation,assignment,transferorsaleofanyofourrightsand/orobligationswithrespect toor inconnectionwithyourCRCaccountand/oranyofyouraccount(s) with us and/or this Agreement to any novatee, assignee,transferee, purchaser or any other person participating or otherwiseinvolvedinsuch,orsuchproposedtransaction,tothedisclosure,toanysuchperson,byus,ofanyandallinformationrelatingtoyou,yourCRCaccountand/oranyofyouraccount(s)withus,thisAgreementandanysecurity, guarantee and assurance provided to secure your obligationsthereunderandanyotherinformationwhatsoeverwhichmayberequiredinrelationthereto.
12. Change of CRC account status
Youmay upon our prior writtenapproval (whichmay begranted subject tosuchtermsandconditionsaswemayimpose)convert,inaccordancewithourprescribedprocedurethenprevailing,yourCRCaccounttoaJointCRCaccount,orconvertyourJointCRCaccounttoaCRCaccount.
13. Termination of CRC account
(a) You may terminate your CRC account by returning to us all CRCchequebooksandunusedCRCcheques,CRCCardandCitibankATM/DebitCardissuedinrespectofyourCRCaccount;ceasingtouseallfacilitiesandservicesrelatingtotheCRCaccount(includingtheTBS);andpayingallCRCoutstandingbalance(includingsuchCRCoutstandingbalanceincurredbeforewereceiveyourCRCcheques,CRCchequebooks,CRCCardand/orCitibankATM/DebitCard)andsuchothersumsowingtousunderthisAgreement,thereuponyourCRCaccountshallbeterminatedProvidedthatunlessanduntilyourCRCaccountshallbesoterminated,weshallhavethereasonablediscretiontohonourordishonouranyCRCchequedrawnbyyouoralloworrefuseanytransaction(whethereffectedbytheuseoftheCRCCard,theCitibankATM/DebitCardorviatheTBSorotherwise)underanyserviceorfacilityprovidedinconnectionwithyourCRCaccount.
(b) Weareentitledto,inourreasonablediscretion,atanytimewithreasonablenoticetoyou,terminateyourCRCaccountforthwithwithoutnotice,and/ortodemandimmediatepaymentofallmoniesowinginrespectofyourCRCaccount,whetherornotyouareindefaultofanyofyourobligationsunderthisAgreementandwhetherornotanyCRCoutstandingbalanceisdueandowingbyyou.IfyourCRCaccountshallbesoterminatedbyus,youshallforthwithreturntousallCRCchequebooks,unusedCRCcheques,theCRCCardand/or theCitibankATM/DebitCard issued in respectofyourCRCaccount;andmakeimmediatepaymentofallCRCoutstandingbalanceandsuchothersumsowingtousunderthisAgreementincludinganyCollectedAmount,interest,chargesandfeesdueorfundsrequiredtobemadebyLaworRegulation.
(a) Withoutprejudicetoanyofourrightsandremedies,wemay,atanytimeinourreasonablediscretionwithoutpriornoticeandwithoutgivinganyreasonandwithoutliabilitytoyouoranyperson,refusetohonouranyCRCchequeorpermitanytransferoffundsoranyothertransaction(effectedbytheuseoftheCitibankATM/DebitCardorviatheTBSorotherwise)notwithstanding that the total CRC outstanding balance at such timewouldnothaveexceededthecreditlimitofyourCRCaccountand/ortheadditionalcreditgrantedpursuanttoClause2(e)ofthisAgreementifthe

amountofsuchtransactionsweredebitedthereto.
(b) Notwithstanding,and withoutprejudice to, theother provisionsof thisAgreement,weshallbeentitledatanytimeinourreasonablediscretionwithreasonablenoticebutwithoutgivinganyreason,refusetore-issue,reneworreplacetheCRCCard,theCitibankATM/DebitCardand/orCRCchequebookand/ortointroduce,amend,vary,terminateorwithdrawanyorallofthebenefits,services,facilitiesandprivilegesinrespectoforinconnectionwithyourCRCaccountandyourbeingaCRCaccountholder(e.g.preferentialinterest rate balance transfer programs, instalment plans, exclusiveinvitations toevents,access tohealth, travel, creditbalance repaymentinsuranceofferedincollaborationwithkeyinsurancecompanies).
(c) Notwithstanding and without prejudice to the other provisions of thisAgreement,weareentitledatanytimeinourabsolutediscretionfromariskmanagementperspectiveandifrequiredbytherelevantauthorityorunderanyapplicableLaworRegulation,withoutnoticetoyouandwithoutgivinganyreason,suspendyourrighttouseyourCRCaccount.
(e) Notwithstandingany CRC statements or notices sent by us to you, wehavetheright,inourreasonablediscretion,toreverseanyentry,demandrefundofand/ordebityourcardaccountinrespectofanyoverpaymentorwrongfulcreditintoyourCRCaccount.
(i) transferalloranypartofsuchcreditbalanceonyourCRCaccountbywayoffundstransfertoanyoftheyouraccount(s)withus,includingbankingaccount(s), provided that if any of your account(s) has an outstandingbalance(s),suchfundswillbeappliedtoset-offsuchoutstandingbalance(s)first;or
(ii) payalloranypartofsuchcreditbalancebysuchmodeaswedetermineappropriateincludingbywayofchequeorcashier’sordertoyou.
(ii) thereisanychangeorproposedchangeintheparticularswhichyouhavegiventous(includingbutnotlimitedtoyourname,identificationnumbers,mailing,home,electronicmailorofficeaddress,yourhome,office,facsimileortelephonenumber,mobilephonenumberandyouremployment),andyoumustimmediatelyprovideuswithanyorotherinformationanddocumentsaswemayrequirefromtimetotimeinourreasonablediscretion.
(c) Withoutprejudicetothegeneralityoftheforegoing,youshallnotholdusresponsibleorliableforanylossordamagesufferedbyyouoranythirdpartyshouldanyCRCchequebepaidorhonouredbyusforanyreasonnotwithstandingthattheCRCaccountmayhavebeenterminatedforanyreasonandyoushallpay,uponourdemandmadeatanytime, the fullamountofanysuchCRCchequesopaidorhonoured.
(iv) any failure, suspension, cessation, delay, interruption, disruption,errors,defectsor fault in thirdpartyequipment,software,hardware,Internet, Internetbrowsers,onlinenetworks, Internetserviceproviders,telecommunication service providers or other service providers,telecommunication,computerorotherelectronicequipmentorsystem;or
(x) any CRC communication which are unauthorised, conflict with orinconsistent with any prior communicationgiven by you to us orgiveninerror,forged,fraudulent,lackclarityorreasonablycapableofbeingmisunderstood,garbled,inaccurateorincomplete;or
(ii) allunpaidprincipalpursuanttoanyCitibankinstalmentloanprograms;

(iii) allotherunpaidinterests,feesandcharges;
(iv) all unpaid principal pursuant to any Citibank balance transferprograms(the “Unpaid Balance Transfer Balance”), all unpaidtransactionseffectedbyyoubywayofdrawingCRCcheques,orbyusingtheCRCCard,CitibankATM/DebitCard,viaGIROorallunpaidtransactions effected from your CRC account(each an “UnpaidBalance”andcollectively,“UnpaidBalances”).
(ii) wherethe interestrateapplicabletoanyUnpaidBalanceTransferBalances is the same, payments received by us will reduce thebalances transferred under the latest balance transfer program(after it has been reflected in your statement of account) first,notwithstandingthatyoumayhaveUnpaidBalanceTransferBalancesfromearlierbalancetransferprograms.
You will compensate us for and hold us harmless against any reasonablyincurredlosses,damage,liability,costandexpensewhichwemayincurorsuffer(includinglegalcosts)asaresultofor inconnectionwithyourCRCaccountand/orthisAgreement,theactualorattemptedenforcementorprotectionofanyofourrightsandremediesagainstyou,anychangeinanylaw,regulationor official directive which has an effect on the CRC account, the CitibankATM/DebitCard,theCRCCard,and/orthisAgreement.
19. Joint CRC account / Joint and several liability
(b) your liabilities shall not be affected in any way by any dispute orcounterclaimor rightof set-off which you may haveagainst theotherJointCRCaccountcustomer(s)orbythedischargeofanyoneofyouforanyreasonorbytheinvalidityorunenforceabilityofanyofthetermsandconditionsofthisAgreementinrelationtoanyoneofyouorbythedeath,disability,mentalincapacityorbankruptcyofanyoneofyou;
(b) We are entitled to accept and execute instructions in respect of anytransactionconcerningyourCRCaccountgivenbyyoueitherinpersonorbytelephone(whichneednothaveanycall-backprocedure),cableortelexorfacsimiletransmissionorbyelectronicmail,SMS,theInternetorATM(orbyanyothertelecommunicationsorelectronicmodeofcommunicationwhatsoever)and:–
(i) we may rely on such instructions given by you or any personpurporting tobeyouprovidedsuch instructionswereprovided inaccordancewithourprescribedverificationprocedureprevailingatthetime;
(ii) wemayrequirethatinstructionsbeconfirmedinsuchmanneraswemayspecifyfromtimetotimeandwemayinourreasonablediscretionandwithoutnoticerefusetoactonanysuchinstructionsuntilwereceivesuchconfirmationsatisfactorytous;
(iii) we may at our reasonable discretion require you to give writteninstructions(andanyotherdocumentaryevidenceofauthority)inthecasewheretheproceedsofanytransactions(includingplacements)oranyfundsintheCRCaccountaretobecreditedorremittedtoanyaccountheldwithusbutwhichisnotinyournameortoanaccountwithanotherbank;
(iv) wemayelectnot toactuponalloranypartofyour instructionswhereitresultsinthecreditlimitofyourCRCaccountorthecreditlimit of any other facilities made available to you, including anyadditionalcreditgrantedpursuanttoClause2(e)ofthisAgreement,beingexceeded,butifwedosowemayelectwhichofsuchorderstoexecuteinwholeorinpart;
(vii) you consent to us making records of all telephone conversationsyouoryourAuthorizedPerson(s)’mayhavewithusasevidenceofinstructions,enquiriesand/orotherverbalcommunications(asthecasemaybe)fromyouoryourAuthorizedPerson(s);
(viii) we may refuse to act on any instructions given by you or yourAuthorizedPerson(s);ifsuchinstructionsareinconsistentwithanyLaworRegulation.
(d) We shall not be required to effect instructions from you oryourAuthorizedPerson(s),exceptduringbankinghoursonBusinessDays.Inordertocomplywithsuchinstructionswemay,withoutgivingpriornotice,usetheservicesofacorrespondentbank.
(e) WeareauthorizedtotreatasvalidandbindingonyouoryourAuthorizedPerson(s) and to act on any instructions (whether oral or written orotherwise)purportedlygivenbyyouoryourAuthorizedPerson(s),withoutbeingobligedtoenquireastotheidentityorauthorityoftheperson(s)givingorpurportingtogivesuchinstructionsortheauthenticitythereof,and regardless of the circumstances prevailing at the time of suchinstructionsorthenatureofthetransactionandnotwithstandinganyerror,misunderstanding,fraud,forgeryor lackofclarity inthetermsofsuchinstructions,includingbutnotlimitedtoinstructionsgivenorpurportedtobegivenbyyoutouspursuantto:-
(i)theuseoftheTelephoneBankingService;
(ii)theuseofanyfacsimilebankingservice;and
(iii)theuseofCitibankOnline.
21. Assignment and Novation
YouherebyirrevocablyagreetoanynovationofthisAgreementandanyotheragreement,document,assuranceandguaranteeinconnectiontherewithorwithyourCRCaccountand/oranyofyouraccount(s)withusand/oranyfacilitiesandservicesavailablethereunderorsecuringyourobligationsthereunder,andirrevocablyagreethatweareentitledtoandmayassignortransferreasonablelytoatransfereeallorsomeofourrights,title, interests,benefits,obligationsand liabilities under this Agreement and/or under any instrument(s) and/orany other agreement, document, assurance and/or guarantee in connectiontherewithand/orwithyourCRCaccountand/oranyofyouraccount(s)withusand/orany facilitiesandservicesavailable thereunderand/or securingyourobligationsthereunder.Youfurtherirrevocablyandunconditionallyagreethatanysuchnovation,assignmentortransfermaybeeffectedbyourdeliveringtoyouanoticetothateffectwhereupon:
(d) Thetransfereeshallthereafterbeboundbyidenticalrights,title,interests,benefits, obligations and liabilities thereunder which we assigned ortransferred;and
(e) Any acknowledgement (including but not limited to risk disclosurestatements and acknowledgements), information (including but notlimitedto informationprovided inrespectofriskprofiling), instruction,

order, direction, mandate or authority given by you to us in relationto your CRC account and/or any of your account(s) with us, anyfacilitiesandservicesavailable thereunder, thisAgreementorsecuringyour obligations thereunder may be relied and acted upon by theassigneeortransfereeas ifgivenbyyoutotheassigneeortransfereeand shall, unless and until revoked or cancelled, apply and haveeffectinrelationthereto.Youalsoherebyirrevocablyandunconditionallyundertaketoexecuteandsignanydocument(ifany)whichmayberequiredtogiveeffecttotheforegoing.
22. Miscellaneous
(a) Our records (including computer and microfilm stored records or anyotherelectronicrecordsstoredbyus)ofallmattersrelatingtoyou,anytransactiononyourCRCaccount,and/oryourCRCaccountisconclusiveevidence of such matters and is binding against you for all purposes,saveformanifestorclericalerrorerror,subjecttoourrighttorectifyanyerror or omission therein andour right toadduce other evidence. Youherebyagreenottoatanytimedisputetheauthenticityoraccuracyofanycomputeroutputrelieduponbyusforanypurposewhatsoever.Wemay,inourreasonablediscretion,destroyanydocumentrelatingtoanytransactiononyourCRCaccountoryourCRCaccountaftermicrofilmingorotherwiserecordingthesameinsuchmanneraswemaydeemfitaswellas todestroysuchmicrofilmandrecords (includinganyelectronicrecords)atanytime.
(f) This Agreement sets out our entire agreement with you in relation toyour CRC account and you acknowledge that you have not relied onanyrepresentation,warranty,term,conditionormatterwhatsoevernotexpresslycontainedinthisAgreement(whetherthesameiscontainedinanyofourapplicationforms,promotionalliterature,publicitymaterialorotherwise)inenteringintothisAgreement.TheCitibankATM/DebitCardtermsandconditionsapplytoyouroperationoftheCRCaccountusingtheCRCCardortheATM/DebitCardbysuchmeansandmanneraswemayavailtoyoufromtimetotimeincludingviatheATMorusingthePOSTransactionsfunctionality.Accordingly,anyreferencetoaCitibankATM/DebitCardintheCitibankATM/DebitCardtermsandconditionsshallbetoaCRCCard.ByoperatingtheCRCCard,youaredeemedtohaveagreedtoandacceptedsuchtermsandconditions.
(h) Youagreetobeboundbyalltermsandconditionsgoverningtheuseofsuchfacilities,benefitsorserviceswhichmayfromtimetotimebemadeavailable toyoubyus inconnectionwithyourCRCaccount. If there isany conflict between the provisions contained in this Agreement andtheprovisionsoftheCitibankATM/DebitCardtermsandconditions,theTelephone Banking Service terms and conditions, the Internet Bankingtermsandconditions(collectivelythe“OtherTermsandConditions”),thisAgreementshallprevailandapplyandtheOtherTermsandConditionsshall be deemed to be modified so far only as it is necessary to giveeffecttotheprovisionsofthisAgreement.UnlessotherwiseprovidedbythisAgreement,nothing in thisAgreementshallaffect thevalidityandenforceabilityofourrightsorremediesunderanysuchOtherTermsandConditionswhichshallcontinuetoapplythereto.YouacknowledgethatyourCRCCard,CitibankATM/DebitCardandyourTBSAccessCodemayoperateanyotheraccount(s)youmayhavewithusotherthanyourCRCaccount.
(A) YouagreetoobservethedutiesimposedonyouundertheE-PaymentsUser Protection Guidelines (“Guidelines”) issued by the MonetaryAuthorityofSingaporeinconnectionwithyourCRCaccountand/orCRCCard,whichinclude:-
(ii) enablingandmonitoringCitiAlerts.Inthisregard,theGuidelinesstate that “it is [your] responsibility to enable transactionnotificationalerts,toopttoreceivealltransactionnotificationsforalloutgoingtransactionsof(anyamount)madefromyouraccount,andtomonitorthetransactionnotificationssenttoyou”;
(iv) protectingyourlogincredentialstoyourCRCaccounts,wherelogin credentials include your login ID, access code, PIN/password,OTPorothercredentialsthatareusedtoauthenticateyouridentity;
For the purposes of clause 22(h)(A) and (h)(B), “unauthorizedtransaction” inrelationtoyourCRCaccount,meansanypaymenttransaction initiatedbyanypersonwithoutmyactualor imputedknowledgeandimpliedorexpressconsent.Fortheavoidanceofdoubt,whereyouknewofandconsentedtoapaymenttransaction,suchatransactionisnotanunauthorizedtransaction,notwithstandingthatyoumaynothaveconsentedtothepaymenttransaction.
(ii) CitiAlertswillbesentrealtime,butyouunderstandthatyourreceiptofCitiAlertsissubjecttootherconditionsnotwithinourcontrolincludingwhetheryourinternetand/ormobilephoneoperatorbeingabletosupporttheservice;
(iv) where a transaction is effected by way of internet banking,anymobilephoneapplicationordevicearrangedforbyusforpaymenttransactions,wewillprovideanonscreenopportunityfor you to confirm the payment transaction and recipientcredentials before we execute any authorized paymenttransaction;
Forthepurposesofclause22(h)(B)and(h)(C),“paymenttransaction”meansanact,initiatedbythepayerorpayee,ofplacing,transferringor withdrawing money, irrespective of any underlying obligationsbetween the payer or payee, where the act is initiated throughelectronicmeansandwheremoneyisreceivedthroughelectronicmeans,andincludes:
(1) the placing, transferring or withdrawing of money for thepurposesofmakingpaymentforgoodsorservices;and
(C) As a responsible financial institution, we will observe our dutiesundertheGuidelinesandintheeventofanyinconsistencybetweenthe terms and conditions of this agreement and the Guidelines,theGuidelineswillprevail.Fortheavoidanceofdoubt,theliabilityapportionmentsetoutinsection5oftheGuidelinesdonotapplytotransactionsonyourCRCCardissuedbyusinrespectofyourCRCaccount.Section5of theGuidelinessetout the following liabilityframeworkforunauthorizedtransactions:
(ii) youwillnotbeliableforanylossarisingfromanunauthorizedtransactionifthelossarisesfromanyactionoromissionbyusanddoesnotarisefromanyfailurebyyoutocomplywithanyofthedutiessetoutinClause22(h)(A)aboveandSection3oftheGuidelines.
(i) Youacknowledgethatwemayuseartificialintelligenceordataanalytics(i.e. technologies that assist or replace human decision-making)whilstprovidingproductsandservices toyou, forpurposes includingbutnotlimitedtoriskassessment,statistical,trendanalysisandplanning;andtomakedecisions,provide,operate,processandadministeryouraccountsandserviceswithus.
(j) Nothinginthesetermsandconditionsshallconferonanythirdparty(whichfortheavoidanceofdoubtshallincludeanyAuthorizedPersons)arighttoenforceanyprovisionhereinandtheprovisionsoftheContracts(RightsofThirdParties)Act(Chapter53B)whichmightotherwisebeinterpretedtoconfersuchrightsshallnotapplyandareexpresslyexcludedfromapplyingherein and no consent of any third party is required for any variation(includinganyreleaseorcompromiseofany liability)orterminationofthesetermsandthisAgreement.
(m) You agree that we, any Citigroup Organisation or Third Party ServiceProvidermaywithholdordeductanyCollectedAmountwhichisrequiredtobewithheldordeductedtocomplywithanyLaworRegulationfromanypaymenttoyou,ortoorfromanaccountthatyoumaintainwithus.AnyCollectedAmountshallbetimelypaidtotherelevantAuthorityinaccordancewiththerelevantrequirement.WewillnotifyyouofanyCollectedAmountassoonasreasonablypracticable.YouacknowledgethatwewillnotberequiredtoreimburseyouforanyamountwithheldordeductedbyaPaymentInfrastructureProvider.Further,totheextentweoranyCitigroupOrganisationorThirdPartyServiceProviderpaysorhaspaidfromitsownfundsorisorwillbecomerequiredtomakeapaymenttoanAuthorityinrespectofanamountthatshouldhavebeen,butwasnot,aCollectedAmount,youwill indemnifyusforsuchpayment,plusanyinterestandpenaltiesthereon.YouunderstandandagreethatwearenotrequiredtocontestanydemandmadebyanAuthorityforsuchpayment.
Ifyouhaveanyquestionsaboutyourtaxpositionasaresultofopeningan account with us or effecting any transaction on an account withus, you should engage an independent tax adviser as you considerappropriate.
(n) OtherProductsandServices
As our customer, you have access to a suite of financial products andservicesavailedbyourselves,ouraffiliatesandstrategicpartnersdesignedtohelpyouaddressandachieveyourfinancialneedsandgoals.YouagreethatyoucanobtaininformationaboutsuchProductsandServicesviaourwebsitewww.citibank.com.sgandyoufurtheragreethatwecanfromtimetotimecommunicateinformationinrelationtosuchProductsorServicestoyouspecificallyorgenerallytoallcardmembersviasuchcommunicationmodeasweconsiderappropriate.
(c) “ATM” means an automated teller machine or card-operated machine,whether belonging to us or other participating banks or financialinstitutions or to the Visa Global ATM Network, Mastercard® Networkor their affiliated networks, in respect of which we have a subsistingarrangementtoallowyoutouseyourCitibankATM/DebitCardatsuchmachine.
(d) “ATMLimit”meansthemaximumlimitpermittedbyus,andcommunicatedto you by us from time to time, in respect of which the total of CashWithdrawals and/or Cash Advances made or obtained on any calendardaymustnotexceed,orsuchotheramountaswemayatourreasonablediscretionfromtimetotimeprescribeforthepurpose.
(e) “Authority” means any competent regulatory prosecuting, tax orgovernmentalauthorityinanyjurisdiction,domesticorforeign.
(ii) wherewehavegrantedyouanoverdraftfacilityorlineofcreditinrespectofsuchAccount,thelimitofsuchoverdraftfacilityorlineofcreditnotifiedbyustoyoulessthetotalamountpayablebyyoutouswithrespecttosuchoverdraftfacilityorlineofcredit.
(l) “DesignatedAccount”meanstheAccountdesignatedbyyou(andwhichdesignation we have approved) for the time being for the purpose ofcarryingoutCardTransactions.
(p) “MonthlySpendingLimit”meansthemaximumlimitpermittedbyus,andcommunicated toyoubyus fromtimeto time, in respectofwhich theMonthlyTransactionAmountmustnotexceedatanytime,orsuchotheramountaswemayatourreasonablediscretionfromtimetotimeprescribeforthepurpose.
(y) “you”, “your”, “cardmember” means the person to whom the CitibankATM/DebitCardisissued.
2. The Citibank ATM/Debit Card
2.1 We may send you your Citibank ATM/Debit Card by ordinary post to theaddresswehaveonrecordforyou.IntheeventyoufailtoreceivethecardandunauthorizedtransactionsoccurontheCRCSaccount,youwillnotbe liableforthebalancesarisingtherefromprovidedyouhavenotactedfraudulentlyornegligently.WearenotliableforanylossordamagewhichyoumaysufferifyoufailtoreceivetheCitibankATM/DebitCard.
2.3 RegardlessofanyprovisioncontainedintheseTermsandConditions,ifyoudonotagreetoanyprovisionintheseTermsandConditions,youmustnotsignon, retainorusetheCitibankATM/DebitCard,andshall returntheCitibankATM/Debit Card cut in halves to us immediately. You are deemed to haveacceptedandagreedtotheseTermsandConditionsifyousignon,retainor

usetheCitibankATM/DebitCard.
2.4 The Citibank ATM/Debit Card remains our property at all times. You mustimmediatelyreturnyourCitibankATM/DebitCardtousuponourrequestwhichwemaymakeatanytimeinourreasonablediscretion.
3. Facilities Available with the Citibank ATM/Debit Card
3.2 (a) Where your Citibank ATM/Debit Card has VISA / Mastercard CardTransactions functionality, you acknowledge and accept that if youchoosetomakeaCardTransactionpaymentviatheVISA/Mastercardnetwork,youwillbeboundbytheVISA/Mastercardrulesgoverningsuchtransactionsincludingbutnotlimitedtorulesgoverningchargebackanddisputeresolution.
3.2 (b) Where your Citibank ATM/Debit Card has any other network CardTransactionfunctionality,youacknowledgeandacceptthatifyouchoosetomakeaCardTransactionpaymentviasuchothernetworks,youwillbesubjecttosuchlimitsontheCardTransactionamountasprescribedbysuchnetworksorusandboundbytherulesofsuchnetworkgoverningsuch transactions including but not limited to rules governing disputeresolution.
3.3 TheCitibankATM/DebitCardisnottransferableandmayonlybeusedbytheperson to whom we issue the Citibank ATM/Debit Card and whose name isembossedontheCitibankATM/DebitCard.
5.2 If foranyreasonthere isanOverdrawnBalance inanyAccount,whetherasaresultofanyCitibankDebitCardTransaction,CashWithdrawaland/orCashAdvanceandwhetherwithorwithoutourconsent,youmustimmediatelypayus theamountof theOverdrawnBalance insuchmanneraswemay inourreasonablediscretiondirectandwemaycommunicatethisdirectiontoyoubyanymeanswedeemfit.
6. Currency Conversion
6.1 (a) Foreigncurrencytransactions
(i) CashWithdrawal,CashAdvanceorCardTransaction(includingonlineandoverseastransactions)effectedinUSdollarswillbeconvertedintoSingaporedollars.Transactionseffected in foreigncurrenciesotherthanUSdollarswillbeconvertedtoUSdollarsbeforebeingconverted into Singapore dollars, except for Australian dollars onVisacardswhichwillbeconverted intoSingaporedollarsdirectly.Theconversionwilltakeplaceonthedateonwhichthetransactionisreceivedandrecordedbyus(“postingdate”).Thecurrencyconversionwillbebasedonourprevailingforeignexchangerateoranexchangerate determined by VISA or MasterCard International dependingon whether the conversion is done by us, VISA or MasterCardInternational.
(ii) Inaddition,theCashWithdrawal,CashAdvanceorCardTransactionwillbesubjecttoadministrativefeeofupto2.5%ontheconvertedSingapore dollar amount if processed by VISA or MasterCardInternationalorsuchotherrate(s)asdeterminedbyusandnotifiedtoyou.
6.1 (b) DynamicCurrencyConversion
(i) IfyourCashWithdrawal,CashAdvanceorCardTransaction(includingonlineandoverseastransactions)isconvertedintoSingaporedollarsviadynamiccurrencyconversion(aserviceofferedatcertainATMsandmerchantswhichallowsacardmembertoconvertatransactiondenominatedinaforeigncurrencytoSingaporeDollarsatthepointofwithdrawal/sale),youacknowledgethattheprocessofconversionandtheexchangeratesappliedwillbedeterminedbytherelevantATMoperator,merchantordynamiccurrencyconversionserviceprovider,as the case may be. You acknowledge that we do not determinewhetheratransactionwillbeconvertedintoSingaporedollarsviadynamiccurrencyconversionand,whereyourcardtransactionisforaretailpurchase,youmayhavetocheckwiththerelevantmerchantwhethersuchconversionwasdone.
(ii) Inaddition,theCashWithdrawal,CashAdvanceorCardTransactionwillbesubjecttoanadministrativefeeof2.5%ontheconvertedSingaporedollaramountleviedbyVISA/MasterCardInternationalifitisaVISA/MasterCardInternationaltransaction.
8.3 YouareliableforallCashWithdrawals,CashAdvancesandCardTransactionseffected by the use of the PIN whether with or without your knowledge orauthority.
9.5 Weshallbeentitledtotreatanyrequestviamail,telephone,facsimile,internetorothermeansofcommunication toanymerchant for thesupplyofgoodsand/orservices tobecharged to theDesignatedAccount,whethermadeorauthorizedbyyouandwhetherasalesdraftorvoucher,receipt,chargesliporanyotherdocumentissignedbyyou,orotherwise,asavalidCitibankDebitCardTransactionandwemaydebittheDesignatedAccountwiththeamountofsuchCardTransaction.
10.4If the use of your Citibank ATM/Debit Card is terminated for any reasonwhatsoever,youmustreturntoustheCitibankATM/DebitCardcutinhalves.
10.5Our rights and remedies under these Terms and Conditions shall not bedetermined,affectedorprejudicedbyyourbankruptcy,insanity,deathorotherlegaldisability,andyouoryourrepresentativeshallbeboundtoimmediatelyreturntoustheCitibankATM/DebitCardcutinhalves.
(b) CardTransaction,notwithstandingthattheamountoftheproposedCardTransactions does not exceed the Available Balance in the DesignatedAccountortheMonthlyTransactionAmountwouldnotexceedtheMonthlySpendingLimitifsuchCardTransactioniseffected.
(b) theMonthlySpendingLimitwouldbeexceeded,asthecasemaybe,andwemaydebittheDesignatedAccount(oranyotherAccount)withanyamountdue from you to us (whether in respect of any Cash Withdrawal, CashAdvanceand/orCardTransaction,interest,fee,chargeorotherwise)evenifanOverdrawnBalancewouldresultinanyAccountfromsuchdebiting.
12.2 Withoutprejudicetothegeneralityoftheforegoing,whereweareamemberof, or subscriber for the information sharing services of, any credit bureaurecognizedbytheMonetaryAuthorityofSingapore(“MAS”)underorpursuanttotheBankingAct(Chapter19),youexpresslyauthorize:
12.4Youagreethatyoursigningoftheapplicationformshallconstituteyourwrittenpermission for any such disclosure for the purposes of Section 47 and theThirdScheduleoftheBankingAct(Chapter19)oranyotherdisclosureimposedbyLaworRegulation.
13.1 Wemay from time to timearrange fororprocurebenefits,discounts, retailrebatesorprogrammesinconjunctionwiththeuseofyourCitibankATM/DebitCard.Suchbenefits,discounts,retailrebatesorprogrammesmaybesubjecttosuchtermsandconditionsandrestrictionsaswemaynotifyyou,andwemaywithdrawanysuchbenefit,discount,retailrebateorprogrammeatanytimeandwithnoticetoyou.
ofanygoodsorservicespursuant toor in relation toanyCashWithdrawal,CashAdvanceand/orCardTransaction.Ifyouhaveanycomplaintagainstanymerchant(includingbutnotlimitedtoanyclaimsthatthemerchanthadcoercedorpressuredyoutoperformthecardtransaction),youshallresolvesuchdisputewiththemerchantdirectly;yourliabilityowingtouswillnotbeaffectedbysuchdisputeoranycounterclaimorrightofset-offwhichyoumayhaveagainstsuchmerchant.YourrightsundertheseTermsandConditionsarenottobeassignedorotherwisedisposedof.
13.4 NotwithstandinganyothertermsandconditionsoftheseTermsandConditions,wearenotliabletoyouforanyloss,damage,inconvenience,embarrassment,costandexpenseofanynaturewhichinanywaymaybesufferedorincurredbyyouorbyanyotherpersoninrespectoforinconnectionwiththeuseorattempteduseofyourCitibankATM/DebitCard,theCINorPINand/ortheseTerms and Conditions, including, without prejudice to the generality of theforegoing,anyrepossessionoftheCitibankATM/DebitCardoranyrequestforitsreturn;anymalfunctionorfailureofanymachineorsystemofauthorizationortransmissionlinkorATM;anydamageorlossoftheCitibankATM/DebitCard;andanyinabilitytoretrieveanydataorinformationthatmaybestoredintheCitibankATM/DebitCardhowsoevercaused,saveinthecaseofourfraud,grossnegligenceandwilfuldefault.
(b) if your right to use your CitibankATM/DebitCard is suspendedor theDesignatedAccountisclosed,wemayatouroptionandwithoutprejudicetoanyofourrightsandremedies,stoppayingthesaidinstalmentsforyou,ordebittheaggregatesumoftheremaininginstalmentstotheDesignatedAccountoranyotherAccountorrequireyoutopaythesameforthwith.
(a) wemayatourreasonablediscretionissueanyCitibankATM/DebitCardtoeachJointAccountHolderwithoutreferenceornoticetoyou(andsuchCitibank ATM/Debit Card may or may not come with the functionalityenablingCardTransactionsasweconsiderappropriate);
(d) we shall be entitled to make arrangements with or release any of youwithouttherebyaffectinginanywaytheobligationsorcontinuedliabilityofanyotherofthem;
(e) your liabilities shall not be affected in any way by any dispute orcounterclaimorrightofset-offwhichtheJointAccountHoldersmayhaveagainsteachotherorbythedischargeofanyoneofthemforanyreasonorbytheinvalidityorunenforceabilityofanyoftheseTermsandConditionsinrelationtoanyoftheJointAccountHoldersorbythedeath,disability,mentalincapacityorbankruptcyofanyoftheJointAccountHolders;
(f) we shall be entitled to act or rely on any communication, request orinstructiongivenorpurportedtobegivenbyanyJointAccountHolder(whetherwithorwithoutyourknowledgeorauthority)andyoushallbeboundbysuchcommunication,requestorinstruction;and
(g) any Account Statement or notice relating to the use of any CitibankATM/DebitCardoranyfacilitiesorbenefitsrelatingtotheCitibankATM/DebitCardoranyamendmenttotheseTermsandConditionsdispatchedtoanyJointAccountHoldershallbedeemedtohavebeendispatchedandreceivedbyeachandeveryJointAccountHolder(includingyourself)atthetimewhenthatJointAccountHolderreceivesorisdeemedtohavereceivedthesame.
17. General
17.1 We may at any time vary, modify, add to or delete any of these Terms andConditionsandwewillnotifyyouofanysuchchangesinsuchmanneraswemayinourreasonablediscretion,deemfit.Ifyoudonotacceptsuchchanges,youmayterminatetheuseofyourCitibankATM/DebitCardforthwithafterwehavegivensuchnoticeofchange.IfyouretainorusetheCitibankATM/DebitCardortheCINorthePINafterwehavegivensuchnoticeofchange,youwillbedeemedtohaveacceptedsuchchangeswithoutreservation.
17.2 TheseTermsandConditionsareinadditiontoanyotheragreement(s)betweenyouanduswithrespecttoyourAccount(s)and/oranyotherfacilities,benefitsorserviceswhichmay fromtime to timebemadeavailablebyus toyou inconnectionwithyourAccount(s)andtherightsconferredonusunderanysuchagreement(s).IfthereisanyinconsistencybetweentheseTermsandConditionsandthetermsofanysuchotheragreement(s),theprovisionsoftheseTermsandConditionsshallprevail.
17.7 EachoftheprovisionsintheseTermsandConditionsisseverableanddistinctfrom one another and if at any time any one or more of these Terms andConditionsoranypartthereofisorbecomesinvalid,illegalorunenforceable,thevalidity,legalityorenforceabilityoftheremainingprovisionswillnottherebybeaffectedorimpairedinanyway.
(a) In these terms and conditions, “we”, “our” and “us” means CitibankSingaporeLimitedanditssuccessorsandanynovatee,assignee,transfereeor purchaser of Citibank Singapore Limited’s rights and/or obligationshereunderand“you”,“your”,“yours”,“AccountHolder”and“customer”meansthepersoninwhosenameanAccountismaintainedandincludes,where the context requires, a Joint Account Holder and any personauthorizedtouseand/ormakeenquiriesonanAccount;andunlessthecontext otherwise requires, the following words when used have thefollowingmeaningsrespectivelysetoutbelow:
(b) Words importing the singular include the plural and vice versa wordsimportingthemasculinegenderincludethefeminineandneutergenderand references to a person includes a sole proprietor, partnership orcompany. Headings to the clauses herein are for easy reference onlyandshallnotbetakenintoaccountintheinterpretationofthesetermsandconditions.
(b) Any Service Instructions identified by your TBS Access Code shall bedeemedtobegivenbyyouandshallbeconclusiveandbindingonyouandyouherebyauthorizeustoactonanysuchServiceInstructionsidentifiedbyyourTBSAccessCode.
herein, we shall be entitled, in our reasonable discretion and withoutnoticetorefusetoactonalloranyServiceInstructions;andweshallbeentitled inour reasonablediscretion to requirewrittenconfirmationofyourServiceInstructions(evenwhereidentifiedbyyourTBSAccessCode),andtorefusetoactonanysuchServiceInstructionsunlessanduntilsuchwrittenconfirmationisreceivedbyus.
(a) You must exercise all care to ensure that the TBS Access Code is notdisclosedtoanypersonandshalltakeallstepstopreventforgeryorfraudinconnectionwiththeuseofyourTBSAccessCodeand/ortheoperationoftheTBS.IftheTBSAccessCodeisdisclosedtoanyperson,youmustforthwithgiveuswrittennoticethereof,thereuponyoushallimmediatelyceasetousetheTBSAccessCode.
We may (but shall not be obliged to) at our reasonable discretion tape orotherwiserecordallServiceInstructions,andyouagreetotheuseofsuchtapesorrecordingsandanytranscriptsthereofwhichwemaymakeforanypurposethatwedeemdesirable,includingouruseasevidenceinanyproceedingsagainstyouoranyotherperson.
(c) We reserve the right to act through such agents, contractors orcorrespondentsaswedeemfittocarryoutorprocureanyofthemattersortransactionsgovernedbyorcontemplatedinthesetermsandconditions;youagreethatsuchagents,contractorsandcorrespondentsareemployedatyoursoleriskandexpenseandweshallnotbeliabletoyouforanyact,omission,neglectorwilfuldefaultonthepartofsuchagents,contractorsandcorrespondents.
(e) We shall not be liable for unavailability of the funds credited to yourAccount(s) due to restrictions on convertibility or transferability,requisitions, involuntary transfers, acts of war or civil strife, or othersimilarcausesbeyonditscontrol,inwhichcircumstancesnootherbranch,subsidiary,oraffiliateofoursshallberesponsibletherefore.
(f) NothinginthesetermsandconditionsshallconferonanythirdpartyarighttoenforceanyprovisionhereinandtheprovisionsoftheContracts(RightsofThirdParties)Act(Cap.53B)whichmightotherwisebeinterpretedtoconfersuchrightsshallnotapplyandareexpresslyexcludedfromapplyingherein and no consent of any third party is required for any variation
(ii) anysuchbureautotransferanddisclosetoanyfellowmemberorsubscriberofsuchbureau,any informationrelatingtoyouand/oryourAccount(s)(andforsuchpurposes)asmaybepermittedunderorpursuanttotheBankingAct(Chapter19).
