WELCOME FROM WELD & OTTERBEIN UNIVERSITY

WELD’s mission is to develop and advance women’s leadership to strengthen the economic prosperity

of the communities it serves. We do this by building programs, events, and a community to support

leadership development and business growth. Research has proven that the prosperity of a region

increases when women share leadership roles in businesses, educational institutions, non-profit

organizations, and government entities.

The main conference will feature over 25 breakout sessions on a variety of topics that will include

elements of this year’s conference theme Acceleration of Change. These sessions will offer something

for everyone and will provide attendees with key takeaways that they can implement in their careers

and businesses to enhance their leadership efficacy. This year’s conference will also feature our first

session on state/county/city boards and commissions – why serve, what skills they look for and how

to apply.

To express appreciation for our corporate members, WELD will provide them the first opportunity to

register for our new corporate board specialty track. This brochure provides a great overview of

the dynamic offering with premier speakers and registration requirements.

Again this year, the conference will feature “Full STEAM Ahead,” a girls’ track for young women

grades 6-12. The young attendees will join the women in the morning briefly at the opening session

then they will depart to engage in an interactive STEAM-based leadership program. During the

day, the girls will collaborate in teams on social innovation projects through hands-on, creative

experiences in Otterbein’s robotics, engineering, 3D printing, art, and computer studios. At the end

of a day’s work, they will have the opportunity to present their projects to conference participants

at the Full Steam Ahead Showcase and Reception.

2018 NATIONAL LEADERSHIP CONFERENCE

CORPORATE BOARD TRACK A wealth of studies shows that when corporate boards include three or more women on them, these companies financially outperform those companies with no women on their boards. In addition, companies with more women on their boards give back more philanthropically to their communities. Therefore, it is vitally important for companies to make inclusion of women on their boards a pivotal strategy to increase the economic performance of their organizations. It is also critical that women be proactive in creating and implementing a personal development plan and strategy to maximize interest in them by corporate board nominating committees.

WELD is excited to announce its 2018 corporate board track that will be conducted in parallel with the main WELD | Otterbein University Acceleration of Change leadership conference. This track consists of three breakout sessions that will feature corporate directors and experts on public company board service. The directors serve on a diverse list of boards that span across a range of industries and geographies. Representatives from premier organizations in the corporate board and gender equity space will also appear as panelists. These sessions will provide attendees the unique opportunity to connect with directors from outside their immediate geography, an important element in the process of searching for board opportunities. To ensure attendees have ample opportunity to engage with the directors and to participate in interactive discussions, session attendance will be capped.

The target audience for the corporate board training track are C-suite executives or senior leaders with a strong interest in or actively pursuing public company board service. More detailed information about the breakout sessions and the outstanding lineup of panelists and moderators is included in this brochure.

Conference Registration Information Corporate members in all WELD’s chapters will have the first opportunity to register for these seats and seats will be offered on a first-come, first-served basis. A limited number of seats are available through sponsorship. Contact Barb Smoot for sponsorship information. Those interested in attending must complete a brief survey by noon on April 9th. The registration link will be sent to employees of corporate members by April 10th and they will have a window until April 20th to register at a discounted rate. At that time, the discounted rate expires and seats may be offered to an extended audience. Those who would like to attend this session are encouraged not to delay registering. OPENING SESSION BIOGRAPHIES

COLLEEN MARSHALL, CO-ANCHOR, NBC4

Colleen Marshall is co-anchor of NBC4 at 6 p.m. and 11 p.m. She also is host of the weekly political program, “NBC4‘s The Spectrum.” She came to NBC4 as a general assignment reporter in 1984. Colleen was promoted to anchor of NBC4‘s weekend news in 1987, then became co-anchor of NBC4‘s weekday news programs in 1992. Colleen received a Bachelor of Arts degree from Point Park University in Pittsburgh. In 2004, Colleen graduated from the Capital University School of Law in Columbus, where she was a member Law Review and the National Moot Court Team. She also passed the bar exam in 2004.

Colleen won four Emmy awards for the health program “I Want To Go Home; A Journey Through Alzheimer’s” and received an Associated Press Award for the series in 2012. She won an Associated Press Best Enterprise Reporting award for the news story “Ashville Drug Bust” in 2010 and a regional Emmy for “Fight For Ohio,” which previewed the 2004 presidential election. Colleen previously won an Emmy for her special report on Ellis Island. In 2001, Colleen and NBC4‘s Mike Jackson were honored by the Ohio Society of Professional Journalists’ for Best Coverage of Minority Issues for “The State of Race.” Colleen also won the 1999 Stonewall Media Award for her series on transgendered people and her work with AIDS causes. Colleen has had two one-on-one interviews with President Barack Obama, one of which was in the White House. Her most memorable story was being in New York City for a week, covering the aftermath of the September 11 terrorist attacks. Colleen currently serves as a board member for Columbus Metropolitan Club and is a member of the Columbus Bar Association. She frequently speaks on behalf of the Alzheimer’s Association of Central Ohio, including the annual Memory Walk, and advocates for the organization at the Ohio Statehouse Memory Day. Colleen was a founding member of the Women’s Leadership Council for the United Way of Central Ohio and she has been an integral part of fundraising events for Make-A-Wish; WELD (Women for Economic and Leadership Development) and NAWBO (National Association of Women Business Owners). Colleen and her husband, Gary, have two children. Garrett graduated from the Capital University School of Law (May 2013). Shannon is studying for an M.B.A. degree at The Ohio State University.

KATHY KRENDL, PH.D., PRESIDENT, OTTERBEIN UNIVERSITY

Kathy A. Krendl, Ph.D., is the 20th president and the first woman to lead Otterbein University, a comprehensive master’s institution of 3,000 students founded in 1847 as one of the first coeducational institutions in the country. During her tenure at Otterbein, the university has won national recognition for its distinctive undergraduate curriculum and its focus on experiential learning. Otterbein is consistently recognized on the President’s Honor Roll of community-engaged institutions. It also consistently ranks in the top tier of institutions for its commitment to a student-centered learning environment. President Krendl has served on a number of central Ohio boards including the Osteopathic Heritage Foundation, YWCA Columbus, Ohio Campus Compact, Westerville Area Resource Ministry, and I Know I Can. She also co-chairs the Ohio Foundation for

Independent Colleges Women’s Scholarship Initiative. Dr. Krendl has taught in the area of Women and Leadership and established the Otterbein Women's Leadership Network to develop regional partnerships promoting opportunities for women of all ages. She also founded the Otterbein Women’s Leadership Advisory Council. President Krendl was awarded the Global Women’s Summit Leadership Award, Living Faith Award, Ohio’s Most Powerful and Influential Women Award, and Deloitte’s WISE Woman Award. In 2015, she was honored by WELD (Women for Economic and Leadership Development) as the first recipient of the Riveter Award. In December 2016, she was honored as a finalist for the CEO of the Year (Large Nonprofit Category) by Columbus CEO magazine. Most recently, President Krendl received the Smart Business magazine 2017 Progressive Woman award, was named a 2018 YWCA Woman of Achievement honoree, and was selected as the Westerville Area Chamber of Commerce Business Person of the Year in 2018.

It seemed like only yesterday that WELD, with nervous excitement, contacted Dr. Krendl to ask her if she might be willing to host our inaugural leadership conference at Otterbein. My how the time flies! Dr. Krendl has generously co-sponsored our conference for all of its 8 years. We will be forever grateful for her generosity and advocacy of WELD’s mission.

Dr. Krendl has supported countless initiatives and organizations focused on improving the lives of women and girls. At our 2015 Keynote Event, WELD presented Dr. Krendl with the first ever Riveter Award – an award given to a woman of courage, passion, commitment,

service, example, inspiration and often sacrifice. Dr. Krendl exhibits all of these traits and so much more. As the first female president of Otterbein, she brought the university to new heights and opened its doors to the community, building innumerable, impactful partnerships.

Oh, how difficult it is to accept changes and transitions, but as Dr. Krendl moves on to her “next,” we must offer her our most heartfelt farewell and blessings. We will miss her terribly. We wish her great joy, strong health and good fortune. And we will always, always remember the incredible leader that she is!

Marsha Conaway is an experienced Human Resources Executive, applying her ability as a recognized business partner and leader through contributing to the organizations strategic vision through achieving growth, innovation and revenue goals. Her experience spans multiple industries (>$10B) through corporate and not for profit engagements. Throughout her career, she also has served on non-profit boards and community committees in various leadership capacities.

JL Conaway Consulting, LLC, provides consulting services to clients on effective Human Resource Strategy, Executive Coaching, impactful leadership strategies, and workshop facilitation. Additionally, specialized services for

performance improvement are available through the use of Lominger Leadership Architect; facilitation of KEPNER and FOURIE’s Problem Solving and Innovative Thinking; Achieve Global and Situational Leadership platforms. Key client services include organizational design, organizational effectiveness through workforce engagement, development of diversity and inclusion strategies aligned with organizational goals and merger/acquisition HR integration.

Marsha has industry experience in telecommunications, automotive insurance, healthcare hospital systems and electric utilities. She obtained her Bachelors of Science in Business from the University of Toledo, and her Masters’ Degree in Business from the Indiana Northern Graduate School of Professional Management.

BARB SMOOT, PRESIDENT & CEO, WELD

Barb Smoot is the President & CEO of Women for Economic and Leadership Development (WELD), the organization that develops and advances women’s leadership to strengthen the economic prosperity of the communities it serves. As WELD’s first president, Barb is the driving force behind WELD’s rapid growth. She serves as primary community liaison, overseeing fundraising, collaborative partnerships and development and implementation of WELD’s strategic initiatives, including WELD’s national expansion.

Barb was selected as Columbus CEO 2017 CEO of the Year for Small Nonprofits. She is one of Smart Business’ 2016 Smart 50 award winners and was recognized as the 2014 NAWBO Columbus Women’s Business

Champion. Under Barb’s leadership, WELD was featured as Community Network of the Year by The Women’s Book. Barb has 20+ years of financial services experience and is a past Fellow in the Society of Actuaries. She is a graduate of Amherst College with a Bachelor of Arts in Physics. Barb is very active in the Columbus community in a variety of ways. Barb is a commissioner on the Columbus Women’s Commission and chairs the Pay Equity Committee. In 2017, Barb joined the national board of National Church Residences and sits on the Audit, Finance & Risk Committee. In addition, she was elected to the National Church Residences Investment Corporation Board. Barb has served on the Board Development Committee for the Girl Scouts of Ohio’s Heartland and on the boards of the Nationwide Federal Credit Union, the Martin Luther King Arts Complex, St. Joseph Montessori School, and WELD.

PANELIST BIOGRAPHIES Kathleen T. Barr Ms. Barr has been an executive in the financial industry for her entire career. She has served in a

variety of capacities and, as a result, fully understands the investment management and mutual fund industries, as well as the challenges and risks associated with the business. Her breadth of experience brings a unique and invaluable perspective to business initiatives. Most recently she served as President and Chief Operating Officer of Productive Capital Management, Inc., a registered investment adviser

serving public entities. She is an independent trustee for the William Blair Funds and is Chairperson of the Compliance Committee. Ms. Barr is a member the Governing Council for the Independent Directors Council serving on the Education and Communication Committee and a member of WELD, Women for Education and Leadership Development, an organization whose mission is to develop and advance

women’s leadership roles in business, communities and on boards.

EXPERIENCE Prior to joining Productive Capital Management, Inc., Ms. Barr served as the Chief Administrative Officer, Chief Compliance Officer, and Senior Vice President of PNC Funds and PNC Advantage Funds. (The funds were previously known as Allegiant Funds, sponsored by National City Bank, which was acquired by PNC Bank in 2008.) As Chief Administrative Officer of the

Funds, she was responsible for Fund Financial and Regulatory Administration Operations, including Custody and Transfer Agent, Compliance and Risk Management of the fund companies. She managed service provider relationships, negotiated vendor contracts, and managed fund budgets, including 12b-1 plans. Ms. Barr worked directly with the Chairman of the Board of Trustees, gaining expertise in all related board meeting matters. She also acted as the primary liaison between the trustees, legal counsel and firm management. As Managing Director of Compliance and Chief Compliance Officer of the

Funds, she designed, implemented and enforced a robust compliance program for both the investment adviser and the mutual funds. She served as the primary interface with the U.S. Securities and Exchange Commission, as well as bank regulators, including the Office of the Comptroller of the Currency and the Federal Reserve Bank. PREVIOUS EXPERIENCE

Before becoming the Funds’ Chief Compliance Officer in 2003 and Managing Director of Compliance for the adviser in 2004, Ms. Barr was responsible for fund administrative duties, as well as Marketing, Product and Distribution of the mutual fund company. During that time, she created an internal and external wholesaling team, whose efforts focused on affiliated channels, third-party broker dealers, and mutual fund platforms. Ms. Barr’s experience includes creating new funds, new share classes, 401(k) products and asset allocation-packaged products, as well as media and public relations programs.

In 2007, Ms. Barr became a member of National City Bank’s Enterprise Risk Management Committee and Corporate Operations Risk Committee, and was responsible for National City’s Institutional Trust, Allegiant Asset Management Company and Allegiant Funds’ risk reporting. The committees analyzed and ranked corporate risk to reduce unanticipated events that would cause adverse impacts on the bank’s capital, earnings, and ongoing business.

In addition to these responsibilities, in 2008, Ms. Barr became the Chief Administrative Officer for Allegiant Asset Management Company, which merged with PNC Capital Advisors, LLC. in 2009. In this capacity, she was – and continued to be post-merger, responsible for Business Administration, Middle Office, Performance Measurement and Equity Trading, and was the primary interface with Finance, Legal, Audit and Human Resources. Ms. Barr served as a member of the Management

Committee, working on the strategic direction of the firm and the Funds. She also chaired the adviser’s Operating Committee, was Co-chair of the Compliance Committee and a voting member of Product, Risk Management, Pricing and Valuation, and Best Execution committees. During her tenure, Ms. Barr and her team worked on several mutual fund re-organizations and registered investment adviser

integrations. Projects included combining investment styles and teams, mutual fund companies, service providers and trading platforms. She also developed institutional sales and client relationship management teams for the adviser, trained various cross-functional groups within the organization and externally on investment management and mutual fund company composition and complexities.

Before joining National City in 1996, she also held executive-level positions at Fifth Third Bank, Society National Bank and Mellon Bank. As a taxable and tax exempt fixed income institutional salesperson and sales manager, Ms. Barr and her team ranked as the top performers for several consecutive years. Ms. Barr received a Bachelor’s Degree in Business Administration from the University of Pittsburgh in Pennsylvania. She held various FINRA Securities Licenses including Series 7, 24, 51, 53 and 24. Joan’s 27 years at P&G culminated in seven years as the Senior Vice President and Officer of Global Consumer & Market Knowledge, leading a team of 1300 people in over 50 countries with a combined budget of over $400 Million. She framed P&G’s strategic direction across a wide range of decisions, and became known as an industry influencer and expert in Strategic Planning, Business Growth, Brand Building, Media (digital, social, and traditional) and Global Consumers. Joan currently serves on five Boards of Directors:

The Oneida Group – glass, tabletop and food preparation products

Recognized as an influential thought-leader within P&G and across the industries of insights, media and analytics. In 2010 Joan was the first market research executive recognized in Advertising Age’s “Top 25 Women to Watch.” In 2014 she was recognized by the Greater Cincinnati YWCA as a “Career Woman of Achievement.” Joan also led P&G’s United Way campaign in 2011 and 2012, delivering 20% of the Greater Cincinnati campaign and receiving the prestigious United Way “Spirit of America” award. Meesha Rosa Senior Director Corporate Board Services Catalyst

Meesha Rosa is the Senior Director, Catalyst Corporate Board Services (CBS)

responsible for developing, communicating, executing Catalyst board

programs/initiatives. Meesha works to increase board diversity by advocating for

gender and racial/ethnic diversity in corporate boardrooms worldwide.

She leads the Catalyst board programs, speaks to corporate audiences on board diversity and women of

color in the workplace, and aligns and works closely with corporate governance organizations, search firms

and Catalyst strategic partners, i.e. Alliance for Board Diversity (ABD), the 30% Club, Women Corporate

Directors (WCD) and the Thirty Percent Coalition.

Meesha joined Catalyst in 1996, to conduct research on women of color in corporate management, and later

a Census of women executives and board directors. She has held research positions at Columbia University

School of Public Health National Center for Children in Poverty, the Department of Sociomedical Sciences,

and at New York City Administration for Children Service’s Management and Statistical Reports Division.

Ms. Rosa received her BA in Africana and Puerto Rican/Latino Studies from City University of New York,

Hunter College, and completed a MS in Urban Policy Analysis and Management, at The New School for

Public Engagement, the Milano School of International Affairs.

JoAnn is a partner and vice-chair of the firm's Corporate Transactions and Securities practice group. Her practice focuses on counseling clients on the formation, registration, and ongoing operation of registered investment companies and investment advisers. With 20 years of experience in the investment management practice area, JoAnn counsels fund sponsors and fund boards, including their independent directors, on a wide range of issues, including product development decisions, mergers and

reorganizations, SEC examinations, and compliance issues. JoAnn works extensively in the “alternative fund” area, including managed futures funds with off-shore subsidiaries, closed-end interval funds, fund-of-fund and master feeder structures, and long-short and absolute return funds, and assists clients to obtain the exemptive orders necessary for those products. Bruce Halbeck Marie Norman LLC, Co-Founding Partner Bruce brings thirty years of experience serving corporate boards and executives, including as an industry practice head for three of the world’s largest executive search firms. Prior to co-founding Marie Norman, Bruce founded and led for seven years Parker Snowe, an executive search firm focused on serving the CEO and executive team needs of a select group of clients. Before building Parker Snowe, Bruce co-led the global insurance practices at Spencer Stuart and Russell Reynolds Associates and led the global insurance practice at Heidrick & Struggles.

Earlier in his career, he served for seven years with Kidder, Peabody, an investment banking firm, where he helped clients around the globe execute mergers, acquisitions, divestitures and capital markets offerings, in both public and private markets. Bruce has worked extensively with board members, private equity owners, CEOs, and other senior executives across the globe. He has represented both the largest and smallest of companies, and all forms of ownership: privately held, publicly traded, mutual and reciprocal. Bruce earned a master’s degree with distinction from the Kellogg School of Management at Northwestern University and holds a bachelor’s degree, magna cum laude, from the University of Wisconsin. He currently serves as a founding member of the board of directors of the Wolcott School, and until recently, he served as a member of the board of the Southeast Chicago Commission.

Suzanne Sinclair-Elsass Marie Norman LLC, Co-Founding Partner Suzanne built her practice and reputation in board search and advisory over many years following twenty years of executive experience with leading global companies. Prior to co-founding Marie Norman, Suzanne led Sinclair Board Advisors, a boutique firm offering board assessment, executive search and consultative services. Suzanne’s expertise includes director recruitment, reconstituting legacy boards, assembling boards for corporate spinouts and IPO’s, and advising CEOs and their

Dina A. Tantra, Esq.

Dina has over 20 years of experience in synthesizing complex issues, identifying new solutions to age old problems and developing win-win situations. She served as CEO and Board Member of Advisers Investment Trust, a $10B AUM mutual fund company. She also started up Beacon Hill Fund Services as a subsidiary of Diamond Hill Investments, in order to create a service arm designed to provide outsourced governance services to asset managers. Most recently, Dina became Executive Vice President of Ultimus Fund Solutions, helping to set and implement the corporate strategic direction.

Prior to joining Beacon Hill, Dina worked at Nationwide Insurance, American Century Investments, BISYS Fund Services, Inc. (now Citi Fund Services) and had extensive interactions with boards of directors providing guidance on strategy, regulations, audit, valuation, governance and succession planning.

Dina was recognized by the U.S. Congress as a high impact leader and was honored by Women for Economic and Leadership Development (WELD) for her positive impact in the community. Deloitte named her in its “Wise Women 10th Anniversary Celebration.” In 2011, she won the inaugural Top Corporate Counsel – Solo Practice award from Columbus Business First.

Ms. Tantra received a B.A. from Pomona College, her law degree from The Ohio State University, and completed an Executive Finance course at The University of Chicago Booth School of Business. She is a member of the Ohio, Kansas and Missouri Bars, holds various securities licenses, and sits on the Advisory Board of Xavier University Cintas Institute for Business Ethics. She participates on a committee tasked with drafting licensing exam questions for individuals to sell complex securities. She also serves on the Board of The Women’s Fund of Central Ohio.
