Background

Hancock Prospecting Ptv Ltd (HPPL)

• HPPL is an Independent, privately owned Australian company that has a proud history with the Pilbara and the iron ore sector, and is one of the longest continuous owners of cattle stations in Australia.

• Executive Chairman since 1992, Gina Rinehart has overseen the HPPL Group successfully develop Hope Downs and Roy Hill mining sites and diversify Into beef and dairy, while continuing exploration for minerals.

• HPPL is Australia's second largest beef producer with a total herd capacity size of over 320,000, and over 25 properties in its portfolio.

• HPPL has ownership Interests in multiple premium cattle stations in the north west of Australia Including MuIga Downs (WA), Fossil Downs (WA), Liveringa (WA), Riveren (NT), Nerrima (WA), Inverway (NT), Aroona (NT) and WIIleroo (NT).

• HPPL has expanded its interest Into Wagyu beef, producing premium branded beef product for the domestic and overseas markets, under the Kidman and 2GR brands. They have also partnered with award winning Bannister Downs Dairy (WA).

• HPPL plans to invest cash flow from its beef operations to continue to grow and develop Its agricultural business to become a leading beef and dairy business In Australia.

S. Kidman & Co (Kldman)

• In December 2016, 100% of the shares of S. Kidman & Co Ltd (Kidman) were sold to the joint venture company, Australian Outback Beef Pty Ltd (AOB), owned 67% by HPPL and 33% by Shanghai CRED Real Estate Stock Co Ltd.

• Left out of AOB's purchase was defence-sensitive Anna Creek Station and Its outstation The Peake, which was purchased by the neighbouring Williams Cattle Company.

• Founded by Sir Sidney Kidman in 1899, Kidman is one of the Australia's largest beef producers with 12 cattle stations (including outstations), over 80,000 square kilometres, a herd carrying capacity of 171,000 cattle across South Australia, Western Australia, Queensland and the Northern Territory, and a bull-breeding stud farm (Rockybank).

• The objectives of the AOB purchase of Kidman's is to grow the business, invest in innovative technologies to improve business practices and enhance efficiencies, and to develop new export markets.

• New game-changing technology includes digital UHF communications systems, walk over weighing, solar power, remote bore monitoring and use of drones,

• Kidman has an office in North Adelaide, and South Australian properties in Innamincka, Macumba, and the Tangali Feedlot at Sedan.

• In March 2018, Kidman announced an expansion of the Tungall Feedlot at Sedan, east of the Barossa Valley, from 3000 head of cattle to more than 10,000.

David Larkin, CEO Hancock Agriculture

• David Larkin AM commenced as the CEO of HPPL's Agricultural interests on 4 September 2017. David has over 30 years' experience in the meat industry including running his own vertically integrated beef business, Atron Enterprises.

• He spent six years as Chairman of the Australian Meat Industry Council. During his term as AMIC Chair he played important roles in developing trade access agreements and removing trade barriers for Australian beef in emerging markets like China, as well as the US, Japan and Korea.

• His list of prestigious awards include AMIC's Distinguished Australian of the Year award in 2009 and in 2014 both the Australian Export Heroes Award and Red Meat Achievers Award as well as being the recipient of an AM in the Queen's Birthday Honours in June 2017.

Discussion

Pastoral Leases

• In South Australia, Kidman has two crown leases, the Macumba pastoral lease northeast of Oodnadatta in the far north of the State, and the Innamincka Regional Reserve near the north-east corner of the State.

• The Macumba pastoral lease is regulated under the Pastoral Land Management and Conservation Act 1989. Macumba is 11,063 square kilometres in area, and has a stocking maximum of 10,000 head of cattle.

• The Innamincka Regional Reserve is regulated under the National Parks and Wildlife Act 1989, and Is 13,552 square kilometres in area.

• Both leases are operated as beef cattle enterprises, which are managed in conjunction with other S Kidman & Co pastoral leases in Queensland.
