Mr. Cardenas is in violation of:Article VIII,Section 8, a. (2) "Actions prejudicial OT contrary toor in viotatlon oj theConstitution and Bylaws, Aims and Purposes, Code, Resolutions, Policies or Customs of theLeague;"

1. Mr. Cardenas without National Board approval engaged MAlDEF as the lULAC legalrepresentative in the Texas redistricting lawsuit which is acting contrary to the authorityof the National Board in violation of Article VI, Section 2, Subsection C, (It (2), (3} and(4).

2. Mr. Cardenas continues to challenge, disregard and undermine the authority of theNational Board of Directors by refusing to accept, recognize and acknowledge HoustonDistrlct XVIJI as per the October 2, 2010 directive of the National Board. The latest suchactions taking place June 5, 2011.

3. Mr. Cardenas and ht s cohorts on the Texas State Board accepted District XVIII's dues,membership roster and then refused District VIII involvement in state business which is .acting contrary to the authority of the National Board in Violation of Article VI, Section 2,subsection c, (1), (2),13) and (4).

Article VIII, Sedion 8, a. (8) "Oral or printed denunciations 0/ the League, its r ole o rprocedures Intended to discredit the organization or embarrass its membership and/oro/peers."

1. Mr. Cardenas is sued a press release to media entitled, '(Texas State LULAC Director andDistrict VIII Director DENOUNCE renegade councils for forming i l legal new district." Thispress release made false allegations and was intended to discredit, demean , defameand embarrass members of District XVII I .

2. Mr. Cardenas made false accusations against members of District XV I If and tookdeclaratorv actions of placing these members "not" In good standing which is outside ofhis authority as state director. This action was further intended to discredit, demean,defame and embarrass members of District XVIII.

Mr. Cardenas is in further violation of:

Article VIII, Section BJa. (7) "Improper or immoral conduct:"1. Mr. Cardenas publicly defamed the lU LACVice President of the Southwest by calling her

a "Bar" intended to discredit, demean and embarrass a duly elected officer and nationalboard member.

We haw worked together as members of the Texas Latino Redistricting TaskFo rce to re lea se statewide redistricting plans for Texas Hou se , Senate and C o ng re ss . T od ay wediscussed a congressional redistricting plan that TX LULAC and M ALDEF previously re leased togetheras part of the Task Force, The map features 4 Latino majority districts with no incumbent - thusproviding the opportunity to elect a Latino-preferred candidate in 4 - addi t ional districts. We accomplishthis by making tl.e fo llo w in g c ha ng es to the current map:

I. We create a new congressional District 351n the Dallas FL Worth area.

2. We create a new District 33 based in the Rio Gran de Y aney (Western HidalgoCounty and Starr County).3. We reconfigure District 2R into a new district connecting South San Antonio [0S E A ustin .4 . W e recon figure the H ouston congressional districts to move Rep. Gene Green to aL atin o-B lack co .a litio n d istrict an d create a L atin o-m ajo rity D istrict 36.

In our discussion today, you mentioned several specific questions that TX LULAC has about legalrepresentation by MALDEF. 1am happy to provide the following response:With re-spect to the expenses of the lawsuit, MALDEF would advance legal services, fees, costs andexpenses to TX L ULAC and waive these charges if we lose the lawsuit. If we win, we wi l l seek thefees, costs and expenses from the opposing panics in the lawsuit. As you know, MALDEF typicallydoes not recover rhc full resources it invests in cases. even when our client prevails; for example, in2006, after the last round of successful redistricting litigation, r ,ULAC and GI Forum Were eachawarded only 25o/c of their attorney's fees and costs.With respect to co-counsel, MA.LDEF does co-counsel with other lawyers under certain circumstances.
