1. Introduction
1.1 Purpose This Statement of Work (“SOW”) will define the overall scope and description of work for the Project which is referred to in Attachment G to the Software License, Services and Maintenance Agreement, dated as of November 17, 2000, by and between Company and Client, Incorporated. The services to be performed as part of the Project are addressed herein along with a schedule under which the deliverables will be developed and delivered to Client. Defined terms used herein and not defined herein shall have the meanings assigned to them in the Agreement.
The purpose of the Project is for Company to provide a single source of data visibility for ordering and delivering items for use by Client and its customers. As part of this Project, the system will be enhanced to become a user-friendly fully integrated system where customers can access and process information with greatly reduced data integrity issues and Client will not longer be required to use a legacy product along with Company’s product. Using the New Software to be provided by Company hereunder, even though the data generated at BellSouth has multiple sources, it will be centrally managed and controlled, and allow timely corrective action to be taken by sending notifications and alerts to the user community.
The scope of the effort under this Project encompasses the development of enhancements to the Company software listed in the Description of Work section of this document.
1.2 Background After reviewing the User Requirement Document, Company has produced this Statement of Work document that provides a full description of the work to be performed, the Additional Software being licensed, the maximum fees to be charged and other pertinent details with respect to the Project.
1.3 Scope Client users will utilize the enhanced system in 21 facilities in the southeast United States. The Client’s customers’ users will utilize the system to view data and run reports. The customers’ suppliers will provide data that will be fed and viewed in the system, thereby eliminating the need for the Client’s legacy system. No other computer system will be impacted.
1.4 Definitions, Acronyms and Abbreviations
This section provides the definitions of all terms, acronyms, and abbreviations required to properly interpret the Statement of Work.

Acronym Description
Software defect
A coding error or defect in software that causes a computer program to malfunction. It occurs when the software, which should work as designed, does not do what it is supposed to do because the programmer made coding errors.

2. Description of Work

specifications set forth therein shall be considered the Additional Specifications for the New Software to be supplied and developed hereunder.
All services hereunder will be provided at the rate of $100 per hour. The amounts indicated under the column marked “Maximum Cost” in the matrices below are the maximum costs to be charged for the work indicated. Any and all hours which Company needs to spend over and above such maximum amounts in order for Company to complete such work through final acceptance testing by Client shall be provided by Company at no additional charge or expense to Client.

Items List) Display information based on selection criteria entered in the Item History Tracking (> Tracking) screen. The Tracking Item List report (Tracking Results) will be used to show variances/gaps between requested event, actual scan event and delivery event. This report will provide multiple ways to analyze Pickup and Delivery activity. For example, user could look for items that don’t have an Actual Ship Date. Then, they could drill-down on an item to the Tracking Detail and see the actual scans (e.g., there may be a Pickup or Load, but no Delivery).

Integrate an ad-hoc reporting tool (such as Business Objects) into System that will allow users to design and generate reports on their own. 2.10 System Support
This subsection identifies the System Support work that will be provided by Company relating to this project. Company will provide up to 80 hours of support (software defects, technical support, questions, etc.) during the first two months of operations at no extra charge for the client. 3. Ground Rules
This section provides the known facts and assumptions used to prepare the Statement of Work.

All aspects of acceptance testing will be the responsibility of the client. All elements of the test environment will be installed, configured, maintained and provided by Company. The Client will develop, with the guidance of Company, and provide Company with detailed use cases that are essential in the Company development life cycle.
2 The application will not be deployed until the test plan has been successfully executed and accepted by the client.
3 Multiple Language support is out of scope for this SOW.
