LICENSE. Youhavethenonexclusiveandnontransferablerighttouseonlytheone(1)copyoftheProgramprovidedinthispackagesubjecttothetermsandconditionsofthisAgreement.2. RESTRICTIONS. ExceptasotherwiseauthorizedinwritingbyEnterasys,Youmaynot,normayYoupermitanythirdpartyto:

(a) Reverseengineer,decompile,disassembleormodifytheProgram,inwholeorinpart,includingforreasonsoferrorcorrectionorinteroperability,excepttotheextentexpresslypermittedbyapplicablelawandtotheextentthepartiesshallnotbepermittedbythatapplicablelaw,suchrightsareexpresslyexcluded.InformationnecessarytoachieveinteroperabilityorcorrecterrorsisavailablefromEnterasysuponrequestanduponpaymentofEnterasysapplicablefee.

(b) IncorporatethePrograminwholeorinpart,inanyotherproductorcreatederivativeworksbasedontheProgram,inwholeorinpart.

(c) Publish,disclose,copyreproduceortransmittheProgram,inwholeorinpart.(d) Assign,sell,license,sublicense,rent,lease,encumberbywayofsecurityinterest,pledgeorotherwisetransfer

ThisAgreementshallbeinterpretedandgovernedunderthelawsandinthestateandfederalcourtsoftheCommonwealthofMassachusettswithoutregardtoitsconflictsoflawsprovisions.YouacceptthepersonaljurisdictionandvenueoftheCommonwealthofMassachusettscourts.Noneofthe1980UnitedNationsConventionontheLimitationPeriodintheInternationalSaleofGoods,andtheUniformComputerInformationTransactionsActshallapplytothisAgreement.4. EXPORTRESTRICTIONS. YouunderstandthatEnterasysanditsAffiliatesaresubjecttoregulationbyagenciesoftheU.S.Government,includingtheU.S.DepartmentofCommerce,whichprohibitexportordiversionofcertaintechnicalproductstocertaincountries,unlessalicensetoexporttheproductisobtainedfromtheU.S.Governmentoranexceptionfromobtainingsuchlicensemayberelieduponbytheexportingparty.

THECUMULATIVELIABILITYOFENTERASYSTOYOUFORALLCLAIMSRELATINGTOTHEPROGRAM,INCONTRACT,TORTOROTHERWISE,SHALLNOTEXCEEDTHETOTALAMOUNTOFFEESPAIDTOENTERASYSBYYOUFORTHERIGHTSGRANTEDHEREIN.8. AUDITRIGHTS. YouherebyacknowledgethattheintellectualpropertyrightsassociatedwiththeProgramareofcriticalvaluetoEnterasys,and,accordingly,Youherebyagreetomaintaincompletebooks,recordsandaccountsshowing(i)licensefeesdueandpaid,and(ii)theuse,copyinganddeploymentoftheProgram.YoualsogranttoEnterasysanditsauthorizedrepresentatives,uponreasonablenotice,therighttoauditandexamineduringYournormalbusinesshours,Yourbooks,records,accountsandhardwaredevicesuponwhichtheProgrammaybedeployedtoverifycompliancewiththisAgreement,includingtheverificationofthelicensefeesdueandpaidEnterasysandtheuse,copyinganddeploymentoftheProgram.Enterasysrightofexaminationshallbeexercisedreasonably,ingoodfaithandinamannercalculatedtonotunreasonablyinterferewithYourbusiness.IntheeventsuchauditdiscoversnoncompliancewiththisAgreement,includingcopiesoftheProgrammade,usedordeployedinbreachofthisAgreement,YoushallpromptlypaytoEnterasystheappropriatelicensefees.Enterasysreservestheright,tobeexercisedinitssolediscretionandwithoutpriornotice,toterminatethislicense,effectiveimmediately,forfailuretocomplywiththisAgreement.Uponanysuchtermination,YoushallimmediatelyceasealluseoftheProgramandshallreturntoEnterasystheProgramandallcopiesoftheProgram.9. OWNERSHIP. Thisisalicenseagreementandnotanagreementforsale.YouacknowledgeandagreethattheProgramconstitutestradesecretsand/orcopyrightedmaterialofEnterasysand/oritssuppliers.Youagreetoimplementreasonablesecuritymeasurestoprotectsuchtradesecretsandcopyrightedmaterial.Allright,titleandinterestinandtotheProgramshallremainwithEnterasysand/oritssuppliers.AllrightsnotspecificallygrantedtoYoushallbereservedtoEnterasys.

10. ENFORCEMENT. YouacknowledgeandagreethatanybreachofSections2,4,or9ofthisAgreementbyYoumaycauseEnterasysirreparabledamageforwhichrecoveryofmoneydamageswouldbeinadequate,andthatEnterasysmaybeentitledtoseektimelyinjunctiverelieftoprotectEnterasysrightsunderthisAgreementinadditiontoanyandallremediesavailableatlaw.11. ASSIGNMENT. Youmaynotassign,transferorsublicensethisAgreementoranyofYourrightsorobligationsunderthisAgreement,exceptthatYoumayassignthisAgreementtoanypersonorentitywhichacquiressubstantiallyallofYourstockassets.EnterasysmayassignthisAgreementinitssolediscretion.ThisAgreementshallbebindinguponandinuretothebenefitoftheparties,theirlegalrepresentatives,permittedtransferees,successorsandassignsaspermittedbythisAgreement.Anyattemptedassignment,transferorsublicenseinviolationofthetermsofthisAgreementshallbevoidandabreachofthisAgreement.12. WAIVER. AwaiverbyEnterasysofabreachofanyofthetermsandconditionsofthisAgreementmustbeinwritingandwillnotbeconstruedasawaiverofanysubsequentbreachofsuchtermorcondition.EnterasysfailuretoenforceatermuponYourbreachofsuchtermshallnotbeconstruedasawaiverofYourbreachorpreventenforcementonanyotheroccasion.13. SEVERABILITY. IntheeventanyprovisionofthisAgreementisfoundtobeinvalid,illegalorunenforceable,thevalidity,legalityandenforceabilityofanyoftheremainingprovisionsshallnotinanywaybeaffectedorimpairedthereby,andthatprovisionshallbereformed,construedandenforcedtothemaximumextentpermissible.Anysuchinvalidity,illegality,orunenforceabilityinanyjurisdictionshallnotinvalidateorrenderillegalorunenforceablesuchprovisioninanyotherjurisdiction.14. TERMINATION. EnterasysmayterminatethisAgreementimmediatelyuponYourbreachofanyofthetermsandconditionsofthisAgreement.Uponanysuchtermination,YoushallimmediatelyceasealluseoftheProgramandshallreturntoEnterasystheProgramandallcopiesoftheProgram.
