With this registration each exhibitor will be charged with a registration-fee of € 125,- plus VAT. The registration fee includes the mentioning in the exhibitorlist (print- and online version) as well as at all exhibitor-/hall plans.

• Co-exhibitor: co-exhibitors are admissible from stand type A on and have to be accepted by the promoter. Per co-exhibitor we’ll charge the main-exhibitorwith a fee of € 550 plus VAT. The main-exhibitor will be billed with all costs and held reliable.

• Payment terms: The invoice amount is completely payable during the upcoming 14 days after date of invoice – without deduction.

• Protection of date clause: The exhibitor commits himself to adhere to the protection of date for the following events held by the organizer that accompanythe Rheingolf Show: Rheingolf Party on Feb. 11th, 2011, from 7:00 pm – 12:00 am, and the Rheingolf Award on Feb. 12th, 2011, from 7:00 pm – 12:00 am, in each case taking place at the RadissonBlu-Hotel, Cologne, Germany. Protection of date means that the exhibitor will not undertake, either himself orthrough third parties, any other event meant for more than 10 participants that accompanies the Rheingolf Show or any other golf-related event takingplace in the area of the city of Cologne or in adjacent administrative districts during this time period. Item 6 of the General Condition for Participation andthe General Terms and Conditions applies to any violation of this clause.

GENERAL TERMS AND CONDITIONSfor participation in the exhibitions organised by RMM Rheinische Messe- und Marketing GmbH,

Dieselstrasse 5, 50259 Pulheim / Germany (hereafter referred to as the promoter). Valid from June 2010

1. RegistrationRegistration for the event must be carried out bythe applicant/exhibitor sending the completedand legally binding signed registration form. Insubmitting the registration, the general terms and conditions of the promoter for exhibitionshave been bindingly accepted by the applicant/ exhibitor.

2. Rental agreementThe rental agreement comes into effect when the promoter has agreed, by means of writtenconfirmation, to the participation of the appli-cant. The confirmation of registration can takethe form of a message or the participation invoice.The promoter is not obliged to accept registrationor conclude rental agreements, unless it is expresslyand necessarily required by law.

3. Payment termsUnless otherwise agreed, the participation feemust be paid immediately upon receipt of invoice.Default occurs 21 days after the date of the invoice.Payment of the participation price, as well as the fee for the participation of co-exhibitors, is a prerequisite for occupying the exhibition space, aswell as receiving the exhibitor passes. In the caseof payment arrears, the promoter is entitled tocharge arrears interest to the amount of 3%above the respective rate of the German FederalBank. Where written reminders are necessary, afee of 25 Euro will be charged in each case.

Claims regarding the invoice must be made in writing to the promoter within a period of 14 daysafter receipt of invoice.

4. Co-exhibitorsThe participation of the applicant does not meanthat a contract has been made between any co-exhibitors registered by him, or additionalrepresented companies, and the promoter. Takingon co-exhibitors is subject to a fee. The fee mustbe paid by the applicant. It can also be invoiced inretrospect by the promoter. The exhibitor isobliged to ensure that his co-exhibitors, and anyadditional companies represented by him, complywith the general terms and conditions of partici-pation and payment of RMM Rheinische Messe-und Marketing GmbH for exhibition, as well as theorders of the exhibition management. The exhibi-tor is liable for any debts of his co-exhibitors andthe additionally represented companies to thesame extent that he responsible for his own. If theco-exhibitors avail of any services of the promoter,the promoter is entitled to charge the exhibitorfor these services. The exhibitor is liable as jointdebtor.

5. Stand allocationThe positioning of the stands is carried out accor-ding to the requirements and possibilities of thepromoter and not according to the order ofregistration. Requested positions will be consideredwhere possible. Without the prior written permis-sion of the promoter, the exhibitor may not swapor divide his stand, or transfer it to a third party,either in whole or in part. In justifiable cases, particularly for safety reasons or in order to main-tain the general appearance of the exhibition, ordue to the thematic division of exhibitor groups,the promoter is entitled to provide the exhibitorwith a different stand to that originally allocated,provided it corresponds with the form and thepositional quality of the original stand. The exhibitor has no entitlement to claims against the promoter, or to a refund of the participationprice, if the stand has been placed elsewhere thanoriginally appointed.

6. Withdrawal / termination of contract It is not possible to be released from the contractafter the binding registration and acceptance havebeen made.

Termination of the contract is only possible withthe written agreement of the promoter. The promoter is not obliged to accept the terminationof the contract. He will only agree if the stand can be rented to another exhibitor, and when acancellation fee of 25% of the agreed participationprice (plus statutory VAT) is paid. The promoterwill not agree to a termination of contract of the stand cannot be rented to another exhibitor.The applicant is then obliged to pay the full participation price. The promoter is entitled toterminate the contract without notice if the registration contains false information, if partici-pation was accepted based on false or incompleteinformation provided by the applicant, or if theexhibitor later fails to fulfil the prerequisites forparticipation. Furthermore, the promoter is entitledto terminate the contract without notice if theexhibitor is in arrears with payment and does notpay, even after the extension period given hasexpired. Any deposits or partial payments that havebeen made will not be refunded.

The promoter is also entitled to withdraw fromthe contract and to demand compensation from theexhibitor if the exhibitor, despite warning, serio-usly contravenes his contractual obligations, inparticular those set out in the registration and in the general terms and conditions. Serious con-travention includes the non-observance of dates –corresponding to the provisions at registration – forthe promoter’s functions that accompany theexhibition (especially the “Rheingolf Awards”).

The promoter’s right to terminate without noticeremains unaffected. In such cases, the applicant isliable to the promoter for any damages that mayarise.

7. Force majeureIf the promoter, for reasons of force majeure, orfor other reasons that are not in his control (e.g.bomb threat or scare, or other circumstances thatendanger safety, declaration of war, catastrophes,failure of electricity supply, cancellation on policerecommendation for technical or safety-relatedreasons, strikes and lock-outs), is forced to clearone or more exhibition spaces, either temporarilyor for a longer period, or to cancel, reschedule orshorten the exhibition, the exhibitor has no claimsentitlement towards the promoter for compensa-tion as a result.

If, in such cases, costs have been accrued for thepreparation of the exhibition, the exhibitor isobliged to bear a proportion of these in relationto the size of his stand.

8. Stand construction / waste disposal /environmental protection / replacing damagesThe finished stands provided by the promoterhave no faults or damages at the time of the handover and may not be altered, changed orremoved by the exhibitor. For safety reasons,“stapling” is strictly forbidden. In cases of contra-vention, the exhibitor is liable for all resultingdamages or personal injury. The standard handovertakes effect with the allocation of the exhibitorpasses. Should the applicant notice damages tothe stand immediately after the handover, thesemust be shown to the promoter immediately andprior to the start of the exhibition. For fire safetyreasons, the stands may not be covered with solidceiling components (sprinkler system!). The use oflifting and transport vehicles of all kinds requiresthe permission of the promoter. If damages arecaused by these vehicles, the exhibitor is solelyresponsible for the costs that result. It is not permitted to insert any bolts, nails or any otherform of anchoring into the exhibition floors. Allalterations to the floor of the stand require thepermission of the promoter. The exhibitor is com-pletely liable to the full amount for any damagesto the floor of the exhibition hall that result from alterations.

Any work that involves the use of circular sawsand other machines that create dust and sawdustwhile setting up the stand, is only permitted withthe use of dust collecting facilities. For the use offree spaces, the stand plans with floor and viewsketches must be submitted for permission to thepromoter in two copies at least six weeks beforethe start of the exhibition. The submission datemust be observed under all circumstances by theexhibitor, or by the exhibition construction com-pany he has commissioned, so that the promotercan guarantee its processing. If it is not possiblefor the promoter to process the design due to thelate submission of the stand plans, etc., the pro-moter can then refuse the stand construction. Thisdoes not entitle the exhibitor to withdraw fromthe contract. Rather, he is obliged to bear all coststhat accrue for the promoter as a result, as well asthe participation price.

The fittings and design of the stands, and therequired construction of same, are matters for theexhibitor. However, the exhibitor must observethe character and appearance of each exhibitionand exhibition. In this context, the promoter isauthorised to prescribe changes to the standdesign, as long as these are not unreasonable forreasons of excessive effort or expense. Exhibitiongoods that could cause a considerable disturbanceto the operation of the exhibition due to theirappearance, smell, noise, vibration or similar cha-racteristics, particularly those that lead to seriousdanger, or the restriction of other exhibitors, visitors to the exhibition or to the exhibits of otherexhibitors, must be removed immediately uponthe request of the promoter. The exhibitor is alsoobliged to do so when he has pointed out suchcharacteristics during registration and the promoterhas agreed to the participation. If the exhibitordoes not comply immediately with the demandsof the promoter, the promoter is entitled to removethe exhibition goods in question at the cost andrisk of the exhibitor or to close his exhibitionstand, without creating any claims entitlement onthe part of the exhibitor towards the promoter. Bythe end of the dismantling period, which is madeknown for each event, the exhibitor must removewithout trace all stand construction material, allfittings and exhibits and all other exhibition items,and must return the exhibition space to its originalcondition. Nothing may be left behind on theexhibition area. If the exhibitor does not complywith this obligation, the promoter is entitled todispose of all matter left behind by the exhibitorafter the end of the dismantling period and tocharge the exhibitor for all costs that result, inparticular labour costs, transport costs as well ascosts for the removal and disposal of waste, bulkrubbish and hazardous material. In so far as thepromoter’s staff is employed to do so, these costswill be calculated at the discretion of the promoter.If costs are caused by many exhibitors, the distri-bution of these costs among the individual exhibitors will be determined at the discretion ofthe promoter. In addition, a contractual penaltywill be charged to the amount of € 1.500,- foreach case of contravention of the provisions agreedupon and outlined in No. 8. This contractual penalty must be paid by the exhibitor in additionto the participation and disposal costs. It is reque-sted that environmentally friendly and reusablematerials be used in the construction and decora-tion of the stand.

9. WarrantyClaims regarding any defects of the stand or theexhibition space must be made in writing to the promoter immediately after occupation of thestand, at the latest by 9 p.m. on the first day of the exhibition, so that the promoter can removeany faults. Later claims will not be considered anddo not represent an entitlement to claims against the promoter.

10. Presentations / advertisement at stands / advertising spacesAll kinds of presentation (e.g. operation of machi-nery, slideshow, film and sound presentations,fashion shows) require the prior written permis-sion of the promoter. The promoter is entitled,despite prior permission, to restrict or forbid anypresentations that cause noise, optical offense,dirt, fumes or vibrations, or for any other reasonsthat are dangerous or lead to a restriction in theoperation of the exhibition.

Acoustic advertisement may only be carried outwith the prior written permission of the promoter.It must be carried out in such a way that neigh -bouring exhibitors are not disturbed. The use ofstationary or mobile sales and advertising devices,the carrying or driving around of advertisingitems and the distribution of printed material,stickers, and samples outside of the rented stand(e.g. hall aisles and entrance buildings) requiresthe express permission of the promoter.

It is also not permitted to hang company namesor advertisements on walls or columns, or in frontof or beside the rented stands. It is forbidden to hang stickers in the exhibition areas. The promoter is entitled to remove, cover or other-wise prevent advertising that contravenes theabove mentioned regulations at the cost andrisk of the exhibitor.

10a. GEMABy law, the permission of the German Society forMusical Performing Rights and MechanicalReproduction Rights (GEMA) must be obtainedfor musical reproductions of all kinds, accordingto the legal provisions regarding copyright. Anymusical reproduction that has not been registeredmay lead to compensation claims from GEMA (§ 97 copyright law). Registration and enquiriescan be made at:

Acoustic and optical presentations also requirethe permission of the promoter. Permission willonly be given on the condition that highest standard noise volume of 70 decibels will not beexceeded when operating the system and thatthe work of neighbouring stands will not be disturbed.

In instances of repeated non-observance ofthese rules, the provision of electricity to theexhibitor’s stand may be cut off, without consi-deration of the resulting failure of the electricitysupply to the stand as a whole. The exhibitor has no claims entitlement for the repayment ofdamages caused indirectly or directly by theinterruption of the electricity supply. The burdenof proof for the observance of the rules lies with the exhibitor.

Blinking or turning advertising items, as well asrunning text at the edges of the stand requirethe permission of the promoter. Otherwise, allforms of advertising are allowed within thestand rented by the exhibitor, as long as it is notintrusive, does not contravene legal regulationsand is not of an ideological or political nature.

11. Technical equipmentThe promoter is responsible for the generallighting and heating of the exhibition areas.Connections for alternating currents (230 V) canbe used for a fee. All electrical devices and systemsmust comply with DINA/DE regulations and CEstandards. Water connections are not foreseen.The exhibiting of vehicles as well as stand installations with open fire requires the expresswritten permission of the promoter.

12. Acceptance of exhibition goodsThe promoter will not accept shipments intendedfor an exhibitor and is not liable for any lossesthat may result from incorrect or late delivery.The exhibitor is not entitled, unless otherwiseagreed in advance, to determine the promoteras recipient of goods shipments, exhibits, standconstruction materials, information material orsimilar. In the case of infringement, the exhibitor

must repay the promoter all costs, in particularalso shipping costs, that result from acceptanceand, where applicable, storage. The exhibitor isnot entitled to derive claims against the promoterto from any complaint that he accepted suchshipments without checking the correctness and completeness, that he did not check ship-ping and transport invoices, or that he did notproperly store and maintain the goods.

The storage of packaging material of all kinds in the exhibition areas and stands, in the foyer, inthe corridors and stairwells, is forbidden. Thepromoter is entitled, should the exhibitor refusea demand to immediately remove illegally storeditems, to have the items removed at the cost andrisk of the exhibitor.

13. Liability of the promoter The promoter is liable only in cases of intent orgross negligence. In cases of minor negligence,the promoter is only liable for the contraventionof essential contractual obligations, in particularthe primary contractual obligations. In the caseof minor negligence, the promoter is not liablefor subsequent damages, and his liability is other-wise restricted only to twice the sum of the netparticipation price. These limitations of liabilityapply only to commercial persons and legal entities.

These limitations of liability do not apply in favourof the promoter’s obligatory event insurance.

Towards exhibitors who are commercial entities,the promoter is under no circumstances liable fordamages and loss caused to the goods broughtby the exhibitor, or to the stand equipment,unless this is obliged by law. In this case, it isimmaterial whether the damages or loss takeplace before, during or after the exhibition. Theexhibitor, for his part, is liable for any damagesthat are caused by himself, his employees, hisagents, co-exhibitors or his exhibits and equip-ment to persons or items. The exhibitor under -takes, in all activities, to observe accident prevention regulations and safety provisions.

14. SurveillanceThe promoter will provide for the guarding ofthe entrances and exits to the exhibition halls.However, with regard to the size of the exhibitionarea and the number of persons who will spendtime there, the promoter cannot guarantee aseamless surveillance and control. Rather eachexhibitor is himself responsible for the guardingof his stand and his exhibits. Relevant guards canonly be booked from the promoter. Exhibitorsare expressly informed that increased risks totheir exhibits could occur during the constructionand dismantling stages. Valuable and easilymoveable exhibition goods should always belocked away at night. Under no circumstances isthe promoter liable for the theft of or damagesto exhibition goods. The exhibitor is expresslyreferred to his own insurance possibilities and itis recommended to reasonably insure againstrisks that may emerge as a result of or in thecontext of their rental agreement.

15. Cleaning / waste disposalThe promoter will arrange for the cleaning ofhalls and aisles. The cleaning of the stand is the responsibility of the exhibitor and must be completed daily before the event opens. Inarran ging for the stand to be cleaned, the exhi-bitor des must utilise the cleaning firm employedby the promoter. Disposal of construction wasteand boxes is made at the cost of the exhibitor.

16. CateringThe provision of food and drink within the exhi-bition hall is the sole responsibility of the pro-moter or the tenants engaged by the promoter.The sale of goods for consumption without thepermission of the promoter is not permitted. It is permitted to give away goods intended forconsumption free of charge.

17. Third-party industrial property rightsThe promoter expects the exhibitors to observethe industrial property rights of other exhibitors.If an exhibitor displays counterfeit products, or if

the promoter becomes aware, by means of proofof a legal decision, that an exhibitor is infringingthe property rights of another exhibitor withone or many items, with printed matter, adverti-sing, or in any other manner, the promoter isentitled, but not obliged, to remove the offen-ding item, printed matter or advertising materialfrom the stand and to keep it until the end ofthe exhibition event, to close the stand of theoffender without compensation, and/or to banhim and his personnel from the exhibition hall.He is furthermore entitled to ban the offenderfrom future exhibition events without compen-sation. Should such measures prove to havebeen unjustified in retrospect, no claims fordamages can be made against the promoterunless he is guilty of gross negligence or intent.

18. Working and exhibitor passesShould persons be found on the exhibitiongrounds that are wearing exhibitor passes, butare not actually exhibitors, the promoter mayeject the person from the exhibition groundsand confiscate the exhibitor pass. Any theft orloss of a working or an exhibitor pass must bereported to the promoter immediately.

19. Verbal agreementsAll verbal agreements, individual permissions andspecial regulations are only valid upon writtenconfirmation by the promoter.

20. Night closing timeThe night closing time begins 1 hour after theexhi bition closing time and ends 1 before theexhi bition opens. During the night closing time,persons may only be present in the exhibitionareas with the special written permission of thepromoter. It is forbidden to spend the night inthe exhibition areas.

21. LimitationAll claims of the exhibitor against the promoterresulting from the stand rental and form all connected legal relationships are limited to 3 months, unless otherwise determined by law.The limitation period begins at the end of themonth in which the last day of the exhibition is held.

22. Place of fulfilment / applicable law / jurisdiction / alteration of the legal form of thepromoterIn so far as the exhibitor is a trader, a legal entityunder public funding or special federal funding,it is agreed that Cologne is the place of fulfilmentand jurisdiction, also for all payment obligations.The promoter is also entitled to prosecute theexhibitor at a court based in his location if hewishes. All rights and obligations of the promotertransfer to his successor in a changed legal form.German law exclusively applies.

23. Verbal agreements/severability clauseIn order to be legally valid, verbal agreementsmust be fixed in written form. These terms andconditions of participation, or contract, remainlegally valid even if individual provisions shouldbecome invalid. The provisions in question mustbe replaced by others that correspond as closelyas possible to the intended commercial purpose.
