NOTICE INVITING TENDER

UNDER TWO BID SYSTEMS

Tender for Contractual Disposal of LOW POLYMER WAX

On Monthly Basis from OPaL Petrochemical Complex, Dahej

ONGC Petro additions Limited (OPaL) is a petrochemical company, incorporated under The Companies

Act 1956, promoted by Oil and Natural Gas Corporation (ONGC) and co-promoted by GAIL and GSPC.

OPaL has already commissioned one of the largest petrochemical complex in Asia at Dahej.

OPaL invites bids under two bid system, (Part-I i.e. Techno-Commercial Part & Part-II, i.e. Price Part)

for the subject tender for a period of 12 contractual months. The tender may further be extended for

a period of 1 year at the same terms & conditions as being elicited, on sole discretion of OPaL.

A. The subject tender can be downloaded from OPaL website under “Active Tender” section.

Mere obtaining tender document through OPaL website shall, however, not be construed that

the bidder/agency is considered qualified.

B. Bidders are advised to read the instructions for participating in the tendering process carefully

at Annexure I including “Schedule For Invitation Of Bids”.

C. Bidders are advised to quote strictly as per directions, terms and conditions of the tender

documents and not to stipulate any deviations/exceptions.

D. Bidders are requested to raise all clarifications related to tender before the submission of bid.

Bids with any deviation/ queries will not be considered or accepted later on and bidders to

ensure compliance of all provisions of the bidding document.

E. OPaL reserves the right to accept or reject any tender in part or full, without assigning any

reason whatsoever.

F. OPaL will not be responsible for non-submission of bid due to any technical problem at bidder’s

end.

G. Any addendum/corrigendum/date extension in respect of this tender shall be issued on our

website only. No separate notification shall be issued in the press or individual prospective

bidder(s). Bidders are therefore requested to regularly visit our website to keep them updated.

CONTENTS OF BIDDING DOCUMENT

1. The Low Polymer Wax sales required, bidding procedures etc are described in the bidding

document.

2. The bidder is expected to examine all instructions, forms, terms and specifications in the bidding

documents.

3. Failure to furnish all information required by the bidding documents will be at the bidder’s risk.

Tenders not complying with tender conditions and not conforming to tender specifications will result

in the rejection of its bid without seeking any clarifications. However, OPaL at its discretion may

ask the bidders to comply/conform within stipulated time as the case may be.

1.1. Contract Validity: Contract will remain valid for the entire period of the contract i.e. for the

period of 12 months*. The contract may further be extended for a period of 1 year at the same

terms & conditions as being elicited, on sole discretion of OPaL.

However; OPaL reserves the right to terminate the contract without assigning any reason thereof.

* Contractual month starts from the date of acceptance of NOA issued to successful buyers.

1.2. Polymer Waste Material Availability: The availability of waste material i.e. Low Polymer Wax

for disposal against the subject tender is listed at Appendix 1 to Annexure-I.

1.3. Price and Price Validity: The bidders are required to quote discount/dispensation on the price

benchmark as mentioned in the tender document which would determine the disposal price

(Basic Price). The finalized discount rate shall be valid for the entire contract period. Price will

remain valid for the entire period of the contract for 12 months.

1.4. Filling of tender documents: All interested bidders have to quote their

discount/dispensations in percentage terms (positive values), upto two places of decimals in

the format provided. No other form of price bid shall be accepted and the tender shall be

summarily rejected.

1.5. Bidder Participation: Bidders participating in the instant tender are required to be Actual

users/Processors of Low Polymer Wax in the instant tender. Bidders will have to submit

suitable declaration that they procure material to convert and/or use it make end products

mentioning the end products and its sales values in period under consideration which may be

supported by the audited financial report. Relevant documents must support capital

expenditure made by the entity for the purpose of assets creation.

1.6. Pre-Qualification Criteria (PQC): Pre Qualification Criteria (PQC) for the bidder, as defined

above, participating in the bids are as follows:

A. The bidder should have a Minimum Average Annual Net Turnover* of Rs 4.9 Crs in

FY16-17 and FY 17-18 or FY 17-18 and FY 18-19; subject to availability of relevant documents

reports in support of the same.

B. The bidder has to submit documentary proofs (Purchase Invoices/Import bills**) for

at least 60 MT in the first fiscal period under consideration and 75 MT in the second fiscal

under consideration; i.e. in last two completed fiscal years as mentioned above.

*Net Annual Turnover: The annual net turnover of the bidder in relevant business (sourcing

Low Polymer Wax and converting into end products) should be supported by audited balance

sheet of respective financial years in support of its claim. Net Annual turnover will be

considered only for the firm in the name of which the bid is being submitted.

**Purchase Invoices/Import Bills: The Xerox copies of purchase invoices needs to be duly

signed and stamped by the authorised signatory/ies.

1.7. Period for removal of Polymer waste from OPaL Premises by the successful bidder:

The overall estimated annual and monthly quantity of material is detailed in Appendix 1 to

Annexure-I which may vary +/-20% as per availability of material from the plant. The estimated

monthly quantity available for disposal from OPaL complex shall be emailed to the successful

bidder(s) at the close of the previous month/beginning of the month and the successful bidder(s)

is expected to lift the material within the same month subject to limits prescribed for non-

imposition of penalty as per clause 2.3.3 / 2.3.4 / 2.3.5 of Annexure-II.

1.8. Security Deposit (SD): The buyer within 10 days of the issue of LOA shall deposit with OPaL,

a sum equal to 10% (TEN PERCENT) value of the total contract value along with

applicable GST on the SD (i.e. @18%), towards Security deposit cum Performance

guarantee either in the form of Performance Bank Guarantee executed by Nationalised/

Scheduled Banks, valid for period of completion of contract plus 02 months or by direct e-

payment mechanism (RTGS). The SD will be computed on the basis of price prevailing on the

day of issuing LoA to the party.

2. PREPARATION OF BIDS

2.1. Language and Signing of Bid

2.1.1. If a Bidder submits or participates in more than one bid, such bids shall be disqualified.

2.1.2. The bid prepared by the bidder and all correspondence and documents relating to the bid

exchanged by the Bidder and the OPaL shall be written in English language. Supporting

documents and printed literature furnished by the Bidder may be in another language

provided they are accompanied by an accurate translation of the relevant passages in

English, in which case, for purposes of interpretation of the bid, the translation shall prevail.

2.1.3. Bids shall be submitted in the prescribed bid proforma duly filled in and signed and should

be returned intact.

2.1.4. In the event of the space on the bid proforma being insufficient for the required purpose,

additional pages may be added. Each such additional page must be numbered consecutively,

showing the tender number and should be duly signed. In such cases reference to the

additional page(s) must be made in the bid.

2.1.5. The bid proforma referred to above, if not returned or if returned but not duly filled in will

be liable to result in rejection of the bid.

2.1.6. The Bidders are advised in their own interest to ensure the nature of bidders (Ref

1.5 of Pg 6) that their requirement for Pre-Qualification Criteria (PQC, Ref 1.6 of

Pg 6) are complied within their bid, failing which the offer is liable to be rejected.

2.1.7. The bids can be submitted duly filled in and complete in all respects shall be submitted

together with requisite information and ANNEXUREs/Appendices. It shall be complete and

free from ambiguity, change or interlineations.

2.1.8. The bidder should indicate at the time of quoting against this tender their full postal and fax

addresses.

2.1.9. The Bidder shall sign its bid with the exact name of the firm/company to whom the

agreement is to be issued. The bid shall be duly signed and sealed by the authorized

signatory of the Bidder's organization. The bid should be signed by the following person(s)

followed by seal of the firm/company.

a) Proprietorship Firm: Proprietor/ Authorized person with Power of Attorney* (duly

notarized/ registered) from proprietor.

b) Partnership firm: All partners/ any one partner with Power of Attorney* (duly notarized/

registered) duly issued by the partnership firm and signed by all other partners

authorizing him to sign the bid on behalf of the partnership firm.

c) Private/ Public Company: Authorized signatory of the company.

Authorisation needs to be supported by Board Resolution of the Company/Power of

Attorney* duly issued by the Company/Articles of Association of the Company.

Following applicable supporting documents compulsorily needs to be submitted by the

company (either notarized/registered)

(i) Extract of Board Resolution of the company wherein authorized signatory has been

authorized;

(ii) Power of Attorney* duly issued by the company authorizing the person concern to sign

the Bid;

(iii) Extract of Board Resolution of the company wherein resolution for issuance of Power

of Attorney has been passed;

(iv) Extract of Board Resolution of the company wherein authorized signatory has been

empowered to delegate his power to another employee of the company;

(v) Relevant Extract of Articles of Association of the company.

d) Co-operative society: Chairman/Authorized representative with Power of Attorney*

(duly notarized/ registered) duly issued by the Society and signed by authorized

members of board.

* Power of Attorney (duly notarized/registered) should be typed/printed on a Non-Judicial

Stamp paper duly issued in favour of the firm/company/society as the case may be.

2.1.10. The bidder shall clearly indicate their legal constitution and the person signing the bid shall

state his capacity and also source of his ability to bind the Bidder.

2.1.11. The Power of Attorney or authorization, or any other document consisting of adequate proof

of the ability of the signatory to bind the bidder, shall be annexed to the bid including but

not limited to the certified copy of extract of Board Resolution on the letter head of the

Company/ Firm/ Society recording proper authorizing with power to delegate authority, if

any, in form of the signatory or another person. OPaL may reject outright any bid not

supported by adequate proof of the signatory's authority.

2.1.12. Any interlineations, erasures or overwriting shall be valid only if they are initialled by the

person or persons signing the bid.

2.1.13. The complete bid including the prices must be written by the bidders in indelible ink. Bids

and or prices written in pencil will be rejected.

3. EARNEST MONEY DEPOSIT (EMD)

3.1. Earnest Money Deposit (EMD) of Rs. Twenty Seven Lakh Fifty Seven Thousand only (Rs

27,57,000/-) shall be furnished in the form of D.D./ Pay Order drawn in favour of “ONGC Petro

additions Limited” payable at Vadodara.

* Includes GST@18% applicable on EMD Amount.

3.2. D.D. for EMD (along with applicable GST) must be placed along with tender (unpriced) bid

document in the sealed envelope.

3.3. Cheques are not acceptable as Earnest Money Deposit under any circumstances and in such

cases Tender document will not be considered.

3.4. Tender without EMD will not be considered for further evaluation and rejected outright.

Bids not accompanied by EMD shall be considered as non responsive and such Bids will not be

considered for further evaluation and rejected outright. EMD amount will not carry any interest.

3.5. Release of EMD:

3.5.1. The process for refund of EMD of bidders disqualified during techno-commercial bid

evaluation shall be initiated after freezing of techno-commercial evaluation and EMD

instrument, thus submitted to us, shall be returned within 30 days of bid evaluation.

3.5.2. The process for refund of EMD of other than successful bidders after opening of the

price bid shall be initiated after LoA is placed on to the successful bidder(s) and EMD

instrument, thus submitted to us, shall be returned within 30 days from the date of issue

of LoA to successful bidder.

3.5.3. EMD of the successful bidder shall be released / adjusted towards advance payment

after submission of Security Deposit.

4. PROCEDURE FOR SUBMISSION OF TENDER

4.1. Tenders are invited under two bid system i.e.

➢ UNPRICED BID (Covering Latter containing EMD, relevant documents such as copy of

PAN Card, IEC number, Suitable Declaration in support of being an actual

user/processor of Low Polymer Wax (as per 1.5/Pg 6 of tender doc), Audited

Balance Sheets and Purchase Invoices/Import Bills (as per 1.6/Pg 6 of tender doc)

as required supporting the required turnover defined in PQC, Authorisation Letter

for tender signatory, Tender Document stamped and signed (without any deviation),

checklist duly filled in, along with all relevant Appendix to Annexure-I etc.)

and

➢ PRICE BID.

4.2. Submission of Bids: Bids are to be submitted in sealed covers as under;

• Envelope 1: "Unpriced bid":

The First Sealed Cover will contain Un-priced bids having all details but with price columns

of the Price Format(s) (ANNEXURE III) blanked out. However a tick mark (√) shall be

provided against the item of the Price Format to indicate that there is a quote against the

item in the Price Bid.

All the pages of the tender document needs to be stamped and signed by the

Bidder.

• Envelope 2: "Price Bid":

The “Price Bid” shall contain only the Price Format(s) at ANNEXURE III. Bidders have to

quote a material wise discount/dispensation as percentage of the benchmark

grade (OPaLene HD M6008) as described. The % discounts shall be indicated in

figures only (upto 2 places of decimal).

Basic Price arrived at after incorporation of the applicable discount/ dispensation shall be

exclusive of taxes and duties which shall be payable extra as applicable, at actuals, by the

bidder at the time of removal of material from OPaL Petrochemical Complex, Dahej SEZ.

• Unpriced Bid and Priced Bid shall be kept in separate cover(s) clearly marked that the

envelopes represent (i.e. either Unpriced Bid or Priced Bid). Both the covers should be

kept in a larger envelope bearing the tender number and date of closing/opening of

tender prominently underlined, along with the address of OPaL’s Office as indicated.

• The cover shall indicate the name and complete address of the Bidder to enable the

bid to be returned unopened in case it is declared "late". Any bid received after deadline for

submission of bid, will be rejected and returned unopened.

• The right to ignore any offer, which fails to comply with the above instructions, is reserved

with OPaL.

• Price bids, which remain unopened with OPaL, will be returned to the concerned bidders

within 10 (ten) working days from the date of issue of LoI.

• Any change in quotation after opening of the tender WILL NOT BE CONSIDERED.

• OPaL will not be responsible for the loss of tender form or for the delay in postal transit.

• Tenders will not be accepted after the time and date fixed for the receipt of

tenders as set out in the Tender Notice or subsequent extensions, if any.

• A bid submitted without EMD or incomplete bid will not be considered and the

same will be rejected outright.

• Any conditional tender will not be accepted.

• Any correction or alteration is not allowed in the Price Bid.

• The bidder shall ensure that each page of the tender and all other enclosures appended to

it are signed and stamped by the person authorized to sign the tenders, as a token of having

read and understood the terms and conditions contained therein before filing the tender

document for bid process.

5. EVALUATION OF BIDS

Evaluation and Comparison of Bids

Evaluation and comparison of bids will be done as per below guidelines:

• The prices should be quoted strictly as per price format at ANNEXURE III. Item-wise

quoted discount/dispensation as indicated in price bid of bid document will be considered

for arriving at the Basic Price.

• LoA shall be issued based on the clause 2.4 of Annexure-II describing basis of allocation

of material.

• Taxes and duties as applicable shall be paid by the bidder extra at actual at the

time of removal of the allotted items.

6. GENERAL INSTRUCTIONS TO BIDDERS

6.1. Any effort by Bidder or Bidder’s Agents, Consultant or representative, howsoever described, to

influence OPaL in any way concerning scrutiny / consideration / evaluation / comparison of the bid

or decision concerning the award of the contract shall entail rejection of the Bid.

6.2. Bidders have to quote a material wise discount/dispensation as percentage. The %

dispensation/discounts shall be indicated in figures only (upto 2 places of decimal).

It may be noted that OPaL revises its price on monthly basis or whenever market

demands so, by issuing a price circular in this regard. The last Price List as declared by

OPaL is annexed at Annexure-IV as Price reference which may be considered by the

bidders while preparing bids.

6.3. Whenever there is a duplication of clause either in the terms and conditions or in the agreement,

the clause, which is more beneficial to OPaL, will be considered applicable at the time of any

dispute.

6.4. SUMMARILY TERMINATION OF CONTRACT DUE TO SUBMISSION OF FALSE

DOCUMENTS/INFORMATION:

6.4.1. Bidders are required to furnish the complete and correct information/documents required

for evaluation of their bids. If the information/documents forming basis of evaluation is

found to be false/forged, the same shall be considered adequate ground for rejection of

the Bids and forfeiture of Earnest Money Deposit.

6.4.2. In case, the information/document furnished by the bidder forming basis of evaluation of

his bid is found to be false/forged after the award of the contract, OPaL shall have full

right to terminate the contract and get the remaining job executed at the risk & cost of

such bidder without any prejudice to other rights available to OPaL under the contract

such as forfeiture of Security Deposit, withholding of payments etc.

6.4.3. In case the issue of submission of false document comes to the notice after execution of

the work, OPaL shall have full right to forfeit any amount due to the bidder along with

forfeiture of Security Deposit furnished by the bidder. Further, such vendor/bidder shall

be blacklisted for future business with OPaL.

6.5. Eligible Bidders :

A. Bidders shall, as part of their bid, submit a written power of attorney authorizing the

signatory of the bid to bind the bidder.

B. The bidder shall not be under a declaration of ineligibility by OPaL for corrupt or fraudulent

practices as defined in the tender document.

C. The bidder is not black listed by any Government Department/ Public Sector or Private

company. For the same bidder shall submit the Declaration.

6.6. One Bid for single bidder: A single bidder can submit only one bid. A bidder, who submits or

participates in more than one bid, will be disqualified. Further, bidding entities with common

directors/partners shall not be considered.

6.7. Clarification of Bidding: For any further clarifications, concerned officials at tender document

issuing offices may be contacted.

6.8. Right to vary Quantities: OPaL reserves right to vary quantity either at the time of award of

order or in between the currency of contract. The quantity may either be increased or decreased

at the sole discretion of OPaL.

6.9. Cost of Bidding: The bidder shall bear all costs associated with the preparation and submission

of the bid, and OPaL will in no case, be responsible or liable for these costs, regardless of the

conduct or outcome of the bidding process.

6.10. Zero Deviation: Bidders to note that this is a zero deviation tender. OPaL will appreciate

submission of offer based on the terms and conditions in the enclosed General Purchase

Agreement, Special Conditions of Contract (SCC), Scope of tender, technical specifications etc. to

avoid wastage of time and money in seeking clarifications on technical/ commercial aspects of the

offer.

6.11. OPaL reserves the right to accept any bid and to reject any or all bids. OPaL reserves the

right to reject, accept or prefer any bid and to annul the bidding process and/or reject all bids at

any time prior to award of PO/WO/LoI, without thereby incurring any liability to the affected Bidder

or Bidders or any obligation to inform the affected Bidder or Bidders of the ground for OPaL’s

action. OPaL also reserves to itself the right to accept any bid in part or split the order between

two or more bidders. The decision by OPaL shall be treated as last and final in this case.

6.12. OPaL reserves the right to cancel or annul the tender or part thereof, without assigning

any reason whatsoever.

OPaL reserves the right to cancel or annul the tender or part thereof, at any time prior to award

of purchase order, without thereby incurring any liability to the affected Bidder or Bidders or any

obligation to inform the affected Bidder or Bidders of the ground for OPaL’s action. The decision

by OPaL shall be treated as last and final in this case.

**OPaL reserves the right to vary quantities either at the time of award of work order or in between ongoing

contract. The quantity may increase or decrease with no liabilities to be borne by OPaL, financial or otherwise.

The estimated monthly quantity available for disposal from OPaL complex shall be emailed to the

successful bidder(s) at the close of the previous month/beginning of the month and the successful

bidder(s) is expected to lift the material within the same month subject to limits prescribed for non-

imposition of penalty as per clause 2.3 of Annexure-II. In absence of any communication, contractual

month-wise quantity as mentioned above shall prevail.

A.0 VITAL CRITERIA FOR ACCEPTANCE OF BIDS

Bidder are advised not to take any exception/ deviations to the bid

document. Exceptions/ deviations, if any, should be brought out during the

Pre-bid discussion. In case Pre-bid discussion is not held, the exceptions/

deviations along with suggested changes are to be communicated to OPaL

within the date specified in the NIT and bid document. OPaL after

processing such suggestions may, through an addendum to the bid

document, communicate to the bidders the changes in its bid document, if

any.

However, during evaluation of bids, OPaL may ask the bidder for

clarifications/ confirmations/ deficient documents of its bid. The request for

clarification and the response shall be in writing and no change in the price

or substance of the bid shall be sought or is permitted. If the bidder still

maintains exceptions/ deviations in the bid, such conditional/ non-

conforming bids shall not be considered and may be rejected.

B.0 REJECTION CRITERIA

B.1.0 TECHNICAL REJECTION CRITERIA

The following vital technical conditions should be strictly complied with

failing which the bid will be rejected:

B.1.1 Eligibility & Experience of the bidder

Bidders participating in the instant tender are required to be Actual

users/Processors of Low Polymer Wax in the instant tender. Bidders

will have to submit suitable declaration that they procure material

to convert and/or use it make end products mentioning the end

products and its sales values in period under consideration which may be

supported by the audited financial report. Relevant documents must

support capital expenditure made by the entity for the purpose of

assets creation.

B.1.2 Eligibility & Experience of the bidder

Pre-Qualification Criteria (PQC)

Pre Qualification Criteria (PQC) for the bidder, as defined above, participating

in the bid are as follows:

A. The bidder should have a minimum average annual net turnover* of

Rs 4.9 Crs in FY 16-17 and FY 17-18 OR FY 17-18 and FY 18-19; subject to

availability of relevant documents reports in support of the same.

B. The bidder has to submit documentary proofs (Purchase

Invoices/Import bills**) for at least 60 MT in the first fiscal period under

consideration and 75 MT in the second fiscal under consideration; i.e. in last

two completed fiscal years as mentioned above.

*Net Annual Turnover: The annual net turnover of the bidder in relevant

business (sourcing Low Polymer Wax and converting into end products) should

be supported by audited balance sheet of respective financial years in support

of its claim. Net Annual turnover will be considered only for the firm in the

name of which the bid is being submitted.

**Purchase Invoices/Import Bills: The Xerox copies of purchase invoices

needs to be duly signed and stamped by the authorised signatory/ies.

B.2.0 COMMERCIAL REJECTION CRITERIA:

The following vital commercial conditions should be strictly complied with

failing which the bid will be rejected.

B.2.1 Tenders are invited under two bid system i.e.

Unpriced bid (Covering Letter, containing EMD, relevant documents such as

copy of PAN Card, IEC number, Suitable Declaration in support of being an

actual user/processor of Low Polymer Wax (as per 1.5/Pg 6 of tender doc),

Audited Balance Sheets and Purchase Invoices/Import Bills (as per 1.6/Pg 6 of

tender doc) as required supporting the required turnover defined in PQC,

Authorisation Letter for tender signatory, Tender Document stamped and

signed (without any deviation), checklist duly filled in, along with all relevant

Appendix to Annexure-I etc.)

and

Priced Bid

B.2.2 Submission of Bids: Bids are to be submitted in sealed covers as under;

Envelope 1: "Unpriced bid":

The First Sealed Cover will contain Un-priced bids having all details but with

price columns of the Price Format(s) (ANNEXURE III) blanked out. However

a tick mark (√) shall be provided against the item of the Price Format to

indicate that there is a quote against the item in the Price Bid.

All the pages of the tender document needs to be stamped and

signed by the Bidder.

Envelope 2: "Price Bid":

The “Price Bid” shall contain only the Price Format(s) at ANNEXURE III.

Bidders have to quote a material wise discount/dispensation as

percentage of the benchmark grade (OPaLene HD M6008) as

described. The % discounts shall be indicated in figures only (upto

2 places of decimal).

Basic Price arrived at after incorporation of the applicable discount/

dispensation shall be exclusive of taxes and duties which shall be payable

extra as applicable at actual by the bidder at the time of removal of material

from OPaL Petrochemical Complex, Dahej SEZ.

B.2.2 ACCEPTANCE OF TERMS & CONDITIONS:

• The bidder must confirm unconditional acceptance of Instruction to

Bidders at ANNEXURE I and General Conditions of Contract at

ANNEXURE II.

• For this purpose, bidder shall return the complete set of tender

document and amendments, if any, along with offer in original duly filled

in with signed and stamped on all pages as a token of having accepted

all the clauses of the tender.

B.2.3 OFFERS OF FOLLOWING KINDS WILL BE REJECTED:

a) Offers that are not made by the technically eligible bidders i.e.

Actual Users/Processors of Low Polymer Wax with relevant

documents supporting capital investments, purchase of Low

Polymer Wax, and to produce end products from Low Polymer Wax

with a suitable declaration in this regard along with requisite

turnover for periods under consideration.

b) Offers made without Bid Security/ Bid Bond/ EMD along with the offer.

c) Fax/ e-mail/ photo copy offers and bids with scanned signature. Original

bids which are not signed manually.

d) Offers which do not confirm unconditional validity of the bid from the date

of opening of Prequalification Bid.

e) Offers where prices are not firm during the entire duration of the agreement

and/or with any qualifications.

g) Offers which do not conform to OPaL’s price format.

h) Offers which do not confirm to the agreement period indicated in the bid.

i) The offers of the bidders indicating/ disclosing prices in Prequalification Bid

or at any stage before opening of Price Bid shall be straightaway rejected.

k) Offers made without “Power of Attorney” or authorization or any other

document consisting of adequate proof of the ability of the signatory to bind

the bidder, in original.

C.0 PRICE EVALUATION CRITERIA:

C.1.0 The prices should be quoted strictly as per price format at ANNEXURE III.

The material shall be priced on AS IS WHERE IS BASIS and on EX-

WORKS BASIS.

C.1.0 All interested bidders are required to quote their discount/dispensations

(positive numbers) in percentage terms, upto two places of decimals for in

the format provided. No other form of price bid shall be accepted and the

tender shall be summarily rejected.

C.1.1 There shall be a Reserve Price for each category of polymer waste for

disposal. Subject to the Reserve Price, fixed by the SELLER and subject to

the term and conditions set out herein, sale shall be made to the successful

bidder(s) on “AS IS WHERE IS BASIS” and “NO COMPLAINT BASIS.”

C.1.2 All Taxes and Duties are to be paid extra by the Bidder, as applicable,

at the time of taking out the materials.

C.1.3 The finalized (%) discount/dispensation shall be valid during the

contract period i.e. for 12 contractual months (Contractual month starts

from the date of acceptance of NOA issued to successful buyers).

C.1.4 Quotes in text format and negative discounts shall not be accepted and

such bids shall be summarily rejected.

C.1.5 Bidders have to quote a material wise discount/dispensation as

percentage (%) of per Metric Tonne price on company list price (for DTA

sales) as announced by OPaL from time to time; benchmarked to OPaL

Dahej SEZ Price for Vadodara for the respective benchmark prime

grade (OPaLene HD M6008).

It may be noted that OPaL revises its price on monthly basis or whenever

market demands so, by issuing a price circular in this regard. The last Price

Circular (for DTA sales) as declared by OPaL is annexed at Annexure-IV

which determines current prevailing prices which may be considered as

Price Reference by the bidders while preparing bids.

The Price Circular shall be shared with all successful bidder(s)/buyer(s) over

registered e-mail as and when prices are revised by OPaL.

C.1.6 The price of the waste material after considering the discount/dispensation

will be linked to the following benchmark grades of OPaL:

C.2.0 TAXES & DUTIES

C.2.1 All Taxes and Duties to be paid extra by the Bidder, as applicable, at

the time of taking out the materials.

D.0 GENERAL

D.1 The BEC over-rides all other similar Clauses operating anywhere in the Bid

Documents.

D.2 Incomplete, incorrect, conditional or vague tenders will not be entertained

and shall be liable to be rejected.

D.3 The tender is governed by the terms and conditions given in the bid

document. Bidders should not submit their offers with their own printed

terms and conditions.

D.4 Prospective bidders are advised to ensure that their bids are complete in all

respects and conform to OPaL's terms, conditions and bid evaluation criteria

of the tender. Bids not complying with OPaL's requirement will be rejected

without seeking any clarification. However, OPaL at its discretion may ask

the Bidders to confirm compliance/ provide deficient documents within the

specified time before opening of the Price Bid.

D.5 There should not be any conviction, criminal case, pending investigation,

enquiry or trial against the bidder. This information has to be submitted

along with the tender in an affidavit, attached as Appendix-8 to ANNEXURE

I, on non-judicial stamp paper and duly notarized. In case the information

is found false, OPaL reserves the right to terminate the agreement, if

awarded to such bidder/buyer.

D.6 Unsolicited clarification to the offer and/or change in price during its validity

period would render the bid liable for outright rejection.

D.7 OPaL may reject/ accept any tender without assigning any reason

whatsoever.

D.8 Any other point, which arises at the time of evaluation, will be decided by

OPaL, under intimation to the bidders.

GENERAL CONDITIONS OF CONTRACT

1.0 DEFINITIONS:

Unless inconsistent with or otherwise indicated by the context, the following terms stipulated in

this Sales Order shall have the meaning as defined hereunder.

a) SELLER: Seller ONGC Petro additions Limited is further referred in this catalogue, as OPaL.

b) BIDDER: Any person - as an individual OR a proprietor OR a partner OR an authorized

representative of any company OR any legal entity and who is paying the requisite EMD and who

makes or places a bid for and purchases the materials either in part or in full is considered as a

bidder. One individual can represent as a bidder on his own behalf and on behalf of other

companies provided he registers himself in those capacity separately i.e. for each representation

he should pay separate Earnest money deposit. Successful Bidder is that Bidder in whose name

confirmation of sale is issued by the seller.

2.0 GENERAL TERMS & CONDITIONS:

2.1 PRICE

2.1.9 The benchmark price reference - OPaL Dahej SEZ Price for Vadodara as mentioned in

the Price Circular indicates the BASIC PRICE of the benchmarked material to be billed for

destination- Vadodara.

2.1.10 For example, if the bidder desirous of quoting has to consider the prevailing price of

OPaLene HD M6008; OPaL Dahej SEZ Price for Vadodara prices in OPaL Price

Circular dtd 09.05.2019 in the instant case. Referring to the Price Circular, the price for

OPaLene HD M6008; OPaL Dahej SEZ Price for Vadodara as on said date is

Rs 75,825/MT. (Refer Price Circular dtd 09.05.2019).

As an example, if the bidder has worked out a discount on the benchmark price as

mentioned above, the reflection of the same in the price quote shall be as follows:

a. if discount/dispensation arrived at is 11.57%, the bidder is to write 11.57 only in the

price bid.

b. Similarly, if discount/dispensation arrived at is 13.5%, the bidder is to write 13.50

only in the price bid.

c. And, if discount/dispensation arrived at is 18%, the bidder is to write 18.00 only in

the price bid.

2.1.11 Calculation of Basic Ex-works Price

For example, if the bidder has quoted 11.57% discount/ dispensation in the price bid the

Basic Ex-works Price calculation is illustrated as below:

2.1.12 The price for the waste material will be revised with each price revision undertaken

by the company and consequently the basic ex-works price shall be calculated based on

the benchmark price of the benchmark grade prevailing at the time of lifting the material.

2.1.13 The Inco-terms for sale of Polymer Waste material shall be EX-WORKS ONLY.

2.1.14 None of the discounts like Cash Discount, Introductory Discount, MoU Discount or price

protection or any other types of discounts covered under price circular of OPaL would be

applicable for disposal of the “below utility/waste” material.

2.1.15 The material will be uplifted by successful bidders by employing his own labour,

transporters, hydra and other means in sufficient numbers to ensure monthly as well as

total quantity during the contract period.

2.1.16 Duty assessment, BOE filing and payment of all statutory duties as required to

take out the material out of SEZ shall be the sole responsibility of the successful

bidder. The material is available for lifting on ex-works basis only. However, OPaL can

facilitate the successful bidder with its appointed CHAs (to be read in consonance with

Clause 2.3.1/ 2.3.2)

2.1.17 The product is currently being invoiced with HSN Code as 3404 9020

It is to be noted that all Taxes and Duties to be paid extra by the Bidder, as

applicable, at the time of taking out the materials out of SEZ. Bidders are advised to

ascertain the total cost of ownership of the material after consideration of freight to their

respective destinations and due payment of statutory taxes and duties so as to quote for

the discount/dispensation on the benchmark price of the benchmark prime grade material

HD M6008 in the price bid accordingly.

2.1.18 In case of changes in taxes, duties and levies at any point in time, if any, the successful

bidder(s) has to comply with the revision in the statutory norms.

2.2 POLYMER WASTE MATERIAL CONDITIONS

2.2.1 It is the responsibility of the bidder to assess and physically inspect all the items properly

before quoting. It will be presumed that the customer has satisfied himself about the

nature, quality, location, condition, technical specifications, taxes-duties and legalities prior

to submission of bids. No further claims will be entertained after opening of bids.

2.2.2 The material offered for sale can be inspected prior to due date of submission

of price bid. For any matters related to the document you may contact Mr.

have to write a written request for plant visit for inspection in advance to the concerned

official who would facilitate your visit for the same. Site inspection can be done by any

person carrying authorization letter on letter head of the Party and the Identity Card or as

per the requirement of OPaL from time to time.

2.2.3 The material offered for sale can be inspected during the working days (9.00AM to

5.00PM) from the date of publication of this tender (i.e. 13.05.2019) till a day prior to

the bid submission date (i.e. by 06.06.2019).

No request for physical inspection can be entertained after 6th June, 2019 for any reason

whatsoever.

2.2.4 The sale shall be strictly on ‘AS IS WHERE IS BASIS” without any quality

specification. The material will be uplifted by successful bidders by employing his own

labour, transporters, hydra and other means in sufficient numbers to ensure monthly as

well as total quantity lifting during the contract period.

2.2.5 It is to be noted that the issue of availability of material there will be no segregation based

on the good quality material or bad quality material and the successful bidder(s) has to lift

the material as made available and as directed by the designated employee of OPaL from

time to time. There is strictly “NO PICK AND CHOOSE” facility available while uplifting

the material.

2.2.6 It is hereby re-iterated again that the material is required to be lifted smoothly and

regularly as per tender terms and conditions so as to avoid any accumulation of

material at plant, STRICTLY on “AS IS WHERE IS” and “NO COMPLAINT” basis.

2.2.7 The availability or non-availability of the material at the complex will be intimated by OPaL

only.

2.2.8 The quantity in actual may be more or less than the estimated quantity.

A. The buyer has to lift at least monthly allotted quantity in each month which will be

intimated by the end of the previous month/early of the month. The buyer has no

right over additional quantity, which may be disposed by OPaL on its own discretion.

B. In the event of actual quantity turning out to be less than the estimated quantity,

the buyer shall not be entitled to claim any damages, loss of interest or compensation

on this account.

2.2.9 All the material offered belongs to below utility/waste category and are kept in open

space, therefore may contain foreign particles, dust and moisture, soil, wooden pallets,

stones, papers, threads etc.

2.2.10 After the submission of bid(s) by the Buyer, a presumption would be drawn

that the buyer has inspected the material and has satisfied himself about the

nature, quantity, quality, location, condition, packaging and other technical

specifications, taxes-duties and legalities prior to the bid.

2.2.11 It should also be mentioned that one type of waste material may be mixed with other

types and no complaint, whatsoever, on the points referred above, and deterioration of

the product as well as packaging material due to weather condition during contract

period would be entertained after the submission of the bid. The buyer has to uplift all

these material on “NO COMPLAINT BASIS”.

2.3 LIFTING OF WASTE MATERIAL

2.3.1 The sale shall be strictly on ‘AS IS WHERE IS BASIS” & “NO COMPLAINT BASIS”

without any quality specification. The material will be uplifted by successful bidders by

employing his own labour, transporters, hydra and other means in sufficient numbers to

ensure monthly as well as total quantity lifted during the contract period.

2.3.2 The Contract shall be treated as having been entered into as soon as the bid is confirmed

by OPaL in favour of the successful bidder(s) and the SD is submitted by the successful

bidder(s). The contract shall be deemed to be complete as soon as the total quantity

allotted (no partial lifting is allowed) is uplifted and area is cleared of the entire material

allotted within stipulated time. Following guidelines are binding on the bidders(s):

A. The estimated contractual month quantity available for disposal from OPaL complex

shall be emailed to the successful bidder at the close of the previous contractual month

/beginning of the contractual month.

B. The duty assessment, BOE filing and payment of all statutory duties shall be done by

the successful bidder(s) only based on the invoiced quantity by OPaL on EX-

WORKS BASIS so as to enable them take out the material out of SEZ. The invoice

shall be generated after an advance payment for the material is made to OPaL (to the

tune of BASIC VALUE of the material).

C. The Invoice & Packing List generated by OPaL shall have the ‘ITEM DESCRIPTION’ in

the document against each polymer waste category shall be as follows:

D. The lifting quantity by the successful bidder(s)/buyer(s) shall be limited to following caps:

The upper cap shall be decided by OPaL subjected to availability of material which may

vary for different time periods.

2.3.3 Any differential quantity not lifted below 85% of the monthly communicated quantity

(Lower cap of -15% as defined above) to be lifted by the successful bidder, shall attract

penalty on quarterly basis defined as below.

2.3.4 Quarterly Quantity shall be the sum total of quantities for the 3 contractual months

quantities being communicated to the successful bidders by OPaL. The lifted quantity by

the successful bidder in any case should not be below 90% of the Quarterly Quantity

(Lower cap of -10% as defined above) below which there shall be a penalty clause on

the quantity not lifted below 90% of the allocated quantity, over and above Monthly

penalty, defined as below.

2.3.5 Similarly, Annual Quantity shall be the sum total of quantities for the contractual months

quantities being communicated to the successful bidders by OPaL. The lifted quantity by

the successful bidder in any case should not be below 95% of the Annual Quantity (Lower

cap of -5% as defined above) below which there shall be a penalty clause on the quantity

not lifted below 95% of the allocated quantity, over and above any penalty

levied/payable, defined as below.

2.3.6 PENALTY CLAUSE:

A. If the successful bidder is unable to complete the activity of removal of the monthly

allocated quantity of Polymer waste from OPaL premises, ground rent of 2.5% of

the quantity not lifted for the specific contractual month will be charged

for the quantity not lifted below 85% of the allocated monthly quantity.

B. If the successful bidder is unable to complete the activity of removal of the quarterly

allocated quantity of Polymer waste from OPaL premises, ground rent of 5% of

the quantity not lifted for the specific contractual quarter will be charged

for the quantity not lifted below 90% of the allocated quarterly quantity.

(For example, if the bidder has to lift 100 MT in July-19 as communicated by OPaL,

the bidder has to lift a minimum of 85 MT {lower cap of -15%} in July so that the

entity doesn’t attract any penalty. In case, the bidder lifts quantity lower than 85

MT, say for example, 60 MT; the bidder shall have to pay a penalty on quantity not

lifted below tolerance level of 85% for July i.e. invoice value equivalent to (85-60=)

25 MT in July-19.

Similarly, the Quarterly penalty shall be payable for any quantity not lifted below

90% or {-10% of the lower cap} over and above Monthly Quantity penalty leviable,

if any.)

Quarter shall be defined as the block of three months starting from the date of

agreement/contract period.

The allocated quantity for a successful bidder has to be lifted by the said entity

only. In case of any differential quantity not lifted in specific month or quarter

shall be carried over to the next month to be lifted by the same entity and

shall not be re-allocated to all bidders in ordinary circumstances. However,

right of re-allocation is reserved with OPaL in unprecedented business

scenarios.

2.3.7 OPaL shall reserve the right to re-allocate material in case the lifting by the successful

bidder is not found to be up to the mark as per terms and conditions mentioned herein

only in extra-ordinary circumstances.

2.3.8 The lifting activity has to be carried out on working days and during working hours only.

However, OPaL reserves the right to allow lifting of material during holidays or extra

hours during the day only in exceptional circumstances with appropriate approvals.

2.3.9 The successful bidder(s) will make his own arrangement for lifting, loading and

transporting the material from the factory premises and he will not claim any sort of

assistance whatsoever or charges from the company. All labour, tools and equipment for

loading the items from OPaL shall be at the cost of the buyer.

2.3.10 The personnel employed for the disposal action (job) shall strictly obey the Safety Rules

in force while working in OPaL, Dahej.

2.3.11 The individual/firm is to follow all rules and procedure for gate entry/exit of OPaL.

2.3.12 The buyer’s workmen shall have to abide by the rules and regulation of the relevant

statutory Acts/Lobour laws etc.

2.3.13 Use of mobile phone is prohibited inside the plant.

2.3.14 The assigned job shall be done without damaging the premises / roads / drains / etc.

The buyer shall make good the damages, loss, etc., in the event of any occurrence

otherwise.

2.3.15 Removal and transportation of materials shall be done only during working hours and

working days of OPaL unless it is specifically permitted by OPaL in writing.

2.3.16 The material shall be collected in trucks and the quantity shall be assessed on the basis

of weighing of trucks on Weigh Bridge located inside OPaL premises.

2.3.17 No other material should be removed from the site. The bidder doesn’t have any right to

claim on any other material as such.

2.3.18 The loading of the material will be in the presence of and after the approval /

authorization of designated OPaL officials.

2.3.19 The buyer shall be responsible to secure compliance’s with all Central and State laws as

well as the rules, regulations, bye-law/notifications and orders of the local authorities

and statutory bodies as may be in force from time to time.

2.3.20 Breaking/ cutting may be allowed to the extent necessary for facilitating loading into

vehicles as per the discretion of the seller at their cost and arrangements.

2.3.21 OPaL shall not be responsible for any injury or death of any worker at site due to accident

or malfunctioning of the equipment or by negligence of staff.

2.3.22 No payment will be made to the contractor for damage caused by rains or other natural

calamities during execution of the work and no such claim on this account will be

entertained.

2.3.23 No manpower shall be engaged below 18 years of age.

2.3.24 It will be the responsibility of the contractor to meet transportation, food, medical and

any other requirements in respect of the manpower deployed by him for carrying out the

said activity. OPaL shall not be responsible for any damages, losses, claims, financial or

other injury to any person deployed by service providing agency during the course of

their performing the functions/duties, or for payment towards any compensation.

2.3.25 If any of his workmen/transporter is even found violating these restrictions, the buyer

shall be responsible for making compensation on account of the loss to the owner on

which their decision shall be final and binding.

2.3.26 For the purpose of lifting of the material, truck must reach at the entry gate on or before

9 AM on the working days. The customer has to comply with all gate entry rules and

regulations at all times. The buyer will coordinate with the designated employee of OPaL

for his truck placement on day to day basis, at least a day in advance.

2.3.27 Non-upliftment of material on any ground including non-availability of transporter,

market conditions, labours, availability of funds, weather conditions, quality issues etc.

shall not be entertained.

2.4 ALLOCATION OF MATERIAL

2.4.1 It should be kept in mind that all the material belong to waste category “below

utility/waste” material; therefore no complaint whatsoever on quality ground will be

entertained. For awarding of material each category will be considered independent from

other material category.

2.4.2 OPaL is desirous of having THREE (3) successful bidders for LOW POLYMER WAX.

2.4.3 The material shall be allocated between H1 and other party i.e. H2 onward where H2

and other parties matches the rate quoted by H1.

2.4.4 The ratio will be defined in the following manner depending on the final number of parties

who match the H1 rates. The allocation of material shall be done as follows:

i. Wherever, ONE successful bidder/buyer is required, all material available shall be

allocated to the only successful buyer (i.e. 100%);

ii. Wherever, TWO successful bidders/buyers are required, all material available shall

be allocated to the successful buyers in the ratio of 60:40;

iii. Wherever, THREE successful bidders/buyers are required, all material available shall

be allocated to the successful buyers in the ratio of 50:30:20.

2.4.5 Based on allocation mentioned above, approximate quantities* are described as below:

2.4.6 In case of only single party becomes H1, allocation shall be done as per methodology

placed below:

For PE Low Polymer Wax: Minimum allocation as per tender i.e. 20% can be

further increased to 100% as per 2.4.4

2.4.7 Any quantity not lifted below the desired tolerance limits, shall attract penalty as

enumerated vide clause 2.3.3, 2.3.4 and 2.3.5 above.

2.5 SUCCESSFUL BIDDER(S)

2.5.1 The successful bidder(s) shall be determined after price bid opening and as per the

allocation process described vide Para 2.4.

2.5.2 SECURITY DEPOSIT CUM PERFORMANCE GUARANTEE: The successful bidder(s)

shall have to deposit a sum equal to 10% (TEN PERCENT) of the total contract

value with applicable GST (i.e. 18%), towards Security Deposit Cum Performance

guarantee either in the form of performance bank guarantee executed by Nationalised/

Scheduled Banks, valid for period of completion of contract plus 02 months or by direct

RTGS from their account within 10 days of the issue of LOI by OPaL. The SD will be

computed on the basis of price prevailing on the day of issuing LoI to the party. The

format for performance bank guarantee shall be shared to successful bidders on request.

2.5.3 EMD of the successful bidder can be released post submission of Security Deposit (SD)

or can be adjusted against advance payment for lifting material commensurating the

value based on prices and discounts quoted at the prevailing at that time or can be

adjusted against the Security Deposit and would be released after 15 days of successful

completion of sales activity.

2.5.4 OPaL shall be entitled to deduct from the said deposits any loss or damage which the

company may be put to by reason of any act or default recoverable by the company from

the buyer and to call upon the buyer to maintain the deposit at its original limit by making

further deposits.

2.5.5 In the event of the buyer failing to make and maintain the security deposit in the manner

aforesaid, OPaL shall be entitled to cancel the acceptance of the tender and forfeit the

EMD/SD.

2.5.6 REFUND OF SECURITY DEPOSIT CUM PERFORMANCE GUARANTEE: OPaL shall

be entitled, without being bound to do so, to adjust the whole or any portion of the

Security Deposit towards the recovery of any amount due to us from the buyer. The

Security Deposit or such portion thereof as has not been adjusted towards the recovery

of amount due from the buyer to us will be refunded to the buyer. Security Deposit will

be refunded after successful completion of the contract. No interest will be payable by

OPaL to the Tenderer on the amount of the Security Deposit.

2.5.7 SET OFF: Any amount due and payable to the buyer (including the Security Deposit

returnable to him) under the Contract may be appropriated by OPaL against any claim

of OPaL arising under the Contract against the buyer.

2.5.8 ACQUIESCENCE OR WAIVER: Any acquiescence or waiver by OPaL of any delay,

breach or default committed by the buyer shall not be deemed to be or considered as

estoppels against OPaL nor prevent OPaL from exercising any of its rights under any of

the provisions of this Agreement.

2.5.9 In case, the information/document furnished by the bidder forming basis of evaluation

of his bid is found to be false/forged after the award of the contract, OPaL shall have full

right to terminate the contract and get the remaining job executed at the risk & cost of

such bidder without any prejudice to other rights available to OPaL under the contract

such as forfeiture of Security Deposit, withholding of payments etc.

2.5.10 In case the issue of submission of false document comes to the notice after execution of

the work, OPaL shall have full right to forfeit any amount due to the bidder along with

forfeiture of Security Deposit furnished by the bidder. Further, such bidder shall be

blacklisted for future business with OPaL.

2.5.11 JURISDICTION: The disputes, legal matters, court matters, if any shall be subject to

Vadodara jurisdiction only.

2.6 OTHER GENERAL CONDITIONS

2.6.1 SELLER reserves the right to modify and amend the terms & conditions and announce

the same at any time before the entire sales concludes.

2.6.2 Bidding in this sale shall be treated as conclusive evidence of the fact that the bidder has

inspected the materials.

2.6.3 No enquiry of bidder shall be entertained once the material is lifted by them.

2.7 PERIOD AND TERMINATION

Period: The AGREEMENT shall be valid and effective on and from the date of NOA/ Service Order

until the expiry of the CONTRACT PERIOD.

Termination:

A. Termination on expiry of the CONTRACT: This AGREEMENT shall be deemed to have been

automatically terminated on the expiry of CONTRACT PERIOD unless OPaL exercise its option

to extend this CONTRACT in accordance with the provisions, in any, of this CONTRACT.

B. Termination on account of force majeure: Either party shall have the right to terminate

this AGREEMENT on account of Force Majeure, as set forth in Clause 2.8 of GCC.

C. Termination on account of insolvency: In the event the Service provider or its collaborator

at any time during the term of this AGREEMENT becomes insolvent or makes a voluntary

assignment of its assets for the benefit of creditors or is adjudged bankrupt, then the

COMPANY shall, by a notice in Writing have the right to terminate this AGREEMENT and all

the rights and privileges hereunder, shall stand terminated forthwith.

D. Termination in the event of breach, default or deficiency by the bidder under or with

reference to the evacuation of polymeric waste products to be provided under the

AGREEMENT, OPaL reserves the right at its option and discretion to terminate this AGREEMENT

with the bidder.

E. Termination for delay in mobilization: Successful Bidder shall be required to mobilise

adequate resources for commencement of lifting of material at the specified site as conveyed

by OPaL. If the successful bidder fails to mobilise as above and/or delays in the commencement

of all or of any of the activity exceeds the Mobilization period, if any, as mentioned in the

contract, OPaL shall, without prejudice to its right to recover liquidated damages hereof, have

the right to terminate this AGREEMENT and to recover from the bidder the additional costs

incurred either by way of deduction or recovery from the invoices or from the Security Deposit

or otherwise.

2.8 FORCE MAJEURE

Any delay in or failure of the performance of either party hereto shall not constitute default

hereunder or give rise to any claims for damage, if any, to the extent such delays/failure of

performance is caused by occurrences such as Acts of God or an enemy, expropriation or

confiscation of facilities by Governmental Authority, acts of war, rebellion, sabotage or fires, floods,

explosions, riots, or strikes. The Vendor shall keep records of the circumstances referred to above

and bring these to the notice of OPaL in writing within three days of occurrence of the event. The

amount of time, if any, lost on any of these counts shall not be counted for the contract period.

Such a determined period of time lost shall be extended by OPaL to enable the Vendor to deliver

the items within such extended period of time.

OPaL revises price of its products (polymers) on monthly basis or whenever market demands so, by

issuing a price circular in this regard. The document shall be shared with all the successful

bidder(s)/buyer(s) after the bidding process is over and the successful buyers accept the LOA.

The last Price Circular (for DTA sales) as declared by OPaL dtd 09.05.2019 is annexed herewith which

may be considered as current prevailing price as Reference Price which can be considered by the bidders

while working out/arriving at the “Discount/dispensations” to be quoted in their respective bids.

2. An Early Payment Incentive (EPI) of Rs 75/ MT/Day will be applicable for Credit customers if

full payment is received before the IFC period in single transfer.

3. Quantity Discount (QD):

VII. The company reserves the right to pay or adjust Post Sale Discounts, through any financial asset, directly or through any other party/agent without requiring any reference.

VIII. Group Companies Customers registered as Group in OPaL books shall be considered for Quantity Discount, Performance Scheme and any other discounts as per prevailing policy and guidelines.

IX. Credit Policy A. Terms of Payment For Domestic supplies: 14 days Interest Free Credit (IFC) (excluding date of payment) shall be available to the customers on their Ex-Works off-take, in lieu of Cash Discount. IFC is applicable on all the grades except plant sweeping, waste grades and powder.


B. Delayed Payment Charges: If payment is not received as per the payment terms, interest will be charged as below:

i. For Cash Sale @ 36% per annum for the delayed period from the Date of Invoice ii. For Credit Sale:

In case Cheque / E-payment First 15 days after IFC: 21% per annum (After IFC Period) 16 days to 30 days : 24% per annum (From the date of Invoice) >30 days : 27% per annum (From the date of Invoice)

X. Penalty for ET failure

a. Rs.1000/- as penalty for the 1st day of default in a calendar month b. Rs.2500/- as penalty for every subsequent defaults in the same calendar month c. Penalty for Cheque Dishonoured :Rs.1000/- as penalty per instrument returned
