Settlement, and having reviewed and considered the files and records herein, the Court find s

and concludes :

The Class is defined for purposes of the Litigation , the Settlement and this Fina l

Judgment and Order of Dismissal With Prejudice (this "Final Judgment"), by two subclasse s

as follows :

THE BOEING SHAREHOLDERS: All persons or entities who

purchased Boeing stock or call options or who sold put options, during

the period from July 21, 1997 through October 22, 1997 . Any of those

persons or entities who also purchased Boeing stock on or afte r

April 7, 1997 may assert their federal and state claims arising during

that time as well (the "extended class period") .

THE McDONNELL DOUGLAS PURCHASERS: All persons whopurchased McDonnell Douglas stock on or after April 7, 1997 and whoheld such stock until it converted to Boeing stock on July 31, 1997pursuant to the merger. '

Both subclasses exclude Defendants; any subsidiary or affiliate of Boeing ; the officers

and directors of Boeing during the Class Period ; members of Defendants' immediate families

(spouses and children) ; any firm, trust, corporation, officer or director of any entity in which

any Defendant has a controlling interest; arty of Defendants' personal or legal representatives,

and the successors-in-interest or assigns of any excluded party .

The Class Representatives are lead plaintiffs Clifford Allenby, Steve Ahumada, Davi d

Applestein, Rishi Nalubola, Chris Wyatt and Thomas Carlson .

In accordance with the Stipulation, and an Order of Preliminary Approval of

Settlement with Notice of Settlement to the Class (`Preliminary Order"), which the Court

entered. on December 11, 2001, Class Counsel caused to be mailed to the Class, a notice (th e

"Notice") dated December 11, 2001, and caused to be published a summary notice (th e

"Summa ry Notice") of the proposed Settlement of the Litigation once in the SE ATTLE POST-

INTELL1GFNCER and once in the national edition of INVESTOR' sBtls iNESS DAILY .

Approval of the Settlement will result in substantial savings in time and money to the

Court and the litigants and will further the interests of justice .

The Stipulation is the product of good faith arm's-length negotiations by the Settling

Parties thereto , and Class Counsel were fully empowered to negotiate all aspects of th e

Settlement and the Stipulation .

NOW, THEREFORE, GOOD CAUSE APPEARING, IT IS HEREBY ORDERED ,

ADJUDGED AND DECREED :

1 . The terms defined in the Stipulation are incorporated herein .

2. The Court has jurisdiction over the subject matter of the Litigation and all

parties in the Litigation, including all Class Members .

3. The Stipulation and Settlement are fair, reasonable and adequate as to th e

Class, and are approved in all respects . The parties to the Stipulation shall consummate the

Settlement in accordance with the terms and provisions of the Stipulation .

4. The Class members who previously fi led valid and timely Requests for

Exclusion are not bound by the Judgment . A listing of those persons and their respectiv e

excluded aggregate principal amount of securities holdings is attached hereto as Exhibit I .

Members of the Class who are excluded may pursue their own individual remedies, if any .

5. The Notice and Summary Notice provided to potential members of the Class

constituted the best and most practicable notice under the circumstances and include d

individual notice to all members of the Class identified by reasonable effort . The affidavit s

or declarations of mailing filed with the Court on January 23, 2002, demonstrated that the

Court's Preliminary Approval Order has been complied with and, further, that the best notice

practicable under the circumstances was in fact given and constituted valid, due an d

6. The Litigation against Defendants, and any and all claims, actions or causes o f

action alleged by the Class Representatives, individually and on behalf of the Class Members,

arc dismissed on the merits, with prejudice and without costs to any party as against any

other, and the Class Representatives and Class Members, on behalf of themselves and each of

their predecessors, successors, parents, subsidiaries, affiliates, custodians, agents, assigns,

representatives, heirs, estates executors, trustees, administrators, spouses, marital

communities and any other person or entity having any legal or beneficial interest in the

Subject Securities are forever barred and enjoined from commencing, instituting or

prosecuting the Settled Claims or any action or other proceeding against Defendants or the

other Released Parties with respect to, based on, arising from or for any and all Settled

Claims. "Settled Claims" is defined in the Stipulation to mean any and all claims (including

"Unknown Claims" as defined below), demands, rights, obligations, controversies, debts,

damages, losses, liabilities and causes of action of every nature and description whatsoever,

known or unknown, whether or not concealed or hidden, asserted or that might have been

asserted, including, without limitation, claims for violations of any state or federal statutes,

common law, rules or regulations, by any Class Representative or Class Member against the

Released Parties arising out of, based on, in connection with or related to all transactions in

the Subject Securities by any Class Member during the Class Period and the facts,

transactions, events, occurrences, acts, disclosures, statements, omissions or failures to act,

whether known or unknown, of the Released Parties that were or could have been alleged in

the Litigation. "Released Parties" or "Released Party" means each and all of Defendants and

their Related Parties . "Related Parties" means each of a Defendant's past or present

directors, officers, employees, partners, members, principals, agents, representatives,

associates, insurers, co-insurers, controlling shareholders, attorneys, accountants, auditors ,

consultants, advisors, custodians, personal or legal representatives, predecessors, successors,

parents, subsidiaries, divisions, joint ventures, assigns, spouses, marital communities, heirs,

estates, related or affiliated entities, any entity in which a Defendant has a controlling interest,

any members of their innnicdiate families or any trust of which any Defendant is the settlor or

which is for the benefit of any Defendant and/or member(s) of his family . "Unknown

Claims" means any Settled Claim that any Plaintiff or Class Member does not know or

suspect to exist in his, her or its favor at the time of the release of the Released Parties that, if

known by him, her or it, might have affected his, her or its settlement with Defendants and

release ofthe Released Parties or other action, or failure to act, including, but not limited to,

the decision not to object to the Settlement . Plaintiffs expressly waive on behalf of

themselves and the Class Members any and all rights that they may have under any statute or

common-law principle that would limit the effect of the foregoing releases to those claims

actually known or suspected to exist at the time of execution of the Stipulation, including, but

not limited to, the provisions of Section 1542 of the California Civil Code, to the extent

deemed applicable (notwithstanding that the Stipulation does not provide for the application

of California law), which provides as follows :

1542. General release; extent :

A general release does not extend to claims which the creditor does not

know or suspect to exist in his favor at the time of executing the

release, which if known by him must have materially affected his

settlement with the debtor.

Each Plaintiff and Class Member may hereafter discover facts in addition to o r

different from those that he, she or it now knows or believes to be true with respect to the

subject matter of the Settled Claims, but each Plaintiff shall expressly have and each Class

Member, upon the Effective Date, shall be deemed to have, and by operation of the Judgment

shall have, fully, finally and forever settled and released any and all Settled Claims, known or

unknown, suspected or Unsuspected, contingent or noncontingent, whether or not conceale d

or bidden, that now exist or heretofore have existed upon any theory of law or equity now

existing or coming into existence in the future, including, but not limited to, conduct that is

negligent, reckless, intentional, with or without malice, or a breach of any duty, law or rule,

without regard to the subsequent discovery or existence of such different or additional facts .

Plaintiffs acknowledge, and the Class Members shall be deemed by operation of th e

Judgment to have acknowledged, that the foregoing waiver was separately bargained for and

a key element of the Settlement . Nothing contained in this Paragraph shall limit the scope of

the release contained within the Stipulation of Settlement .

7 . Upon the Effective Date, the Class Representatives and Class Members, o n

behalf of themselves and each of their predecessors, successors, parents, subsidiaries,

affiliates, custodians, agents, assigns, representatives, heirs, executors, trustees,

administrators, spouses, marital communities, immediate family members and any other

person or entity having any legal or beneficial interest in the Subject Securities purchased,

received or sold by any member of the Class, shall be deemed conclusively to have fully,

finally, unconditionally and forever released, settled and discharged the Released Parties from

and with respect to the Settled Claims, and any and all claims arising out of, relating to, or in

connection with the Settlement or resolution of the Litigation against the Released . Parties,

except as provided for in 118 below. Notwithstanding that the Class Representatives or Class

Members may hereafter discover facts in addition to or different from those that the Class

Representatives or Class Members now know or believe to be true with respect to the

Litigation and the Settled Claims or to the subject matter of the release, each such Class

Representative and Class Merriber, on behalf of themselves and each of their predecessors,

successors, parents, subsidiaries, affiliates, custodians, agents, assigns, representatives, heirs,

executors, trustees, administrators, spouses, marital communities, immediate family members

and any other person or entity having any legal or beneficial interest in the Subject Securities

purchased, received or sold by any member of the Class, shall be deemed conclusively, upo n

the Effective Date, to have fully, finally, unconditionally and forever released, settled and

discharged the Released Parties from and with respect to all Settled Claims . Nothing

contained in this Paragraph shall limit the scope of the release contained within the

Stipulation of Settlement .

8 . These releases and injunctions shall not extend to claims arising out of any

violations of the Stipulation . If the Settlement is disapproved, canceled or terminated at any

time in accordance with the terms of the Stipulation, then this Final Judgment and the

Stipulation shall have no force or effect, and all negotiations, proceedings and statements

made in connection therewith shall be without prejudice to the right of any Persons, and the

Parties to the Litigation shall be restored to their respective positions existing as of

September 17, 2001 ; provided, however, that the Notice Expenses incurred but not yet paid

shall be paid out of the Settlement Fund as provided in the Stipulation at § VII(C)(4) ; and

provided further that the Stipulation provisions at § VIL(E), VII(J) and Exhibit A at ¶ 1 22-23

shall continue to apply . The Settling Parties shall remain subject to the Court's jurisdiction

for purposes of enforcing the provisions of this paragraph .

9. Neither this Final Judgment nor the Stipulation nor any document referred t o

herein nor any action taken pursuant to or to carry out the Stipulation is or may be deemed to

be or may be used as an admission by or against any of the parties to the Litigation of any

fact, claim, defense, asse rt ion, matter, contention , fault , culpability, obligation , wrongdoing

or liability whatsoever. The Stipulation and its Exhibits may be filed in the Litigation or

related litigation as evidence of the Settlement , or in any subsequent action the Stipulation

and its Exhibits may be filed by Defendants or the other Released Parties to support a defense

of r•es judicata , collateral estoppel , release or other theory of claim or issue preclusion or

similar defense .

10. On the Effective Date, Plaintiffs and each Class Member, and each of thei r

predecessors, successors, parents, subsidiaries, affiliates, custodians, agents, assigns ,

representatives, heirs, executors, trustees, administrators and any other person or entity

having any legal or beneficial interest in the Subject Securities, shall be deemed to have, and

by operation of the Judgment shall have, fully, finally, unconditionally and forever released,

settled and discharged Plaintiffs and Plaintiffs' Counsel from all demands, rights, liabilities

and causes of action of every nature and description whatsoever, known or unknown, whether

or not concealed or hidden, arising out of, based on or related to Plaintiffs' institution,

prosecution, assertion or resolution of the Litigation or the Settled Claims .

11 . Upon the Effective Date, Defendants shall be deemed to have, and by

operation of the Judgment shall have, fully, finally, unconditionally and forever released,

settled and discharged Plaintiffs , Plaintiffs ' Counsel and all Class Members from all

demands , rights, liabilities and causes of action of every nature and description whatsoever,

known or unknown, whether or not concealed or hidden , arising out of, based on or related to

the institution, prosecution , assertion or resolution of the Litigation or the Settled Claims .

12. Class Counsel were fully empowered to negotiate the Settlement on behalf of

the Class .

13 . Any Plan of Distribution submitted by Plaintiffs' Counsel or any order entere d

regarding the attorneys' fees application shall in no way disturb or affect this Final Judgmen t

and shall be considered separate from this Final Judgment .

14. The Court reserves jurisdiction, without affecting the finality of this judgment ,

over (a) implementing, administering and enforcing the Settlement and the Stipulation and

any award or distribution of the Settlement Fund ; (b) disposition of the Settlement Fund ;

(c) all parties to this action and the Class Members for the purpose of enforcing and

administering the Stipulation ; and (d) other matters related or ancillary to the foregoing ,

15 . The Court finds that the parties and their counsel have complied with Federa l

Rule of Civil Procedure 11(b) with respect to all complaints, responsive pleadings, an d

dispositive motions. In addition, Defendants have agreed, after consultation with competen t

counsel, that the Litigation was filed in good faith and in accordance with applicable

Washington, Delaware and Federal Rules of Court, including Rule 11 of the Federal Rules of

Civil Procedure .

16. The Court expressly determines, within the meaning of Rule 54(b) of the

Federal RLLles of Civil Procedure, that there is no just reason for delay, and directs the entry

of this Final Judgment .
