EXIT STRATEGY

Page 2: iBAN Exit Strategy

EXIT STRATEGYThe following scenarios are the most likely way in which you would realize a return from your investment in us. It is impossible to put a time frame on any of these scenarios, as it will depend on the rate of success of the company, third parties and the competitive landscape.

TRADE SALE (BUYOUT BY ANOTHER FIRM)The M&A market for Fintech and crowdlending is red hot right now and we expect that it will continue to be so. Banks and other traditional financial institutions are struggling with innovation and universally recognize that acquisitions are essential.

We expect to receive expressions of interest in the next few years. If we were to wholly sell the firm to another company, you would be able to realize your investment return at that point.

IPOIn the absence of a buyout, the company expects to conduct an IPO subject to suitable market conditions.

An IPO is a flotation on a stock market that allows free trading of shares, which would allow you to sell your shares to a third party to realize a return.

DIVIDENDSThe company will pay dividends to its shareholders once it is making adequate profits and after calculating how much profit should be retained to fund future cash flow requirements.

Dividends allow shareholders to retain their shares in the company, whilst enjoying some form of return in the meantime.

LIQUIDITYIf you choose to invest in iBAN Wallet, you should be aware that you are investing into a private company, and the shares you purchase will not be readily tradeable and you will not be able to exit the investment on demand.

Warning: Investing in unlisted companies like iBAN ONLINE involves risks, including loss of capital, illiquidity, lack of dividends and dilution, and should be done only as part of a diversified portfolio. Investments should only be made by investors who understand the risks

involved.
