With the stock market volatility and global unrest that characterizes the current decade, a growing number of investors are choosing to diversify their portfolios internationally in order to hedge U.S.-dollar based investments and invest in non-leveraged assets.

Today, private investments are one of the few remaining means of wealth creation that is truly non-correlated to what is left in your portfolio. Toward that end, sophisticated investor groups are looking beyond national borders in search of emerging market opportunities with tremendous upside potential.

While these deals are growing in number, the primary participants and beneficiaries have remained large corporations and the super-wealthy...until now.

A leading New York-based private equity corporation believes Argentina is the destination of choice for global investors seeking synergistic venture opportunities. In three short years, they have opened the most exclusive boutique hotel in Buenos Aires and a world-class golf and vineyard estate development in Mendoza.

The goal of the fund is to empower accredited individual investors by pooling their capital, giving them access to global assets and institutional-quality deals and creating wealth-generating opportunities for all shareholders.

But before we look at their individual projects, let’s first answer the basic question, Why Argentina & Uruguay?

“Private investments are one of the few remaining means of wealth creation.”

There are several good reasons to consider investing in non-leveraged assets in a country like Argentina.

Argentina went through a massive financial crisis in 2001/02 that eroded 70% of the currency’s value, triggered credit and mortgage defaults and wiped out consumer confidence in the banking system.

Overnight, the Argentina real estate market went from a credit-based system to a cash market, thus eliminating speculation and becoming a true market based on supply and demand. Property values were quickly undervalued creating excellent opportunities for cash buyers. This, along with the total lack of credit in the market, produced record rental yields for property owners in Buenos Aires.

While global markets have been reeling since 2008, Argentina’s fortunes have risen thanks in large part to the degree that the U.S. and powerhouse BRIC nations now depend on Argentina’s exports...from soy in China to Malbec in the U.S. to automobiles in Brazil.

In terms of global recognition, Financial Times recently described Argentina as China’s New Investment Frontier, Citi named Buenos Aires among the Top 5 Global Megacities of the next 15 years, and Der Spiegel dubbed arts mecca BA, Metropolis of the Zeitgeist.

Today opportunities abound in energy, agriculture, mining, vineyards and real estate where there is no U.S.-style credit bubble forming, because 90-95% of real estate purchases are all cash transactions.

The Tourism Boom in Argentina & Uruguay

Argentina and Uruguay are consistently ranked the #1 and #2 Latin American destinations according to International Living’s Quality of Life Index. Both countries receive high marks each year for their wonderful climate, affordability and safety; all of which are rare commodities in other corners of Latin America today.

Not surprisingly, a record number of foreign tourists visited both countries in 2010. 22.8 million foreign visitors arrived in Argentina’s airports last year, while Uruguay tourism arrivals per capita recently reached 61.4%, the highest rate in all of Latin America.

The cruise industry is booming in Argentina and Uruguay, while both countries are aggressively marketing to Brazilian, Indian and Asian tourists.

Brazil’s economy is the undisputed juggernaut of Latin America, and both Argentina and Uruguay benefit from record arrivals of Brazilian tourists with disposable incomes. Today, Brazilian Portuguese is a familiar chorus in the fine restaurants of BA, on the beaches of Punta del Este and the ski slopes of Bariloche.

Also in recent years, more American and Canadian tourists and retirees have been discovering Argentina and Uruguay. This trend is partly due to the growing popularity of wines from both countries, the global rise and accessibility of polo, positive media coverage from papers like The Wall Street Journal and The New York Times, and even popular cable shows like HGTV’s HouseHunters International showcasing Americans and Canadians investing in Southern Cone real estate.

Once the opportunities are identified, it then makes sense to pursue the deals where the investor group can benefit from overlap and synergies with other portfolio holdings.

For example, creating a world-class winery can add significant value and attraction to a luxury real estate development located in a major wine region. Similarly, five-diamond hotel projects can serve as launching pads for groundbreaking restaurants and luxury lifestyle brands. These synergies have the potential to create numerous operating profit centers that together increase the overall value of an individual project.

The following pages detail the private equity corporation’s initial investments that offer such synergies for investors.

Synergistic Investment Opportunities for Individual Investors

Having established that economic growth and diversity, affordability and quality of life variables are prevalent in Argentina and Uruguay, the next step is to identify specific investment opportunities that make the most sense for a group of individual investors pooling their capital.

The aforementioned tourism boom coupled with a shortage of exclusive five-star hotels creates a unique opportunity in Buenos Aires. The global demand for Argentine premium wine coupled with foreign investors in search of private vineyard ownership creates another opportunity in Mendoza. An absence of quality fast-food franchises creates yet another opportunity in Argentina, Uruguay and beyond.

The vineyards of Algodon Wine Estates are located in the foothills of the Sierra Pintada Mountains in San Rafael, Mendoza. With vines dating back to 1946, this two thousand acre estate is nestled in the heart of Argentina’s wine country. All of Algodon’s grapes are harvested by hand, and the resultant wine is left to mature in French and American Oak barrels.

In addition to Algodon’s superior vineyards, antique olive groves and an abundant variety of fruit and nut orchards further enrich the bountiful estate, which embraces eco-friendly concepts and ecologically responsible science for the production of a wide variety of fine products.

Although more famous for her wine exports, Argentina is South America’s leading producer of olive oil and the 4th largest exporter of olives in the world.

Algodon Extra Virgin Olive Oil is cultivated from half-century old olive orchards. Algodon’s estate-grown olive oil is perfectly blended to offer an exceptional Argentine culinary experience. The Blend is 70% Pendolino, 20% Arauco and 10% Arbequina.

Golden in color with a soft green hue, this spectacular estate-grown olive oil presents the nose with hints of fruit, subtle scents of green apple, almonds and fresh herb notes. On the palate it is balanced with a slightly sour and spicy finish.

TESTIMONIALS

“I can’t believe I waited so long to discover the Algodon! Algodon Mansion is paradise! The hotel’s

architecture and décor are exquisite (I was very impressed at the architectural beauty throughout Buenos Aires), and I’ve never experienced such pampering. Thank you for making this trip so wonderful. San Rafael, Mendoza, also has a new fan. The vineyards, mountains and natural beauty of the landscape took my breath away. I loved the Wine Estates. As an amateur wine enthusiast, the wine tastings and tours were an absolute joy! I can’t wait to return. A very special thanks to all at Algodon!”

“We just returned from our visit to Argentina. Algodon Mansion was one of the finest, if not THE finest hotels I’ve ever stayed in. The highlight was the staff. They were all just incredible in their own little ways, full of character and totally efficient. I almost hate to admit now that I’d never given thought to vacationing in Argentina, let alone considering investing there. After visiting your real estate projects, I am convinced! We did not want to leave Algodon Wine Estates. The prospect of owning our own vineyard in Mendoza is very exciting. Once again, thanks to your wonderful team of people. I am spreading the word already to all my contacts about Algodon.”

“After three visits to Argentina my husband and I know that as soon as we walk out of the passport control doors at the airport that a driver will be waiting to whisk us away to the Algodon Mansion. The staff remembers us, greets us by name, rapidly takes our luggage away to our rooms and offers us refreshments. Our feelings are that the concierge staff wants to provide whatever we need and that they enjoy giving us suggestions, maps or information. They make us comfortable and pamper us. Anything that you order to eat will be presented to you perfectly cooked by a French-trained chief.

After a few days it is time to fly to San Rafael where we are transported to the Algodon Wine Estates. Here we experience country living, but with a luxury feel. When playing golf and needing a snack, we simply pick a piece of fruit off of a tree. Last trip I asked to go horseback riding thru the vineyards; the horses are quite large on the ranch and I had to use a chair to get up onto the saddle. The quality of food is gourmet cuisine and dinners can go late into the night.

We watched the workers picking the grapes, viewed the processing of the wine and had the choice of drinking any of the fine wines during out stay. What has been accomplished at Algodon Wine Estates in a short time is amazing. We always meet very interesting people on our trips, many who have purchased homesites, and have grown to love the relaxing feeling of staying at the Estates as we do.”

“My wife, daughter and I had an incredible time from the moment we arrived! We were treated like royalty! My 6 year old especially loved riding horses and the golf carts at Algodon Wine Estates, and my wife and I were very impressed with the accommodations and service. We were also both amazed at the quality of life in general, in both Buenos Aires and San Rafael. We never felt unsafe, and the people there are very personable and warm. The restaurants at both Algodon properties are exceptional! I really commend you on the extraordinary properties you have built. I promise to return for Golf classes! Thanks again for a wonderful trip!”

Jeff M. - Denver, Colorado“We have been to Argentina several times. The Mansion is absolutely outstanding. It is intimate and small in that it has only 10 very large and sumptuously appointed rooms in a turn of the century classic French style mansion. The staff with round the clock concierge serve is pampering to every whim. The hotel restaurant has one of the highest ratings of its type in Buenos Aires, and it is very well deserved as the food is fabulous.

Our trip to Algodon Wine Estates was very rewarding in that the pace and beauty of the location which is at the start of the Andes is spectacular. It has also an award wining restaurant, tennis courts with a world class pro, no less than Jose Luis Clerc, a winery, orchards with award wining olive groves and other agricultural products. All this and a very attentive staff. They have a barrel program where you can own your own barrel and blend to your taste.

The golf course is nearly finished and ready for play as they have added to 18 holes now, and there is a driving range. Soon to come are polo fields and an equestrian center. All in all, the two properties are both world class plus and the contrast from city to country is perfect. In addition, the Estate is located close to great skiing, white water rafting and other outdoor adventures. We were blown away by both of these great properties and cannot wait to return.”

“What a great combination of locations and accommodations. We started at the Algodon Mansion where the service and accommodations were as good as it gets. Whether it was a warm welcome at the door, a fabulous meal at Chez Nous, a bottle of Algodon Malbec at the bar, or the fabulous rooms, the experience was simply superb! But if we were forced to choose between the city and the Algodon Wine Estates in San Rafael with those glorious vines, olive trees, fireflies at night, and total relaxations that both my wife and I experienced, you would see us at the Wine Estates sipping Bonarda or a Petit Syrah while strolling over the grounds. There is absolutely nothing like it in our experience.”

“My wife and I are very grateful to you for exposing us to Argentina. We had a fantastic time being hosted by Algodon during our trip. The trip opened our minds (& hearts) to the endless opportunities (business & pleasure) that exist in both the places we visited - Buenos Aires and San Rafael. The Algodon Mansion was still being renovated at the time of our visit but one

could see how nice it was going to eventually turn out to be … and now it has proven to be one of the premier hotels in the city! Algodon Wine Estates in San Rafael was paradise. The range of activities one can partake were surprising – golf, river rafting,

boating, horseback riding, ATV rides on beautiful trails, tennis … besides wine tasting. The food was excellent in spite of being a vegetarian. The memories of the cheese empanadas I had at one of the wineries we visited still makes my mouth water. Thank you again for all the wonderful experiences and I know that I have a made a wise choice in investing with you folks.”

“We recently took our trip to Argentina and had one of the best trips we’ve ever had (And we’ve travelled to 5 other continents!!!). From the tasty appetizers and scrumptious entrees to the delightful desert creations, the Chefs at the Algodon properties spoiled us rotten. The Algodon Mansion and Wine Estates accommodations were comfortable and cozy. The service was excellent and personable.

The kids loved riding the golf carts through the orchards and vineyards. Horse riding through the property was fun. We enjoyed our evenings outside with empanadas, kebabs and the delicious Algodon Bonarda. Touring the different wineries, vineyards and cellars was an enjoyable experience.

We thank you for an absolutely amazing trip on your extraordinary properties, which we hope to return to soon.”

“So why would I even think of buying property in San Rafael as we already own three properties, one in the Northeastern U.S., one in Brazil and one in Northern Europe.

Well, it is simply because San Rafael is so completely different from any of those places. The climate is fantastic, dry and sunny. Algodon Wine Estates has wide open spaces, gorgeous views of the mountains and some of the best grapes and wines in Argentina. Plus, the nearby town of San Rafael is very safe and radiates provincial Argentine charm.

So when the weather in the Northern Hemisphere turns cold with snow and rain, we can actually spend weeks in our Mendoza home, drinking our own wine from our own grapes, enjoying the climate and the sun plus all the amenities at the Algodon Wine Estates...and all at a very competitive cost.”
