Scope of Coverage

Equipment Coverage

This Service Contract only applies to the equipment listed on the included Equipment Inventory, except as otherwise expressly provided and agreed upon in writing by both parties.

Preventive Maintenance

PSF will perform periodic routine maintenance inspections for the Client for a twelve (12) month period as defined in the Equipment Inventory and Maintenance Tasking Procedures. Where noted, this service includes Air Filter maintenance.

Replacement Parts

Parts, materials, and filters shall be provided as follows: • Belts – Included. Replaced annually as defined within Equipment Inventory and Maintenance Tasking

Procedures • Oil Analysis per circuit-Included • Oil Filter, Purge Filter, and O-rings included Replaced annually as defined within Equipment Inventory

and Maintenance Tasking Proceedures • Lubrication and Cleaning Supplies – Included as needed • Compressor Oil – Excluded. Billed separately if required • Refrigerant – Excluded. Billed separately if required

All other parts and materials shall be provided as authorized and invoiced in addition to the base contract price.

Emergency Service

Emergency service and repairs will be available 24-hours per day, 365-days per year, invoiced at the prevailing straight time or overtime contract rate. Normal service hours are Monday through Friday from 7 am to 3:30 pm. The costs of emergency visits and subsequent repairs deemed necessary and approved by client are not included in this Service Contract.

Preferential Service and Contract Service Rate

This contract includes preferential service and preferential service rates to the Client over non-contract clients.

Exclusions and Clarifications

CORRECTIVE MAINTENANCE: This contract does not include the cost of any needed repairs. To minimize downtime, the Client pre-authorizes $500 of repairs per maintenance visit that may be performed without approval. These repairs will be noted on invoice and clearly defined in written service report. For repairs in excess of the defined amount, or in cases where the Client requests otherwise, a proposal to complete those repairs will be provided before work commences.

Centrifugal Chil ler: Low Pressure Annual Inspection (1 /yr)

1. Check general condition of equipment, surrounding spaces and mechanical connections 2. Inspect and tighten electrical connections, contactors, relays and operating safety controls 3. Pricing and Acceptance

Service Fee

Client agrees to pay PSF $11,672 per year for one year, payable at $2,918 per quarter as PSF’s fee for the PSF Service program described in the Equipment Inventory and Maintenance Tasking Procedures. Upon commencement of this contract, the first quarter invoice will be issued and payable within 30 days. Subsequent invoices are payable according to the terms outlined in the Terms and Conditions.

Term

The initial term shall be one year, effective January 1, 2014 , provided there are no obligations to the Client by PSF prior to the approval of this Service Contract in writing as provided below. Thereafter, this Service Contract shall be automatically renewed on an annual basis, unless terminated by PSF or the Client by means of written notice to the other party, at least thirty (30) days prior to the intended termination date, or as otherwise outlined in the Terms and Conditions.

PSF Service Agreement Terms and Conditions

Acceptance Binds Client to the Following Terms and Conditions

1. DEFINITIONS: Where context permits, the below terms shall have the following meanings: • EFFECTIVE DATE: The date on which this contract takes effect, as outlined in the body of the contract. • EQUIPMENT: HVAC machinery to be serviced by PSF as defined in the Equipment Inventory in the body of the contract. • SCOPE OF WORK: The Maintenance Tasking Procedures at the Identified Site(s) as defined in the body of the contract. • PSF: PSF Mechanical, Inc. • CLIENT: The person, partnership, company or corporation purchasing services hereunder.

2. EXPIRATION OF THIS OFFER: Unless otherwise indicated or accepted by both parties, this offer expires within ninety (90) calendar days.

3. SCOPE OF WORK: This contract is based upon the use of straight time labor to perform scope of work defined within this contract. Client agrees to provide PSF with required field utilities (electricity, toilets, drinking water, elevator service, parking etc.) without charge. PSF agrees to keep the job site clean of debris arising out of its own operations. Purchaser shall not back charge PSF for any costs or expenses without PSF's written consent.

Unless specifically noted in the statement of the scope of work or services undertaken by PSF under this contract, PSF's obligations under this contract expressly exclude any work or service of any nature associated or connected with the identification, abatement, clean up, control, removal, or disposal of environmental hazards or dangerous substances, to include but not be limited to asbestos or PCBs, discovered in or on the premises. Any language or provision of the contract elsewhere contained which may authorize or empower the purchaser to change, modify, or alter the scope of work or services to be performed by PSF shall not operate to compel PSF to perform any work relating to hazards without PSF's express written consent.

4. HAZARDOUS MATERIALS: Unless specifically noted this contract, PSF's obligations under this contract expressly exclude any work or service of any nature associated or connected with the identification, abatement, clean up, control, removal, or disposal of environmental hazards or dangerous substances discovered in or on the premises, including but not limited to asbestos or PCBs. Any language or provision of the contract elsewhere contained which may authorize or empower the Client to change, modify, or alter the Scope of Work or services to be performed by PSF shall not operate to compel PSF to perform any work relating to hazards without PSF's express written consent.

5. INTELLECTUAL PROPERTY AND HARDWARE: PSF owns the hardware and intellectual property for Energy Monitoring. Any devices installed at the Identified Site shall be owned by PSF and will be reclaimed upon termination of the contract, and/or portions of the contract. Any data obtained during the service period can be delivered to the Client upon request. All reporting software, analytics software, and other software associated with the delivery of the data and reporting is owned by PSF and/or PSF’s partners, and will be discontinued upon termination of the contract and/or portions of the contract.

6. INVOICING & PAYMENTS: Initial invoice will be issued upon commencement of this contract. While the contract remains in effect, subsequent invoices will be issued periodically as outlined in the body of the contract. Client agrees to pay PSF within thirty (30) days of the issuance of an invoice. Unpaid balances after thirty (30) days will be considered delinquent. PSF reserves the right to refuse service to accounts with delinquent status.

7. ACCESS AND WORK STOPPAGE: The Client will ensure appropriate access necessary for PSF employees to perform work. If such access or other interferences prevent or otherwise significantly delay or hinder proper completion of scheduled maintenance, PSF may bill the Client for the additional time required. In such cases where delays arise, PSF will provide verbal and written notification including explanation of the delay to allow the Client opportunity to remedy. PSF is not liable for any penalties caused or otherwise created from conducting maintenance on equipment.

8. MATERIALS: PSF will have sole discretion to determine the type, make, and source of replacement materials to be used. Materials provided must be at similar or equal quality and efficiency as those being replaced. PSF assumes no responsibility for manufacturer upgrades and/or recalls. If the materials or equipment included in this contract become temporarily or permanently unavailable for reasons without fault or beyond the control of PSF, then in the case of temporary unavailability, the time for performance of the work shall be extended to the extent thereof, and in the case of permanent unavailability, PSF shall be (i) excused from furnishing said materials or equipment, and (ii) reimbursed for the difference between the cost of the materials or equipment permanently unavailable and the cost of a reasonably-available substitute.

9. WARRANTY: Equipment manufactured by PSF shall be free from defects in material and workmanship arising from normal usage for a period of one (1) year from delivery of said equipment, or if installed by PSF, for a period of one (1) year from installation. For equipment furnished and/or installed not manufactured by PSF, PSF will extend the same warranty terms and conditions provided to PSF by the manufacturer of said equipment, whichever is less. For equipment installed by PSF, if the Client provides written notice to PSF of any such defect within thirty (30) days after the appearance or discovery of such defect, PSF shall, at its option, repair or replace the defective equipment. All transportation charges incurred in connection with the warranty for equipment not installed or manufactured by PSF shall be borne by Client. These warranties do not extend to any equipment which has been repaired by others, abused, altered or misused, or which has not been properly and reasonably maintained. THESE WARRANTIES ARE IN LIEU OF ALL

OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THOSE OF MERCHANTABILITY AND FITNESS FOR A SPECIFIC PURPOSE.

10. LIABILITY: PSF shall not be liable for any special, indirect or consequential damages arising in any manner from the equipment or material furnished, or the work performed pursuant to this contract.

11. TAXES AND FEES: The price of this contract does not include duties, sales, use, excise, prevailing wage or other similar taxes, unless required by federal, state or local law. In addition to the stated price, the Client shall pay all taxes not legally required to be collected by PSF or, alternatively, shall provide PSF with acceptable tax exemption certificates. PSF shall provide the Client with any tax payment certificates upon request and after completion and acceptance of the work. Payment by credit card is subject to additional approval and additional credit card fees may apply.

12. DELAYS: PSF shall not be liable for any delay in the performance of the work resulting from or attributed to acts or circumstances beyond PSF's control, including but not limited to: acts of God; fire; riots; labor disputes; conditions of the premises; acts or omissions of the Client, owner, or other contractors; or delays caused by suppliers or subcontractors of PSF, etc.

13. TRANSFERABILITY: This contract may be transferred or assigned to the subsequent owner or manager of the Identified Site in which the equipment is located. Other transfers and assignments require written notification from the initiating party to the alternate party.

14. COMPLIANCE WITH LAWS: PSF shall comply with all applicable federal, state and local laws and regulations, and shall obtain all temporary licenses and permits required for the prosecution of the work. Permanent licenses and permits shall be procured and paid for by the Client.

15. DISPUTES: All disputes in excess of $15,000 shall be resolved by arbitration in accordance with the rules of the American Arbitration Association. The prevailing party shall recover all legal costs and attorney's fees incurred as a result. Nothing included in this contract shall limit any rights under construction lien laws.

16. INSURANCE: Insurance coverage in excess of PSF’s standard limits will be furnished when requested and required. No credit will be given or premium paid by PSF for insurance afforded by others.

17. INDEMNITY: PSF and the Client hereto agree to indemnify each other from any and all liabilities, claims, expenses, losses or damages, including attorneys’ fees, which may arise in connection with the execution of the work herein specified and which are caused, in whole or in part by the negligent act or omission of the Indemnifying Party.

OCCUPATIONAL SAFETY AND HEALTH: PSF and the Client hereto agree to notify each other immediately upon becoming aware of an inspection under, or any alleged violation of, the Occupational Safety and Health Act, relating in any way to the project or project site.

18. RENEWAL: PSF Mechanical reserves the right to assess an annual price increase to reflect inflation in labor, parts and other expenses - with the increase remaining in effect for the future term of the agreement. Unless otherwise cancelled or modified in writing prior to the anniversary of the effective date, this agreement shall remain in effect for an additional twelve (12) months at the new price.

19. TERMINATION: PSF and the Client reserve the right to terminate this contract. In such case, written notification of the intent to terminate shall be provided to the alternate party with the earliest termination date no sooner than 30 days of receipt of intent to terminate. However, with the approval of both PSF and the Client, the contract may be terminated within five (5) days after the receipt of such notice.

CLIENT’S RIGHT TO TERMINATE: The Client may terminate this contract by mailing written notice of termination to PSF. In such case, the Client will not be financially liable for services beyond the date of termination of this contract.

PSF’S RIGHT TO TERMINATE: PSF reserves the right to terminate this contract in the event: (i) the equipment agreed upon has not been used solely for the purposes and under the condition for which it was designed, or has been subjected to misuse, alteration, accident or abuse, (ii) the Client has any part of the heating and/or air conditioning system serviced by a company other than PSF, (iii) the Client subjects PSF or its employee’s to any unsafe, unfair, or otherwise unlawful circumstances, or (iv) the Client fails to fulfill payment terms contained within the contract.

The Client remains liable for services and material provided up to the date of termination. Unless otherwise agreed upon by both parties, no other terms shall survive cancellation of this contract.

20. CHANGES: No change or modification to any portion of this contract, including the terms and conditions, shall be binding upon either party unless accepted in writing by both parties. Any changes made by PSF or the Client will be considered effective once signed or initialed by both parties. Both parties shall notify each other in writing of any changes in key contact personnel.

21. MODIFICATIONS TO EQUIPMENT INVENTORY: PSF’s responsibility is to maintain equipment at the Identified Site as outlined in the Equipment Inventory. In the event of changes to installed equipment, such but not limited to additions, modifications, replacement or upgrades, PSF has no implied responsibility to maintain said new equipment.

22. ENTIRE AGREEMENT: This PSF Service contract, upon acceptance by the Client, shall constitute the entire agreement between PSF and the Client, superseding any prior representations or understandings between the parties.

PSF Mechanical played a key roll in the remodel of this 98,000 ft2 4-story automotive digital marketing company in downtown Seattle. By utilizing 3D modeling for MEP coordination, we established a smooth progression through the remodeling process and created an aesthetically-pleasing finished product. consumption

This project was a 4-story, 55,036 ft2 educational facility. Quiet comform design emphasis aids in classroom instruction by providing noise reduction, high indoor air quality, and thermal comfort control for all occupied spaces. This project achieved low energy and maintenance costs through use of air-side economizers, energy-efficient LoadMatch sytem, and constant volume air distribution. Budget concerns and TCO addressed through innovative system design utilizing 40% less piping material and consuming 50% less pump energy compared to conventional 4-pipe systems.

This project was a 126,662 ft2 2-story office and distribution warehouse existing building retrorit to modify existing mechanical systems to accommodate load in a secure facility. Existing warehouse was converted to offices, cafeteria, security, training, customer and technical services, with product quality control room within the technical services area, for Nintendo tenants - Customer Service Group and Quality Control Group.
