3. Meeting%Opening%%

Roger!Ghandour,!Director!of!Association!Management,!kicked!off!the!meeting!with!an! introduction!of!himself,!his! team! including!Sailesh!Chulani,!Association!Manager!and!Agnes!Rosario,!Community!Administrator.! He! also! introduced! Kashif! Nesar,! MTS! Operations! Manager! responsible! for! MEP!service! delivery! and! Mohammed! Shareif,! MTS! Homeserve! coordinator! responsible! for! home!maintenance!services.!!

Roger! presented! the!meeting! Agenda! and! advised! of! a! slight! change! in! the! order! of! the! Agenda;!Motion!1!was!moved!towards!the!end!of! the!Agenda!to!provide!sufficient!time!for!Board!nominee!presentations!due!to!the!high!number!of!nominations!received!just!prior!to!the!meeting.!!

4. Board%Opening%Remarks%%!

Mazen! Jabado,! owner! of! Unit! 1104,! member! of! the! 2016!Madina! Owners! Association! Board! and!concluding!his!fourth!term,!volunteered!himself!to!present!the!Board’s!achievements!in!2016!in!the!absence!of! the!Chairman,!Naser! Tibi,!who! could!not! attend!due! to!an!emergency.! !He!briefed! the!audience! about! the! following! accomplishments! by! the! Owners! Association! during! the! last! several!years!and!in!2016:k!!

a) Board! was! created! by! homeowner! Richard! Bennett! in! the! early! years! of! the! Owners!Association!to!establish!owner!rights!and!responsibilities,!create!the!budget,!and!improve!the!building’s!services!!

b) Madina! had! a! very! poor! service! charge! collection! rate,! very! little! money! in! bank! and!improper!maintenance!regime!in!place!!

c) Initial!focus!of!the!Board!was!to:!• Ensure!we!have! sufficient! service! charge! collections! to!be!able! to! carry!out!proper!

maintenance! –! collection! rate! improved! from! 60%! to! high! 90%! and!we! should! be!proud!of!it!!

• Streamline!operations!versus!having!DEWA!disconnecting!services!due!to!insufficient!funds!or!bounced!cheques!

• Reducing! the! building’s! energy! consumption;! DEWA! energy! consumption! reduced!from!AED!3.4m!in!2011!to!AED!2.4m!in!Nov!2016!achieving!a!saving!of!around!AED!1m!!

d) Managing! building! construction! defects! due! to! poor! pipe! quality! which! result! in! water!damages! and! floods! in! apartments! and! common! areas.! Mazen! stressed! the! important! of!managing! these! situations! and!understand! they! cannot! be! fully! prevented.!Mazen! advised!for! those! owners! who! have! been! here! for! several! years,! there! is! the! ‘annual! flood’! that!happens! due! to! defective! pipe! quality! and! that! we! are! managing! and! implementing!preventative!measures! to!mitigate! them.!Mazen! advised! the! situation! of! the! poor! quality!pipes! is! not! likely! going! to! change! unless!we! consider! dekinstating! the! building’s! common!area!pipe,!which! is!often!only!accessible! through!apartment!walls!and!would!be!extremely!expensive!and!discomforting!to!the!occupants!of!the!building.!Mazen!noted!that!due!to!the!water! damage! claims,! several! insurers!were! refusing! to! quote! or! the! ones!who! did! quote!quoted!very!high.!!

e) Maintain! our! insurance! after! Macro’s! tough! negotiation! despite! market! forces! dictating!higher!premiums!and!considering!Madina’s!water!damage!claims!history!

f) Restaurant!on!Ground!Floor!had!a!lot!of!issues!such!as!foul!smells!and!false!fire!alarms!in!the!common! areas.! The! Board! with!Macro! enforced! the! retail! tenant! to! upgrade! the! kitchen!equipment!which!resulted!in!an!odor!free!and!reduced!fire!risk!environment.!!

g) He!noted!we!have! close! to!AED!5m! in! the!bank!account!as! a! result!of! sound! reserve! fund!planning!necessary!for!future!major!investments!that!we!did!not!have!to!consider!before.!He!stressed!the!importance!of!having!a!cushion!for!such!issues!and!would!help!keep!the!value!of!the!building!high.!!

h) The! beautification! of! the! building!was! improved!with! new! lobby! furniture! and! artwork! to!improve!the!value!of!the!building!and!to!future!prospective!owners!!

i) Enhancing!the!gym!with!new!equipment!to!improve!the!overall!amenity!offering!!!

Mazen!Jabado!added!that!he!was!delighted!to!see!many!board!nominations!submitted!for!2017!as!it!demonstrated!engagement!by!some!owners;!he!requested!the!nominees!to!be!committed!to!the!role!and!be!involved!for!the!right!reasons.!He!suggested!avoiding!scenarios!where!some!board!members!may! become! absent! or! resign! through! the! term.!Mazen! thanked! the! audience! for! coming! to! the!meeting!and!concluded!his!opening!remarks.!!

5. Key%Achievements%&%Challenges%%

Roger!Ghandour!presented!the!key!achievements!of!2016,!as!follows:!

a) Energy%Savings:%!

As! a! result! of! several! energy! saving! initiatives! enacted! by! the! Board! since! 2012! and! the!Energy!Efficiency!Project! implemented! in! July! 2016,!DEWA!savings!of!AED!265,235! (10.4%)!was!achieved!from!January!to!November!2016!compared!to!same!period!last!year.!!

Roger! Ghandour! presented! the! DEWA! annual! consumption! chart! with! key! energy! saving!initiatives!enacted!during!this!period:!!

Mazen!Jabado,!Board!Member,!informed!the!audience!the!FAHU!controls!and!Chilled!Water!Pumps!replacement!were!contractually!implemented!from!1!July!2016,!therefore!the!savings!benefits!were!only!from!1!July!–!30!November!2016!and!we!can!expect!more!savings!in!the!coming!years.!!!As!a!result!of!the!energy!saving!initiatives!implemented!over!the!years,!a!total!saving!of!AED!767,027!has!been!achieved!since!January!2011!to!November!2016.!!Roger! Ghandour! presented! the! DEWA! monthly! comparison! between! 2015! and! 2016! to!reflect!the!results!of!the!guaranteed!energy!conservation!measures!implemented!in!July!2016!by!the!energy!audit!specialist,!Smart!AE:!

b) Replacement%of%Chilled%Water%Pipe%Insulation%%!

Roger!Ghandour!informed!the!next!key!achievement!in!2016!was!the!replacement!of!Chilled!Water!Pipe!Insulation!for!16.5!floors!to!eliminate!condensation!and!humidity!in!the!common!areas.!The!scope!of!work!included!the!following!areas:!!

!Roger!Ghandour!presented!photos!of! the!process!during! the! replacement!of!Chilled!Water!Pipe! Insulation! which! included! removing! the! entire! ceiling,! disconnecting! services! such! as!lights,! chilled!water! supply! and! fire! alarm! devices! etc,! removing! the! existing! chilled!water!pipe!insulation,!applying!red!oxide!coating!on!the!chilled!water!pipe,!installing!the!new!higher!grade!insulation,!rekinstalling!and!painting!of!the!ceiling.!!!Kashif! Nesar,! Operations! Manager! at! MTS,! who! was! responsible! for! the! insulation! works!updated!the!audience!that!the!replacement!of!the!Chilled!Water!Insulation!needs!to!be!done!during! the! cooler! months! when! there! is! minimum! consumption! of! the! Air! Conditioning!(preferably!from!January!to!Early!March)!and!that! lessons!were! learned!during!the!process,!which! would! help! streamline! the! retrofitting! of! the! remainder! of! the! chilled! water! pipe!insulation!not!initially!covered!during!the!first!phase.!!!!Mr.!Roger! informed!the!audience! the!second!phase!of! the!chilled!water!pipe! insulation! for!the!remaining!9.5!floors!would!be!discussed!later!in!the!meeting!during!2017!Other!Financial!Considerations!agenda!item.!!

!c) Healthy%Bank%Account%Balance%%

!Roger!Ghandour!presented!the!next!key!achievement!being!the!Owners!Association’s!bank!account!balance,!which!stood!at!AED!4,972,305!as!of!30!November!2016!compared!to!AED!3,259,142! on! 31! December! 2015.! Roger! informed! the! cash! on! hand! is! a! combination! of!General!and!Reserve!Funds,!with!the!latter!being!the!bulk!of!the!funds.!Roger!explained!the!General!Funds!are!used!for!the!daily!and!monthly!expenditure!of!the!Owners!Association!to!service!providers!and!utility!suppliers.!!!Roger! explained! this! came! to! be! as! a! result! of! the! Owners! Association’s! strategic! reserve!fund! planning! in! 2014! following! the! recommendations! of! the! Reserve! Fund! Study.! The!

Member,!added! that!you!get!what!you!pay! for!meaning!we!should!not!always!consider! the! lowest!quote!as!they!may! end! up! providing! poorer! quality! service! and! cause!more! damage! to! the! common! areas.!Mazen!Jabado,!Board!Member,!added!that!compared!to!Emaar!buildings,!Madina!service!charge!is!a!least!AED!5/sqft! lower! than!Emaar,! yet!we!are! still! able! to!deliver! good! services!and!maintain! the!common!areas!to!a!satisfactory!level.!!

9. Discussion%of%2017%Other%Financial%Considerations%%

During! the! 2017! Financial! Year,! the! Owners! Association!may! undertake! some! or! all! of! the! below!items!as!and!when!deemed!necessary.!Any!General!Fund!item!decided!to!be!enacted!may!result!in!a!special! service! charge! added! to! the! 2017! invoice.! Recent%Changes%around%the%Community%%%Roger!presented!several!picture!slides!of!other!improvements!that!took!place!around!the!community!in!2016.!The!pictures!were!presented!as!before!and!after.!!!The! Owners!were! satisfied! the! overall! presentation! and! expressed! appreciation! to! the! Board! and!Macro!for!their!hard!work.!This!concluded!the!presentation!portion!of!the!meeting.!!!

Owner%Questions%&%Answers%%!Roger!asked!the!audience! if! they!had!any!questions!about!the!presentation!or!other!concerns!that!were!not!addressed!during! the!meeting.!He!also!added! the!head!of!home!maintenance! services! is!present!at!the!meeting!in!case!owners!had!queries!regarding!their!services.!!!Some!owners!voiced!their!concern!at!the!rates!charged!by!MTS!Homeserve!division!for!provision!of!home!maintenance!services.!!Kashif!Nesar,!MTS!Operations!Manager,!immediately!took!note!of!their!concerns!and!assured!them!the!labor!and!parts!rates!would!be!reviewed!and!cross!checked!against!the! market! to! ensure! they! are! competitive! and! not! over! priced.! He! also! suggested! maintenance!package!deals!will!be!prepared!and!circulated!to!owners!and!residents!for!having!different!packages!for!planned!and!reactive!inside!apartment!maintenance.!Another!Owner!said!he!had!no!objection!to!paying!a!higher!price! for!MTS!home!maintenance! since! they!are! the!building!MEP!contractor!who!have!a!better!understanding!of!the!apartment!requirements!and!spares!are!more!readily!available.!!!!Another! owner! requested! if! certain! elements! of! home! maintenance! could! be! included! with! the!Service!Charge.!The!Owners!Association!is!legally!responsible!for!the!management!and!maintenance!of! the! common! areas! and! not! inside! apartment! maintenance.! Furthermore,! assuming! the!responsibility! of! the! inside! maintenance! raises! liability! concerns,! which! the! Owners! Association!should!not! assume!and!avoid,! irrespective!of! the!quality! of! the! recommended!home!maintenance!contractor.! Owners! and! their! tenants! are! expected! to! appoint! their! preferred! home!maintenance!contractor! and! not! rely! solely! on! the! building’s! common! area! MEP! service! provider’s! home!maintenance!service!should!they!feel!their!prices!do!not!reflect!their!expectation.!!!

Another! owner! expressed! his! dissatisfaction! with! the! maintenance! response! time;! Kashif! Nesar!confirmed!he!would!look!into!the!matter!and!avoid!time!delays!when!responding!to!normal!and/or!emergency!calls.!!!One!owner!asked!how!the!Owners!Association!will!ensure!the!repairs!from!apartment!to!apartment!leakages! incidents! are! carried! out! as! per! the! Community! Rules! and!what! happens! if! the! problem!returns! after! the! responsible! apartment! carried!out! the! temporary! repair! option.!Roger! replied!by!reiterating! the!permanent! solution! is! the!best! recommendation! and! should!owners! not! comply! or!the!problem!persists,! then!the!Owners!Association!would! issue!Violation!Notices!and!carry!out! the!necessary!repairs!and!recharge!the!responsible!owner!in!their!Service!Charge.!!!Dhabia!Al!Bayaty,!Board!Member,!added!that!Owners!should!consider!obtaining!alternative!opinions!from! their! preferred! home! contractors! if! they! are! dissatisfied! with! the! incumbent! MEP! service!provider’s! home!maintenance! scope/prices! but! ensure! the! work! is! carried! out! professionally! and!within!the!stipulated!time!frame!in!the!Community!Rules!and!in!coordination!with!Macro!to!oversee!the!process.!!!!She!also!added!that!we!should!all!promote!a!safe!environment!inside!apartments!and!in!the!common!areas;! cases! of! lit! candles! being! placed! outside! doors! was! an! example! which! poses! a! serious! fire!hazard! risk.!Another!owner! suggested!electronic!candles!as!a! safer!alternative.! It!was!clarified!non!hazardous!religious!decorations!are!permitted!by!the!Owners!Association!for!a!period!of!up!to!two!weeks!so!long!they!are!hung!on!apartment!doors!and!not!drilled!into!any!of!the!common!area!walls.!!!Another!owner! requested! if!a! list!of! suppliers!could!be!provided!to!owners! for!home!maintenance!services.! Mazen! Jabado,! Board! Member,! replied! the! Owners! Association! should! not! assume!responsibility! for! some! contractors! not! fulfilling! their! home! maintenance! obligations.! He!differentiated! the! difference!with! the! building’s!MEP! service! provider! for! the! common! areas,! that!also! happens! to! provide! home! maintenance! services,! went! through! a! detailed! prequalification!process! and! tender! bid! before! being! appointed.! This! stringent! process! is! not! applied! to! home!maintenance!services!since!it!is!does!not!fall!under!the!responsibility!of!the!Owners!Association!and!Board.!!!
