Description of Services Oracle will assist You with the following services (“Services”) related to Your implementation of the Oracle Sales Cloud Base Package (“Base Package”) in Your Oracle Cloud Services Environment:

1. Conduct an introductory telephone conference call with Your project manager to review the

Services and estimated timeline for the performance of Services;

2. Conduct an Application and Process Overview Workshop for up to two (2) hours with Your project

manager and the project team;

3. Perform the Initial Functional Setup of Your development environment;

4. Conduct a User & Organization Workshop for up to two (2) hours with Your project manager and

the project team;

5. Conduct a Business Process Workshop for up to four (4) hours with Your project manager and the

project team;

6. Based on input gathered during workshops and as documented in configuration workbooks,

configure Your Oracle Sales Cloud development environment, as follows:

A. Set up of up to one (1) Organization (Business Unit) and one (1) Country;

B. Set up an assignment of up to two hundred (200) users to five (5) seeded roles (e.g. sales

rep, sales manager);

C. Configure one (1) single language and one (1) single currency to be deployed for all

application users;

D. Configure the Profile Options for Global Search;

E. Configure the Profile Options for Accounting Calendar;

F. Configure the Profile Options for Accounts, Contacts, Activities;

G. Configure up to ten (10) custom fields on the Account object;

H. Configure up to ten (10) custom fields on the Contact object;

I. Configure Profile Options for Leads & Opportunities;

J. Configure up to ten (10) custom fields on the Opportunity object;

K. Configure the Profile Options for Sales Catalog, as follows:

1) Configure the Sales Catalog for up to two (2) Product Group Levels;

2) Configure the Sales Catalog for up to one hundred (100) Product Groups; and

3) Set up Sales Catalog for base usage.

L. Configure Profile Options for Oracle Social Network and Oracle Sales Cloud Mobile

Application; and

M. Activate standard Oracle Transactional Business Intelligence (OTBI) reports.

7. Conduct a configuration familiarization session for up to four (4) hours;

8. Conduct a review session of the Services for up to four (4) hours;

9. Make available the standard Oracle Sales Cloud Services End User Guide via a URL;

10. Make available the standard Oracle Sales Cloud Services Administration User Guide via a URL;


11. Conduct a Personalization Session for up to one (1) hour; and

12. Deploy Your Oracle Sales Cloud Services configuration into Your production environment (“Go-

Live”).

Your Obligations and Project Assumptions In addition to the obligations and assumptions stated in Your order, You acknowledge that Oracle’s ability to perform the Services depends upon Your fulfillment of the following obligations and the following project assumptions: Your Obligations

1. Obtain Cloud Services under separate contract prior to the commencement of Services and

maintain such Cloud Services for the duration of the Services.

2. Ensure Your existing procedure and business process documentation is made available to Oracle

in a timely manner prior to the start of the Services.

3. Notify Oracle within two (2) business days about any inaccuracies or incomplete information in

project documents provided by Oracle to You.

4. Develop any necessary end-user documentation, including, but not limited to, documenting

specific business practices, data examples and organization/end-user specific policies and

procedures.

5. Be responsible for planning, executing, and managing all aspects of the system review, including

preparing and executing test cases and plans and reviewing test results.

6. Modify Your processes as necessary to comply with the standard functionality in the Oracle Sales

Cloud Services.

7. Be responsible for extracting the data from source systems, cleaning it and translating it in format

specified by Oracle and loading in Oracle Sales Cloud application.

8. Maintain responsibility for the implementation of (file based) interfaces in Your existing systems

including production and consumption of file based interfaces by non-Oracle systems.

9. Ensure that Your team members are dedicated to completing their obligations related to these

Services and their assigned tasks under the project work plan.

10. Be responsible for post production maintenance and support of Oracle Sales Cloud application.

11. Be responsible for data migration and system integrations between Oracle Sales Cloud and legacy

applications.

12. Be responsible for delivery and conducting end user training.

13. You agree to make reasonable efforts to limit Oracle’s access to personal data to the minimum

necessary to accomplish the intended purposes. You acknowledge that You are solely responsible

for providing any required notices and obtaining any required consents for the processing or

transfers of personal data. You acknowledge that Oracle may provide the services from Oracle’s

global locations.

14. Prior to the commencement of Services, You designate and identify a business resource that will

be responsible for coordinating Your participation in this project and provide on-going support for

Your implementation of Oracle Sales Cloud. Responsibilities include but are not limited to:

A. Provide user feedback during configuration and validation;

B. Available as needed during the project to answer Oracle’s questions, provide business

decisions and other items as required; and

C. Provide on-going support to internal users after implementation of Services.


Project Assumptions 1. Some Services will be provided remotely via conference calls and web conferences.

2. The Services shall be delivered using Oracle’s Cloud Implementation Methodology.

3. All project documentation, presentations and project communication will be in English.

4. Standard functionalities will not be documented.

5. Performance testing, tuning or any management of performance services are not in scope.

6. Go-Live is defined as when the End-to-End system review is completed and users are activated.

7. The Services are designed to Go-live in the production environment at one time with all users (i.e.

no multiple or staged Go-lives).

8. Anything not expressly specified in the Description of Services is out of scope.

9. Any timelines or expected completion dates discussed with You are estimated dates and are

intended for planning purposes only.

10. Capitalized terms not defined in the agreement or this order shall refer to named functionality

and activities within the applicable Cloud Services, as described in more detail within the Oracle

Program documentation.

Completion of Services Upon completion of the Services, Oracle will provide You with written notice (e.g., a completion certificate). If You fail to provide written notice to Oracle that the Services do not conform to the description as set forth in the above Description of Services, within five (5) business days after the date of Oracle’s written notice of completion (the “review period”), then the Services shall be deemed completed at the end of the review period.

Unused Services

The Services must be used within twelve (12) months from Your order’s signature date, unless otherwise stated in Your order (“Professional Services Period”). Any Services not used within the Professional Services Period will be automatically forfeited by You, with no further action required of either party, and You will not be entitled to a refund, or any credit toward additional or other services, for any unused portion of the fees paid for any unused Services. You may not use the fees for any services other than the Services stated herein.

Expenses In addition to the fees set forth in Your order, You agree to reimburse Oracle for travel and out of pocket expenses related to providing any on-site services. All expenses invoiced monthly hereunder are due and payable in accordance with the payment terms of Your order.

Project Management You and Oracle each agree to designate a project manager who shall be responsible for coordinating its activities under this order. You and Oracle each shall direct all inquiries concerning the Services to the other party's project manager. Oracle’s project manager shall have the sole right to exercise direct control and supervision over the work assignments of Oracle resources.

Description of Services Oracle will provide You with the following services (“Services”) related to Your implementation of the Oracle Sales Cloud Territory Management module (“Territory Management”) in Your Oracle Cloud Services Environment:



2. Conduct a Territory Management Design Workshop for up to four (4) hours with Your project

manager and project team ;

3. Based on input gathered during the Territory Management Design Workshop and documented in

the configuration workbook, configure Your Oracle Sales Cloud development environment,

including:

A. Define Territory Management Profile options, including defaults and linkages between

Territory dimensions and Account classifications

B. Configure Profile Attributes, Lookup Values, and Territory Type

C. Set up and synchronize dimension and Territory members

D. Set up Territory geographies as applicable

E. Configure up to twenty (20) Territories

F. Configure up to two (2) standard Dimensions

G. Perform a one-time batch assignment of Territories

H. Setup scheduled processes for Territory Assignment if needed


5. Conduct a review session of the Services for up to two (2) hours;

6. Make available the standard Oracle Cloud Sales Administration User Guide via a URL; and

7. Deploy Your Oracle Sales Cloud Service configuration into Your production environment (“Go-

Live”).

implementation status is either complete or in progress.

manager and project team;

3. Based on input gathered during the Sales Cloud for Outlook Overview Workshop and documented

in the configuration workbook, configure Your Oracle Sales Cloud development environment,

including:

A. Configure standard enablement of Sales Cloud for Outlook for two (2) seeded roles (i.e.

Sales Manager & Sales Rep); and

B. Configure two-way data synchronization with Sales Cloud for Outlook (i.e. online and

offline mode).


5. Conduct an review session of the Services for up to two (2) hours;

cleansing;

B. Provide guidelines for conforming Your data to Oracle Sales Cloud Services data

requirements;

C. Assist in mapping legacy data to the configured Oracle Sales Cloud Services;

D. Import data, using tools contained within the Oracle Sales Cloud Services, by loading the

cleansed data, provided by You, in the Oracle specified format, into the Oracle Sales Cloud

Services Environment;

E. Migrate up to two hundred thousand (200,000) legacy records into up to four (4) Oracle

Sales Cloud entities: Account, Contact, Lead and Opportunity;

4. Conduct one (1) sample data load iteration;

5. Conduct sample data load validation session for up to two (2) hours;

6. Conduct one (1) full data load iteration in development environment;

Description of Services Oracle will assist You for up to twenty-four (24) person hours for the following services (“Services”) related to technical coaching API (“Technical Coaching API”) of remote product coaching using Sales Cloud Web Services for Simple Object Access Protocol (“SOAP”)/ Web Service Definition Language (“WSDL”) and Representational State Transfer (“REST”) in Your Oracle Cloud Services Environment:



2. Create a detailed agenda, including identification of the Oracle Sales Cloud Web Services features

and/ or functionality that Oracle will address during training;

3. Assist You to generate artifacts for extended objects;

4. Provide request and response samples where required for the SOAP Web Services;

5. Provide JavaScript Object Notation (“JSON”) request samples for REST services;

6. Schedule and provide training based on the detailed agenda described above; and

7. Schedule a follow-up question and answer (“Q&A”) session regarding the features and/ or

B. Provide the Core HR training guide (PDF file);

C. Provide the Core HR Standard Flow Diagrams (VSD files);

D. Provide generic test scripts for your modification and use;

E. Provide a reporting basket consisting of ten (10) pre-built reports that will be made available in Your staging system (in addition to those delivered with the standard system); and

F. Provide a generic HCM extract which can be used by You to import data into Your other systems (e.g., vendor, providers, etc.).

Your Obligations and Project Assumptions In addition to the obligations and assumptions stated in your order, you acknowledge that Oracle’s ability to perform the Services depends upon your fulfillment of the following obligations and the following project assumptions:

Your Obligations 1. Obtain Cloud Services under separate contract prior to the commencement of Services and

maintain such Cloud Services for the duration of the Services provided.

2. Designate a project manager who shall take the lead with coordinating and ensuring performance of Your obligations under these Services, and who shall be available to work directly with the Oracle project manager on a daily basis.

3. Ensure that Your team members are dedicated to completing their obligations under these Services and their assigned tasks under the project work plan.

4. Ensure that during the familiarization sessions key decisions are made by You (e.g. on how workforce structures are to be used).


6. Deliver any required end user training and create any necessary end-user documentation beyond an Adobe PDF file containing system use instructions, which will be provided by Oracle Consulting.

7. Complete all scheduled Configuration Workbook assignments within five (5) business days of commencement of Services, to ensure timely completion of project tasks.

8. Provide Oracle with any necessary revisions of Your workforce structures between data conversion load cycles.

9. Be responsible for the following tasks related to Your data migration from Your source HR environment to Your Oracle HCM Cloud Services Environment:


a) Verify the completed Domain Value Mapping (“DVM”), data mapping between Your legacy and Oracle HCM Cloud;

b) Extract data from Your legacy application and provide it in a prescribed format for loading into Oracle HCM Cloud.

c) Cleanse all data from Your legacy application for initial and incremental data loads;

d) Validate data loads/cycles into the Oracle HCM Cloud;

e) Perform any manual or automatic data conversion that may be necessary beyond what is listed in the Description of Services;

f) Validate import error details and correct data errors in Your environment, as required; and

g) Write any custom program to extract data from Your systems.

10. Perform any data mapping activities necessary to extract and integrate data to Your other applications and third party vendors and upload extracted data to the appropriate legacy or third party environment.

11. Be responsible for all testing, including any system, integration, performance, parallel, and/or user acceptance testing beyond the review services included in the Description of Services above.

2. Provide You with the following functional assistance

A. Facilitate a Talent familiarization workshop for up to four (4) hours and for up to five (5) people covering Talent processes.

B. Performance Management:

A. Enable Your HCM Cloud Performance Management module for one (1) annual performance review process by performing the following:

1) Assist You to configure Your HCM Cloud Talent Management Environment, limited to the following within one (1) Legislative Data Group:

i. Configure one (1) Performance Review Template for an annual performance review process;

ii. Input Your specific dates for the “Performance Document Review Period”;

iii. Input Your task completion due dates for each process step in the performance management template;

iv. Input up to five (5) competencies;

d) Adopt Your logo and naming, where applicable; and

4. Ensure that during the familiarization workshops key decisions are made by You (e.g. how

5. Notify Oracle within two (2) business days in advance of requests to change scheduled

meetings or expected completion dates of project work plan assigned tasks.

6. Deliver any required end user training and create any necessary end-user documentation

beyond an Adobe PDF file containing system use instructions, which will be provided by

Oracle.

7. Be responsible for all tasks related to Your data migration from Your source HR environment

to Your Oracle HCM Cloud Services Environments, including but not limited to:

a) Verify the completed domain value mapping , data mapping between Your legacy and

Oracle HCM Cloud;

b) Extract data from Your legacy application and provide it in a prescribed format for loading

into Oracle HCM Cloud;

c) Cleanse all data from Your legacy application for initial and incremental data loads;

d) Validate data loads/cycles into the Oracle HCM Cloud;

e) Perform any manual or automatic data conversion that may be necessary beyond what is

listed in the Description of Services;

f) Validate import error details and correct data errors in Your environment, as required;

and

g) Write any custom program to extract data from Your systems.

8. Be responsible for any future incremental data loading.

9. Be responsible for all testing, including any system, integration, performance, parallel, and/or

user acceptance testing beyond the review services included in the Description of Services

Services will include the following:

1. Project Management A. Create a PBCS project work plan and schedule (together, the “PWP”) in your third party

project management application (“Microsoft Project”). The PWP will include the following information: 1) Tasks, estimated task start and end dates, and estimated task duration; 2) Assigned resources roles from You and Oracle; 3) Task dependencies; and

A. Create weekly status reports, project risk/issue list. B. Create a document that summarizes key findings, activities performed, recommendations and

next steps at the end of the project (“PBCS Engagement Summary Report”).

2. Review Your requirements and design Your PBCS application, as follows: A. Provide up to three (3) consecutive person days to conduct requirements workshops to review

Your business requirements. 1) Review your PBCS application requirements as defined in the Application Use,

Application Requirements, Business Rules and Process Flow sections of the questionnaire in Appendix A;

2) Review and map Your reporting requirements as defined in the Reporting and Analysis section of the questionnaire in Appendix A to the PBCS standard reports;

3) Review data integration and data strategies; and 4) Create the PBCS requirements document which details the findings of these workshops.

B. Provide up to three (3) consecutive person days to conduct design workshops to review Your PBCS application design.

1) Prioritize Your PBCS application requirements; 2) Prioritize Your PBCS reporting requirements; and 3) Create the PBCS design document which details the findings of these workshops.

3. Configure Your PBCS application, as follows: A. Configure up to one (1) PBCS application with up to one (1) plan type, and up to six (6)

standard dimensions (Account, Entity, Year, Scenario, Version and Time periods) and up to

three (3) custom dimensions for either Revenue, Expense, Salary – Average, Salary – Hourly,

Capital Expenditure or Balance Sheet planning;

B. PBCS Dimensions to create Your PBCS planning application will have the following limits:

1) Standard dimensions:


a. Your Accounts dimension will have up to seven hundred fifty (750) members;

b. Your Entity dimension will have up to one hundred (100) members;

c. Your Years dimension will have up ten (10) members;

d. Your Scenario will have up to twelve (12) members;

e. Your Version will have up to seven (7) members;

f. Your Time periods will have up to eighteen (18) members; and

2) Custom dimensions:

a. Up to three (3) custom dimensions which may have up to five hundred (500)

standard business rules; D. Configure up to five (5) simple reports using Oracle Hyperion Smart View reports; E. Configure up to five (5) simple reports using Oracle Hyperion Financial Reports;

F. Configure up to ten (10) simple PBCS web data entry forms (“WDEF”); G. Create up to one (1) PBCS application task list; H. Create up to two (2) flat file data integrations according to a predetermined Oracle flat file

format, from one (1) existing source system to Your PBCS application or configure up to two (2) standard data integrations from Your Oracle ERP Cloud to Your PBCS application, to load up to twelve (12) months of data.

I. Configure Your PBCS application for up to ten (10) currencies; J. Configure Your PBCS application security for up ten (10) users and two (2) security groups; K. Provide You with up to two (2) workshops with a duration of two (2) hours each to demonstrate

the functionality of Your PBCS application; and L. Conduct unit testing of Your configured PBCS application components configured as above (as

defined in 3.A –3. J) and document the results of the unit testing in the PBCS unit testing results document.

4. Transition/testing

A. Provide up to two (2) consecutive person days to assist You with the migration of Your PBCS configured application components from Your development environment to Your production environment (“Go-Live”); and

B. Provide up to two (2) consecutive person days to assist You with the system testing of Your PBCS application.

5. Post Go-Live

A. Provide You with up to one (1) person day of PBCS administrator mentoring for Your PBCS application; and

B. Provide You with up to three (3) consecutive person days of post production support for Your PBCS application.

Your Obligations and Project Assumptions: In addition to the obligations and assumptions stated in your order, you acknowledge that Oracle’s ability to perform the Services depends upon your fulfillment of the following obligations and the following project assumptions:

Your Obligations

1. Obtain Cloud Services under separate contract prior to the commencement of Services and maintain such Cloud Services for the duration of the Services provided.



3. Participate in and assist with all Services tasks.

4. Provide Oracle with access to data structures, documentation, applications , databases, and artifacts as requested by Oracle to support the performance of Services.

5. In order for Oracle to perform the Services, You will provide virtual private network (“VPN”) access to Your systems through a network connection You create between Oracle and Your systems. If Your VPN client software and/or VPN infrastructure fails to allow Oracle access to perform Services, You agree to pay for any increased costs resulting from such failure.

6. Acknowledge that Oracle resources will not typically perform Services on holidays recognized by Oracle or on weekends. However, with Your permission, Oracle resources may choose to perform Services on such holidays and/or weekends.

7. Develop necessary end user documentation, including, but not limited to specific business practices and data examples documentation, and organization/end-user specific policies and procedures.

8. Identify, schedule, and facilitate the necessary requirements analysis, design, and implementation planning sessions with Your business user representatives and project team members, all according to the Project Work Plan.

9. If while performing Services Oracle requires access to other vendor’s products that are part of Your system, You will be responsible for acquiring all such products and the appropriate license rights necessary for Oracle to access such products on Your behalf.

10. Prepare any necessary end-user training material and presentations, including train-the-trainer materials and provide any training of end-users.

11. Provide the necessary, appropriate data (e.g. test data, configuration data, etc.) required by Oracle to support the performance of Services, according to the format defined by Oracle.

12. Be responsible for all testing, including system and integration testing of Your PBCS application. 13. Prior to the commencement of the Services, ensure that your project team members are trained on

the Oracle products relevant to the Services to be provided. 14. Complete the PBCS requirements questionnaire included in Appendix A prior to the commencement

of the Services. 15. You agree to make reasonable efforts to limit Oracle’s access to personal data to the minimum

Description of Services Oracle will provide You with up to eighty (80) hours (“Total Hours”) of the following services related to Your implementation of Oracle Hyperion Planning and Budgeting Cloud Service (“PBCS”) application in Your Oracle Cloud Services Environment (the “Oracle Consulting Advanced Enablement Pack for Planning & Budgeting Cloud” or “the Services”):

1. Assist You to configure and administer, (e.g. add versions, scenarios, review business rules, etc.) Your PBCS application in Your non-production and/or production environment, as applicable;

2. Respond to questions and provide information regarding PBCS standard features and functionality;

3. Assist You with Your PBCS security administration and configuration of Your PBCS application in Your non-production and/or production environment, as applicable;

4. Assist with PBCS report creation, configuration, and formatting using Oracle Hyperion Financial Reporting or Oracle Smartview tool;

5. Provide advice and guidance for incremental data loads using standard PBCS or Oracle Hyperion Financial Data Quality Management Enterprise Edition (“FDMEE”);

6. Assist with updating existing standard PBCS integrations or FDMEE integrations for your PBCS application;

7. Provide advice and guidance in reviewing incidents and service request (“SR”) creation and submission to Oracle Support;

8. Provide advice, guidance and recommendation for Your adoption of new releases of the Oracle

Cloud Services identified in Your order ; and

9. Schedule regular meetings to discuss Your use of the Services.
