STANDBY SERVICERATE SCHEDULE SS
Standby Service refers to electric energy and capacity supplied by OUC to supplement and/orreplace energy or capacity ordinarily generated by the Customers own generaon equipment duringperiods of scheduled maintenance or unscheduled outages. Both rm and non-rm Standby Serviceis oered by OUC through this tari as specied below.
Availability:
Available to any point of delivery in the OUC service territory and to any Customer who is or wouldotherwise be taking electricity service through standard taris oered by OUC.
Applicability:
Standby Service is applicable to residenal and non-residenal Customers where all or part of theCustomers electrical requirements is supplied by a generaon source, other than OUC, which is
located on the Customers premises. Customer class will remain consistent with the OtherwiseApplicable Rate Schedule.
Service Agreement Requirement:
Customers wishing to connect their facilies to on-site generaon must execute a Standby ServiceAgreement (SSA) with OUC no less than sixty(60) days prior to the date on which that on-site generaonwill rst be operated to produce any electricity. The execuon of a SSA does not supercede any pre-exisng service agreement executed by the Customer with OUC.
Character of Service:
Alternang Current, 60 cycle, single or three-phase, at the Ulitys standard available voltages.
Metering Requirements:
Depending on the services provided, and the conguraon of the Customer and OUC interconnecon,the following types of meters may be required as part of receiving standby service.
System Usage Meter: The meter(s) located at the Point of Delivery between the OUC electric systemand the Customers electric system that measure the amount of electricity that the Customer receivesfrom and through the OUC electric system in each billing interval. The billing interval is dened asthe me interval over which energy or/and demand is integrated and recorded under the ApplicableService Classicaon.
On-Site Generator (OSG) Meter: OUC shall also furnish and install one or more interval meter(s) forthe purpose of measuring the output of each and all on-site generaon facilies connected to OUCselectric system, regardless of whether such generators are operated in parallel with OUCs generaonor are isolated for stand-alone operaon with standby service provided by OUC. The Customers OSG
Meter(s) will be synchronized or totalized with the measurements recorded on the same basis as theCustomers System Usage Meter(s) and the Customers Credit Meter(s) (if any).
Otherwise Applicable Rate Schedule:
Otherwise Applicable Rate Schedule refers to the rate schedule under which the Customer wouldbe receiving electricity service from OUC if the Customer were not qualied for service under theStandby Service Tari.

GENERAL SERVICE DEMAND
CURTAILABLE RIDER
Availability:
To customers receiving service under rate schedules GSD-SEC or GSD-PRI and where the measuredmonthly kW demand is 500 kW or more for twelve consecuve billing periods ending with the currentbilling period and the customer agrees to curtail 200 kW or more of electric use upon request of OUCand meet the special provisions of this schedule.
Condions:
Electric service, at a minimum, is curtailable during any me period that electric power and energyfrom OUCs available generaon, transmission and distribuon resources are required to maintainservice to OUCs rm power customers. Curtailment mes are set forth in special provision No. 3 ofthis Rate Schedule. OUC will not make o system purchases during curtailment periods to maintain
service to curtailable loads. Condions of service are more fully dened under Special Provisions ofthis Rate Schedule.
Monthly Rate:
Other than as stated below, the otherwise applicable rate schedule for electric service will apply.Customer Charge $140.00Curtailable Demand Credit $2.85 per kW
Curtailable Demand Credit:
The curtailable demand credit shall apply to the dierence, if any, between the current billing demandand the contracted non-curtailable demand determined in accordance with special provision No. 2of this rate.
Minimum Bill:
The minimum bill as dened by the applicable rate schedule less the curtailable demand credit if any.
Special Provisions:
1. As used in this Rate Schedule the term Period of Requested Curtailment shall mean a periodfor which OUC has requested curtailment. The number of requests may not exceed more thanone in a 24 hour period or more than 350 total hours in twelve billing periods. A single period ofrequested curtailment may extend to 8 hours.
2. Under the provisions of this rate, OUC will require a Curtailable Service Agreement with theCustomers. The inial Non-Curtailable Demand shall be specied in the Agreement and shallbe based on specicaons for power requirements supplied to OUC by the Customer. If, aercommencement of service, the customers load increases, the non-curtailable demand can beincreased, upon request of the customer, as long as the amount being curtailed is equal to orgreater than the contracted curtailable load. If aer commencement of service, a lower demandis established during a period of requested curtailment, the Non-Curtailable Demand will bereduced to the lower level in future billing periods upon request of the Customer.

3. As an essenal requirement for receiving the Curtailable Demand Credit provided under this RateSchedule, a Customer shall be strictly responsible for the curtailment of his power requirements
to no more than his Non-Curtailable Demand upon each request of OUC. OUC will have theright to test the customers ability to curtail as contracted. OUC will specify This Is A Test. Testcurtailment periods will not exceed 90 minutes from inial curtailment request. Test requests willoccur once a quarter. If a test is requested and the customer is unable to curtail as contracted, thepenalty described in Special Provision No. 5 will apply.
4. A Customer will be deemed to have complied with his curtailment responsibility if the maximum15-minute kW demand established during each period of requested curtailment does not exceedhis Non-Curtailable Demand and he has reached that level within 30 minutes of receiving therequest.
5. If the maximum 15-minute kW demand established during any period of requested curtailmentexceeds the Customers Non-Curtailable Demand, the Customer will be billed for 125% of theCurtailable Demand Credit aributable to the amount of such excess demand in each billingperiod from the current month to the most recent prior billing period in which curtailment wasrequested, not to exceed a total of twelve billing periods.
6. All other provisions of the otherwise applicable rate schedule will apply to customers servedunder this schedule.

Availability
This rate, oered as a pilot program, is available anywhere within Orlando Ulies Commissionsservice area.
Applicability
Applicable, upon request, to eligible customers in conjuncon with standard applicable rates. Aphotovoltaic (PV) system is a solar electric generang system which contains solar PV panels,baeries (oponal), a Stac Power Converter (Inverter), wiring, fuses, conduit, circuit breakers, etc.,as described in IEEE 1547 in order to produce electricity. This pilot program is available to the rst 600kW of Residenal PV generaon and the rst 2,000 kW of General Service PV generaon.
PV Energy Producon CreditThe customer will receive a monthly credit of 5.0 cents per kWh for the producon of solar energy asrecorded by the meter installed on the customers PV system.
Billed Energy
The billed energy (kWh) applied to the applicable standard tari energy rate shall be calculated asthe dierence between the OUC supplied energy and the energy exported to the OUC grid from thecustomers PV system.
Special Provisions
1. A customer taking the Photovoltaic Energy Producon Credit Rider must apply and enter intoa RSSA or CSSA agreement, as applicable, and complete an Interconnecon Agreement for PV
systems with OUC. Commencement of this rider will occur once the customer has executed theagreement and the system installaon has been inspected and approved by OUC.
2. OUC shall furnish and install at its expense such metering facilies, as OUC shall deem appropriateto measure the total amount of renewable energy produced by the customers PV system.

Character of Service
Customers may purchase 200-kWh blocks of renewable energy produced at or acquired from faciliesusing biomass fuel, wind generaon, photovoltaic generaon, and/or other renewable energy
sources. Renewable Energy customers will be served from the exisng OUC electrical system. Therenewable energy may not be delivered directly to the customer, but will displace energy that wouldhave otherwise been produced from tradional fossil fuel or nuclear generaon resources.
Monthly Rate
Type I:$5.00 per month for each 200-kWh block of Blended Renewable Energy purchased in addion tocharges applied under otherwise applicable rate schedules.
Type II:$10.00 per month for each 200-kWh block of 100% Solar Energy purchased in addion to chargesapplied under otherwise applicable rate schedules.
Term of Service
Service under Rate Schedule RE shall be for a minimum of one (1) billing period.

SECTION 3 THE PARTIES MUTUALLY AGREE:

SECTION 1OUC AGREES THAT DURING THE TERM OF THIS AGREEMENT IT SHALL:
1.1. Install the lighng service equipment listed in Exhibit 1 (Lighng Equipment) on the CUSTOMERsproperty more specically described in Exhibit 1 (the Property), operate and maintain all suchLighng Equipment, and if possible under applicable laws and regulaons, provide electric servicenecessary for the operaon of the Lighng Equipment, all in accordance with the rates set forth in
Exhibit 1 and the terms and provisions set forth in this Agreement (together, all such installaon,operaon, maintenance and (if applicable) electric supply services shall be referred to herein asthe Lighng Service).
1.2. Bill CUSTOMER for Lighng Service based on the rates set forth in Exhibit 1; provided, howeverthat OUC shall be entled to adjust the rates charged for Lighng Service as set forth in Exhibit 1.OUC shall annually deliver noce to the CUSTOMER of any such changes to the Lighng Servicerates.
SECTION 2THE CUSTOMER AGREES THAT DURING THE TERM OF THIS AGREEMENT IT SHALL:
2.1 Whenever possible under applicable laws and regulaons, purchase from OUC all of the electricenergy used for the operaon of the Lighng Equipment.
2.2 Pay by the due date indicated thereon all bills rendered by OUC for Lighng Service provided inaccordance with this Agreement.
2.3 Trim any and all trees or other foliage that may either obstruct the light output from LighngEquipment or that may obstruct maintenance access to the Lighng Equipment.
SECTION 3: EASEMENTS AND ACCESS
CUSTOMER hereby grants to OUC an irrevocable right of entry, access, ingress and egress into,over, across, upon and through the Property for purposes of gaining access to the LighngEquipment. In addion, CUSTOMER hereby grants, transfers and conveys to OUC, an easementover the Property for the purpose of installing, operang, replacing and maintaining the LighngEquipment as required under this Agreement.

OUC shallnot be in default for its failure to perform its obligaons under this Agreement to the extentresulng from delays due to causes outside of its control, including without limitaon, acts ofGod, epidemics, lightning, storms, earthquakes, res, oods and washouts; strikes, lockoutsor other industrial disturbances; acts of the public enemy, wars, blockades, insurrecons, civildisturbances and riots; arrests, orders, direcves or restraints of government agencies, eitherlocal, state, federal, civil or military; or acts of CUSTOMER which prevent OUC from providing
Lighng Service (each considered a Force Majeure Event). OUC shall be entled to an extensionof me for the performance of Lighng Service sucient to overcome the eects of any suchForce Majeure Event.
4.3 Except as specically permied under subsecon 4.6 below, modicaon of the LighngEquipment provided by OUC under this Agreement may only be made through the execuonof an addional Agreement between OUC and CUSTOMER or by wrien amendment to thisAgreement, delineang the modicaons to be accomplished and (if applicable) seng out anyadjustments to the terms and condions necessitated by the modicaon. Notwithstandinganything to the contrary contained herein, CUSTOMER shall not possess or have any direcon orcontrol over the physical operaon of the Lighng Equipment and the possession of the LighngEquipment and the direcon and control of the physical operaon of Lighng Equipment shall bevested exclusively with OUC.
4.4 OUC shall, at the request of the CUSTOMER, relocate the Lighng Equipment if provided sucientrights-of-way or easements to do so and the requested relocaon does not negavely aect theability of OUC to provide Lighng Service. The CUSTOMER shall be responsible for the paymentof all costs associated with any such CUSTOMER requested relocaon of OUC Lighng Equipment.
4.5 OUC may, at any me and without the need for CUSTOMERs permission, substute any luminaire/lamp installed hereunder with another luminaire/lamp which shall be of at least equal illuminangcapacity and eciency.
4.6 OUC shall retain all tle right and ownership interest in the Lighng Equipment and shall beresponsible to repair or replace (and assumes all risk of loss) for any damage to any LighngEquipment provided pursuant to this Agreement; provided, however that notwithstanding theforegoing, OUC shall not be responsible for and the CUSTOMER agrees to take responsibility for,the cost incurred to repair or replace any Lighng Equipment that has been willfully damaged by
CUSTOMER, its employees, agents, invitees or licensees or any other third party in which case OUCshall not be required to make such repair or replacement prior to payment by the CUSTOMER fordamage.

4.7 Should the CUSTOMER fail to pay any bills due and rendered pursuant to this Agreement orotherwise fail to perform its obligaons contained in this Agreement, said obligaons beingmaterial and going to the essence of this Agreement, OUC may cease to supply the Lighng
Service unl the CUSTOMER has paid the bills due and rendered or has fully cured such otherbreach of this Agreement. Any failure of OUC to exercise its rights hereunder shall not be deemeda waiver of such rights. It is understood, however, that such disconnuance of the supplying ofthe Lighng Service shall not constute a breach of this Agreement by OUC, nor shall it relieve theCUSTOMER of the obligaon to perform any of the terms and condions of this Agreement.
4.8 CUSTOMER shall be entled to assign its rights under this Agreement to the CUSTOMERs successorin tle to the Property upon which the Lighng Equipment are installed with the wrien consentof OUC, which shall not be unreasonably withheld. No assignment shall relieve the CUSTOMERfrom its obligaons hereunder unl such obligaons have been assumed by the Purchaser inwring and agreed to by OUC.
4.9 This Agreement supersedes all previous Agreements or representaons, either wrien, oral orotherwise between the CUSTOMER and OUC, with respect to the Lighng Service referencedherein and along with OUCs electric service taris, constutes the enre Agreement betweenthe pares. This Agreement does not create any rights or provide any remedies to third paresor create any addional duty, obligaon or undertakings by OUC to third pares.
4.10 CUSTOMER recognizes and agrees that it is ulmately responsible for the payment of all sales, use,excise, gross receipts and other taxes that may apply to, or be impose upon, the transacon that isthe subject of this Agreement, if any, irrespecve of when such taxes may be charged or assessedagainst OUC. Any non-collecon or non-assessment of such taxes by OUC contemporaneouslywith the occurrence of the transacon shall not waive, release or diminish CUSTOMERs ulmateresponsibility for the payment thereof, irrespecve of whether such taxes are later charged orassessed by OUC or the applicable taxing authority(ies).
4.11 This Agreement shall inure to the benet of, and be binding upon the successors and permied
assigns of the CUSTOMER and OUC.4.12 OUC will exercise reasonable eorts to furnish Lighng Service hereunder in a manner which
will allow connuous operaon of the Lighng Equipment, but OUC does not warrant theconnuous operaon of the Lighng Equipment and shall not be liable for any damages for anyinterrupon, deciency or failure of Lighng Equipment. Notwithstanding any other provisionof this Agreement, in no event shall OUC have any liability to CUSTOMER under this Agreement,whether based in contract, in tort (including negligence and strict liability) or otherwise, for: (a)any special, incidental, indirect, exemplary or consequenal damages; (b) damages with respectto costs of capital, costs of replacement power, loss of prots or revenues, or loss of use of plantor equipment, irrespecve of whether such damages may be categorized as direct, special,consequenal, incidental, indirect, exemplary or otherwise.

SECTION 5: TERM, EFFECTIVE DATE, AMENDMENT AND TERMINATION
5.1 Term: The inial term of this Agreement (the Term) shall be for twenty (20) years, and thereaer
shall automacally renew for successive Terms of ten (10) years hence, unless terminated bywrien noce of such intenon from either party to the other at least sixty (60) days prior toexpiraon date of the inial Term or subsequent Terms. The inial Term shall begin when theinstallaon of the Lighng Equipment is nally completed and the CUSTOMER is rst billed for theLighng Service based on operaon of the full compliment of Lighng Equipment to be providedunder this Agreement. In the event that a phased installaon of Lighng Equipment is to beprovided by OUC by means of the Phase Installaon Plan described in Exhibit 1, each developmentphase completed shall have its own Term under this Agreement. The Term for each such phaseshall begin when installaon of the Lighng Equipment for that phase is nally completed andthe CUSTOMER is rst billed for the Lighng Service for that phase based on the operaon of thefull compliment of Lighng Equipment that is to be provided under the Phase Installaon Plan forthat phase.
5.2 Eecve Date: The eecve date of this Agreement shall be the date of execuon by theCUSTOMER or OUC, whichever is later.
5.3 Amendment to Agreement: This Agreement may only be amended in wring and such amendmentmust be executed with the same degree of formality as this Agreement. Notwithstanding theforegoing, the annual adjustment to rates as set forth in Exhibit 1 shall not require an amendmentto this Agreement provided such annual rate adjustment does not exceed three percent (3%)over the prior years rate, exclusive of fuel charges.
5.4 Terminaon: The CUSTOMER may opt to terminate the Agreement at the end of the inial orsubsequent Terms by providing to OUC at least sixty (60) days advance wrien noce. OUC mayterminate this Agreement if at any me during the Term a nal court decision is issued, an InternalRevenue Service ruling is issued, or a change in the applicable statutes or regulaons occurs, anyof which in the reasonable opinion of OUCs general counsel, results in the connued existence of
this Agreement having a material adverse eect on OUCs ability to issue tax exempt bonds. Anysuch terminaon shall be made by 30 days prior wrien noce from OUC to CUSTOMER. TheCUSTOMER will be responsible for the cost incurred by OUC to remove the Lighng Equipment.OUC shall issue a bill to the CUSTOMER for removal costs once removal has been completed.
SECTION 6: GOVERNING LAW
The validity, construcon, and performance of this agreement, shall be in accordance with thelaws of the State of Florida without applicaon of its choice-of-law rules.

1. REPRESENTATIONS.The Customer makes the following representaons:
a) Customer owns the home and solar system(s) at the Service Address set forth above.
b) The solar photovoltaic system(s) for consideraon under this agreement is/are:

2. PURCHASE AND SALE. To support the local producon of renewable energy, OUC desires topurchase and Customer agrees to sell all of the environmental aributes associated with thegeneraon of solar energy, including but not limited to, all renewable energy cercates, greentags, carbon osets, or other tradable environmental interests (collecvely EnvironmentalAributes) generated by the solar system(s) at the Service Address. An Environmental Aributeis created for every one thousand kilowa-hours of energy that is produced from a renewableresource such as solar energy. The Environmental Aributes are separate and apart from theenergy produced and may be independently transferred or conveyed. OUC will accumulate theEnvironmental Aributes to more cost eecvely meet its renewable energy porolio goals which
benets all OUC customers.3. TERM.The term of this Agreement shall commence on the Eecve Date and shall connue for
a period of ve (5) years from the date of the rst ulity bill (Bill Date) where the Purchase andSale of Environmental Aributes have been iniated. This Agreement shall automacally renewfor successive Terms of ve (5) years hence, unless terminated by wrien noce of such intenonfrom either party to the other at least sixty (60) days prior to expiraon date of the inial Termor subsequent Terms. The Agreement may also be terminated if the customer moves out of thepremise and therefore closes the account with OUC.
4. PURCHASE PRICE. The price for the Environmental Aributes shall be a payment based onOUCs receipt of all Environmental Aributes generated by the solar system(s). The price for theEnvironmental Aributes will be set forth in the Companys Electric Tari (Pilot Solar PhotovoltaicCredit Program Rider) on le with the Florida Public Service Commission (FPSC) which may be
changed from me to me.

5. TERMS AND CONDITIONS.
a) Customer shall be solely responsible for ensuring that the solar system(s) equipment installedfor this program meets all applicable codes, standards, and regulatory requirements.
b) The Customer must receive electric power from OUC and maintain an account in theCustomers name throughout the term of this Agreement.
c) The Customer must provide OUC with a copy of the electrical one-line diagram for the PVsystem.
d) The Gross Power Rang of the PV system shall not exceed two (2) megawas as dened inAppendix A (F.A.C. 25-6.-65).
e) The Customer shall complete a PV Interconnecon Applicaon and Compliance Form aachedand incorporated herein as Exhibit A, and be granted permission by OUC to interconnectto its electric distribuon system prior to the operaon of the proposed PV system. The
Customer agrees to maintain compliance with all of OUCs interconnecon requirements.f) If any excess energy is generated by the PV system at the Service Address, OUC shall receive
all of this excess energy. The Customer will receive compensaon for any excess energyin the form of a consumpon oset to the Customers energy consumpon as shown onthe next billing cycle as set forth in the Companys Net Metering for Customer OwnedRenewable Generaon Tari on le with the FPSC which may be changed from me to me.The Customers Billed Energy shall be applied to the applicable standard tari energy rateand shall be calculated as the dierence between the OUC supplied energy and the energyexported to the OUC grid from the Customers PV system.
g) If this agreement is terminated as provided for in Secon 3, the Customer will remain eligibleto interconnect to OUCs distribuon system; however, the Customer shall not be billedbased on the Pilot Solar Photovoltaic Credit Program Rider, but on the otherwise applicable
tari rate.
h) The Customer shall not be allowed to sell the Environmental Aributes to any party otherthan OUC during the inial and all subsequent terms of this Agreement.
i) Under the terms of this Agreement, OUC does not imply any representaon or warrantyby OUC of the design, installaon or operaon of the solar equipment, and OUC expresslydisclaims any and all warranes of the equipment as to workmanship, quality, or performance,including the tness of the equipment for the purpose intended.
j) OUC shall not be responsible or liable for any personal injury or property damage caused bythe solar system(s) or any individual component equipment of the system(s).

k) Customer shall indemnify, defend, and hold OUC, its employees, agents, successors,assigns, subsidiaries and aliates harmless against any and all claims, demands, liens,lawsuits, judgments or acons of whatsoever nature that may be brought on account ofthe installaon, maintenance, operaon, repair, or replacement of the Solar system or anycomponent equipment of the system.
l) If any of the representaons of the Customer are false or incorrect, such false or incorrectrepresentaon shall constute a material breach of this Agreement.
m) This Agreement shall be exclusively governed by and interpreted in accordance with the lawsof the State of Florida.
n) Customer grants to OUC permission to share informaon concerning the locaon of theEnvironmental Aributes sold to OUC by Customer for the limited purpose of ensuring thatthe Environmental Aributes associated with the Customers solar system have not beensold to another enty and meet the reporng requirements of the FPSC Rule 25-6.065.
o) Customer acknowledges that as a Municipal Ulity, OUC is required to provide publicinformaon on the locaon and size of the solar system(s) to both public and private enesupon wrien request unless the solar customer is otherwise exempt.
p) OUC will own, read, and maintain the solar system(s) meter(s).

COMMERCIAL SOLAR SERVICE AGREEMENT CSSA
CUSTOMERSITED SOLAR SYSTEMS
This Agreement is made and entered into this ___ day of ___, 20__, (Eecve Date) by andbetween the Orlando Ulies Commission (OUC or Company), a statutory commission exisng underthe laws of the State of Florida, whose address is 100 West Anderson Street, Orlando, Florida 32801, and__________________________________________ (Customer), whose electric service address is ______________________________________________________, (the Service Address).
1. REPRESENTATIONS. The signatories hereto individually and collecvely make the followingrepresentaons:
a) They are individually authorized and competent to sign this Agreement, and that they haveread the Agreement and agree to be bound by its terms.
b) Customer owns the solar system(s) in the state of Florida at the Service Address set forthabove, and whose primary business is not the generaon of electricity for retail or wholesalesale from the same Service Address, and for the purpose of this Agreement is the person inwhose name electric service is listed at the Service Address.
c) The solar system(s) for consideraon under this agreement is/are:

d) OUC shall provide customer with a one-me solar thermal meter credit of two-hundred-ydollars ($250) to oset the cost of installing each BTU meter.
2. PURCHASE AND SALE.On the terms and subject to the condions set forth in this Agreement,the Customer agrees to sell and OUC agrees to purchase from Customer all of the environmentalaributes associated with the generaon of solar energy, including but not limited to, allrenewable energy cercates, green tags, carbon osets, or other tradable environmentalinterests (collecvely Environmental Aributes) generated by the solar system(s) at the ServiceAddress. An Environmental Aribute is separate and apart from the energy produced and maybe independently transferred or conveyed. OUC will accumulate the Environmental Aributes tomore cost eecvely meet its renewable energy porolio goals which benets all OUC customers.
3. TERM. The term of this Agreement shall commence on the Eecve Date and shall connue fora period of ve (5) years from the date of the rst ulity bill (Bill Date) where the Purchase and
Sale of Environmental Aributes have been iniated. This agreement shall automacally renewfor successive Terms of ve (5) years hence, unless terminated by wrien noce of such intenonfrom either party to the other at least sixty (60) days prior to expiraon date of the inial Term orsubsequent Terms.

4. PURCHASE PRICE. The price for the Environmental Aributes shall be a payment based onOUCs receipt of all Environmental Aributes generated by the solar system(s). The price for theEnvironmental Aributes will be set forth in the Companys Electric Tari (Pilot Solar PhotovoltaicCredit Program Rider and/or Pilot Solar Thermal Credit Rider) on le with the Florida PublicService Commission (FPSC) which may be changed from me to me.
5. TERMS AND CONDITIONS
a) Customer shall be solely responsible for ensuring that the solar system(s) equipment installedfor this program meets all applicable codes, standards, and regulatory requirements.
b) The solar system(s) shall be located at the Service Address at all mes during the term of thisAgreement.
c) For Solar Photovoltaic (PV) Systems:
c1. The Customer must receive electric power from OUC.
c2. The PV system shall be no larger than one (1) megawa, nameplate direct current (DC)output capacity.
c3. The Customer shall complete a PV Interconnecon Applicaon and Compliance Formaached and incorporated herein as Exhibit A, and be granted permission by OUC tointerconnect to its electric distribuon system prior to the operaon of the proposed PVsystem. The Customer agrees to maintain compliance with all of OUCs interconneconrequirements.
c4. If any excess energy is generated by the PV system at the Service Address, OUC shallreceive all of this excess energy. The Customer will receive compensaon for any excessenergy in the form of a consumpon oset to the customers energy consumpon asshown on the next billing cycle as set forth in the Companys Net Metering for Customer
Owned Renewable Generaon tari or other taris on le with the FPSC which may bechanged from me to me. The Customers Billed Energy shall be applied to theapplicable standard tari energy rate and shall be calculated as the dierence betweenthe OUC supplied energy and the energy exported to the OUC grid from the CustomersPV system.
c5. If this agreement is terminated as provided for in Secon 3, the Customer will remaineligible to interconnect to OUCs distribuon system; however, the Customer shall notbe billed based on the Pilot Solar Photovoltaic Rider, but on an otherwise applicabletari rate.
d) For Solar Thermal Water Heang Systems:
d1. Solar thermal water heang systems must be used for potable water heang.
d2. Solar pool water heang systems are excluded under this agreement.e) OUC shall purchase and own all Environmental Aributes produced by the solar system(s),
and the Customer shall not be allowed to sell the Environmental Aributes to any party otherthan OUC during the inial and all subsequent terms of this Agreement. Upon the customerrequest to terminate this agreement under secon 3, OUC shall have the right of rst refusalwith respect to any and all bona de oers to purchase Environmental Aributes and agreesto exercise such right of rst refusal, if at all, within thirty (30) days of receiving wriennocaon by Customer of a bona de oer.

f) This Agreement is assignable by Customer to any subsequent purchaser of the ServiceAddress, pursuant to secon 5(q) below.
g) Under the terms of this Agreement, OUC does not imply any representaon or warrantyby OUC of the design, installaon or operaon of the solar equipment, and OUC expresslydisclaims any and all warranes of the equipment as to workmanship, quality, or performance,including the tness of the equipment for the purpose intended.
h) OUC shall not be responsible or liable for any personal injury or property damage caused bythe solar system(s) or any individual component equipment of the system(s).
i) Customer shall indemnify, defend, and hold OUC, its employees, agents, successors,assigns, subsidiaries and aliates harmless against any and all claims, demands, liens,lawsuits, judgments or acons of whatsoever nature that may be brought on account ofthe installaon, maintenance, operaon, repair, or replacement of the Solar system or anycomponent equipment of the system.
j) This Agreement and the terms contained in the Agreement shall be binding and enforceableagainst the pares for as long as the Agreement remains in eect.
k) If any disputes arise concerning this Agreement, including but not limited to enforcement ofany term or condion of the Agreement, pares specically agree to be responsible for theirown aorneys fees and costs, whether incurred at trial or on appeal unless awarded as partof any selement or judgment. Failure of either party to enforce any term or condion ofthis Agreement shall not constute a waiver of that term or condion or of any other termor condion of this Agreement.
l) The pares agree that a cause of acon for breach of any provision of this Agreement shallnot accrue with regard to statutory me limitaons unl the non-breaching party actuallydiscovers the breach.
m) If any of the representaons of the Customer are false or incorrect, such false or incorrectrepresentaon shall constute a material breach of this Agreement.
n) This Agreement shall be exclusively governed by and interpreted in accordance with the lawsof the State of Florida.
