In response to the calls of our local and regional clients who set up or at the stage of setting up business in Dubai, AZTAN signed, in 2014, a

joint-venture agreement with M/s. Al-Gharib & Associates. Based on this joint-venture, AZTAN stationed three professional lawyers in the

offices of Al-Gharib & Associates looking after the interests of AZTAN’s clients in the United Arab Emirates in particular and in the GCC in

general. The past period of this collaboration with Al-Gharib & Associates proved striking success of this joint-venture.

As will be detailed in this profile, AZTAN was deeply involved in business in South Sudan prior to and after independence of the Republic of South Sudan in July 2011. The Republic of South Sudan is a newly borne country, got its independence in July 2011. Both Sudan and the Republic of South Sudan follow the Common Law System. Special attention should be drawn to the fact that most of the laws have not yet been enacted in the Republic of South Sudan. Furthermore, official staffs in governmental bodies encounter many difficulties in application of the newly enacted laws due to the lack of guiding precedents. In spite of the fact that they are co-operative, however, it is not at all an easy task to get accurate information regarding a certain issue. In 5th December 2013 AZTAN Law Firm formed a joint-venture with "Sulaf & Associates" of South Sudan (the "JV"). The main feature of this JV was that both law firms shall work together in the Republic of South Sudan on projects basis. The JV will submit for qualification for each project and, for each transaction, a "Business Name" shall be registered with the Registrar of Companies, Business names and NGOs in Juba, Republic of South Sudan. This approach secures compliance with the local Laws in South Sudan and reflects the JV relationship between the two firms. By creating the JV in South Sudan, AZTAN Law Firm responds to the current economic trends and needs of its current and potential local and international clients who have business interests and activities in South Sudan.

Advocate Sulafedin is the resident partner and advocate Tayeb Hassabo and advocate Osama Ombada will be available in the office in Juba on rotation basis. Due to the strong business connections between Kenya, Tanzania, South Sudan and Sudan, AZTAN signed, in March 2016, a joint-venture agreement with Mr. Sawaleh Kanyeki in Kenya. Area AZTAN Project Funding and Islamic Finance (NB. These samples of assignments are no longer confidential)

In 2006 Standard Bank Asia (Hong Kong) extended a major loan to Sudatel Co. Ltd. for the finance of Sudani telecom project (CDMA project). We represented Standard Bank Asia (Hong Kong) by vetting the Loan Agreement, the Escrow Account Agreement, the Charge Over Equipment Agreement and the Promissory Notes which were used as a means of repayment. In addition, we provided our client with a comprehensive legal opinion regarding the Promissory Notes and the Sudanese laws in general. We also assumed the role of “presenters” of the Promissory Notes to Sudatel Co. Ltd. on quarterly basis until the entire loan was repaid to Standard Bank Asia (Hong Kong) in 2010.

MTN Sudan, Ericson and Huawei (Euro 396 million, closed in 2011). We vetted the Loan Agreement, the Charge Over Equipment Agreement, the Intercreditors Deed and the Escrow Agent Agreement. In addition, we handled the loan registration formalities with the Central Bank of Sudan and the registration formalities of the securities with the Commercial Registrar General.

MTN Sudan and ZTE (Euro 200 million, closed in 2012). We vetted the Loan Agreement, the Charge Over Equipment Agreement, the Intercreditors Deed and the Escrow Agent Agreement. Being the exclusive external lawyers of Canar Telecom Co. Ltd. (an affiliate of Etisalat, United Arab Emirates), we vetted a considerable number of equipment, services and funding agreements.

Supervised and vetted a major loan agreement between Bank of Khartoum and Sabina Integrated Solutions.

Construction and Infrastructure Projects

An infra-structure agreement concluded in October 2005 between our clients and the Government of Unity State in South Sudan related to projects of building hospitals, schools, government offices, campuses, houses for ministers, roads, bridges, airstrips, generation of power by setting plants and distribution to the counties, clean water treatment plants, storage and distribution, productive sectors (agriculture and livestock infra-structure), clearance/cleaning of the river channel, building the airport, micro industrial infra-structure. The value of the first phase of this agreement was US$ 100 million. In January 2008 we drafted the second phase agreement between our clients and the Government of Unity State. In January 2006 we drafted the Terms of Reference Agreement between our clients M/s. AJC Planning Consultants SDN BHD of Malaysia and the Government of Unity State by virtue of which our clients were retained to draw the Master Plan of Bentiu, capital of Unity State. This was also followed by drafting the Financial Agreement for Bentiu Master Plan. It was further followed by drafting the Consultancy (Engineer) Agreement for the same project. In November 2006 an infra-structure agreement was drafted by AZTAN between our clients and the Government of Upper Nile State in South Sudan.

Another infra-structure agreement was drafted by us in February 2007 between our clients and the Government of Jongli State. In September 2006 we drafted an agreement for the construction of road signed between our clients and the Sudan People’s Liberation Army of South Sudan. In 2006 we drafted an agreement for drilling of drinking water wells with their tanks and generators in different locations in Unity State. In February 2007 we drafted an agreement for the construction of a highway road signed between our clients and the Ministry of Transports and Roads in Juba. In March 2007 we drafted an agreement for clean water treatment plants, storage and distribution between our clients and the Government of Lakes State. In July 2008 we drafted an agreement for the construction of 38 KM of Drainage and 5 KM of Roads in Malakal, Upper Nile State. This was followed by an addendum dated December 2009. In 2010 we vetted and amended an agreement between our clients and M/s. International Structures Ltd. of Scotland. It was an agreement for the construction of schools in the Upper Nile State, Unity, Warrap State, West Bar Elgazal State and North Bar Elgazal State.

Oil & Gas

A due diligence and legal opinion was prepared and provided by AZTAN to an Angolan oil company, about the oil industry in the Sudan and related laws.

AZTAN was the exclusive legal service provider to the PETROSA, the national oil company of South Africa which was operating in Block 14. AZTAN continued to be the legal advisor to the PETROSA in Sudan as it was the main shareholder in Block 14.

AZTAN is providing legal services to the various oil operators in the Sudan, namely; the national oil company of Sudan "SUDAPET", the White Nile Petroleum Operating Co. Ltd "WNPOC", StarOil Operating Company " StarOil" and Sudd Operating Company at South Sudan.

AZTAN was involved in the finalization of all the agreements relating to the award of Blocks 8 and 15 in the Sudan, right from the production sharing agreement, joint operating agreement and shareholder agreement, through the incorporation of the joint operating company(s) in the British Virgin Islands and Sudan.
