ARTICLE III

RETIREMENT DATES

3.1 Normal Retirement Date: The Normal Retirement Date of an eligible Participant shall bethe first day of the month coincident with or next following the earlier of:

(a) the Participant’s attaining age 65; or

(b) completion of 30 years of Creditedthe thirtieth anniversary of the Participant’s firstHour of Service, provided that the Participant is at least age 60.

A Participant’s Accrued Benefit shall be nonforfeitable upon his or her Normal RetirementDate.

3.2 Early Retirement Date:

(a) For Participants who perform at least one Hour of Service on or after January 1,2003. The Early Retirement Date of an eligible Participant who performs at leastone Hour of Service on or after January 1, 2003, shall be the first day of the monthcoincident with or next following his or her election of a retirement date, providedthat such election is effective on a date coincident with or following his or herattaining age 55 and his or her completion of 7 years of Vesting Service but is beforehis or her Normal Retirement Date.

(b) For all other Participants. The Early Retirement Date of an eligible Participant whodoes not perform at least one Hour of Service on or after January 1, 2003, shall bethe first day of the month coincident with or next following his or her election of aretirement date, provided that such election is effective on a date coincident with orfollowing his or her attaining age 55 and his or her completion of 10 years of VestingService but is before his or her Normal Retirement Date.

3.3 Postponed Retirement Date: The Postponed Retirement Date of an eligible Participant shallbe the first day of the month coincident with or next following the Participant’s retirementfrom active service after having passed his or her Normal Retirement Date.

3.4 Partial Retirement Date: The Partial Retirement Date of an eligible Participant shall be thefirst day of the month coincident with or next following the effective date of theParticipant’s reduced schedule, as determined in the sole and absolute discretion of theEmployer’s General Manager or, if the eligible Participant is the Employer’s GeneralManager, the President of the Employer’s board of directors.

3.5 Required Notice: Regardless of the Retirement Date chosen, the Participant should file anotice of intent to retire in writing with the Administrative Committee not less than 60 daysprior to such date of actual retirement.

RESOLUTION D-_____-05-20

GROUP PENSION PLAN AND TRUST AMENDMENT AND RESTATEMENT

WHEREAS, the Northern Colorado Water Conservancy District (“Northern Water”) maintains the Group Pension Plan for Employees of Northern Colorado Water Conservancy District, as Amended and Restated Effective January 1, 2020 (the “Defined Benefit Plan”); WHEREAS, the Board of Directors of Northern Water reserved the right to amend the Defined Benefit Plan pursuant to Article 10 of the Defined Benefit Plan; WHEREAS, the Board of Directors of Northern Water took action on December 5, 2019 (resolution D-1342-12-19), consistent with the recommendations of Northern Water staff and legal counsel, to amend and restate the Defined Benefit Plan, as amended and restated effective January 1, 2014 and amended thereafter, effective January 1, 2020; WHEREAS, the Board of Directors of Northern Water’s December 5, 2019 action to amend and restate the Defined Benefit Plan was taken to eliminate benefit accruals during a disability leave of absence for disabled individuals who do not qualify as disabled participants on or before December 31, 2019, incorporate certain plan amendments and make other miscellaneous revisions to the Defined Benefit Plan document; and WHEREAS, Northern Water deems it necessary and advisable to again amend and restate the Defined Benefit Plan, effective as of January 1, 2020, to incorporate a corrective amendment to the definition of Normal Retirement Date to indicate that no change should have been made to such definition effective January 1, 2020.

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE NORTHERN COLORADO WATER CONSERVANCY DISTRICT as follows: 1. The Group Pension Plan for Employees of Northern Colorado Water Conservancy District, as Amended and Restated Effective January 1, 2020 to incorporate the corrective amendment to the definition of Normal Retirement Date, is hereby adopted effective as of the dates therein. 2. The appropriate officers of Northern Water are authorized, directed, and empowered to execute such documents and to take such other actions as are necessary to effectuate the

Scope of Services

Municipal Subdistrict, Northern Colorado Water Conservancy District

Windy Gap Firming Project Nutrient Mitigation –

Fraser Tertiary Denitrification Design

Background

The following describes the scope of work for providing engineering services for the design of tertiary

dentification facilities at the Upper Fraser Valley Wastewater Treatment Plant (Fraser) related to

nutrient mitigations for the Windy Gap Firming Project (WGFP).

Permits for the WGFP require the Municipal Subdistrict, Northern Colorado Water Conservancy District (MS-NCWCD) to mitigate additional nutrient load to the Three Lakes System. As such, Black & Veatch completed conceptual designs in June 2017 for nutrient mitigation at four wastewater plants (Fraser, Granby, Three Lakes WSD, and Winter Park) whose discharges are part of the WGFP flows. Each plant had an opportunity to partner with MS-NCWCD to construct the tertiary treatment facilities to assist them with current and future regulatory demands. Fraser, under regulatory demands for metals discharge compliance partnered with MS-NCWCD to construct a tertiary phosphorous and metals removal process that is currently under construction (2019 Metals and Phosphorous Project). A separate tertiary nitrogen treatment process was designated for future design, construction, and tie-in to the overall tertiary treatment system. Black & Veatch prepared a conceptual design for tertiary denitrification facility (9 November 2017). Black & Veatch’s conceptual design recommended construction of a tertiary denitrifying moving bed biological reactor (MBBR) process. Scope of Services Black & Veatch’s (Consultant’s) services will include preliminary design for the following anticipated project elements:

• Tertiary Denitrification MBBR Facility – includes a standalone building with three MBBR basins (two anoxic, one aerobic); MBBR treatment equipment (media, sieves, mixers); solids collection/ thickening process; solids pumping; process piping; electrical equipment for treatment equipment, pumping, and building systems. Flow to the MBBR facility will be delivered from the tertiary pump station under construction as part of the 2019 Metals and Phosphorous project. Equalized secondary effluent flow will be treated in the MBBR facility for nitrogen removal before being treated in the 2019 Metals and Phosphorous facility. MBBR biological solids will be separated from the flow prior to conveyance to the 2019 Metals and Phosphorous facility. Thickened solids will be conveyed to the solids storage basin in the 2019 Metals and Phosphorous facility.

• Chemical Storage and Feed Facilities – includes the chemical storage and feed equipment to be housed in the new chemical feed building currently under construction as part of the 2019 Metals and Phosphorous project. The space reserved for the new carbon storage and feed equipment will require buildout of the secondary containment for this chemical.

• Blower Facilities – includes blower equipment, associated electrical equipment, and process for the MBBR aerobic process. The blower facilities will be located in the existing tertiary flocc/sed/filter building.

• Site Work – includes site grading to allow the MBBR facility to hydraulically fit with the 2019 Metals and Phosphorous facility; yard piping connections for all liquid, solids, and chemical flows between the MBBR facility and existing facilities.

The following documents will be provided to Black & Veatch as background documentation from Fraser:

• Wastewater Treatment Plant Expansion Drawings, 2002 (PDF and AutoCAD)

• Metals and Phosphorous Treatment Modifications Drawings, 2019 (PDF and AutoCAD) Task Series 100 – Project Management and Coordination Meetings Task 101 – Project Management

• Prepare a Project Management Plan (PMP) to identify the scope, schedule, budget, project team, and deliverables expected as part of this assignment.

• Establish a project Quality Assurance and Quality Control (QA/QC) program. Implement the QA/QC plan for all deliverables listed. Provide monthly project status reports including work completed, work anticipated, deliverables, budget/schedule status, and change tracking.

Task 102 – Project Meetings

• Conduct project progress/coordination meetings to coordinate the work. A total of three meetings are anticipated for the scope of work described in Attachment A.

Task Series 200 – Preliminary Design A preliminary design of the tertiary denitrification MBBR facilities will be developed under this task. This task will include:

• Geotechnical Services

• Survey Services

• Treatment process design

• Preliminary facilities design

• Cost estimating Task 201 – Geotechnical Services Consultant shall provide, through a subcontract with Lithos geotechnical engineering services. The services will include:

• Confirmation with Fraser for all boring locations prior to authorizing sub-consultant to

perform work.

• Initial geotechnical exploratory work, including four soil borings, penetration tests,

soundings, subsurface explorations, laboratory tests of soil samples that are required to

provide information for design, and other field and laboratory tests and analyses that are

required to provide design information. Rock coring is not included.

• An initial geotechnical report by a qualified geologist or geotechnical firm interpreting the

data collected from the exploratory work and laboratory testing and making assessments of

the site conditions and foundation recommendations that can be anticipated from this

initial exploratory work.

The deliverable for this task is and initial geotechnical report.

Task 202 – Survey Services Consultant shall gather recent existing survey information and drawings from Fraser. Any additional

survey to establish the location of existing surface features, the approximate location of buried

infrastructure, existing ground contours, and horizontal and vertical control for the entire site is being

deferred to final design. The surveying scope of work, accomplished using the services of a sub-

consultant, Rocky Mountain Surveyors, is to survey the locations of the geotechnical soil borings. All

contract documents will be based on the Highlands Ranch Datum that has been used historically at this

site.

The deliverable for this task is surveyed locations of the geotechnical soil borings.

Task 203 – MBBR Process Design Consultant shall conduct a process design of the tertiary denitrification MBBR system. Consultant and MS-NCWCD will agree on the effluent targets to be the basis for sizing prior to beginning process design. Additionally, Fraser will provide all available and relevant historical secondary/final effluent water quality data from the past 5 calendar years (2015-2019). Effluent parameters of interest include flow, temperature, pH, solids parameters (TSS, VSS), organics parameters (COD, BOD, sCOD, ffCOD), nitrogen parameters (NHX, NO2, NO3, TKN, TN), and effluent phosphorus species (Ortho-P, TP). Only then will the design proceed using these effluent targets with the historical effluent water quality data to determine process design criteria. Process design criteria include a process block diagram, the numbers of basins and their configuration/size, MBBR media properties, MBBR media fill fraction of basins, media retention sieve loading criteria, instrumentation requirements, supplemental carbon alternative selection, chemical dosage requirements, mixer requirements solids production rates, aeration demands, and the process requirements of any other major equipment deemed necessary. Consultant will coordinate with MBBR equipment suppliers to confirm the process design and to receive preliminary equipment quotes. Solids removal design will include clarifier configuration/size, clarifier overflow rate, and target solids concentration. The deliverable for this task will be a Process Design Technical Memorandum. This Technical Memorandum will be attached as an appendix to the Basis of Design Report. Task 204 –Preliminary Facilities Design Consultant will develop a preliminary design for the tertiary denitrification MBBR system facilities. The preliminary design will include:

• Preliminary site layout

• Hydraulic calculations and preliminary hydraulic profile

• Preliminary yard piping plan

• Preliminary MBBR facility mechanical layout

• Preliminary chemical feed storage system and blower system layouts

• Preliminary piping and instrumentation diagrams (P&IDs)

• Preliminary electrical equipment sizing

Consultant anticipates that the controls for the new MBBR facility will tie-in to existing SCADA system with limited modifications to existing communication network. Deliverables for this task will be the production of preliminary drawings which will be attached as an appendix to the Basis of Design Report. Sizing and design criteria developed under this task will be included in the body of the Basis of Design Report. Task 205 –Construction and Operation Cost Estimate Consultant will develop an AACEI Class 3 Construction Cost Estimate of the tertiary denitrification MBBR facilities based on the preliminary design. Operating Cost Estimates will be developed to capture anticipated chemical utilization, labor costs of O&M, and electrical costs. Operating Cost Estimates will be developed for average and peak flow conditions. Task 206 – Basis of Design Report Consultant shall prepare a Basis of Design Report (BODR) documenting the results of the preliminary design. Information in the BODR will include:

• Detailed process design criteria

• Summaries of key design assumptions

• Summaries of facility layouts and site design

• Architectural design criteria and applicable codes

• Structural design criteria and applicable codes

• Electrical design criteria and applicable codes

• Building Mechanical design criteria and applicable codes

• Instrumentation and Controls design criteria Preliminary drawings and Technical Memoranda developed during the Preliminary Design phase will be included as appendices of the BODR. Deliverables for this task are a Draft BODR, a workshop with MS-NCWCD and Fraser to discuss the content of the BODR, and a Final BODR. Task 210 – Provide Input to Fraser/MS-NCWCD IGA Consultant shall provide input to the Fraser/MS-NCWCD intergovernmental agreement (IGA) specifically on when it is anticipated that Fraser will be required to comply with Regulation 31 for nitrogen removal. Task 211 – Coordinate Initial Permitting Meeting with CDPHE Consultant shall coordinate and lead a meeting with CDPHE to review the project scope, determine permit application requirements , and anticipated permit review and approval schedule.

Task Series 300 – Ongoing Fraser Phosphorous Improvements Construction Progress Reporting Task 301 – Construction Progress Reporting Consultant shall provide support to MS-NCWCD staff during the construction of tertiary phosphorous

improvements to the Fraser WWTP. This support will be limited to travel to the Fraser WWTP to

observe construction progress approximately once every two months. The deliverables for this task are

summery memoranda of the observed construction progress.

Task Series 400 – Three Lakes WWTP Nutrient Mitigation Activities Task 401 – Further Evaluation of Three Lakes WWTP Nutrient Mitigation Strategies Consultant is in the process of evaluating the Three Lakes WWTP Mixed Batch Reactor (MBR) process and determining opportunities to optimize the process for nutrient removal. Pending the results of the evaluation, and coordination with Three Lakes Water and Sanitation District (Three Lakes), further study may be required. Specific activities are to be determined, but it is anticipated that at least one meeting with Three Lakes will take place, and further data interpretation and modeling updates will be required. This task serves as an allocation of budget to begin these future tasks. The deliverables for this task are yet to be defined.
