Francisco Arturo Bonillas Zepeda

Chief Executive Officer, Secretary and Director

Mr. Bonillas is a Mexican citizen and has over 39 years of experience in the Mexican

mining and exploration industry. He is the former President and co-founder of Alio

Gold Inc., formerly Timmins Gold Corp. (“Alio”). During his 10-year tenure with

Timmins, he oversaw its transition from exploration and development to mid-tier

gold producer, and guided it to several years of positive reserve and resource

growth, throughput and production. He is currently Director of Telson Mining

Corporation (formerly Telson Resources Inc.) whose securities trade on the TSXV.

Alex Tsakumis

Director

Over 25 years of investment experience with private and public companies.

Served as VP of Corporate Development at Timmins Gold Corp for nine years,

where he played a pivotal role in the development of the corporation from a

junior exploration to a production company. Wide experience in capital

formation and management and growth of listed companies.

Miguel Ángel Soto y Bedolla

Vice President of Exploration

Mr. Soto is a Mexican citizen and has over 40 years of experience in the Mexican

mining and exploration industry, including over 25 years as senior executive of

several exploration companies; he is widely recognized as one of the top mining

professionals in Mexico. He was a co-founder of Timmins Gold Corp, where he

was responsible for a four-fold increase of the San Francisco’s gold resource

from 611 Koz to 2.4 Moz. Mr. Soto is an active member of the US Society of

Economic Geologists. In 2018 he was awarded the prestigious Ostotakani award

given to distinguished leaders in the Mexican mining industry.

Colin Sutherland

Director

Mr. Sutherland has been a Chartered Professional Accountant since 1997. He

was previously the President of McEwen Mining Inc., a mining company listed

on the TSX and the New York Stock Exchange, from January 2016 to

November 2016, and the Managing Director and Chief Executive Officer of

Archipelago Resources Plc, a company listed on the Australian Securities

Exchange, from March 2012 to December 2015. He has held senior financial

and executive roles with Timmins Gold Corp., Capital Gold Corporation,

Nayarit Gold Inc. and Aurico Gold Inc.

Previous exploration work includes two

phases of drilling:

❑ In 1996 Compañia Minera Fernanda

S.A. de C.V. completed 15 Reverse

Circulation holes for a total

1,018m, all within La Lamosa

target.

❑ In 2008 Norma Mines S.A. de C.V.

completed 10 core drill holes in the

property for a total of 1,113m. Of

those, 6 holes totaling 760.5m were

done within La Lamosa target.

Both drill programs confirmed good gold

intersections associated to broad high

sulphidation epithermal type extense

alteration within volcanic rocks.

Location and Infrastructure

➢ Infrastructure and support services are available

to the project as Federal Highway 16 passes

through the western portion of the claims.

➢ Electricity, mail/phone services available in Yécora.

➢ Electrical line (C.F.E) passes through the property

as it parallels Highway 16.

➢ Water available in the region but not within the

surface claim area.

➢ Accommodation available at Yécora and in the

nearby village of Santa Ana.

➢ 43 km from Alamos Gold’s Mulatos Gold Mine (3

Moz Au) and 40 km from Agnico Eagle’s La India

Gold Mine (1 Moz Au). Adjacent to Minera Alamos’

Santana and Santa Rosa projects.

Regional and Local Geology❑ Mercedes project shows high

sulphidation epithermal minerali-

zation typical of important

discoveries in the region.

❑ Located toward the western edge of the

Sierra Madre and predominantly

underlain by intrusive rocks,

granodiorite-monzonite plutonic rocks

and quartz feldspar porphyry dykes

and stocks exposed by erosion of

intermediate and felsic volcanic

packages of the Lower and Upper

Volcanic sequences.

❑ The thick volcanic sequences are

characteristic of the region and form

much of the Sierra Madre Occidental.

Outcrop in key areas of the property

are strongly altered, brecciated

intrusives and some propylitically

altered volcanics.

❑ Zoned assemblages of silica, phyllic,

argillic and distal propylitic alteration

are recognized (same geology as

Mulatos and La India mines).


Magna controls a total of 1,239 hectares in

the Mercedes Project.

➢ Acquired 646 hectares for a total price of

$250,000.

➢ Staked 248 hectares directly.

➢ Signed an exploration and option to purchase

agreement for 345 hectares under the following

deal terms:

❑ Four-year contract ending September 20,

2022.

❑ Total cash payments of US $1.5 M

distributed in 4 years, half of total payable

on month 48.

❑ 3% NSR capped at US $3.5 M. Magna Gold

maintains the right to buy back all of the

NSR at a total price of US $1.5 M within the

first 3 years after commencement of

commercial production.

Mineral Targets

❑ Project is situated on a 20 km long regional

mineralized trend hosting some important

exploration targets as well as numerous old

relevant mining works.

❑ The current and only drilled zone in Las Mercedes

Project is the “La Lamosa Hill”, a prominent,

highly oxidized red ridge, visible from the

highway. There are 4 visible additional targets

similar in size and alteration within the claims.

❑ There are two known old mining works within the

claims: Mina del Oro and Las Marias.

❑ These Gold and Silver targets all show textures

and alteration consistent with high sulphidation

epithermal mineralization. Zoned assemblages of

silica, phyllic, argillic and distal propylitic

alteration are recognized.
