Overview
The present Tender Specifications (TS) are attached to the Invitation to Tender (ITT) and are
intended to complement the information contained in the Contract Notice 2016/S 041-066290
providing tenderers information on scope of the contract potentially awarded as a result of this call
for tender and organisation of this procurement process.
1.1 Context of the tender
1.1.1 THE EGNOS PROGRAMME
EGNOS (European Geostationary Navigation Overlay Service) is Europe's first concrete venture into
satellite navigation. EGNOS uses geostationary satellites and a network of ground stations to
receive, analyse and augment GPS, and in the next version (EGNOS V3) Galileo signals.
EGNOS increases the accuracy of existing satellite positioning signals while providing a crucial
‘integrity message', informing users in the event of signal problems. It also transmits an extremely
accurate universal time signal.
EGNOS makes existing satellite navigation signals suitable for safety critical applications such as
flying aircraft or navigating ships through narrow channels. EGNOS was certified for civil aviation in
2011.
1.1.2 THE EUROPEAN GNSS AGENCY
The European GNSS Agency (hereinafter ‘GSA’, ‘the Agency’ or ‘the Contracting Authority’) is an
official European Union regulatory authority formed by the European Union to accomplish specific
tasks related to the European GNSS programmes1.
In addition to the exploitation of EGNOS, already operational, the Agency’s strategic objectives
include the achievement of a fully operational Galileo system. This includes the laying of
foundations for a fully sustainable and economically viable system and its security. Moreover, the
Agency’s key objective is to make Galileo not just a functioning system but also the world's leading
satellite navigation system for civilian applications.

1.2 Outline of the tender and procedural process
Title: EGNOS V3 Site Surveys
Procurement procedure reference: GSA/OP/21/15
Procedure: Open procedure in accordance with Article 127(1)(2) RAP2 for procurement of
services with a single framework contract.
It is important to note that:
The tenders will have to fulfil the conditions of submission set out in section 4 of these tender specifications;
When drawing up the tender, tenderers should keep the provisions of the draft framework contract (see Annex II to the Invitation to Tender) in mind. In particular, the draft framework contract indicates the method and the conditions for payments to the contractor;
Tenderers will be required to accept all the terms and conditions set out in the invitation to tender, tender specifications & draft framework contract and, where appropriate, waiver of the tenderer’s own general or specific terms and conditions;
The terms and conditions set out in the invitation to tender, tender specifications and draft framework contract shall be binding on the tenderer to whom the framework contract is awarded for the duration of the framework contract;
Please note that any attempt by a tenderer to obtain confidential information, enter into
unlawful agreements with competitors or influence the evaluation committee or the GSA
during the process of examining, clarifying, evaluating and comparing tenders will lead to
the rejection of his tender and may result in administrative penalties;
The invitation to tender is in no way binding on GSA. GSA’s contractual relationship
commences only upon signature of the contract with the successful tenderer/s;
Until the signature of the contract, GSA may decide to abandon procurement or cancel the
award procedure. Such actions shall not entitle the tenderers to claim any compensation.

IMPORTANT NOTE: In these tender specifications, the requirements tagged as shallx, indicate the minimum requirements that are to be met, where X is the unique number of the requirement. Non-compliance with any of these requirements shall lead to rejection of the tender.
1.3 Purpose of the framework contract
The purpose of the framework contract is the provision of site survey services for EGNOS New Generation V3 Ranging and Integrity Monitoring Stations (RIMS) and Navigation Land Earth Station (NLES) aiming at assessing the suitability of those sites with respect to the interference environment, infrastructure and logistics. Today EGNOS V2 is composed of approximately 40 RIMS and 6 NLES located mainly in EU territories and neighbouring countries. In view of the further evolution of the EGNOS service (EGNOS V3 Dual Frequency, Dual GPS and GALILEO Constellations, potential export of EGNOS to Africa, etc.) assessment of the compatibility with the new V3 requirements of the existing V2 sites, and new sites in Europe and beyond, is needed. For the sites to be re-used, the specific case of collocation of V2 and V3 independent RIMS on the same site during the transition phase is to be considered in terms of infrastructure, logistics and interferences impacts. Performance of site surveys at different phases of the site deployment process may become needed - for example before and after civil work if the sites need to be adapted. Site surveys linked to other projects may also be awarded under the present contract.

Terms of Reference
2.1 Applicable Legal Acts
Participation in the tender is subject to applicable legal restrictions and obligations. The reference documents include:
REGULATION (EU) No 1285/2013 OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL of 11 December 2013 on the implementation and exploitation of European satellite navigation systems and repealing Council Regulation (EC) No 876/2002 and Regulation (EC) No 683/2008 of the European Parliament and of the Council3;
REGULATION (EU) No 912/2010 OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL setting
up the European GNSS Agency as amended by Regulation (EU) No 512/2014 of 16 April 20144.
The procurement procedure will be carried out in accordance with the rules of:
European GNSS Agency Financial Regulation and its Implementing Rules 2014 adopted by its Administrative Board on 25 April 2014;
COMMISSION DELEGATED REGULATION (EU) No 1271/2013 of 30 September 2013 on the framework Financial Regulation for the bodies referred to in Article 208 of Regulation (EU, Euratom) No 966/2012 of the European Parliament and of the Council5;
REGULATION (EU, EURATOM) No 966/2012 OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL of 25 October 2012 on the financial rules applicable to the general budget of the Union, repealing Council Regulation (EC, Euratom) No 1605/20026 as amended by REGULATIUON (EU, EURATOM) No 1929/2015 of 28 October 2015;

Council Regulation (EC) No 1049/2001 of 30 May 2001 regarding public access to European Parliament, Council and Commission documents.
IMPORTANT NOTES: (1) Beyond the legal acts listed above, it shall be the Contractor’s duty and corresponding sole responsibility to comply and ensure full compliance with all applicable laws of any part of performance under the contract contemplated to be awarded as a result of the current procedure. (2) The purpose of this procurement and the ensuing contract is not to replace GSA staff. The contractor shall take all measures to ensure this understanding with its personnel and shall indemnify and hold the GSA harmless against any claim which the GSA would face in this respect. For the purpose of this tender and any ensuing contract the term “contractor’s personnel” or “contractor’s employees” shall cover also any consortium or group member’s or subcontractor’s personnel performing services under the contract. The tenderer/contractor shall ensure that the entire content and legal implications of this note are clearly communicated, understood, and endorsed by any consortium member and subcontractor, as the case may be.
2.2 Terms of Reference – Framework Contract
2.2.1 BACKGROUND
For the purpose of the present contract the EGNOS sites are divided in two groups - located in the
territory of European Union or outside the territory of the European Union.
Within the frame of the present contract the contractor shall be requested to:
- Assess the suitability of a pre-defined site from interference, infrastructure and logistics
perspectives;
- Provide recommendations to improve compliance to the established requirements;
- Provide technical support to the GSA for the management of site infrastructure upgrade.
The GSA shall provide to the contractor the contact points of the entities hosting the sites for which
site surveys are to be delivered (name, contact person, location).
2.2.2 APPLICABLE DOCUMENTS

2.2.4 PROPRIETARY INFORMATION
The applicable and the reference documents listed in sections 2.2.2 and 2.2.3 contain Proprietary
Information and shall be made available to the tenderers subject to entering into a non-disclosure
agreement (NDA) in the form provided in Annex I.9 according to the procedure described below:
In order to be given access to the Proprietary Information the interested economic operators /
potential tenderers shall submit a request to the GSA via email to [email protected] including
a scan of a duly signed Non-Disclosure Agreement according to template provided in Annex I.9 (two
original examples to follow by mail) with attached to it filled and signed Legal Entity Form in the
form provided in and the attachments requested in (annex A to the NDA), proving compliance of
the tenderer with the participation condition set in section 2.4.1.
Important notes:
The interested economic operators / potential tenderers shall submit individual NDAs for
each consortium member (in case of a consortium) and each subcontractor (if any), each
individually signed by them respectively;
Previously signed NDAs giving access to the same proprietary information to economic
operators shall not be regarded as fulfilling the NDA requirements under the present
procurement procedure.
The GSA endeavours to deliver the documentation within 10 working days from the date of the
request, providing all documents required are duly submitted and demonstrate compliance with
the requirements set.
The following restrictions apply:
The GSA reserves the right to refuse access to documentation if the conditions for access
are not fulfilled.
The GSA reserves the right to further inquire about any request in case of doubt of eligibility
for access.

2.2.5 TASKS
2.2.5.2 TASK #1: INTERFERENCE AND LOGISTICS SURVEY ON SITE
The objective of the task is to assess the suitability of the sites nominated by the GSA against the V3 related requirements, specified in the present tender specifications and in the applicable and reference documents as follows:
- Radio Frequency requirements [REF-1]: limited to the interference part, excluding the multipath part (chapter 2.2, 2.2.3, 4.2 are not applicable);
- Infrastructure/logistics requirements [REF-2]. The contractor shall1 perform the site survey and Data Collection using the tools identified in its proposal.
The contractor shall2 implement the survey procedure on each site following the schedule below:
- The contractor shall3 communicate to the GSA the dates of the visit to the site and the
activities they intend to perform at least two weeks in advance9.
- Not later than 1 month after the Kick-Off (KO) meeting for starting the work on the particular site (SiteX-KO) the contractor shall4 deliver a Site Data Collection Report [DEL- 1] specifying:
1) whether the site is compliant (OK) / non-compliant (NOK) with all criteria, 2) all elements which shall be needed for the post-processing.
- The contractor shall5 hold a “Site Data Collection Meeting” [DEL-2] with the GSA to present the results not later than one week after the submission of the Site Data Collection Report.
The Site Data Collection Report and the site Data Collection Meetings may cover one site or a group of sites, which were surveyed simultaneously / during particular period.
2.2.5.3 TASK#2: INTERFERENCE, INFRASTRUCTURE AND LOGISTICS SURVEY DATA POST-PROCESSING IN
CONTACTOR’S OFFICE
The objective of the task is to assess the compliance of the site against the requirements set in the present specifications and provide recommendations to improve the compliance level (when not fully reached) as follows:
- The contractor shall6 perform the site data post-processing for sites confirmed to be
suitable at the Site Data Collection.
- No later than 2 months after KO of the respective site, the contractor shall7 deliver a Site
Survey Report [DEL-3] providing the detailed level of compliance of the site with the
requirements. In case non (or partial) compliances to some parameters are identified,
detailed recommendations shall8 be provided to improve compliance, with a justification
that the implementation of these recommendations is feasible and sound. During this

activity the contractor shall9 assume that the EGNOS V2 equipment must remain in an
operational configuration until the EGNOS V3 System is fully operational (i.e. several years
after the RIMS/NLES on-site installation).
- One week after the delivery of [DEL-2], a “Site Survey Conclusion Meeting” meeting [DEL-4] shall10 be organised by the Contractor with the GSA.
2.2.5.3 TASK #1 AND #2 TIME SCHEDULE AND DELIVERABLES
For each assigned site the contractor shall perform Task#1, while Task#2 shall be performed only
for the sites assessed as acceptable as a result of Task#1. Following timeline shall11 apply to the

2.2.5.4 TASK#3 SITE MANAGEMENT ENGINEERING SUPPORT
The objective of this task is to provide technical support to the GSA for the management of site infrastructure, typically during meetings with the GSA and:
Hosting Entities or
the European Space Agency (ESA) responsible of the system design or
the European EGNOS Service Provider (ESSP) responsible for the system operation and the service toward the users.
This support shall12 be provided on a case by case basis:

- by a member of the team performed the site survey (Survey engineer) or - by a senior RF expert involved in the post-processing of site survey data collection and in
the recommendation of site upgrade in case the compliance to RF interference requirement is not reached, or
- by a senior contract management expert, who shall be expected to provide support in the management of the contract with the hosting entity and contribute to the future management of the hosting entities.
The senior expert shall13 have: Minimum 10 years of experience in their domain (radio navigation systems, site hosting
contract management); For the senior contract management expert - a good knowledge of the European laws and
regulations; Capacity to prepare clear and concise reports in English; Capacity to adapt to different cultural working environments; Proficiency in technical and business English.
The support task will be reported monthly in a dedicated monthly progress report [DEL-5].
2.2.6 SPECIFIC REQUIREMENTS
The Contractor shall14 be able to survey up to 45 sites within a period of 12 months (up to 12 sites
per quarter).
2.2.7 CONTRACT MANAGEMENT & ADMINISTRATION
The contractor shall nominate a contract project manager who shall be responsible for the overall
management/administration of the contract including formal communication with the GSA,
organisation of work of the assigned persons, giving instructions and forwarding GSA work requests,
ensuring proper management of time sheets and activity reporting, invoicing etc.
The nominated focal point/administrator shall be able to communicate fluently in English language
(B2 level according to Europass CV categorisation10). All documents and forms in communication
with the GSA must be in English.
The contractor shall provide a single e-mail address and phone number to which all communication
from the GSA for implementation of the contract shall be channelled.
The contractor shall ensure that all services are executed with a customer-oriented approach; that
services are available on time and deliverables are provided within the set deadlines.

2.3 Terms of Reference – Specific Contract #1
The GSA intends to award the first specific contract under the contemplated framework contract
immediately after the framework contract signature. To this end, the tender shall15 provide as part
of its tender a proposal for specific contract 1 (SC 1).
Specific Contract #1 shall16 include the performance of site surveys of all EGNOS V2 RIMS and NLES
sites listed in Annex I.7.
The following requirement shall17 apply to SC #1:
(1) Scope:
Task#1 and Task #2 (applicable only to the sites retained at Task#1) for EGNOS V2 RIMS and
NLES sites as per the detailed list provided in Annex I.7
(2) Maximum duration of the time period for all site surveys fulfilment: 12 months after the
signature of SC#1.
(3) Deliverables – as per section 2.2.5
(4) Payment – quarterly payments as per the model framework contract (Annex II to the
Invitation to Tender)
(5) Content of the technical proposal – as per section 4.4.4
(6) Content of the financial proposal – as per section 4.4.5
(7) Validity of the offer – 9 months of the deadline for proposal submission
(8) Project planning – a detailed project plan, compliant with the SC#1 fulfilment deadline set
in section 2.3 (2) above and foreseeing a rate of minimum 4 sites per month shall be
proposed by the contractor in its offer (part of the tender offer).
(9) Milestones
The timely performance of SC#1 is of essence. Milestones shall be set at the end of 3rd, 6th, 9th and
12th month after the SC#1 signature. The GSA shall have the right to impose liquidated damages as
defined in Article II.12 of the draft framework contract, should the contractor fail to timely perform
as per the predefined schedule due its fault. The liquidated damages (if any) shall be calculated
based on the value of the services due to be performed during the respective quarter and the time
period for their performance as defined in the specific contract.
2.4 Legal and Contractual terms of reference
2.4.1 PARTICIPATION CONDITIONS
The contractor and sub-contractors shall18 be entities registered in European Union Member
States (EU-28) to be authorised to enter on sites and proceed on the surveys.
For properly undertaking of its duties under the provision of the current contract, contractor’s staff
will need to be granted access to many sites within EU-28 + Norway + Switzerland as well as at third
states sites.

2.4.2 FORM OF CONTRACT
The aim of this procurement is to award a single framework contract for the provision of services
described in the present tender specifications.
Signature of a framework contract imposes no obligation on the GSA to purchase. Only
implementation of the framework contract through specific contracts is binding for the GSA.
When drawing up their tenders, tenderers should bear in mind the draft framework contract (Annex
II to the Invitation to Tender).
The GSA reserves the right to launch an exceptional negotiated procedure for similar services with
the same contractor in case of need, as foreseen in Art. 134(1)(e) RAP.11
2.4.3 DESCRIPTION OF THE FRAMEWORK CONTRACT
A framework contract is a legal agreement between two parties - in this case, GSA and the
contractor. It acts as the basis for possible future purchase of services by the Agency. The
framework contract contains, inter alia, a description of the scope of services that can be purchased
by GSA, methodology, timing and fees to be respected by the contractor. It is a contract of a fixed
duration (within a fixed maximum duration of 4 years) but with no fixed value, only a maximum
total value. The framework contract itself is not an order for services or supplies and does not
constitute a financial commitment.
Implementation of the framework contract
The Agency intends to issue individual and successive specific contracts over the period of validity
of the framework contract.
Services shall be requested under “specific contracts” linked to particular activities, over a given
period.
Specific contracts shall take the form of one of the documents provided under Annexes III.a and
III.b to the draft framework contract. Either format may be used for implementation of the
framework contract indiscriminately, depending on the Agency’s needs. The specific contract
model proposed under Annex III.b to the draft framework contract may also be referred to as an
“Order Form”.
NB: No legal or financial commitment exists on behalf of either party until the specific contract is
signed by both parties.

Implementation of the Contract
Specific contracts shall be issued on depending on the needs and at full discretion of the Agency. The first specific contract shall be issued immediately after the framework contract signature and shall cover the provision of site surveys of all existing V2 sites, listed in Annex I.7.
2.4.4 PLACE OF PERFORMANCE
The place of performance will be in the cities defined in each specific contract or in contractor’s premises, depending on the nature of tasks awarded.
The specific contract kick-off should be a meeting with physical attendance.
The survey kick-off (SiteX-KO) and conclusion meetings with GSA shall be held via videoconferences, unless specified otherwise in the requirements.
2.4.5 VOLUME OF THE CONTRACT
The indicative budget estimated for the maximum duration of the Framework Contract (including
extension of the total duration up to four years) is between 5 000 000 EUR (five Million Euro) and
10 000 000 EUR (ten Million Euro) .
This budget is only indicative; it will be subject to budget allocations given to the GSA.
2.4.6 DURATION
The Framework Contract is intended to be signed for an initial period of one year. It shall be
renewable up to three times for a total maximum duration of four years under the same conditions.
2.4.7 LANGUAGE OF THE CONTRACT
The working language of the contract shall19 be English with application of further requirements as
specified in these Tender Specifications.
2.4.8 SUBCONTRACTING
Application of the GNSS Regulation
According to Article 26 of the GNSS Regulation:
1) the Contracting Authority shall request the tenderer to subcontract a share of the contract by competitive tendering at the appropriate levels of subcontracting to companies other than those that belong to tenderer’s group in particular to new entrants and SMEs;
2) The Contracting Authority shall express the requisite share of the contract to be subcontracted in the form of a range from a minimum to a maximum percentage. It shall ensure that such percentages are proportionate to the objective and value of the contract, taking into account the nature of the sector of activity concerned, and in particular, the competitive conditions and the industrial potential observed;
3) If the tenderer indicates in its tender that it intends not to subcontract any share of the

contract or to subcontract a share smaller than the minimum range referred to in paragraph 2, it shall provide the reasons therefore to the Contracting Authority. The Contracting Authority shall submit that information to the European Commission;
4) The Contracting Authority may reject subcontractors selected by the tenderer at the stage of the main contract award procedure or by the tenderer selected for the performance of the contract. It shall justify its rejection in writing, which may be based only on the criteria used for selection of tenderers for the main contract”.
In line with the above mentioned provision, the intention of the GSA is to favour wide participation
of various economic operators, while securing smooth and effective GEO-3 service provision.
On this basis and for the purposes of paragraph 2 of Article 26, the GSA envisages the following
indicative shares for subcontracting:
a) minimum share: 10%
b) maximum share: 90%
The minimum and maximum indicative subcontracting shares have been established taking into
account:
(i) the subcontractors to be selected by competitive tendering outside the tenderer’s Group12;
(ii) the subcontractors chosen by the tenderer, other than those under letter (i) above,
including those part of the Core Team13.
For the purposes of paragraph 1 of Article 26, the GSA envisages the following indicative minimum
share for subcontracting which the tenderers shall implement by competitive tendering outside the
tenderer’s Group: 10%.
General principles:
For the purpose of Article 26 of the GNSS Regulation, in its tender the tenderer shall20 indicate clearly which parts of the work will be subcontracted and which part of the work shall be subcontracted by competitive tendering to companies other than those that belong to tenderer’s group and to what extent (proportion in % and the subcontracted activity's exact description);

The GSA reserves the right to reject subcontractors selected by the tenderer at the stage of the procurement procedure or during the subsequent contract. Rejection shall be justified in writing;
The contractor shall21 remain the sole partner and person legally and financially responsible and liable vis-à-vis the GSA;
If the identity of the intended subcontractor(s) is already known at the time of submitting the tender, tenderer shall22 submit the required evidence demonstrating the eligibility of the subcontractor and its compliance with the requirements set in the tender specifications;
If the identity of the subcontractor(s) is not known at the time of submitting the tender, the tenderer who is awarded the contract shall23 seek GSA’s prior written authorisation before entering into a subcontract;
Where no subcontracting is indicated in the tender the work will be assumed to be carried out directly by the tenderer.
IMPORTANT NOTE: In case the tenderer relies on a subcontractor to fulfil specific selection criteria,
i.e. capacity requirements, it has to mention that subcontractor already clearly in the tender,
accompanied with the subcontractor letter of intent (Annex I.6).
2.4.9 PARTICIPATION OF CONSORTIA
Consortia may submit a tender on the condition that it complies with the rules of competition.
A consortium may be a permanent, legally-established grouping or a grouping which has been
constituted informally for a specific tender procedure.
Such grouping (or consortium) must specify the company or person heading the project (the leader)
and must also submit a copy of the document authorising this company or person to submit a
tender on behalf of the consortium. All members of a consortium (i.e. the leader and all other
members) are jointly and severally liable to the Contracting Authority.
In addition, each member of the consortium must provide the required evidence for the exclusion
and selection criteria (see section 3.1 and 3.2 of these tender specifications). Concerning the
selection criteria “economic and financial capacity” as well as “technical and professional capacity”,
the evidence provided by each member of the consortium will be checked to ensure that the
consortium as a whole fulfils the criteria.
The participation of an ineligible person will result in the automatic exclusion of that person. In
particular, if that ineligible person belongs to a consortium, the whole consortium will be excluded.
2.4.10 CONFIDENTIALITY, SECURITY, CONFLICTS OF INTEREST
The Proprietary Information according to section 2.2.4 shall only be released after the
establishment of an NDA as specified therein.

The contractor shall commit towards the Agency to ensure through adequate arrangements with
its service providing personnel that they:
are bound to follow any security rules as may be set by the Agency from time to time for anyone entering into or staying in the premises of GSA – any such rules shall be provided to the contractor;
are ready to sign a “declaration on confidentiality and absence of conflict of interest” with the GSA before commencing any service provision. The current form of such declaration is attached as Annex III to the specific contract form (Annex III to the framework contract) for information on the understanding that such form is liable to evolve and possibly cover additional aspects from time to time and shall not in any way relieve the contractor from any of its obligations.
2.4.11 COMPLIANCE WITH ENVIRONMENTAL, SOCIAL AND LABOUR LAW
The tenders submitted shall24 be compliant with applicable environmental, social and labour law obligations established by European Union law, national legislation , collective agreements or the applicable international social and environmental conventions listed in Annex X to Directive 2014/24/EU. Tender shall include a statement in this sense.
Assessment of tenders
All admissible tenders will be assessed. The assessment of the tenders is carried out in successive
stages against the exclusion and selection criteria set out below:
1) Exclusion stage - to check, on the basis of the exclusion criteria, whether tenderers can take part in the tendering procedure, including absence of conflicts of interest of each tenderers.
2) Selection stage - to check, on the basis of the selection criteria, (a) economic and financial capacity and (b) the technical and professional capacity, including the capacity to manage security aspects of the contract.
3) Award stage - to assess, on the basis of the award criteria, each tender that has passed the
exclusion and selection stages.
A single framework contract will be concluded with the tenderer ranked best as the result of the
evaluation of admissible tenders.
3.1 Exclusion criteria
Participation in this tender is only open to tenderers (all entities involved, including sub-contractors) who will be able to sign the Declaration of Honour (Annex I.4). Failure to do so will lead to exclusion from the procurement process.

Before the signature of contract the successful tenderer will have to submit supporting documents to the Declaration of Honour (listed therein).
3.2 Selection criteria
To be assessed in selection stage, the tenderers must have passed the exclusion stage described above.
Tenderers must fulfil all the economic and financial capacity as well as the technical and
professional capacity to perform the tasks required in these Tender Specifications.

of the exceptional reason and its justification in the tender. GSA reserves the right to request any
other document enabling it to verify the tenderer's economic and financial capacity.
3.2.3 TECHNICAL AND PROFESSIONAL CAPACITY CRITERIA

The assessment of the tenders in the award stage is carried out against the qualitative and the
financial award criteria set out below.
3.3.1 QUALITATIVE AWARD CRITERIA
The quality of technical offers reaching this stage will be evaluated against the award qualitative
award criteria in the following evaluation grids.
Tenders scoring below the minimum score in any given quality award criterion and/or below 60
(seventy) of the total minimum score will be excluded from the following assessment procedure.
3.3.2 FINANCIAL AWARD CRITERIA
Following the appraisal of the qualitative award criteria the tender will be evaluated with regard to
the price which shall be provided by filling in and signing the Financial Offer (Annex I.8)
The price quotes given in Annex I.8 constitute the Price of Tender, are binding for the tenderer and
will be considered as prices for the framework contract.
In order to allow for a comparison of the offers an evaluation scenario as defined in Annex I.8 shall
be used. The data in the evaluation scenario reflect the volume estimates of the Agency for a period
of contract duration of four years for the different types of services as defined in the terms of
reference. Please note that these estimates are only indicative and do not constitute any kind of

For ease of simulation, the below scenario is based on the following underlying parameters:
Coverage of the period of four years of the contract duration;
The firm fixed initial prices applicable for the entire duration of the contract.
The financial evaluation will be made on the basis the total scenario price, calculated using the unit
prices offered in the financial proposal.
The price index will be calculated as follows: the least expensive total evaluation scenario price for
a tender that is above the technical threshold will receive 100 points. The other tenders receive the
points according to the ratio between the least expensive offer and their one, and then multiplied
by 100, as shown in the formula below:

Conditions for submission of tenders
4.1 Disclaimer
This invitation to tender is in no way binding on the GSA. The GSA's contractual obligation
commences only upon signature of the contract with the successful tenderer. Up to the point of
signature, the Contracting Authority may either abandon the procurement or cancel the award
procedure, without the tenderers being entitled to claim any compensation. This decision must be
substantiated and the tenderers notified.
4.2 Variants
Variants are not permitted under this tender procedure, therefore tenders shall not deviate from the services requested.
4.3 Preparation costs of tenders
Costs incurred in preparing and submitting tenders are borne by the tenderers and shall not be reimbursed.
4.4 Content of the tender to be submitted
4.4.1 PRESENTATION OF THE TENDER
It is strictly required that tenders be presented in the correct format and include all
documents necessary to enable the GSA to assess them. Failure to respect these
requirements will constitute a formal error and may result in the rejection of the tender.
GSA retains ownership of all applications received under this procedure. Consequently
tenderers shall have no right to have their tenders returned to them.
4.4.2 GENERAL
The tender must consist of:
A. The Cover Letter, dated and signed by the tenderer or by any other duly appointed
representative, declaring acceptance of the conditions in these tender specifications and
annexes, and the framework contract and its annexes; the tenderer's commitment to
provide the services proposed in the tender and listing all the documentation

general provisions shall35 apply - the GSA shall perform quarterly payments for the tasks completed
during the quarter / in case of award of single tasks the payment shall be effected within 30 days
after approval of the final report for the task.
B. SC#1 specific financial offer: compliant with the requirements of section 2.3, based on the unit prices proposed for the framework contract as per section 4.4.5 (A) and Annex I.8, including the information required under Article I.4.4 of the framework contract (Annex II to the Invitation to Tender)
4.4.5.1 Prices
The price must be quoted in Euro. It shall be fixed and not subject to revision during the performance of the contract, i.e. it shall be a Firm and Fixed Price (FFP).
The prices quoted in Financial Offer will constitute Pricelist for the duration of framework contract.

4.4.5.2 VAT exemption
As the GSA is exempt from all taxes and dues, including VAT, pursuant to Articles 3 and 4 of the Protocol
on the privileges and immunities of the European Union, these must not be included in the price.
4.4.5.3 Currency and exchange rates
The price tendered must be all-inclusive and expressed in Euro, including for countries which are not
part of the Euro zone. For tenderers in countries which do not belong to the Euro zone, the price
quoted may not be revised in line with exchange rate movements. It is for the tenderer to select an
exchange rate and assume the risks or the benefits deriving from any fluctuation.
4.4.5.4 Unit prices
The unit prices will be firm and fixed and will include all costs and expenses.
Cost and expenses are: effort for all the tasks (including drawing up quotations and reports) necessary
for their performance, including all costs (management of the project, coordination, quality control,
support resources, etc.), all overheads (management of the firm, secretarial services, social security,
wages, etc.) necessary for the performance of the tasks described, incurred directly and indirectly by
the contractor in performance of the tasks that will be entrusted to him.
4.5 Submission
Tenders must be submitted in accordance with the double envelope system:

or later) with three separate folders reflecting the three separate envelopes and their respective
content.
Tenders should be drafted in one of the official languages of the European Union, preferably
English.
Tenders sent by post mail are to be sent not later than on date specified in section 1.2 above, in
which case the evidence of the date of dispatch shall be constituted by the postmark or the date

Tenders sent by express mail, commercial courier or hand-delivered should be addressed to the
same postal address not later than 17.00 (CET) on date specified in section 1.2 above. In this case,
a receipt must be obtained as proof of submission, signed and dated by the reception desk officer.
The reception is open from 08.00 to 17.00 Monday to Thursday, and from 8.00 to 16.00 on Fridays.

4.6 Opening of the Tenders

An authorised representative of each tenderer may attend the opening of the tenders. Companies
wishing to attend are requested to notify their intention by sending an e-mail at least 48 hours in

the tenderer and specify the name of the person who will attend the opening of the tenders on the

4.7 Period of validity of the tenders
Period of validity of the tenders, during which tenderers may not modify the terms of their tenders
in any respect: six (6) months from the closing date for the reception of the tenders.
4.8 Further information
Contacts between the Contracting Authority and tenderers are prohibited throughout the
procedure save in exceptional circumstances and under the following conditions only:
Before the final date for submission of Tenders:
At the request of the tenderer, the Contracting Authority may provide additional
information solely for the purpose of clarifying the nature of the contract.
Any requests for additional information must be made in writing only to
[email protected]. The subject line of the e-mail has to quote the reference of the
procurement procedure.
Requests for additional information received after deadline specified in section 1.2 will not
be processed (for practical reasons).
The GSA may, on its own initiative, inform interested parties of any error, inaccuracy,
omission or any other clerical error in the text of the call for tenders.
After the opening of tenders:
If, after the tenders have been opened, some clarification is required in connection with a
tender, or if obvious clerical errors in the submitted tender must be corrected, the GSA may
contact the tenderer, although such contact may not lead to any alteration of the terms of
the submitted tender.
4.9 Information for tenderers
The GSA will inform tenderers of decisions reached concerning the award of the contract in due
course, including the grounds for any decision not to award a contract or to recommence the
procedure.
If a written request is received, the GSA will inform all rejected tenderers of the reasons for their
rejection and all tenderers submitting an admissible tender of the characteristics and relative
advantages of the selected tender and the name of the successful tenderer.

However, certain information may be withheld where its release would impede law enforcement
or otherwise be contrary to the public interest, or would prejudice the legitimate commercial

4.10 Data protection specific to the tender process
Processing your reply to the invitation to tender will involve the recording and processing of
personal data (such as your name, address and CV). Such data will be processed pursuant to
Regulation (EC) No 45/2001 on the protection of individuals with regard to the processing of
personal data by the Community institutions and bodies and on the free movement of such data.
Unless indicated otherwise, your replies to the questions and any personal data requested are
required to evaluate your tender in accordance with the specifications of the invitation to tender
and will be processed solely for that purpose by the GSA. You are entitled to obtain access to your

Explanation – please read carefully before completing the financial capacity forms
Summary Information Sheet Tenderer submitting a request to participate has to fill in the Summary Information Sheet (table E.1) including entries for all legal entities involved- members of the consortium as well as sub-contractors. Simplified balance sheet and profit and loss account Within the form, financial data based on the company’s/organisation’s balance sheet are collected in a standardised form. Please find below a correspondence table giving an explanation on the regrouping of different accounts. You should complete this form carefully.
