The Folding Sliding Door Company also reside in the US, operating out of DeBary Florida, offering folding sliding door technology to the North American market place.

Our UK based operation incorporates a manufacturing unit and showroom facility showcasing our extensive range of folding sliding door systems. Each unique system affords our customers a wealth of choice, quality & security.

The Folding Sliding Door Company utilise our own hardware brand (FoldNSlide hardware system) which is uniquely designed and accredited, independently tested and approved.

FoldNSlide hardware is accepted as one of the only universally compatible folding sliding door running systems in the marketplace; whether manufacturing timber, aluminium or PVCu folding sliding doors you will find the FoldNSlide hardware range offers you limitless opportunities.

From humble begins in the United Kingdom (UK), The Folding Sliding Door Company has now established itself as the largest design and manufacturer of Bi-fold doors throughout Europe.

WarrantyTerms&ConditionsFoldingSlidingDoorsLimitedwarrantstotheoriginalpurchaserthatallof its products shall be free from defects in material or workmanshipfor the periods specified below. Thiswarranty applies to the productsundernormaluse,subjecttotheconditionsherein,andasdeterminedbyFoldingSlidingDoorsLimitedinitssolediscretion.Thiswarrantydoesnotcoverdamagesattributabletoimproperinstallation,incorrectlyinstalleddamp proof membranes and drainage or the omission of, inadequatemaintenance, improperproductuse,aftermarketproductmodifications,normal weathering, highly corrosive environments, damages causedby fire, accident, flood, acts of God, vandalism, building settlement orstructure failures, or other occurrences beyond Folding Sliding DoorsLimitedscontrol.FoldingSlidingDoorsLimitedmakesnorepresentation,warranty or guarantee, express or implied, as to the performanceof its products in a tropical storm or hurricane. Folding Sliding DoorsLimitedsproductsweretestedinaccordancewithEuropeanconformityrequirements.FoldingSlidingDoorsLimitedsliabilityunderthiswarrantyis limited to repair, replacement or refund as determined by FoldingSlidingDoorsLimitedinitssolediscretionanddoesnotincluderemovalorinstallationofreplacements.Decisionsastowhethertorepair,replaceorrefundwillbemadebyFoldingSlidingDoorsLimitedinitssolediscretion.Replacement parts provided will be the closest equivalent productavailable.Thewarrantywillnotbeextendedbysupplying replacementparts.

Structural Integrity of Aluminium DoorsThepowdercoatedaluminiumpanelsandframingmembersshallbefreefromdefectsinmaterialorworkmanshipandmaintaintheirstructural integrity and form for a period of twenty five (25) yearsfollowingdelivery.

Structural Integrity of Timber DoorsThefactorypaintedtimberpanelsandframingmembersshallbefreefromdefectsinworkmanshipandmaintaintheirstructuralintegrityandformforaperiodof twentyfive (25)years followingdelivery.Clear finishedproductsareexcluded.The non factory painted timber panels and framing members shall befreefromdefectsinworkmanshipandmaintaintheirstructuralintegrityand form for a period of five (5) years following delivery.Weathering,expansionandexteriordeteriorationoftimbersurfacesinthis instancearenotcoveredunderthetermsofthewarranty.Clearfinishedproductsareincluded.

GlassLaminatedGlassFoldingSlidingDoorsLimitedwarrantsthatforaperiodoffive(5)yearsfromdeliveryundernormalconditionsofuse,thattheproductsshallbefreeofdefectsresultinginmaterialedgeseparationorobstructionofvisionfromdelaminating.InsulatedGlassFoldingSlidingDoorsLimitedwarrantsthatthesealedglass component of insulated glass shall be free of defects resultingin material obstruction of vision or film formation caused by dust ormoistureontheinternalsurfaceofasealedunitforaperiodoften(10)years following delivery. Imperfections such as scratches or reflecteddistortions from a tempering or heat strengthening process are to beexpectedandarenot coveredunder thiswarranty.Brokenglass isnotcoveredunderthiswarranty.

HardwareFor products originally installed in a single family residence, FoldingSlidingDoorsLimitedwarrantsthatforaperiodoften(10)yearsfollowingdeliverythatthemechanicaloperationofhardwarecomponentswillbefreefrommechanicaldefect(installationexcluded).Forproductsoriginallyinstalledinnon-singlefamilyresidentialapplications,FoldingSlidingDoorsLimitedwarrants that foraperiodof three (3)years followingdeliverythatthemechanicaloperationofhardwarecomponentswillbefreefrommechanicaldefect.Forproductsinstalledwithinthree(3)milesofbodiesofsaltwaterthewarrantyperiodisone(1)years.Coatingsonmovableorhandledhardwarearenotcoveredunderthiswarranty.

Paint FinishFactorysprayedwoodfinishFoldingSlidingDoorsLimitedwarrantsthatforaperiodoffive(5)yearsfollowingdeliverythatthefinishwillnotpeel,crackorblister.Forproductsinstalledwithinthree(3)milesofbodiesofsaltwaterthewarrantyperiodistwo(2)years.MaintenanceoffactorysprayedwoodfinishesmustfollowFoldingSlidingDoorsLimitedssimplemaintenanceprocedureofregularlywashingtheprofilewithwarmsoapywater.Clearfinishedproductsareexcluded.PowdercoatedpaintfinishesFoldingSlidingDoorsLimitedwarrantsthatforaperiodoften(10)yearsfollowingdeliverythatthepaintfinishwillnotblisterorpeel.Forproductsinstalledwithinthree(3)milesofbodiesofsaltwaterthewarrantyperiodisthree(3)years.Notethataspowdercoat isacommercialfinish, it istypical for powder coated finishes tohaveanorangepeel appearance,speckles, bubbles, craters, pinholes and processing marks that occurduringmanufacturing.Thesearenotconsidereddefectsorcoveredunderthewarrantyunlesstheyarevisiblefromthree(3)metres.MaintenanceofpowdercoatedfinishesmustfollowFoldingSlidingDoorsLimitedssimplemaintenanceprocedureofregularlywashingtheprofilewithwarmsoapywater.Anodizedfinishes-FoldingSlidingDoorsLimitedwillwarrantthe

Class1clearanodizedfinishagainstcracking,crazing,flakingorblisteringforfive(5)yearsfromdateofdelivery.Notethatitistypicalforanodizedfinishestohavecolourvariationanddyeandprocessingmarksthatoccurduringmanufacturing.Thesearenotconsidereddefectsorcoveredunderthewarranty.MaintenanceofclearanodizedfinishesmustfollowFoldingSlidingDoorsLimitedssimplemaintenanceprocedureofregularlywashingtheprofilewithwarmsoapywater.

General TermsThewarrantyregistrationformmustbefullycompletedandreceivedatouraddress(FoldingSlidingDoorsLimited,Works,HopbineAvenue,WestBowling, Bradford,West Yorkshire, BD5 8ER)within twenty eight (28)daysoftheproductsbeingdelivered.Thewarrantywillonlybevalidprovidingthatnomodification,repairoralteration to theproducthasbeenmadewithoutFoldingSlidingDoorsLimiteds written approval by a senior member of staff. All defectivepartsmustbereturnedtoFoldingSlidingDoorsLimited.FoldingSlidingDoors Limited reserves the right to charge for replacement parts bywayofadeposituntil thedefectivepartsare received.FoldingSlidingDoorsLimitedwillreimbursethedepositpaymentintheeventofreceiptof defective part and inspection determines the warranty is valid.FoldingSlidingDoorsLimiteds liabilityunderthiswarranty is limitedtoreplacementofpartsonly,thewarrantydoesnotincluderepair,removalorinstallationofreplacementparts.ExceptintheinstancewhereFoldingSlidingDoorsLimitedproductshavebeen installedbyaFoldingSlidingDoorsLimited'sapprovedandtrainedthirdpartyinstaller.Folding Sliding Doors Limiteds liability under this warranty does notincludetheinstallationofsmallreplacementpartsthatcanbemailedina paddedenvelope andeasily installed by the buyer as determinedbyFoldingSlidingDoorsLimitedinitssolediscretion.FoldingSlidingDoorsLimitedwillonlywarrantythecorrectoperationoftheproduct if ithasbeen installedbya registeredthirdparty installer.Approved and trained by Folding Sliding Doors Limited. This warrantyis fully transferableshould thepropertybesold,providingthatFoldingSlidingDoorsLimitedisinformed,inwriting,bytheoriginalpurchaserandthenewownerregistersthewarranty.

Terms for 1000 Security WarrantyThesecuritywarrantywillbevalidforaperiodoffive(5)yearsfromthedateofregistration.Thewarrantywillonlytakeeffectfromthedateofreceiptof the registration form.The total compensationpackageofupto1000 (one thousand)willbe themaximumamountpayable in fullandfinalsettlementofanyclaims.Windowsanddoorsmustbesecurelyclosed (not in night vent position) and lockedwith the keys provided.The security warranty covers the frames and hardware from forcedentry . This is not awarrantyon theglassor key locking cylinders, nopaymentwillbeissuedincaseswhereentryhasbeenmadebybreakingtheglassorkeylockingcylinderattack.Intheeventofabreak-inwhereaFoldingSlidingDoorsLimitedproductisforcedopen,youmustcontactyour installer/dealer with full details with photographs and a policecrime incident number. If on investigation, it is found that the FoldingSliding Doors Limited products were correctly installed, adjusted andmaintained,butfailedduringthebreak-in,wewillthenissuetherelevantpayment.Thiswillbemade intwoparts; (i)500(fivehundred)totheregisteredclaimantand(ii)upto500(fivehundred)towardsthecostofreplacementorrepairofdamagetotheproductcausedbythebreak-in.Oneclaimperhouseholdcanbemadeduringthewarrantyperiodandnotificationofanyclaimmustbemadewithintwentyeight(28)daysofthebreak-in.

Terms for 10 Year Manufacturer WarrantyThemanufacturerWarrantywillbevalidforthedurationoftheinstaller/dealerwarranty(foramaximumoften(10)years),however,customersmust return the registration form within the twenty eight (28) daysstatedtobenefitfromtheadditionalcover.Shouldtheinstaller/dealerbeunabletofulfilthewarrantyoffered,forreasonssuchasceasingtrading,then, Folding Sliding Doors Limited (the manufacturer) will guaranteeall itsproductsfortheremainderofthetermforamaximumoftwentyfive (25) years. This includes frames and hardware, it does not coverfitting,glass,buildingworks,electrics,plumbing,flooring,ancillaryitemsor any other products or services your dealer has provided other thanthe products Folding Sliding Doors Limited havemanufactured. Shouldanydisputearisewithregardstothe installer/dealerwarranty,andtheexecutionofthis,wheretheinstaller/dealerisstillinapositiontocomplywiththetermsoriginallysetout,thenFoldingSlidingDoorsLimitedisnotinapositiontoarbitrateorcarryoutanyworksrequired.

CLAIMS PROCEDURETomakeaclaimunderthiswarranty,thebuyershouldcontactthesellerfromwhom the productwas purchasedwithin twenty eight (28) daysafter the discovery of the defect. The claimant will provide the sellerwith(i)afulldescriptionofthedefect,(ii)photographsorthedefectivepart,(iii)thedefectivepartforreplacement.Ifthebuyerhasnotreceiveda satisfactory response from the seller, youmust then notify: FoldingSliding Doors Ltd, Customer Service Department, FSD Works, HopbineAvenue, West Bowling, Bradford, West Yorkshire. BD5 8ER. The claimshould identify the invoice number, product type, date product wasinstalled,andthedefect.

General ProvisionsTHERE ARE NO OTHER WARRANTIES EXCEPT AS STATED HEREIN, ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE ARE LIMITED TO THE DURATION OF WARRANTY COVERAGE OF THESE EXPRESS WRITTEN WARRANTIES. FOLDING SLIDING DOORS LIMITED IS NOT RESPONSIBLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGE, LOSS OR INJURY TO PERSONS OR PROPERTY. THIS WARRANTY DOES NOT CONFER ANY RIGHTS OTHER THAN THOSE EXPRESSLY SET OUT ABOVE AND DOES NOT COVER ANY CLAIMS FOR CONSEQUENTIAL LOSS OR DAMAGE. THIS WARRANTY IS OFFERED AS AN EXTRA BENEFIT AND DOES NOT AFFECT YOUR STATUTORY RIGHTS AS A CONSUMER.

1 DefinitionsIntheseConditions,thefollowingdefinitionsapply:CompanymeansFoldingSlidingDoorsLimited(registeredinEnglandandWaleswithcompanynumber4267386), tradingas TheFoldingSlidingDoorCompany.Conditionsmeansthetermsandconditionssetoutinthisdocument.Contractmeans the contract between theCompanyand theCustomerforthesaleandpurchaseoftheGoodsandServicesinaccordancewiththeseConditions.Customermeans the person or firmwho purchases the Goods (or anypartofthem)andServicesfromtheCompany.Apersonincludesanaturalperson, corporate or unincorporated body (whether or not having aseparatelegalpersonality).Goodsmeansthegoods(oranypartofthem)setoutintheOrder.Managing Directormeans themanagingdirectorof theCompanyfromtimetotime.OrdermeanstheCustomer'sorderfortheGoodsandServices,assetoutinthecompletedOrderFormsubmittedtotheCompany.Order FormmeanstheCompany'sstandardorder formprovidedtotheCustomer.Servicesmeans theservices (if any) tobeprovidedbyoronbehalfoftheCompanyassetoutintheOrder.SubjecttotheprovisionsoftheseConditions, phrasesdefined in the2000editionof Incotermshave thesamemeaningwhenusedintheseConditions.

2 Application(i)TheseConditionsshallapplywithoutmodificationandtotheexclusionofallandanyotherconditionsincludinganyappearinginanyquotation,formofacceptance,deliveryformorotherdocumentorletteremanatingfrom the Customer to the Company unless otherwise agreed by theManagingDirectorinwriting.(ii)TheContractconstitutestheentireagreementbetweentheparties.The Customer acknowledges that it has not relied on any statement,promiseorrepresentationmadeorgivenbyoronbehalfoftheContractwhichisnotsetoutintheContract.(iii) Nothing in these Conditions shall restrict the rights of a Customerdealingasaconsumer.(iv)WheretheCustomercomprises twoormorepersonsthe liabilityofthosepersonsunderthesetermsshallbejointandseveral.

3 Acceptanceoforders(i) All Orders are placed and accepted by the Company only under andsubjecttotheseConditions.(ii)SavewherecreditisgiventotheCustomerbytheCompany,OrdersareonlyacceptedwiththeappropriateclearedpaymentinfullandacorrectlycompletedOrderForm.(iii)IninstanceswherecreditisgiventotheCustomerbytheCompany,suchOrdersarethenadditionallysubjecttosatisfactoryreferences..

4 Prices(i)PricesquotedoragreedbytheCompanyareunlessotherwiseagreedinwriting::- exclusiveofValueAddedTaxoranyotherapplicabletax,dutyorlevy;- becalculatedinpoundssterling;- givenonlyasindicationsmadeingoodfaithandaresubjecttovariationorwithdrawalwithoutnotice.Inanyevent,aquotationshallonlybevalidforaperiodoffourteendaysfromitsdateofissue;- exclusiveofdelivery,carriageandinsurancecharges;and- variable at the Company's discretion to account for fluctuationsafter thedateof theOrder but beforedespatch in (without limitation)costs, labour,materialpricesand/orservicechargestotheCompanyviaexchangeratefluctuationorotherwise.(ii)ErrorsandomissionsbytheCompany in importingtheagreedterms

intothewrittenquotationshallentitletheCompanyeithertosubmittotheCustomerarevisedquotationincludingifapplicableaquotationforanyworksormaterialsnotincontemplationwhenpreparingtheprecedingquotationandthisprecedingquotationshallhavenoeffectortoproceedwiththeexistingquotationattheCompany'ssoleoption.

5 Payment(i)Subjecttoclause5(ii)fullpaymentfortheOrdershallbemadepriortothedeliverydateagreedbetweentheCompanyandtheCustomer, thisshallbecleared funds; chequepaymentsshallallowanextra fivedaysforfundstoclear.(ii)Where credit is given to theCustomer by theCompany (andunlessotherwiseagreedinwritingbytheCompany),allCustomeraccountsshallbepaidinfullwithoutanydeductionwhatsoeverbythelastworkingdayofthemonthfollowingthemonthoftheOrder,andallmoniesreceivedbytheCompanyshallbeappliedtoaccountsoutstandingintheCompany'sbooksbyorderofage(startingwiththeoldest).(iii) All payments shall be calculated and paid in pounds sterling byreferencetotherelevantcurrencyexchangerateoftheCompany'sbankasatthedateoftheOrder.(iv)Ifpaymenthasnothavebeenmadeinaccordancewiththisclause5,theCompanyshallbeentitledto(a)rescindanydiscountofferedmakingthe original full price of the product payable and (b) recover from theCustomer interest, payable at the rate then applicable under the LatePayment of Commercial Debts (Interest) Act 1998 on any outstandingbalanceuntiltheactualdateofpayment.Theserightsshallexistwithoutprejudicetoanyotherright(s)oftheCompany.(v) The Company reserves the right at any time at its discretion todemand security for or vary the terms and method of payment, forcontinuingwithordeliveringtheGoodsorServicesinsatisfactionoftheOrder, notwithstanding any subsisting agreement to provide credit totheCustomer.TheCompanyshallnotifytheCustomerinwritingofsuchvariations.(vi)ShouldtheCustomerfailtomakeanypaymentontheduedatethentheCompanyshall beentitled to cancel anysubsistingsupply contractwithorsuspendanyfurtherdeliveriestoorcollectionsbytheCustomerand also appropriate any payments made by the Customer for suchothermaterials, goods or services supplied to the Customer under anycontract as the Companymay think fit notwithstanding any purportedappropriationbytheCustomer.TheCompanyshallnotincuranyliabilityto theCustomer in respectof such cancellationor suspensionand thisrightshallexistwithoutprejudicetoanyotherrightoftheCompany.

6 Right of set-offAnysumpayablebytheCompanytotheCustomeronanyaccountmayatanytimebeoffsetbytheCompany,attheCompany'ssolediscretion,againstanysumspayablebytheCustomertotheCompany.

7 CancellationofOrderIftheCustomer:- being a company, has a petition presented for itswinding up or anyadministrationorpassesaresolutionforvoluntarywindingupotherwisethanforthepurposeofbonafideamalgamationorreconstructionorentersa scheme of arrangement or voluntary arrangement of compound ormakesanyproposalstoorentersintoanyarrangementwithhiscreditorsorhasareceiverormanageroradministrativereceiverappointedoveralloranypartofitsassets;or- being a natural person or firm, has a petition presented for his orits bankruptcy or becomes bankrupt or insolvent or enters into anyarrangementwithhisoritscreditorsormakesorhasmadeanapplicationforinterimorderinconnectionwithaproposaltocreditorsorvoluntaryarrangement; or - commitsamaterial breachof thisContract, including(withoutlimitation)breachoftheCompany'sassignedcreditlimitforthe

Customer,receiptofanadversecreditstatusreportoftheCustomerbytheCompanyorwithdrawaloftheCompany'screditinsurancecoverfortheCustomer,thentheCompanyshallbeentitledtotreattheContractasbeingatanendand/orsuspendanyfurtherdeliveriesundertheContractoranyotherarrangementbetweentheparties. IftheGoodshavebeendeliveredand/orServicessuppliedbutineithercasearenotpaidfor,thepriceshallbecomedueimmediatelyregardlessofanypreviousagreementtothecontrary.

8 Delivery(i) Any statements made by the Company as to the time or date fordeliveryoftheGoodsorsupplyoftheServicesforcompletionofanyworkareanapproximateestimatebasedontradingconditionsatthattime.(ii) The Company may deliver or complete any Order in stages orinstalmentsandeachsuchdeliveryshallconstituteaseparatecontract.Deliveryshallbemadetotheplace(s)andbythemethod(s)specifiedbytheCompany(or ifnone,exworksor,forexportsales,FOBU.K.portorairport).TheCustomersoritscarriersreceiptshallbeconclusiveevidenceofdelivery.(iii)TheCompanyisnotliableforanydelayinthedeliveryoftheGoodsnorisitliableifitisinhibitedfromdeliveringGoods,materialsorServicesor executingwork for any causes beyond its control, such causesmayinclude(withoutlimitation)anactofgod,forcemajeure,warorhostilities,legislation, government order or direction, and strike, lock-out, labourdisturbance,civil commotion, fire,accident,breakdownofmachinery,oranylackorshortageoflabourormaterials,orreduction,ordelayordefaultofCompany.ssuppliersand/orsubcontractors,andinanysuchcasetheCompanyistobereleasedfromanyobligationtocompletetheContractwiththeCustomerbyaparticulartime.ThisrightexistswithoutprejudicetotheCompany.srighttorecoverpaymentforGoodsalreadydeliveredorworkalreadydone.TimeofdeliveryisnotoftheessencetotheContract.(iv) Unless otherwise expressly agreed by the Company in writing, alldeliveriesmadeorworkdoneattheCustomer.srequestonEnglishpublicholidaysandoutsidetheCompany.snormalworkinghourswillbesubjectto extra charges.Notification of such chargesmaybe obtained by theCustomeratitsrequestfromtheManagingDirector.(v) If agreed between the parties, the Goodsmay be collected by theCustomer. Collection of the Goods must take place within seven daysfrom the agreed collection date or the dates notified by the Companyas available for collection or the date of this Contract whichever islater. Thereafter the Customer will incur storage charges at the ratecurrentlyappliedbytheCompany.DetailsofsuchstoragechargesmaybeobtainedbytheCustomeratitsrequestfromtheManagingDirector.(vi)UponcollectionoftheGoods,theCustomershallbesolelyresponsibleforthesize,weightandpositioningofany loadon itsvehicleandshallfullyindemnifytheCompanyforanyclaimsoractionarisingtherefrom.(vii)WheretheCompanyagreestodelivertheGoodsdeliveryshallbetothenearesthardmetalled roadsurface.TheCustomershall beentirelyresponsibleforthepromptunloadingoftheGoodsandtheprovisionofsuitablelabourandequipment.(viii) The Customer shall take delivery or accept the Goodswithin thetime limit provided in these Conditions. If the Customer fails to acceptthe Goods or to give the Company adequate delivery instructions theCompanywillstoretheGoodsuntilactualdeliverytotheCustomeroruntiltheGoodsaredisposedof.TheCustomershallbeliableforthecostsofsuchstorageandinsuranceoftheGoods.AlternativelytheCompanymayselltheGoodsatthebestpricereadilyobtainableandtheCustomershallbeliabletopaythecostsofthesale.IftheGoodsaresoldforlessthanthepricepayablebytheCustomer,theCustomershallbeIiabletopaytheCompanythedifferenceinprice.(ix)WhereGoodsaresuppliedunderanyinternationallyrecognisedtradingtermasspecifiedinIncoterms2000,theprovisionbytheCompanyoftheusualtransportdocument(s)orotherevidenceofdeliveryconsistentwith

therelevanttradingtermwillbeconclusiveevidenceofdeliverybytheCompany.(x) If the Company or its carrier is unable for any reason to place theGoodsonboardshipupontheirarrivalattheportofdelivery,awarehousereceiptfortheGoodsshallbetreatedassufficientdelivery.(xi)TheCustomerundertakestoobtainandcomplywithanynecessaryexport/importlicences,permitsandconsentsforthesupplyanddeliveryoftheGoods.TheCustomershallensurethatallGoodssoldtotheCustomershall complywithall legalandcustomary requirementsprevailing inalljurisdictionsintowhichthoseGoodsmaybeshippedorresold.(xii)Notwithstandingdelivery,titleinthepropertyoftheGoodsshallnotpassunlessitisinaccordancewithclause12.

9Inspection,testingandquality(i)TheSupplierwarrants thatondelivery,and foraperiodof25yearsfromthedateofdelivery(thewarrantyperiod),theGoodsshall:-conformin all material respects with their description; - be free from materialdefectsindesign,materialandworkmanship;and-befitforanypurposeheldoutbytheCompany.(ii)Subjecttoclause9(iii),if:-theCustomergivesnoticeinwritingtotheCompanyduringthewarrantyperiodwithinareasonableperiodoftimeofdiscoveryofsomeor all of theGoods do not complywith thewarranty set out in clause9(i);-theCompanyisgivenareasonableopportunityofexaminingsuchGoods; and - theCustomer (if asked todo soby theCompany) returnssuchGoodstotheCompany.splaceofbusinessattheCustomer.scost,theCompanyshall, at itsoption, repair or replace thedefectiveGoods,orrefundthepriceofthedefectiveGoodsinfull.(iii)TheCompanyshallnot be liable forGoods. failure to complywith thewarranty set out inclause 9(i) in any of the following events: - the Customer makes anyfurtheruseofsuchGoodsaftergivingnoticeinaccordancewithclause9(ii); or - the defect arises because the Customer failed to follow theCompany.s oral or written instructions as to storage, commissioning,installation, use and maintenance of the Goods or (if there are none)goodtradepracticeregardingthesame;or-thedefectarisesasaresultoftheCompanyfollowinganydrawing,designorspecificationsuppliedbytheCustomer;or-theCustomeraltersorrepairssuchGoodswithoutthewritten consent of the Company; or - the defect arises as a resultoffairwearandtear,wilfuldamage,negligenceorabnormalstorageorworkingconditions;or-theGoodsdifferfromtheirdescriptionasaresultofchangesmadetoensuretheycomplywithanyapplicablestatutoryorregulatoryrequirements.(iv)Exceptasprovidedinthisclause9,theCompanyshallhavenoliabilityto the Customer in respect of the Goods. failure to comply with thewarrantysetoutinclause9(i).(v)Exceptasstatedinthisclause9,andtothefullestextentpermittedbylaw,allconditions,warrantiesandrepresentations,whetherexpressorimplied,statutoryorotherwiseinrelationtotheGoods(otherthansuchasrelatetotitletotheGoods)areexcludedfromtheContract.(vi)TheseConditions shall apply toany repairedor replacementGoodssuppliedbytheCompany.(vii) Whilst the Goods comply with all applicable standards and otherregulatory requirements in the United Kingdom, the Company is notresponsible for ensuring that they complywith any such requirementselsewhere.(viii)Allintellectualpropertyrights,includingunregistereddesignrights,copyright,registereddesignsandpatentsintheUnitedKingdom,andothersimilar rights elsewhere, inGoods that are proprietary to theCompanyand their drawings, designs and specifications, belong to the Companyabsolutely,andtheCustomershalltakesuchstepsastheCompanymayreasonablyrequesttoestablish,prosecuteanddefendthoserights.

10 Performance(i)UnlessotherwiseagreedinwritingbytheCompany,theCustomermust,freeofcharge:-providetheCompany,itsemployees,agents,consultantsand subcontractors, with access to the Customer's premises and otherfacilitiesas reasonably requiredbytheCompany; -obtainandmaintainallnecessarylicences,permissionsandconsentswhichmayberequiredbefore the date on which the Services are to start; - erect, maintain,dismantleandmoveallscaffoldingandplantrequiredfortheCompanysworksandgenerallypreparetheCustomer'spremisesforthesupplyoftheServices;-provideanywatersupply,lighting,andelectricpowerrequiredfortheCompanysworksandgenerallyco-operatewiththeCompany inallmatters relatingtotheServices;and-unloadgoods,equipmentandmaterialimmediatelyonarrivalattheprescribeddestinationandprovidesecureanddrystorage,andallreasonablefacilitiesforexecutionthereof.(ii)AlljoinerysuppliesshouldbekeptbytheCustomerinadryplace,wellstored,andifsuppliedun-coatedshouldbeprimedorstainedimmediatelyonreceipt.Anysubsequentcutsurfacemustbeprimedorstainedbeforefixing in position. Further decoration must be completed as soon aspossiblebytheCustomerusingareputablesysteminaccordancewiththemanufacturersrecommendations.TheCompanyacceptsnoresponsibilityforeffectsincurredtotheGoodsiftheGoodsaresuppliedun-coatedandif theGoods remainun-coatedwhenexposed toweatheringelements.If theCustomerpurchasestheGoodsun-coated,thennoguaranteesorwarranteesaremadebythecompanyinrespectoftheexpectedlifeoftheGoods.(iii) TheCompany shall carryout itsworkona continuousbasis duringnormal working hours and the Companys price is fixed accordingly. Ifspecialvisitshavetobemadetothesiteorworkhastobecarriedoutinanuneconomicalmanner,iftimeislostoradditionalexpenditureincurredduetotheCompanysoperativebeingdeniedaccesstoorwaitingonsiteorhavingtoreturntothesitetocommenceorcontinuework,thentheCompanyreservestheright(withoutlimitation)tomakeanextrachargetocoversuchcost(s).TheCompanyspricesaresubjecttopublictransportbeingattainabletowithinreasonabledistanceofthesiteoftheworkandsuitable lodgings being available at current substance allowance rates.TheCompany reserves the right tomakeanextrachargeshould theseconditionsnotbefulfilled.NotificationofsuchchargesmaybeobtainedbytheCustomerathisrequestfromtheManagingDirector.(iv)TheCompanyshallonlyinstalltheGoodsintofullypreparedopeningsthat have the correct tolerances allowed and solid structural sides allround to enable a level, firm and secure fixing of the Goods, including(without limitation): steel, solid brick, concrete and structural timberbeamsorlintels.If,however,theCompanycannotinstalltheGoodsduetoincorrectopeningsizes,notolerancesallowed,openingsnotbeingofastructuralsoundqualitytoenablelevel,firmandsecurefixing,disruptionbyothertradesorobstruction, thentheCompanyreservesthe righttoincuradditionalcoststotheCustomerforre-attendingsitetocompletetheworks.(v) Where samples are submitted these are drawn from bulk and arerepresentativeof thewholeandnoguaranteecanbegiventhateveryitemwillbethesameinallmaterialrespectsasthesample.(vi)TheGoodsormaterialssuppliedareonthebasisthattheyconformtothewrittendescriptionscontainedontheorderorconformationwheresupplied.NowarrantycanbegiventhattheGoodsormaterialssuppliedconformtothesketchplansordrawingsprovidedtotheCompanybytheCustomerortoillustrationsordescriptionsincatalogueortradeliterature.(vii) IntheeventthattheCompanyprovidesestimatesofquantitiesormeasurements on the basis of drawings and/or bills of quantities and/orspecificationssubmittedbytheCustomer,theCompanyshallexercisereasonablecareinprovidingsuchbuttheCompanyacceptsnoliabilityforinaccuraciesintheestimatesorcalculations.(viii) Any Goods manufactured to the design or specification of theCustomeroritsexpertsordetailstakenofplanssuppliedbytheCustomer

are produced without warranty of any kind except their compliancewith the design or specification. The Customer will unconditionallyfully and effectively indemnify the Company in respect of any claim,costorexpenses, lossesordemands resultingthere from includingtheinfringementofpatent,copyright,design,trademarkoranyindustrialorintellectualpropertyrightsresultingfromtheCompanysuseofthesaiddesignorspecifications.(ix)WhenestimatesareprovidedbytheCompanyonthebasisofplansand specifications supplied by the Customer, then the Customer shallrecheckthespecificationandquantitiesquotedandshallbedeemedtohaveacceptedthespecificationsandquantityspecifiedwhenplacingtheorderunlesswrittennoticeofanyvariationsaregiventotheCompany.(x)Designandadvisoryservices(includingthepreparationofdrawings,specifications,contractparticularsandthelike)shallbeprovidedbytheCompanywithreasonableskillandcarebutnootherrepresentationsorundertakingsaremadeoraretobeimpliedinconnectionwithanysuchservices nor shall the Company be under any liability whatsoever inrespectoftheseservicesiferectioniscarriedoutbeforeanynecessaryapproval,commissionsandconsentsofthirdpartiesareobtained.(xi)IftheCompanyarrangesprocessingofGoodsandmaterialsonbehalfoftheCustomerbyathirdpartysuchprocessingwillbecarriedoutunderthestandardtermsandconditionsofthethirdpartyandentirelyandattheCustomersownrisk.Noundertakingsorwarrantieseitherexpressedor implied are given in respect of any processed goods. The CustomershallbeentitledtocopiesofthirdpartystandardtermsandconditionsasappropriateonwrittenrequesttotheManagingDirector.TheCompanysliabilityinrespectoflossordamagetoprocessedgoodsshallbelimitedto the costs and expenses of such processing operation and shall notbe determined by the inherit value of the goods or materials therebyprocessed.(xii) The Customer is deemed to be fully conversant with the natureand performance of the goods and materials supplied to it includinganyharmful,hazardousordangerouseffectsresultingfromtheirusageormisuse and shall not be reliant in anyway upon the advice, skill orjudgement of the Company or its servants, agents or employees whoare not authorised tomake any representations concerning the goodswhatsoever other than those confirmed in writing by the ManagingDirector.(xiii)TotheextentthatanythirdpartygoodsorservicessuppliedtotheCompanyvalidlyexcludes, restrictsor limits its liabilitytotheCompanyinrespectofgoodsormaterialssuppliedoranylossordamagearisinginconnectiontherewiththentheliabilityoftheCompanytotheCustomerinrespectofsuchgoodsandmaterialsshallbecorrespondinglyexcluded,restrictedorlimited.TheCustomershallbeentitledtoreceivedetailsofanysuchexclusion,restrictionorlimitationuponrequesttotheCompany.(xiv)IfthematerialsaresuppliedtotheCustomerofaspecifiedgradenowarrantyisgiventhatthegradewillbesuitableforthepurposesrequiredbytheCustomer.

11 ResponsibilityThe Companys workmen are instructed to exercise due care and skillin doing theirwork and the Companywill not accept responsibility fordamagetothefabricorthecontentsofthebuildingsortheworkofothertrades,howsoevercaused.TheCustomershallhavenoclaim inrespectofanydamageor losstothepersonalpropertyoftheCustomeroranyotherpersons,except in respectofdeathorpersonal injury, causedbytheft, fire, explosion, flooding or any other materials whether causedbyaccidentornegligencearisingfromanyotherapparatusormaterialsrequiredforthepurposeoftheCompanyswork.Allsafety,health,welfarefacilitiesandarrangementswhereapplicablearerequiredtocomplywiththe Building (Safety, Health and Welfare) Regulations 1948 and anyotherlikeregulationsforthetimebeinginforcearetobeprovidedbytheCustomerfreeofcosttotheCompany.

12Passingofpropertyandrisk(i) The risk in the Goods shall pass to the Customer on completion ofdelivery.(ii)TitletotheGoodsshallnotpasstotheCustomeruntiltheCompanyhasreceivedpayment infull (incashorclearedfunds)for: - theGoods;and-anyothergoodsorservicesthattheCompanyhassuppliedtotheCustomerinrespectofwhichpaymenthasbecomedue.(iii) Until title to theGoods has passed to the Customer, the Customershall:-holdtheGoodsonafiduciarybasisastheCompanysbailee;-storetheGoodsseparatelyfromallothergoodsheldbytheCustomersothattheyremainreadilyidentifiableastheCompany'sproperty;-notremove,deface or obscure any identifyingmark or packaging on or relating totheGoods;-maintaintheGoodsinsatisfactoryconditionandkeeptheminsuredagainstallrisksfortheirfullpricefromthedateofdelivery;-notifytheCompanyimmediatelyifitbecomessubjecttoanyoftheeventslistedinclause7;and-givetheCompanysuchinformationrelatingtotheGoodsastheCompanymayrequirefromtimetotime,buttheCustomermayusetheGoodsintheordinarycourseofitsbusiness.(iv) If before title to the Goods passes to the Customer the Customerbecomessubjecttoanyoftheeventslistedinclause7,ortheCompanyreasonablybelievesthatanysucheventisabouttohappenandnotifiestheCustomeraccordingly,then,providedthattheGoodshavenotbeenirrevocably incorporated intoanotherproduct, andwithout limitinganyotherrightorremedytheCompanymayhave,theCompanymayatanytimerequiretheCustomertodeliveruptheGoodsand, iftheCustomerfailstodosopromptly,enteranypremisesoftheCustomerorofanythirdpartywheretheGoodsarestoredinordertorecoverthem.

13 LIMITATION OF LIABILITY(i)NothingintheseConditionsshalllimitorexcludetheCompanysliabilityfor:-deathorpersonalinjurycausedbyitsnegligence,orthenegligenceof itsemployees,agentsorsubcontractors (asapplicable);or - fraudorfraudulentmisrepresentation;or-breachofthetermsimpliedbysection2oftheSupplyofGoodsandServicesAct1982;or-breachofthetermsimplied by section 12 of the Sale of Goods Act 1979; or - defectiveproducts under the Consumer Protection Act 1987; or - anymatter inrespect of which it would be unlawful for the Company to exclude orrestrictliability.(ii) SUBJECT TO CLAUSE 13(i): - THE COMPANY SHALL UNDER NO CIRCUMSTANCES WHATEVER BE LIABLE TO THE CUSTOMER, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY, OR OTHERWISE, FOR ANY LOSS OF PROFIT, OR ANY INDIRECT OR CONSEQUENTIAL LOSS ARISING UNDER OR IN CONNECTION WITH THIS CONTRACT; AND - THE COMPANYS TOTAL LIABILITY TO THE CUSTOMER IN RESPECT OF ALL OTHER LOSSES ARISING UNDER OR IN CONNECTION WITH THIS CONTRACT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY, OR OTHERWISE, SHALL IN NO CIRCUMSTANCES EXCEED THE PRICE OF THE GOODS STATED IN THE ORDER (EXCLUDING VAT). (iii) THE CUSTOMER SHALL INDEMNIFY THE COMPANY AGAINST ANY LIABILITY INCURRED BY THE COMPANY IN RELATION TO ANY THIRD PARTY CLAIMS ARISING FROM THE USE MADE OF OR DEALINGS BY THE CUSTOMER IN THE GOODS (IRRESPECTIVE OF WHETHER THEY INVOLVE THE NEGLIGENCE OF THE COMPANY, ITS AGENTS OR EMPLOYEES), UNLESS SOLELY ARISING FROM THE COMPANYS WILFUL DEFAULT OR DEFECTS IN MATERIAL OR WORKMANSHIP OF THE GOODS.

14 Assignment(i)TheCustomermaynotassign,transfer,charge,subcontractordealinanyothermannerwithall oranyof its rightsorobligationsunder thisContract without the prior written consent of the Company. (ii) TheCompanymay at any time assign, transfer, charge, subcontract or dealinanyothermannerwithalloranyofitsrightsorobligationsunderthisContract.

15 WaiverAwaiverofanyrightor remedyunderthisContract isonlyeffective ifgiven inwriting and shall not be deemed awaiver of any subsequentbreachordefault.NofailureordelaybyapartytoexerciseanyrightorremedyprovidedundertheContractorbylawshallconstituteawaiverofthatoranyotherrightorremedy,norshall itprecludeorrestrictthefurtherexerciseofthatoranyotherrightorremedy.Nosingleorpartialexercise of such right or remedy shall preclude or restrict the furtherexerciseofthatoranyotherrightorremedy.

16 VariationExcept as set out in these Conditions, any variation to the Contract,including the introduction of any additional terms and conditions, shallonly be binding when agreed in writing and signed by the ManagingDirector.

17 Enforceability(i) Should any provisions of these Conditions be held by a competentauthority to be invalid or unenforceable in whole or in part then thevalidity of the remaining provisions shall not thereby be affected.(ii) If any invalid, unenforceable or illegal provision of theContract would be valid, enforceable and legal if some part ofit were deleted, the provision shall apply with the minimummodification necessary to make it legal, valid and enforceable.(iii) A person who is not a party to the Contracthas no rights under or in connection with it.(iv)Theprovisionsofclauses12,13,17and18shallsurviveterminationofthisContract.

18Jurisdiction(i) This Contract is governed by English Law and the Customeragrees for the Companys exclusive benefit that the English courtsshall have sole jurisdiction to hear all claims or disputes connectedwith the Goods or the Contract. The Company may neverthelessbring claims in any other courts of competent jurisdiction.(ii)AnyreferencetoanEnglishlegaltermforanyaction,remedy,methodofjudicialproceeding,legaldocument,legalstatus,court,officialoranylegalconceptorthingshall,inrespectofanyjurisdictionotherthanEngland,bedeemedtoincludeareferencetowhatmostnearlyapproximatestotheEnglishlegalterminthatjurisdiction.
