A.GENERAL POLICIES

1. The Rewards Program (Program) of Metrobank Card Corporation (MCC) isopen to PSBank MasterCard cardholders.

2. Rewards Points earned from the Program can be exchanged for rewards itemsspecified in the relevant Rewards Catalogue, applied as payment for annualfees, converted to air miles, or donated to charity (Participating Programs).

3. By redeeming Rewards under this Program, the Cardholder consents to thedisclosure by MCC of the cardholder's information to third party service providersas needed to carry out the redemption request.

4. This 2010 Rewards Catalog supersedes the 2009 Rewards Catalog and shallhave a validity period from August 1, 2010 to August 1, 2011 unless supersededby a 2011 Rewards Catalog.

5. The Terms and Conditions governing the issuance and use of MCC's creditcards are hereby incorporated herein by reference and shall form an integralpart hereof.

B.ELIGIBILITY

1. All Principal Cardholders (the Cardholder/s) of good credit standing (currentand not over limit) are qualified/eligible to participate in the Program.

2. Rewards Points accumulated by both Principal and Supplementary cardholdersshall be credited to the Principal's account.

3. MCC reserves the right to disqualify any Cardholder from further participationin this the Program and forfeit all Rewards Points earned by the Cardholder ifthe Cardholder defaults in his payment or, if in MCC's judgment, the saidCardholder has violated these Terms & Conditions and/or the Terms andConditions governing the issuance and use of his Metrobank credit card.

C.ACCUMULATION OF REWARDS POINTS

1. The Cardholder shall earn 1 Rewards Point for every P20.00 charged on his/hercredit card account for each purchase of goods or services. Rewards Pointsare computed on a per transaction basis, not on the total/aggregate amount ofpurchases, and rounded down to the nearest peso.

2. All purchase transactions are eligible in the accumulation of Rewards Pointsincluding the monthly amortization of retail installment purchases and Bills2Pay

Auto-Charge Program.

3. Charges not eligible to earn Rewards Points include, but are not limited to, cashadvances, Cash2Go BEAT Installment, Balance Transfer, Conversion toInstallment, and all types of fees and penalties such as annual fees, interestand finance charges, late payment charges, etc.

4. Cardholder may redeem as soon as he/she accumulates the required Rewards

Points indicated in this catalogue.

5. Cardholder's right to use the Rewards Points is non-transferable. AccumulatedRewards Points are not convertible to cash. Other than their intended use inthis Program, the Rewards Points hold no other commercial or financial value.Rewards Points redeemed cannot be converted back to Rewards Points.

D.DURATION AND LOSS OF REWARDS POINTS

1. Rewards Points earned during this Program shall expire in thirty six (36) months.

2. Transfer of Rewards Points from an expired or closed account to a currentaccount will not be allowed.

3. Unless MCC hears from the Cardholder within 20 days upon the delivery of themonthly statement of account, the Rewards Points reflected in the statementof account are considered correct.

4. Fraud and abuse relating to the earning of Rewards Points in the Rewards

Program or the redemption of rewards, including the transfer of Rewards Pointsto Participating Programs, may result in the forfeiture of earned Rewards Points.

5. All questions or disputes regarding eligibility of Rewards Points for redemptionof rewards will be resolved by MCC at its sole discretion.

E. REWARDS REDEMPTION

1. MCC will from time to time issue a Rewards Catalogue that will set out thenumber of Rewards Points required for the Cardholder to claim a rewarditem/service.

2. The Cardholder who has accumulated the required number of Rewards Pointsmay claim a reward in accordance with the instructions contained in the relevantRewards Catalogue.

3. Air Miles and Gift Certificates (once redeemed by the Cardholder) are notexchangeable, refundable or redeemable for cash or credit under anycircumstances, and are subject to the terms and conditions as may be prescribedby the issuer of the same.

4. If items are out of stock, MCC will make available replacement items.

F. REDEMPTION PROCEDURE

1. A Cardholder may redeem an item by calling the Customer Service Hotline at8-700-722 or 1-800-18-886227 (Domestic Toll-Free) so that an MCC CustomerService Representative may assist him.

2. Redemption requests shall be made during the program period specified in theRewards Catalog. Once redemption requests are accepted by MCC, they cannotbe revoked or canceled.

3. Processing/delivery of reward items may take 4-5 weeks from the date theredemption request is received by MCC. However, in case of stock unavailability,MCC shall inform the Cardholder in 3-5 days of such condition and offer asuitable alternative. Gift certificates will be delivered within 10 business daysfor Metro Manila and within 15 business days for provincial areas.

4. Delivery Guidelines:

a. Items shall be delivered to the Cardholder's current billing (home or business)address subject to verification by MCC. The following documents must bepresented upon delivery of the item/s:i. Cardholder's valid ID with picture and signature orii. Original copy of authorization letter and photocopy of the Cardholder's

ID (if the Cardholder is not present and claim is by an authorizedrepresentative).

b. Once received by the cardholder, MCC is not responsible for lost or stolenrewards items.

c. Any dispute concerning goods or services received from merchants inexchange for gift certificates redeemed under the Program shall be settled

between the Cardholder and the merchant and/or supplier that supplied thegoods or services. MCC will bear no responsibility in resolving such disputes.

5. Fast Track Redemptiona. The Fast Track Redemption is open to Metrobank credit cardholders in

good standing.b. Cardholders who do not have the required number of Rewards Points to

redeem an item may opt to use the fast track option in which the Cardholder

will be asked to pay the balance amount as indicated in the RewardsCatalogue.c. The Fast Track Redemption may only be applied selected items as indicated

in the catalogue.d. The balance amount will be posted in the Cardholders credit card account

and will be reflected in the next Statement of Account following the FastTrack redemption request.

e. The required Rewards Points and amount charged to the Metrobank Credit

Card for the items are indicated in the catalog. No other variations on therequired Rewards Points and amount charged to the Metrobank Credit Cardare allowed.

f. The same Terms and Conditions for the regular redemption will apply forFast Track redemption.

6. Air Miles Redemptiona. Cardholders must be enrolled in the relevant Air Miles program in order to

convert Rewards Points to Air Milesb. Air Miles shall be credited to the Cardholder's air miles account within 1-2weeks from redemption.

7. Donationsa. MCC will handle coordinating and relaying the donated amount to the

Cardholder's chosen foundation.b. If the Cardholder wishes to avail of any tax benefit/credit as a result of the

donation, he may do so by coordinating directly with the charitable institution.

8. Redemption of Fee Waiversa. Annual Fee Waivers shall be allowed and shall be reflected on the next

statement date following receipt of redemption request.

G. DISCLAIMERS

1. MCC has taken and will take reasonable care to ensure that information itpublishes in relation to this Program is accurate. The descriptions of the rewardsin the Rewards Catalogue and other Rewards program offerings are based oninformation provided by suppliers.

2. Unless otherwise stated/covered, installation and/or service of items are notincluded.

3. Items photographed in the Rewards Catalogue may differ slightly in color,perceived size or texture from the actual items to be delivered to the Cardholder.

H.TAXATION

The Cardholder will be responsible for whatever tax implications that may ariseout of the ultimate treatment of the item/s redeemed under this Program.

I. MISCELLANEOUS PROVISIONS

1. These terms and conditions are subject to any relevant law, government directionand regulation. For administrative complaints related to the Rewards Program,

the venue of the administrative action shall be in accordance with the Departmentof Trade and Industry's rules on venue of action. Venue of any civil action arisingunder this agreement shall be in the proper courts of Makati City, Philippines,all other available venues of suit being waived.

2. The terms and conditions may be modified by MCC in its sole discretion fromtime to time.

3. MCC reserves the right to limit the redemption of specific rewards and limit thenumber of rewards available at any particular redemption level.

4. The cardholder agrees to hold MCC or any of its officers or representativesfree and harmless from any liability or action arising from or in connection withthe availment or processing of any reward for which the cardholder is entitledto receive.
