environment in the financial industry and the IT sector.

In times of growing customer demand for digital services and increased regulatory

requirements for financial services providers, a stable, innovative partner is essential for

successful performance.

With around 3,000 employees in over 30 countries and more than 100 branches focusing

on the core IT services and software segments, the Raiffeisen Informatik Group is ideally

placed to provide such support.

Changes to the Management and Supervisory Boards

Friederike Petznek-Stadlbauer and Martin Melkowitsch stepped down from the

Management Board with effect from 25 June 2014 and 2 February 2015 respectively.

As of 3 February 2015, the members of the Raiffeisen Informatik Management Board were

as follows:

The Board would like to express its gratitude to the current and former members for their

outstanding commitment, which has benefited the company over the years.

The following changes were made in the composition of the Raiffeisen Informatik

Supervisory Board with effect from the end of April 2014:

At the Supervisory Board meeting of 30 April 2014 Andreas Fleischmann (member of the

Management Board of Raiffeisenlandesbank Niederösterreich-Wien AG) was appointed

Chairman of the Supervisory Board in place of Walter Rothensteiner (CEO of Raiffeisen

Zentralbank Österreich AG). Johannes Schuster (member of the Raiffeisen Zentralbank

Österreich AG Management Board) was named Deputy Chairman of the Supervisory

Board, replacing Michael Rab (member of the Management Board of Raiffeisenlandesbank

Niederösterreich-Wien AG).

Michael Kafesie (head of Participations Management & Controlling at Raiffeisen Zentralbank

Österreich AG) was newly elected to the Board.

We would like to thank the outgoing Supervisory Board Chairman and Deputy Chairman

for their outstanding dedication over the years, and for their significant contribution to the

Company’s growth and success.

Activities in 2014

During the 2014 financial year the Supervisory Board played an active part in supporting

the implementation of the Group’s strategy, as well as performing the duties incumbent on

it by virtue of the law and the Group’s articles of association.

The Supervisory Board regularly consulted with the Management Board on the running of

the Company, monitored the Management Board’s activities, and was involved in all vital

strategic decisions. The Board was kept up to date with developments in the business

situation, major transactions including the risk situation and the risk management system,

as well as the future direction of the Raiffeisen Informatik Group. The Board’s ongoing

supervision did not give rise to any objections. The Management Board responded to

suggestions made by the Supervisory Board.

The main topics that the Supervisory Board focused on in 2014 were developments in the

Austrian and international IT markets, changes in revenue, earnings and employee

numbers, measures aimed at cutting costs and increasing revenue, the financial situation,

and key investment projects.

The following projects played a particularly significant role:

fit4SMART, a project centred on the timely implementation and operation of infrastructure and services in all zones and entities, is a core component of the overarching “One IT for Raiffeisen Austria” programme.

In April 2014 Raiffeisen Informatik opened one of the most modern and high-performance data centres in Austria.

The Space Shuttle project concentrated on migrating customers’ IT infrastructure to the new data centre.

In order to intensify the collaboration with Raiffeisenlandesbank Niederösterreich-

Wien AG, capitalise on additional synergies, and boost efficiency and competitive-

ness, the Group outsourced marketing, press relations and facility management

activities to Raiffeisenlandesbank.

Annual and consolidated financial statements

KPMG Austria GmbH Wirtschaftsprüfungs- und Steuerberatungsgesellschaft, the auditor

appointed for the 2014 financial year, audited the annual financial statements, prepared in

accordance with Austrian accounting standards, and the operating and financial review for

the year ended 31 December 2014. The auditor compiled a written report on the results of

the audit and gave an unqualified auditors’ opinion. Following a detailed analysis and

discussions in both the Audit Committee and the Supervisory Board, the latter approved

the annual financial statements prepared by the Management Board for the year ended

31 December 2014, including the notes and the operating and financial review, as well as

its proposal for the five-year plan.

The consolidated financial statements were prepared in accordance with International

Financial Reporting Standards (IFRS). These were likewise audited by KPMG Austria

GmbH Wirtschaftsprüfungs- und Steuerberatungsgesellschaft, which gave an unqualified

auditors’ opinion. The Supervisory Board approved the consolidated financial statements

including the notes and the operating and financial review.

The Supervisory Board would like to thank the Management Board and all employees of

the Raiffeisen Informatik Group for their hard work and commitment during the last

financial year. Their expertise and motivation played a vital role in the Company’s success-

ful performance. The Board also expresses its gratitude to Raiffeisen Informatik’s customers

and partners for their trust.

Dear shareholder,

Austrian economic growth fell short of expectations in 2014, remaining virtually unchanged

on the previous year’s level, at 0.3% (2013: 0.2%). The same applied to the IT market,

which was also subdued owing to the muted economic environment.

Growth forecasts for Austria for 2015 are similarly modest, at 0.5%. However, the outlook

for the ICT market is considerably more optimistic. IDC is predicting growth of 3.8% for the

global ICT sector. This expansion will be fuelled by investment in mobility, cloud computing,

big data and analytics, which are set to experience a sharp upturn in demand in 2015.

Thanks to its partnerships within the Raiffeisen Banking Group, Raiffeisen Informatik

capitalised on a number of growth opportunities that presented themselves both within the

Group and in the wider market. Consolidated revenue reached an outstanding EUR 2.1bn

in the reporting period, and with operations in 30 countries, the Company is very well

positioned from a strategic perspective.

Raiffeisen Informatik reached an important milestone in 2014 with the official inauguration

of its data centre – one of the most powerful and secure facilities in Austria. Designed to

handle the rapid global growth in data volumes, it will have over 5,000 square metres of

server room space following the second expansion phase, ensuring that we are well

placed to handle future technological challenges. It features state-of-the-art infrastructure

with multiple mirroring, as well as a range of scalable services based on visualised processor

and storage systems, which can be quickly adapted to our customers’ requirements. The

new data centre is at the heart of Raiffeisen Informatik’s growth and expansion strategy.

Growth and quality require a powerful organisational structure, which was the focus of our

efforts in 2014. This process involves bundling and leveraging synergies and sharpening

the focus of individual roles within the organisation.

At the same time we have significantly modernised and expanded our product portfolio.

We took steps to develop our services in line with evolving customer requirements. Examples

include the introduction of new invoicing models for virtual services on all platforms and the

addition of colour printing to our output services. A variety of new services – such as virtual

desktop as a service, the cloud integration service, mobile document processing and

mobile web conferencing – underline our ability to innovate and represent a strong foundation

for Raiffeisen Informatik’s continued success.

In 2014 Raiffeisen Informatik supported customers on a number of projects. The most

important, One IT for Raiffeisen Austria, which targets the harmonisation of software

development in the Raiffeisen Group, is the largest and most complex customer project we

are currently involved in.

We migrated the SAP system of Lafarge’s Austrian subsidiary to our Vienna data centre in a

very short space of time. Since then we have been responsible for basic technical oper-

ation of the cement market leader’s software, as well as backing up and archiving data.

2014 also brought a special anniversary: for ten years Raiffeisen Informatik has been

providing the highly available IT infrastructure behind the Austrian truck road toll system.

The Group has processed more than 6.2 billion transactions and issued 36 million invoices

since the kilometre-based system’s introduction in 2014. Besides supplying secure and

reliable IT operations, Raiffeisen Informatik is also responsible for optimising the Austrian

truck toll system with a view to continuously improving usability.

In addition to long-standing key accounts, the services in our broad-based portfolio – ranging

from high-availability IT operations, outsourcing and security services to consulting, licence

management and comprehensive workplace support – attracted various new customers

from a range of industries in 2014, including HOERBIGER, SPAR, WSK Bank, KEBA, GIS,

Tele2, HUECK Folien, Hofer and willhaben. We are particularly pleased to have been

selected to operate the new AuRep reporting platform, which has all of the major Austrian

banks among its stakeholders.

Numerous awards and certifications reflect the commercial success of Raiffeisen Informatik

GmbH. A short time ago we achieved certification for a further two years as an SAP

Hosting Partner (status: Excellent) and SAP Application Management Services Provider.

From the standard of equipment in the data centre to security, compliance and service

management processes – the Company scored top marks in each of the areas covered by

the audit. Both certifications signify that Raiffeisen Informatik satisfies the quality standards

set out by SAP, providing efficient, round-the-clock, professional SAP services for its

customers thanks to its decades of experience and extensive know-how.

We would like to thank all of our customers for their trust during the 2014 financial year.

And in future the Group will continue to handle all of their IT-related tasks as a high-efficiency,

secure and reliable partner. The success of our business is mainly the result of the personal

dedication, ambition, motivation and commitment of every single one of our employees.

their full backing over the years, paving the way for our successful development.

international group company with currently 33 locations and over 100 subsidiaries

throughout the world.

Raiffeisen Informatik Beteiligungs GmbH, or RI-B, is a wholly owned subsidiary of

Raiffeisen Informatik and unifies all investment activities of the Austrian IT providers.

RI-B is thereby following a consistent investment strategy. This investment strategy follows

the aim of supporting and extending the Raiffeisen Informatik business, being applicable to

both products and services as well as markets and industries. Distributive multipliers,

growth amplifiers, and technologically innovative enterprises form the focus of the

RI-S (www.ri-s.at) supports customers with all kinds of technical workplace services. Quality, expertise, and success are the foundation of reliable client management services. RI-S offers a wide range of Client Management Services. bat-groupware (www.bat.at) is a qualified solution partner for all groupware tasks and a

company’s main areas of expertise include consulting, design, implementation and support

services related to groupware, IBM Notes/Domino Systems Management, Microsoft

D2D - direct to document GmbH (www.d2d.at) brings together printing and shipping services under one roof. With a 15 percent share, the company leads the output market. Leading-edge IT solutions combined with dependable printing and enveloping facilities ensure that documents are delivered on time. Raiffeisen Informatik’s output centre makes it possible to transfer data to documents quickly and reliably. Accurate delivery is under-pinned by a Raiffeisen Informatik-developed application which reads in documents via a data matrix code and groups documents that belong together in batches.

This technology makes it possible for Raiffeisen Informatik to produce (in colour or black

and white), check and dispatch all kinds of documents including bills, account statements,

insurance policies or meter reading cards, as well as mail shots and special productions.

GEMDAT NÖ NIEDERÖSTERREICHISCHE GEMEINDE-DATENSERVICE GESMBH

gemdat NÖ (www.gemdatnoe.at) has been providing turnkey IT solutions for municipalities,

city councils, local authority associations and educational institutions since 1982.

A market leader, its core focus is on customising software suites published by big name

manufacturers and providing user-friendly, state-of-the-art, flexible software solutions for

public bodies. gemdat NÖ also leads the way in the education sector with a broad-based

portfolio including everything from interactive whiteboards to end-to-end IT systems for

schools. The company has partnerships with around 480 local authorities, 20 local

authority associations and 350 schools.

60 innovative experts with extensive industry experience are at hand to provide a full range

of services, accompanying clients every step of the way from the initial stages to day-to-day

support.

A-TRUST – GESELLSCHAFT FÜR SICHERHEITSSYSTEME IM ELEKTRONISCHEN

DATENVERKEHR GMBH

A-Trust (www.a-trust.at) is an Austrian business providing a full range of secure services

related to digital signatures. The company is the only accredited provider of certification

services for qualified certificates in Austria and Liechtenstein.

Its products comply with the Austrian Signature Law and the EU Electronic Signatures

Directive, meaning the company is permitted to issue qualified certificates for generating

secure digital signatures. The company also runs a freely available public directory with

up-to-the-minute revocation information.

A-Trust’s stakeholders include several banks, Raiffeisen Zentralbank, the Austrian Bar

Association, the Federal Economic Chamber (WKÖ) and Raiffeisen Informatik.

RAIFFEISEN INFORMATIK SLOVENIA D.O.O. Raiffeisen Informatik’s first shared service centre is based on an outsourcing agreement concluded between the newly founded Raiffeisen Informatik Slovenia (a wholly owned subsidiary of Raiffeisen Informatik Group) and Raiffeisen Bank Slovenia (RBSI). Under the agreement, Raiffeisen Informatik Slovenia acquired 19 employees and hardware and software worth around EUR 3.2m from RBSI. Raiffeisen Informatik Slovenia provides a total of 16 services for RBSI. Its portfolio includes:

Business Support Services: IT services that support products for Raiffeisen Bank Slovenia customers

Bank Support Services: IT services that support internal operations at Raiffeisen Bank Slovenia (HR, bookkeeping, procurement, etc.)

Technical Services: Technical support for the bank’s hardware

The experts in Slovenia are also responsible for operating the itsm-Box application.

RAIFFEISEN INFORMATIK SLOVAKIA S.R.O. Raiffeisen Informatik SK s.r.o., a Raiffeisen Informatik shared service centre, is head-quartered in Presov (SK). The shared service centre is currently being built up and its five employees provide Raiffeisen Informatik with technical operations for the company’s cloud services (IaaS, ITSM Box etc.). It also handles technical operations for Raiffeisen Informatik relating to server platforms, networks and security.
