The apparent low bidder, PCL Construction, was determined to be non-responsivefor failing to meet the 25% DBE goal. Their proposed DBE attainment wascalculated at 21.84%. PCL Construction also provided Good Faith Efforts thatwere determined not acceptable

The second low bidder, Kiewit-Shea JV, was determined to be the lowest-pricedresponsive and responsible bidder and is therefore recommended for award. TheKiewit-Shea JV met and exceeded the 25% DBE goal by utilizing thesubcontractors shown on Attachment B.

Attachment A delineates the cost details of this award. A 10% contract reservefund of $ 3,894,800.00 is recommended to cover the cost of changes and extrawork. This contingency amount will not be included in the Contract AwardAmount.

RECOMMENDATION

That the RCC Board recommend the MTA authorize the Chief Executive Officer toexecute Contract B271 with Kiewit-Shea, A JV, the lowest-priced responsive andresponsible bidder, in the amount below:

BACKGROUND

The B271 contract includes the construction of the Hollywood/Western Station,including all mechanical electrical, architectural, finish work, and all utility work.Also furnish and install auxiliary power transformers.

The award price is considered fair and reasonable based upon the receipt ofcompetitive bids. Kiewit-Shea, A JV possesses the California State ContractorClass "A" License that is required. It is estimated that this contract will producesixty-three (63) new jobs in Los Angeles County during the construction period.

RECOMMENDATION

At the RCC Board meeting of January 24, 1994, the Board recommendedthat the MTA authorize the Chief Executive Officer to execute ContractB271 with Kiewit-Shea, a JV, the lowest-priced responsive and responsiblebidder.

BACKGROUND

BID EVALUATION PROCESS

Contract B271 was bid as a low bid (IFB) procurement. The IFB processrequires an award to the lowest priced responsive\responsible bidder asdictated by both California and Federal law for construction contracts. Ifthe low priced bidder is not acceptable, the next lowest bidder is evaluatedand so on until one is accepted or all are rejected. In accordance withFederal Acquisition Regulations, the "preservation of the integrity of thecompetitive bid system dictates that, after bids have been opened, awardmust be made to that responsible bidder who submitted the lowestresponsive bid, unless there is a compelling reason to reject all bids andcancel the invitation." Invitations may be cancelled and all bids rejectedbefore award but after opening only under circumstances detailed inAttachment A.

For this bid effort five (5) bids were received. The bid documents wereclear and the bids received from four (4) bidders indicate a mutualunderstanding of the scope of work.

The evaluated bid price of four bidders was: @ $38.9mil, $39.5mil,$39.9mil and $40.3mil with PCLat $36.6mil. The engineer’s estimate was$45.7mil. All bidders were below the estimate. (See Attachment B.)Also, the bid prices received on the solicitation are lower in comparison toother RCC projects of similar scope.

The first step in evaluating a bid is to determine if all the bid forms areproperly filled out. In all except PCL’s case they were. California PublicContract Code (PCC) 4100 (See Attachment C) clearly requires all primebidders to list their subcontractors, stating their name, location, and scopeof work to be performed. If the scope is not listed, the prime contractormust perform the work itself. If these requirements are not met, thesubcontractors listed cannot be counted as performing on the contract.

In the subject bid PCL failed to list the location of ten (10) subcontractors.(See Attachment D)

PCC 4100 also requires that only one subcontractor be listed for one scopeof work or the prime contractor must perform the work itself.

In the subject bid PCL listed four (4) subcontractors doing two scopes work. (See Attachment E)

Due to the above areas being in conflict with the California PCC, staff hadno alternative but to disallow the subcontractors that were improperlylisted.

These requirements are ones that PCL must be familiar with to hold aCalifornia contractors license.

With the elimination of these subcontracts, PCL is performing most of thework itself and any of those which were DBE’s could no longer be countedtoward the DBE goal. (See Attachment F.) This forced staff to requestGood Faith Efforts from PCL in order to try to preserve the low bid.PCL’s Good Faith Efforts were found deficient in four (4) of the nine (9)requirements,

Staff had no alternative, under Federal law, but to evaluate the next lowestbidder. The remaining four bidders were all found to be responsive andresponsible and met the DBE goals without the need for Good Faith Efforts.(See Attachment G.) Good Faith Efforts have been approved by the MTABoard on February 3, 1994 (see AttachmentS).

The next lowest responsive/responsible bidder was Kiewit-Shea which wasrecommended for award.

The above steps conform with the requirements delineated in California andFederal law.

ATTACHMENT A

Invitations may be cancelled and all bids rejected before award but after openingwhen, the agency head determines in writing that--

(1) Inadequate or ambiguous specifications were cited in the invitation;

(2) Specifications have been revised;

(3) The supplies or services being contracted for are no longer required;

(4) The invitation did not provide for consideration of all factors of cost to theGovernment, such as cost of transporting Government-furnished property tobidders’ plants;

(5) Bids received indicate that the needs of the Government can be satisfied bya less expensive article differing from that for which the bids were invited;

(6) All otherwise acceptable bids received are at unreasonable prices, or only onebid is received and the contracting officer cannot determine thereasonableness of the bid price;

(7) The bids were not independently arrived at in open competition, werecollusive, or were submitted in bad faith (see Subpart 3.3 for reports to bemade to the Department of Justice);

(8) No responsive bid has been received from a responsible bidder.

(9) A cost comparison as prescribed in OMB Circular A-76 and Subpart 7.3shows that performance by the Government is more economical; or

(10) For other reasons, cancellation is clearly in the public’s interest.

b. Eiscussion of MTA initial Rules and Procedures.

Director Antonovich made a motion, seconded by DirectorFasana, that the Chair and Vice Chair term of office be for 60days. Staff to return within that time period with optionsfor city and County rotation of officers and whether the termsof office should coincide with the calendar year or fiscalyear.

Director Bradley suggested that the motion be amended to setthe initial term of office to June 30, 1993. Duringdiscussion, Director Brathwaite-Burke urged the passage of themotion with the June, 1993 date. Following further discussionon the term of office, on a Roll Call vote noted below, theBoard approved the initial term of Chair and Vice Chair toJune 30, 1993.

Director Antonovich made a motion to clarify Section 1.6 -Committees (page 3), to be consistent with the action taken establish Committees. The proposed language is, "Committeeappointments are recommended by the Chair and confirmed by theMTA Board." Further, staff will return within the interimperiod with recommendations and comments from the Committeesand Construction Board regarding how they can most efficientlyserve the MTA and what specific authorities could be delegatedunder AB 152. This motion was seconded and unanimouslycarried.

ADOPTED Initial Rules and Procedures, with above amendments.
