PRESIDENT’S REPORT - YEAR 2014/2015
On behalf of the trustees and myself I wish to congratulate the Commodore and Committee for
what has been a further stable and productive year for the club.
In this past year we celebrated the 100th anniversary of our Royal Charter. The gala dinner
catered for 150 VIP guests, members and partners with the club management and staff
delivering a splendid outcome which will be remembered for years to come.
Our lease. With only eight years of our lease remaining the futures standing committee
continues to work at preparing the groundwork to engage with the prospect of our having
to vacate our present premises in 2023. Our landlord the TNPA has, unfortunately, not been
cooperative in attempts to engage with discussion on our future. However, in the absence of
firm arrangements with our landlord the futures standing committee has pressed on with the
objective of securing support from key role players.
Sailing. The club has had a full and successful sailing agenda. Well done and congratulations
to the sailing committee and especially the sailing office. The events were mainly very well
supported on the water. The youth sail training academy programme has experienced another
successful year under able management of Harry Brehm.
Membership. Growth in club membership is again encouraging. The club continues to offer
good value for prospective members
Finance. It is again heartening to see that the club is in sound financial health.
My thanks to the Trustees for their willing and able support over this last year.
In conclusion, on behalf of the trustees and myself, I wish to express our thanks and
congratulations to our Commodore and his team for a very successful year.

COMMODORE’S REPORT - YEAR 2014/2015
The past year has been a grounding year for me and the committee, and I am delighted to report that we have worked well and with good humour within committee structures, and have managed to provide an active sailing calendar.
Year Book.
This year the club has gone electronic and no year book will be published.
Last year we did not publish the accountants in the year book and distributed it as inclusion in our club magazine SAIL. This year we have gone further and all committee reports, will be published online on our website www.rcyc.co.za
The membership list and Fleet list will be available on the website but will be password protected for members only please refer [email protected]
The accounts and notice of AGM will be distributed with SAIL magazine.
I trust that members will appreciate our contribution to the “green” society.
Futures
The future location of our club is as always a topic of discussion around our club, and not more so this year with the publication in the Saturday Argus a report by Councillor Brett Heron. This prompted our futures committee to be more proactive in cementing the relationships with all stakeholders namely, The City of Cape Town, The Province of the Western Cape, Transnet National Ports Authority, V&A and Ports Consultative Committee (PCC). Meetings have been held with all of these bodies during the year. The goal of the Futures Committee is to maintain RCYC as an affordable yacht club within the City of Cape Town offering access to the sea for all. Finance and Trading
The Club has once again traded successfully, due to proper business policies and procures managed and run by the finance committee, club staff and supported by General Committee. It has been 3 years since we have increased subscriptions and mooring levies and our Treasurer has proposed a modest increase of 5% for both subscriptions and annual mooring levies.
Membership and Growth
I am pleased to report that yet again our club membership continues to grow. This pleasing statistic is important for us as we build and maintain relationships with regard to our future, as it does indicate our relevance in the sailing community of Cape Town. It is also directly related to the very active and creative sailing calendar we host. Our Vice Commodore Vitor Medina who heads this portfolio has taken steps to bolster the marketing department and will be actively marketing brand RCYC to prospective new members in the following year. Once again the sailing academy under the leadership of Harry Brehm has contributed to life at our club, with 100 members we have 4 L26’s on the water each week, either training or

partaking in club events, novices are trained separately in the harbour on Sundays. During Lipton challenge cup 2014 a sailing academy team came 2nd to our RCYC team a truly magnificent effort. Our academy will be entering 2 teams for this year’s Lipton challenge under various burgees. As a long term goal should funds become available, a Cape 2 Rio 2017 campaign will be considered. Sailing
Under Rear Commodore sailing, Luke Scott we have had an active sailing calendar, catering for a whole host of events, Club crewed sailing, double handed sailing, overnight sailing, destination sailing, youth sailing, fun sailing, ladies sailing, corporate sailing and CRUISING. All these events create a balanced club and to all the members who partake or sponsor these events well done. Many of our members have done extremely well in capturing sailing titles this year, to name a few: Andrea Giovannini and his team The Manhattan Yacht Club, Dennis Connor international; David Rae and his team the 2014 J22 Worlds; Greg Davis and David Rae The 2014 Lipton Challenge Cup , Luke Scott, Greg Davis, Stefan Hundt and teams the 2015 Hout Bay Yacht Club Admirals sword; Robbie Van Rooyen and team 2015 Vasco da Gama race.
We host the 2015 Lipton Challenge cup in July 2015 and wish Vitor Medina (event organiser) and his team well for this event.
General
The club continues to host the successful Jazz on the deck the first Sunday of the month, this is the ideal opportunity to bring your non sailing guests to the club, the ever popular Friday night draw continues to keep the club active. A successful centenary Mess dinner saw 150 members and guests celebrate 100 years of our Royal charter, in November 2014.
During the year we have many members, past committee members and past commodores who will always avail themselves to assist when asked, for all those who have contributed this year thank you for your time and efforts.
9 members of the past committee will be standing for re-election next year and this bodes well for stability within the club.

FUTURE PLANNING COMMITTEE - YEAR 2014/2015
Dear Members,
Once again, it is my privilege to write to you again on the activity our committee have been involved
in since my last feed back report in December 2014.
The most recent report I have is the First Annual Port Consultative Committee Port User Port
Performance Consultation Road Show for 2015 was held at the RCYC earlier in April and the second
one is due on May 15th. We still have no further advice on the position they plan to take with respect
to extending our lease. Following the press announcement which the Commodore shared at the
end of 2014, members of the committee have met directly with Councillor Brett Herron and David
Gretton from the City of Cape Town to discuss the article
He informed us that there had been a visioning exercise carried out by the V&A, TNPA, Province and
the City to try and get heads around the 50 year vision for CTN Harbour. This was arranged and paid
for by province. We explained the following Cnlr. Herron:
• our difficulties in communicating with the Port,
• results of the Provincial Study that was completed last year to show the economic,
social and historical value the club provides to the City and Province.
• our engagements with the V&A and some of the ideas we have looked at between
ourselves.
• The need to establish a steering committee made up of all stakeholders involved in the
future of the port including the V&A and RCYC.
Councillor Herron has agreed to organise a meeting from his office including the (Transport Cape
Town (TCT) Senior Planner, TNPA, V&A and province.
This first meeting would simply be to start a dialogue to explore further ideas with RCYC being a part
of the stakeholder team.
This meeting should happen in another 4 to 6 weeks from now (the approximate date for the AGM
itself).
Members of the committee have also continued to meet with representatives of the V&A to keep up
the momentum of interest between RCYC and the V&A. We recently invited the representatives to
tour the port waters in the butt cat with a view to see various locations to accommodate the club
from the water rather than looking at drawings or from on shore. It gave quite a different perspective
to look at potential space from the water for our colleagues from the V&A.
The representatives have advised of further management changes in the senior leadership of the
TNPA which they have been made aware of. Our intention is to use the process being initiated by

the City to further discussions and planning of the Port, V&A, and the Club. The City’s proposal to
facilitate the meetings should prove of great value.
Initial financial discussion regarding finance of a move still point to the major source of funding
potentially being derived from an early departure from the club in return for the TNPA getting earlier
access to the commercial value they feel can be derived from use of our space, but far greater detail
engagement with our landlord is required and this is proving very challenging.
We have explained to the V&A that the club has put together past proposals to capitalise on the
space we rent with club driven commercial enterprises which could attribute to the club and our
landlord. The limitations of the lease we have had in the past have prevented any such activity.
Could this be a way forward into the future to help off set any additional premiums and the clubs
affordability to relocate?
The last subject on the table is the continued discussion and analysis between the TNPA, the V&A
and RCYC is for reconfiguration of space to better utilise the use of space in both the harbour and
V&A water and hard space. Historic use of the land and water have changed over time and there
may be room for negotiation which can benefit all three parties which is another subject where the
City can add their support.

by this committee.

CRUISING REPORT - YEAR 2014/2015
Wow – Where has this year gone? – It is true - time flies when you are cruising and having fun.
I hope you all agree that “Cruising” is playing a larger role in the sailing life at the Royal Cape Yacht
Club in a positive way.
I would like to thank our much laid back “Cruising Subcommittee” consisting of Dave Gough,
Grant Saunders, Jimmy Eugster, Mike Cave and now more recently Patrick Waterson and Robert
Ravensberg for all their help, ideas and input.
If anybody wants to add new thoughts or ideas on what we should focus on, please feel free to join
us on any Wednesday or Friday evening at the club. If you prefer you can also email your suggestions
to Toni Mainprize at the sailing office. Please remember - all input - is good input. Please also note
that if any boat wants to join in but prefers to stay on their boat and enjoy their own company – that’s
fine and 100% acceptable – it will be great to see you on the water.
Over the last 12 months, we have had regular monthly cruising events such as the Seaport Fishing
cruise, the light houses cruise, Dassen Cruise, Women’s Day Cruise, Opening Cruise, Moonstruck
Clifton etc., we now also have a Coastal Cruisers and Cool Cats Class in the Lufthansa Wednesday
twilight races and also in all the scheduled race events of the year.
We have also successfully collaborated with other yacht clubs and had a great organized cruising
events such as the West Coast Cruise to Port Owen in December 2014 and the SBYC North Bay Cruise and RCYC Raid of SBYC one week after the Mykonos Regatta in February 2015.
Unfortunately the planned Easter Cruise to Dassen did not work out due to bad weather but we are
planning the third annual Hout Bay Yacht Club Raid for the weekend of the 23rd and 24th
May 2015 .We are also trying to encourage some of the HBYC cruisers to join us at the club on
Friday the 22nd.
Some new ideas suggested for the future:
• The RCYC Cruisers to collaborate closer with overseas cruisers hopefully making their
visit to our club more memorable and welcoming.
• Having more “spur of the moment “cruises - by taking advantage of good weekend
weather and using

SAILING REPORT - YEAR 2014/2015
Our ocean breathes salty amidst the cold misty haze; the murky water; the breathless transitions; the dark rock jagged edges; the twisting, tumbling battle between the oft-angry south east and westerly winds over cold rolling deep ocean swells [and their many secrets]; the layered marine scents of life, death and decay; the ebb, flow and flood lapping endless white sands; the rhythm and varying azimuth of sun chasing moon chasing sun; the bleaching, hot mirrored African summer sun dancing over ripples and waves; all against the majestic shielding backdrop of Table Mountain. Our colourful capensis fleet accepts these terms: The human spirit thrives!
Royal Capers have emerged victorious after an active, eventful season.
With the mantra that sailing is always on, we have had another great season on the water. When the season began, I wondered how on earth the fleet would match the stellar participation levels of the previous season. Now, at the season’s conclusion, it is with a great deal of satisfaction shared across the entire fleet that we can see there has still been growth in the club champs, the premier regattas, academy and cruising fleets. Long may that last!
The weather has been kind, and the vast majority of scheduled races have been completed. On the whole, safety and seamanship has prevailed, but there is still plenty of room for improvement here.
The club’s three premier regional Regatta’s – Summer Regatta, Fling Regatta, Mykonos Offshore Regatta – together with FBYC’s Spring Regatta offering, continue to offer a highly competitive regional racing environment, and have been well supported. An additional regional regatta was introduced by the IRC class this last season, based in the V&AW during the Volvo Ocean Race Stopover, with race management provided by RCYC. SAS has endorsed these five regattas to combine into the Cape Summer Yacht Racing Series, raced under the IRC rule. This past season, the club has backed this initiative by offering newcomers to the IRC class free certification, and there has been encouraging consolidation and some growth in this higher performance class.
The Club Championship is now in its third year. The championship format rewards regular participation and commitment to the club sailing calendar; to maintaining a motivated crew year round; and to keeping your yacht in reasonable racing condition. A look at the leader boards in all divisions reflects this, with the club sailing stalwarts filling the top ten positions in each division. There are no surprises there, as consistent sailing and participation is the key to the game in the champs…Well done to the winners, but moreover to all who raced.
There has been growth in participation in four of the six contributing series, and the only series to show a small decline is also the single most important race in the Championship in terms of weighting, and that is the Rob Meek Overnight Race. Division 1 yachts stayed away from this, perhaps as a result of the “A to A” format that conversely attracted Division 3 yachts, or the congestion in the calendar at that time with the Robben Island Race the weekend before, and the IRC Nationals the weekend after?
While there was overall growth in the contributing series, the overall number of participating yachts dropped slightly. This shows increased levels of participation by a slightly lower number of yachts, which is a positive. 26 races were completed out of a possible 35, with the second twilight series being the most heavily affected with 4 blow outs in 8 races.

This season, we also altered the divisional rating splits, and this has given a more balanced look to the 3 divisions. While there has been some movement of Division 1 yachts through sales and relocations, there has also been some movement into Division 2 with the new splits. The culmination of the Club Championship is the Awards Evening, to be held after the season-ending Closing Cruise, on 30 May 2014.
Promotional events like the RiskSA Regatta, the Italian Ambassador’s Perennial Trophy, Inter-Professionals Race and Portugal Day Race continue to bring outsiders and newcomers to the sport of sailing. RiskSA and Italian have had an emphasis on charitable causes, with our own RCYC Sailing Academy being a beneficiary. The focus of these events is to be good for sailing, good for the club, good for the academy and good for the promoters.

Niche sailing continues to cater for focus groups within the club’s membership.
Double handed sailing offers an enjoyable challenge and excellent opportunity to learn and expand your sailing skill, with a very loyal following.
The Seniors Race always offers us all the opportunity to showcase the senior members of the club, with a reminder to keep an eye on the constant injection of younger members to ensure the viability of this one into the future! It is consistently a wonderful event.
Youth sailing is taken up by the Sailing Academy, and through the annual Youth Regatta, held in the June holidays.
Ladies sailing at the club has seen an expanded three-pronged offering, including the National Women’s Day Cruise, the Ladies Key Position Twilight Series, and the X-Chromosome Regatta, all sponsored by OneEighty. There is a real opportunity for further growth here.
Organised Coastal Cruising continues to establish a vital presence on the calendar, and there is huge potential for significant growth here. The Coastal Cruisers and Cool Cats’ budding participation in the Lufthansa Twilight Series is a real triumph for this section of our fleet.
A cherry on top for the last season is the performance of our Lipton Cup team, who challenged for and won the Lipton Cup from FBYC. Our academy team also performed well, coming second overall. We look forward to a successful defence in Table Bay, and wish our defenders, and the numerous academy teams from our club all the best.
Beyond the confines of our local waters, many Royal Capers have sailed under our burgee and excelled in regattas at national and international level, with winners in the Dennis Connor Invitational, Governors Cup, Vasco da Gama, and Cowes to name a few.
On behalf of all at the club, I would like to thank the many sponsors who support our sailing programmes, and to the benefactors who have improved our sailing and race management capabilities. The single donation to purchase the club committee boat, Royal Cape Lass, is a great example of that.
In conclusion, I would like to take this opportunity to thank all those who have made a contribution big or small to the success of the club sailing programme for the last season, and throughout my tenure serving on the sailing committee. It has been great fun organising, participating, writing reviews, and building relationships. It is very rewarding to work in a trusting and collaborative environment. The sailing committee has worked really well together, and the sailing office has delivered.
Now, it is time for fresh ideas and directions, and I wish all those who take up the challenge of running sailing at the club into the future the best of luck.

SAILING ACADEMY REPORT - YEAR 2014/2015
The popularity of our sailing academy is ongoing and we are constantly growing the number of
students. In fact our new students come to us and ask to become members, instead of us headhunting
them. Unfortunately we will come to the point that we have to limit the number of active students.
We only have 3 boats permanently in the water, which gives 20 students the possibility to join us for
the sail training every Saturday. On some occasions we do launch our B&G, which is our dry sailed
Lipton boat. Then we can accommodate 27 youngsters for the training.
Unfortunately we will not be able to accommodate more than 27 students for each sail training. This
number seems to be the limit one can coordinate during the sail training in a responsible way. We
are very proud the motto of our academy is still working in the “pay it forward” fashion. That means,
we don’t hire and pay any skippers or coaches for our training. The more experienced students
do teach the new students. This interaction between our students is necessary to keep the costs
on a reasonable level. It also promotes the social skills of our students if they are forced to take
responsibility.
The same goes for the upkeep and upgrade of our academy boats. The students are responsible to
keep the boats in good shape and are actively involved during work parties to upgrade our boats
for racing.
To accommodate more students and to give beginners a better chance to learn the ropes slowly but
surely, we have started to offer a training on Sundays as well. Linsay Oberholzer has taken over to
train the kids in the right way from day one. She is a qualified sail trainer and sure knows how to
teach beginners. After they have successfully mastered the first steps on our L 26 boats, they are
welcome to join the other students on Saturdays. This feeder program does work well for us and
insures that a gradual build up is guaranteed.
Homestead: It was a great initiative to invite youngsters from the Homestead Care Centre to be
part of our academy program. 8 boys joined our sailing program and despite they didn’t have any
background in sailing, we have successfully managed to integrate them into our academy. This
was by no means an easy task but end of the day they have learnt the basics of sailing during the
last 6 month. Even if we managed to get these kids sailing on our academy boats, we have to plan
carefully in future, to not have too many absolute sailing novices in our academy. It puts a lot of
strain on our instructors/skippers and it effects the progress of our more advanced students. Since
we have to teach the basics for the novices, the other students have not the best chances to improve
their sailing skills any further. In order to care for all sailing levels of our students, the academy
committee has decided to rather pay for a startup dinghy training for absolute sailing novices before
they get integrated in our academy program. This will teach the new students the basic sailing skills
and will make it easier for them to find their way on our academy program. A certain level of sailing
skills will also ease the pressure of our skippers when we take the new students out to sea for our
sail training.

Unfortunately our feeder program from the Zeekoevlei Training Centre was not working well during
the last 12 month. Unfortunately they are still struggling for funding and also don’t have a clear
planning for the future. In an effort to keep the ZTC functional, our sailing academy has offered the
funding to get 25 new kids into sailing and to possibly filter through 10 new students into the RCYC
program. We will monitor our partnership with ZTC very closely, to insure that our funding will be
used at the right places and will get new kids into sailing.
Lipton: The last Lipton campaign of our academy students did receive the highest notes from all
competing teams and resulted in nothing less than three standing ovations during the Lipton Cup
price giving. I have never experienced something like this before and I am sure our students will
also remember it for a very long time. To be able to get our academy team to the next level and to
be able to compete with the best teams in 2015 again, we have agreed to start our Lipton selection
process in January 2015 already. We are also planning to have a long term training program for our
Lipton teams in place, to improve their level of racing. The RCYC Sailing Academy will also promote
a girls team for Lipton 2015 if they reach the needed racing skills to race in such a high class event.
So far 3 teams have formed and they will all receive the same chance to do well. Unfortunately we
only have one pedigree L26 in our fleet. The other 2 teams will have to use our training boats which
are obviously not dry sailed. They live in the water the whole year and are not as dry as they should
be for competitive one design racing.
Summary of sponsors: Our sailing program did receive a lot of support from our members and
from other sponsors. The following sponsors did contribute in a significant way towards our sail
training program, namely, Lotto, SAORT, JML, Crocs, the Ozinsky Family Trust, Yacht&Power Sales,
HRecruiting, RiskSA Magazine, Worldsport and the Italian Embassy. The biggest cash contribution so
far came from a generous anonymous club member. Because of these generous contributions we
are able to constantly improve our sailing equipment and the standard of our sail training.
Stats of students: It all started with 20 students in 2012 which doubled in 2013. We were able to
double that number in 2014 again. To date we have 93 students in our database. At least 40 of
these students come from a disadvantaged background and we do our upmost to give these kids
an even chance to excel in our sport. 8 kids from the Homestead shelter program have joined our
sailing academy even as absolute sailing novices and without any support from their families. For
the coming year we would like to get at least another 40 kids into our program and introduce them
to yachting. We have seen a lot of young sailors joining our sail training, to improve their sailing skills
and to be part of our skills building program. We are taking a lot of care that our students do come
from a very mixed social and racial background, to give all students an even chance to get into our
sport of sailing.
Skill level of our students: Since we have been asked from boat owners to forward the more skillful
students to the bigger racing boats, it is very obvious that only the most experienced youngsters do

meet the desired skill level to compete in racing. As we only have 10 senior students in our program
which might meet the desired standard, we do have to give the lesser experienced students a lot
more time to get to that level. The students need at least 2 years of sail training in our academy
before we can forward them to the more competitive racing boats. Some of our more experienced
students do have Cape 2 Rio 2017 firmly in their sight. It would be a great achievement of our
academy if we are be able to get a successful campaign together. Sufficient funding would be the
main problem.
L26 training boats: Our 4 training boats did receive a complete revamp in the previous year and
do receive constant maintenance. This is an ongoing process and helps to keep all boats in top
condition. 3 boats are owned by the RCYC and the 4th boat is loaned from JML in support of our
academy. We are very proud to have such a successful partnership with JML to promote the sport
of sailing.

At the start of this financial year we set ourselves the following objectives:
1. To improve the financial reporting processes to accurately measure financial performance
across all operations of the club;
2. To ensure we have adequate controls in place to manage financial risk in all the operations of
the club;
3. To ensure all operations of the club are fully compliant with all applicable regulations;
4. To prudently invest capital in the improvement of club facilities; and
5. To continue to build the cash resources of the club in order to deal with our uncertain future.
Looking back I believe we have made significant progress in meeting these objectives. We have
appointed a full time accountant Amanda Munitz to be responsible for all financial management at
the club. We have improved and enhanced financial reporting structures. Net cash generated from
club operations has increased by 44% to around R1.4mln . We have implemented procurement
policies across all areas of the club to improve efficiencies in the supply of goods and services. In
association with our auditors we have undertaken a full review of all inside house and outside house
operations and improved processes and controls. Our management team now have clear objectives
and structures within which to operate. Our operations are compliant with all regulatory standards.
We have invested around R1mln of club funds in capital improvements to our facilities. We have
increased the cash reserves of the club by 41% to around R10.9mln. All of this is evidence of solid
progress but further improvements are necessary and will be undertaken in the new financial year.
The balance sheet of the club has strengthened significantly in the year under review. Total assets
have grown 14% to R16.3mln. The drivers for this growth have included a 44% increase in our
investment account with RMB to R9.8mln funded by the sale of certain marinas and a stronger
operating performance. The equity of the club comprising of reserves and retained income has
increased by 7% to R14.1mln.

The strong growth in membership numbers that started in 2013 has continued this year. Club
members including Academy Members has increased by 9.5% to 1954.
Operating revenue of the club showed a modest increase of 6% in the year under review. The
subdued economic environment has clearly affected many aspects of the clubs various revenue
streams. Bar and restaurant turnover growth has been challenging, revenue from annual mooring
fees has effectively showed no growth and our functions revenue has decreased by 18% year on
year. The star performer in the clubs operations has been our Outside House division and revenues
from crane fees and temporary moorings in particular. It is important to recognise that a significant
portion of this revenue is attributable to a single large customer of the club being Robertson & Caine.
The continuation and sustainability of our commercial relationship with Robertson & Caine has been
a key strategic priority of this committee. I am delighted to report that your committee has recently
signed an agreement with Robertson & Caine which will see our club launching many more vessels
with new state of the art equipment. This agreement and these new facilities will not only secure our
relationship with this important strategic client of club but also improve efficiencies for hard stand
operations for club members. Thank you to our Rear Commodore Outside House Derek Shuttleworth
and our Commodore Ray Matthews for their dedication and commitment in building this important
relationship for the club.
The cash flow of the club continued to show positive growth in the year under review. Net cash
generated from club operations improved by 44% to R1.4mln reflecting improved management
and tight cost containment. The primary driver for positive cash flow as previously mentioned has
been the sale of certain club marinas. The club continues to benefit from the generosity of certain
members who have continued to support the club with specific donations. In particular, we would
like to recognise the generosity of Lord Irvine Laidlaw who has again supported the club with the
kind donation of funding required to purchase a new committee boat. Total cash flow for the year is
up 41% to a record level of R10.9mln.

I would like to thank the Finance Committee for their support and guidance over the year. It has been
a pleasure to work with my colleagues on this committee comprising of Ray Matthews, John Waller,
Dave Garrard and Ian Slatem.
Our auditors and the Audit Committee worked tirelessly in reviewing certain operations of the club
and completing the annual audit. Thank you to Ray Matthews, Henry Du Plessis, Carl Bosma, Ivor
Sindler, Paul Fouche, Carl Beekmans and Theresa Heyns.
I would also like to thank our new Financial Manager Mrs Amanda Munitz and her team for all the
hard work over the course of the year. Thank you Amanda and team.
Thank you to the Commodore Mr Ray Matthews and my colleagues on the General Committee
for their collaboration and support. It has been a pleasure to work with such a competent and
committed team.
Lastly, thank you to the members of the RCYC for allowing me to serve the club in this capacity. It

INSIDE HOUSE REPORT - YEAR 2014/2015
What has happened to the past year, It feels like AGM was just yesterday…
I would like to start off this report with a special thank you to the Inside House team for volunteering their time and effort over the past year. As a team we at Inside House have put in a lot of effort into the club and feel improvements at the club have been made for the benefit of the members and has been well received. I would also like to thank the members of the club for their ongoing support and the valued feedback that they have provided us over the year.
The financial year started off slowly as expected with the food and beverage operation following the same trends as shown in previous years with a quiet winter however we showed growth over the winter period versus the previous year, this positioned us nicely for the rest of the financial year. We have had a fantastic last quarter of business and we have had a significant increase in turnover and feet through the doors. I am very glad to say that we had our best financial year yet and would like to ask members to keep supporting us, as without YOU the member’s support we can’t continue to grow.
I would also like to thank Luke and his sailing team for their contribution to Inside House, a lot of work goes into sailing events and the sailing department has always been hugely supportive of inside house.
On the club improvement side of things I am happy to say that we have finally renovated the main ladies bathroom in the club and it looks fantastic! We have had nothing but complements from the ladies that have welcomed this long overdue project, as they say in Afrikaans… agter os kom ook in die kraal. We have also recently re done the Terrace floor which has made a dramatic change to the look and feel of the club. We also purchased additional outdoor lounge suites for the deck and visitors lounge, this has created the perfect area for the late afternoon sundowner or just a space for the members to come relax on a beautiful sunny day and enjoy the view.
The Galley restaurant has brought out a new menu which has proven to be very popular and well received with the members. Some old favourites are back by popular demand but unfortunately the knock on effect from the Minister of Finance with his sin taxes and troubling economy did not leave us untouched, this leaving us with no other alternative but to review our pricing of menu’s on a more regular basis. Part of our ongoing strategy is to still continuously review our core business and to implement changes gradually. However our main focus is still to promote the club by providing members with good food, good value for money and good service. Should any member feel that we are not living up to these standards or have any suggestions please don’t hesitate to contact Riaan our Food and Beverage Manager to discuss.
Jazz on the deck is as successful as ever and still attracts lots of members and guests down to the club every 1st Sunday of the month. I would like to thank Bill Holland for keeping Keith’s project alive over the past year. I would like to encourage members to come down, bring their family and friends to enjoy a relaxing afternoon filled with good music and food at the club.
We are also happy to announce that we will be hosting our annual Christmas in July again on Saturday 25 July, watch the website and notice boards for details.
The lucky draw is doing well and the pot is currently sitting at R 5 500.00 and growing, members have to remember that you have to be at the club to be “in it to win it”. The draw takes place

between 19h00 and 20h00 every Friday evening. A big congratulations goes out to all the winners over the past year, especially to young Ben Mohrstedt who won the BIG Jackpot of R22 500.00.
Mother’s day was a huge success and we had a full club on the day with lots of complements on the food, I would also like to use this opportunity to give a very big thank you to Chef Fagan and his team. Last year Chef Fagan took over the running of the kitchen as Head Chef and has put in a tremendous effort with long hours to look after the kitchen and from the feedback we have been receiving he has done an outstanding job! Well done Chef and keep up the good work.
On the Functions side of things it has been going well but unfortunately we had to say goodbye to Brigette Walker our functions co-ordinator after 20 plus years’ service to the club. Brigette and her husband Tommy have purchased a canal boat in England and they intend on travelling around Europe. Brigette, on behalf of the club I would like to thank you for everything you have done for the club, you will be missed and we hope you enjoy the adventure.
In Bridgette’s place we welcome Natalie de Gois to the team, I am sure Natalie will fit in well and will help us grow from strength to strength in the banqueting department. Functions helps us significantly and I would like to urge members to consider using the club when you plan your next event. Natalie, welcome and good luck!
Unfortunately we have also been facing the harsh reality called load shedding but luckily have not been effected as badly as before. The club is currently able to run the basic essentials (with the help of a very small generator) i.e. POS systems and limited kitchen facilities. The kitchen will then run a basic reduced menu and we ask that you be patient during this time. We have received quotes for generators that will be capable of running the food and beverage operation should the power go down as load shedding appears is here to stay however this is very expensive and has been placed on hold for the moment.
Lastly I would like to thank all the staff under the leadership of Marcus for all the time and effort they have put in over the past year, things have been hectic and I don’t think members are always aware of how much work and effort goes in behind the scenes to make the club run as smoothly and effortlessly as it does…Thank You.

OUTSIDE HOUSE REPORT - YEAR 2014/2015
Another year has flown by and although my intention was to have made it my last as O/H Rear Commodore, circumstances have dictated otherwise, and I shall stand once more for the position
We have seen the departure of Neville Norton, after a short while he realized that the demands of the job were simply more than he had expected and the burden of travelling to the club in traffic just too much.
However each cloud has a silver lining and after several interviews ” Josh” our current manager was appointed, he has brought a whole new set of values to the club and has very quickly established himself as a proficient and capable manager, so welcome aboard Josh you have made my job much easier.
Those of you who have yachts will now have seen the difference on the hard, with the management of lifting, and working on the hard, and also the improvements that are evident, new paving between the Regatta center and action yachting have been completed as part of a longer term plan that is only now coming to fruition. Very shortly you will see the arrival of a new piece of lifting equipment that will at last take us into the 21st century. This will see the end of the obsolete crane, and the dragging of boats around the hard using a capstan and wheels.
Watch this space it should arrive before Christmas.
We have spent an amount of time with the Port authorities trying to convince them that the vessels moored along Globe wall are in fact squatting in our leased water space, promises to have them removed have not yet had the required effect and we will continue in our efforts until we are successful.
Diving in the basin has become a bit of a contentious issue and we have had to apply to the TNPA for our diver to be certified, this has prevented a great deal of maintenance work being carried out timeously, and with the onset of winter and the storms we all know about the situation may get critical unless approval is forthcoming soon. We have obtained the concession that free diving around our boats are OK, but no scuba please.

Two categories of particular interest is firstly the sailing academy where the number of students has grown from 22 to 66. RCYC acknowledges the effort and dedication of Harry Brehm who has done a phenomenal job in taking students through their paces both on the water and on land where discipline and life skills form an integral part of the program.
Those members racing in Division 3 have noted that it is very difficult to beat any of our Academy L 26s. Well done Harry and team.
Corporate membership is important to our membership in that it brings in an element of social membership and companies who regular make use of our facilities for functions and events. This category has grown from 31 to 47 corporate members.
I wish to extend an invitation to all our members to assist our Club in growing our membership by showcasing to friends and business associates the variety of facilities our Club has to offer either sailing, Functions, Sponsoring events or just to enjoy the splendor of our beautiful club as a Social member.

CONSTITUTION OF THE ROYAL CAPE YACHT CLUB
1. NAME
The name of the Club shall be ROYAL CAPE YACHT CLUB. (With which is incorporated the TABLE BAY YACHT CLUB). The shortened form of the Club’s name shall be “ROYAL CAPE YACHT CLUB”.
2. OBJECT
The object of the Club shall be: 2.1 The promotion of yachting on Table Bay and adjacent waters. 2.2 The provision of facilities for members within the Table Bay harbour area. 2.3 The promotion of good seamanship amongst members. 2.4 The performance of all such other activities as is incidental to or conducive to the
attainment of the above objects or any of them.
3. MEMBERSHIP
3.1 The membership of the Club shall consist of – 3.1.1 Ordinary Members. 3.1.2 Intermediate Members. 3.1.3 Life Members. 3.1.4 Family Members. 3.1.5 Partner Members. 3.1.6 Junior Members. 3.1.7 Cadet Members. 3.1.8 Absentee Members. 3.1.9 Associate Members. 3.1.10 Honorary Life Members. 3.1.11 Honorary Members. 3.1.12 Temporary Members. 3.1.13 Reciprocity Members. 3.1.14 Corporate Members.
3.2 Ordinary Members shall consist of all members who usually reside or work within a radius of 80 kilometres of the club house, who do not fall within one of the other categories of membership.
3.3 Intermediate Membership is to bridge the difference between a young Member not qualifying as a Student, but being under the age of 28.
3.4 Life Members shall consist of those members who on 26 June 1981, were entered in the Register of Members as Life members. They shall have all the rights and obligations of Ordinary Members save that they shall be exempted from all further liabilities for subscriptions. Any reference to “Ordinary Members” in this Constitution or any bye-laws made thereunder shall be deemed to include a reference to Life Members save in so far as it relates to an obligation to pay subscriptions. When the Club no longer has any Life members then this Constitution shall in ipso facto be amended by the deletion of all reference to Life members.
3.5 Family Members shall consist of those members who are the spouses or school-going children of Ordinary Members; provided that a spouse may elect to be an Ordinary Member and a child may elect to be a Junior Member. Provided further that a wife who is a Family Member at the time of her husband’s death shall be entitled to continue being a Family Member

3.6 A Partner Member shall be a person nominated by an Ordinary Member who has not utilized the Family Membership category. Election and fees of Partner Members shall be as per Family Membership. The nominating Ordinary Member shall be wholly responsible for both the payment of fees and the conduct of the Partner Member, whose Membership card shall include such Ordinary Member’s name. A Partner Member shall be cancelled upon request by that Ordinary Member who shall then be entitled to nominate an alternative Partner.
3.7 Junior Members shall consist of members who are under the age of 21 years or who, being over the age of 21 years, are serving articles or an apprenticeship, or who are enrolled as students in full time study at a University, Technikon or other institution of tertiary education, provided that a member above the age of 21 years may elect to be an Ordinary Member or an Intermediate Member. Junior membership is to be applied for on an annual basis and the Membership Committee to use their discretion in granting this membership.
3.8 Cadet Members shall consist of members who are under the age of 18 years, provided that such members may, if they qualify, elect to be Family Members or Junior Members.
3.9 Absentee Members shall consist of members who ordinarily reside outside a radius of 80 kilometres from the Club premises or who during a particular year will be away from their normal residence for more than eleven months of that year and who give notice of such fact to the Club, provided that such members may, if they qualify, elect to be Ordinary Members.
3.10 Associate Members shall consist of members who have been Ordinary Members for not less than 20 years, do not habitually use the Club and who apply for such membership.
3.11 Honorary Life Members shall consist of persons who have rendered distinguished service to yachting or the Club and who, on the recommendation of the Committee, have been elected as such by the Club in a General Meeting.
3.12 Honorary Members shall consist of persons who have been granted such membership by the Committee for no more than a year at a time for good cause.
3.13 Temporary Members shall consist of persons –
3.13.1 Visiting Cape Town by yacht and wishing to use the Club’s facilities during the course of their visit.
3.13.2 Participating in a regatta or function organised or hosted by the Club.
3.13.3 Wishing to join the Club but are unable to do so because they have not known members for sufficient length of time who can propose or second them:
3.13.4 To whom the Committee in its discretion has granted such membership for a limited period of time not exceeding: -
3.13.4.1 One (1) month in the case of persons mentioned in 3.1.12.1 which period may be extended from time to time.
3.13.5 The period of the regatta or function in the case of persons mentioned in 3.12.2 3.13.6 Six (6) months in the case of the persons mentioned in 3.12.3
3.14 Reciprocity Members shall consist of members of other yacht clubs with whom the Club has Reciprocity.
3.15 Corporate Members shall consist of persons who are bona fide employees and management of a business enterprise who, through its authorised officer, may nominate such persons for one year at a time and who may substitute any such member for another provided such alternate nominee applying for membership as provided for in terms of clause 4 below.

A business may apply for a minimum of three corporate members and a maximum of ten, unless the Committee sanctions such higher number.
3.16 Notwithstanding anything to the contrary herein contained, no person residing within 15 kilometres of the Club premises shall be eligible as an Honorary or Temporary or Reciprocity Member of the Club except where:
3.16.1 Such person holds a public office or is a bona fide candidate for membership or has conferred some special benefit upon the Club:
Or 3.16.2 By resolution of the Committee such person is allowed the privileges of
membership while engaged in any competition.
4. ELECTION TO MEMBERSHIP
4.1 A person wishing to join the Club shall be proposed by an Ordinary or Honorary Life Member and seconded by another, both of whom shall have been members for not less than six (6) months and shall apply in such manner and furnish information as the Committee may from time to time determine, provided that this provision shall not apply to a person wishing to join as a Temporary or a Corporate Member who shall do so in such manner as the Committee may from time to time determine.
4.2 All proposals for membership together with a photograph of the nominee shall be posted on the Club notice board for a period of not less than fourteen (14) days prior to being considered by the Committee. Any member having any information which he considers relevant to such proposal shall be entitled to bring such information to the attention of the Committee within such fourteen (14) day period. The provisions of this clause shall not apply to Temporary Members.
4.3 The election of members shall be vested in the Committee, who shall vote by ballot, two black balls to exclude. The Committee shall not be obliged to furnish reasons for any decision. A rejected candidate may not be re-proposed for at least twelve (12) months after his rejection.
4.4 Any person elected as a member of the Club shall be bound by the Constitution, rules and bye-laws of the Club in force from time to time.
4.5 A member, other than an Honorary Member or a Temporary Member, wishing to transfer from one class of membership to another, may do so on application to the Committee without the need of again complying with paragraphs 4.1 and 4.2.
4.6 No member shall have any right, title or interest in or to the property or funds of the Club.
4.7 Only Ordinary and Honorary Life Members shall be entitled to a mooring in waterspace controlled by the Club.
4.8 A member shall cease to be a member:
4.8.1 Upon his death or resignation;
4.8.2 If his estate is sequestrated or he is convicted in a court of law of some grave offence, provided that in either case the Committee may reinstate him subject to such conditions as it deems fit if he applies for such reinstatement;
4.8.3 If his membership is terminated in terms of any other provision of this Constitution.

5. GENERAL MEETINGS
5.1 The Annual General Meeting of the Club shall be held during June of every year on such date as the Committee may determine for the purpose of:
5.1.1 Presentation of the Annual Report of the outgoing Committee;
5.1.2 Presentation of the Financial Statements for the preceding financial year ended 31 March;
5.1.3 Confirmation of the entrance fees, subscriptions and mooring fees for the current financial year in accordance with the provisions of clause 8;
5.1.4 Election of a President, two Trustees and Honorary Life Members, if any;
5.1.5 Election of the Committee for the ensuing year;
5.1.6 General business.
5.2 Special General Meetings of the Club may be held at any time determined by the Committee, provided that the Committee shall convene a Special General Meeting if requisitioned thereto in writing by not less than fifty (50) Ordinary members stating the purpose of the meeting.
5.3 A Special General Meeting shall have the power to raise, discuss and decide only such specific matters as have been set out for consideration in the notice of the meeting.
5.4 General meetings shall be convened by the Committee, who shall give notice thereof on the Club notice board and in writing to all members; such notices shall be displayed and posted, as the case may be, not less than 14 (fourteen) days prior to the holding of the meetings and shall set out the agenda. Notice may be given to the member by electronic mail, in which event it shall not be necessary to post a notice to such member.
5.5 A quorum shall consist of not less than such number as constitutes Five Percent (5%) of the Ordinary Members of the Club present in person. No business shall be transacted at any General Meeting unless a quorum is present, provided that if a quorum is not present at an Annual General Meeting within 15 minutes of the time stipulated for the meeting, the meeting shall stand adjourned to the same time the following week and the Ordinary Members then present shall form a quorum.
5.6 The Senior Flag Officer present, or failing him, a member selected by those present, shall preside as Chairman at every General Meeting, provided that the President, or failing him, a Member appointed by those present, shall preside at the Annual General Meeting during the election of the Commodore.
5.7 The Chairman may, with the consent of any meeting at which a quorum is present and shall, if so directed by the meeting, adjourn the meeting from time to time and from place to place, but no business shall be transacted at any adjourned meeting, other than the business left unfinished at the meeting at which the adjournment took place. In the event of a meeting being postponed, notice of the postponed date for the meeting shall forthwith be placed on the Club notice board.
5.8 At any General Meeting, a resolution put to the vote of the meeting shall be decided by Ordinary and Honorary Life Members on a show of hands save that the election of Committee Members at Annual General Meetings shall be by ballot. A declaration by the Chairman that a resolution has, on a show of hands been carried, or carried unanimously, or by a particular majority, or negatived, and an entry to that effect in the book containing the minutes of the proceedings of the meeting shall be conclusive evidence of the fact, without proof, of the number or proportion of the votes recorded

in favour of or against such resolution. In the case of an equality of votes, the Chairman of the meeting shall be entitled to a second or casting vote.
5.9 Every Ordinary and Honorary Life Member present at any general meeting shall have one vote, provided that all members who on 20 June 1991 were entered in the Register of Members as Associate Members shall continue to enjoy the right to vote at any General Meeting for so long as they remain members of the Club. When the Club no longer has any members who on 20 June 1991 were entered as Associate Members this Constitution shall ipso facto be amended by the deletion of the provisio to the preceding sentence and by the deletion of this sentence.
5.10 Other classes of members may attend and with the consent of the Chairman address the meeting, but shall not have any vote.
5.11 A member who is eligible to attend and vote at an Annual General Meeting but who will not be able to attend the Annual General Meeting shall be entitled to cast a special vote in regard to the election of committee members in accordance with the following provisions:
5.11.1 The member shall apply in writing to the Club for a printed voting paper.
5.11.2 The Club shall furnish the member with a voting paper and an identification envelope bearing the words “Voting Paper” printed thereon and the following declaration:
I, ............................................................................................. being a member of Royal Cape Yacht Club in good standing and eligible to attend and vote at an Annual General Meeting do hereby declare that the enclosed voting paper has been marked by me personally: (followed by a place for signature and date).
5.11.3 The voting paper shall bear the names of the candidates for each office being voted for in alphabetical order.
5.11.4 The member shall mark upon the voting paper a cross against the name of the candidate/s for whom he intends to vote and shall thereupon place the voting paper in the identification envelope, seal it and sign the declaration appearing thereon and post or deliver it to the Club in an envelope marked “Voting Paper” so as to reach the Club at least by 16h00 of the Friday preceding the date of the Annual General Meeting, failing which the vote shall be invalid.
5.11.5 The sealed vote shall be opened and counted at the time of counting the votes cast at the Annual General Meeting at which the relevant election takes place, by the adjudicators who are appointed at the meeting for the counting of the votes.
6. COMMITTEE
6.1 The affairs of the club shall be managed by a Committee which shall consist of:
6.1.1 The Flag Officers, being the Commodore, Vice-Commodore and three Rear-Commodores, one of whom shall be designated as Rear-Commodore, Sailing; another as Rear-Commodore, Inside House; and the third as Rear-Commodore, Outside House.
6.1.2 A Treasurer
6.1.3 Six (6) additional members.

6.2 The Committee shall be elected annually at the Annual General Meeting provided that:
6.2.1 Only Ordinary Members, who have been members of the Club for at least two years, shall be members of the Committee.
6.2.2 A Flag Officer shall have been a member of the committee for, at least, one year.
6.2.3 The Commodore and Vice-Commodore shall be owners of yachts recorded on the Club register.
6.3 The immediate past Commodore shall ex officio be a member of the Committee for the year following his vacating of the office.
6.4 The Committee shall meet once a month or more often if necessary and shall keep proper minutes of its proceedings.
6.5 A quorum of the Committee shall consist of five (5) members, at least one of whom shall be a Flag Officer.
6.6 The Senior Flag Officer present shall act as Chairman at Committee meetings.
6.7 The Chairman shall have a casting vote.
6.8 A Committee Member shall cease to hold office if:
6.8.1 He ceases to be a member of the Club.
6.8.2 He resigns from office.
6.8.3 He becomes insolvent or assigns his Estate for the benefit of his creditors.
6.8.4 He is convicted in a court of law of any grave offence.
6.8.5 He absents himself from three consecutive meetings without first having obtained leave of absence, unless he shall furnish a reasonable excuse.
6.8.6 The Committee by the decision of three-quarters of its members resolves that his membership of the Committee should for good reason terminate, such as a dereliction of his duties as a Committee member provided that the Committee member shall have the right to appeal to a Special General Meeting of members convened for such purpose against such decision.
6.9 Not later than 15 April each year the Committee shall cause a notice calling for nominations for the Committee to be posted on the Club notice board and to all Ordinary members. Notice may be given to the member by electronic mail, in which event it shall not be necessary to post a notice to such member.
6.10 Nominations for the Committee shall be in writing, shall be signed by the Nominator, Seconder and the Nominee, and shall be lodged with the Manager of the Club by not later than 15 May prior to the Annual General Meeting at which the election is to take place. All nominations shall be displayed on the Club notice board for not less than fourteen days prior to the said Annual General Meeting. Only Ordinary Members and Honorary Life Members shall be eligible to nominate or second Committee Members.
6.11 Any vacancy occurring on the Committee during its term of office may be filled by co-opting an Ordinary Member to the vacant position. Such co-opted member shall hold office until the next Annual General Meeting provided that if a vacancy should occur in the office of Commodore or Vice-Commodore the co-opted member shall only hold office until the Committee can reasonably call a Special General Meeting for the purpose of electing a member to fill the vacancy. Members shall be informed of any co-option as soon as practically possible.
6.12 If no nominations for a vacant position are received, a vacancy shall be declared and clause 6.11 shall apply.

7. POWERS OF THE COMMITTEE
The Committee shall have power;
7.1 To buy, sell, let, hire, exchange, transfer, receive by way of donation or otherwise, movable and immovable property, including debentures, stocks and shares, provided that:
7.1.1 Any major transaction in respect of the club premises (including water space) shall first be approved by the Club in a General Meeting;
And: 7.1.2 Provided further that the property of the Club shall be vested in two Trustees
from time to time who shall be elected at the Annual General Meeting and who shall hold same in trust on behalf of the Club.
7.2 To borrow money on the security of immoveable property, and pass mortgage bonds on the same, provided that all loans shall first be approved by the Club in General Meeting.
7.3 Generally to deal with the property and funds of the Club for the purposes of the Club, provided that all major capital expenditure shall first be approved by the Club in General Meeting.
7.4 To institute and defend legal proceedings in the Club’s name and perform all legal acts and execute such legal documents as may be necessary.
7.5 To make, amend and rescind bye-laws not inconsistent with this Constitution for the regulation of the affairs of the Club; all such bye-laws shall be notified to Members as soon as possible after adoption by means of publication in the first Newsletter following adoption and shall be recorded by the Secretary in a book kept expressly for that purpose.
7.6 To co-opt additional members for the purpose of serving in a temporary capacity on the Committee or any Sub-Committee.
7.7 To appoint Sub-Committees, consisting of a convenient number of Members, for any special purposes.
7.8 To consider and decide applications for membership.
7.9 To arrange terms of reciprocity and affiliation with other clubs, should they consider it in the interests of the Club.
7.10 To elect Club Consuls who shall be Members (including Honorary Members) to represent the interests of the Club in specific areas in South Africa or abroad.
7.11 To determine, from time to time, the entrance fee and subscriptions payable by each class of member in accordance with the provisions of clause 8
7.12 To investigate and decide whether a Member is the owner of a yacht.
7.13 To appoint and terminate the employment of staff for the Club and to arrange their conditions of employment and remuneration.
7.14 Generally to administer and manage the affairs of the Club.
7.15 To review decisions of the disciplinary committee in terms of 14.2 and to hear appeals in terms of 14.3.
8. ENTRANCE FEES, SUBSCRIPTIONS AND MOORING FEE CHARGES
8.1 The entrance fees, subscriptions and mooring fee charges shall be as determined from time to time by the Committee provided that:

8.1.1 The annual subscriptions for Ordinary Members shall, pursuant to the provisions of the Liquor Act, be at least R12-00 (twelve rand).
8.1.2 A member, other than an Honorary Member or a Temporary Member, shall not be required to pay any additional entrance fee when transferring from one category of membership to another.
8.1.3 The entrance fees, subscriptions and mooring fee charges so determined shall be subject to confirmation at a General Meeting to be held within three (3) months of such determination and shall be deemed to have been so confirmed, unless rejected by two-thirds majority of such general meeting.
8.1.4 The Committee may waive the requirement that entrance fees be paid, or may reduce the amount of such fees at such times or for such period as it determines, if it deems it appropriate.
8.2 All subscriptions and mooring fees as determined by the Committee in terms of 8.1 shall fall due on 1 July each year and shall be paid either in full within 30 (thirty) days of due date or in 12 (twelve) equal monthly instalments on the last day of every month with effect from the last day of July each year. In the event of a member wishing to pay in instalments:
8.2.1 The total of the annual subscription shall be increased by such amount as the Committee may determine and the general meeting may approve in accordance with 8.1.3 to cover interest and collection charges.
8.2.2 The member shall, prior to the end of July, notify the Club and furnish the Club either with post-dated cheques to cover the outstanding monthly payments, or sign a bank debit order in respect thereof or make such other arrangements as may be acceptable to the Committee.
8.3 Members elected to membership during the course of a year will be liable for a pro rata share of the annual subscription as from the first day of the month in which they are elected to membership.
8.3 bis Entrance fees shall be payable at the time of a person applying to join the Club provided that an applicant for membership may elect to pay his entrance fee in 12 (twelve) equal monthly instalments with effect from the date on which he is admitted to membership. In the latter event the amount payable shall be increased by such amount as the Committee may determine and the General Meeting may approve in accordance with 8.1.3 to cover interest and collection charges and the provisions of 8.2.2 shall apply, mutatis mutandis, to such payments.
8.4 The Committee shall be entitled, on good cause shown, to reduce the subscription payable by any member for such period and upon such terms as the Committee may decide.
8.5 An Ordinary Member of or above the age of sixty-five (65) years who has been a member for not less than fifteen (15) years shall be entitled, on application, to such reduced subscriptions as may be determined from time to time.
8.6 The Committee shall be entitled to differentiate between the subscriptions payable by Absentee members who are permanently resident within the Republic of South Africa and those who are not.
8.7 Any member intending to resign from the Club shall in writing notify the Secretary of such resignation on or before 30 June in any year, and shall otherwise be liable for his subscription for the ensuing year.

8.8 A member who has been expelled or suspended, or who has resigned after 30 June during any year:
8.8.1 Shall remain liable for such payments, fees, subscriptions and mooring fee charges still due and unpaid by him.
8.8.2 Shall not be entitled to recover any sums by reason of the termination or suspension of his membership prior to the end of the current subscription year.
8.9 Any Member who fails to pay any amount owing to the Club, irrespective of the cause of the debt, within 3 (three) months of due date shall cease to be a member of the Club and his name shall be posted on the Club Notice Board, provided that the Committee shall be entitled on good cause to grant a member extended terms for the payment of his subscription or mooring fee.
8.10 The Committee shall be entitled to impose such penalty in respect of overdue payments by members as it may consider appropriate in the circumstances.
9. CLUB RECORDS AND ACCOUNTING
9.1 The Committee shall keep proper records and books of account of the affairs of the Club including a Register of Members and a Register of Yachts.
9.2 The Committee shall cause the books of account to be audited annually by an auditor who may be a member of the Club, but shall not be a member of the Committee.
9.3 The Committee shall operate a club banking account with such bank or banks as the Committee may decide. All cheques drawn on account of the Club shall be signed by at least two (2) persons, who may be members of the Club’s permanent staff, in accordance with such signing procedures as the Committee may from time to time determine, provided that at least one of the signatories shall be the chief executive officer, or the administrative manager, or a committee member; and provided further that all payments up to the 20th day of a month shall be tabled for ratification by the Committee at the next following general committee meeting.
10. PROHIBITION AGAINST THE USE OF CLUB FOR BUSINESS
10.1 No member shall use the club address on any communication intended to appear in any newspaper, periodical or publication, or for use on radio or television, except such communications as may be authorised in writing by the Committee, nor shall any member use the Club address for business purposes.
10.2 No member shall carry on any business activities from the Club premises unless authorised in writing by the Committee.
10.3 No person shall be eligible to be or continue as a member of the Club who, in the opinion of the Committee, abuses for business reasons the privileges of membership.
10.4 No yacht used for Commercial Operations shall be on the Club’s register or enjoy the facilities of the Club, unless the Committee in exceptional circumstances otherwise agrees upon such conditions as it may deem fit.
11. MISCELLANEOUS PROVISIONS
11.1 Every member shall cause his or her address or any change thereof to be recorded with the Secretary.

11.2 Any notice or communication of whatever kind to a Member shall, on being posted in an envelope, bearing such address as at the time of posting is recorded in the Club’s records or transmitted by electronic mail to such an e-mail address as is recorded in the Club’s records, be deemed for all purposes to have been received by such Member within forty-eight (48) hours of it being placed in the post.
11.3 The accidental omission to give notice of any meeting to any person or persons entitled to be present there at shall not invalidate the proceedings at that meeting.
11.4 Any making, alteration or repeal of a bye-law by the Committee shall be notified on the Club notice board for a period of two weeks and shall only on the lapse of such period become effective and binding.
11.5 Every member of the Club shall be entitled at all reasonable times to inspect the books of account and other documents of the Club, which the Secretary or other custodian shall accordingly be obliged to produce.
11.6 Should a member fail to discharge a debt owing by him to the Club on due date, he may be treated by the Committee as a member who has failed to pay his subscription on due date.
12. GUESTS
12.1 Members may introduce guests on Club premises.
12.2 A member introducing his guest shall enter his or her name in a Visitor’s Book provided for that purpose, on entering Club premises.
12.3 Every member shall be responsible for the conduct of the guests introduced by him while on Club premises and liable for any damage caused by such guest.
12.4 Only members of the Club, including bona fide reciprocity members, are permitted to pay for any liquor or refreshments supplied therein.
13. LEGAL STATUS
13.1 The Club shall be a person at law, with all the attributes of juristic personality.
13.2 The Club shall be able to institute and defend legal proceedings and execute all legal acts in its own name.
13.3 The Club chooses domicilium citandi et executandi at its Club premises, Table Bay Docks.
13.4 All legal documents shall be executed on behalf of the Club by the Commodore, or failing him the next senior flag officer available.
13.5 No member or any guest shall have any right of action against the Club for any damage suffered by him through any default or neglect of the Club or its servants.
13.6 Every member of the Committee or Sub-Committee, agent or servant of the Club, shall be indemnified out of the Club’s funds against all costs, charges, expenses, losses and liabilities incurred by him in the conduct of the Club’s business or in the discharge of his duties and no such person shall be liable for the acts or omissions of any other such person by reason of his having joined in any receipt of money not received by him personally, or for any loss on account of defect of title to any property acquired by the Club or on account of the insufficiency of any security in or upon which any monies of the Club shall be invested, or for any loss incurred upon any ground whatsoever other than his own wilful acts of defaults.

14. DISCIPLINARY PROCEEDINGS
14.1 There shall be a disciplinary Sub-committee which shall:
14.1.1 Consist of a Committee Member (who shall act as Chairman of the Sub- Committee) and such number of Ordinary Members as may be appointed by the Committee from time to time;
14.1.2 Have power to inquire into and decide on charges against members, and to impose such penalty, including fines, as they deem fit, including the right to suspend or expel members who have duly been found guilty of:
14.1.2.1 A wilful breach of the provisions of this Constitution or of the bye-laws made hereunder;
14.1.2.2 Conduct prejudicial to the interests or reputation of the Club; or
14.1.2.3 Conduct unbecoming a Lady or Gentleman; or
14.1.2.4 Non-payment of any amount owing by a member to the Club including any fine imposed by the Sub-Committee;
14.1.3 Have power to summarily suspend a Member pending an enquiry in terms of the 14.1.2 if the Committee considers that the circumstances warrant such a suspension provided that the enquiry in terms of 14.1.2 shall in that event take place within ten days of such suspension.
14.2 All suspensions which exceed three (3) months in duration, expulsions and fines exceeding fifty percent (50%) of subscriptions current from time to time for Ordinary Members shall be subject to automatic review by the Committee.
14.3 An appeal shall lie from any decision or order made by the Disciplinary Sub-committee to the Committee, provided that:
14.3.1 A notice of appeal shall be lodged with the Secretary within seven (7) days of the date of the decision or order appealed against;
14.3.2 The quorum of the Committee at the hearing of such appeal shall be seven (7); and
14.3.3 The Committee shall have the power to confirm, alter or set aside in any manner whatever any such decision or order.
14.4 Members shall not be entitled to legal representation at any disciplinary hearing or at the appeal from its findings unless the Chairman of the tribunal concerned so rules.
15. SAFETY AT SEA
15.1 There shall be a Safety at Sea Sub-Committee which shall:
15.1.1 Consist of six (6) members who shall be appointed by the General Committee at its first meeting after the Annual General Meeting of the Club in each year. At least two of the Sub-Committee Members shall be members of the General Committee, one of whom shall be designated as the Chairman who shall act as convener of the Safety Committee.
15.1.2 Be empowered:
15.1.2.1 To issue Certificates of Competence to members of the Club with regard to their boat handling ability and knowledge of seamanship and to set standards for the issue of such certificates;

15.1.2.2 To set minimum standards both in regard to the boat itself and in regard to her equipment, with which all craft, whether owned by members or others, leaving the yacht basin, should comply, and to enforce such standards;
15.1.2.3 To investigate all mishaps involving yachts in Table Bay whether involving Yacht Club Members or not and to investigate all mishaps anywhere else involving Yacht Club Members;
15.1.2.4 To withdraw Certificates of Competency if considered necessary in the interests of safety;
15.1.2.5 To arrange lectures, discussions and demonstrations on small craft safety and generally to promote improved standards of seamanship in such manner as it considers appropriate;
15.1.2.6 To liaise with all other institutions relevant to the safety of craft at sea and in particular to liaise with the port authorities with a view to furthering and enforcing the objectives herein set forth;
15.1.2.7 To make and enforce rules and regulations for the achievement of its objectives;
15.1.2.8 To interview persons and to inspect craft to ensure that its rules and regulations are being complied with;
15.1.2.9 To do all such other things as may be necessary for or incidental to the better achievement of its objectives.
15.1.3 Keep a record of its deliberations, findings, rules and regulations.
15.2 The activities and decisions of the Safety at Sea Sub-Committee shall be subject to the control of the Committee.
15.3 The provisions of paragraphs 14.2 and 14.3 shall mutatis mutandis apply to the proceedings and decisions of the Safety at Sea Sub-Committee.
16. CLUB INSIGNIA
16.1 The Club flag shall consist of a red burgee with a blue fly with a white hanging anchor surmounted by a gold crown superimposed on the burgee: an example of which shall be retained with the Club records for reference purposes.
16.2 The club tie shall consist of a blue tie with red and gold diagonal stripes running along its length at spaced intervals, or of a blue tie with club burgees embroidered all over it, examples of which ties shall be retained with the club records for reference purposes.
17. RULES AND AMENDMENTS
17.1 The Committee shall have power to make rules relating to the conduct of its own proceedings or the proceedings of the club in general meetings, provided that any rules so made may be amended by a vote of at least two-thirds of Ordinary members present at the meeting.
17.2 If any dispute should arise at any Committee or general meeting in regard to the interpretation of the Constitution, the Chairman of the meeting shall rule thereon, provided that such ruling may be amended by a vote of at least two-thirds of Ordinary Members present at the meeting.

17.3 This Constitution may be amended at any Annual or Special General Meeting of the Club by a vote of at least two-thirds of Ordinary members present, provided that notice of the proposed amendments shall have been posted on the Club notice board not less than fourteen days prior to the date of the meeting, and special notice of the meeting and of the proposed amendments has been posted, or transmitted by electronic mail, to the last known address or electronic mail address, as is applicable, of each member not less than fourteen (14) days before the meeting.
18 DISSOLUTION
18.1 The Club may be dissolved, or merged with another club with similar purposes and objects, in each case only:
18.1.1 On a resolution passed by not less than two-thirds of Ordinary Members present at a duly constituted general meeting of members;
Or
18.1.2 On an application to the Supreme Court by any Ordinary Members on the grounds that the Club has become dormant or is unable to fulfil its purposes and objects.
18.2 On merger, the assets of the Club shall accrue to the Club with which the merger is affected.
18.3 On dissolution, the assets of the Club shall be realised by a liquidator appointed by the general meeting or the court, as the case may be, and the proceeds shall be donated to such club having similar objects to this Club as the meeting or court may decide.
19. INTERPRETATION
In this Constitution and any bye-laws thereunder, unless repugnant to the context –
19.1 The singular shall include the plural and vice versa;
19.2 The masculine gender shall include female gender;
19.3 “owner” shall mean a Member who either by himself or in conjunction with other members has the sole and exclusive use and control of a yacht entered or to be entered on the Club register;
19.4 “Senior Flag Officer” shall mean the Commodore or failing him the Vice-Commodore or failing him the Rear-Commodore who has served longest on the Committee as Rear- Commodore.

1. INSIDE HOUSE 1.1 Signing In: No guest may be signed in by any member or members on more than
6 (six) occasions in any continuous 12 month period.
1.2 Dress Code: All members shall wear smart casual clothes in the clubhouse after 19:00, and shall ensure that their guests do the same, except for people in the foyer who are in transit to the change rooms or book for signing in and out.
1.3 Children: Small children are welcome at the Club providing they are supervised by an adult club member or guest.
1.4 Scrutiny for Membership: Unless the general committee or a sub-committee charged with membership affairs decides on a different period (but not less than 14 days as required by paragraph 4.2 of the constitution) in a particular instance, the period for scrutiny shall be the following:
1.4.1 Ordinary: three months; 1.4.2 Family (related to an ordinary existing member) one month; 1.4.2 Other classes of membership: one month.
1.5 Identification: Club Members shall present their membership cards to any staff member, committee member or security officer upon request whilst on the club premises. Guests shall upon request identify themselves and their host.
1.6 Habitual Use of Associate Members: Habitual use of the Club in terms of Clause 3.10 of the Club Constitution will be interpreted as more than once a month, unless the Rear Commodore Inside House rules otherwise in an individual case.
1.7 Use of Club by Reciprocity Members: Reciprocity Members may not use Club facilities on a habitual basis. Reciprocity Members may only use Club facilities once a temporary membership card has been issued to such Reciprocity Member.
1.8 Live-aboards: 1.8.1 No person (including any member of the Club), may live on board any vessel on
Club premises (land or water), without the written permission of the General Committee. This consent may be granted for a maximum of three (3) months at a time.
1.8.2 All members or temporary members will be considered by the General Committee for the privilege of live-aboard status.
1.8.3 Live-aboard fees will be charged. Such fees will be determined by the General Committee, at its sole discretion, from time to time. Bona fide visiting yachtsmen (who must apply on arrival for Temporary membership) may apply to live on board their vessel whilst on stop over and berthed at RCYC and shall be exempt from these fees for the duration of their stay provided that the duration does not exceed three (3) months.
1.8.4 Members who live on board any vessel on Club premises for 14 or more days/nights per month must apply in writing to the General Committee for live-aboard status.
1.9 Definition of “spouse”: Spouse in relation to any member includes a person who at any time is a partner of such
person –

1.9.1 In a marriage or customary union recognized in terms of the Laws of the Republic of South Africa.
1.9.2 In a union recognized as a marriage in accordance with the tenets of any religion, or
1.9.3 In a same sex – or, heterosexual union which the committee, within it’s entire discretion, is satisfied is intended to be permanent.
2. OUTSIDE HOUSE 2.1 Duration of mooring rights agreements: The Club shall not enter into any
mooring rights agreement (other than upon the transfer of an existing mooring right) which is valid for a period longer than the lesser of ten years and the present lease of the club over the Small Craft Basin or Elliott Basin.
2.2 Allocation of mooring rights in the event of relocation: The allocation of moorings, in the event of the Club moving its physical location, shall be based on the frequency of use of a yacht.
2.3 Allocation of mooring rights (physical position): The allocation of all moorings is at the discretion of the general committee, with due regard to existing mooring agreements, and the intention to promote active sailing.
2.4 Limitation of Mooring Rights: No member may enter into more than three (3) separate Mooring Rights Agreements at any one time without obtaining written permission from the General Committee.
2.5 Exercise of mooring rights: The allocation of mooring rights shall only be to Ordinary or Honorary Life members, who shall enter into a written mooring rights agreement. (At the discretion of the Committee such an agreement may be entered into in a representative capacity). Such a mooring right may be exercised by such a member by mooring a yacht not owned by the member, provided that:
2.5.1 it is owned by a company or close corporation in which the member or members acting together has a majority interest, or an immediate family member of such a member, or a trustee of a trust of which the member or his immediate family members are beneficiaries; and
2.5.2 such member will always remain liable for fees and charges relating to that mooring, and
2.5.3 the onus shall rest upon the responsible member or members acting together to prove to the satisfaction of the General Committee that such member, members acting together or such other legal entity contemplated in terms of sub-clause 2.4.1. above, has a bona fide majority interest in the yacht allocated to the designated mooring. The General Committee may in, within its entire discretion, call upon any supporting documentation which shall include, but not be limited to, the applicable deed of sale, partnership agreement, resolutions and or a confirming affidavit.
2.6 Failure to enter into written mooring rights agreement: Any person who fails to enter into a written mooring rights agreement within a period of four months of being called upon to do so, shall forfeit any right he might have, or had that has been transferred to another person during the four months period, without compensation or repayment of allocation fee.
2.7 Insolvency of Member Holding Mooring Rights: In the event of the sequestration of a member holding the mooring right, his or her trustee shall have the same rights as an executor to sell and transfer the mooring right to another member, within a period of six months from the date of final sequestration, failing which the mooring right shall revert to the club, without compensation or repayment of the allocation fee.
2.8 Duties of an owner: A vessel moored in terms of the mooring rights agreement must: 2.8.1 at all times hold a valid and current Certificate of Fitness issued as required

by SAMSA regulations where required and complies with the RCYC safety requirements; and
2.8.2 sail from the harbour at least 5 times in any 12 month period.
2.9 Insurance:
2.9.1 A vessel moored at the RCYC must hold a minimum of 3rd Party Insurance cover to the value of R2,000,000.00
2.9.2 All vessels will be required to complete a signed declaration confirming such cover upon either; 2.9.2.1 Arrival at RCYC (visiting/new vessels) or 2.9.2.2 On entering into a Mooring Rights Agreement or 2.9.2.3 Completion of the annual Certificate of Safety
2.10 Safety: Every owner and skipper shall ensure that their vessel, or its equipment, does not protrude more than 25cm over any walkway.
2.11 Motor Vehicles, Trailers and Equipment:
2.11.1 No vehicle, trailer or equipment may be left unattended, stored or parked on Club premises for a period exceeding 24 hours without the written approval of the Club. This ruling shall not apply to Members who are sailing from the Club and/ or living aboard for a period not exceeding 4 days.
2.11.2 No Member who is authorised to live aboard shall be entitled to park more than one vehicle on Club premises.
2.11.3 No Member shall be entitled to park or store any unroadworthy motor vehicle, trailer or derelict equipment on the Club’s premises.
2.12 Cruising Mooring Rebates: A member who has validly entered into a written mooring rights agreement with the Club in terms of bye-law 2.5, and whose boat which is entered on the Club fleet register, is cruising in international waters, may apply in writing on an annual basis to the General Committee for mooring rebate. The General Committee may, in its discretion, grant a rebate on such condition(s) as it may deem fit.
2.13 Permanent Electricity Supply: Should a boatowner require a permanent electrical supply, application must be made in writing to the Outside House Committee. If approved, boat owners will then be invoiced for the installation and charged for the usage. The same applies to the use of electricity by container owners.
3. SAILING None at present.
4. SAFETY AT SEA
4.1 Record of Rules: All rules made by the Safety at Sea Sub-committee shall be reported to the General Committee at its first meeting thereafter, and a record thereof shall be kept with the minutes of the General Committee.
4.2 Publication of Rules: All rules made by the Safety at Sea Sub-committee shall remain posted on a notice board in the Club.
4.3 Unless exempt as set out hereunder, no person shall be permitted to skipper a yacht unless he/she is in possession of a valid Certificate of Competence issued in terms of the Merchant Shipping (Small Vessel Safety) Regulations 2002 (“the SAMSA regs”).
4.4 The Chairman of the Safety at Sea sub-committee may permit members not being in possession of a valid Certificate of Competence to skipper a yacht, but only in an event

which is exempt from the application of the SAMSA regs, and provided that such permission is given for the specific event only. No unlimited exemptions shall be granted.
4.5 The skipper of a yacht shall ensure that the yacht is signed out and in the applicable Club register.
4.6 The skipper of a yacht sailed from the club’s moorings shall ensure that the Harbour Regulations and the International Rules for the Prevention of Collisions at Sea are observed.
4.7 Owners of yachts entered on the Club Register shall ensure that a Certificate of Fitness in respect of such yacht is issued in terms of the SAMSA regs. No member shall be permitted to operate a yacht in respect of which a valid Certificate of Fitness has not been issued.
4.8 Minimum Standards: All vessels moored on Club moorings shall attain the minimum of a D-class Certificate of Fitness in respect of such yacht as prescribed by the SAMSA regs.
4.9 Owners of yachts shall ensure that a copy of any Certificate of Fitness issued in respect of his/her yacht is lodged with the Club secretary within one month of the date of issue of such Certificate of Fitness.
4.10 All members to whom Certificates of Competence have been issued in terms of the SAM SA regs shall lodge a copy of such certificate with the Club secretary within one month of the date of the issue of such certificate.
4.11 The owner of a yacht shall ensure that moored yachts have no fewer than two fenders on each side and that a yacht is moored with at least a bow, stern and spring lines of sufficient strength. The owner of a yacht shall also ensure that no loose line lies on the dockside or walkway/walk on mooring.
4.12 The standards of safety applicable to races organised by or on behalf of the Club shall be those set out in the applicable category of the Special Regulations for Sea Going Sailing Boats published in November 2001 by South African Sailing, as amended from time to time, unless the Safety at Sea sub-committee has given permission for these Regulations not to apply, which permission must be obtained before any Notice of Race is issued.
5. DISCIPLINE
5.1 All members shall render reasonable assistance to the disciplinary sub-committee (including a person appointed by it) in investigating and deciding on disciplinary matters.
5.2. Use of Social Media:
5.2.1 No member shall make use of any form of social media or other public platform to defame the Club or any club member.
5.2.2 Members suspected of defaming the Club or any club member will be dealt within terms of the provisions as contained within para 14 of the RCYC Constitution.
6. GENERAL
6.1 Publication of bye-laws: All bye-laws in force shall be posted on a notice board, and shall remain posted on such notice board.
6.2 Animals: Animals are not allowed on Club premises other than dogs accompanying persons with physical disabilities.
7. REPEAL
All previous bye-laws are repealed, and are replaced by these bye-laws.
