APPLICATION & CONTRACT TERMS & CONDITIONS
1. APPLICATION & ACCEPTANCE. This Application & Contract for sponsorship, when signed by
the contracting company (hereinafter the “Sponsor”), constitutes a binding, irrevocable (except
as specifically set forth herein), legal agreement between Sponsor and RSA Security LLC (“RSA”).
The Sponsor does hereby apply for the reservation of space at the RSA Archer Summit 2018
Global Customer Conference in Nashville, Tennessee (hereinafter the “Conference”). RSA
shall review Sponsor’s Application & Contract and assign to the Sponsor company exhibit space,
if available, consistent with show eligibility requirements, policies, and at the discretion of RSA.
The Sponsor agrees that upon acceptance of this Application & Contract by RSA with or without
appropriate payment of the exhibit fee, this Application & Contract shall become a legally binding
contract; enforceable against the Sponsor in accordance with its terms. RSA Acceptance of the
contract will be made via email. The individual signing this document represents and warrants
that he or she is duly authorized to execute this binding contract on behalf of Sponsor. Sponsor
agrees to be bound by the Application & Contract, Terms and Conditions, Code of Conduct, and/
or any other regulations issued prior to the Conference. By signing this Application & Contract,
Sponsor agrees they are responsible for full payment. The Sponsor also agrees to comply with all
federal, state, and local laws, as well as rules of the Renaissance Nashville Hotel.
By signing this Sponsorship & Exhibitor Agreement you are agreeing to the Application & Contract Terms & Conditions, including Attachment 1: Code of Conduct. This signed document constitutes a binding and irrevocable (except as explicitly stated below) legal agreement. The individual signing this document represents and warrants that you are duly authorized to execute this binding contract on behalf of the Contracting Company.

2. TERMINATION.
a.This agreement shall be in effect until close of business on August 17, 2018, unless
terminated in accordance with this agreement.
b. Cancellation or Downsizing. Sponsor may cancel or change its sponsorship level
upon providing 15 calendar days prior written notice to RSA, subject to the
following conditions:
i. If a written cancellation or change in sponsorship level is received on or before June
1, 2018 RSA shall refund 50% of the commitment.
ii. RSA shall not refund any commitment amounts for notices of cancellation or change
in sponsorship level if received after July 1, 2018.
b. Termination of Event. RSA may terminate the Application & Contract if the Conference
location is destroyed or damaged, or the Conference fails to take place as scheduled,
is relocated, interrupted and discontinued, or access to the premises is prevented
or interfered with by reason of any strike, lockout, injunction, act of war, act of God,
emergency declared by any government agency, or for any other reason. In the event of
such termination, Sponsor waives any and all damages and claims for damages and agrees
that the sole liability of RSA shall be to return to Sponsor the Sponsor’s space payment
received, less a proportionate share of the Conference cost incurred.
3. PAYMENT. Sponsor shall pay the full amount of payment due under this Application & Contract
upon receipt of invoice from RSA. Booth assignment is contingent upon receipt of payment
in full. RSA reserves the right to cancel space and sell the space to another Sponsor without
any rebate or allowances to Sponsor if the full amount of the payment due has not been

4. EXHIBIT SPACE.
a. Description of Space. For all sponsorships, each Sponsor will receive a 10x10
space where they can set up the booth of their choice (in accordance with
the hotel rules for exhibiting). Each Sponsor will also receive, as a part of their
sponsorship, a six foot draped table and two chairs.
b. Sharing and Subletting. Sponsor shall not assign or sublet the whole or any
portion of the rented space covered by this Application & Contract, including to
clients or partners of the Sponsor, without RSA’s express written consent.

5. SPONSOR’S PRE-CONFERENCE DUTIES.
a. Material Submission. Please e-mail your company description and logo to
[email protected]. within 15 calendar days of payment. Logos must be
accepted in an .EPS, .AI or .TIF file format.
i. Use of Logo. Sponsor grants to RSA a non-exclusive, nontransferable,
revocable, royalty-free, limited license to display Sponsor’s name,
logo, trademarks, service marks, and other materials on the
Conference website and on all other promotional and marketing
materials prepared in connection with the Conference. Unless
otherwise explicitly stated herein, Sponsor shall not, and shall not
authorize or assist another to, originate, produce, issue or release any
publicity, news release, marketing collateral, or other publication or
public announcement, relating in any way to this agreement or the event,
without the prior written approval of RSA, which approval shall not be
unreasonably withheld.
b. Sponsor’s Representative. Sponsor shall assign at least one person to be
its official representative, with authorization to enter into such service
contracts necessary for the installation and removal of exhibits and the
provision of services, for which the Sponsor is responsible. Sponsor shall
be responsible for ensuring that one Sponsor representative is present in
the Sponsor’s booth during all hours the Conference is open.
c. Shipping. Shipping to the show will be handled by and the sole responsibility
of the Sponsor. Sponsor agrees to follow directions as specified for individual
guests in the Renaissance Nashville Hotel Shipping Instructions document,
available upon request.
6. SPONSOR’S CONFERENCE DUTIES
a. Exhibit Labor. Sponsor shall be solely responsible for the set-up and tear-down
of its exhibit space during the Conference.
b. Booth Set-Up. Sponsor shall complete its exhibit and put it into place by
4:00 p.m. CST on Wednesday, August 15, 2018. RSA reserves the right to set,
at Sponsor’s expense, any booths not set by 3:00 p.m. CST on Wednesday,
August 15, 2018. If Sponsor does not comply with the terms of this section,
RSA may occupy or rent to a third party any rented space Sponsor fails to
occupy. Notwithstanding the foregoing, Sponsor shall continue to be liable
for any payment due under this Application & Contract.
c. Installation, Show, and Dismantling. RSA shall establish the installation, show,
and dismantling dates and hours. Sponsor shall not pack or dismantle its exhibit
outside of the hours established by RSA. Sponsor shall be liable for all storage
and handling charges for failure to remove exhibits by the specified time and date.

d. Floor Plan. All dimensions and locations shown on the official floor plan are
believed, but not warranted, to be accurate. RSA reserves the right to make
modifications to the official floor plan as necessary. RSA has the absolute right
to allocate and assign space among Sponsors and to relocate Sponsors after
initial assignment.
e. Badges. RSA shall provide to Sponsor an identification badge for attendance
at the Conference. Sponsor shall wear the badge at all times during the Conference.
f. Posting Restrictions. Sponsor shall confine its exhibit to the space allocated
to it. Sponsor shall distribute circulars, publications, advertising matter, and
all promotional materials only within its booth space. Sponsor shall not post on,
tack, nail, screw, or otherwise attach to any column, wall, floor or other parts of
the building or furniture, any promotional or advertising material.
g. Sound Restrictions. Sponsor must not disrupt the activities of neighboring
Sponsors because of sound coming from their booth.
h. Fireproofing. Sponsor shall smoke only in areas that hotel designates as
smoking permissive.
i. Floor Covering. Basic floor covering (carpet) will be provided by the hotel. No
other carpet is available for this event.
j. Disability Provisions. Sponsor shall ensure that is exhibit is in full compliance
with the Americans with Disabilities Act (“ADA”). Sponsor shall ensure the
accessibility of its exhibit space and shall further hold harmless and
indemnify RSA against any claims, damages, loss or exposure, including
reasonable attorney’s fees and costs, arising out of or related to any
alleged ADA violations.
k. Copyright. Sponsor shall comply with all copyright restrictions applicable to
Sponsors. Sponsor shall further obtain any additional license or grant of
authority required of Sponsors under the copyright laws and be prepared to
present RSA representatives with a copy of such license or grant upon
reasonable request.
l. Photography/Videotaping. Sponsor shall not take still photographs, nor
videotape at any time or for any part of the Conference.
m. Code of Conduct. Sponsor agrees to abide by the terms of the Code of Conduct,
attached hereto as Attachment 1.
7. LIABILITY. Sponsor shall indemnify, defend, and hold RSA harmless for the cost,
damage, liability, expense, negligence or willful act or out of or by reason of any accident
or other occurrence to anything or anyone, including Sponsor, its agent, employees, and
business invitees, which arises from or out of or by reason of said Sponsor’s installation,

removal, maintenance, occupancy and use of the exhibit booth and presence on the
exhibition premises or a part thereof. Sponsor expressly releases RSA and hotel from,
and agrees to indemnify the same against, any and all claims for such loss, damage or injury.
8. MISCELLANEOUS PROVISIONS
a. Governing Law. This Application & Contract will be governed in all respects
according to the laws of the State of Massachusetts, superseding applicable
choice-of-law rules or principles. RSA and Sponsor hereby irrevocably consent
to the exclusive personal jurisdiction of the federal and state courts having
jurisdictions over the State of Massachusetts.
b. Independent Contractors. Sponsor and RSA shall act as independent
contractors for all purposes of this agreement. Nothing contained herein shall
constitute either party as an agent or representative of the other party, or both
parties as joint venturers or partners for any purpose.
c. Insurance. Sponsor shall bear the full cost of any insurance it chooses to carry on
its exhibit materials.
d. Assignment. Sponsors shall not have the right to assign or subcontract any part
of its obligations under this agreement.
e. Entire Agreement. This Application & Contract, including all addenda hereto,
constitute the entire agreement between the parties, and supersedes all prior
and contemporaneous agreements, proposals or representations, written
or oral, concerning its subject matter. No modifications shall be made to this
Application & Contract without the express written consent of both RSA
and Sponsor.
f. Severability. The provisions of this agreement are severable. In the event any
provision of this Agreement is found to be invalid, illegal, or unenforceable by
any act of Congress or act of any legislature or by any regulation duly
promulgated by the United States or a state acting in accordance with the law,
or declare null and void by any court of competent jurisdiction, then any such
part shall be reformed, if possible, to confirm to the law, and in any event, the
remaining parts of this agreement shall be severable from this Agreement and
shall not affect the enforceability or validity of any other provision contained in
this agreement and shall continue to be binding upon the parties hereto.

ATTACHMENT 1 - CODE OF CONDUCT
OVERVIEW
This Code of Conduct outlines our expectations for all participants of the 2018 RSA
Archer Summit (hereinafter the “Event”). Event organizers will enforce this code
and expect cooperation from all Event participants (e.g., attendees, media, sponsors,
exhibitors, volunteers, staff) to help us promote a safe and enjoyable Event for everyone.
All determinations of acceptable and/or unacceptable behavior are at the sole discretion
of the event organizer and its representatives. Decisions made by onsite event organizers
will be considered final.
Acceptable Event Behavior
Acceptable behavior includes, but is not limited to:
• demonstrating good manners by being considerate, respectful, and courteous to those
in attendance;
• being mindful of your surroundings and of your fellow participants;
• refraining from demeaning, discriminatory, or harassing behavior and speech; and
• promptly alerting event organizers if you notice a potentially dangerous situation or
someone in distress.
Unacceptable Event Behavior
Unacceptable behavior includes, but is not limited to: intimidating, harassing, abusive,
discriminatory, derogatory or demeaning conduct and/or wearing clothing not suitable
for a professional work environment (e.g., provocative).
Harassment and unacceptable behavior includes, but is not limited to:
• offensive verbal comments (e.g., related to race, religion, gender, sexual orientation,
disability);
• inappropriate use of nudity (e.g., sexual or lewd images);
• deliberate intimidation or stalking;
• harassing photography or recording;
• intentional disruption of presentations or other events;
• inappropriate physical contact (e.g., unwelcome sexual advances, groping, sexual
assault);
• physical, written, verbal or other abuse (e.g., threats, annoyance, pushing, shoving or
physical force whatsoever against any person, which in any way creates a disturbance
that is disruptive or dangerous, or creates anxiety or apprehension in an individual), as
determined by the event organizer and its representatives, in their sole discretion;
• boisterous, lewd or offensive behavior or content (e.g., containing profanity, obscene
gestures, or slurs (e.g., racial, religious, gender, ethnic);

• possession of any item that can be used as a weapon, which may cause danger to others
if used inappropriately;
• possessing alcoholic beverages in areas not specifically designated for the consumption
of alcohol;
• possessing any illegal substance (e.g., narcotics);
• smoking - other than in designated areas;
• assembling for the purpose of, or resulting in, disturbing the peace, or committing any
unlawful act or engaging in offensive behavior;
• failing to obey any rules or regulations of the venue; and/or
• failing to adhere to Event organizer instruction.
Consequences of Unacceptable Behavior
Unacceptable behavior will not be tolerated. Anyone engaged in unacceptable behavior
is subject to expulsion from the Event without warning or refund and/or banishment from
future Events.
Reporting Unacceptable Behavior
If you are being harassed, notice that someone else is being treated poorly, or have
additional concerns, please contact a member of the Event Team.
We expect participants to follow this Code of Conduct at the Event venue, any external
venue affiliated with the Event and/or Event related ancillary or social events. The policy
may be revised at any time by the Event organizer and is non-negotiable. In the event of
an emergency situation, please contact local authorities immediately.
