    ADOPTION OF RULE 3a-7

    The Commission adopted new Rule 3a-7 under the Investment Company Act of 1940. Rule 3a-7 conditionally excludes issuers that pool income-producing assets and issue securities backed by those assets (structured financings) from the definition of investment company under the Act.     CIVIL PROCEEDINGS

    CIVIL ACTION AGAINST G. ALFRED ROENSCH, OWEN STEPHENSON, PACIFIC EQUITIES CORPORATION,ARIZONA TRUST, DALLAS INVESTMENT TRUST, PHOENIX INVESTMENT TRUST AND ELECTRONIC MEDICAL MANAGEMENT, INC.

    The Commission announced that on September 30, 1992 a complaint was filed in the Northern District of California seeking injunctive and other equitable relief againstG. Alfred Roensch, Owen K. Stephenson, Pacific Equities Corporation, Arizona Investment Trust, Dallas Investment Trust and Phoenix Investment Trust alleging that they committed violations of Sections 5(a), 5(c) and l7(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 promulgatedthereunder in connection with the fraudulent offer and sale of unregisteredsecurities. Electronic Medical Management, Inc. was named as a defendant solely to obtain full and adequate monetary relief.

    The complaint alleges that the defendants (except for Electronic Medical Management,Inc.) participated and effected a scheme to sell $1,425,000 worth of unregisteredElectronic Medical Management, Inc. securities. As part of the scheme, theydisseminated false and misleading profiles of Electronic Medical Management, Inc. that among other things substantially overstated the company's projected revenues over a five year period.     A conditional order has been issued on an application filed by California Daily Tax Free Income Fund, Inc., et al , under Section 6(c) of the Investment Company Act exempting applicants from the provisions of Sections 18(f), l8(g), and 18(i) of the Act. The exemptions apply to the extent necessary to permit applicants to issue two

    NEW ENGLAND ELECTRIC SYSTEM

    A supplemental order as been issued authorizing New England Electric System (NEES), a registered holding company, to extend until December 31, 1996 the time in which it may issue and sell up to an aggregate of 2,192,122 shares of its common stock to the NEES Companies Incentive Thrift Plan.     NEW ENGLAND ELECTRIC SYSTEM

    A supplemental order as been issued authorizing New England Electric System (NEES), a registered holding company, to extend until December 31, 1996 the time in which it may issue and sell up to an aggregate of 81,409 shares of its common stock to the NEES Companies Employees' Share Ownership Plan.     ENTERGY CORPORATION, ET AL.

    An order has been issued authorizing Entergy Corporation (Entergy), a registeredholding company, and its operating public-utility subsidiary companies, Arkansas Power & Light Company (AP&L), Louisiana Power & Light Company (LP&L), Mississippi Power & Light Company (MP&L), New Orleans Public Service Inc. (NOPSI) collectively, OperatingCompanies), System Energy Resources, Inc. (SERI), Entergy Operations, Inc., (EOI),System Fuels, Inc., and Entergy Services, Inc., (Services), to finance their interim capital needs through the Entergy system money pool through November 30, 1994. The Operating Companies and SERI also propose to issue short-term notes to banks and commercial paper to dealers through November 30, 1994. EOI and Services proposethrough November 30, 1994 to borrow up $15 million and $90 million, respectively, from Entergy and/or banks pursuant to loan agreements. Entergy proposes to guarantee EOI's and Services' obligations under the loan agreements. The proposed borrowing limits are: $255 million for AP&L; $259 for LP&L; $113 million for MP&L, $43 million for NOPSI; $238 million for SERI; $65 million for SFI; $90 million for Services; and $15 million for EOI.     The American Stock Exchange filed a proposed rule change (SR-Amex-92-35) to establish requirements for the trading of options on narrow-based indexes so that index optionsmeeting those requirements in the future may be traded on the Exchange without further Commission review.
