SECTION V. SPECIAL CONDITIONS OF CONTRACT

10.1 PARTIAL PAYMENT IS ALLOWED FOR EVERY COMPLETED AND ACCEPTED LOT.

Payment is made through corporate check within fifteen (15) calendar days after FULL delivery and acceptance of all items indicated in the Contract and submission of all required documents and receipt of proceeds from end user client. All payments are subject to applicable withholding taxes.

10.1 PARTIAL PAYMENT IS ALLOWED FOR EACH LOT SUBJECT TO THE FOLLOWING SCHEDULE:

Initial 50% upon delivery and acceptance of the 50% of the sets in the Lot

Remaining balance of 50% upon complete delivery and acceptance of the all sets in the Lot

Payment is made through corporate check within fifteen (15) calendar days after submission of all required documents. All payments are subject to applicable withholding taxes.

B.1.a. Letter/email dated 06 March 2019 (Agri Component Corporation)

Query 1

AMTEC Test should be required and submitted on the opening of bids. With this, your TWG will have the materials and reference on its evaluation if the offered equipment of the bidder passes on its performance with respect to the AMTEC Test Result.

Reply 1

We appreciate your suggestion on the matter, however, the Certification from Agricultural Machineries Testing and Evaluation Center (AMTEC) for Quality Assurance is a requirement in the Post-Qualification process and not on the opening of bids.

Query 2 What is the Maximum Dimension of the Equipment?

Reply 2 There is no maximum dimension of the equipment as to its length, width, and height.

Query 3 What is the moisture content composition of the Bio-degradable material and the Non-Bio-degradable?

Reply 3

In reference to the multi-purpose waste shredder's input (bio-degradable and non-biodegradable), there is none.

However, with reference to the composter's output of 800 kg/day (minimum) vs. the input of 1,000 kg/day (minimum), the moisture content composition is at 20%.

Query 4

What type of waste material are to be shredded, Bio-degradable waste or non-biodegradable waste? If mix, what is the ratio?

As stipulated in the TOR, the equipment must be able to shred, pulverize, and crush several types of solid waste i.e. biodegradable waste, plastics, and glass. There will be no mixing of biodegradable and non-biodegradable waste materials during the shredding process.

Query 5

Since, Region 4A (CALABARZON), NCR and Region 3 has the majority sets of equipment to be distributed, a bidder is required to have at least 2 company owned Service-Center in either of the Region with 3 years existence in the business. This is to address the quick response of services.

Reply 5 We appreciate your suggestion on the matter, however, as to the number of Authorized Service Centers, for Lot 1: At least One (1) in Luzon, One (1) in Visayas and One (1) in Mindanao; for Lots 2-9: at least One (1) in Luzon.

B.1.b. Letter/email dated 04 March 2019 (C&G Environmental Management Corporation):

Query 1

QUARRY EQUIPMENT TO BE CONSIDERED AS INDUSTRIAL MACHINERIES In connection with the bidding of Supply, delivery, Testing and Commissioning of Nine (9) Lots Solid Waste Management Equipment Consisting of Brand New Multi-Purpose Waste shredder and Brand New Composter, regarding single largest completed contracts, can the Committee accept and consider our single largest contract, “Supply, Delivery and Installation of Quarry Equipment (Crushing Plant) as industrial equipment that includes crushing equipment of aggregates, conveyor and etc.

Reply 1

In reference to the ITB Section I Item 4 of the Bidding Documents (Bid Reference No. GPG-B1-2019-067 REBID), a prospective Bidder must have a single largest completed contract similar to the contract to be bid within the last five (5) years from date of submission and receipt of bids amounting to at least fifty percent (50%) of the ABC of the project. Given the definition of the similar contract, the prospective bidder should be able to determine if their contract involves the supply and delivery of industrial equipment at least 50% of the ABC. The undersigned cannot, by the mere title alone, determine whether the above stated contract is acceptable as a Single Largest Completed Contract (SLCC). Moreover, the thorough verification of whether the submitted SLCC is compliant will be done during the post-qualification.




B.1.c.1. Letter/email dated 06 March 2019 (Accent Micro Technologies, Inc. (AMTI)) The company seeks a clarification on a particular item on the bidding process. They are the following:

We are joining the bidding with a Joint Venture, our partner company has a bigger single largest completed contract of an “industrial equipment,” will my company still submit a single largest aside from the one our partner will submit?

Reply 1 For Joint Venture, only one (1) of the partners must submit the Single Largest Completed Contract (SLCC).

B.1.c.2. Letter/email dated 06 March 2019 (Accent Micro Technologies, Inc. (AMTI)) The company seeks a clarification on a particular item on the bidding process. They are the following:

How is the payment process for winning bidders?

Reply 1 Please refer to SBB1 for the Revised Special Condition of the Contract Clause 10.1

Query 2 If the highest bidder is awarded the Purchase Order (PO), will the company receive a partial payment before proceeding with the delivery?

Reply 2

The Notice of Award shall be issued to the Single/Lowest Calculated Responsive Bidder.

There will be no partial payment before proceeding with the delivery. Partial payment is allowed based on the following schedule:

B.1.d. Letter/email dated 07 March 2019 (Boston Home Inc.)

This has reference with the abovementioned procurement project by your agency which we will be participating, and we are respectfully asking for clarifications on the following technical specifications/requirements:

Query 1 It is respectfully requested to ask the detailed safety feature requirements of the MULTIPURPOSE WASTE SHREDDER.

Reply 1

As stipulated in the DENR-EMB TOR, the Multipurpose Waste Shredder must have a panel board for operation and safety which includes but not limited to the following: Power switch with light indicator, Alarm with light and sound indicator, Emergency stop, and Circuit breaker.

Query 2 It is humbly requested what are the odor parameters after the processing of the biodegradable materials;

Reply 2

As stipulated in the DENR-EMB TOR, under Technical Specifications, a year supply of inoculants "enzymes" additives commensurate to the input capacity must be provided for odor control and to hasten the decomposition. There are no specific parameters on odor for that matter.

Query 3 It is also requested what will be the plan to treat the liquid residue from the MULTIPURPOSE WASTE SHREDDER.

Reply 3 In reference to the Multipurpose Waste Shredder's input (biodegradable and non-biodegradable), there is no moisture content composition and it follows that there will be no liquid residue to be treated for that matter.

Query 4 It is further requested whether DENR, the end-user of the procurement project, will accept a directly driven motor or a belt driven design motor for the MULTIPURPOSE WASTE SHREDDER.

Reply 4 Either directly-driven motor or a belt-driven motor for the Multi- purpose Waste Shredder is accepted as long as they satisfy the required output.

Bidders are advised to use the Revised Annex V-A, Revised Annex V-B, Revised Annex V-C, Revised Annex V-D, Revised Annex V-E, Revised Annex V-F, Revised Annex V-G, Revised Annex V-H, Revised Annex V-I, Revised Annex V-J, Revised Annex V-K, Revised Annex VIII-D and Revised Annex VIII-H and submit together with all other required documents for the Submission and Opening of Bids scheduled on 21 March 2019; 10:00 AM. The Prototype will be tested in accordance with the DENR-EMB Post Qualification Checklist attached as REVISED ANNEX V-K.

If the equipment passes the qualification, it will form part of the delivery.

Bidder to rectify any deficiencies within fifteen (15) calendar days from receipt of Notice to Rectify.

All incidental and other expenses for the machine testing shall be at the expense of the supplier.

Delivery conditions:

All deliveries must be done in the presence of Inspection Team consisting of at least two (2) DENR-EMB and two (2) PITC Representatives;

The supplier must inform PITC Account Officer at least seven (7) calendar days prior to the delivery of equipment at various delivery sites. Failure to give due notice shall be ground for non-acceptance of delivery

Other than the delivery schedule / quantities stated above, NO partial deliveries are allowed. Only Complete deliveries will be accepted;

Deliveries made for “safekeeping” purposes are NOT ALLOWED;

During delivery, the supplier shall be responsible in unloading the items from the container/truck to the designated delivery sites. All costs including delivery and assembly, handling and other related expenses shall be borne by the supplier. In the absence of materials handling equipment at the site, the supplier shall provide the necessary equipment such as but not limited to: forklifts, hand pallet truck, etc. at the expense of the supplier.

Successful use of actual equipment passing the minimum capacity and output without technical problems.

DENR-EMB Delivery and Acceptance Checklist attached as Annex V-L All expenses relative to testing, installation, inspection and acceptance shall be for the account of the supplier.

10) Operations/ Maintenance Manual

Bidder must provide soft and hard copy of Operator’s and Service Manual in English language upon delivery per unit.

11) Warranty

All equipment shall have free one (1) year warranty on parts and installation works and three (3) years on services.

Undertaking to provide a service unit for components that need repair during the warranty period within 48 hours of notification;

Quotation of Annual Preventive Maintenance Cost after warranty period expires;

Warranty Period shall commence from the date of acceptance by the end user after functional inspection, testing and commissioning.

A service unit is required so that while a broken component of the composter / shredder is being repaired, the process is not disrupted. Replacement of parts during the warranty period shall be covered.

12) End-User’s Orientation/ Training

Undertaking to provide One (1) day on-site product orientation / training for the end-users (maximum of 10 participants).

Conduct of equipment demonstration in the sites.

All expenses related to the training shall be for the account of supplier.

The Supplier shall replace any newly delivered unit found to be defective and with failures

Replacement shall be made within fifteen (15) calendar days after receipt of Notice from DENR-EMB.

(a) Independent Auditor’s Report; (b) Balance Sheet (Statement of Financial Position); and (c) Income Statement (Statement of Comprehensive Income)

Each of the above statements must have stamped “received” by the Bureau of Internal Revenue (BIR) or its duly accredited and authorized institutions.

OR

Submission of valid and current PHILGEPS Certificate of Registration and Membership (Platinum Registration*) together with Annex A in lieu of items (i), (ii), (iii) and (iv) above.

*Note: Bidder must ensure that all Class “A” Eligibility Documents are valid and current at the time of

submission of PhilGEPS Certificate of Registration and Membership (Platinum Registration). In case any of the submitted Eligibility Documents are not valid and current at the time of submission of Platinum Registration, bidders are required to submit the valid and current documents including the Audited Financial Statements for 2017 and 2016 (stamped received by the BIR or its duly accredited and authorized institution) together with the Platinum Registration.

In case the bidder opts to submit their Class “A” Documents, the Certificate of PhilGEPS Registration (Platinum Membership) shall remain as a post-qualification requirement to be submitted in accordance with Section 34.2 of the 2016 Revised IRR of RA 9184. “GPPB Circular 07-2017 dated 31 July 2017”




(v) Statement of all ongoing government and private contracts (including contracts awarded but not yet started), if any whether similar or not in nature and complexity to the contract to be bid. (Annex I);

(vi)

Statement of Single Largest Completed Contract of Similar Nature within the last five (5) years from the date of submission and receipt of bids amounting to at least fifty percent (50%) of the total ABC of the lot being bid (Annex I-A)

“Similar contract” shall mean Industrial Equipment.

Any of the following documents must be submitted/attached corresponding to listed completed largest contracts per Annex I-A:

(a) Copy of End User’s Acceptance; or (b) Copy of Official Receipt/s; or (c) Copy of Sales Invoice with Collection Receipt/s

(vii) Duly signed Certificate of Net Financial Contracting Capacity (NFCC) per Annex II, in accordance with ITB Clause 5.5 OR Committed Line of Credit per Annex II-A. a) Should the bidder opt to submit NFCC, computation must be equal to the ABC

of the project. The detailed computation using the required formula must be shown as provided for in Annex II.

NFCC = [(Current assets minus current liabilities) (15)] minus the value of all outstanding or uncompleted portions of the projects under ongoing contracts, including awarded contracts yet to be started, coinciding with the contract to be bid.

Notes: 1. The phrase "the values of the bidder's current assets and current liabilities" shall be based

on the data submitted to the BIR, which refers to the values of the current assets and current liabilities reflected in the Audited Financial Statements.

2. The value of all outstanding or uncompleted contracts refers to those listed in Annex I. 3. The detailed computation must be shown using the required formula provided above. 4. The NFCC computation must at least be equal to the ABC of the project.

OR

a) Should the bidder opt to submit a committed Line of Credit, it must be at least equal to ten percent (10%) of the ABC of the project issued by a Local Universal or Local Commercial Bank. The amount of the committed Line of Credit MUST BE MACHINE VALIDATED. (Annex II-A)




Class “B” Document: (For Joint Venture)

The participating entities entering a Joint Venture Agreement (JVA) are to be treated as a single entity and shall be jointly and severally responsible or liable for the obligations and liabilities incurred by any partner to the JV pertinent to the project requirements.

Hence, any Blacklisting Order and/or overdue deliveries intended for end-user or PITC shall apply to the JVA as the JV is deemed as one bidder.

a) For Joint Ventures, Bidder to submit either:

(i) Copy of the JOINT VENTURE AGREEMENT (JVA) in case the joint venture is already in existence, or

(ii) Copy of Protocol/Undertaking of Agreement to Enter into Joint Venture signed by all the potential joint venture partners stating that they will enter into and abide by the provisions of the JVA in the instance that the bid is successful. (Annex III).

In case the joint venture is not yet in existence, the submission of a valid JVA shall be within ten (10) calendar days from receipt by the bidder of the notice from the BAC that the bidder is the Lowest Calculated and Responsive Bid [Sec 37.1.4 (a) (i) of the 2016 Revised IRR of RA 9184]

The JVA or the Protocol/Undertaking of Agreement to Enter into Joint Venture (Annex III) must include/specify the company/partner and the name of the office designated as authorized representative of the Joint Venture.

b) Each JV Partner, must also submit the following:

Local JV Partner

(i) Registration Certificate from the Securities and Exchange Commission (SEC) for corporations or from Department of Trade and Industry (DTI) for sole proprietorship, or from Cooperative Development Authority (CDA) for cooperatives;

(ii) Valid and Current Business/Mayor’s permit issued by the city or municipality where the principal place of business of the prospective bidder is located OR the equivalent document for Exclusive Economic Zones or Areas;

In cases of recently expired Mayor’s/ Business permits, said permit shall be submitted together with the official receipt as proof that the bidder has applied for renewal within the period prescribed by the concerned local government unit, provided that the renewed permit shall be submitted as a post-qualification requirement.

(iii) Valid and Current Tax Clearance per Executive Order 398 and Revenue Memorandum Order No. 46-2018.

Foreign JV Partner

(i) Valid and current certificate/license/authority to conduct/operate business issued the regulatory authority in the country where the bidder is based.

(ii) Valid and Current Tax Clearance per Executive Order 398 and Revenue Memorandum Order No. 46-2018.




NOTE:

* The following Eligibility – Technical and Eligibility – Financial Documents may be submitted by only ONE of the parties to the JV:

** The determination as to (i) whose Audited Financial Statement should be used / submitted; and (ii) who submits the Statement of All-Ongoing Contracts – lies with the Partners Contracting the Joint Venture since the audited Financial Statements and the Ongoing Contracts of that JV partners should be the basis for the Computation of the NFCC.




OR

Notes:

(a) The Cashier’s/Manager’s Check shall be issued by a Local Universal or Commercial Bank.

(ix) refusal to clarify or validate in writing its bid during post-qualification within a period of seven (7) calendar days from receipt of the request for clarification;

(x) any documented attempt by a bidder to unduly influence the outcome of the bidding in his favor;

(xi) failure of the potential joint venture partners to enter into the joint venture after the bid is declared successful; or
