Come now respondents, through the undersigned counsel, and respectfully

state in opposition to Applicants' Application for Stay:'

A. The Legal Personality of the Catholic Church in Puerto Rico has been recognized by this Court.

In Ponce v. Roman Catholic Apostolic Church, 210 U.S. 296 (1908), this

Honorable Court recognized the legal personality and "corporate existence" of the

Roman Catholic Apostolic Church in Puerto Rico; see also, Santos v. Holy Roman

Catholic and Apostolic Church, 212 U.S. 463, 465 (1909) ("the legal personality of

the Roman Church, and its capacity to hold property in our insular possessions, is

recognized").

As a legal entity, the Catholic Church can be sued to seek compliance with its

patrimonial obligations. In the aftermath of Ponce v. Roman Catholic Apostolic

Church, the Catholic Church has appeared as a party in numerous cases before the

Puerto Rico Courts.2

B. Its Dependencies Act as "Part of' the Catholic Church.

In Ponce v. Roman Catholic Apostolic Church, the Catholic Church was

represented by a Bishop. 212 U.S. at 297. in many cases before the Puerto Rico

Courts, the Catholic Church has acted through its dioceses and occasionally,

through its parishes. The common practice of Puerto Rico authorities has been to

accept the actions of the different components of the Catholic Church, as being

proper representatives of the same. This practice is illustrated by the certificate

issued by the Puerto Rico State Department, included by Applicants as Appendix R.

In page 10 of its application, Applicants partially cite the first half of the

certificate, omitting what Respondents feel is the most important part. The

complete text of the certificate is reprinted below:

IT IS CERTIFIED: That, pursuant to the Treaty of Paris of December 10, 1898, the "ROMAN CATHOLIC APOSTOLIC CHURCH" has its own legal personality as it is a part of the Vatican state and, thus, does not have to register as a corporation in the Department of State.

IT IS FURTHER CERTIFIED: That any division or dependency created under said legal personality will be part of the same, for which reason the "ARCHDIOCESES OF SAN JUAN" does not have to register in the corporate register. (Spanish) (Our translation) (Original Emphasis) (App., p. R-1).

That is, according to Commonwealth of Puerto Rico authorities, even if a

dependency of the Catholic Church is not separately registered, its capacity to act is

nonetheless recognized, as "part of' the Catholic Church.

C. The Catholic Church was Sued and Appeared in the Present Case.

Respondents are 184 teachers, former teachers and employees of three (3)

catholic schools in Puerto Rico. Almost two (2) years ago, Respondents commenced

the present action before the local Courts of the Commonwealth of Puerto. Rico,

seeking specific performance of their duly contracted pension rights.3 Specifically,

retired Respondents sought an injunction to force the Catholic Church to resume

payment of their retirement pensions, which had been discontinued. (Church

official claim the pension fund became depleted and suspended all pension

payments on June 30, 2016.)

The suit was directed against the Catholic Church and the Pension Fund

Trust (the "Trust") in charge of the last remaining funds available for payment of

the pensions. The three (3) catholic schools, the Archdiocese of San Juan (the

"Archdiocese") and the Superintendence of Schools for the Archdiocese of San Juan

(the "Superintendence") were also included in the action, as dependencies

("dependencia?) of the Catholic Church. The Archbishop of San Juan, Mons.

Roberto Gonzalez Nieves, was also named in the complaint as representative of the

Archdiocese and the principal active church official in Puerto Rico. (See App., P-i)

(Spanish). Respondents claimed that they were employees of the Catholic Church,

because they worked in parochial schools belonging to and operated by the Catholic

The three (3) parochial schools are Academia Nuestra Señora del Perpetuo Socorro, Academia San José and Academia San Ignacio de Loyola, all located in San Juan. Respondents filed separate suits for each of these three (3) schools. The cases were duly consolidated.

Church and because none of the three (3) schools had corporate existence separate

from the Catholic Church.

The Catholic Church appeared in the case, answered the complaint, and filed

numerous motions, vigorously resisting Respondent's claims.4 Although they all

lacked a valid corporate certificate, the Catholic Church caused all three (3)

parochial schools to appear through separate counsel as if they were wholly

independent parties, a move which was vehemently opposed by Respondents.

D. The Supreme Court of Puerto Rico Issued an Injunction Directed against the Catholic Church.

After several other proceedings, on July 18, 2017, the Supreme Court of

Puerto Rico issued a preliminary injunction in Respondents' favor, ordering the

continuation of pension payments by the employer of the petitioners, pending final

disposition of all claims in the case. (App. J-1 to the Stay Petition, p. J-11).

In its judgment, the Supreme Court of Puerto Rico determined that

Respondents are suffering irreparable damages as a result of the termination of

their pensions which, for many of these retired school teachers and employees, is

their sole source of sustenance. (App. J, pp. 7-8). The Court stated:

"Besides its answer to the complaint and several dispositive motions, the Catholic Church filed, or made more than two dozen other appearances in the case, usually appearing jointly with the Archdiocese and the Superintendence, but also appearing alone, in some of the motions. Some of these filings were enumerated in the ¶ 5 of the motion filed by Respondents before the Supreme Court of Puerto Rico on June 6, 2018, included here as App. A of Respondents' Opposition. (The document is being filed in Spanish because Respondents have not had the opportunity to obtain a proper translation. Translated version will be submitted by Respondents in due course.) With their motion, Respondents included the first page of each motion filed in the Court of First Instance, where the appearance of the Catholic Church was noted, and included the docket number for each filing. This Court can take judicial notice of the docket of the Puerto Rico Superior Court, Case No. SJ2016CV00131, which is available online at bttps://unired.ramaiudicialpr/sumac/, and confirm that the Catholic Church was an active participant throughout the Puerto Rico litigation.

It remains to be determined who is obliged to continue the payments to the petitioners while the lawsuit reaches conclusion. ... "[Pilaintiffs have presented evidence to show that the Academia San Jose' and the Academia San Ignacio de Loyola have never been incorporated5 and that Academia de Perpetuo Socorro was incorporated, but its certificate of incorporation was cancelled in April 2014 due to its failure to render the reports required by law. Therefore, since the three are also parochial schools, the petitioners argue that the three academies are commercial names ('doing business as') of the Roman Catholic Apostolic Church, for which reason it is principally responsible for the obligations contracted with the plaintiffs. We consider that the origin of the argument of the petitioners would be better. served through an evidentiary hearing held by the Court of First Instance. (App. J, pp. 10-11).

The Supreme Court of Puerto Rico ordered the Court of First Instance to

"hold a hearing to determine if the defendant schools have legal personality and,

thereupon, order the continuation of pension payments by the employers of the

petitioners, whether the corresponding Schools or the Church". (Emphasis added)

(App., P. J-ii). Thus, the Supreme Court of Puerto Rico's mandate contemplated

that, upon determining that all three (3) parochial schools lacked corporate

personality, payment of the pensions should fall upon the Catholic Church, who

was the main defendant in the case and who had actively participated in all*

proceedings.

5 Applicants represent to this Court that San José was incorporated. This was done on January 5, 2018, after the Puerto Rico Supreme Court July 18, 2017 ruling. Said incorporation does not apply retroactively to protect the Church from liabilities incurred at an earlier date. Applicants also claim that San Ignacio is administered by the Society of Jesus. Under the existing covenant between the Jesuits and the Catholic Church, the Church retains the title over the school, the Jesuits being obliged to maintain all school property and accounts separate from the property of the Order. During the evidentiary hearing, respondents presented evidence to show that the Society of Jesus maintains its own retirement plan, which applies to its High School. The employees of Academia San Ignacio, which is the elementary school, belong the Archdiocese's retirement plan, because the school is a Church property.

E. The Dioceses Were Aware of the Implications of the Injunction.

Applicants were fully aware that the Supreme Court's decision would impact

all dioceses, which are dependencies of the Church. On August 14, 2017, the

Conference of Catholic Bishops in Puerto Rico filed an arnicus curiae petition with

the Supreme Court of Puerto Rico, alleging that the Court's decision would have a

crippling effect on the Catholic Church and that it would affect "all catholic

churches in all of Puerto Rico" ("todas las Iglesias católicas en todo Puerto Rico").

(Respondent's App. B, p. B-3) (Spanish).6

F. The Catholic Church Did not present Any Evidence as to its Legal Personality.

The evidentiary hearing ordered by the Supreme Court of Puerto Rico was

finally held on January 30, 2018, after being delayed by Hurricanes Irma and

Maria. The evidence presented at the hearing centered on the legal personality of

the parochial schools. Respondents showed that all are parochial schools and that

the Archdiocese of San Juan is responsible for alitheir administrative decisions. No

evidence whatsoever was presented by the Catholic Church at the hearing

concerning the legal personality of its different dioceses or parishes. The only

evidence to that effect was presented by Respondents and consisted of two (2)

certificates issued by the Puerto Rico Department of State for the Archdiocese and

the Superintendence, which demonstrated that Catholic Church dependencies did

not have to register with the Puerto Rico Department of State corporate register,

because they are considered part of the Catholic Church.7

G. The Court of First Instance Ruled that the Catholic Church Disobeyed the Injunction.

After the issue was submitted to the trial judge, the proceeding was further

delayed by the Catholic Church's unsuccessful attempt to remove the case to federal

court.

On March 16, 2018, the Puerto Rico Court of First Instance issued its ruling,

holding that none of the schools had a legal personality separate from the Catholic

Church. (App. I.). Following the Supreme Court of Puerto Rico's July 18, 2018

injunction order, the Puerto Rico Court of First Instance directed the Catholic

Church "to immediately and without any further delay proceed to continue to make

payments to plaintiffs, as provided in the pension plan, while this claim continues."

(App., p. 1-8). Ten (10) days later, on March 26, 2018, as the Church had not

complied with the injunction, the Court of First Instance, acting sua sponte,

declared that the Catholic Church was "in breach of our order" and ruled that "[i]n

view of the foregoing, as well as the reckless attitude assumed by defendants, such

party is ordered to, in the final span of 24 hours, proceed to deposit the sum of 4.7

million dollars with the Accounts unit of this Court." (App., p. H-2). The Court

It is uncontroverted that the Superintendence is a Catholic Church dependency lacking separate legal personality. Its certificate and that of the Archdiocese are identical in all respects, save the identity of the named party. The certificates thus tend to establish that the Archdiocese is a Church dependency and considered "part of' the Church by the Government of Puerto Rico (hence it does not have to register as a separate corporation).

warned that "if this Order is not complied within the established term, we shall

proceed to order the seizure of bank accounts of the Roman Catholic and Apostolic

Church in Puerto Rico." (App., p. H-2).

The Catholic Church did not comply with the Court's order. Upon

Respondents' request, an attachment order was issued on March 27, 2018 (App. G-

1). Contrary. to Applicants' assertion, the attachment was not ordered as a

provisional remedy to secure an eventual judgment, but rather under the Puerto

Rico Court of First Instance's civil contempt power, to force compliance with the

injunction issued by the Supreme Court of Puerto Rico on July 18, 2017, which had

directed that, if the schools were found to lack legal personality, pension payments

would fall upon the Catholic Church.

H. The Issue Regarding the Catholic Church's Lack of Legal Personality Was Untimely Raised and Based Solely on Canon Law.

It was at this late stage that the Catholic Church appealed to the Puerto Rico

Court of Appeals, asserting that the injunction issued by the Supreme Court of

Puerto Rico on July 18, 2017 was ineffective, alleging that it was directed against a

nonexistent party, the Catholic Church. The Catholic Bishops sought to intervene

in the case, also asserting that the Catholic Church is inexistent. The Catholic

Church's and the Bishop's allegations were not based on any evidence (since none

had been presented by the Church regarding this issue). Instead, the Court of

Appeals was invited to take judicial cognizance of Canon law precepts which

showed that the Catholic Church considers dioceses and parishes to have legal

personality of their own.

The Court of Appeals sided with the Catholic Church, relying on Canon law

to rule that the Catholic Church did not have legal personality. (App. F-i). This

ruling was reversed by the Supreme Court of Puerto Rico. (App. A- 1). The Supreme

Court of Puerto Rico ruled that, for purposes of its contract obligations, the issue of

the legal personality of. the Church was a question of secular law and concluded

that, from the point of view of government institutions, the different dioceses and

parishes in Puerto Rico were not separate from the Catholic Church, but rather,

part of the Church. (App. A, pp. 15-16). The Court denied the dioceses' requests for

intervention, concluding that they were already represented in the case by the

Catholic Church. (App., p. A-6, n. 3).

Applicants' Stay petition is a collateral attack against the judgment issued by

the Supreme Court of Puerto Rico on July 18, 2017, in a case where the Catholic

Church had been actively participating. Under the garb of separation of Church

and State, the Catholic Church is seeking to overturn the Supreme Court of Puerto

Rico's injunction order directing that, if the schools were found to have no separate

legal personality, pension payments would then fall upon the Catholic Church.

What applicants are asking this Court to do is to rule that there is no single

legal person known as the "Roman Catholic Apostolic Church in Puerto Rico", but

rather a myriad of Catholic churches, each with its own separate personality.

According to the sworn statement filed by the Archbishop of San Juan before the

Supreme Court of Puerto Rico: "[t]here is no single entity of the Catholic Church

that represents or oversees all Catholic entities in the territory." (App., K- i). The

applicants contend that, since the Catholic Church does not exist, the orders issued

by the Supreme Court of Puerto Rico and the Puerto Rico Court of First Instance

directing payment of the Respondents' pensions by the Catholic Church are

ineffectual.

What the Church is trying to do is to justify its non-compliance with the

injunction issued against it. As stated by Mons. Roberto Gonzalez in another

affidavit ified before the Supreme Court of Puerto Rico:

The orders issued by the Court of First Instance on March 16 and. 26, 2018 and the Puerto Rico Supreme Court on May 24, 2018, are directed to the "Roman Catholic, Apostolic Church in Puerto Rico." As such, the Archdiocese of San Juan cannot comply with said orders because none of them, based on their plain language, are directed to the Archdiocese of San Juan, or me, as the Archbishop of the Archdiocese of San Juan. (App., L-1).

That is, the Catholic Church seeks to assert that it did not breach the Puerto

Rico Supreme Court's and Trial Coures orders that it pay the pensions because said

order was directed to an inexistent party.

I. Applicants' Petition is Inconsistent with Ponce v. Roman Catholic Apostolic Church.

The legal personality of the Catholic Church was recognized in Ponce v.

Roman Catholic Apostolic Church, supra. Applicants' contention that there is no

Roman Catholic Apostolic Church in Puerto Rico is simply at odds with said

precedent, as well as with the numerous other precedents of the Supreme Court of

Puerto Rico where the Catholic Church has appeared as a party. In the extant

case, the Church was the named main defendant, appeared and participated

actively throughout the proceeding. As previously stated, it was not until the

Puerto Rico Courts ruled against it, that the Church raised the claim that it does

not exist as a single institution.

J. Under Church Law, all Churches in Puerto Rico are Grouped in an Ecclesiastical Province, which Enjoys Legal Personality.

The characterization offered by Applicants of the Catholic Church's internal

structure is self-serving. It is simply not true that, as a question of Church Law,

there is no entity that represents or oversees all Catholic entities in Puerto Rico. In

pages 6 and 21 of its Application, Applicants cite Canon law. The Court is

requested to take judicial knowledge of arts. 431 and 432 of the Code of Canon law,

available online at the Holy See's site: www.vatican.va/archive/ENG1104. Article

431, in its § 2, commands that "individual dioceses and other particular churches

within the territory of - some ecclesiastical province must be joined to the

ecclesiastical province." (Emphasis added). Article 432, § 2, states that an

ecclesiastical province possesses juridical personality.

The ecclesiastical province of Puerto Rico was created in January 20, 1903 by

the Actum Praeclare issued by Pope Leo XIII. In suing the Catholic Church in

Puerto Rico, Respondents were directing their claims at a legal person that fully

exists, both under Church Law and under this Court's precedents, and that

includes all catholic churches in Puerto Rico.

K. This Court Should Give Fair Deference to the State Supreme Court.

A Justice of this Court should only grant a stay pending appeal under

extraordinary circumstances. Graves v. Barnes, 463 U.S. 1315, 1316 (1983). Due

respect for. the principles of comity normally necessitates a demonstration of

compelliiig necessity before a single mandate of the highest court of a state should

be stayed. Bateman v. Arizona, 429 U.S. 1302, 1304 (1976). In all cases, that the

lower court has refused to stay its order pending appeal should weigh heavily in the

decision by this Court to issue a stay. The burden is .on applicant to rebut the

presumption that the decision below --both on the merits and on the proper interim

disposition of the- case-- is correct. Rostker v. Goldberg, 448 US. 1306, 1308 (1980).

This presumption deserves greater respect when the applicant is requesting the

Court to interfere with the judicial process of a state. Bateman v. Arizona, 429 U.S.

at 1304.

In order for a. stay to be issued, the applicant must show that there is a

reasonable probability that the certiorari will be granted, that there is a significant

probability that the judgment below will be reversed and that there is a likelihood

of irreparable harm to applicant if the judgment is not stayed. Times-Picayune

Publishing Corp. v. Schlingkamp, 419 U.S. 1301, 1305 (1974). The existence of

these conditions is not, by itself, necessarily sufficient to issue the stay. Equitable

discretion will deny the stay when a balance of equities does not support it. The

likelihood that denying the stay may cause harm to the applicant may be

outweighed by the likelihood that granting it will cause irreparable harm to others.

Barnes v. E-Systems, Inc. Group Hosp. Medical & Surgical Ins Plan, 501 U.S.

1301, 1305 (1991).

Here, Respondents sustain that there is no reasonable certainty that the

óertiorari will be granted or that the judgment of the Supreme Court of Puerto Rico

will be reversed. Applicants' petition constitutes an untimely attack on the

mandate issued by the Supreme Court of Puerto Rico almost a year ago, in its July

18, 2017 judgment, when it ordered payment of the pensions to be made by the

Catholic Church, should the trial Court find that the schools lack a separate legal

personality. The remedy then issued by the Supreme Court of Puerto Rico against

the Catholic Church was proper and reasonable, because said party had been

included in the case as the main defendant and had acted as an active participant

in all proceedings. It was not until the Catholic Church defaulted on the order to

pay issued by the Trial Court that the issue of the inexistence of the Catholic

Church was first brought up. Such argument is at odds with this Court's century-

old precedent in Ponce v. Roman Catholic Apostolic Church, where it was ruled that

the Catholic Church is a legal person in Puerto Rico.

The Supreme Court of Puerto Rico refused to stay its order, even when

requested to by the Catholic Church. Deference is due to said Court's judgment.

L. The Attachment Order is Directed Against the Catholic Church.

The attachment order issued by the Trial Court in March 27, 2018 is directed

against the Catholic Church and its assets. If, as Applicants claim, they are

separate parties from the Catholic Church, there should be no reason to anticipate

that any of the dioceses will be affected.

Applicants' petition shows that the dioceses know and acknowledge that the

orders direàted against the Catholic Church in Puerto Rico include and extend to all

Church dependencies. If so, Applicants have acted in contempt of court, openly

defying the Supreme Court of Puerto Rico's order. of July 18, 2017 ruling that

Respondents' pensions should be paid by the Catholic Church. As officials of the

Church, Applicants are covered by the injunction order issued by the Puerto Rico

Supreme Court.

M. Respondents Are Suffering Irreparable Damages.

As the Supreme Court of Puerto Rico ruled in its July 18, 2017 judgment,

retired Respondents are suffering irreparable damages due to the elimination of

their pensions. Respondents are mostly elderly individuals, who were promised

pension benefits as part of their compensation package with the catholic schools

they worked for. Respondents have not been paid their pensions for over (2) two

years. Some of them have lost, or are in danger of, losing their homes. Others, who

suffer from serious and debilitating health conditions, are unable to pay for their

medical costs, including cancer treatments. Late last year, Respondents faced the

humanitarian crisis that affected all island residents in the aftermath of

Hurricanes Irma and Maria, without being able to count on their pension income,

which they depended on for their basic living sustenance.

In the balance of equities, granting the stay requested by Applicants will

continue to affect Respondents, who have already suffered and continue to suffer

irreparable damages.

Respondents do not much care whether their pensions are paid by the

Catholic Church or by a particular diocese. Applicants rely on the present issue,

however, to continue to delay payment of a debt which is undisputed. It is

uncontroverted that the three (3) schools located in San Juan, Puerto Rico, are

parochial schools owned and operated under the aegis of the Archbishop of San

Juan. Said prelate, however, continues to insist that the Archdiocese has no

obligation to comply with the injunction issued by the Supreme Court of Puerto

Rico, because the order was addressed to the Catholic Church, and not to the

Archdiocese.8 This is simply untenable.

N. The Supreme Court of Puerto Rico Did Not Intrude Into Church Matters.

Ordering a church to pay for a contractual debt is a neutral action that does

not burden the exercise of religion or otherwise involve the state in religious

matters. Jones v. Wolf, 443 U.S., 595 (1979). As the Supreme Court of Puerto Rico

observed, "we are before a purely contractual dispute regulated by local law among

private parties." (App., p. A-14). What the Supreme Court of Puerto Rico ordered

would have been a proper remedy against any other private employer.9

0. The Catholic Church Cannot be the Judge of its Own Obligations.

Ultimately, what the Catholic Church seeks is to be allowed to determine by

itself whether to honor an obligation imposed by civil authorities. In this case,

church liability follows as a corollary to its corporate existence. The Catholic

Church is responsible to Respondents for the contractual obligations incurred by its

officials when Respondents were first recruited as teachers and employees in the

parochial schools operated within the Archdiocese and in other locations on the

island. This is the same principle that would apply to any other ñoirreligious

corporate employer in Puerto Rico.

Applicants would seek to confuse the issue by framing it as a question of

internal Church structure. There is nothing in the ruling of the Supreme Court of

Puerto Rico that changes the way the Catholic Church has traditionally operated in

Puerto Rico. The fact that the dioceses are held to be "part of' the Catholic Church

in no way impedes them from contracting with third parties or holding property,

because Puerto Rico authorities allow Church action to occur through any

representative chosen by the Catholic Church. What the Catholic Church cannot do

is have the dioceses enjoy the rights and privileges granted to a religious entity (in

this case, not having to register in the Commonwealth Puerto Rico's corporate

Under the Employees' Retirement Income Security Act of 1974 ("ERISA"), an employer is jointly liable with the sponsor for any financial insufficiency of the plan to pay for the employees' vested rights, 29 U.S.C. § 1363; 29 U.S.C. § 1362(a). The Archdiocese of San Juan's plan was modelled on ERISA principles, which were contractually adopted in the text of the plan. In the case of respondents, the Church is both the sponsor, and their employer, because the schools lack legal personality of their own. The reason the present case is not covered by ERISA is that the plan is a Church Plan, 29 U.S.C. § 1003(b). Thus, respondents were obliged to seek a remedy in State Court.

registry), while maintaining that they separate entities from the Catholic Church.

You simply cannot have your cake and eat it, too.

Applicants must comply with the orders and injunctions issued by the Courts

of Puerto Rico, the same way any other private employer must.

WHEREFORE, Respondents respectfully request that this Honorable Court

deny the Application for Stay submitted by Applicants.

Episcopal") por.conducto de los abogados que suscriben, y a los efectos a los qtie se cotitrae

1. El 18 de Juflo de 2017? este Honorable Tribunal ernitiá una determinación

mediante Sentenda en vfrtud de [a cual ordenó al Tribunal de Prfrnera Jnstancia Ilevar a cabo
