SHORT TERM NOTICE INVITING TENDER

Sealed tenders are invited by Executive Director, DTIDC Ltd. on behalf of Managing

Director, DTIDC, Delhi from the interested & eligible person/agency for licensing of Cycle/Motor

Cycle/Scooter/Car Parking site at ISBT, Anand Vihar, Delhi for a period as mentioned below. The

DTIDC reserve rights to get vacate the parking site at any time during the currency of licence

period after serving a one month notice to the licencee. It is specifically informed that the ISBT,

Anand Vihar, Delhi is under redevelopment plan and the work can be initiated by PWD, Govt. of

NCT of Delhi in near future. The details of parking site offered in this tender are as under:-

1. The tender form can be had from the Executive Director, DTIDC at ISBT, Kashmere Gate,

Delhi-110006 by submitting written application along with non refundable tender cost of

Rs.3,540/- in form of Demand Draft/Pay Order in favour of Executive Director, DTIDC on

any working days from 31.07.2018 to 20.08.2018 between 02.00 pm to 4.00 pm.

2. Tenderers shall have minimum 2 years experience with satisfactory performance in

handling parking sites with Govt. Department/ Public Sector Undertaking/ 5&4 Star

Hotel/ Hospital (above 100 beds)/ Municipal Corporation/ Airport/ Sea Port/ Railways/

Bus Terminals during the last three years. (Proof to be submitted alongwith Tender

document).

3. Tenderer shall have filled up the requisite information of his experience in Annexure B of

eligibility criteria.

5. Tenderer giving wrong details, papers/information will be debarred from participating in

the tender/RFP of DTIDC for this financial year and 4 subsequent financial years. EMD

shall also be forfeited by DTIDC in such cases.

6. The intending tenderers shall have to deposit an amount of Earnest money mentioned

above through demand draft/pay order/FDR only of any scheduled national bank, drawn

in favour of Executive Director, DTIDC Ltd. alongwith tender form while submitting his

tender. The other documents required may also be submitted alongwith Tender. The

Earnest money shall not be accepted in cash or cheque under any circumstances.

7. Tender will remained valid for acceptance for a period of 120 days from the date of

opening. No tenderer is allowed to withdraw or modify his tender during intervene

period of submission of tender and acceptance of tender. In case any tenderer is

withdrawn or modify his tender after submission, his EMD will be forfeited and he shall

be debarred from participating in the tender/RFP of DTIDC for this financial year and for

the next four financial years.

8. The intending tenderers should indicate the rate of license fee offered by him/them on

monthly basis in terms of Indian Rupees (INR) only at place specified in the tender form.

9. The Managing Director, DTIDC Ltd. reserves the right to reject any or all the tender/offer

without assigning any reason.

10. Tender form can be downloaded from the website of DTIDC i.e. dtidc.delhi.gov.in or

dtidc.co.in for information only. However, the same shall not be considered as valid

tender for tendering purpose. Only the tender form issued by this office within stipulated

time & date of tender shall be considered as valid tender for bidding.

TERMS AND CONDITIONS:- Name of Tender:- Licensing of Cycle/Motor Cycle/Scooter/Car Parking site at ISBT, Anand Vihar, Delhi, July, 2018.

1. Any individual who is not a minor, Partnership firm/Company or registered Co-operative Society (except joint venture or consortium) may offer tender either for himself or on behalf of Firm/Company who formally or legally authorize to do so.

2. The tenders shall meet the following:-

(a) Tenderers shall have minimum 2 years experience with satisfactory performance

in handling parking sites with Govt. Department/ Public Sector Undertaking/ 5&4

Star Hotel/ Hospital (above 100 beds)/ Municipal Corporation/ Airport/ Sea Port/

Railways/ Bus Terminals during the last three years. (Proof to be submitted

alongwith Tender document). Work experience without satisfactory completion

certificate of appropriate authority will not be considered.

(b) Tenderer shall have filled up the requisite information of his experience in

Annexure B of eligibility criteria.

(c) Tenderer giving wrong details, papers/information will be debarred from

participating in the tender/RFP of DTIDC for this financial year and 4 subsequent

financial years. EMD shall also be forfeited by DTIDC in such cases.

(d) Parking agencies which have been blacklisted/debarred in any other Central/State

Govt. Deptt/PSU’s organizations and municipal authorities shall not be eligible to

participate in this tender & if submitted, their offer shall be out rightly rejected

and such contractor/agencies shall have no claim. The tenderer shall have to

furnish an undertaking on non judicial stamp paper of Rs.100/- and in case of false

declaration, the contract shall be stand terminated and the contractor shall be

debarred for participating in the tender/RFP for this financial year and 04

subsequent financial years of DTIDC. The performance security shall also be

forfeited in such circumstances. The affidavit is to be submitted as per Annexure –

C of this NIT.



3. The Managing Director, DTIDC may without assigning any reason, cancel the tender or

withdraw any one or more of the parking sites from the tender. The period of licence shall be 01 year for ISBT, Anand Vihar, which shall further be extendable for a period of 01 year on the sole discretion of DTIDC. The licence tenure beyond stipulated period will not be extended under any circumstances. There will be a yearly increased of 10% on compound basis in the licence fee offered by the successful tenderer.

4. Each intending tenderer shall have to deposit an amount of Rs.3,00,000/- as earnest money through demand draft/pay order/FDR only of any scheduled nationalized bank, drawn in favour of Executive Director, DTIDC Ltd. for parking site. The earnest money will be forfeited if the tenderer whose tender has been accepted retracts from the tender or fails to pay the security money or any other amount payable to perform any conditions prescribed under the terms and conditions of the tender within the stipulated period. Earnest money will be refunded to unsuccessful tenderers without interest but shall be adjusted toward the amount payable by the successful tenderers as the case may be.

5. The tender shall be for grant of license for cycle /motor cycle/ scooter /car parking site at ISBT, Anand Vihar, Delhi as per details given in Annexure ‘A’. The tenderer should offer rates for the monthly license fee exclusive of water and electricity charges, service tax, maintenance charges etc. in Indian Rupees (INR).

6. Copy of the Income Tax PAN, ID proof, residential/office proof (one photograph in case of

individual tenderer) must be enclosed along with tender document at the time of submission of tender in the same envelope.

7. The tender form should be clearly filled in ink legibly or typed. The tenderer should quote the amount of monthly license fee tendered by him/ them in figures as well as in word without any cutting or over-writing. Alteration unless legibly attested by the tenderer shall disqualify the tender. The tender form (each page) should be signed by the tenderer himself or by tenderer’s duly authorized signatory who is provided proof of authorization is filed along with tender. The forwarding letter should be signed & submitted alongwith tender. The tender shall remain valid for 120 days from the date of opening of tender.

8. Every page of the tender document should be serially numbered and signed by the tenderer with seal of Agency /firm. In case any document furnished by the firm found to be fake / forged, the contract will be cancelled immediately apart from any other legal action against the tenderer.

9. No document/certificate will be accepted after opening date & time of the tender. Last/delayed or tenders sent by post, email, fax will not to be accepted under any circumstances.



10. No tender below the reserve price will be considered for acceptance by DTIDC.

11. Any attempt on the part of tenderer, after he/she has submitted the tender, to secure any interest or to influence the acceptance of a particular tender shall be viewed as a disqualification and tender shall be rejected straight away.

12. The earnest money will liable to be forfeited, if the tenderer withdraw or amends, or derogate from the tender in any respect with in the period of validity of the tender. Apart from that he/she will also be debarred from participation in any tender/RFP of DTIDC for the current financial year and next four financial years.

13. The DTIDC reserves the right to cancel/reject fully or any part to the tender which tenderers do not fulfill the condition stipulated in the manner.

14. Tenderer submitting a tender would be presumed to have considered and accepted all

the terms and conditions of the tender. No inquiry verbal or written shall be entertained in respect of acceptance / rejection of the tender at any stage.

15. Any act on the part of the tenderer to influence anybody in the DTIDC is liable for rejection of his tender.

16. The evaluation and assessment for the selection of the tenderer shall be based on the tender variable i.e. the rate of licence fee quoted by the tender. The tenderer who has submitted all the requisite document & details and EMD, quoted the highest rate of licence fee shall be the successful bidder whose offer shall be considered for acceptance.

17. The acceptance of a tender will rest with the competent authority i.e. Managing Director, DTIDC that does not bind himself or herself to accept the highest or any other tender and reserves to him/her the authority to reject any or the all tender received without assigning any reason. All tenders in which, any of the prescribed conditions are not fulfilled or incomplete in any respect are liable to be rejected. Conditional tenders shall not be considered for acceptance under any circumstances.

18. The Parking site are offered on an “as is where is basis” and no request for reduction in license fee for any reason whatsoever during the period of the contract will be entertained.

19. The successful tenderer shall have to deposit performance money equivalent to six (06) months license fee in the shape of Demand Draft/FDR/Bank Guarantee of a schedule bank valid for period of 12 month in site of ISBT, Anand Vihar drawn in the favour of Executive Director, DTIDC Ltd., ISBT Kashmere Gate, Delhi within 15 days from the date of issue of letter of acceptance of tender, failing which the earnest money deposited by the tenderer shall stand forfeited absolutely. Apart from that the tenderer will also be



debarred from participation in tender/RFP of DTIDC for the current financial year and next four financial years. The earnest money deposited by successful bidder will be adjusted against the performance money. The security money of successful bidder/licencee shall be released only on successful completion of the license period (or its earlier termination in case site taken back by DTIDC for redevelopment/renovation purpose) and after use of the cycle / Motor Cycle / Scooter/ Car parking sites which ceased in operation on expiry of the license or its earlier termination.

20. The successful tenderer will have to deposit three (3) months advance license fee & allied charges and taxes (in shape of draft) within 15 days from the date of issue of the acceptance letter, failing which the earnest money deposited by the tenderer shall stand forfeited absolutely. The licence fee will be commenced from the first day of handing over of site to the licencee or from the 07th day of issuance of work commencement letter, whichever is earlier. The site will be handed over to licencee/successful bidder within 07 after deposit of all amounts as mentioned in the acceptance letter. The licencee/ successful bidder will also have to pay maintenance charge @5% of his licence fee in addition to his licence fee towards the common facilities. There will be 10% increase in the licence fee on ending of every 12 months of licence on compounding basis. The successful tenderer will have to execute the license deed (Agreement) within a period of 15 days after deposit of all amounts mentioned in the offer letter.

21. DTIDC reserve rights to get vacate the licence site after serving one month notice without assigning any reasons during the currency of licence period. It is specifically informed that the redevelopment project ISBT, Anand Vihar is being taken up by PWD, Govt of NCT of Delhi and the work will be started soon. Thus, the site referred in the scope of tender will be taken back from licencee on a short notice of one month. The licencees are, therefore, advised to keep these facts in notice while participating in the tender process. By submitting the tender, the licencee gives unconditionally & irrevocable undertaking to DTIDC to get vacate the licence site within stipulated period after issuing notice by DTIDC. No correspondence in this regard shall be entertained.

22. License Fees (and other applicable charges & taxes) for the subsequent months shall be payable in advance by the Licensee to DTIDC by the 15th of every previous month failure to deposit the same by stipulate date will attract an interest @ 18% per annum alongwith a penalty @ Rs.1000/- each day of delay. For example, if the subsequent month commences from 1st Sept of a year than the licence has to deposit the advance licence fee & other charges by the 15th August of the same year on advance basis without any notice from Licensor. The delay in making payment of licence fee and other dues of Licensor on two occasions in a completed calendar year shall be treated as violation of the agreement and attract interest and penalty in addition to other actions. For such violation, DTIDC reserve right to terminate the licence agreement on this ground alone apart from recovery of interest, penalty/damages and forfeiture of performance security of licencee. However, none payment of license fee and other charges for a continuous period of two months shall be treated as breach of contract on the part of licensee and the licence agreement shall be terminated by the licensor without any notice in addition



to forfeiture of entire amount of the performance security Deposit of the licencee. The licencee shall always be bound to pay the licence fee and other charges upto the date of his discharge by DTIDC.

23. Tender Variable & Reserve Price: The tenderer has to specify monthly license fee payable which shall be increased by 10% on compounding basis after completion of every one year from the handing over of parking site or commencement of licence period.

24. The entire amount of security money would be liable to be forfeited in case of failure of the successful tenderer to abide by the terms and conditions of the license deed (Agreement) or for not commencing the work within seven days from the date on which the use of Cycle/ Motor Cycle/ Scooter/ Car and Two wheelers Motor vehicles parking site(s) is allowed by the DTIDC Ltd. The security money will be released only on successful completion of the license period and after use of the cycle/Motor Cycle /Scooter/ Car parking site will be stopped on expiry of the license or its earlier termination by DTIDC in terms of this tender document. In case, any amount is due to the licensor from the licensee under the terms and conditions of the tender/ license, the same shall also be recoverable from the said performance security; if any amount is still left outstanding the same shall be recoverable as arrears of land revenue.

25. The successful tenderer shall have to submit alongwith performance security, an affidavit on a non-judicial stamp paper worth Rs. 10/- disclosing the amount of arrears of license fee or other charges in respect of any parking space or any amount due against or payable by him to the DTIDC LTD. any other Govt. company /authority / agency. Failure to do so shall entitle the Managing Director, DTIDC Ltd. to reject the tender and to forfeit the earnest money.

26. The DTIDC Ltd does not bind itself to accept the highest or any other offer and reserve the right to reject any or all the tenders without assigning any reason thereof and without being answerable to the tenderers in any manner whatsoever. The DTIDC also reserve the right to rectify or to select any person without notification or withdraw from the tender any of the Cycle /Motor Cycle/ Scooter /Car parking site which have been given in Annexure- A without assigning any reason.

27. The successful tenderer shall at his own cost and within 15 days from the date of the issue of acceptance letter execute an agreement (License deed) for grant of a license in the prescribed form on a non- judicial stamp paper of requisite value. The cost of stamp duty will also be borne by the successful bidder/licencee. It shall be clearly understood that no license shall come into existence unless execution of licence agreement. In case the successful bidder not executes the agreement within stipulated time of 15 days, licensor on expiry of such period shall be entitled to cancel the offer and to forfeit the earnest money.



28. Estate Manager, DTIDC Ltd has inter alia the right to penalize the licensee upto maximum fine of Rs.5,000/- (five thousand only) in the event of a complaint being received regarding over-charging/ misbehaving with the visitors to the parking sites. For the first complaint of overcharging/mis-behaving in a month, the penalty of Rs.1,000/- will be imposed on the licencee. For the second complaint in the same month, the penalty of Rs.2,000/- will be imposed. For the third complaint in the same month, the penalty of Rs.5,000/- will be imposed. More than 3 complaints in a quarter will attract cancellation of licence in addition to forfeiture of entire performance security of the licencee.

29. The licensee shall have to pay electricity and water charge separately on actual basis or as

decided by DTIDC, applicable from time to time. These shall be in addition to the regular license fee, service tax, and maintenance charges or any other charges.

30. That the licensee shall keep the parking site neat and clean at all times. Failure to do so shall render the licensee liable to pay fine, which may not exceed Rs.5,000/- (Rupees Five thousand only) for single offence or the actual cost incurred on cleaning up of the parking site carried out on behalf of the licensee, whichever is higher.

31. The successful tenderer shall have to obtain at his own risk and cost necessary permissions whatsoever, required from the Municipal or other authorities concerned before commencing the business.

32. The parking tenderer shall have to follow all security instructions issued from time to time by Delhi Police and observe/ maintain proper record of all vehicles parked in the parking site for inspection by the Licensor/ Security Agency/ Delhi Police.

33. The parking site Cycle/ Motor Cycle/ Scooter / Car shall be used for parking of private vehicles of the above description only. Parking of buses, trucks & tempo will not be allowed in any case.

34. The Parking of Cycle/ Motor Cycle/ Scooter/Car including inlet and exist for Cycle / Motor Cycle/ Scooter/ Car shall be provided by DTIDC and the same will be parked according to that pattern only. The details in this regard are available with Estate Manager concerned and licencee has to obtain the same after acceptance of letter.

35. The parking site remain open throughout the day and night on all days.

36. The licensee shall prepare the parking slip in triplicate and shall indicate date & time of entry of vehicle on this slip. Two portion of the parking slip will be given to the customer and the licensee will retain one. At the time of delivery of the vehicles, delivery/ departure time will be indicated on the customer’s copy and one of these two portions of the slip will be taken back by the licensee in token of having delivered the vehicle.



37. The applicable parking Charges/ fee for various vehicles shall be as under:-

a. The rates, charges and vehicular composition are subject to change/revision upwards or downwards as per the direction of DTIDC.

b. The licencee shall not to seek any claim, damages, compensation or any other consideration whatsoever, on account of upward or downward revision of parking charges by the licensor.

c. The licencee will at all times display the rates and timing of parking at a prominent location at the entry of the parking site.

38. That the Licensee shall not charge any parking fee from such vehicles which have proper free

parking stickers stuck on them and are parked in free parking zones/ staff parking zone.

However, in case these are parked in the parking area allotted to licencee, he may be charged

the appropriate amount without any discount to user.

39. The licensee shall be responsible for all the damages or losses caused to the vehicles during

their parking at the site and the DTIDC will not be responsible or liable on any account for the

same and the DTIDC not be made party in any such proceedings that may be brought against the

licensee. The licensee agrees to indemnify and hold harmless the Licensor / DTIDC against all and

any claims, actions, proceedings, damages and cost (including any damages or compensation

paid on the advice of its legal advisors to compromise or settle any claims) suffixed by GNCTD/

Licensor due to damage or loss caused to vehicles during parking.

40. In case the site is required by the DTIDC prior to expiry of the period of license the licensee

shall have to hand over the vacant possession of the site at once. However, the proportionate

balance amount of the license money and other charges, if any, lying with the DTIDC for said

unexpired period will be refunded to licencee after adjustment any other dues, if any. The

parking site remains closed on account of some reasons beyond the control of Licensor during

the period of contact, a proportionate amount for the vacancy period will not be charged. The

decision of MD, DTIDC in this regard will be final & binding.

41. The Licensee shall make no change in its constitution, composition, shareholding,

partnership, directorship or ownership during the term of the Agreement. The transfer of

License to any other person shall not be allowed under any circumstances.

42. The Licensee shall be deemed to have vacated the parking site(s) on termination or expiry of

the License Period and Licensee shall thereafter have no right to access the Licensed Premises.

In cases, where the Licensee does not vacate the premises after expiry of licensed term or upon

termination of the license, the licensor will be at liberty to deny the entry of the Licensee into the

parking site and get the site vacated including disconnection of water, electricity and other

facilities to which the Licensee shall have no objection. Further, the Licensor shall also have the

right to seal the entry of parking site, if the possession of the premises is not peacefully handed

over after the expiry or termination/cancellation of Agreement.

43. That the licensor reserves the right to alter (increase or decrease) the area of Cycle/ Motor

Cycle/ Scooter/Car parking site at ISBTs in public interest and the license fee, thereof, shall be

increased or decreased by proportionate amount and shall be payable by the licensee. If the

allotted parking site is needed by the company/GNCTD for planned development in public

interest, an alternative site for the same will not be provided.

44. The DTIDC may also transfer routes/ trips from one ISBT in Delhi to another ISBT. No licensee

shall object to such transfer on the ground that such transfers of trips/routes from one ISBT to

another adversely affect his business. No concession in payment of the license fee consequent to

such transfer shall either be demanded by the licensee nor shall it be granted by licensor.

45. That the licensee would have to provide necessary access and facilities including the vacation

of the site(s), if necessary, for repairs and maintenance as and when required.

46. That the licensee shall provide the uniforms and identity Card bearing his name to his

employees approved by the licensor at his own cost, which shall be worn by them at all time

during the execution of work. The same can be checked by the licensor at any time. The DTIDC

shall have the right, with reason, to have any personnel removed who is considered to be

undesirable or otherwise and similarly the licencee reserves the right to remove the any

personnel with prior intimation to the DTIDC.

47. That the employees of the licensee shall under no circumstances be construed as employees

of licensor and the licensee shall indemnify the licensor against any claim whatsoever made by

licensee’s employees.



48. That the licensee is prohibited from allowing the parking site to be used by hawkers, betel or

Cigarettes sellers, cold drinks and tea venders and all such other activities.

49. No tenancy right will be enjoyable by the licensee and this license and permission can be

terminated by the Managing Director, DTIDC, ISBT Kashmere Gate, Delhi or any officer

authorized by him at any time after a notice of one month without assigning any reason thereof.

50. The licensee shall manage the parking of vehicles himself and / or through his employees. He

shall not sub-license or allow any other person(s) to run the Cycle/ Motor / Cycle/ Scooter/ Car

on his behalf. If at any time is found that the site is being run by any other person other than the

licensee, the license will be terminated & performance security deposit will be forfeited without

prejudice to the other rights and remedy available to DTIDC under the Law against the licencee.

51. The licensee shall not directly or indirectly interfere or allow suffering any other persons to

interfere with the work of licensor in maintaining the site.

52. The licensee shall in no case construct any temporary or permanent movable or immovable

structure and is liable for prosecution as well as demolition at his own risk and cost without any

notice except as provided in clause No.67.

53. The licensee shall not transfer or otherwise alienate his right to any other person or persons.

54. The licensee shall keep the licensor informed of any change in his address.

55. The licensee shall not vend any articles or allow any vender at the Cycle / Motor Cycle/

Scooter/ Car parking site.

56. A sign board displaying the word “ISBT Cycle/Motor Cycle/Scooter/Car Parking” shall be

displayed by the licensee at conspicuous place indicating there in the slab system and other rates

as per the relevant clause for displaying at the entrance of the parking site. The board shall also

indicate the period of license. The responsibility for protection and visibility of the board shall be

of the licensee. In case it is found that the boards are not displayed properly, any officer not

below the rank of Estate Manager may levy/impose a fine up to Rs. 5,000/- per occasion.

57. The land under the site shall always remain the property of the licensor and the licensee shall

claim no right of easement in relation or in respect thereto. The possession of the site shall

continue to rest with the licensor.

58. The licensee shall not interfere with the work of construction of the licensor of any drain,

pipe or cable etc. and shall repair at his own cost damage, which he may cause to such works to

the entire satisfaction of the licensor.

59. The licensor will be entitled at all hours of day night to enter the said premised for checking

purposes.



60. The licensee shall keep a complaint book at site and it shall be made available to the vehicle

owners to note down the complaints. The licensor will have the right to check the complaint

book as and when he requires. The availability of complaint book shall also be indicated on the

sign board in a conspicuous manner.

61. No encroachment of any kind inside or beyond the parking site will be permissible. In case it

is found that the licencee is in encroachment of the area other than permitted area, shall be

treated as violation and attracts a fine of Rs.15,000/- per occasion and/or cancellation of licence.

62. The licensee shall not carryout or permit or allow permitting any repair work / running any

motor workshop of any kind whatsoever inside or outside the parking site.

63. The licensor shall have a right to forfeit the security amount if the licensee commits any

breach of any of the conditions of this license in addition to termination of licencee.

64. The licensor shall have the right to terminate the agreement without any notice and to forfeit

the security amount in case of defaults of licencee on any one or more of the following grounds:-

a. If the parking is used in such a way that is obstructs the very passage of the vehicle parked

there.

b. If the licensee puts in a board in his name.

c. If the parking site is used for purpose other than that of parking of Cycle / Motor Cycle /

Scooter/ Car.

d. If the licensee obstruct the entry of any officer / representative of DTIDC or any supervisory

staff of DTIDC, Delhi.

e. If the licensee fails to produce on demand the account of fees being charged for parking the

vehicle.

f. If the licensee charges parking fee in non conformity with the prescribed rates.

g. if the licensee refuse to park any vehicles despite availability of parking space.

h. if the licensee puts up super structure in contravention of the terms and conditions.

i. If the licensee allows parking of vehicles without token.

j. If the licensee refuse to produce the complaint books to the vehicle owner/ licensor.

k. If the licensee commits any breach of any terms and conditions of this license.

l. if the licencee fails to pay dues of DTIDC in time for more than 3 occasions or as specified in the

other clause of the tender.



l. For any other reasons as the licensor may deem proper.

65. At the termination of the agreement for whatsoever cause the licensee shall restore the site

in the conditions in which it stood immediately before the licensee took it over and shall

peacefully make over the vacant parking site to the licensor.

66. The parking/ sites shall be exclusively used for the purpose of parking of private cycle/ Motor

Cycle / Scooter/ Car/ and no washing of the cars or servicing or any repairs will be allowed at the

sites.

67. The wooden khoka of dimension not exceeding 6’ X 6’ shall be constructed by the licensee

himself for his office use and licencee can remove the same after expire of the license period and

that licencee shall have no claim whatsoever. The licensee shall provide parking ways either by

putting white lines on the ground or fixing bricks. The licencee shall ensure safety of the

Cycle/Motor Cycle/ Scooter/Car/Vehicle in the parking and also to see that there is no over-

crowding. The licensee shall provide lighting poles to light up the entire parking lot, at night.

68. The licensee shall be liable for any loss or damage due to the parking or arising out the

parking site and he shall indemnify and keep indemnified the DTIDC in respect of any loss or

damage or expenses of litigation or claim settlement that the DTIDC may have to incur in

connection with the parking site.

69. In the event of violation of any conditions apart from cancellation of license the licensee shall

be liable to pay such penalty as may be prescribed in the cancellation order.

70. The terms and conditions of the tender shall also form part of the agreement.

71. The licensee shall not display any advertisement (s) on any part of the parking site nor shall

be allow any other person to do so.

72. That the licensee will have to get special parking slips printed at his own cost only after it is

approved by the licensor. Only such parking slips as are approved by the licensor shall be issued

to the visitor who parks their vehicle in the parking area. Any use or unauthorized/ un-approved

parking slips by the licensee shall constitute breach of this agreement and result in cancellation

of the agreement and subsequent dispossession of the parking site including forfeiture of the

security amount.

73. Any Dispute arising out of, or in connection with this NIT, failing amicable settlement, shall

be finally settled by binding arbitration under the Arbitration and Conciliation Act, 1996. This

place of arbitration shall be Delhi/New Delhi. The language used in the arbitration proceedings

shall be English. The procedure to be followed for the arbitration, including the appointment of

arbitrator/arbitral tribunal, the rules of evidence which are to apply shall be in accordance with

the Arbitration and Conciliation Act, 1996. The dispute if arises, will be referred to the Sole



Arbitrator, appointed by the Managing Director/Chairman, DTIDC. Any decision or award

resulting from arbitration shall be final and binding upon the parties. The parties hereto hereby

waive, to the extent permitted by law, any right to appeal or to review such awards by any court

or tribunal. The parties hereto agree that the arbitral award may be enforced against the parties

to the arbitration proceeding or their assets wherever they may be found and that a judgment

upon the arbitral award may be entered in any court having jurisdiction thereof. The fees and

expenses of the arbitrator and all other expenses of the arbitration shall be initially borne and

paid by respective parties subject to determination by the arbitrator.

74. All or any of the powers and rights exercisable by the DTIDC in respect of tender shall also be

exercisable by the Managing Director, DTIDC and the licensee would not have any objection

whatsoever in respect thereof.

75. That the licensee shall also pay all license fee or other fees or taxes payable to the Govt. or

Municipalities or Local bodies concerned in connection with running of the Cycle/ Motor Cycle/

Scooter/ Car parking sites business at interstate Bus Terminus, Delhi.

76. On the expiry of the period of license, the licensee shall peacefully handover the vacant

parking site to DTIDC.

77. If the licensee does not want to continue for the full terms, he may do so by leaving the

contract in between subject to the condition that he shall give a clear Six (06) months notice but

ending with the last day of the calendar month of his intention to the licensor. However, no

performance security shall be refunded to the licencee and he will remained liable to pay

licence fee and other charges upto the date till he may be discharge by DTIDC. Any request

from the licencee for reduction in license fee for any reason (s) whatsoever during the period of

the license will not be entertained/accepted by the licensor under any circumstances.

1. The parking plans shall be provided by the Estate Manager concerned at the time of handing

over of site to the licencee. The tenderers are requested and advised to visit parking site to have

physical and actual verification regarding its suitability and proper assessment of scope of

parking area before submission of Tender. Actual area will be jointly measured at the time of

handing over of possession of parking lot. By submitting the tender, the parking agencies also

agree that during the course of the contract, there may be reduction/increase in the parking area

due to operational requirements and the same shall be accepted by agency at prevailing rates at

the time of handover.

2. The map of site is available with the Estate Managers of concerned ISBT in their office at the

respective ISBT only. The tenderer can obtain a copy of the same from the Estate Manager

before tendering.
