Terms & Conditions

1. Sr. Manager, 132 KV Sub-Station, Dhalabil shall be the consignee for the work.2. The Contractor/ agency should be a registered organization capable of executing above mentioned work

having capacity of 7.5 MVA Power Transformer or above; of 132 KV voltage level in a single award of work in Indian supported by performance certificate issued by reputed Indian utilities(Government /Public Sector) not below the rank of Executive Engineer/Dy. General Manager/Divisional Engineer or equivalent.Authentic documents in support of the above facts should be accompanied with the Bid. TSECL shall verify the same accordingly.

3. The agency shall be liable for any loss/damage of materials during execution of work up to ready for commissioning at site.

4. The quotetioners shall bear all cost and expenses pertaining to submission of quotations etc. TSECL will in no case, be responsible or liable for these cost.

5. The quotetioners are to satisfy themselves by actual site visit to the site of work, as regards the prevailing condition of approaches, transportation facilities, availability of labours and availability of materials etc. before submission of bid. No claim or excuse on this account will be entertained at any stage later on.

6. The quotetioners shall be expected to employ skilled employees with experience of this particular work. No female labour shall be employed. No person below the age of eighteen years shall be employed.

7. The Terms & Conditions and Schedule of work can be seen and downloaded from the website www.tenders.gov.in/department.asp?id=802 and TSECL’s official website (URL: http://www.tsecl.nic.in/) .

8. The down loaded terms & conditions in undamaged condition shal be signed by the quotationer/bidder on all pages .

9. a) The quotetioners shall be required to deposit earnest money of Rs.15,610.00 (Rupee Fifteen thousand Six Hundred and Ten) only in the shape of Demand Draft or Banker Cheque from any nationalized / scheduled Bank guaranteed by Reserve Bank of India favouring TRIPURA STATE ELECTRICITY CORPORATION LIMITED payable at Agartala along with the bid in a separate sealed envelope. The earnest money deposited is adjustable with Contract performance guarantee.The envelope containing the quotation with document shall be super scribed with PNIQ No & date and name of work distinctly. Earnest Money Deposit in any other form or amount will not be accepted.

Bid not accompanied with requisite Earnest Money in a separate sealed envelope shall not be entertained and shall be returned to the quotationer / bidder without being opened.

b). Tender Fee shall be submitted in the form of Demand Draft on any Scheduled Bank guaranteed by Reserve Bank of India favouring TRIPURA STATE ELECTRICITY CORPORATION LIMITED payable at Agartala in a separate sealed envelope along with bid document.

N.B.: Non submission /short submission of cost of tender form in case of down loading will be treated as non responsive and shall be rejected outright.

10. The amount of earnest money of the unsuccessful Quotationer will be refunded but in case of successful Quotationer, the earnest money will be converted in to security deposit and shall be retained till completion of the contract. The security shall not earn any interest.

11. The successful quotationer shall be required to furnish a Contract Performance Guaranty (CPG) @ 10% of the total contract price. 5% of CPG in the shape of Demand Draft / Banker cheque favouring Dy. General Manager, Transmission Division,79 Tilla, Agartala on any schedule Bank guaranteed by Reserve Bank of India , payable at SBI, TLA House Branch, Agartala, West Tripura in the form attached as Annexure-I. Rest 5% amount will be deducted from running bills on pro –rata basis or 10% of the balance amount whichever is higher from each bill till full realization of Contract Performance Guarantee.

12. Rate should be inclusive of all applicable GST and quoted both in words and figures for per person per month.

13. The quotetioners must quote their rate(s) both in figure as well as words as per prescribed format. Quotation(s) should be initialed by the quotationers including correction, if any.

14. The work shall be completed within 15(fifteen) days from the date of issue of LOA. 15. There shall be no increase in the rate / charge during the contract period.16. The following document must be submitted along with the quotation :-

a. Copies of Trade License.b. Registration Certificate from the appropriate authority.c. Experience Certificate.d. Copy of Labour Registration Certificate.e. Copy of PTC of current validity Certificate.f. Copy of GST Registration certificate.g. Copy of PAN Card.

17. Insurance against loss, theft, damage, transportation etc.:The agency shall have to require to take the transformer from132 KV Sub-Station, Missiontilla, Dharmanagar to 132 KV Sub-Station, Dhalabil has to make insurance coverage policy for a sum assured not less than Rs.1 (One) crore for 7.5 MVA 132/33/11 KV Power Transformer infavour of TSECL. The premium whatsoever shall be borne by the agency.

18. Tax: Rate should be inclusive of GST and other applicable taxes. 19. The payment shall be made after successful completion of the work subject to availability of fund.20. Other conditions not covered in this order/LOA shall be as per TSECL’s Bidding documents.

21. Liquidated Damage:

a) The date of completion of the work shall be deemed to the essence of the contract and shall be completed not later than the date of specified in the work order/contract. In case of delay in completion of work beyond the stipulated time for the entire scope of work, TSECL shall be entitled to cover a penalty @ 1%(one percent) of the total ordered value

of the work per week or part thereof delay subject to maximum 10%(ten percent) of the total ordered value as liquidated damage. This is however, subject to force majeure.

b) The payment of liquidated damage shall not in any way relieve the contractor from any of its obligations and liabilities of the contractor under the contract.

22. FORCE MAJEURE

a) Force majeure shall cover only act of GOD, Fire, War, Strikes, Riots and Civil commotion, acts of any Government etc. Any constraint other than those specified above will not constitute force majeure condition. In view of other constrain beyond the control of the contractor primarily due to statutory compulsion, extension of execution may also be considered on individual meritof the case . In case of force Majeure condition the contractor shall notify TSECL for such causes within 10(ten) days from the beginning of such delay in writing for consideration and acceptance. Acceptance of which will be given by TSECL after verification.

b) The date of completion will, subject to herein after provided, to be extended by a reasonable time. In such case the contractor shall submit to owner’s Engineer-in-charge of the work the time extension application as per proforma attached at Annexure-II.

23. The Bid shall be submitted in 2(Two) parts in separate sealed envelopes properly super scribing PNIQ No., name of work, and bid opening date containing in 1(One) sealed cover as follows:

Part-I: Pre Qualification Bida) Containing Bid earnest money as per the stipulations of the Bid Documents in a separate sealed

envelope.

b) Containing Bid Quotation free as per the stipulations of the Bid Documents in a separate sealedenvelope.

c) Containing Documentary Evidence of the Bidder fulfilling the Qualifying Requirements in a separate sealed envelope.

d) The quotations shall submit copies of relevant work order / Award letters / Agreements etc. and corresponding completion certificates issued by the concerned clients. The Quotationer shall also submit professional tax clearance certificate & sales tax clearance certificate and all such other documents deemed necessary in support of their meeting the stipulated qualifying requirements and its credentials as per Clause No. 2&16 of terms and conditions of this SNIQ without which the quotation will be rejected.

Part-II: Price Bid

Price schedule as per the format indicated in the Bid Price Schedule ( Annexure-III). The price Bid should be quoted both in figures and words ( sub-total and total value). If there is no meaning of words the figures will be considered otherwise words are final. No other price schedule format, other than this (Annexure-I) shall be acceptable and in such event of submission in their own price format, the bids shall be cancelled.

Notwithstanding anything contained herein above, TSECL reserves the right to assess the capacity and capability of the bidder to supply the transformer.

24. In case of any dispute, the decision of the Tripura State Electricity Corporation Limited Authority shall be final and binding.

25. The earnest money shall be forfeited:a. If a Bidder withdraws its bid during the period of bid validity specified by the

Bidder on the bid form; orb. In case of a successful Bidder fails:

i) to sign the contract; orii) to furnish the ‘Contract Performance Guarantee’.

26. Completion period: 15(Fifteen) days from date of issue of LOA.

27. The contract performance Guarantee shall be forfeited: -a) If the contractor left / suspends the work without prior written intimation to the Consignee of

the work stating the reasons for such suspension of work.

b) If the contractor left / suspends the work for reasons which are not acceptable to TSECL.

28. The successful Quotationer/bidder shall have to enter in an agreement with the Deputy General Manager, Transmission Division, 79 Tilla, Agartala.

29. PERIOD OF VALIDITY OF BIDS

a. Bids shall remain valid for 180(One hundred eighty) days after the date of bid opening prescribed by TSECL, unless otherwise specified in the accompanying Special Conditions of Contract. A Bid valid for a shorter period shall be rejected by TSECL as non-responsive.

b. In exceptional circumstances, TSECL may solicit the Bidder’s consent to an extension of the period of Bid validity. The request and the response thereto shall be made in writing (including cable or fax). The Earnest money provided under Clause 8(a) shall also be retained up to the extended period. No interest shall be payable by TSECL for retaining the earnest money up to the extended period. A Bidder may refuse the request without forfeiting the earnest money deposited by him. A Bidder granting the request shall not be required or permitted to modify his Bid.

30. Notwithstanding anything contained herein above, TSECL reserve the right to access the capacity & capability of the bidder to execute the work.

Any such demand made by the Owner on the bank shall be conclusive and binding notwithstanding any difference between the Owner and the Contractor or any dispute pending before any Court, Tribunal, Arbitrator or any other authority. The Bank undertakes not to revoke this guarantee during its currency without previous consent of the Owner and further agrees that the guarantee herein contained shall continue to be enforceable till the Owner discharges this guarantee.The Owner shall have the fullest liberty without affecting in any way the liability of the Bank under the guarantee, from time to time to extend the time for performance or the Contract by the Contractor. The Owner shall have the fullest liberty, without affecting this guarantee, to postpone from time to time the exercise of any powers vested in them or of any right which they might have against the Contractor, and to exercise the same at any time in any manner, and either to enforce or to for bear to enforce any covenants, contained or implied, in the Contact between the Owner and the Contractor or any other course or remedy or security available to the Owner.
