Thursday, January 16, 2020, 9:15am MT Pine Crest C Room, The Lodge at Deadwood

The Annual Business Meeting of the Associated General Contractors of South Dakota, Inc. (AGC) was held on Thursday, January 16, 2020 in Pine Crest C Room The Lodge at Deadwood. The meeting was called to order at 9:30am MT with President Tim Foerster presiding. Several people were in attendance. An attendance list is on file with the minutes. I. Self Introductions The meeting began with self introductions by all in attendance. II. Minutes of the Previous Meeting A MOTION TO APPROVE the minutes of the 2019 Annual Business Meeting was made by KARI KARST; SECOND by ELROY BUREN; MOTION CARRIED. III. Financial Report AGC staff provided an overview of the previous fiscal year’s financial statements and next fiscal year’s budget. FY 2019 ended with a profit of $8,047. A loss of $19,000 is anticipated in FY 2020. A MOTION TO APPROVE the financial report was made by JIM SOUKUP; SECOND by ELROY BUREN; MOTION CARRIED. IV. 2019 Dues Report AGC staff provided an overview of 2019 AGC dues. Dues/fees comprise 78% ($671k out of $864k) of AGC’s total income. Of this $671k, 10% ($68k) comes from annual dues. Another 86% ($579k) comes from volume dues. The remaining 4% ($24k) comes from the 1 cent work hour assessment. A copy of the dues report is available upon request from the AGC office. V. Committee / Task Force Reports • Safety & Training – AGC staff summarized key 2019 accomplishments and

planned activities for this Committee in 2020. • Workforce Development – AGC staff summarized key 2019 accomplishments

and planned activities for this Committee in 2020. • Government Affairs & CONPAC – AGC staff summarized key 2019

accomplishments and planned activities for this Committee in 2020. CONPAC members also described the “pledge drive” at Convention and encouraged everyone to attend the AGC Legislative Day in Pierre on January 28, 2020

• SDDOT Steering – AGC staff summarized key 2019 accomplishments and

planned activities for this Committee in 2020. • Public Relations – AGC staff summarized key 2019 accomplishments and

planned activities for this Committee in 2020. • Membership – AGC staff summarized key 2019 accomplishments and planned

activities for this Committee in 2020. • Associate Division – AGC staff summarized key 2019 accomplishments and

planned activities for this Division in 2020. • Young Constructors – AGC staff summarized key 2019 accomplishments and

planned activities for this Committee in 2020. VI. 2020 AGCSD Key Events President Foerster highlighted key 2020 AGC of SD events and encouraged all members to participate. VII. Resolutions / Recognitions President Foerster presented a resolution honoring the SDDOT for its efforts in 2019. A MOTION TO APPROVE the resolution was made by KARI KARST; SECOND by ANDY JOHNSON; MOTION CARRIED. VIII. Election of Directors The Nominating Committee presented David Dailey, Andy Johnson and Rob Knight for re-election and Robert Sopher and Derek Suhr for new election to the Board. A MOTION to cease nominations and cast a unanimous ballot for the slate of Directors presented by the Nominating Committee was made by KARI KARST; SECOND by RC SCULL. MOTION CARRIED. IX. Other Business President Foerster asked for other business. No items were offered. ADJOURN There being no further business, the meeting adjourned at 10:44am MT. Respectively submitted, Toby L. MSHA Alliance Program

The AGC Mine Safety and Health Alliance (MSHA Alliance) is one way the Associated General Contractors of South Dakota has continued its commitment to workplace safety and health of miners. The MSHA Alliance is made up of AGC members involved in the sand, gravel and surface stone industries dedicated to the prevention of accidents and injuries. Specifically the mission of the MSHA Alliance is to promote mine safety and health by combining the unique respective talents, efforts and resources of the membership facilitating the exchange of information and providing a unified voice for the industry.

The philosophy is a proactive approach to eliminate hazards, prevent injuries/accidents and gain a better understanding of safe mine operations in an effort to produce a safe and healthy working environment for all who work in this diverse industry. Furthermore, it is the goal of each member to obtain zero citation inspections during Mine Safety and Health inspections. While participation in the MSHA Alliance is a free benefit of AGC membership, AGC of South Dakota offers additional compliance assistance services for Mine Safety & Health Administration (MSHA) Compliance. We use a combination of staff and MSHA consultants, so contact us today if you’d like to know more about the services we offer!
